By Kimmy Blair Street Hype Writer ----------------------------------------------------ederal immigration officials have confirmed the arrest of three Caribbean nationals from Jamaica, Guyana, Trinidad and Tobago who law enforcement said were among the dozens of illegal immigrants arrested in the New York City area during a multi-state sweep last week. According to the U.S. Immigration and Customs Enforcement, authorities arrested 41 people in the five boroughs and surrounding areas. Of those, 38 had criminal convictions.

The immigrants arrested were previously convicted of crimes ranging from rape and sex assaults, including of children, to robberies, burglaries and larcenies. Some were convicted of driving while intoxicated. Officials stressed that last week's arrests were part of their normal, targeted enforcement operations in the works before the Trump executive immigration order was released. However, their timing prompted concern in several immigrant communities. Federal officials are expected to release more information next week. Continued on page 4

I

Uphold the immigration laws, but show respect!

t has been a very difficult period for illegal immigrants in the United States with well over 2 million deported during the eight-year of the Obama Administration. And several thousand ordinary people who were in America to improve their “economic” or living standard and without any criminal record were among those sent back to their homeland. Among those returned were those who came to the United States as children and are now back to a place where they have almost no recollection and no ties. Immigrants have been pushed further to the stomach churning, nervous edge. Since taking office, President Trump has moved aggressively on his promise to crack down on immigrants living in the United States illegally. His controversial executive order that vastly expands to who is considered a priority for deportation has sent immigrants in a panic.

Despite the Department of Homeland Security’s denial of an unprecedented plan to mobilize up to 100,000 National Guard troops to round up undocumented immigrants, people are already feeling the heat and are running scared. Nonetheless, with the exception of the American Indians, we all have our roots from some other place in the world. In other words, we are all “immigrants,” and are always in solidarity with people who are not legal residents in this country. However, with an estimated 11 million illegal immigrants, the US government must take some action to manage the flow of people entering or leaving the country. In fact, the number of people who are seeking to migrate to the US is growing in the millions every year as several other countries are in crises because of issues such as war, poverty, crime, violence and political persecution. As millions of people are fleeing their homelands and seeking refuge in other places,

countries all over the world are protecting their borders and implementing stronger immigration laws to stop illegal migration. It is interesting to note that the majority of US illegal immigrants are from Mexico, India, China, the Philippines, Cuba and the Dominican Republic despite their very strong immigrant laws. Just in our backyard, people from Haiti will tell you of

the inhumane treatment they received from Dominican Republic authorities. Haiti is one of the poorest countries in the western hemisphere and therefore immigrants from the country face more challenges of being accepted in any other country. The Dominicans are therefore trying to avoid taking on the issues facing the Haitians, while they are struggling to manage their own economy. However, until the US immigration laws are changed, people who want to live and work in the US must respect the current laws and follow the legal procedures for becoming a documented US resident. The US government must continue to uphold it immigration laws to avoid illegal entries and to protect the integrity its borders. However, Trump and the United States must follow its own constitutional laws and treat everyone equally — irrespective of race, nationality or religious preferences.

Time for Blacks to flip to Republicans

oday many so-called black leaders have African Americans believing they are born Democrats. Republicans freed the enslaved Blacks and Blacks voted Republicans until 1932. Some argue that it was Democratic president, FDR’s New Deal program that flipped Blacks to becoming Democrats. The country was in dire strait and FDR flipped everyone with his charming ways and his programs that focused on relief, recovery, and reform. In fact, he drained the swamps and restored forests—providing work to many idle young Blackmen. Life is about change, so it’s time for Blacks to flip to Republicans. We have contemporary Blacks, on their knees with closed eyes, begging God to give them something, instead of them asking Him to show them the way. In the past, enslaved Blacks, with opened eyes, prayed for God to show them ways to free themselves and their people from their wretched conditions.

Blacks are not monolithic; they are different in their thinking as they are in their ethnic/racial origins. However, the general view is they think and look the same. That is why a police would pull over a 16 year-old Black female because the perp was described as a 40 year-old Blackman. Because too many Blacks have come to mistakenly believe prayer and not work will solve their problems.

Blacks continued enslavement to the Democratic party, the Dylann Roof killings, a Black President--with the most deportation of Blacks and apparent police killings—who rewarded Blackmen who sat down and did nothing to uplift their people, but declared they changed to women, and President Donald Trump. The enslaved man’s prayer resulted in a Civil War, emancipation, freedom by the Republicans, Civil Rights, and the

opening this country for all other immigrants. It is a serious time with Trump in the White House, so rather than remaining on their knees and praying with closed eyes, Blacks should get up off their knees, open their eyes, reinvigorate the Republican party, and go out and “bigly” vote or Republicans, as White Christians did. • Dr. Rupert Green is a New York City based educator.

Man Gets 115 yrs for Raping 82-Yr-Old Woman

BROOKLYN: cting Brooklyn District Attorney Eric Gonzalez last week announced that a 20year-old Brooklyn man has been sentenced to 115 years in prison for the rape, sexual abuse and assault of an 82-year-old woman in her Brighton Beach home in 2015. The Acting District Attorney said that the defendant, Asa Robert, 20, of Brooklyn, was sentenced on Tuesday (January 10) to 115 years in prison by Brooklyn Supreme Court Justice Vincent Del Giudice. The defendant was convicted of first-degree rape, first-degree criminal sexual act, first-degree sexual abuse, second-degree assault, first-degree burglary, first-degree robbery, second-degree burglary and two counts of second-degree criminal trespass, following a jury trial in November 2016. According to trial testimony, on July 13, 2015, at approximately 2 a.m., in the vicinity of Brighton 11th Street in Brighton Beach, the defendant entered the victim’s apartment while she was outside taking out the garbage. A short while later, after the victim went to bed she heard a noise and discovered the defendant hiding in her bedroom. The victim yelled for him to leave, but he refused. Instead, he strangled her and forced her onto the bed, where he held a knife to her face, demanded money and punched her in the chest. The defendant then tied her hands behind her back and ransacked the bedroom. The Acting District Attorney said that, according to trial testimony, the defendant

then brought the victim into her kitchen and again assaulted her and ordered her not to call the police. The defendant brought the victim back to her bedroom shortly thereafter and raped and sodomized the victim. After again instructing the victim not to call the police, the defendant fled the home with a bag containing the victim’s personal items. The victim called family members, who called 911. Police responded and the victim was treated at Kings County Hospital. The defendant led the police on a fourday chase through various homes in Brooklyn. He was arrested on July 17, 2015 after being found hiding in the kitchen of a private residence.

Jamaican Charged With Estranged Wife's Murder NEWS

Jamaican man has been arrested in the New York City and charged with the stabbing death of his estranged wife, who is also Jamaican. Andre Curtis, 36, was charged yesterday with manslaughter and criminal possession of a weapon in the death of his wife Sophia Lamb last November, police said. The body of the 44-year-old nursing assistant was found inside her Bronx apartment with multiple stab wounds. Relatives say she and her husband met in Jamaica 15 years ago and the two moved in together last June after he migrated to the US.

However, Miss Lamb’s father, Audley Malcolm, told the New York Daily News last November that within a month, his son-inlaw became controlling and was kicked out of the matrimonial home. Curtis was listed as a person of interest by police investigators after relatives reported that he showed up at her apartment a day before Miss Lamb’s death saying he wanted to talk. The Bronx District Attorney’s Office reports that Curtis was hospitalized up to late Sunday and is yet to make his first court appearance.

Vladimir Krull, who worked at Manhattan's Midtown North Precinct, dated his victim's mother for two years and began abusing her daughter in September 2013 by kissing her on the mouth, the Bronx DA's Office said. In New York City, students with disabilities saw an improved graduation rate of 44.8, up from 41.1 percent the year before, though there remains a significant gap between students with disabilities and their general education peers. Both city and statewide graduation rates showed gains across most racial groups, but with continued disparities. The statewide graduation rates for black and Latino students were still each more than 20 points behind that of white students. These achievement gaps in New York City were smaller than the statewide numbers. Black and Latino students also dropped out of high school at higher rates than their white peers. Statewide last year, the dropout rate for black students was 8.8 percent; Latino students dropped out at a rate of 10.5 percent. Meanwhile, 4 percent of white students dropped out. "We have seen growth, but we're never going to be satisfied until we have every student in New York City graduating — whether it's after college, or post-graduate or just after high school — who's going to have a good paying job and be a productive member of society," said Schools Chancellor Carmen Fariña, speaking at a news conference at the Bronx School for Law, Government and Justice. Most glaring in last year's data, perhaps, were numbers for English language learners.

In New York City, the proportion of English language learners who started high school in 2012 and graduated in August dropped by nearly 10 percent — from 40.5 percent in 2015 to 30.8 percent last year. Fariña suggested the drop could be attributed to an increased number of students testing out of the English language learner category. She also said that not all English language learners are equal — during any given year there may be more students who come to the United States in older grades or without adequate literacy skills even in their home language. Kim Sweet, who leads the non-profit group Advocates for Children, said she was "alarmed" by the numbers for English language learners. "The new data shows that both New York City and New York State urgently need to double down on efforts to improve instruction for English language learners so that they can achieve their potential and graduate with a high school diploma," said Sweet in a statement. Sweet added that the numbers were particularly troubling since New York City had been working under a corrective action plan imposed by the state in order to improve services for English language learners. And while overall graduation rates have increased in New York City and statewide over the past few years, those numbers do not mean that students are ready for college after earning a high school diploma.

Here are 6 countries with a tax rate of 30 percent or higher according to Deloitte & Touche: Jamaica - leads with the highest national corporate tax rate in the region with 33.3 percent but for unregulated companies, the rate is 25 percent. St. Kitts & Nevis - The corporate income tax rate in St. Kitts & Nevis is right behind Jamaica at 33 percent. Remittance of funds by a branch to headquarters is also subject to a 10 percent tax rate. St. Vincent & the Grenadines - corporations pay a national and local tax rate of 32.5 percent. Grenada - levies a whopping 30 percent tax rate nationally on corporations and a branch remittance tax of 15 percent is also levied. St. Lucia - also levies a 30 percent tax rate on corporations but the rate is 33.3 percent for certain non-compliant corporations. St. Maarten - The Dutch Caribbean island of St. Maarten charges a national and local corporate tax rate of 30 percent. ----------------

Kitts and Nevis has ranked number one in the CARICOM in the “2016 Doing Business Report”, says Kennedy DeSilva, deputy comptroller of customs in the office of the comptroller. Appearing on local radio and television, he said that the Customs and Excise Department has worked hard to become a high ranking country and explained that to achieve this the World Bank looks at all the countries around the world and sets up a basic scenario. “They look at things like what does it take or what is involved for a business to import 144 containers into your business, the time it takes to clear the goods; how is it to pay the taxes; what the technical requirement are; how much documentation you require and that sort of thing. So it judges you based on that standard,” DeSilva explained. The deputy comptroller said that the bank may also consult the broker community, Customs and the shipping association to get different opinions. “So we were fortunate that last year, by our international standard we’re are at 72. If you look at Latin America and the Caribbean, we are number seven and if you look at CARICOM we are number one,” DeSilva said.

Jamaica to benefit from framework agreement with China

Kingston, Jamaica WI: amaica is to benefit from increased investments in infrastructural development and other critical areas, following the signing of an agreement with the People’s Republic of China. Through a Framework Agreement, both Governments will be collaborating on various production capacity and investment projects in the areas of construction and infrastructure, cement manufacturing, resource processing, equipment manufacturing and light industry. The agreement also seeks to encourage financial institutions in Jamaica and China to provide services, such as financing, co-financing and long-term insurance for bilateral cooperation in building production capacity. Jamaica is to benefit from increased investments in infrastructural development and

other critical areas, following the signing of an agreement with the People’s Republic of China. Through a Framework Agreement, both Governments will be collaborating on various production capacity and investment projects in the areas of construction and infrastructure, cement manufacturing, resource processing, equipment manufacturing and light industry. Welcoming the development, Mr. Samuda said it is “a signal and a manifestation of our mutual commitment to move forward together in a very constructive manner.” He noted that the arrangement will assist Jamaica in expanding its production capacity, unlocking financing opportunities and promoting investment in critical areas. Other areas for support under the agreement include the tourism and agricultural industries.

A national survey conducted in Venezuela in 2016 on the living conditions of Venezuelan households confirmed that Venezuela has become one of the poorest countries in the world and the poorest in the Americas. The figures show that 82% of Venezuelan households live in a condition of poverty, of which 52% are in extreme poverty and 18% are close to entering this category. In 2014, 51% of Venezuelan households were considered poor, 24.8% were in moderate poverty, and 23% were in extreme poverty. This ranking reflects the economic and political crisis currently affecting Venezuela as a result of the slump in oil prices and economic mismanagement by the government.

GRAND TURK: he ministry of health, agriculture and human services in the Turks and Caicos Islands (TCI) has advised that, during the period of February 17 - 20, 15 students and one teacher at the HJ Robinson High School in Grand Turk have reported symptoms consistent with dengue fever. Six of the students have tested positive for dengue, while additional results are still pending. Dengue is a viral infection that is spread by the bite of an infected mosquito. Common symptoms are a high fever accompanied by two or more of the following: headaches, pain behind the eyes, joint pains and muscle pain, nausea and vomiting, swollen glands and a rash. In more severe cases where the fever stays high one may experience severe abdominal pain, rapid breathing, persistent vomiting, vomiting blood and fatigue and restlessness.

By Derrick Scott gainst the background of moves by the Trump administration to deport undocumented ailens in the United States, an organization called "The Jamaica Diaspora Immigration and Deportation Prevention Taskforce (JDIDTPF) will be officially launched in the Bronx, on Friday February 24. According to attorney Joan Pinnock, who is also the North-East Diaspora Advisory Board member, the taskforce comprising twenty-one individuals including clergy, technology experts, immigration and criminal attorneys and social workers. The team convened four months ago with its main focus to educate Jamaicans in the diaspora about their immigration rights and the benefits of becoming citizens of their host country. Pinnock pointed out that there are over 3 million Jamaicans living in the diaspora USA, Canada and the UK - many of whom have been undocumented for several years and are eligible to apply for US citizenship yet have not done so. “Our mission is to help them become citizens of their host countries,” she noted. She further pointed out that Jamaican are the largest number of deportees from the United States yearly, with over twenty thousand deported within the last ten years.

By Michele Waslin IMMIGRATION IMPACT he Trump administration is quickly unraveling the last administration’s efforts to prioritize those for deportation who pose a serious threat over those who don’t. The new administration is ignoring priorities that were put into place by the Obama Administration as a way to manage limited law enforcement resources. The priorities recognized that there is a finite budget available for immigration enforcement, thus making prioritization important. The approach now being pursued by the Trump Administration casts a wide net and will result in an aggressive and unforgiving approach to immigration enforcement moving forward. The most significant indications of this shift came through the “Enhancing Public Safety in the Interior of the U.S.” executive order, issued January 25, 2017, which prioritizes for deportation those noncitizens who: • Have been convicted of any criminal offense; • Have been charged with any criminal offense; • Have committed acts that constitute a chargeable criminal offense; • Have engaged in fraud or willful misrepresentation in connection with any official matter or application before a government agency; • Have abused any program related to the receipt of public benefits; • Are subject to a final order of removal but have not departed; • Otherwise pose a risk to public safety or national security. In addition, unauthorized immigrants with no criminal history will likely fit under the third bullet because entering without inspection is a chargeable criminal offense (illegal entry or re-entry). And since the executive order states that many immigrants without immigration status or who overstayed their visas are a risk to public safety and national security, it appears the final bullet is a catch-all category for many others. In other words, the president has “prioritized” every-

one, which means in reality he’s prioritized no one, making everyone a target for enforcement. Furthermore, legal immigrants—even green card holders–who are convicted of aggravated felonies or crimes of moral turpitude could also be subject to deportation. Yet despite the more aggressive approach, it is still unclear from where the resources to identify, arrest, detain, and deport all of these individuals will come. For example, the U.S. is already over-capacity in detention, and immigration courts are seriously backlogged. In the past, the government has stated that budget realities make it impossible to remove everyone who is in the country without authorization or who is otherwise deportable. This meant the agency had to set priorities and focus on a subset of deportable immigrants. The Obama administration released a series of memos designed to prioritize those who pose a threat to public safety and national security and other categories of individuals. The Obama administration also created new priorities for the apprehension, detention, and removal of noncitizens. This was in response to the Secure Communities Program (S-Comm) and 287(g) program – both of which were partnerships between Immigra-

tion and Customs Enforcement (ICE) and state and local law enforcement agencies. Both programs put non-ICE personnel at the front lines of immigration enforcement. Local police were responsible for identifying and channeling immigrants to ICE for potential deportation. These programs had the stated objective of targeting dangerous criminals and persons who pose a threat to the community. However, researchers found that many noncitizens deported through these partnerships had committed only minor crimes and traffic violations. Some were charged with crimes and never convicted. Some people identified through S-Comm and 287(g) had no criminal history at all. Obama eventually replaced SComm with the Priority Enforcement Program (PEP) which further prioritized for deportation immigrants with serious criminal convictions. The Trump administration’s plans to erase previous priority memos, jump start 287(g) agreements, revive the Secure Communities program, can all have a serious impact on the number and types of noncitizens that are removed from the country. It opens the door to many more deportations and many more families and community members torn apart.

By Anthony Turner he Jamaica 4x200m women's team that included Venice Baker, Yanique Ellington, Ladonna Richards and Shavine Hodges stopped the clock at 1 minute 37.80 seconds to secure the all important gold medal at the 17th annual Armory Track and Field Invitational in New York over the weekend. The winning black, green and gold team easily defeated the second place USA team 1:38.19; BVI (3) 1:38.5 and France who came in fourth place in 1 minute : 43.84 seconds. The Canadian team was disqualified. Victory by the Jamaica female team follows the success of the Men's 4x200m team that set a National Record in the event at last year's Armory Invitational. Unfortunately the men's team did not compete this year as team member Romell Lewis strained a hamstring muscle on Friday night (Feb 3) in his 200m heat, while Ramone Hill, a member of the 4x200m pool, sustained a slight injury on Saturday (Feb 4) prior to the scheduled start of the event. "The ladies did themselves, the coaching staff and their many fans proud by winning a very competitive an exciting race in a smart time of 1:37.80 running out of lane 6" Team Manager Louie Grant said after the event. "Unfortunately their male counterparts of Andre Clarke, Rayon Lawrence, Kevahn Rattray and Ramone Hill were unable to defend their title or try to lower the national record because Ramone sustained a slight injury during warm up, mere minutes before taking the track. Grant said the plan for next year is to invite select high school teams from Jamaica and the Caribbean for the 18th staging. This he noted would provide valuable experience for young athletes from the region.

‘Three-Fifth Clause Awareness Day’ for March 5 O n Sunday, March 5, 2017, the City of New York will observe for the first time “Three-Fifth Clause Awareness Day.” As a part of this observance a special program will take place at 3 P.M. at The Schomburg Center for Research in Black Culture, 515 Malcolm X Blvd, Manhattan. The Three-Fifth Clause (Article 1, Section2, of the U.S. Constitution of 1787) was demanded by Southern supporters of slavery as a way of increasing their congressional representation and political power. They wanted slaves to be counted as full persons but settled on three-fifths. People of African descent would have had no real rights either way. The three-fifths clause was enforced until the post-Civil War 13th Amendment freed all enslaved people in the United States, the 14th amendment gave them full citizenship, and the 15th Amendment granted black people the right to vote. However, the “three-fifth clause” language was never removed from the Constitution. Last year, Council Member Andy King introduced legislations in the City Council calling on the federal government to add an amendment to add language that directly negates the Three-Fifth Clause by stating that African-Americans are 100 percent whole individuals and declare March 5th as “Three Fifth Clause Awareness Day” in New York City. What You Need to Know

Expecting a refund? Some refunds must be held until February 15. According to a new tax law change, the IRS cannot issue refunds before February 15 for tax returns that claim the Earned Income Tax Credit or the Additional Child Tax Credit. This applies to the entire refund, even the portion not associated with these credits. The IRS has begun to release taxpayer refunds for those claiming the Earned Income Tax Credit and Additional Child Tax Credit. However, these refunds likely won’t start to arrive in bank accounts or on debit cards until the week of February 27.

What You Need to Do

Be careful not to count on getting a refund by a certain date, especially when making major purchases or paying other financial obligations. You don’t need to wait until February 15 to file your tax return. While the IRS must hold the refund until February 15, it will begin taking the steps it normally does to process your tax return once the filing season starts. File a complete and accurate return and include all known refundable credits with your original return. Check Where’s My Refund on IRS.gov or the IRS mobile app, IRS2Go, after February 15 for your personalized refund status.

Use IRS Free File Software on Smart Phones or Tablets

T

he Internal Revenue Service today announced that taxpayers now may use their smart phones or tablets to electronically prepare and file their federal and state tax returns through IRS Free File. The IRS and its private-sector partners who offer their brand-name software products for free now support a new design that allows for the use of desktops, laptops, mobile phones and tablets. You may access the products using mobile devices in two ways: (1) Use the IRS app, IRS2Go, which has a link to the Free File Software Lookup Tool or (2) use the device’s browser to go to www.IRS.gov/freefile and select the “Free File Software Lookup Tool” or “Start Free File Now” to find the software product that matches your situation. The IRS2Go app is available for Android and iOS devices. Taxpayers with adjusted gross income of $64,000 or less will find one or more free software options. Each of the 12 software providers set the eligibility requirements for their product, generally based on age, income or state residency. The Free File Software Lookup Tool asks a few questions to help you identify the appropriate software products.

Cruz’s indelible mark

ating is a very good learning experience. You find out what you like and don't like in potential mates, and you also get to know a lot about yourself. The search for love can be frustrating, though, and sometimes, you’ll find yourself wanting to overlook certain qualities in order to finally end the search. But, as someone who has dated my fair share of men, trust me when I say that none of the following types are worth putting up with. Some of these may seem very obvious, but even the smartest of women sometimes gloss over the red flags: 1. The Jekyll-and-Hyde Drunk When you first meet a guy like this, you feel so lucky to have found someone creative, interesting and smart. He is on his best behavior, but because past friends and lovers have told him his drinking is sometimes problematic, he keeps it to a minimum around you. Once he gets comfortable, though, he allows himself to get drunk because he just wants to have fun like everyone else. That's when the monster comes out. Suddenly, this guy is spewing the most hateful, nastiest things you've ever heard. He doesn't even seem like the same person. I know what it's like to want to try and fix this broken person, but it's not worth your patience and sanity.

2. The Alcoholic is very different from the Jekyll-and-Hyde Drunk. The Alcoholic is a person who usually keeps it together and rarely acts irrationally. But, this is because he is always self-medicating. His issues emerge when he’s sober, so he would rather just block that all out and numb anything that resembles feelings. You wonder if you've ever hung out with him when he’s sober. Sometimes, you don't even notice his drinking because it's so normal for him. He rarely drives anywhere and always wants to end the night at his

He insisted they were “on a break,” or things were so bad with his girlfriend that they were definitely breaking up anyway, so it was fine. You knew it was wrong and you didn't want to do it, but your heart just couldn't help it. He was just so charming and enamored with you. Once this guy gets you hooked, you think you’re the right person for him, and he and his ex were wrong for each other. You were both attracted to each other by the universe and it was meant to be. Get real. He’s probably going to cheat on you, too. He’s constantly making excuses for his behavior. Proceed at your own risk.

The Controller - This guy constantly makes you feel bad about everything: what you're wearing, how much makeup you have on, how you do your hair, what you eat, etc. He belittles your intelligence and questions every idea you have. He doesn't support what you do and makes snide comments about it regularly. He gets jealous frequently, always wants to know where you are and what you're doing. He's probably also a misogynist, though he would obviously never admit it. I have never dated this type because there is no way in hell I could put up with someone doing that to me all the time — but my friends have. Their boyfriends made them feel so small and insignificant that they ended up changing so many of their unique qualities just for this assh*le.

Can I incorporate nationally?

No. There is no mechanism in the United States to incorporate on the federal level. A company interested in incorporating (or forming a partnership or limited liability entity) must contact each state's licensing authority individually.

What is a business corporation? A business corporation is a legal entity separate and distinct from the individual(s) who compose the business. It has rights and abilities similar to those of a natural person. Principal features are perpetual duration, limited liability and easy transferability of interests. A corporation may be formed for any lawful business purpose or purposes. The Department of State cannot offer advice about the choice of business formation and strongly recommends consulting with legal and financial advisors before making the decision.

How do I form a business corporation? A business corporation may be formed by filing a Certificate of Incorporation pursuant to Section 402 of the Business Corporation Law. The Department of State has prepared instructions intended for use by first-time domestic incorporators. It includes answers to commonly asked

questions, names and addresses of other government agencies that a corporation may need to contact, instructions for completing a Certificate of Incorporation, tax information, and fee information.

Are There Any Special Responsibilities Associated With Forming a Corporation? The existence of the corporation begins upon the filing of the Certificate of Incorporation with the Department of State. After the corporate existence has begun, an organization meeting of the incorporator or incorporators must be held for the purpose of adopting by-laws, electing directors and transacting any other business. (See Section 404 of the Business Corporation Law.) The initial bylaws of a corporation are adopted by its incorporator or incorporators at the organization meeting. The corporation is required to keep correct and complete books and records of account and must keep minutes of the proceedings of its shareholders, board of directors and executive committee, if any.
