From the Editor: PROVING THAT the African gambling landscape is as vibrant as ever and abounds with business and development opportunities, the recent 2nd edition of Africa’s largest gambling trade show - ICE Africa - showed tremendous growth as it drew the continent together in Johannesburg, South Africa in early October. Pre-registered delegates from a total of 29 African nations passed through the doors at the Sandton Convention Centre following the opening of the second edition of ICE Africa and the ribbon- cutting ceremony was attended by some of the industry’s leading dignitaries, signalling the beginning of the annual two day event which served as a platform for 72 exhibitors and provided 15 hours of targeted learning delivered by a talent pool of over 60 thought leaders. Speaking at the opening, Kate Chambers, Managing Director of organiser, Clarion Gaming welcomed attendees and stated: “When Clarion Gaming was asked to create and organise an event for the industry in Africa our vision was to help establish the foundations for future growth. In other words we weren’t simply concerned with staging an event which satisfied short term objectives. Our aim was to work with existing stakeholders and to use the influence and reputation of the ICE brand to help create a sustainable and successful future within an environment in which we could bring together the international industry’s most respected thought leaders alongside the innovators whose products and services make this sector so dynamic and exciting. ”She continued: “There’s no doubt that ICE Africa has developed and grown to be an invaluable focal point for the industry, providing a professional meeting place for the a-z of gaming on the continent. Africa’s Tallest Building to House 24-Hour Casino A group of foreign investors led by Italian bil ionaire Franco Rosco are pushing forward plans to set up a 61-floor luxu y hotel-cum-residential project in Malindi, Kenya, that wil ultimately be Africa’s tallest building. The mixed-use development, to be known as Palm Exotica, will feature tastefully furnished residential suites, eclectic restaurants and a vibrant 24-hour casino, a good feature for coastal entertainment. Each intuitively designed floor plan, from studios, Presidential suites, exclusive Sky Apartments and Penthouse apartments are fitted with modern appliances and tasteful furniture. Floor-to-ceiling windows and expansive balconies will have uninterrupted views of the vibrant blues of the Indian Ocean and emerald tropical treetops. Phumelela Gaming and Leisure Faces JSE Suspension South Africa’s largest horse racing operator, Phumelela Gaming and Leisure, is facing suspension from the JSE after it failed to submit its provisional report within the threemonth period stipulated in the JSE’s listings requirements. “Accordingly, the company’s listing on the JSE trading system has been annotated with an ‘RE’ to indicate that it has failed to submit its provisional report timeously and that the listing of this company’s securities is under threat of suspension and possible removal,” the JSE said on Friday last week. THE JSE said that if Phumelela still failed to submit its provisional report by the end of November, its listing might be suspended. However, in its trading update towards the end of last month, Phumelela informed its shareholders that it would release its results for the year to the

end of July by November 29. “Shareholders are advised that the company is in the process of finalising results for the 12 months to end July, which is taking longer than anticipated. As a result, it is now expected that the audited results will be released on SENS on or

before November 29,” Phumelela said in a trading statement. In the expected results, Phumelela said it was expecting to report a basic loss of between R80million and R100m, compared with a basic profit of R155.1m reported a year earlie .

Gambling Board CEO Elected Vice-President of IAGR At the recently-held conference in Montego Bay, Jamaica, the Chief Executive Officer of the Eastern Cape Gamblin Board, Mabutho Zwane was elected as Vice-President of the International Asssociation of Gaming Regulators (IAGR). THIS CONFERENCE was hosted just after the Eastern Cape Gambling Board had hosted a very successful conference of the Gaming Regulators Africa Forum (GRAF), in which the effects of the Fourth Industrial Revolution on the gaming industry across Africa were discussed. IAGR works to advance the effectiveness and efficien y of gaming regulation throughout the world and provides a forum in which gaming regulators from various countries meet, exchange views and information, and discuss policy issues. In addition, IAGR creates a means of fostering cooperation between gaming regulators in the

performance of their official duties and is a central point of contact for inquiries from governments, gaming regulatory agencies and personnel, and representatives of the international gaming industry. “This comes at a time when the Board has just received its 5th consecutive clean audit outcome fron the Auditor General South Africa and we really hope that our efforts will come in as added advantage in advancing gaming regulatory work,” said Zwane. Adv. Mayosi, the Chairperson of the Gambling Board congratulated Zwane on his election and

emphasised the need to continue improving the gaming regulatory work and having a representative in an international platform will surely go a long way in ensuring that we do just that. Zwane’s election puts him in a position to be at constant engagement with international regulators and will expose the ECGB to benchmarking opportuinities and be able to share knowledge and gain insight on industry trends, especially during this Fourth Industrial Revolution which is bringing with it a lot of changes and opportunities for innovation for regulators across the gaming sector.

Fifth Casino Licence for North West to Go Ahead After Failed Constitutional Court Appeal by CASA The North West Gambling Board has welcomed the decision by the Constitutional Court to dismiss an application for leave to appeal by Casino Association South Africa (CASA) on a decision to allow a fift casino licence for the province. “THE BOARD has always maintained that the decision by the then Minister of Trade and Industry, Dr Rob Davies to re-allocate the fifth casino licence was the correct one and the apex court has since vindicated the Board in that regard,” said Acting Chief Executive Officer of the North West Gambling Board, Mr. Jacob Montshioa. The Casino Association of South Africa (CASA) had argued that the allocation of the fifth casino license will result in the proliferation of the gambling industry. This according to CASA will

JUDGE DAVID Unterhalter dismissed the case with costs on Monday. HCI had sought to get an urgent interdict allowing it to access Ithuba’s financial statements over claims involving overpayment of fees to Ithuba’s management company, Zamani. Ithuba CEO Charmaine Mabuza is a shareholder of both Ithuba and Zamani. HCI, in its court papers, had argued that Zamani had been paid management fees of 4.67% of Ithuba’s gross revenue, and that it was entitled to only 3%. The company had also sought an order directing Ithuba to pay its monthly management fees into an attorney’s trust account. This was done so that the salaries of Ithuba’s employees would paid by Zamani, and not by Ithuba. In 2014 Ithuba won the bid to run SA’s lottery operations for eight years. HCI loaned R341m of “establishment” capital to Ithuba so that the BEE company would be able operate the lottery, HCI CEO Johnny Copelyn said. The loan agreement included certain terms that would kick in if the loan were repaid before its full term, including management oversight and a 1% management fee, he said. Judge Unterhalter ruled that HCI could in future exercise its right of management oversight over Ithuba, which included the payment of a 1% management fee but required regulatory approvals that had not been granted. “I find that since Hosken Consolidated Investments cannot presently exercise its right of management oversight, it has no claim to payment of the 1% fee and no claim upon the management fees that Ithuba is currently paying to Zamani,” he said in the judgment. He said HCI had not shown that Zamani was not entitled to the 4.67% fee. Mabuza said HCI had no leg to stand on after its loss in court and that the licence ran until June 2023.

“Ithuba is keen to put all of HCI’s bullying antics behind it and run the lottery, which is what it has been mandated to do. HCI’s loan has been paid back in bank guarantees and, as a funder, we believe they have no rights to the business,” said Mabuza on Tuesday. Copelyn said the award showed HCI still had a case which would be heard in March next year. “This week’s decision by the Honourable Justice Unterhalter is merely one declining to grant us interim relief pending the hearing of the matter in March next year,” he said. “The arbitrator’s award is very clear. It says they owe us R166m in capital plus interest thereon at agreed rates until the end of the contract. It says we were completely justified in exercising our right of oversight from April 2016 and that Ithuba must pay us the agreed fees for oversight from that date as soon as we have complied with regulatory requirements,” he said. In March the court will consider whether there is any reason not to make that award an order of court, Copelyn said. He said there was nothing in the current judgment which suggested the court had any thought that there was something wrong with the award and HCI “has every expectation it will in due couse enforce the award.” HCI may not need to merge with Ithuba in order to get oversight over Ithuba. “From there we have a single issue in dispute: namely whether a ‘merger’ is required to exercise ‘oversight’. We do not believe this is the case but even if we are wrong there will come a moment where the competition authorities have finalised the merger issue and we believe payment cannot be avoided even if it is delayed,” Copelyn said.

ICE Rides The AI Wave Tom Learmont sampled the offerings at ICE Africa 2019 THE CONTINENT’S casino interests converged on Johannesburg in early October to talk business at ICE Africa 2019. And the overall impression was that of a resounding success, as Gaming for Africa roamed the aisles in search of newsworthy exhibitors. First call in a crowded hall was to the GLI stand, where Devon Dalbock answered our questions about trends. He’s the man to ask about the near future, because the GLI Africa labs are busy testing gound-breaking approaches to the world of chance. Last year, there were two exhibitors with products based on blockchain, but this trend seems to have been a flash in the pan

Devon said there are two main trends this year. “Artificial Intelligence is the next big thing – with systems that learn from players’ preferences and habits. Police Pounce on Chinese Foreign Nationals Dealing in Illegal Gambling The South African Police Service working hand in glove with the North West Gambling Board recently pounced on Chinese Foreign Nationals who are alleged to be running a cartel of illegal gambling machines. The operation which was spearheaded by the Hawks led Police to a house at Danville township in Mahikeng in the North West province. OVER FORTY illegal gambling machines were confisc ted by police. One Chinese Foreign National was arrested. Acting Chief Executive Officer of the North West Gambling Board, Jacob Montshioa says, there are over 60 illegal gambling operations in the province with Bojanala Platinum district, which is the province’s economic hub leading the pack.

“The Gambling industry in the North West loses millions of rands in Gross Gambling Revenue due to illegal gambling. We are happy that our efforts in dealing with this scourge are yielding desired goals,” Mr Montshioa said. Over four hundred and seventy million rand in Gross Gambling Revenue is lost by the industry as a result of illegal gambling. While government loses over forty million rand in taxes and levies. “We will continue to intensify our efforts in ridding the province of illegal gambling operations. The support from the South African Police Service has been enormous and we appreciate it. We further urge our communities to report these operations to police,” Mr Montshioa said. Mr. Montshioa further says not only are these operations thriving on illegal gambling but there are other criminal activities happening there. “We have got a reason to believe that these operations do not pay tax. There is money laundering. And over and above that there are human trafficking cases that have been reported to the police. That’s how sophisticated illegal gambling is,” Mr. Montshioa said.
