EDITOR'S LETTER Welcome everyone to another fabulous June-July edition of Samui Phangan Real Estate Magazine. It’s been a great April-May and although Samui and Thailand in general have been going through a rather hot phase we’ve had the New Year Songkran water festival to help cool us down and April and May are famous for all the bank holidays, 7 extra days this year. Koh Samui and Koh Phangan are steaming ahead at the moment and it’s at long last not the bulk of real estate activity that’s making headlines but the 6-star standard that is pushing forward and making the islands not only your tropical dream come true but a place where all amenities can be found. Just as we are preparing our next edition for print we’ve had the very sad news of the passing away of John Birt MD from Samui Villa & Homes. John Birt was a true ambassador for Samui and fine gentleman who always would make time for a word or two or advice if it was needed. He was one of the pioneers of real estate on Samui and we’ve known John from long before we even started the Samui Phangan Real Estate magazine He was a father figure and mentor to all of us that knew and had the fortune to be able to work with him. He will be sadly missed by us all and our thoughts and prayers go out to all his family and friends. RIP John you will be missed but not forgotten.

Small Change Big Impact Exterior Home Renovation If you're looking to enhance your homes outdoor appeal, nothing works better than revamping your home’s Thai exterior. Since of course it's the first thing visitors will see, it will make or break that all important first impression. The outside of your home often reflects the overall style of the interior and says a lot about the family that lives there; so if you’re not putting out the right vibes, it might be time for an overhaul. Whether you’re leaning towards wood, stone or brick, make sure your materials, colours and overall exterior design represent who you are and what you like. There’s no doubt that jumping into a complete Zen home exterior beautification can be rather daunting, so think about these tips before you take on too much. Renovating Thai home exteriors is no different than modernizing interiors; both need careful consideration of all the elements involved. If you're starting from scratch, you must first decide which style of architectural design you prefer. There are several different design styles to choose from, so do your research and establish which is best for you and is fitting for your space and local environment. Okay, now it's time to think of materials and colour. Your total style will help guide these choices, but your personal taste and making the home more sellable at a later date should also not be forgotten. And last but not least make sure you add some personal touches, as this is your home and should be an extension of yourself and your panache.

Which styles of home exteriors would be right for me? Whether you're a traditionalist, minimalist or trendsetter, there is an architectural design style that will work for you. If you like an old-fashioned British look, consider a Cape Cod or maybe even a Queen Anne or go for a Colonial Restoration home. For lustrous, modern exteriors, think about a Prairie style, art deco, modern or midcentury design. Otherwise, if you want your home to have local character, go with Mediterranean, Old Greek or Thai Asian Tropical. In the long run, think about location, planned character, budget and current home layout before making any final decisions.

Exterior home materials and colours - what should I use? The materials you end up using are often determined by the overall style of the house. Traditional homes use more brick and wood, while stone and metal siding are popular contemporary options. Although there is some leeway in the materials you use, be sure it accurately reflects your overall design. Budget is also a factor as well. Using locally sourced materials will make it all more an affordable option, while imported options can be a large financial outlay. Maybe you’re not quite ready for a complete renovation, you can easily change a few exterior lines and paint some new colours and still come out with something special. Thinking of colours and styles, try to pick a neutral primary colour, like grey or brown. Let there be Light The Art of Lighting Design

Gone are the days of a single light bulb in the center of the room! Lighting has become incredibly sophisticated in recent decades, with more people moving towards automated lighting systems and with light bulbs themselves being upgraded substantially from the inefficient halogen bulbs to the long-ife, more environmentally friendly LED’s. There are a few rules of thumb to creating the perfect lighting in your home or business – • You should have a mix of light sources at different levels to create a flattering ambience when entertaining and relaxing • You need appropriate task lighting for whatever you do in that space - whether it be reading, cooking or getting ready for a night out • If you have amazing furniture items, artwork or architectural pieces, use some accent lighting to get them noticed!

All rooms need a variety of lighting: ambient or background lighting, task lighting for close-up work or accent lighting to highlight special features. You can always update a room and improve the atmosphere with good lighting; equally, nothing makes a room feel dated and unwelcoming like bad lighting. Think about how you will be using the room before you start to decorate. What is the main purpose of the room? Where will your furniture items go? Who will be using the space? Ambient Lighting Use a combination of table lamps and floor lamps, some with a downward glow and some that shine upward. Allow for reading in as many seats as possible. You can install floor sockets underneath tables or free-standing furniture, to avoid unsightly cords. Recessed ceiling lighting will offer a soft glow to create a romantic mood in your space. General lighting such as downlights are used to adequately light every room as required, but put these lights on dimmers to enable you to change the lighting to suit the mood or task. Use decorative lighting such as chandeliers or pendant lights to feature a space (or they can be a feature themselves!), and use indirect lighting around the rest of the room to develop a relaxing and flattering light for you and your guests. **Style Tip** Soft light like candles, fairy lights and fire features create a gorgeous, warm, ambient glow to any room or outdoor space.

Task Lighting Task, or work lighting focuses on smaller areas where more intense light is needed. Task light should be three times as bright as general lighting. Overly bright work lamps won’t make up for a dimly lit room. Good task lighting fixture choices are well-positioned recessed lights, track lighting, pendants, table or floor lamps, and under-cabinet lighting strips. Focus on overhead lighting to illuminate work surfaces such as kitchen benches and vanities. Use pendants, under-cabinet lights, or a table lamp to highlight study or reading locations while maintaining a relaxing and attractive, task oriented space. Accent lighting Accent lighting adds brilliant shimmer to make your precious objects, paintings, sculptures, and outstanding architectural features highlighted. Ensure the lights are fixed in a point where they won’t be blocked or shadowed by passersby. Track lighting is brilliant if you are one to move items around or have changing feature pieces. This will enable you to highlight your works of art perfectly. **Style Tip** Use ‘Warm White’ light bulbs rather than iridescent blue toned light for ambient lighting and no brighter than ‘Daylight’ for task oriented lighting. Estate Planning in Thailand While lying on the beach enjoying the beautiful island weather, most international residents and frequent visitors think they’ll live forever in paradise. Many of these residents and visitors also own significant assets in Thailand including vacation houses, shares in landholding corporations, and long term leases over land and apartments. Unfortunately, planning for what happens after we are gone is extremely important to ensure that our heirs are entitled to the investments made in Thailand. In this article we will discuss the importance of having a valid will in Thailand, outline the requirements for creating a valid will, and outline other tools beneficial for estate planning.

The Consequences of Not Having a Valid Will Without delving into the details of intestate succession, if you die in Thailand without a valid Thai will, your assets located in Thailand will be distributed in accordance with Thai law. This means that if you do not have a valid will in Thailand, then upon death, all of your assets located in Thailand will be distributed according to a scheme set out by Thai law and not according to your wishes. That scheme will distribute your estate to the following classes, in the following order: 1. 2. 3. 4. 5. 6.

Children Parents Siblings Half-blooded siblings Grandparents and Uncles and aunts

Generally speaking, so long as there is any person alive in a particular class, the persons in the lower class will not be entitled to any share of your estate. However, as an exception, if you have both children and parents alive at your death, then your children and your parents will share equally in your estate.

In addition, valid spouses are entitled to share in an estate. Generally speaking, the following rules apply to a spouse’s entitlement: 1. If one dies leaving children, or children and parents, then his/her spouse will share the estate equally with both the parents and children. 2. If one dies leaving parents, but no children, then his/her spouse will be entitled to one-half of the estate, and those parents will share the other one-half of the estate. 3. If one dies leaving siblings, then his/her spouse will be entitled to one-half of the estate, and those siblings will be entitled to share in the other half of the estate. 4. If one dies leaving half-blooded siblings, grandparents, or aunts/uncles, then his/her spouse will entitled to two-thirds of the estate, and those half-blooded siblings, grandparents, or aunts/uncles, as the case may be, will be entitled to share in the remaining one-third of the estate. However, one must be legally married to his or her partner before that partner is entitled to share in the estate. It is not sufficient that one has undergone marriage ceremonies and/or cohabitated with a partner for an extended period of time. In other words, without a valid will, common law spouses are not entitled to any portion of one’s estate. Based on the foregoing, it is clear that the distribution of your estate according to the law in Thailand is quite complex and rigid. If you want to avoid the above scheme, you must execute a valid will. Fortunately, with the assistance of a legal professional, it is relatively straightforward to execute a valid will. Also, the law in Thailand allows you, as the maker of your will (the “testator”), ample freedom and discretion to distribute your estate as you please.

Creating a Valid Will in Thailand Subject to certain exceptions, a valid will in Thailand must be (1) in writing, (2) dated, (3) signed by the testator, and (4) witnessed by at least two people. The contents of a will generally specify how your remains will be dealt with, how your property will be distributed, and who will act as your “executor”. An executor is the person who takes the necessary steps to liquidate and/or distribute your assets as directed in your will. It is crucial that the testator carefully select an executor who is willing to assume the sometimes overwhelming responsibility inherent in the job. Often, the executor must come to Thailand, liaise with lawyers, and execute an array of documents necessary to transfer property. While this process is relatively simple, you should retain a legal professional to draft your will. The law pertaining to the interpretation and effect of wills is complex, and requires adherence to specific language. Retaining a legal professional to draft your will essentially acts as insurance protecting your testamentary wishes.

(cash buyer/payment plan/need bank finance/etc.) • Am I taking any financial risks by purchasing now? List all the potential risks, then rate & evaluate.

Information & communication are essential in finding the right property

Perhaps you should also consider finding out the variety of ways you are able to pay for your intended purchase. Buying the right property takes many ways & skills which are not hard to learn at all. For example, if you are a cash buyer and you acquire the knowledge that the seller is willing to offer an extended payment plan or vendor finance. If you find out this information before you start to negotiate you can use this knowledge & your buying power to your advantage and negotiate a much lower price by offering cash. A good real estate agent should be able to acquire this sort of information for you but you also need be asking the right questions. Its actually your responsibility to ask as much questions as possible and at the same time provide your agent with some of the answers to the above questions so that he/she become more aligned with your future investment goals. So create yourself a check list of what to look for and what to ask.

Criteria for buying the right property

Once you have covered the above questions, you must then list your needs, wants and don’t wants. Purchasing the right property that suites your personality needs is very important in the long run. If you need a big pool don’t settle for a small condominium project just because you were recommended a property at a bargain price that’s hard to resist. See what’s available in your price range and what features/facilities they offer. Always go for a project with the best facilities. Imagine buying a property for $50,000 and getting with it a simple backyard or maybe a $1,000,000 backyard. That’s how I see the the affordable themed resort style projects in Samui and Phangan. They are very affordable to buy and they all come with a $1,000,000+ backyard. Maybe you can get a condo with a sea view in your price range? Too often I hear buyers say: I didn’t really care about having a lots of facilities or a sea view and even though it’s with in my price range they are not a part of my criteria. Wrong, very wrong!! Over 60's Property Finance in Thailand

To live, work or spend a retirement in Thailand is often the goal for many who dream about that “Place in the Sun”. Whether it is the Thai food, the beaches, the turquoise waters, the lifestyle & conservative approach to daily chores or even just that sheer beauty of the country with its extensive network of luxury hotels & inspiring national parks, something may trigger a desire to relocate to Thailand or more specific, relocate to our tropical islands of Koh Samui & Koh Phangan. From home creature comforts and into the land of the unknown, Thailand can either turn out to be the most amazing place you may encounter or… on occasions quite the opposite.

at the same time enjoying daily life.... to then… more experienced & senior citizens whom may have a wealth of experience not just in Thailand but around the globe, I have come to notice that the elder often simply wish to enjoy their life whilst at the same time remaining in a financial security. The more senior may also no longer have that regular monthly disposable income and often their hard earned cash is locked up within a business, pension or property with minimal monthly and more irregular, income/dividends. It is this type of irregular income or overseas asset wealth, which a Thai bank may struggle to accept as proof of income, should one consider to take out finance on a property.

Amazing experiences could mean, an encounter through due diligence or, by luck or by chance, contact with the right network for whom to do business with. The option is still available to pick friends and acquaintances from scratch, particularly if upon arrival there is not one person that you know or had dealings with before. Choosing those new contacts wisely will certainly help steer the direction for a successful future life in Thailand.

A recent example to work with had been where a 66 year old had retired from work and no longer drew a salary from the company for which had owned over the past 20 years. In effect for the past 6 years, there was no regular income from employment or pension and had simply property assets around the globe for which to use for personal and extended family use, at different times of the year. Thailand as it happened was the favourite during January - April due to the lower temperatures at that time of year. Whilst the client had retired from employment, as an owner of the company, an annual dividend was still taken which would total around THB 6,000,000 and be deposited onto an

offshore bank account. When going to approach the banks, at an age of 66 this was the first obstacle. The second, there was no monthly salary or income with the money earned and it came from overseas, deposited first in the French Polynesia Islands, a place not even heard of by many staff and the paperwork is written in French… illegible for the average Thai language bank employee. Declined. The prime beachfront pool villa which was a planned retirement home had recently been reduced in price and our client was short by 30% (THB 12,000,000). In order to complete the deal, it was essential that THB 12,000,000 would be available on day 1 to help purchase the property and that there would be no monthly installments, it was preferred for an annual lump sum principal payment allowing to utilise the annual dividend which was paid out thus in turn would reduce the loan principal ultimately paying off the loan. Seems like a good deal for a lender-pay 30% and secure a property worth much more and if the client disappears, well the lender can sell the property at a profit, and of course, interest would also still need to be paid. In order to submit the case for approval, the first thing a collateral based lender may require is the following: • Google Map link – To show where the property can be found. • Chanote/Title Deed – To show clear and transparent ownership of the land. • Recent Photos – To show the current condition of the property. The reason to suggest a collateral based lender is that this way, the lender at first is not so interested in the clients ability to repay the loan and more interested in the liquidity of the collateral. To consider a worse case scenario of the client having an inability to repay the loan, if the lender is stuck with a well conditioned and decent location property, it is far easier to shift again than perhaps a substandard and poor location home, which few would actually buy. First try to hook the lender with the above 3 items and then if acceptable, can follow up with the personal details and bank statements etc. as after all, If the collateral is of no interest to the lender, than usually it makes no difference how well the client can pay the loan thus in turn will save important time for both the client and lender. Once the collateral based lender is happy with the property, the next thing to consider is the paperwork. Most financial institutions in Thailand will accept either Thai or English translation documents. If Chinese, Russian, Arabic or French etc. than some of paperwork is likely to be require for translation. It is worth it to clarify which document, as rather than pay a third party for 12 months of bank statements to be translated, perhaps

just the first page with the headers could be sufficed as the rest, of which has any importance on a statement, is usually just numbers. The next thing to consider is the ability to repay. Of course the lender may only be lending 30% on this example but ultimately, they are likely to not want a property portfolio, they would most likely prefer to make profit on interest income rather than building a portfolio of property, which is likely to take much more maintenance and cost to uphold the collateral ready for a premium sale. A paper trail within the loan pack to show evidence of ownership within a company or current assets, are good to show as credibility to the lender. If an annual dividend is paid, than the certificate and bank statement entry to show payment is also of significance since confirms an income, albeit that may be irregular. If income is irregular than a traditional monthly capital plus interest loan is likely to be inconvenient or even unaffordable. If made clear within the pack at the start income was annual, than could be better to set up similar to an interest only Mortgage, with payments collected annually & upfront, rather than monthly. While we could go much more in depth here and fill this magazine issue, in summary, an over 60’s application is worth it to consider. There is likely a higher probability of different solutions to approve the finance package. A straightforward Mortgage or Kai Faak is the standard, though understanding a client’s need may point to another direction and happens more often than not, for the over 60’s market segment. Another couple items not discussed here yet is for 1, a will! A legal adviser may suggest that a Thailand based will is registered to ensure the asset is handed over to an estate correctly as if the property was accounted for in an overseas will, it may not be recognised by the court of Thailand, thus pointless and ultimate ownership could be lost from the true and intended recipient. The second item is life insurance. Could the executor of an estate maintain loan costs from day 1 upon death or, will the account go into default incurring legal process and procedures which in turn increases costs and possible loss of the property to the estate. A simple life policy registered in Thailand accepted by a lender, which upon submission of the death certificate pay’s out, will ensure the property goes into an estate without any encumbrances and legal headache for the executor. Finance is available; it just needs careful attending too during the life of loan by a reputable lender. Whether it’s breakfast on the courtyard, lunch in the pool dining sala, dinner indoors, or afternoon crepes and waffles on the pool deck, you’ll be well taken care of. All bedrooms have en-suite bathrooms, and are furnished with crisp, white linen, curtains as well as wooden shutters, air-conditioning and interesting bedside lighting. Polished concrete floors are cool underfoot, and Crete-stone walls add to the rustic Mediterranean feel. The calming, simply furnished bedrooms with their private terraces and seating areas, offer places of solitude to unwind away from the communal areas. Situated below the main house, taking centre stage in the garden, and boasting exceptional sea views, the expansive infinity pool is sunken into a wooden deck, and is flanked with plenty of sun-loungers and deck chairs. To one side lies a pool bar, along with a separate dining sala, and to other side, a covered pool lounge offers shaded seating to enjoy calm resting or movie watching with video projector and 3m widescreen. The pool terrace, with its many seating areas, makes an ideal place to gather in the day as a group. Claudio Cerquetti Vision & Fantasies Claudio Cerquetti, Managing Director of Fantasy at Work is one of the busiest and most distinguished photographers in Thailand. Friends and business partners for over a decade with Samui Phangan Real Estate Magazine we were fortunate enough to catch up with Claudio for an interview for the magazine and take that secret peek into the life of this successful photographer.

Claudio you have been a long term resident of Koh Samui and a well-respected and professional photographer in Asia for many years. Could you tell us briefly about how you first came to Asia and when you started your career? After 33 years working in Italy with professional photography for architecture and a publishing business I begun also working in Japan, the country where I go more often for various activities. I used to spend my holidays in Samui, this is going back 16 years ago. Lamai Beach, in particular, reminded me of a Caribbean Island where I had previously lived and worked many years before. Associating with good prospective business, lovely climate and in general a high quality of life, I have made my move again.

It is very obvious that you love your work, all your work is done with your very special Italian passion that shows in all details, where does your inspiration come from? Confucius apparently said “Choose the work you love and you’ll never work a day in your life”. Photography for me is the celebration of vision and then also a celebration of life. Inspiration is created by a coincidence of circumstances: it is made by the interaction of memories and present reality, which ignites a feeling of “being in the presence of beauty”. And when you begin to shoot, you create first the picture inside yourself and technique makes it come true. Technique is the bridge from an inside world of visions, from deep within the photographer’s brain, and the external world that everyone can experience.

What would you say makes a good picture stand out from the rest? When a person browses through my portfolio and holds on for one more second just to look at a specific image, ...that is “the one” which stands out from the rest. The key is combining together several beautiful stereotypes, keeping in mind fashion and the evolution of the buyer’s tastes along the years. Talking about myself and not strictly about profession, the photos I like the most are the ones which were part of a multi-sensory experience I have had in that specific moment, which involves other senses, such as a sound or a smell, the breeze on your face or the salty water in your mouth. It is a very subjective and intimate sensation which makes the shot very amazing and emotional sometimes, just for me, evoking a personal full-framed memory… often probably absolutely meaningless for other viewers.


Which style of photography is your favourite and do you have one photo session that stands out from the rest over your years as photographer? “Anantara Angkor breakfast sales shot”, for the luxury market, in a remote top of a hill near Angkor Wat, in Cambodia: setting up the shot directing 11 people, working in pitch black in the middle of nowhere just to create an emotional “vision” to sell a product, two hours before sunrise. The result is an alchemy of “blind” and hyper effective team work mediated by the photographer and superimposed to his mind preview. Unforgettable for me. Less for the viewers and the staff, probably. You can find it on my website. So many years and so many 1,000’s of photos is there one that stands out in all this me? Yes, an ant a millimetre long, drinking from a drop of water on a flower petal. It taught me so much in terms of photographic technique that I am so grateful to that small being for all what happened after that shot. What has the advance in digital photography made on your work? Working in Thailand for the worldwide market, with high speed delivery of retouched images would not be possible without digital imaging. Locations and weather conditions seem to be a crucial aspect to a successful picture. How do you handle these unpredictable factors especially on an island like Samui? Just keeping on coming back on site until the weather conditions re-establish. And co-ordinating the work of villa managers, gardeners, housekeeping and engineering departments, that need to prepare the place to be presentable for a shooting after a thunderstorm, for example.

Do you have one special Claudio photography secret that you would share with our readers? Yes: make it hard, take is absolutely seriously. I always prefer to undertake the most complex and challenging technical path. The longer and more detailed approach, really pays. It is the most critical and time consuming, but it is the only way for me to create a winning shot which my clients really find usable to increase their sales. “I approach the whole as if it was a tight close-up”. Which camera and lens are your main choice? I work with Hasselblad Digi Pro, and Canon with lenses which go from 12 to 350mm of focal length, plus quite extensive rich lighting equipment which fills 14 Samsonite’s; a lot of extra luggage fees to pay at the airport when we travel out of the island for international assignments. But 99% of the photographer work is culture, visual analysis and lighting. The camera is nearly non influent. As for a chef “it’s not the pot, is the spot”. So many years successful on Samui, what is so special for about our island? My clientele is made of highly professional executives in the hotel business and in real estate who need to sell their products relying on specific images. I am in my elective environment, dealing with sharp people on a tropical island. My clients and I talk the same language, and they never regret investing on their own images using our services. They began preparing the pool for PebbleTec® application on the 2nd April, the installation process took a total of 4 days including acid wash and even on a large pool like this, the PebbleTec® was finished very quickly, having the pool filled up and ready to use by the 6th of April. Within a few days the water had cleared which presented the clients with a beautiful, paradise blue pool. Keeping Our Island and Our World Green Who knew that a revolution in technology and sustainability was taking place right here in our own backyard? Finn Hyttel is an entrepreneur and business executive with more than 20 years’ experience in the internet, software and property industries, and 10 years in business development and director positions in tourism and events companies. Since 1975, he has founded, led and invested in several Danish and international companies, developing and implementing large projects with multinational corporations and governments. The Danish Government has invested in some of his companies and projects. Finn moved to Koh Samui 10 years ago and took office space on Tongsai Road on Choengmon Beach. He’s been involved in several projects in Thailand, including here on Koh Samui, and was the founder of the first international marathon on the island. With Amalia Barrameda, he founded the popular Vinothek in Choengmon in 2009. This years Samui Charity Regatta was held on Sunday the 15th of May and was presented by the Koh Samui Rotary Club. The sailing during the day was great fun for all and took place in Chaweng Bay. The Escape Yacht generously participated as both the spectator boat and also the Start/Finish line. Simon James from Regatta Asia assisted by planning the course and timing the races. The results from the day were (Moonshadow) skippered by Mick Grover in first , (Freewind) skippered by Nick Smith in second and (TurboCat) skippered by Gail in third. A fantastic evening event was hosted at the OZO Chaweng Samui and a night of fundraising was presented by Jake Robinson. Hot House Designs Keeping a house cool Most builders know that house designs need to be climatespecific. In Thailand heating costs are basically non-existent, I can even remember trying to explain to some locals why we would need to have central heating in houses. So in this issue we are going to look into why homes in Asia should be designed to reject exterior heat. So what are the most important factors governing hotclimate design? • Air leaks not only increase a home’s sensible cooling load; by introducing humid exterior air, they also increase a home’s latent cooling load, making the air conditioner work harder to wring moisture out of the air. Tight houses are much easier than leaky houses to keep cool and dry. • While cold-climate designers have to worry about heat escaping from the envelope in all directions, the heat-gain concerns of hot-climate designers are overwhelmingly dominated by just three major factors: windows, ceilings, and internal gains. On summer afternoons, one large west-facing window with the wrong type of glazing can make a huge difference in a home’s heat gain.

Best-practice measures •

• Orient the house with the long axis east-west.

• Shade is good. Roofs should have wide overhangs, ideally 1m wide or wider. Storms like to grab onto roof overhangs though, so be sure to secure roof trusses or rafters to top plates with adequate storm clips. Since a hipped roof can shade all four sides of a house, hipped roofs are preferable to gable roofs.

• Most windows should face north or south. Because they are harder to shade, east- and west-facing windows contribute much more to overheating than north- or south-facing windows; so east- and west-facing windows should be minimized. • Every effort should be made to shade every window. Windows can be recessed into thick walls or protected by projecting architectural elements. On the east and west elevations, it’s often best to protect any windows with a wide porch. • It is critical for a home’s air conditioner and all ductwork to be within the home’s thermal envelope. One way to do this is to “cathedralize” the attic by spraying closed-cell foam insulation against the underside of the roof sheathing. Of course, duct seams should always be carefully sealed; slightly oversized ducts are better than undersized ducts. • Ceilings or roofs should be insulated to at least R-30. • If the house has an unconditioned attic, specify radiant-barrier roof sheathing. • Use highly reflective roofing — ideally, white metal roofing or white concrete tile roofing. • If the house has concrete-block walls, install the insulation on the exterior, not the interior. • Specify windows with a solar heat-gain coefficient (SHGC) below 0.32; if possible, aim for 0.28 or 0.29. • The home’s thermal envelope should be carefully air sealed. • While high internal loads — that is, waste heat from lights and appliances — benefit cold-climate houses in winter, such loads hurt the performance of hot-climate houses in summer. So in Thailand, it’s particularly important to install CFL's or LED's rather than incandescent bulbs and to specify the most efficient available appliances, including refrigerators and televisions. • Ceramic tile floors are best. Avoid carpeting. • Although many of these suggested measures may seem obvious, they are widely ignored. Taking just a little bit of time and effort in your house planning will firstly reduce your energy consumption and therefore your bills drastically and make living in a cool home much more inviting.

It is advisable to research construction firms employed to guarantee that their reputation is solid and that any previous projects have been successfully completed.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.

In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
