Renovation is Money Renovation is an unnecessary evil, a cost that we would rather avoid - right? This and future articles will demonstrate that by focusing on making the right renovation choices, the costs will be significantly lower than the benefits to the bottom line. Anubis Consult was hired in early 2020 to oversee and consult on the renovation of a 22-room boutique hotel. There were a couple of restraints as the budget was limited, and the renovations would have to be made while the hotel was still open - so essentially “room-by-room”. With a 1.5 million Baht budget, it was clear that we would have to make some clear decisions as to where we would focus. Furthermore, our tasks were to: 1. Reduce monthly costs 2. Facilitate increased room rates 20

3. Improve the hotel’s green profile. These three tasks may seem to be countering each other but nothing could be farther from the truth when it comes to a renovation project such as this. The same principles apply to renovation projects in your own home. If chosen wisely, what may initially seem as an outright cost will improve the welfare of yourself and your family, the look of your home, and lessen your monthly bills for electricity and water. In this issue, we will give you an overview of the hotel and show you some of the issues where we will direct our attention, and in following issues, our solutions and the costs will be revealed – so remember to get the next issues of the magazine to follow the progress of our work at this lovely hotel.
The Secret Hotel
The hotel is located in a major provincial city on leafy and secluded sub-soi with big family homes around it, and a temple across from it. The hotel was originally built as a (quite big) family home in the 1960s, was converted to a primary school in the late 70s, and then converted again in 2003 into a hotel. The hotel got a minor revamp in 2009 where the premises were expanded with an additional 5 Deluxe rooms situated in the former maids’ quarters and wash rooms at the back of the property. Today, the hotel has a good mix of a few Superior rooms, a dozen Deluxe rooms,
a handful of Junior Suites and a big 50 m2 Balcony Suite. Major roadworks directly in front of the hotel severely impacted revenues in 2016-2017 and nothing but the most rudimentary repairs have been done since 2009, so it shows clear signs of weather, wear and tear. Fortunately, the building itself is solid, so no major structural work will have to be done. The new owners want to bring the hotel back to its former glory, and in the next couple of issues we shall show you how we will be handling this exciting task.

The cosy outdoor dining area immediately caught our attention as we arrived the first time; primarily because it has a lovely ambience, but secondly because of the 5 rows of 20 small light bulbs each. Most of the original 15 W light bulbs have already been replaced with an assortment of LEDs of different make, power, lumen, colour temperature and fidelity. We decided to reap the lowest

Our second focus came as a bit of a surprise to the new owners, as we decided to upgrade the old-fashioned louvred windows in the manager’s rooms. The first room of this 2-room apartment doubles as a meeting room and office in the daytime, so the air-con is essen22

hanging fruits first, so our first order of business will be to provide them with 100 1W E27 3000 K light bulbs of a better quality than the existing ones. The expenditure for this is minimal, and the benefits can be readily reaped. The best of the existing light bulbs can be used for bedside lamps and the like, and the remaining ones will be recycled. Once we receive the new light bulbs, we can calculate the energy savings, so more about that in the next issue.
tially running 24/7, so we measured its usage, which was a staggering 2,500 Baht for that air-con per month alone. Upgrading the entire section of three windows and a row of four top-windows to modern 2-layer insulated windows is costly, but even at a cost of 50,000 Baht, the reduced cost for the air-con will mean the cost has been reaped back in less than 5 years.
Deluxe Room
Next up came the five Deluxe Rooms that had been added to the hotel about 10 years ago. The rooms still look nice and modern, but we quickly ascertained that the owner back then had saved money on two very silly points: The back wall of the bathroom turned out
to be a simple wooden wall without any insulation whatsoever, and the top windows letting in some much needed light was a simple, transparent plexiglass roofing, and a mosquito net underneath. Mold had been accumulating between the enclosed shower and the uninsulated outer wall due to the constant changes in humidity and temperature, and the windows were essentially three openings letting in hot air; clearly, something had to be done. We now have to come up with some solutions that won’t drain the entire budget on these five rooms alone. Garden & Balcony Watering Systems
Gardening is one of my favourite hobbies. I love nothing more than pottering about my garden and tending to my plants, I find it relaxing and therapeutic. Of course, watering can take up a lot of time each day but with these DIY irrigation systems, that part of the work is already done for you. And while you are watering one end of your garden, you can work on planting the other end. It’s a win-win situation all the way around. Water is vital to plant health, but watering by hand can be a huge pain in the butt if you have an extensive garden or even balcony. You have to move hoses between gardens, move sprinklers around, or take the time to water each plant. Watering systems take the hassle out of watering. They're the easiest way to give plants the consistent moisture they need for your biggest harvest and most beautiful blooms. You install them once and leave them in place all season long. If you add a timer, your garden will water itself! Turn on the tap or let the system run automatically to water plants; no hoses or sprinklers to move around. Many install in minutes — all you need is a pair of scissors to cut the hoses to the lengths you need. Have you ever thought about creating your own irrigation system for your garden? imagine a garden that waters itself! If you have a relatively large garden, then you know how long it takes to get water to all of those plants. Here on Samui, we often have

to hand water our gardens, particularly during the hotter summer months when rain just doesn’t fall. While installing your own irrigation system might seem like a costly project, it can be really cheap. In fact, I have found some great, cheap and simple DIY irrigation systems that will take the difficulty out of keeping your garden watered. Having your own garden irrigation system in place can actually save you money because you don’t have to use as much water. The system puts water directly on the roots of your plants, where it needs to go. So, you’re not wasting water by dribbling it all over your actual plant. And, you can set the system to water whenever it is needed so you don’t have to worry about trekking out to the garden with a garden hose or worse, buckets of water for your watering. Here is a list of the various set ups but note that many are interchangeable and you can take parts of one system which will work together on another. 1. Easy Outdoor Drip Irrigation System This easy to install drip irrigation system is hooked up to your outdoor faucet and it waters your garden when needed. You can unhook it when it is not in use so that you have your outdoor water supply for other things. This one won’t take you long at all to set up and it’s really cheap if you have certain supplies on hand – even if you have to buy them all, this one is not at all expensive.
2. Simple Bucket Irrigation System A 20-litre bucket and a few lines are all you need to create your own irrigation system. Depending on the supplies that you have on hand, you may actually be able to make this one for free. I always have a couple large buckets sitting around and you just have to add the line for your water to run out. This one is so super easy to build and it perfectly waters those plants for you. 3. PVC Pipe Irrigation System This one is also really easy to build and you can use it to keep your garden or your lawn perfectly watered during those hot summer months. This is a pretty cheap one too, if you happen to have some Thai blue PVC pipe and a few other key supplies on hand. It uses a sprinkler type system to put water where you need it. 4. DIY Rain Water Irrigation System You can build an irrigation system for your lawn or garden that doesn’t use any of your city water. Imagine having collected rain water to water your garden! Your plants will be so much healthier and so will your family since rain water is more natural than water that has chemicals added. This one is super easy to put together and it gives you a wonderful way to use up that rain water. 5. Cheap DIY Irrigation System For Under 500THB! Believe it or not, you can create a system that will keep your garden perfectly watered, and you can make it for less than 500THB! How’s that for cheap? You use a storage bin for the water supply on this one and it really is super easy to put together. You will never again have to worry about wilted tomato plants or other veggies with this one. 6. DIY Drip Line Irrigation System Many gardeners believe that drip lines are the way to go with regards to irrigation systems. They definitely do have their benefits. You can line them up to perfectly water each plant and if you add an automatic timer, you can set it to water them at the right time of the day. Incidentally, you should never water your garden plants during the hottest part of the day – so set your timers to give them a drink around dusk. 7. DIY Automatic Drip Irrigation System A good drip irrigation system is going to automatically provide water to plants when it should. This one is pretty easy to build and you have a few options regarding materials. You can also learn more about how much water to give your plants and the best times to set your timer for the water to be delivered.
8. Dual System DIY Irrigation This dual irrigation system is great for raised beds or traditional in ground gardens, so you can use it even if you have a container garden. The first part of the system is a soaker hose that keeps your plants clean and refreshed. The second part is a drip irrigation system that delivers water to the roots of your plants – right where they need it. 9. Cheap and Easy Blue PVC Water Run You can make this irrigation system very reasonably and it is super easy. You can use this for your traditional garden or for those container gardens and it is perfect for helping you to keep enough water to herb gardens or others that you have above the ground. You use the famous Thai blue PVC pipe – which is really inexpensive – and a few other key supplies to make this one and it will definitely save you time and money. 11. DIY Water Dripper System This DIY water irrigation system follows the same basic plan as others and it is really easy to assemble. You will need a few materials, including a good garden hose, a hose connector, drippers to water your plants, stakes to hold your hose in place and a flow control valve and timer. You can pick up all of these supplies at your local home improvement or hardware store if you don’t already have them on hand and none of them are terribly expensive. 12. DIY Soaker Hose System A soaker hose will deliver water right to the roots of your plants, where they need it. This DIY system is so easy to make and it only requires a few materials. You will of course, need a hose and you can use small Blue PVC pipe for this. You also need a few fittings and a couple of hours to set the system up and get it running. 14. Cheap DIY Drip Irrigation This drip irrigation system is one of the cheapest and the easiest ones that you could make for your garden. This one is set up for a traditional in ground garden but you could easily adapt it for a raised garden bed if that is what you have. You don’t need a lot of expensive supplies or materials and you don’t need more than just a couple of hours to put this one together. 15. Simple Reused Plastic Bottle Irrigation System Turn those old empty plastic bottles into something useful with this DIY irrigation system. You don’t have to spend a lot of money on rain barrels or other containers to house your water. Plastic bottles work perfectly and you can add these to your traditional in ground gardens or a raised garden if that’s what you have. The process is really simple and since you are repurposing, you are saving money when you build this one. You have to love a good plastic bottle hack. samui phangan real estate

5 Key Tips for Property Buyers in Koh Samui and Koh Phangnan It is important for would-be property buyers in Koh Samui and Koh Phangnan to understand that the procedure to acquire ownership of property in Thailand may be considerably different to the procedure adopted in their home country. Would-be property buyers must heed the maxim that “fools rush in” and take time to understand the law, procedures, restrictions, nuances and risks associated with an investment in real estate in Thailand. The following article provides wouldbe property buyers with 5 key tips intended to set them off on the right path.

Foreign persons are permitted to own buildings in Thailand but would-be investors must acknowledge issues related to the control of the land which the building is constructed upon, as set out at the beginning of this section. Finally, a foreigner may acquire other lesser rights, one such other right is “usufruct” rights over land and buildings in Thailand for a temporary period, usually 30 years or the life of the usufructuary. It is imperative that the rights of ownership that a foreign buyer acquires are fully legal and are conducive to the type of interest in land that is being acquired.
Understand at the Outset What You Can and Cannot Legally Own

It is important to understand and appreciate at the outset what a foreign buyer of real property can and cannot own in Thailand. Except in a few limited situations, which for the most part will not apply, foreigners are absolutely prohibited from owning freehold land in Thailand in their own name. A foreign investor is permitted to acquire a leasehold interest in land; however, it is important to recognize that the longest registerable lease term in Thailand is 30 years, considerably less than in most European countries. In order to secure the real estate, it is prudent to enter into a “reservation agreement” with the seller setting out the key terms of the transaction such as the property description, the agreed price and the agreed payment terms. The reservation agreement should also state that the seller will not agree to sell the property to anyone else during the time that the buyer will be conducting due diligence (see below) into the real estate. The buyer will usually be required to pay a small deposit to the Seller to secure the property. The reservation agreement should at the very least stipulate that the reservation deposit will be refundable in the event that the due diligence enquiries undertaken by the buyer yields negative results. The reservation agreement should be tailored to the buyer’s circumstances and any “extras” which may have negotiated with the Seller should be set out in the Reservation Agreement.
If the due diligence produces agreeable findings, the buyer should execute a binding contract with the Seller, obligating both parties to complete the transaction. For both parties, this entails a significant economic decision. Therefore, it is crucial that the relevant contracts are carefully worded to protect the buyer’s interests. The contract should include (amongst other things) (i) representations on behalf of the seller regarding the legality of the title, access to public roads, adherence to zoning and other regulations, and similar matters; (ii) adequate default provisions, to provide remedies if a party breaches the contract; and (iii) a clause that bestows the buyer’s rights upon its successors, assigns, and heirs. On the completion date, the buyer will likely transfer all or a portion of the contract price to the seller, and the seller will register the transfer of the legal interest to the buyer. This process should be carried out by legal counsel using valid Power of Attorneys for each party.
Reserve the Property

Conduct Comprehensive Due Diligence and Enquiries into the Property and the Seller Once the reservation agreement has been executed, it is important to conduct comprehensive due diligence into the property. Due diligence is one of the most important legal stages when acquiring property in any jurisdiction, including Thailand. Land title due diligence in Thailand requires a professional review of the original land title documents actually physically present at the relevant land office in order to determine whether or not the seller actually owns the land upon which the property is built and whether or not there are any encumbrances registered over the land, such as leases or mortgages. The history of the land title beneath the property should be thoroughly reviewed by a legal representative and a comprehensive report should be issued with a clear opinion on the quality of the land title. It is important to establish whether or not the land has full legal rights of access both on foot and by vehicle and access to the electricity grid, water supply and drainage. Careful consideration must be given to the zoning, environmental and planning restrictions which apply to the land. Litigation checks should be conducted against the land owner (and the authorized director of the land owner if the owner is a limited company) to ascertain if there is any issue with the property or the individuals selling the property. Buyers should be aware that the existence of a number of previous owners does not automatically mean that the land has good title.
Contracts and Closing
This article is intended to provide a very brief overview of the steps involved to acquire an interest in land, or land and structure/s in Thailand, and is not intended as a do-it-yourself guide. As in any jurisdiction, it is important to seek independent legal advice before entering into a legal transaction. In following these steps, buyers are likely to avoid some of the pitfalls which occasionally beset overseas buyers.

Why Cash-back, Why Not? 2020 is now well under way and Valentine’s Day is almost upon us. With many breathtaking and exotic locations dotted around our coastlines of the Samui archipelago islands, red roses, fine wine and tapas shall likely be flowing a plenty. What better way, than to spend a romantic dinner beside the beach with waves lapping at the shore as the sun sets down over the colourful skyline? A little ambience music playing in the background with a light saxophone sound...bliss! Once that memorable romance day is over for another year however, perhaps one might feel the need to stock up their bank balance, particularly since the Thai New Year & Songkran is just around the corner beginning April 13th this year and living costs are allegedly higher now a days... Selling your Bitcoin investments to top up bank accounts at such an important occasion as the “halving event” scheduled for May 2020 might not possibly be the best thing to do either, since block reward shall be cut in half & thus reducing the amount of new Bitcoin’s produced by 50%! This might in turn have an impact in a positive manner. If anything, many might be considering to buy more Bitcoin on the hope for decent returns.
For many who have bought property in Thailand with cash, as is often the case since finance is generally not so easy to come by for foreigners, cash-back and equity release options are available for many types of collateral, which may help liquidity. Certainly those who bought Thailand investment properties in 2015 using Chinese Yuan should be comfortable, as the THB is relatively strong at the moment. Back on 30/09/2015, 1 Chinese Yuan would purchase around THB 5.72627 (according to xe.com) and on 07/01/2020 it would purchase THB 4.32823 so 32% less than before. IF for example, one would sell that same property and transfer those funds back to CNY, in theory one could expect around 32% more Chinese Yuan than before so a return of roughly 6.4% per annum from an investor perspective. One might also had been renting the property generating income in THB so other possible returns could be added on top. Looking at the chart below, Chinese Yuan is at a 10 year low against the baht and has been in decline since 2015, if one expects that trend to reverse, it might be a good idea to take some equity out of Thailand and shift back to Yuan… or purchase other investments…i.e. buying more property to generate more rental income in THB or…buy Bitcoin!
There are many currencies in such a similar position to the Chinese Yuan which have seen hard times when buying baht recently, thus providing an opportunity, particularly if moved money into Thailand at its 2015 peak. The Great British Pound for example has seen a 41% difference since its top going from GBP/THB 56.25711 on 25/08/2015 down to just GBP/THB 39.71104 on 07/01/2020. This means those who may have been lucky to have bought in 2015, if those properties sold today and funds moved back to GBP from THB, one might expect around 41% more GBP than before (assuming property sold for at-least the same amount as one paid for in the first place of course)

(Source XE.COM) Selling property at “the right price” of course, can take time, particularly when there is an abundance in the marketplace with many available of similar comparable. It can take months, even years to get the required price therefore, raising a cash-back option on a property early is sometimes considered worthwhile; particularly if already up so to speak on the exchange rates. The GBP is 41% up since 2015 for example, so even after paying a Mortgage interest rate for a good few years, one would still be in profit… Condominiums are the most straight forward and easy to refinance, particularly if they are reasonably modern and desirable. As regular readers may know, there is a Thailand Condo Finance Map which provides an idea of what kind of lending rates could be achieved on various pre-approved projects around the kingdom, weighted most heavily in the Bangkok and Eastern Seaboard areas. It summarises how much a lender would lend per Sq.m. on relevant floors within various projects. The popular and highly sought after Hyde by Grande Asset on Soi 11 in Bangkok for example, had its last lending rates set as follows. Finance up to 60% loan to value OR up to the following: Floors 31 - 37 up to THB 100,000 Sq.m. Floors 21 - 30 up to THB 95,000 Sq.m. Floors 11 - 20 up to THB 90,000 Sq.m. Floors 02 - 10 up to THB 85,000 Sq.m. If for example one had bought a 58 Sq.m, 1 Bedroom Unit, on the 20th Floor, than a loan is likely possible of around THB 5,200,000 (58 x 90,000). For a typical 50 year old male, it is possible to get payments down to just THB 60,800 per month with balloon terms and includes a local life insurance policy which would aim to pay off the loan in event of unfortunate circumstances. Of course, the lenders life insurance underwriter would need to do their due diligence also, before the life policy could be approved.
Document requirements to take out such a loan are reasonably straight forward also, particularly if a salaried employee with pay slips and money going through bank accounts. All other worker classifications are welcome also of course, even those that are self employed.

Loft is a name usually meaning the room area under the roof or of an abandoned factory or another industrial building converted into a dwelling. Loft is an American term, which originated in factory buildings, warehouses and workshops. The idea of using of such abandoned factories as living and working quarters appeared in the manufacturing district of Manhattan. At that time land prices in the city centre went up and industrial enterprises were removed to the outskirts. Those vacated spaces were willingly occupied by artistic people who were attracted by the functional characteristics of dwellings (high ceilings, cool lightning). Lofts rose from the workshops to the stylish rooms and became really popular in the 1950s. All the New-York’s aristocracy concentrated there. Many painters opened their galleries and studious in such lofts. Andy Warhol’s “Fabric” was a good textbook example. A short time later, that original dwelling got the elite status. There are many details (beams, pipes, concrete and bricks) which Loft got from the industrial past. They created a special style of “factory” housing. When you enter the room, you can see its opposite corner, because only bedrooms, bathrooms and storerooms were usually isolated. The space was a background for the original design, in which metal, glass and plastic were usually used. Furthermore, the walls were decorated as simply as possible and without any excess. The worn masonry was considered as a particular chic. Also, such inherited from the past life details as pipes, not hidden in the wall ventilation, rough brick walls without finishing gave this interior special value. No matter where you reside, it’s a good idea to practice water conservation. In the hot months, a typical family’s water usage increases by 25-50%. Water conservation not only saves you money on utility bills but can also help prevent water pollution in nearby water sources. Below are simple ways that you can help to positively contribute to your bank account, the local environment, and community you live in:
Reducing household water usage won't just preserve existing resources – it will also save you money. Try these 16 easy ways to save water. Water at the right time Water landscapes early in the morning, when air is still and evaporation loss is minimal. Avoid watering on windy days and at midday, when water quickly evaporates before it can soak into soil. If you have automatic irrigation systems, always adjust your controller when the seasons change. Monitor leaks Check all pipe connections for drips. Frequently inspect o-rings, replacing as needed. Repair leaky exterior spigots. Many faucet fixes are simple do-ityourself tasks. Also inspect valves in automatic irrigation systems for leaks. Collect rain Create your own water supply by collecting rain runoff. Rain barrels offer fast and easy installation. Sweeping conserves water (and burns calories). Create zones Group plants based on water needs to enhance irrigation efficiency. In an existing landscape, tackle this project over several years by renovating one planting area at a time. Mulch soil Apply a 2-inch layer of mulch to planting beds to slow water evaporation from soil. Mulch also helps suppress weeds.
Know your soil With automated irrigation, make sure the soil is absorbing water – and not allowing runoff. Many soil types, such as clay or dry desert soil, don't absorb large amounts of water easily. Use short, repeated watering cycles to deliver water at a rate soil can absorb. Most irrigation controllers can be programmed to water in short, repeated intervals. Also consider amending soil with organic matter to improve soil's water holding capacity. Build basins Mound soil to form a water collection basin around plants and shrubs. Replace lawn Carefully consider lawn needs. Lawns need twice as much water as beds filled with flowers and shrubs. Some of the most challenging lawn areas to water efficiently are slopes, curving areas and narrow strips under 3 metres. Replace lawn with native plant groupings or outdoor living areas.
Update equipment Replace and upgrade irrigation equipment, including timers and sprinklers. Look for low precipitation rate sprinklers, smart controllers, and low-volume microirrigation, such as drip irrigation, soaker hoses, bubbler irrigation and micro-sprinklers. These items water plants slowly, minimizing evaporation, runoff and overspray. Consider retrofitting landscape sprinklers to drip irrigation. Dethatch & aerate Help lawns absorb water efficiently by limiting thatch and aerating on a regular basis. Mow correctly Mowing at the proper height for summer growing conditions reduces a lawn's water needs. Sprinkle wisely Observe sprinklers to make sure they're working properly. When running a sprinkler, set a timer to ensure you don't forget to turn the water off. Stop drips Add a shut-off valve to the end of hoses. Turn the valve to the off position when you're dragging the hose from place to place.

KOH SAMUI, Thailand (Jan. 7, 2020) — If you smell something sizzling down in South-Eastern Koh Samui these days, chances are it’s coming from Banyan Tree Samui’s beachfront restaurant, Sands, where Chef Rainer Roersch is rolling out his smoking hot “8-Fires” cuisine. “We were looking for a very visual and atmospheric theme,” said Chef Rainer. “Something eye-catching that our chefs could prepare under the coconut trees and the moonlight. The key element would be fire.” The new-look Sands restaurant — which recently reopened after a three-month renovation that includes a new retractable roof — has been adapted to include eight workstations featuring different traditional forms of cooking with fire - brick oven, charcoal grill, wok fire, stove-top, table-burner, hot stone, Santa Maria grill, and flambé. “There is something mesmerizing about food sizzling over an open fire,” said Chef Rainer. “From the native American concept of the sacred fire pit (bara-bicu) to Japanese hibachi, meaning ‘fire bowl’, to Indonesian satay and Middle Eastern shish kebabs, it has a global appeal and has existed since time immemorial.”

Sands’ new menu has been beefed up to include a selection of meats and seafood adaptable to the 8-Fire techniques. Diners have a choice of Australian Wagyu beef and Black Angus steaks, lamb cutlets, BBQ pork ribs, chicken breast or veal cutlets. Buddhist Monks realised Koh Phangan's tranquillity and spiritual importance and subsequently settled in Wat Phu Khao Noi just outside of the main town of Thong Sala as one of the first temples on the island. Within an area of approximately 167km2 with over 70% being unspoilt mountainous and tropical forest many more temples are nestled coherently within the islands natural flora and fauna offering a feast for the eyes of all visitors. Koh Phangan being relatively undiscovered and undeveloped still has the postcard perfect secluded deserted beach coves awaiting discovery via the traditional mode of transport, the long tail boat or for the more intrepid explorer by hike. You truly feel that you are the first to leave a footprint! In that vein Koh Phangan's beauty is emerging as an attractive destination for weddings and events. Due to Koh Phangan's granite structure, there are several small mountains where it's possible to trek/hike. The highest being Khao Raa at over 600m above sea level taking 2-3 hours to realise the summit. There is a bounty of wildlife from monkeys, wild boar, exotic reptiles to stunning birds of paradise not forgetting the spectacular coral reefs that envelop the plentiful bays where the amazing underwater world is accessible for snorkelers and divers equally.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.
LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area.
STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
