FISH TACOS WITH MANGO SALSA Ingredients Mango Salsa • 2 large ripe mangos, peeled, • 1 tablespoon lime juice pitted and chopped • ¼ cup minced red bell pepper
• 1 tablespoon chopped fresh cilantro
• 2 green onions, sliced (green tops only) • 1 small jalapeno pepper, stem, seeds and membrane removed
Tacos • 1 pound cod fillets, rinsed and • ½ teaspoon Mexican oregano patted dry • ½ teaspoon garlic salt • 1 teaspoon chili powder • ½ teaspoon ground cumin
• 8 corn tortillas, warmed
• 2 cups shredded green or red cabbage • ½ cup crumbled cheese of your choice
Instructions Preheat oven to 425°F. Stir together mango, bell pepper, lime juice, cilantro, onions and jalapeno in a medium bowl; set aside. Place cod on 2 large sheets of parchment paper. Stir together dry seasonings in a small bowl and sprinkle over cod. Bring edges of parchment paper together and fold twice. Fold ends under to enclose fish. Place packets on a baking sheet and bake for 15 to 18 minutes. Open packets carefully to let steam escape. Place equal amounts of cod in each tortilla and top with cabbage, cheese and mango salsa.
EASY BEEF TACOS Ingredients • 1 lb. lean ground beef
• ½ teaspoon garlic powder
• 2 cups shredded lettuce
• 1 medium onion, chopped
• 1 can tomato sauce
• 2 tomatoes, chopped
• 1 teaspoon chili powder • ½ teaspoon salt
• 12 taco shells
• ¾ cup salsa • 1 1/2 cups shredded Cheddar cheese • ¾ cup sour cream, if desired
Instructions Heat oven to 250°F. In medium skillet, brown ground beef and onion over medium heat for 8 to 10 minutes or until beef is thoroughly cooked, stirring frequently. Drain. Stir in chili powder, salt, garlic powder and tomato sauce. Reduce heat to low; cover and simmer 10 minutes. Meanwhile, place taco shells on ungreased cookie sheet. Heat at 250°F for 5 minutes. To assemble tacos, layer beef mixture, cheese, lettuce and tomatoes in each taco shell. Serve with salsa; top with sour cream. samui phangan real estate

By using your inspiration sketch, you can refine your tastes by zeroing in on what draws you to a particular design, and familiarize yourself with the terms acquainted to that era. This will help you communicate with architects, decorators, and designers, and various other professionals that you might hire to help build your home. Not only that, but being reasonably aware in the design you’re interested in will help you find the right vendors, architects, and decorators, as some specialize in a particular design. 3) Consider having a professional rendering of your sketch Having a 2D or 3D model of your home is a great way to see how your potential home will look like before you start laying down the foundation. A professional high quality architectural rendering will work wonders for your vision. Most outsourcing firms charge a reasonable rate, and have professionals on-board that easily translate everything in layman’s terms. They can also transform the roughest of sketches to a model worthy of hanging in your home. REAL ESTATE INTERESTS FOR THE FOREIGN INVESTOR
G
iven the current global economic situation, with struggling economies in Europe and North America, many wealthy investors view developing markets in South East Asia such as Thailand as likely to provide a superior ROI in the long-run compared with other markets. It would appear that as a result of this trend, direct foreign real estate investment in Koh Samui and Koh Phangan has increased over the last year, with investors from North America, Europe, Asia and elsewhere looking to take advantage of the wave of economic growth expected from South East Asia. However, investors should be aware that Thai law restricts foreign land investment and generally prohibits non-Thai nationals from owning land in Thailand, either directly or through a nominee.

This Article provides a summary of the real estate interests that foreigners may legitimately acquire in Thailand. Lease Foreign persons are permitted to acquire a registered long-term lease over land in Thailand, which, in accordance with Thai law, may be registered for a maximum period of 30 years. Although it is possible to obtain a lease renewal option to take effect upon the expiry of the 30 year term, this renewal option cannot be registered against the underlying title, and is therefore a non-secured contractual right. In addition, upon the death of the land-owner/lessor or a transfer of the underlying land, the renewal options may be terminated. Usufruct A “right of usufruct” is a secured interest over land and is similar to a lease, in that the person granted the rights of usufruct (called the “usufructuary”) is permitted to solely occupy and enjoy the land and the fruits thereof, and his rights are registered on the applicable land title deed. In the case of a usufruct, the term may be a fixed period (and in this case may not exceed 30 years) or the usufruct may be granted for the duration of the life of the usufructuary. Therefore the usufruct is roughly equivalent to what is referred to as a “life estate” in common law jurisdictions. Building Ownership Thai law allows for ownership of land to be held by one party, and ownership of buildings on the land to be held by a separate party. In addition, foreigners are permitted to legally own buildings situated on land. Despite what some commentators suggest, general land office practice in Thailand requires reference to the building permit as evidence of initial ownership of a building. Any subsequent transfers of a building need to be documented in writing and registered at the land office. It is possible to

register a “right of superficies” on the land title deed itself, stating that ownership of the building has been “split” from ownership of land. Mortgage Although a foreign person generally cannot own land in Thailand, a foreign person can be a registered mortgagee of land. In other words, a foreign person can make a loan to a Thai person and secure the loan with a mortgage over land. In the event of default, the mortgagee must provide evidence that the loan underpinning the mortgage was actually paid to the mortgagor, and must adhere to a complicated legal process, after which, the land will ideally be seized and auctioned by court process, in order to recoup the loan funds to the greatest extent possible. A mortgage does not provide the mortgagee with any right to occupy the underlying land. Thai Company A Thai registered company may legally own land in Thailand, provided that Thai persons hold the majority of the shares (51 percent), and provided that there are a greater number of Thai shareholders than foreign shareholders (i.e., if the company has one foreign shareholder, it must have two Thai shareholders). As suggested in the introduction of this article, Thai law prohibits the use of nominee shareholders, or in other words, the use of “sham” Thai shareholders, who are not genuine investors, to hold shares on behalf of the foreign investor/s, so as to circumvent the rules against foreign ownership of land. Condominium In accordance with the Condominium Act of Thailand, buildings registered as condominiums provide an exception to the general rule prohibiting foreign ownership. In particular, foreign persons are permitted to own up-to 49 percent of the private living space of a condominium and to share in the ownership of the common property proportionally. These ownership rights are evidenced on a condominium title deed, which can be registered in the name of a foreign person provided foreign ownership does not exceed the aforesaid 49 percent threshold. Investment Incentives for Foreigners The Land Code of Thailand provides that foreigners who remit 40 million Thai Baht (or approximately 1,295,000 USD and 828,000 GBP on the date of this article) or more into Thailand as capital for certain specified investments, may be granted the right to own no more than one Rai (1,600 square metres) of land for residential use. At law this privilege, if granted, highly restricts the ability of the foreigner to deal freely with the land and in many cases, to even dispose of the land by inheritance. In practice, this privilege has rarely been granted. However, the Investment Promotion Act of Thailand does provide a viable option to foreign entities intending to make substantial investments in specific industries in Thailand. In particular, foreign entities making investments generally not less than 500 million Thai Baht (or approximately 16,184,396 USD or 10,348,724 GBP on the date of this article) towards certain qualified investments may be granted the right to own land or to have a majority interest in a land-owning company. samui phangan real estate

THE “COLLECTIVE LEASEHOLD” - WHY IT IS UNLIKELY TO FIX YOUR LEASE RENEWAL PROBLEM PART II

recent Article in an English language newspaper in Thailand stated, in part, the following:
“Collective leasehold structures provide owners in villa developments the legal means to have a greater say in their villa projects. Importantly, this means that owners have increased control over the renewal of their leases, thus mitigating a major risk associated with long-term leases in villa developments.” We disagree. In our opinion, this structure creates a false sense of security for the investor—and, therefore, a poor “product” for the developer. A “collective leasehold” will not meaningfully mitigate the risk that your lease will not be renewed. To understand why, we need to cover a bit of background. Long-term leaseholds are a popular mode of investing in Thai real estate for foreigners. This is largely due to the fact that the law, with some limited exceptions, prohibits foreign freehold ownership of land in Thailand. However, under current Thai law the maximum lease term is a mere 30 years. Thus, it has become rather common for developers who are marketing to foreigners to offer a long-term lease of 30 years with two additional successive 30-year terms. This means the successive term/s are essentially a new contract. As mentioned, in an effort to address this insecurity many developers offer you a “secured leasehold” structure or as the Article referred to it, a “collective leasehold” structure. You are promised not only a lease but also acquisition of a shareholding ownership interest in the Thai limited company that owns the land that you will lease. The other development purchasers would then do the same. And then, “collectively”, you all will control the land owning/lessor company. Perhaps the biggest reason why the said structure is not truly secure is the potential tax liability that the land owning/lessor company will incur, which we detailed in Part I of this article. But there are others—starting with the shareholding structure. The Land Code requires that any land owning Thai company must have at least as many Thai shareholders as foreign shareholders. The Thais must own over 50% of the company’s total share capital. If the company’s Thai shareholders are not actual investing shareholders, then they are considered “nominee” shareholders under the law. Thai nominees are unlawful under the Land Code. Thus, to lawfully own—and, therefore, to lease—land, such a company’s Thai shareholders must be actual investing shareholders and they must maintain their shareholding for the entire length of the lease including any renewals. If the company does not have such Thai shareholders, it can be divested of the land it owns. If it were divested, the new owner would not have to honor your option to renew your lease. The “collective leasehold” structure does nothing to address this very significant issue.
What is more, in our example the lessees’ direct share investment in the land owning/lessor company would then require at least 20 actual Thai shareholding investors. This requirement is why a “collective leasehold” structure typically—and as the Article proposes—offers you an “indirect shareholding” in the land owning/lessor company. You become a shareholder in an offshore company that owns the non-Thai shares of the land owning/lessor Thai company. Usually this offshore company is a company registered in a country, which provides flexibility with regard to corporate structuring and a low tax jurisdiction. In our example 20-plot development, the use of such an offshore vehicle would provide you with an indirect control of 5% of 49% of the land owning/lessor company. That means that you would have no direct shareholder rights under Thai law and perhaps even less than “5%” control of the Thai landowning/lessor company. Unfortunately the “collective leasehold” does little if anything to address the very real insecurity that your long-term lease will not be renewed. Fortunately, however, there are far better legal means than the “collective leasehold” that do provide actual long-term lease security and without any downside to the developer. This can be achieved by securing the pre-paid renewal terms with a mortgage over the land plot in question. It is a simple and straightforward legal structure that provides security for the investor and, therefore, a marketing opportunity for the developer. But you should first engage competent legal and tax counsel in order to successfully implement this lease security structure. samui phangan real estate

From Apple iPhones to HP ink-jet printer cartridges, recycling e-waste is easy.
M
ost people love getting new gadgets whether they are tech-savvy professionals or folks who never figured out how to program their VCRs or set up a Facebook page. But the burgeoning market of electronics and accelerating pace of technology have meant increased environmental impact. This is perhaps never more true than after the holidays, when people clean out their old gear in favor of the new shiny toys and appliances they have just received, or purchased through gifts, bonuses or seasonal sales plus consider that the average cell phone user changes handsets every 18 months. It's no small step, considering that 20 to 50 million tons of electronics waste (often called e-waste) is discarded globally every year, according to Greenpeace. If all that e-rubbish were put into containers on a train it would go once around the world! E-waste is the fastest growing component of the municipal solid waste stream, and currently makes up five percent of all municipal solid waste. In the past, no one thought of recycling computers and other electronics. The only option was tossing them on the curb. But these days engineers have taken notice that electronics usually contain a wealth of valuable materials. Plus, recycling almost always means lower net carbon emissions, which is something everyone is now paying closer attention to because of global warming. Finally, electronics are made with a sizable amount of lead, cadmium, brominated fire retardants and plastics that can leach toxic breakdown products - that's stuff no one wants in their water supply! A quick search on the internet of your brand of electronic should find a wealth of information on where and how to recycle their products as big brands are becoming more attuned with the environmental wishes of their communities. Recycling of electronics devices is one way of reducing environmental hazards associated with early production stages. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area.
STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
