3D Frenzy A look into the 3D printing world

The buzz about 3D printing has been everywhere and it’s incredible to think what is now possible, even things we conceptualise are now becoming a reality! A 3D printer is unlike a common printer, on a 3D printer the object is literally printed by three dimensions where a model is built up layer by layer which is achieved using additive processes from a digital file. In an additive process, an object is created by laying down successive layers of material until the entire object is created. This year saw this process taken to a new frontier with Yingchuang Construction Technique company expanding their capabilities of 3D printing who printed
and constructed ten houses in under 24hrs and now are showcasing a five-story apartment block as well as 1,100 square meter mansion with internal and external decoration to boot. All via the magic of 3D printing. On display in Suzhou Industrial Park in Jiangsu province Shanghai, the two buildings represent new frontiers for 3D printed construction, finally demonstrating its potential for creating more traditional building typologies and therefore its suitability for use by mainstream developers. The buildings were created using the same 6.6 by 10 meter tall printer which builds up layers of an “ink” made from a mixture of glass fibre, steel, cement, samui phangan real estate

hardening agents and recycled construction waste. With this technology the company is able to print out large sections of a building, which are then assembled together much like prefabricated concrete designs to create the final building. The houses are in full compliance with the relevant national standards. They are safe, reliable, and feature a good integration of architecture and decoration, but as there are no specific national standards or laws for 3D printing architecture, Shanghai now need to revise and improve such a standard for the future and set precedent for those who follow. The mansion that was built at a cost of USD$160,000 is now the prototype for a set of ten that has been ordered by a Taiwanese real estate company a third house on display at Suzhou Industrial Park was just one of 20,000 ordered by the Egyptian Government; and there will also be a collaboration with an American firm that will seek to expand into countries around the world with the aim of providing cheap and efficient homes for low-income families, particularly in Africa and the Middle East. The 3D printing process saves between 30 and 60 percent of construction waste, and can decrease
production times by between 50 and 70 percent, and labour costs by between 50 and 80 percent. And, using recycled materials in this way, the buildings decrease the need for quarried stone and other materials -- resulting in a construction method that is both environmentally forward and cost effective. With such new technology, it is hard to fathom what is next with 3D printers‌.building bridges, planes, trains and automobiles?

Leasehold Investment Structures Koh Samui and Koh Phangan offer active markets for smaller-scale foreign direct investment products, such as individual villa units, purchased by investors to generate rental returns, for personal vacation use, or more commonly, for both investment returns and personal use.

For housing projects targeting foreign investors, developers commonly offer each buyer a registered 30-year lease over a specific land parcel or portion thereof, in addition to a non-registered right to renew the lease for a further 30 years, and direct ownership of the villa building. Such a legal structure is common because in Thailand, foreigners are generally not allowed to directly or indirectly own land, although foreigners may lease land and directly own buildings constructed on land. As stated above, although the initial 30-year lease can be registered against the land title, any lease renewal rights of the buyer are merely contractual and cannot be registered against title. For this reason, developers have looked for methods to protect the lease renewal rights of the buyer, such as the so-called “secured leasehold structure” and the “mortgage-back structure” described below.
Secured Leasehold Structure In the “secured leasehold structure”, the project lands are held by a single Thai entity (for convenience, this article will refer to that Thai entity as the “Lessor”). The majority shares in the Lessor are held by Thai nationals or qualified Thai companies. A minority of the shares in the Lessor are then held by an offshore entity, such as a British Virgin Islands, Seychelles or Hong Kong company, for instance. The shares in the offshore entity are transferred upon project completion to the project buyers. Therefore the project buyers, in addition to having registered leases over their respective parcels of land, will also collectively hold a minority stake in the Lessor, albeit indirectly.

In order to further secure the investment for all parties, the Memorandum and Articles of Association (“AoA”) of the Lessor should be carefully drafted and provide all of the shareholders with special veto rights over important company decisions. In accordance with Thai law, the Thai shareholders of the Lessor must not be “nominees”, and it is important to assess whether the AoA of the Lessor adopts voting mechanisms which are too strongly in favour of the foreign minority shareholder/s, as the same may create the impression of a nominee structure
Although there does not appear to be any legal authority directly on point, it would seem reasonable to draft the project agreements in the context of a “mortgage-back structure” according to the above recommendations for the “secured leasehold structure”, that is (amongst other items), to avoid drafting the project agreements in a way that creates a fictitious legal structure, or otherwise purports to, or allows a perpetual renewal of the lease, but instead, the agreements/legal structure should secure only the lease renewal/s permitted at law.
Recent court decisions have also highlighted the importance of ensuring that the project contacts are carefully drafted. A set of contracts clearly aimed to circumvent the laws against foreign ownership of land may be problematic, as authorities may ‘look past’ a fictitious structure and assess the true intention of the parties. Therefore it is important that the project agreements, taken together, provide for, and make it clear that the purpose of the legal structure is to protect the lease renewal term, which is permitted under section 540 of the Civil and Commercial Code, and not to secure a perpetual renewal of the lease, the latter which could be viewed as a fictitious legal structure.
Closing Comments
Mortgage-Back Structure
Investors should be aware that the legal structures discussed in this article are not bullet-proof but rather seek to improve the security of investment products to a reasonable extent, given the legal and regulatory framework. Each investor should understand the legal risks that cannot be eliminated and assess whether the risks are commercially reasonable in the circumstances. Lastly, it should be noted that the legal structures discussed in this article are not appropriate for all investments, and each investor should discuss the particulars and purpose of his or her investment with qualified legal and tax advisors, to ensure that the proposed legal structure complies with Thai law in the context of the particular investment, and is specifically tailored to the purpose of that investment.
Rather than use the “secured leasehold structure” referenced above, some developers offer a “mortgageback structure”, in which a mortgage is registered against the leased land for the benefit of the buyer (i.e., the buyer is registered as a lender/mortgagee as well as lessee of the land, which is permissible at law). The intention is that, upon expiry of the first registered lease term, the mortgage would still be registered against title, which should in theory prevent the Lessor from selling or further encumbering the land, and thus provide some security to the buyer with respect to its lease renewal right. It should be noted that a mortgagee of land has no possessory rights over that land, but only the right, upon default of the mortgage, to seek a seizure and auction/sale of the land by the legal execution department.
The laws and regulations in Thailand do allow foreign investment in real estate, including by way of a registered lease of land and direct ownership of buildings. As noted in this article, there are commonlyused legal structures which set-out to better secure such investments, including the “secured leasehold structure” and “mortgage-back structure”. It should, however, be emphasized that poorly prepared agreements/legals may cause the aforesaid legal structures to be less secure than a simple lease, and therefore attention to detail, as always, is important.

Spain leads the 2015 TTCI ranking for the first time, and Europe—with a total of six countries in the top 10—is confirmed as the region with the most T&Tcompetitive economies. The top five performers in the Asia-Pacific are among the region’s more advanced economies: Australia (7th), Japan (9th), Singapore (11th), Hong Kong SAR (13th) and New Zealand (16th). However, the most significant growth in international arrivals is observed in South-East Asia, thanks in part to its region’s price competitiveness and the rapid expansion of its middle class. Developing regional cooperation on visa policies could further boost tourism, though investments are also needed in digital connectivity, infrastructure and protection of rich but depleting natural capital. While the forum ranked Thailand 10th overall in the Southeast Asia region, it scored last, behind even Myanmar and the Philippines, in terms of "safety and security". Worldwide, Thailand's safety rank plummeted to 132 out of 140, worse than Lebanon, Mali, Burundi and Iran. Two years ago, the kingdom ranked 87th. "Thailand experienced a decline in tourists' confidence beginning in December 2008 when international airports started closing and many foreign tour agents quit the country," the WEF wrote in its report. "The effects continued into 2010, with nearby countries benefitting from an increase in visitors. Traditional strong travel and tourism destinations such as France, Germany, the United States, the United Kingdom, Switzerland, Australia, Italy, Japan and Canada complete the top 10. Of the large emerging markets, China (17th) and Brazil (28th) made it into the top 30, whereas Russia, South Africa and India ranked 45th, 48th and 52nd, respectively. While this made Brazil and South Africa the best placed in their region, Singapore (11th) came up top in South-East Asia, and the United Arab Emirates (24th) was the highest placed nation in the Middle East and North Africa. SAMUI LAND PRICES SEEN RISING 11.8% Land prices on Koh Samui may rise by 11.8% this year with Chaweng beach remaining the priciest address at around 120 million baht a rai, independent real estate surveyor Agency for Real Estate Affairs said. The agency has tracked land prices in Surat Thani's Koh Samui district since 2011 and found an average rise of 35% over the past four years, but only 2.4% from 2011-12 due to an economic slowdown. Prices began to jump again in 2013. The company predicted that prices could rise as much as 11.8% this year, but might fall short of the forecast if the island is hit by new bombing. A car bomb exploded in Central Festival Samui on April 10, injuring seven people. The growth forecast did not factor in the bombing at the Chaweng beach mall, which is still under investigation. Sopon Pornchokchai, the company's president, said land prices for five-rai plots along the beach road in Chaweng were 300,000 baht per square metre, or 120 million baht a rai, in 2015. In 2011, it was just 80 million baht a rai. The Lands Department, however, still appraises the beachfront land at just 4 million baht a rai. The second-most expensive land on Koh Samui is around Lamai beach at 70 million baht a rai and about 25 million baht a rai in Bo Phud, Chueng Mon and Mae Nam beaches. The lowest price is about 15 million baht a rai on beaches such as Bang Kao, Pangka and Taling Ngam. But available land on those beach is difficult to find. Designs to balance work and life Modern offices are embracing the concept of 'wellness meets business' to attract and retain staff
Apart from CBRE’s role in marketing and leasing office projects, one of our key duties is to also assist developers in project concept and design. While we are not architects, we are able to give developers and their designers valuable advice on tenant requirements, which is essential for the project’s eventual success. In recent years, we have seen gradual shifts in tenants’ preferences, largely driven by changing lifestyles, global socio-economic factors and an increasing emphasis on environmental sustainability. Not only have design preferences evolved, but also preferences in terms of office locations, whereby access to mass transit, food and beverage and retail amenities is now paramount. Design trends for the 2020s will change for both residential and commercial properties. CBRE recently held a seminar on “How to Design and Build a Successful Office Development” with Nigel Smith, managing director for our office services agency in Asia. The findings from our survey of office occupants suggest that the main competitive advantage for multinational companies today is the ability to attract and retain key talent. In this regard, providing an appealing workplace is a big competitive advantage. The mindset of the workforce today, regardless of age and generation, is vastly different from that of previous decades. Today’s workforce is digitally-oriented, independent and demands a high level of efficiency. People want everything done at their fingertips, anytime, anywhere.

Not all companies are able to provide the facilities that workers find appealing within their own workplace. However, they can choose a building that offers extensive facilities including multiple cafes and restaurants, retail amenities, a gym/fitness club, recreational space and easy access to public transport and a public park. Another growing design trend that responds to rising urban populations is to build higher. Tall buildings with a high visibility have become a consideration for premier companies looking for offices that will add to their prestige. Today we are seeing more “vertical city” developments-tall buildings featuring multiple uses throughout the vertical space. The design allows multiple access, a lobby for each zone, taking into account different operating times, as well as public and private zones within the building.
Sustainability is also a prominent theme in the lifestyle of today’s generation, which has an increasing desire to balance wellness and work. In addition to green design features, which have become a must for many multinationals in the last two to three years, the availability of a public open space within the building is highly desirable. The open space could be incorporated as an income-generating component as well as a facility offered to occupants. A good example of such a concept in London is 20 Fenchurch Street, which features a Sky Garden spanning three floors with uninterrupted views of the city. Served by two express lifts that open onto a beautiful landscaped garden with a viewing area, terrace, cafe, bar and restaurant, the Sky Garden is a unique space. It serves as an open leisure space that is enjoyed by office tenants as well as visitors. In order to design a high-performance workplace, it is essential to understand the dynamics of today’s workplace and culture. Organisations today are less hierarchical and encourage a more collaborative workforce, and people are increasingly being measured by performance rather than their presence in the office. An open-plan space offering the highest efficiency and flexibility is preferred by most companies today. In any case, an efficient floor plate remains a key design criterion for office buildings in order to provide an excellent workplace, with the latest designs offering maximised efficiency at a density for all services of one person per 8 square metres. What kind of services do you offer?
I came on holiday in 2006 and instantly fell in love with the tropical island lifestyle-within a year I had decided that this was the place I wanted to be and having lived in Samui for over 7 years, I cannot imagine living anywhere else. The food industry has been engulfed by superfoods as increasing numbers of studies prove their extraordinary health and physiological benefits. With so many factors, from paperwork and legalities, to dealing with agents and landlords, it can be very daunting. Fortunately, the folks at AsiaRents.com, who specialise in finding rental properties for expats in Bangkok, have agreed to share tips and tricks for a smooth move, from the agents’ point of view. So, first of all, with the internet at our fingertips and property websites as far as you can scroll, is it even necessary to go through an agent? Unsurprisingly the team at AsiaRents say yes, but not just because it’s their bread and butter. ‘Once you sign on the dotted line it doesn’t necessarily mean that’s the end of any issues,’ they explain, citing language barriers with landlords and building management staff as potential sources of confusion. ‘If you go direct, the landlord might give you a discount on the rent but it’s always nice to have someone you can call at any time to assist you.

You can’t always rely on taxis, especially if your street is flooded so, if you don’t have a car, you need to be near a transport link.’ It’s no secret that Bangkok is booming and the landscape changing. ‘That beautiful balcony view might be very different in a few months,’ caution AsiaRents, ‘Does the plot of land below look like it’s about to be built on?’ And finally, ‘Check that the air conditioning units are positioned favourably,’ they advise, knowing that if you’re coming from a country where you don’t have or need air-con, this is an easy one to miss. ‘A unit above your bed, blasting cold air at your head is not something you want for 12 months. And what about when it comes to crunch time? Though they confirm that most rental contracts are standard, with one month deposit and two months usually payable upfront, our estate agents note, ‘in Asia a break clause is not usually accepted. So be prepared to be committed to the full term.’ Even with all this advice, relocating sounds like a lot of work. So, is living in Bangkok really worth it? LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
