Ingredients
For the stuffing
• 5 kg turkey, preferably free-range or organic
• olive oil
• olive oil
• 2 onions, peeled and finely chopped
• sea salt
• sea salt
• freshly ground black pepper • 1 clementine (or orange, kumquat or mandarin), halved • a few sprigs fresh rosemary • 2 onions, peeled and roughly chopped • 2 sticks celery, roughly chopped • 2 carrots, roughly chopped
• freshly ground black pepper • ½ teaspoon ground nutmeg • a few sprigs fresh sage, leaves picked and roughly chopped • 300 g pork mince • 1 large handful breadcrumbs
Instructions Take your turkey out of the fridge about an hour before you're ready to cook it so it comes up to room temperature before roasting. Give it a good rinse then pat it dry with some kitchen paper, making sure you soak up any water in the cavity. Drizzle the meat with a good portion of olive oil, add a few good sprinkles of salt and pepper and then rub all over. Preheat your oven to 350 degrees. Pour olive oil into a large pan on a medium heat and fry off your chopped onion for about 10 minutes or until softened. Stir in a good pinch of salt and pepper, the ground nutmeg and your chopped sage leaves, then continue to fry and stir for another minute or two. Spoon the onion mixture into a large bowl and let it cool completely. Once cooled, add your pork mince and breadcrumbs, mix well with your hands then make it into a ball, then cover and chill until you're ready to stuff your turkey. Pull the skin at the neck-end back so you can see a cavity and push about half of your stuffing inside your turkey. Not too much: you don't want to pack it so tightly it slows down the cooking. Once done, pull and fold the skin over the opening and tuck it under the bird so it looks nice. Turn the turkey around and drop a few small pieces of stuffing into the larger cavity along with your clementine halves and a few sprigs of rosemary. Place your roughly chopped vegetables in the bottom of a roasting pan and lay your turkey on top. Cover the turkey with tin foil then put it in the hot oven and immediately turn the temperature down to 180°C/350°F/gas 4. Cook for about 35 to 40 minutes per kilo. The 5kg bird in this recipe will take about 3 to 3½ hours. Check on your turkey every 20 minutes or so and keep it from drying out by basting it with the lovely juices from the bottom of the pan. After 2½ hours, remove the foil so the skin gets golden and crispy. When the time is up, take your turkey out of the oven and stick a small sharp knife into the fattest part of the thigh. If the juices run clear and the meat pulls apart easily, it's ready. If not, pop the turkey back in the oven to cook for a bit longer then check again. Once ready, cover the turkey with tin foil and a few clean tea towels for 30 minutes and let it rest while you get your vegetables and gravy ready. samui phangan real estate

Playtime! Create an outdoor play area for your kids without breaking the bank You need not have the biggest backyard in the neighborhood to create the best outdoor play area for your kids and their friends. You need not break your back, or your bank, to create an amazing outdoor play space. Children aren't fascinated by fancy things. A child only needs something simple and fun such as a sandbox or a rope swing to be happy. All you need is a little planning, a little effort and a lot of creativity. You just need to make sure that the play area is safe and secure for your kids. Next on the list of priorities is that it should boost physical growth, motor skills development and aid imagination and creativity in children. Measure out the dimensions of the area. Designate spaces for specific activities. Chalk out a rough layout with this in mind. Next, make a list of your resources. You don't need to buy everything new. The old lantern in the attic may become the perfect accessory for the playhouse. Or, the chipped table can become centerpiece for the garden tea-party. How do you design an outdoor play area for the little ones? Here are a few hints for help. What do children want in their natural playspaces? Research has very kindly narrowed the field for us by identifying the natural elements that children most want in their natural playspaces. These are: • Water • Vegetation • Animals, insects, creatures in ponds • Sand (especially when mixed with water) • Natural colour, diversity and change • Places and features to sit on; in; under; lean against; provide privacy; shade; shelter • Different levels, nooks, crannies, places to hide • Structures or objects that can be changed, including lots of loose parts Let them get close to nature. Give your kids the opportunity to explore natural wonders on their own.

Include a planter box if your yard lacks space. But if space isn't a constraint, plant trees and let your little ones take care of them. Build a birdhouse or birdbath to attract winged visitors to your backyard. Your kids would soon learn to appreciate nature and its magic when they see trees grow, flowers bloom and chicks hatch from eggs in the bird's nest. Create an opportunity for motor skills development. Your kid doesn't need to visit the playground to get some exercise. With the incorporation of the right elements, he/she can get it in your yard. And have fun too. Buy a swing, see-saw or some other outdoor toy that would aid your little one's motor skills development. You can also build them. But it's easier to ensure your baby's safety when you buy a high-quality outdoor toy that adheres to the safety guidelines. Add a little seating area. Whether it's a small, simple structure with just the posts and roof, or even a canopy made from colorful sheets, or an elaborate fort complete with slides and ladders, every kid would love to have a playhouse of their own. Include thoughtful accessories such as soft cushions in bright, bold colors and interesting lights and lanterns. Add a play kitchen or a little table and chair set for your little princess to give her the perfect setup for pretend play. Incorporate a sandbox and a play pool. Kids love to play in the sand. And it's safe too. You can buy a sandbox from a retailer and install it in the yard or build it on your own. If your kid's older, let him/her carry the tools or pieces of wood in a toy dumper. Another great addition to the outdoor play area for your little one is a small, shallow pool. It can be ideal for splashing around. It can also double up as the rough ocean on which they sail their toy boats when they play pirates. Please be careful and watch your children at all times when close to water. Boost the creative quotient with the right supplies. A chalkboard wall is a great idea to let the children express their artistic selves. You can also include it as part of the fence that surrounds the outdoor play area if space is a little short. Involve your kids in the little projects you take up to add to the play space's attraction. Let them carry small blocks of stone to create a roadway for their cars or put together railway tracks for their trains. Create tunnels with cut-out PVC pipes…..ideas are endless and need not cost a lot…the most important thing is they are outdoors enjoying the space in which you live! samui phangan real estate

RUMORS AND WHISPERS: DISPELLING SOME COMMON INVESTOR MISCONCEPTIONS
N
avigating through the legal world in Thailand can often be confusing and difficult. If you’re new to the real estate market in Thailand and even if you’re a savvy long time investor, there are a number of important restrictions on foreign ownership of land and land ownership through a Thai or foreign company that every investor should know. Some of the more common misconceptions will be addressed in more detail throughout this article. “My Thai wife can’t own land since she’s married to a foreigner.”
This article was co-written by Jeffrey Martin and Paul Volodarsky of the law firm Limcharoen.
This misconception stems from an old law which has been repealed. Until 23rd March 1999 if a Thai person married a foreigner that Thai person gave up their right to purchase land. However, this restriction was lifted by Ministry of Interior regulations. Since that time a Thai national married to a foreigner is permitted to purchase land subject to the foreign spouse declaring that they have no ownership interest in the land. This requires that the foreign spouse sign a document stating that the land purchase was made by the Thai spouse, using the Thai spouse’s money, and for the sole benefit of ownership of the Thai spouse. “Buy this Villa with 74 more lease years” Residential developers will often advertise and market 90 year leases to foreign investors as an alternative to the purchase of land. This gives rise to another misconception; that the foreign investor can obtain a 90 year lease. In accordance with Thai law, a lease can be registered for a maximum period of 30 years. Due to this restriction, developers often structure leasehold contracts to include a registered 30-year lease term and a contractual promise to provide second and third lease terms of 30 years each. Investors are often under the misconception that the 30 + 30 + 30 lease structure is tantamount to a 90 year lease. In reality, the extensions are merely contractual promises, not obligations, by the current landholder to offer the additional lease terms. It is important to remember that while these types of agreements are relatively safe, there is always a possibility that the landowner or a successor may decide to renege on the promise. This is because under privity of contract rules the promise to grant a future right in the contract is only binding against the promising party and not necessarily a successor. Accordingly, investors should take steps to ensure that the contract is structured to provide the leaseholder with the maximum possibility of lease renewal.

“My company is American so I can get Amity Treaty rights to buy land” Under Thai law a foreign individual or company is typically restricted from operating with the same rights as a Thai individual or company. However, the Treaty of Amity gives American individuals and companies operating in Thailand near equal rights as Thai individuals and companies with several exceptions. The most important for purposes of real estate investment is that a company registered under the Treaty of Amity is not permitted to own land in Thailand. While there are some exceptions to foreign land ownership restrictions in Thailand the Treaty of Amity does not confer this right. “I bought land through an offshore company that owns a Thai company” An offshore company is permitted to own shares in a Thai land-owning company with certain specific limitations. Foreign investors often have misconceptions regarding the structure of a Thai land-owning company with foreign ownership. Under the Land Code foreign investors can own a minority stake (maximum 49%) in a Thai landowning company if: (1) Thai persons or Thai Juristic persons own a majority of the shares, (2) the Thai shareholders are genuine investors, (3) the Thai shareholders outnumber the foreign shareholders, and (4) the Thai company is not foreign controlled through the auspices of a third party such as the off shore company. To put it plainly, failing to comply with any one of these requirements may result in the Thai company being deemed a foreign entity and therefore forbidden from owning land. It is strongly advised that every investor in Thai real estate consult with qualified legal counsel. Do not be fooled by what other investors have done (could be illegal) or go with a deal that’s too good to be true (probably is) make sure that you protect your investment by having a clear understanding of your rights and the best ways to protect your investment from running afoul of the law. samui phangan real estate

MORTGAGE DEED
A
mortgage deed is a document that is a waver of rights of an individual, a corporation or business entity over a real property in case of foreclosure due to failure of payments on part of the borrower. This document along with the standard form contract is submitted to the County recorder or Deeds recorder in order to officiate the legalization of the agreement between borrower and lender thus incurring an encumbrance on the real property that was applied as a collateral. Most mortgage loans consist of the basic guidelines that are the standard policies in most parts of the United States and in other countries, however, the policies and guidelines to vary from state to state as interest and amortization changes with prevailing marketing forces. A deed of mortgage is usually carried out when the loan applicant has satisfactorily fulfilled all minimal financial and credit requirements as stated by the mortgage lender. The deed of mortgage usually states the amount and the number of years of the payment plus interest and the principal involved. All provisions that are emphasized including the borrowers permission to place a lien on the said real property once it is approved and the funds are pending for release to the borrower. A deed of mortgage is signed in the presence of a solicitor as a legal formality and finalization of the real estate transaction. The lender has now every legal right to sell or assign the mortgage deed to any third party or any business or individual who wants to buy the property take out the loan in its original price. That is why mortgage lenders consider the loanable amount of the properties market price for its potential resale value in case of failure to pay in part of the borrower. samui phangan real estate

illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. Jeffrey Martin - Limcharoen What brought you to Samui? I actually moved to Samui for work, to operate the Samui office of Limcharoen. How did you get into your field and become a part of Limcharoen? Before coming to Samui, I was practicing law in Canada and came to know Christian Glanville, who was then the Managing Partner of the Limcharoen Samui office (he is now the COO of the Limcharoen Group). Christian told me that the Limcharoen team was looking for someone to take over the Samui office. I had been to Samui on holiday before, enjoyed Samui, and I figured that if I did not take the opportunity, it might never come along again. Initially, I had planned to spend a year or two in Thailand and then take-up practice again in Canada. However, I have found that the quality of life in Thailand is amazing, and Asia seems to be the place to be economically for the next decade, so it looks like I am in Asia for the long-term now. Who makes up Limcharoen? Limcharoen has offices internationally, and each office is comprised of local qualified attorneys, and foreign associates and partners, who are qualified attorneys in their home jurisdiction, in addition to legal support staff. What kind of services does Limcharoen offer? We are a general practice law firm. In resort destinations, such as Samui, Phuket and Bali, for instance, we have a strong real estate and corporate practice, assisting large and small businesses and also end-buyers. Limcharoen is not only in Samui, where else do you operate? Limcharoen is an international firm focused on Asia, and we have offices in Thailand, Vietnam and Indonesia.

In Canada, I represented a person who was deemed clinically insane. You are also the President of the Samui Rotary Club? What is the club all about and how did you get involved? Rotary is an international organization which operates through local clubs (such as the Rotary Club of Koh Samui) and Districts. Each club raises money through community projects and then uses the money to help out a particular charitable cause in the community. The Rotary Club of Koh Samui is currently focused on raising money to assist the Special Needs School build a new classroom for its students. At the international level, Rotary International (“RI”) raises money and provides grants to particular clubs and districts and also progresses large project. Most people don’t realize that Rotary International was the driving force behind the fight against Polio before Bill Gates got involved. What does the future hold for Limcharoen and you in Samui? Limcharoen is in Samui for the long-run. 10 best roofing materials for warmer climates PART 2 F

As we all know living on the islands it can get sweltering and we will do anything for a bit of relief as well as keep our electricity bills low and do our bit for the planet… Solar/Photovoltaic Systems

Reflecting heat back up into the air is one thing, but holding the heat for use as alternative energy is quite another. If you want to store up heat but not have it stored up in your home or office, a photovoltaic system is worth looking into. Photovoltaic or PV roof shingles capture and redirect solar power into electricity. Solar electric panels and shingles come in traditional shingle shapes and sizes, so adding this energy-efficient technology is not an aesthetic sacrifice as much as some of the older, bulkier rooftop panels of past decades.
Wearing a rubber raincoat or hip waiters in hot weather sounds about as cool as a hot black rubber sheet baking in the sun all day. A rubber roof for warm climates? Really? While not technically a "rubber" roof, this single-ply, white, rubber-like membrane roofing is a cool technology. It's made of strong, weatherresistant thermoplastic or a synthetic rubber called EPDM (ethylene propylene diene Monomer). EPDM is a common roof coating in commercial building praised for its long wear, and it's a thermoset, a pre-molded or "set" rubber-like material. EPDM comes in rolls or sheets for covering large areas quickly.
Cost and location, however, are big factors. Use of photovoltaic shingles and sheets will eventually lead to lower prices and increased performance, but usage isn't widespread yet. Start-up investment in products and installation is high. Having a sufficiently sunny

Both types of membrane roofing are lightweight, very durable and reflective, keeping sun from absorbing into structures. With an almost seamless application, they also serve as waterproof barriers to protect the surface underneath and are good foundation layers for green roofing. White Barrel “S� Tile Roof testing by the Florida Power & Light Company in the hot, sunny and humid conditions of Florida shows that white s-shaped tiles made from concrete are very effective at keeping heat from the sun out of homes. They reflect about 74 percent of the sun's energy away from the roof. White barrel "s" tiles resemble traditional terra cotta designs and require similar installation techniques, and they take advantage of the same raised arch design, which allows for air circulation. S-shaped concrete tiles in bright white reflect more solar rays than traditional terra cotta, though, by about 40 percent. White Flat Tile Another roofing material well-suited to warm climates is flat concrete tiling, and as mentioned earlier, it's available in cool colors. A close, but lighter-weight version is the bright white flat tile made of ceramic, elastomeric material or combinations of fibers and cement. These white flat tiles rank high in testing as both very heat-reflective and long lasting. Flat white cement tiles reflect as much as 77 percent of the sun's rays [source: Better Homes and Gardens]. As with the
white barrel type, white flat tiles keep heat from filtering down into buildings. Some upkeep comes with white roofing, as with most roof types, and power-washing helps to keep the surface from becoming dingy and losing its reflective edge over more traditional shingles. White Metal Roofing In terms of reflectivity, white metal roofing actually doesn't perform as well as white flat and white barrel tiles. It reflects about 66 percent of the sun's energy away from a roof. But white metal roofing does have one edge: Compared to other roofing types, it cools faster at night, and holds less heat for shorter periods. Most metal roofing will cost 20 to 30 percent more than traditional roofing, but in energy savings, durability and lowered maintenance, it is a cost saver overall. In order to maximize the benefits of metal roofing in warm climates, however, treatments and installation are major factors. Most metal roofs are steel and aluminum, with copper options more on the high end, and most types should be treated for corrosion resistance. They also need to meet minimum code standards for wind resistance and placement. If installed at an angle without slope planning and glare considerations, no matter how cool the white metal roof is, it won't be cool to nearby residents and drivers who get blinded by the reflected light. samui phangan real estate

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area.
STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
