EDITOR'S LETTER It’s hard to believe the year is coming to an end, with only one more issue after this….. 2014 has most certainly flown by and with some amazing results for the islands and Thailand as a whole. Koh Samui and the surrounding islands have had a steep increase in tourism with most businesses reporting as much as a 20% increase on last year. Further to tourism, we can see a positive incline in investment, purchase of land as well as of houses and newly available condominiums. All in all, the islands are moving in a positive and exciting direction. Let’s hope that by the time our Dec/Jan issue hits the shelves, Thailand and most importantly the islands close the year on an almighty high and can ease into 2014 full of confidence! Happy reading…

TIME FOR A SEA CHANGE…

T

ropical living architecture is a niche style of building and good client service must include that they get the best advice for tropical living and the issues to avoid. SeaChange Design has operated for 10 years in tropical design and offers the union of house and landscape architecture to ensure outdoor living spaces are core part of the living areas. Most Koh Samui projects also need stunning rental appeal making knowledge of the sophisticated traveller tastes important.

These aspects are applied by Renee Ellen at SeaChange Design, with her team of local and foreign experts to create projects sensitive to each client. First stage of concept planning is entered into for a 6 week process to prepare a study of the land and scale concepts of the exteriors and floor plans. We discuss financial goals, project ideals and preferred style. From this outstep we target an ideal building size

to meet budget and zoning laws. The building size immediately describes the layout required. With these important foundations established we then let the fantasy stage begin, allowing the location talk. It is a surprise waiting to be explored. Sketches begin until we can translate the sense into an elemental block form on computer, holding the suggestion of roof, functions, orientation and for a development site, the arrangement of buildings for samui phangan real estate

a masterplan overview. The block layout is our first presentation to client. We continue in solid steps to define the form via 3D modelling. The purpose of the concept development stage is to get to clarity. Keeping an open mind until we do reach this a-ha! point is a necessary part of the step-by-step process. When the client is not in Samui we share 3D walk-throughs via Skype conference calls. The transition from a great concept to complete construction plans is then a smooth transition. The emphasis of this visual communication gives people control and assists the language barrier that is common in this international island. Rarely do our clients have English as their first language. Below is a written story from French speaking clients of their experience working with SeaChange to create their Samui home. Filled with almost anything you can imagine, the humble dumpling can boast so much flavour, is easy to make and even easier to eat! Dumplings, otherwise known as Pot Stickers can be steamed or fried and are simple, delicious and can be eaten as a starter, a main or even as a snack.

PORK DUMPLINGS (JAPANESE GYOZA) Ingredients • • • • • • • •

2 tsp vegetable oil 2 tsp finely grated fresh ginger 2 garlic cloves, finely chopped 55g (3/4 cup) coarsely chopped green cabbage 2 tbs water 250g pork mince 2 shallots, trimmed, thinly sliced 1 tbs soy sauce

• 2 tsp caster sugar • 1 tsp sesame oil • 24 gow gee wrappers (or wonton wrappers, preferably round) • 1 1/2 tbs vegetable oil, extra • 160ml (2/3 cup) water, extra • Soy sauce, to serve

Instructions Heat vegetable oil in a saucepan over medium heat. Cook ginger and garlic, stirring, for 1 minute or until aromatic. Add cabbage and water. Cook, stirring occasionally, for 3 minutes or until the cabbage wilts. Transfer to a bowl. Set aside to cool. Stir in pork, shallot, soy sauce, sugar and sesame oil. Season with salt. Place 1 wrapper on a clean work surface. Place 2 teaspoonfuls of pork mixture in the centre of the wrapper. Brush edges with water. Fold over to enclose filling. Pinch edges together. Place on a tray lined with non-stick baking paper. Repeat with remaining wrappers and pork mixture. Heat half the extra vegetable oil in a non-stick frying pan over high heat. Cook half the gyozas for 2 minutes or until bases are golden. Add half the extra water. Cook, covered, for 5 minutes or until cooked and liquid has evaporated. Transfer to a serving platter. Cover to keep warm. Repeat with remaining oil, gyoza and water. Serve with chilli sauce or soy sauce

STEAMED VEGETABLE DUMPLINGS (ZHĒNGJIǍO) Ingredients • 6 nuggets of frozen spinach (thawed) • 4 large dried shiitake mushrooms, reconstituted and liquid reserved, stemmed, and chopped (1/2 cup) • 1/4 teaspoon salt • 1/4 teaspoon ground white pepper • 3/4 teaspoon sugar • 1 1/2 tablespoons light (regular) soy sauce • 2 tablespoons sesame oil • 2 tablespoons canola oil • 1 tablespoon finely minced fresh ginger

• 1/3 cup finely chopped carrot • 3 ounces brown pressed tofu, finely chopped (2/3 cup total) • 2 teaspoons cornstarch dissolved in 1 tablespoon water • 1/2 cup chopped Chinese chives or scallions (white and green parts) • 24 gow gee wrappers (or wonton wrappers, preferably round)

Instructions To make the filling, squeeze the thawed spinach in a bowl to remove excess water, when done, there should be about 1/2 cup firmly packed spinach. In a bowl, combine 1/4 cup of the reserved mushroom soaking liquid, salt, white pepper, sugar, soy sauce, and sesame oil. Stir to dissolve the sugar. Set this flavoring sauce aside. In a wok or large skillet, heat the canola oil over medium heat. Add the ginger and stir-fry for about 30 seconds, until aromatic. Add the spinach, carrot, mushrooms, and pressed tofu. Stir to combine and then pour in the flavoring sauce. At first all the liquid will seem to have been absorbed, but after 2 minutes, there will be a little bubbling liquid in the skillet. At that point, give the cornstarch mixture a final stir and stir it into the filling. When the mixture thickens, turn off the heat and add the Chinese chives. Transfer to a bowl and set aside to cool completely before assembling the dumplings. You should have about 2 cups of filling. Place 1 wrapper on a clean work surface. Place 2 teaspoonfuls of pork mixture in the centre of the wrapper. Brush edges with water. Fold over to enclose filling. Pinch edges together. Once assembled, steam the dumplings over boiling water for about 8 minutes, or until slightly puffed and somewhat translucent. Remove the trays and place each atop a serving plate. samui phangan real estate

Even a small slice of the big outdoors can call for big art

W

ith some do-it-yourself ingenuity, creating artwork for an outdoor living space needn't be costly or complicated. In a few summer hours, you can make a piece, large or not-so-large, that packs a visual wallop. Just keep in mind the advice of Bob Richter, interior designer and cast member of PBS' treasure-hunting series "Market Warriors": "There's a fine line between 'What's that piece of junk in your yard?' and art." Landscape designer Chris H. Olsen, of Little Rock, Arkansas, is fond of wine bottles, repurposing empties in myriad ways for the garden as an artsy wall, accent lighting and art objects. "I'm all about fun, funky, great displays and projects that are relatively easy to do," says Olsen. To add patio privacy or garden interest, Olsen builds a wine bottle wall: vertical rows of wine bottles inserted into a wood frame using metal rods. "I love a little 'bling bling' in the garden, and I love glass," says Olsen. Another conversation starter: Olsen's "bottle stars" empty, corked wine bottles that are glued together to create a star shape, then hung in trees and positioned in planted pots. This and other outdoor DIY projects can be found in his book "Chris H. Olsen's Five Seasons" (Leisure Arts, 2011). David Bromstad, host of "HGTV Star" and host designer of the network's "Color Splash," says stringing a dozen or more wine bottles with lights inside them and hanging them from a pergola or other substantial structure the underside of a deck, say creates alluring outdoor lighting. "The more the better," he says. "If you do a ton of those, you'll have an (art) installation." Bromstad recommends cutting off the wine bottles' bottoms and stringing the lights through the bottles with outdoor lamp cord. Visit Pinterest, the online projects board, for images of this and other ways to use wine bottles as lighting.

Bromstad is known for creating large pieces bursting with color for his TV show clients. DIYers can do the same for an outdoor space, he says, by using outdoorsafe supplies: pressure-treated plywood instead of canvas, and an outdoor primer and paint. Bromstad uses Nova Color, an acrylic paint that stands up well to the elements. Distress the plywood before painting to accentuate its roughness, he suggests. Do drip painting a la Jackson Pollock if your artistic skills are limited. "Everything that has to be outdoors has to last through the elements," Bromstad says, "so you might as well make it look rough from the beginning." Both Bromstad and Olsen say concrete blocks are useful in the garden: Stack them to build a wall, cement couch, bench or table. Make it artsy by planting the openings with flowers, herbs or other greenery. Again, Pinterest posts scads of images. "It's just stacking," says Olsen. "You don't even have to mortar it." One more idea from Bromstad: Hang old gutters from a fence, garage wall or along a pergola's perimeter just about anywhere, he says and plant them with impatiens or herbs. Make sure the gutters slope so water can drain. "It's one big, beautiful art project," says Bromstad. "It's just gorgeous." Richter roams flea markets for large outdoor art for himself and clients, gravitating toward antique signage and industrial-looking collectibles because they can weather the elements. Surfboards propped on a deck or attached to a garage wall are popular right now, he says. While art is in the eye of the beholder, Richter says care and placement is the key. Looking to the sky which remains an acid test for Samui’s tourism industry, a 61% surge in international passenger arrivals is a positive step forward. INVESTING IN A THAI COMPANY

I

n an earlier article, this author explored the initial legal considerations associated with investing in a private Thai company, including the tax considerations, legal risks, the sale and purchase agreement and transactional “closing” issues. This article will continue on the topic of investing in a Thai company, and will consider what are normally considered “post-completion” matters, including steps to restructure one’s investment in order to mitigate inherent risks.

To briefly recap on the previous article, subject to certain exceptions, foreigners may not own land in Thailand, although foreigners are permitted to acquire long-term registered leases over land and direct ownership of fixtures on land, amongst other interests. In addition, a private Thai company may acquire land; and foreign investors may acquire a minority stake in that company. The majority shares must be held by Thai individuals or companies. In accordance with Thai law, the Thai shareholders must be genuine investor partners, and cannot in any circumstances be “nominee” shareholders, holding shares on behalf of the foreign investors merely in order to meet the Thai quota. Articles of Association When investing in a private Thai company, steps should be taken to implement specialized Articles of Association for that company where said Articles have not already been implemented. Particularly where the investor is or will become a minority shareholder, the investor will benefit from quorum mechanisms and protections described below. Where a private Thai company has not implemented Articles of Association, the relevant corporate provisions of the Civil and Commercial Code will apply, which provisions set a quorum of only 25 percent of the shares (and not votes) in order to constitute a valid shareholders’ meeting. In addition, at a validly constituted shareholders’ meeting, most decisions can be passed by a simple majority. Although notice must be issued before each shareholders’ meeting, the said default rules provide that a meeting can take place without the attendance of those shareholders holding up to 75 percent of the shares; and even if all shareholders are present at a shareholders’ meeting, most decisions are made by a simple majority. These rules therefore legally allow the majority shareholders to dispose of company assets, change the company directors and take other actions that could prejudice the interests of the minority shareholders, without the participation of the minority shareholders. Fortunately, using specialized Articles of Association, it is possible to increase the quorum requirements and thereby implement minority

protections. In particular, the Articles of Association would provide that the minority shareholders (or a select group thereof) must be present at a shareholders’ meeting and vote positively with respect to certain important decisions, such as those decisions described above. Such “negative” control is distinct from positive control though preferred voting rights. In the latter scenario, the minority shareholders receive, for example,10 votes per share, while the majority shareholders receive 1 vote per share, thereby permitting the minority shareholders to assert voting control of the company. The use of preferred voting rights has attracted negative attention from the government in the past, and may imply a nominee structure, and therefore investors should be cautious about using preference voting rights and should seek qualified legal advice to determine whether the use of preference voting rights is legally justified and legitimate in their particular circumstances. Shareholders’ Agreement When investing in a private Thai company with multiple parties, it is always recommended that a shareholders’ agreement is executed. In the first instance, the shareholders’ agreement should clarify the investment made by each shareholder in order to clarify that all shareholders are genuine investors. The agreement should also provide a mechanism for terminating the investment relationship, and may contain strong remedies protecting the minority shareholders should a majority or other shareholder commit an enumerated default. In addition, a number of practical methods have been established to secure the rights of the shareholders under the shareholders’ agreement, including the ability to terminate against a majority shareholder. Depending on the circumstances, it may also be important that the shareholders’ agreement contain “rights of first refusal”, “drag along rights” and “tag along rights” and similar mechanisms in order to create efficient exit and succession options. Also, the agreement should address the issue of current shareholder loans and the process for seeking future financing, whether by equity or debt; and in conjunction with the Articles of Association, clarify the process for repaying loans, and distributing dividends from both profits and capital disposition gains. This article is intended to provide a brief overview of the contractual and corporate mechanisms available to protect shareholders of a private Thai company, and is not intended to be exhaustive. Addition measures may be appropriate depending on the circumstances of the investors, and investors should seek qualified legal and tax advice in order to structure their legal affairs efficiently. samui phangan real estate

illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Samui Phangan Real Estate Magazine speaks with Harry Bonning from Koh Samui Properties to get his take on the property market… So how did you come to live in Koh Samui? Whilst working in Bangkok a client asked us to come down and check some land for him, which we did. That was back in 2000 and we immediately saw the opportunity here as at the time there was only three other agents operating on the island. We opened our office on the ring road in Chaweng near to where Bangkok Hospital now is, although that came a few years later. So who makes up the Koh Samui Properties team and how did it come about? Following the crash in the market after 2007 we slimmed down considerably to take in to account the reduced level of business which has left three of us operating from our office in Bangrak, where we relocated to at the beginning of 2012 after ten years in our original office. What does Koh Samui Properties offer? Our principal business is the sale of real estate in Koh Samui but we also handle lettings. As a Chartered Surveyor I personally offer Project Management, Property Surveys and Valuations. What makes Koh Samui Properties different to the other villa rental and sales companies on the island? We are a small team offering personal service with over eleven years of experience on Koh Samui and are one of the longest established real estate agents on the island. I am the only resident Chartered Surveyor on the island and as such the company has to operate within the Professional Standards laid down by the Royal Institution of Chartered Surveyors.

Any plans for expansion or anything new and exciting on the horizon for Koh Samui Properties? The future of the company will depend on the market and that relies on the recovery of the world economy and the confidence of buyers to return to Thailand. There is some evidence of that beginning to happen but it will take a while to take up the slack here, as buyers have a huge number of properties to choose from at the moment. We will take that as it comes… Why, according to you, should one buy or rent a villa or property in Koh Samui? How do you compare the island with other destinations? One of the charms of Koh Samui is that it is not perfect. It still has rough edges and some infrastructure issues to attend to. But that makes it interesting, certainly frustrating at times, but on the whole, the fact that you can still see the old Samui in certain areas – not Chaweng and Lamai obviously – it gives it something of an old world charm. But most important is that it is an island and has that island feel. Other than the property, what are the facilities/ amenities should a buyer or renter should look at when short listing properties? That is a question that could have its own long separate article but to put it simply - pay for good due diligence by a lawyer, land title, access and how the purchase will be structured. Ask about electric and water supply and cost. Consider your personal intentions so that you are not too far from the facilities you wish to use. I know people who bought properties in the south of the island and have now moved back to the north to be nearer to restaurants, shops, etc.

IS ALWAYS GREENER Top 5 tips for making your grass grow

I

f you're keeping up with the "green" movement, you've probably spent some time around your home looking for ways to save energy and reduce waste. You've swapped incandescent bulbs for compact fluorescent models, separated your recycling from your trash, caulked leaky windows and installed a programmable thermostat. But greening your home doesn't stop at the front door. There's a lot you can do to make your yard -- and the way you care for it -- more environmentally friendly. Some of the steps you can take can even save you time and money. We'll start at the beginning: Just what do you have growing underfoot? Plant the right plants There's nothing like the feel of a fresh-mown bluegrass lawn -- but depending on where you live, there might be a better option for you. Choosing a groundcover that will thrive around your home will save you lots of

time and money in the long run. Here's what to keep in mind: • What's the average temperature where you live? We all know it is hot as anything on the islands, so keep that in mind • How much rainfall do you get each year, especially during the spring and summer months when grass grows fastest? • What's your soil like? • How shady is your lawn? Once you have the answers, talk to a lawn care professional in your area -- he or she will have experience with which grasses will grow best and require less water and upkeep. Once the grass is in the ground, the next step to cutting down on waste is to keep it healthy. Keep It Healthy When it comes to looking smooth and green, healthy lawns have a serious advantage over unhealthy lawns. And it's not just because a sick lawn tends to look bare and wilted. A healthy lawn has strong, deep roots. It absorbs water better than an unhealthy lawn, and all those roots make it tougher for weeds to find a home there. Regular care is a great way to keep your lawn healthy. Get rid of weeds that do sprout promptly so they can't take over. Fertilize in the spring and fall, but don't overdo it. Mow only when you really need to, and raise the blade height on your mower to let the grass get a little taller -- that way, it can collect more sunlight and


develop deeper roots. And finally, make sure not to cut more than a third of the blade height each time you mow -- a more drastic cut can damage your grass. No matter how deep its roots are, your lawn may still need a little extra water at some point. Read on to find out how to make the most of it. Water Wisely Especially if you live in a relatively dry area, it can take a lot of water to keep a yard green and healthy. Fortunately, it's easy to cut down on the amount of water you need to grow a lovely lawn. Here are a few basic steps: • Don't water during the heat of the day: A lot of the moisture will evaporate before the soil (and grass) can absorb it. • Water only when you need to: Check the weather report before you decide to water. • Use only as much water as you need: That sounds obvious, but in Utah, for example, about half the water used on lawns goes to waste • Install a drip irrigation system: Drip irrigation releases water slowly, giving plants time to absorb each drop before the next one appears. Once your lawn is green and growing, you can keep your environmental focus while maintaining it as well. We'll look at how on the next two pages. Green your mower

energy-conscious option is the reel mower, which transfers the power of the person pushing to the set of spinning blades that cut the grass. Since physical effort is what makes them go, manually powered reel mowers are best for lawns that are both very small and very flat. You don't have to give up on power to have a more environmentally friendly mower, though. A number of manufactures produce mowers that use alternative fuels. Lose the chemicals Fertilizers, pesticides and herbicides are just some of the products you may use on your lawn. If your lawn is already healthy, you don't need to overdo it with these kinds of products -- a little goes a long way. But chances are, you'll still need to put something on your lawn at some point. And since these products can make their way into the water supply (and wind up on children's hands and pets' paws) many homeowners are choosing organic or natural alternatives. Natural herbicides include corn gluten and vinegar. Garlic, boric acid and citrus oils are among the more natural insect repellents and pesticides. You can also shop around for natural and organic versions of these products at your local garden supply store. In addition, you can go green with your lawn care products by using compost as a homemade fertilizer. And if you'd prefer to skip the composting process, you can buy compost and other natural fertilizers ready-made.

hen you consider how a building keeps cool, the most common thing that comes to mind is air conditioning. But the first real line of defense against the heat is a building's roof. And a hot day in the life of a good roof should include releasing -- not storing and absorbing -- the sun's rays.

roof coatings have advanced in recent years, and more developments are underway. Elastomeric sealants, foam sprays, ceramic-based paints and even "recycled waste cooking oil" treatments are making gains in providing ways to cool existing roofs by applying coats of overlay that reflect heat away.

Think of it this way: If you're sitting on a chair covered in black fabric and you go to the kitchen for a cup of coffee, your chair will likely be warm when you get up -- and it will stay warm until you return. But if your chair is metal, clay, molded plastic or slate, for example, it might be slightly warm to the touch when you get up, but it will be entirely cooled by the time you return.

A technology on the flipside of an overlay is a roof underpinning, or sub-roof system called a radiant barrier. This under-the-roof application involves installing a reflective material, such as aluminum, or even a specialized reflective spray treatment that's installed into an attic or space between a home's interior and the roof. These act as barriers to keep heat up and out of a home.

So, before grabbing a ladder and a can of patio furniture paint and exterior primer, see what roofing materials and techniques -- from the traditional to the high-tech -- have proven to work well in warmer climates. Overlays and Radiant Barriers Using an umbrella or a wide-brimmed straw hat on a hot day at the beach helps keep the sun at bay. Technology is bringing cover-ups to roofing as well. These cool-

Slate Tile Roofing with slate tiles is a centuries-old European tradition that made its way to the Americas in the early 17th century. Slate is durable and beautiful, with a natural color range, and it lasts a long time with little maintenance. Light colored and earth-toned slate help in reducing the heat absorbed by a building because it has natural reflective properties. It also wears to a nice finish over time.


Some downsides to using slate are its upscale price and heavy weight. While slate is among the most beautiful roofing treatments, it is costly and harder to transport than lighter, less breakable materials. Terracotta and Clay Most regions of Spain, Mexico, Italy and the American Southwest have tons of heat and sunshine, and an abundance of Mission- or Spanish-style terra cotta roofs. Modern clay tiles have paint treatments to make them look like more expensive slate or traditional terra cotta and to add weatherproofing and reflective capabilities. Traditional rust or sienna-colored terra cotta tiles keep buildings cool through their shape as much as their composition. Terra cotta tiles go through a baking process in ovens, or kilns, which makes them harder and less porous in terms of holding lots of heat. Most often they're molded into a half-barrel or "S" shape, forming interlocking arches across a roof. Space beneath the arch of each tile allows for air and water circulation and runoff, which prevents heat capture and keeps the home below cooler. Cool Concrete Tile Less expensive than slate and clay in most cases, but more costly than traditional shingles, concrete tile is an option for warm weather durability. Concrete is heavy and takes a long time to heat, making it a good material for warm weather roofing. Using poured concrete

slab roofing is a low-cost option in many developing countries, as it provides protection from bad weather and pests. It does the same in more developed countries, acting as a barrier layer underneath more cosmetic roof treatments. Green/Living Roof Concentrations of dark asphalt roofs, parking lots and roadways in dense areas, especially in large cities, create a negative environmental effect called a "heat island effect" or "urban heat island effect." Heat soaks into these areas because of the dark materials that hold energy throughout the day and night. Painting rooftops and roads white is one step toward reducing the amount of electricity and time needed to cool these urban hot spots, but another idea is to green the spaces from the tops down. Green or living roofs incorporate a waterproof membrane filled with soil and vegetation intended to cool naturally through soil temperature and growth of greenery. Roofs made of living plants also release oxygen into the air, making it less toxic and harmful than row upon row of petroleum-based shingles atop paved streets. Water runoff also serves to cool the buildings, and the entire system protects the base roofing underneath, adding to roof longevity. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area.

STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
