2009 THAILAND PROPERTY AWARDS Following the largest number of nominations ever this year, the entry deadline has now passed and the judging has begun. A team of independent judges have been appointed to carry out judging on the 2009 Thailand Property Awards, and for the first time, the panel are to be announced publicly. “We the organisers have always kept out of the judging process to ensure fairness and transparency. And in the previous three years we have had good reason to keep the names of the judges anonymous. In fact, previously the judges never met and therefore never knew who their fellow judges were. This year, following feedback we received, we have decided to announce who the judges are,” commented Duncan Worthington, Managing Director of Ensign Media and organisers of the Thailand Property Awards. The judges are chosen for their experience, covering a variety of disciplines and nationalities, and each is required to act in a fair and ethical manner and according to the awards' rules, if there is a conflict the relevant judge will withdraw from discussions on that award. The panel of judges for the 2009 Thailand Property Awards, include: Kittisak Aguru (Principal Architect – Robert G. Boughey and Associates Co., Ltd.), Gary Biesty (Managing Partner of Mayer Brown JSM's offices in South Asia), Ian Hamilton (General Manager – Business Development TICON Industrial Connection PLC), Fergal G Harris (Head Of Commercial Real Estate for South East Asia, Standard Chartered Bank), Simon Landy (International Valuation Standards Board), Kris Limcharoen (Chief Executive Officer, Limcharoen Hughes & Glanville), Leong Choong Peng (Managing Director, Davis Langdon & Seah Thailand, International Partner, Davis Langdon & Seah International), Dr. Sopon Pornchokchai (President, Agency for Real Estate Affairs), Charin Satchayan (Partner, LS Horizon Limited), and Associate Professor Dr. Sonthya Vanichvatana (Chairperson of the Department of Real Estate, Martin de Tours School of Management Assumption University). The panel of judges will meet to discuss this years entries and together will short-list up to five in each category. For the condo and villa awards, the short-listed developments will then be contacted

and visited by a separate team of local judges. For example, a team of local judges in Hua Hin will visit the Hua Hin developments, and a local team in Samui will visit the Samui developments, etc. It is the local teams that will then decide on the winner for each of the relevant condo and villa development award. The remaining awards will be decided upon by the central panel of judges who will select a winner from the short-lists previously made. “The entries are very competitive again this year, and I don't envy the panel of judges their task. Analysing and discussing each entry takes time and I wish the judges the best of luck in their deliberations,” added Worthington. When

a market has experienced a substantial decline, as virtually all property markets worldwide have experienced recently, the recovery curve looks very similar to the product life cycle or Rogers innovation adoption curve - tools used by product marketing managers. As a new product is introduced, marketers target the ‘innovators’ - those willing to try something new where others are afraid to be first. After the early innovators come the 'early adopters' those who prefer to observe the experience of others before trying themselves. Then come the ‘early and late majority’ as product sales increase and enter the maturity stage, before sales decline at the end of the cycle. Similarly, as property markets recover, the first buyers back into the market are the 'early investors', who are either better informed or more prepared to assume risk in expectation of higher returns. Then come the ‘late investors’, who are too cautious to be the first back into a market, although once they have observed a perceptible volume of buyers returning to the market, they feel justified to invest themselves. As the property market rebounds on the back of transactions by early and late investors, the good news spreads, the media is full of rebounding market stories and the general market starts to buy. Has Samui reached the bottom of the cycle ready for a rebound? We are probably at the bottom in terms of transaction volumes; when transaction volumes are negligible they can't reasonably be expected to go much lower! The main questions are whether we have reached the bottom of the cycle in terms of prices and how long the 'bottom' will last. In terms of price, we might not be at the bottom but we must be close to it. As mentioned last month, prices in Samui - dominated by foreign buyers and sellers and with the absence of traditional mortgage financing - are largely determined by the wealth of owners and their desperation to sell, i.e. their level of motivation to sell. The longer the market continues in the doldrums, the more pressure there will be to release cash from property assets and more pressure to drop prices. As for how long the bottom will last, we must first remember that prices were overvalued prior to the crisis, and secondly that Samui is a resort property market and resort properties represent discretionary expenditure rather than primary homes for residential purposes. This means Samui will properly recover once the primary markets worldwide have recovered to a point where buyers are confident the worst is over, their jobs and homes are safe and there are marked signs of improvement. This will happen gradually on a country by country basis. For this reason, there will be a time lag between the recovery of primary markets and the recovery of resort markets. Several countries are already showing improvement, such as Hong Kong where apartment prices have rebounded 15% this year. Stock markets are also an early indicator and signs of improvement in stock markets tend to lead the real economy. If stock markets alone are anything to go buy, then improvement in the global economy is imminent. From the beginning of the year, most stock markets have soared, such as China (70%), Brazil (50%), Hong Kong (42%) and Russia (72%). However, these unequivocal signs

of recovery might be premature. So far the global recovery looks “V” shaped, though it could very easily become “U” or “W” shaped. In Samui there are generally three categories of buyer that will return to the market: (1) investors, (2) those buying for holiday homes and (3) lifestyle buyers - retirees and people fed up with the rat race who are moving semi-permanently to the tropics to escape. With regard to investors, now that there has been a shakeout the early investors are once again regaining the confidence to buy again at the lower prices. They have also seen the signs of global recovery and are placing their chips ahead of the crowd. Investors are picking up the bargains and most buyers currently buying in Samui fall into this category.

Time With regard to those buying holiday homes, an unfortunate consequence of the global economic crisis (and the extensive media coverage of pig flu) is that these people are travelling less. The Thai Government, hotels and airlines have recognised this and have increased marketing promotional activities, which has resulted in increased enquiries for travel to Thailand. The low price promotions are also attracting a different class of tourist. Holiday homes are often purchased only after two or three visits to a favourite tourist destination so these promotions will take some time to trickle down to property transactions in this segment. As mentioned above, this segment is particularly keen to see their jobs and homes are safe and marked signs of improvement in the global economy before they buy. This has perhaps been the hardest hit of the segments and will be the slowest to return. As for the lifestyle segment, transactions have clearly slowed, although this segment is showing a trickle of activity. Some of those that were previously planning to make the move are no longer in the financial position to do so, although others are taking their place, probably those tired of hearing the word ‘recession’ at home.

Arbitration:

CHALLENGES, RECOGNITION AND ENFORCEMENT Losing parties in arbitrations do not always voluntarily comply with the award made by the arbitral tribunal; a losing party may have valid grounds to challenge the award or simply not comply with the award. Under Thai law these matters and the recognition of awards are dealt with under The Thai Arbitration act B.E. 2545 (2002) which is referred to in this article as “The Act�. Challenges Under Section 40 of The Act a dissatisfied party may file a motion to the Thai courts to set aside the award, however the motion must be filed within ninety days of the award being made and the party filing the motion is required to prove its allegations. The grounds under which the court may set aside the award may be categorised as procedural or policy grounds; procedural grounds include (a) A party to the arbitration was under some incapacity, (b) There is no valid arbitration agreement, (c) The party was unable to defend its case in the proceedings, (d) The award deals with matters outside the scope of the arbitration agreement or (e) The appointment of the tribunal or the conduct of the proceedings was not in accordance with the agreement of the parties. The policy grounds include (i) Where the award deals with a dispute that is not capable of settlement by arbitration under the law or (ii) The recognition or enforcement of the award would be against public policy. Recognition Section 41 of The Act deals with recognition of the award; recognition of an award is important as it prevents a party from commencing an act against the other party in litigation or arbitration for the matters that have previously been referred to arbitration for determination under the legal doctrine of Res Judicata. Effectively if a party commences new 12


proceedings against the other party for the same matters dealt with in an arbitration the recognition of the award by the courts prevents the other party from re-litigating or re-arbitrating the same matters. Enforcement Where a losing party simply fails to voluntarily comply with an arbitral award the winning party may make an application to the Thai courts for an enforcement order; however under Section 42 of the Act the application must be made within three years from the date the award became enforceable. Whilst it is stated the court will promptly examine and give judgement on the application it is understood this procedure can take several years in Thailand and some other jurisdictions. When making an application for enforcement to the Thai courts the applicant must include in its application (1) The original or certified copy of the arbitration agreement and (2) The original or certified copy of the arbitral award. Where these documents are not in Thai it is a further requirement that certified Thai translations of these documents are also included in the application. Under Section 43 of The Act the Thai courts may refuse enforcement where the party against whom the award is to be enforced can prove grounds (a) to (e) above are applicable or the additional ground that the award has already been set aside. The court may also refuse enforcement under Section 44 where it finds grounds (i) and (ii) above are applicable. Under Section 45 of The Act there are only very limited grounds for appeal against the judgment of the court under The Act. Summary When a party wins an arbitration it should not assume the losing party will automatically comply with the award; the losing party may challenge the award or not voluntarily comply with the award obliging the winning party to apply for an enforcement order in the courts. The enforcement procedures can be time consuming and costly in some jurisdictions and where this is so it is not uncommon for a losing party to negotiate a ‘final discount’ on the awarded amount in exchange for voluntary compliance with the award. Issues for Investors

Who Purchase A Re-Sale Property Many investors choose to invest in off-plan or newly constructed properties on Koh Samui and Koh Phangnan. This is due in part to the wide variety of luxury residences being offered off-plan (or newly constructed) around Koh Samui and Koh Phangnan’s emerging real estate market. Despite this, many investors find that their ideal tropical home is being offered for sale by a private seller who has perhaps owned and occupied the property for a number of years. As the real estate market here matures over the coming years, it is foreseeable that an increasing number of investors will be acquiring re-sale properties from private sellers rather than off-plan. Christian Glanville, Partner in the law firm Limcharoen, Hughes & Glanville (Samui) examines some of the key issues to be addressed by investors who choose to acquire a re-sale property in Koh Samui or Koh Phangnan. Generally speaking, a prospective investor buys at his/her own risk and should therefore undertake a detailed and independent investigation into all aspects of the property prior to paying any portion of the purchase price to the seller. The scope of such investigations will depend upon the precise nature of the property but all investigations should include: • A title investigation to establish that the Seller is the legal owner of the property and that the title to the property has been legally issued in accordance with the laws of Thailand and has full legal rights of access; • An investigation to establish whether or not the property has been built in accordance with local building and environmental regulations; • A structural survey to ensure the structural integrity of the property and to ascertain whether or not any major repairs are required; • The physical testing of the facilities at the property such as air conditioning units and water boilers to ensure that they are in full working order. Any defects, inconsistencies or concerns which are revealed by such investigations should be put to the seller in writing and the seller should provide further written information or documentation to satisfy the concerns of the prospective investor. Where appropriate, such information and documentation should be independently verified. It may be appropriate in certain circumstances for the seller to provide contractual assurances with regards to matters. A prospective investor may find that the seller does not own the property in their own name but through the ownership of shares in a limited company which owns the property. Such transactions will often involve the sale of the shares in the company to the investor rather than selling the property itself. In share transactions, in addition to the above investigations, the investor should also carry out detailed investigations into the company itself to ensure (amongst other matters) that the company is correctly formed and validly exists, has paid its taxes, has no outstanding liabilities and is the legal owner of the interest in property.

In circumstances which involve the sale of shares in a limited Thai company by a foreign investor, enquiries must be undertaken to ensure that the company will comply with Thai laws once the foreign investor has acquired his/her shares. Foreign investors must be aware that Thai law restricts the number of shares in a limited Thai Company which can be legally owned by foreign investors, particularly if the Thai company owns freehold land. The seller and buyer should negotiate a detailed sale and purchase agreement with regards to the sale of the property, or Share Transfer Agreement if the transaction relates to the sale of shares, setting out the respective obligations of the parties. The sale and purchase agreement should set out clearly the main terms of the agreement between the seller and investor including the purchase price, payment terms, completion date and the consequences of a breach of the agreement by either party. Any specific terms and conditions agreed verbally between the seller and investor, should be clearly set out in the sale and purchase agreement with clear consequences for failure to comply with the obligations. The seller should be required, under the terms of the sale and purchase agreements, to provide comprehensive warranties and representations to the investor with regards to the property. In share transactions, the warranties and representations should also relate to the company itself. The buyer should be permitted to terminate the agreement and claim damages from the seller in the event that any of the warranties and representations are untrue. There will be a number of transfer and registration fees and taxes to be paid upon the legal transfer of the property to the buyer. The sale and purchase agreement should set out in detail who shall be responsible for the payment such fees and taxes. In transactions which involve the sale of property in managed developments, the terms of the agreement between the developer and the original buyer may require the seller, investor and developer to enter into a “Novation� agreement under the terms of which the buyer agrees to abide by all of the agreements signed by the original buyer. In such transactions, the buyer should ensure that they are fully aware of the terms and conditions of the original sales contracts, management agreement, rules and regulations and in certain circumstances the rental agreement as they will be obliged to abide by the terms of these agreements notwithstanding the fact that they were not an original party to the original agreements. This article sets out some of the main issues which should be addressed by investors who elect to acquire a re-sale property in Thailand. Comprehensive due diligence into all aspects of the property (and company in share transactions) and a comprehensive sale and purchase agreement can provide assurance to an investor who may not be familiar with real estate transactions and investments in Thailand. Living on Samui There is a fast growing expatriate community on Koh Samui, with people moving from Europe and beyond to escape the stresses of western life. Thailand is known as one of the most welcoming countries in the world and as Koh Samui has developed over the years it has gradually begun to offer all the comforts of home, but in a tropical island location. Living on Samui is easy; the island now offers a range of excellent locations for shopping, including two large, well stocked supermarkets: Tesco Lotus and Tops. In fact, with all the modern conveniences now available it's sometimes easy to forget you are in Thailand at all. New shopping malls and entertainment centres are on the way, and Western treats like good wine and imported food that foreign residents may have once missed, are now readily available. People who live on Samui enjoy a vast choice for wining, dining and entertainment. Thai food of course abounds, and is both tasty and extremely good value. There is also a huge choice of international cuisine with everything from fine French cuisine to fast food chains. For those who like drinking and socializing, many Western style pubs and clubs not only serve local alcoholic drinks but also offer many favourite international brands. A number of bars also show live international sporting events, so it's possible to enjoy a cold beer in the sun whilst watching your favourite football team play in the cold wind and rain back home. Of course Thailand wouldn't be the same without its people. It is mainly because of their friendly nature that foreign visitors keep coming back and end up living on Samui. Most local people speak a certain amount of English, which means that speaking Thai is not necessary, although life becomes much easier if you do make the effort. Don't expect tobe living an authentic Thai life though; around 80 percent of the population on the island is made up of visitors or expats. Samui is fast becoming a comfortable, sophisticated haven in the sun, but it is also important to remember that there are significant cultural differences that may cause frustration. Local people enjoy a relaxed approach to life, and this can take some getting used to. As long as you are prepared to meet the local people half way, living on their tropical island can be a pleasure indeed.

PERSONAL PROFILE

IAN WEBSTER BOTANICAL DESIGNS Ian Webster, is a landscape designer earning himself a name for creating masterpiece gardens across Koh Samui and Koh Phangan. Having lived and worked, mainly in the UK and Australia, Ian developed a fascination for Thai culture and its infectious vibrancy during a trip around the islands with his partner Bonnie and step-son Max in early 2004. With little persuasion, Ian found himself returning to island life on a more permanent basis by the end of that year. Having arrived, Ian helped set up and establish one of Samui’s landscape installation companies with a like-minded friend, before amicably departing to form his own design lead company, Botanical Designs. Since its formation, just two and a half years ago, the company has undergone rapid growth, expanding from a studio based design service to a comprehensive landscaping service, not only offering bespoke design but also providing all the capability of a large, highly skilled construction team, an experienced, knowledgeable soft-scape installation crew and a structured garden maintenance service. When asked about the company’s fortunes, Ian maintains a simple stance. “The main aim of the company is to design unique and functional landscapes which belong in their environment. A lot of our work is required on sites fresh from construction. Other work is engaged by those wishing to include landscape as a large part of their product identity, so we may be employed during the early stages of a project to help minimize destruction of the existing landscape, prior to construction. Either way, our aim is to create wonderful places to be which have a natural place in their settings ….It seems there’s plenty of people out there who share that view “ 38


Ian is currently designing for the second of four separate and uniquely appointed villas in the Maenam Hills. Krystina Mylonas of Dreamcoast Developments commented on her experience during the first two projects. “Working with Ian is quite simply a pleasure! His ideas are just brilliant and the way in which he listens to the clients ideas and integrates them with his creativity is inspiring “ This sentiment is echoed by clients Andy and Kerry Russell who’s large scale Japanese style garden in the Bang Makham hills is nearing completion. "Ian and his team are a pleasure to work with” says Andy, “his open and reflective manner, plus the flexibility in idea exchange as well as implementation has made the process of our garden's construction as much of a delight as the eventual end product we are now so proud of." “A lot of the enjoyment I get from my work comes from collecting all the fragments of ideas, notions and images that are tossed about during the inception of a concept and painting a picture. But, ultimately, the real fun is bringing that picture into reality!” Says Ian, describing his love of the design process, “it’s great when a client gets fired up and enthusiastic about the creative process. Then the whole thing becomes more of a shared experience…. I’ll never lose the enjoyment of sitting, with a glass of wine at the end of a project, in a place which used to be just a picture ” When asked what it is he likes about island life, Ian replies, “I like the freedom you can enjoy here. Life just feels lighter… less complicated and burdened than in the West. It’s more colourful, I love the constant stimulation of Thailand, there always seems to be something fascinating or mind-boggling happening. That’s pretty much what sold me on a long-term move here. Then, of course, there’s the island itself. I really like the West coast. I never get tired of the view out to sea at sunset from the Bang Makham shore and at sun-rise you get such beautiful light in the mornings, it’s a perfect start to the day. It’s also great to have seen my step-son Max grow up in such a care-free environment. We welcomed our little girl, Indi, into the world a couple of months ago and it’s wonderful that she’ll have the same opportunity to run free!”

MEDICAL CARE ON KOH SAMUI When it comes to health care on present day Koh Samui your options are not all that different than in other places throughout the world. You can seek medical advice much as you would in your home country. Neighborhood and international pharmacies are in abundance here on the island and can be found in nearly every village and town. We also have International hospitals and clinics equipped with some of the most current technology and highly trained staff for dealing with the most serious of ailments or medical emergencies.

Pharmacy treatment Generally these popular shops can be seen in most parts of the island and provide products and advice to make us look and feel better. Keeping in mind though that the pharmacist's may be an expert on medicines, but not illness.

Some advantages of using a community pharmacy • Ease of access - no appointments are necessary, some are open 24 hours • If a friend or family member is unable to go in person due to illness you may seek treatment on their behalf. • Friendly, relaxed, approachable service, most pharmacy staff are happy to explain the remedies they are suggesting and are willing to spend extra time with their customers

Clinics There are a number of clinics on the island. Check ahead but most of the medical professionals speak English, and are well qualified to treat most common ailments and minor injuries. Be aware though that doctors in Thailand often prescribe antibiotics more freely than their western counterparts. These clinics often are run by doctors who work in the hospitals and run the clinic during their off hours. Due to this, it may be a good idea to check on these times, as they tend to be early morning or late evening.

Bandon International Hospital Bandon International has 3 branches in the Suratthani province. Established on the mainland in 1977 and responding to the growing demands it opened the medical center on Koh Samui in 1987 (Bandon International Hospital Samui). With the newest branch opening on Koh Phangan, (Bandon International Clinic), located near the Haad Rin Pier. The Samui branch is located next to the south side of Big “C� just off the ring road. The medical center operates to professional standards, with fully trained personnel, and equipped with contemporary diagnostic tools. Magnetic Resonance -Imaging (MRI) and CAT scan equipment as well as the more traditional X-ray and EKG are available. Bandon International Hospital Samui is perhaps most noted for its expertise in cosmetic surgery and a few of the treatments they offer include breast augmentation, reconstructive plastic surgery, facelifts, liposuction and hair transplants. Generally this hospital is recognized as a competent cost effective care provider serving many locals as well as tourists.

They also may be the only hospital on Samui that could explain your treatment in Hebrew.

Samui International Hospital Samui International Hospital is located in Chawang on the beach road and probably has the busiest outpatient clinic on the island. As well as emergency care they also provide services that include examinations and paperwork necessary to apply for a work permit or to qualify for a diving course. Having committed to grow with the times the facility has expanded its staff and services continually since opening in 1997. Likely to be one of the easiest hospitals to use for foreigners with many full time English speaking doctors and staff. A favourite amongst expats living on the island, the costs of most services is not extravagant. This hospital like most offers the services you would expect from a modern care facility but they also have some that might pleasantly surprise you. For instance, Samui International offers a range of personalized physical check-up programs that encourage you to keep track of your physical well-being. And when the rains come, whether for convince or as a necessity, a house call can be easily arranged.

Thai International Hospital One of the newer additions to Koh Samui's medical community. Thai International is located near the ring road and opposite Tesco Lotus. Should you have an emergency and need to be transported from one of the other islands such as Koh Phangan or Koh Tao you can be evacuated by speed-boats with a doctor and nurse on board while in transit to the hospital. They have the ability to med evac patients to the hospital by land, sea or even helicopter if necessary. Offering all the services you would expect of an International class hospital. They provide an extensive range of cosmetic surgery options and include free consultation services before you make your final decision. Thai International has their own in-house certified plastic surgeon, and is equally proud of its comprehensive Hemodialysis Centre.

Its pricey and not for the back-packer crowd unless you have a really good international insurance provider. If you have medical coverage they have plenty of staff to help you get the paperwork sorted and you on your way home.

Samui Government Hospital Located just out side of Nathon, about one kilometer down the road from the Immigration office, toward the beach. Though it lacks the cosmetic luster of some of the newer hospitals it offers many of the same procedures and has established a good reputation for quality service at a substantially lower cost. Many of the best surgeons working in the newer hospitals are on staff here as well. Private rooms are available but the majority of patients are in wards housing up to 40 people with their families and friends at their bedside. Patients that may be only slightly injured or ill often end up lying next to people that are terminal. This may be something to keep in mind if you are overly sensitive to this kind of situation. It is a busy place though and if practice makes perfect you may be in better hands here simply because the surgeons and staff are getting a lot of hands on experience. We are fortunate to have choices when it comes to Health care here on Koh Samui. Sometimes it’s narrowed by the nature of the ailment. Unfortunately, care may be dictated by cost but today there are at least choices. Wellness options are also readily available here offering beautiful secluded spas and wellness clinics set in tranquil locations intended to prevent rather than cure. These relaxing retreats may take away some of those aches, pains and life style stresses. It could be just what you need for complete rejuvenation and possibly keeping a trip to the doctor at bay.

BUILDING A HOME

Choosing a Reliable Agent Whether you choose to live in a gated development, purchase a stand-alone home, or for the even more adventurous, buy a piece of raw land on which to build your future dream house, you will be in need of the services of a good real estate agent. Choosing the right agent is essential as a reputable firm with good local contacts can help you avoid many of the pitfalls that a less informed buyer might encounter. There are now so many different agents on the island, it is difficult to choose between them. Ideally though, your agent should be able to demonstrate a solid background in the industry and offer examples of successful deals they have handled that are similar to your own plans. It is also vital that your agent has good local connections with Thai partners and the authorities. Paperwork and local procedures can sometimes be daunting, but if you have the services of a quality agent with good local knowledge, almost all of the potential stumbling blocks can be swiftly traversed with little or no headaches for you, the buyer. It is vital, for example that you know you are buying or leasing the right type of land. There are various different land titles, the most sought after is the 'Chanote' title. This indicates that the land has been officially surveyed with the use of GPS and its boundaries are now fixed. Be warned that buying land without professional help could mean purchasing what looks like a bargain piece of land that may turn out to be unusable due to the land title. Other pitfalls include road access and the availability of utilities such as electricity and water, not to mention the processing and checking of legal documentation and ownership rights. Once you have found a property, you will have to consider the various purchase options carefully. Foreign individuals may own a property on a renewable 30-year lease, but in the past, many opted to set up a Thai company in order to purchase the property freehold. The latter is less easy than it was a few years ago, but your agent should have a full understanding of both procedures and will be able to explain the pros and cons. Owning a Thai company involves legal and tax issues that you should be well aware of before pursuing this avenue. With so many things to consider, it is easy to see why the services of a good and reputable agent are not just advisable, but essential. By working closely with them to find the solution that best suits your needs, you should enjoy a smooth and painless experience when setting up your new island home.

Building a Property Having a home built to suit your own tastes and needs can be a cost efficient, not to mention rewarding experience. It does take time, patience and energy however, and you need to be absolutely certain that the people you employ to build the property are capable of delivering the house you have in mind.

Once the land is purchased and ready for development, thoughts can turn to the design of your house. Of course, you can be as involved in the design process as much as you wish, from merely requesting certain facilities or features all the way to designing the floor plan in its entirety. Either way, your ideas will have to go through a certified architect in order to ensure the plans are both practical and legal. Many laws exist in Thailand to ensure that buildings do not move too far away from Thai cultural traditions. Once the architect has completed your official plans, your builder, if you have already secured one, should then be able to work out a detailed quote to construct the property to the specifications. When choosing a builder, don't be afraid to ask for references. Some contractors may even offer to take you around some of their previous projects so that you can see the quality of their work and perhaps gain some inspiration for your own home. Several contracting companies are foreign run or employ foreign representatives, which can save time and confusion due to communication problems. It is always good to try and strike up a rapport with the Thai partners and staff too though, as their local knowledge will often prove invaluable. Once you have chosen your contractor, as always make sure your investment is protected by the correct documentation. It would be advisable to have an independent law firm check any paperwork for potential grey areas. If you have ever had a home built in the West, you would have received certain assurances from the building company, including an agreed schedule for completion, a performance bond and a warranty on the finished product. Providing such guaraantees is not always common practice in Koh Samui so the kind of guarantees you are offered should have a significant bearing in your initial choice of construction company. A performance bond is a guarantee issued by the contractor's bank to secure any advance payments you have made. When building on Koh Samui, you will likely need to pay an initial deposit in order for the builder to obtain materials and retain a workforce. Thereafter, you will pay an agreed amount of instalments, which will likely be tied in with certain pre-agreed stages in your home's route to completion. The initial deposit, which could be around a quarter to a third of the total amount, will remain unsecured if no performance bond is issued. In terms of warranty, you should insist on at least twelve months coverage from the completion date. This should be plenty of time for any major building defects to become apparent and resolved at the cost of the building company. With the plans cleared, the paperwork checked and your deposit paid, building can commence. If possible, it is a good idea to make regular visits to your property during the construction phase. This is perhaps the best way to avoid problems or a misinterpretation of your wishes and also means building good relations with the workforce. It will establish your authority as the paying client and seeing your property gradually come together is almost as rewarding as the first night you'll spend in your new tropical home.

Building Regulations on Koh Samui In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page) Stage 1. Land up to 10 Metres from the beach. The law states that no construction is permitted within this area. Stage 2. Land up to 50 Metres from the beach. Within this area you are permitted to construct a single storey building only It's height cannot exceed 6 Metres (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Metres. Stage 3, Land up to 200 Metres from the beach. Within this area you are permitted to build up to a maximum height of 12 Metres (including the roof). The maximum allowed size is 2000 Square Metres. Stage 4. Land located more than 200 Metres from the beach. Within this area, buildings of up to 12 Metres in height (including the roof) can be constructed. Residential Developments There are pros and cons to purchasing a property within a purpose built residential community, as opposed to investing in a stand-alone property or building yourself. One definite advantage is that the complete infrastructure will already be in place when you move in, with electricity, water and access roads provided by the developer. Many communities also have an impressive list of communal facilities, which can include swimming pools, shops and other social amenities. Generally there will also be some kind of onsite management, as well as security for the safety concious. On the other hand, whilst there is often a choice of different designs available on residentail projects, these can be limited and some buyers prefer the thrill of finding a unique style, or building a home to their particular tastes, rather than opting for a more uniform theme. Privacy may also be an issue with some developments placing homes quite close together in order to optimize space. It is up to the individual buyer to weigh up the pros and cons for their particular needs. If developed and managed by a reliable compay, residential communities take a great deal of the stress out of not just purchasing a property on Koh Samui, but also living in and maintaining a new island home thereafter.

Upkeep and maintenance Once you have bought or built your dream home, you will obviously want to protect your investment by ensuring the property is well looked after and cared for. For residents living on Koh Samui full time, this should present no problem, but not every home owner will be living on the island all year round. For these people, a residential community may well be the best option, as they often include maintenance contracts to ensure that the property is well looked after in your absence. Be sure to find out what exactly is covered in the maintenance agreement however, and measure the cost of the service as part of the buying process, so that you don't face any surprises or extra bills later on. Remember that communal facilities in these residential communities must also be well maintained. A clean and well-kept community can only help protect your investment and enhance the development's reputation. If you own a property outside a residential development there are a number of management companies on the island who can offer you a similar kind of maintenance contract whilst you are away. As above, ensure you are fully aware of your coverage and costs before making a long-term commitment.

Risks and Concerns Purchasing a home can often be stressful, not to mention when you are looking to set up a new life in a foreign country. The best way to avoid any problems is to thoroughly research your options before jumping into a major purchase without thinking everything through. Buying a home is exciting, especially when you're talking about a tropical island retreat, but it's important to keep your feet firmly on the ground and youe head on high alert. Explore all of your options thoroughly, whether you are looking for an agent, developer or contractor. If possible, do some research on the companies you're interested in. Can they provide you with references? How long have they been operating? Do they have a sound track record? One of the best ways to research is by talking to people. There are plenty of people already living on the island who have taken the same leap you're now considering. Their advice and opinions could just save you a great deal of time and stress. Whilst common sense will help you avoid many potential pitfalls, it is also advisable to obtain the services of an independent and reputable law firm, before you go ahead with any endeavour. Documents such as title deeds or other legal agreements will need to be translated and checked for you. A reputable law firm can ensure that both the purchase process runs smoothly and that the paperwork involved is efficiently produced and legally sound.

Land Title Deeds in Thailand There are two main types of land ownership in Thailand which we should explain

Rights of Possession Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

Rights of Ownership Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

Tips for starting a new business Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

Getting started To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder's meeting to reach an agreement on the purpose of your business and set up the company's operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code's partnership and companies section.

Shares Besides the issues of business registration, you must also make sure that your company's shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company's shareholders. The book is evidence that will identify the company's shareholders.

Shareholders and Chairperson A Limited Company's shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company's rights, such as landownership. If less than 49% of your company's shares are held by foreigners, your company is considered a Thai company. However, if foreign nationals hold more than 49% of the shares, your company is a foreign company.

The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department's staff are now required to thoroughly investigate your Thai shareholders' sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

Little things that matter A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company's financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company's board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company's business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. Visas and Work Permits I have recently been asked to clarify the way the Thai system works with visas and work permits if you are opening a company here and would like to have a work permit. Firstly I must point out that each Thai province does follow slightly different guidelines and my information does in no way substitute you actually having a legal consultation with a reputable lawyer's company if you actually intend to work. There are those that believe the little they would do in reality would make a work permit hardly worth the trouble. This is a big mistake and one that could cost you more problems than you would believe. The Thai Immigration takes cases of foreigners working without a work permit very seriously and the penalties are harsh. If you are here on a tourist visa you cannot in any way participate in a job. So let's have a look at what's actually required to apply for a work permit. Firstly you need to have a business class visa which in most cases will have to be applied for at a Thai Consulate outside of Thailand. There have recent changes to the system, whereby smaller Thai embassies such as the one in Penang, Malaysia, have stopped issuing multiple entry visas. Initially there were those who whispered that the only way to arrange these multiple entry visas was for the individual in question to return to their home country and obtain the visa from their local Thai embassy. This however had been proved to be incorrect with the embassy in Kuala Lumpur still issuing multiple entry visas until recently, but currently the situation remains in a state of flux with even legal profession als unsure as to the long term guidelines. We therefore strongly advise obtaining up-to-date legal advice well in advance of pursuing your visa run, to ensure you are fully equipped with the documentation currently required for your business visa. Those working in Samui who earn a salary of 50000 Baht per month however, shouldn't have to face these visa run hassles, as they're entitled to a business visa that only needs to be renewed once per annum at an immigration office. Further details of this scheme can be obtained via a legal professional or at the local immigration office in Na-Thon. Either way, once you have the correct visa, you'll be able to apply for or renew your current work permit. Once again there are procedures required for this, which your legal professional will prepare for you. This process might seem tedious, but it is nothing unusual, with every country having its own procedures and legal applications. Thailand is no different and don't be fooled by the laid back and casual attitude of many Thai people on the island, as this is no reflection of the order required in any formal legal requests such as visa or work permit applications. When it comes to legal matters you need to ensure you follow the correct procedure and can produce the appropriate paperwork. All in all, it is easy to see why the services of a professional and thorough legal company are invaluable, saving you much confusion, stress and potentially time and money.

Adding antiques and collectibles to your decor offers a stylish, and often practical way to liven up a room. Combining interesting antiques and collectibles to modern dĂŠcor provides an opportunity to embellish a room with a conversation piece that stands out. Architectural antiques and oversized advertising pieces are great options for this purpose, but anything old and unusual will do. It can be affordable too when you shop wisely. There are several used and second hand stores on Koh Samui located primarily along the ring road in Nathon and Lamai. It takes a bit of searching but they are out there and often you'll find items that have a bit of old Samui history. Furniture, farm tools, traps, spears, bows, elephant cuffs and chains and even old rifles once used for hunting wild bore. Second hand shopping has once again become a trendy resource for frugal shoppers in today's economy. Some second-hand items may only cost a tenth of their original selling price or less. As a rule of thumb, you should never pay more than a third of the full price. What you pay will depend in part on luck and determination and also where you choose to buy. Many items donated to secondhand stores have been used only a few times. For instance, we all know some one that took up a hobby, bought all the bits and pieces only to loose interest and end up stashing it away. People donate clothes they have had hanging in their closets for months or years after being worn once or twice. Likewise, they may donate

gifts they have stored away and never used. Secondhand stores offer real value for many reasons, mostly because these stores often receive quality or little used merchandise and because the stores must quickly turn over merchandise to make room for the newest donations. A thrift store must have a system to handle the continuous arrival of donations and often shops will have days with extra discounts from their already low prices. You might also consider taking a good look around your own home or office for items that can be adapted to serve a new function. Get the kids involved let them see that turning trash into treasure can be fun and it is the ultimate in recycling. For example the left over pieces of tile from a previous job might be used to cover an old side table whose finish is in poor condition. Have you ever considered using vintage aprons for kitchen window toppers? How about old pull-down schoolhouse maps as window shades in a study or boy’s bedroom? Containers of all shapes and sizes can be dressed up with paint or various types of material coverings and put to use for organizing small items. You might install a simple light socket and switch to create a funky lamp. Even odd pieces of metal can be assembled to function as tables and chairs. The field is wide open when it comes to finding a way to use common items in uncommon ways. Learning to look at used items in a new light can save you lots of money. You are limited only by your own imagination and creativity.

Permaculture Samui needs sustainable tourism. Recognizing both the benefits and the pressures of tourism on cultural and environmental recourses, some alternative ways of development need to be considered. Permaculture has had a strong following in Thailand for many years. It's gaining momentum for good reason. Permaculture is an ecological design system for sustainability in all aspects of human endeavor. It teaches us how build natural homes, grow our own food, restore diminished landscapes and ecosystems, catch rainwater, build communities and much, much more. At the heart of permaculture design and practice is a fundamental set of ‘core values’ or ethics which remain constant whatever a person's situation. These 'ethics' can be summarized as; “Earthcare” – recognizing that Earth is the source of all life (and is possibly itself a living entity), that Earth is our valuable home, and that we are a part of Earth, not apart from it. “Peoplecare” – supporting and helping each other to change ways of living that do not harm ourselves or the planet, and to develop healthy societies. Fairshare (or placing limits on consumption) - ensuring that Earth's limited resources are used in ways that are equitable and wise. Modern permaculture is a system design tool. As you start to apply the principals of permaculture to your personal lifestyle you become less dependent on universal, purchased, imported, technology-based interventions and lean more towards specific locally available knowledge and skill-based ones. It is a way of looking at a whole system or problem by observing how the parts relate, learning to heal sick systems by applying ideas from long-term sustainable working systems and seeing connections between key parts. Take, for example, the chicken. It needs water, very little space, food and other chickens, and in return it produces meat, eggs, feathers and manure and can help break the soil. Confine a few chickens to an area where you would like to start a garden, let them do their thing and in a short while the earth is loosened by their scratching for insects and fertilized by their droppings. A bit simplified but you get the idea. The problem of “run off” is frequently seen on Koh Samui and Koh Phangan. As new construction sites appear and the land is developed there is temporary loss of ground cover and deep root system vegetation impacting our environment. When the rains come it’s easy to see the hills are shedding valuable soil that ends up clogging our drains, flooding streets ending up in the ocean and beaches surrounding the islands. This, in turn, causes our blue seas to appear an unattractive brown. This polluted runoff chokes the coral and drives away marine life and perhaps the tourism that many here depend on. 112


Spare that tree! A 30 cm diameter tree holds apx 200,000 liters of water. When that tree is cut, the water previously held in that area is now run off water. At the same time, the wells seem to be lacking in water. The result is that tanks have to be bought and filled regularly with water from a water supply company and trucked to the site. Even these trucks supply only a fraction of the water the tree was once holding for free. Other costs continue to mount due to this, including installation of landscape and irrigation for gardens, using even more water which wll need constant replacing. Permaculture considers the money that that tree is saving you simply by storing that much water. It's like free labour and that tree may be seen as a valuable employee and contributor to the financial bottom line of the development. That tree is also contributing a significant income through its services, in the way of possibly providing a lot of shade and creating a cooler area. This shade may also benefit the property by generating a gentle breeze on hot days. “Pleasantness and beauty” are also created by trees adding to financial value and sale-ability of the property. The installation components have been continually improved and now rainwater utilization is generally recognized as an advanced, ecological and permanently safe operating system. Additionally rainwater utilization has thus developed into an important strategy for effective rainwater management. The savings of potable water through the use of rainwater amounts to about 50% of household consumption. Household activities where potable water savings can be achieved through the utilization of rainwater include: -Toilet flushing 33%, Washing clothes 13%, Floor Cleaning 2%, Garden watering 3%. The quality of the rainwater collected depends directly upon the collection facilities and installation techniques used. Installations that are competently designed, based on technical standards, supply rainwater that can be used for the applications named above without hesitation. Rainwater collected from such installations is, for example, usually of better quality than authorities demand for lakes used for swimming. Due to the success of using rainwater in Germany, a series of laws and regulations had to be passed to ensure that the potable water system is protected and secure from possible contamination arising from improper house-owners' installations, including the dangers of a return flow from the rainwater pipe work. There are legally binding regulations for this contained within the German potable water legislation and the General Conditions of Water Supply that, apart from storage used solely for garden irrigation without refilling equipment, are to be maintained in all cases. Mark Ribail from Samui Villas and Homes, the island's largest villa rental operation, is encouraging smaller groups to rent villas on a room basis. “We can rent out a large, seven bedroom villa to less people now,” he explained, “closing off some bedrooms but keeping the living areas, kitchen and other rooms in the villa available at guest’s disposal. This means guests have all the advantages of a private property and we are able to reach more people and keep things affordable.” Villas on Samui offer all the benefits of five-star hotels, with maid service, 24-hour concierge assistance and help organizing tours and airport transfers. Companies like SVH even offer a personal chef to prepare delicious Thai and western meals on demand. While not offering the social interaction that a hotel stay generally guarantees, renting a villa does ensure a greater amount of privacy. The properties are usually set in lush gardens, with private infinity pools, outside dining areas and sometimes even a personal gym. Architecturally, styles vary from chic neo-classic designs to fusion inspired Thai spaces with separate pavilions. Additionally an owner’s personal touch with artwork, accessories and design ideas help to create the kind of ‘home away from home’ feeling a hotel cannot provide. Regular visitors to Samui increasingly seek out villas for their added benefits. “Five star hotels are great for a while,” says Maria Gerrish, a dedicated villa guest, “but for a stay longer than a week I’d rather have more space and appreciate the personal touches.” Maria and her husband have now purchased a property and are renting it out themselves. “We’ve had such amazing feedback from people who have stayed in our villa," she explained, "they really appreciate the effort we put in to making it a comfortable home, but somewhere that’s also a little bit decadent.”

Flash Packers Over the last few years there has been a shift in the types of tourists coming to Koh Phangan. In years past it was backpackers who stayed on the island for two to three months at a time looking for cheap beer and budget bungalows. These days it is the “flashpackers” and tourists that can only stay on the island for less than a week but who have more money to spend while they are here. This group are keen to be more active and experience some of the more expensive excursions the island has on offer. Fine dining establishments are also getting a boost from this more refined group. As a result of the changing tide of tourists, the island has seen upgrades in its infrastructure, resorts and restaurants. When it comes to the industry of Solar Power, and Energy Efficiency, there is no greater expert on the Island of Koh Samui than Mr. Claude Feller. His company Samui Service Co., Ltd. is Engineering Company with bases in Chaweng and Nathon providing a list of extensive services to domestic and commercial sectors nationwide. Claude Feller is what you’d call an Energy Auditor. A consultant for people and businesses that have come into a situation where energy efficiency is either a choice of process, or an absolute necessity due to circumstances. This article is divided into two sections. This section will demonstrate what’s been made possible with solar energy within an existing project. Section two, in the next issue, will show which applications are useful in Koh Samui and Koh Phangan, where grid power is more or less reliable. Claude has just finished a large project in Phuket, where a private Villa owner had run into catastrophic

conditions. A roadway could not be constructed to the Villa site; as a matter of fact it has been erased from the land documents leaving no hope for power without paying exorbitant installation costs. The homeowner, forced to supply his Villa site completely via boat, brought all construction supplies around the island by sea. Purchase of a helicopter will resolve the problem of travel leaving the supply of power as the main problem for the project. Claude was hired to lend his expertise to this issue. 150


The first step was to reduce the daily energy need for the Villa from a previously estimated 200 kWh demand to just 80 kWh. This was achieved by using low energy pumps for the 250-m続 pool, low energy lighting both internally and externally as well as for the Tennis Court. A smart computer controlled irrigation system was used for the 10 rai garden area and a modern A/C system servicing more than 10 rooms. To further lower power requirements, a solar powered water distribution system from the deep well to the last booster pump was designed. In addition to the water system the entire villas energy consumption, including the A/C, will be solar powered. Solar panels produce DC power but with modern inverter technology are capable of creating a complete 3-phase-grid. To supply the Villa after dark and during cloudy periods an eight-ton battery setup has been installed. If the actual load exceeds the capability, a diesel generator will automatically start. Last but not least, the whole energy supply and consumption can be monitored online via a web interface. If one day a connection to the local grid is established, the solar energy will be fed into this grid and be sold to the electricity authority. This is a pilot project intended to show what can be achieved, even in a developing country with the application of high profile engineering and state of the art technology. The Villa will be promoted for this. However, the integrity of the system is dependant on the qualification of the villa management.
