Since they took office, the current administration has focussed on finding sustainable solutions to Samui's development. By visiting destinations that share certain essential elements, the team plans to identify practical ways to further improve the island's infrastructure and services in the coming years. Although not identical to either Singapore or Bali, as a fast developing island with a multi-cultural community, parallels can definitely be drawn between the three destinations. In Singapore, the government is famous for developing a common pride and community spirit amongst its residents, despite their varied cultural origins. This is reflected through the city state's exemplary cleanliness and also by the sense of personal responsibility exhibited by its people. In Bali, cultural pride is strong and marketed to tourists

Although extreme examples like the infamous ban on chewing gum in Singapore attract publicity, wider policies have a much more significant impact on the general health of the island. Singapore’s overall recycling rate increased from 40% in 2000 to 57% in 2009 and the government is on track to meet the target of 60% by 2012. The island also minimizes the environmental impact of disused plastic bags by incinerating them in waste-to-energy incineration plants, rather than landfilling them. Many households also re-use plastic bags to bag their refuse and campaigns like the Bring Your Own Bag Day, which was launched by the Singapore Environment Council (SEC) in April 2007, are designed to discourage the excessive use of plastic bags via public education. To reduce waste at source, Singapore's Environmental Agency collaborated with the food and beverage industry on a voluntary Singapore Packaging Agreement. This agreement demonstrates that 10


environmentally friendly practices make sound business sense – the participating companies saved $4.4mil from a reduction of 2,500 tons of packaging waste over the last two years. Plastic bottles are a major issue on Samui and such ideas, or variations on them, would certainly help the island preserve its natural appeal. Cultural Bali Bali is renowned for its diverse and sophisticated cultural art forms. When the island developed into a tourist destination, fears that this local culture would be lost led local people to re-examine its value. A focus on ‘cultural tourism’ helped the Balinese people understand that they have something both precious and perishable but also a capital that can be exploited and a heritage to be protected. Local painting, sculpture, woodcarving, handcrafts, and performing arts are now all part of the Balinese tourist experience with paid performances at thousands of temple festivals, private ceremonies and public shows. In terms of residential development, like Samui, Bali does not allow outright foreign ownership of land or property. Extended leases are the most popular form of real estate agreement and the government strictly enforces building regulations and codes. This has done nothing to discourage the market for second homes and private villa rentals are booming. is something the Balinese are working hard to maintain. CAUSES OF DISPUTES In construction, contract disputes mostly arise in respect of scope of works, quality of works, time and money. In order to avoid disputes it is essential that these matters are clearly addressed in construction contracts.

If the scope of work is clear there should be no disputes over changes; however disputes regarding payment are a common occurrence as a result of unclear payment terms. It is to everyone’s benefit to ensure the payment terms under the contract are clear and explicit.

The scope of works should clearly define who has to do what, i.e. what works does the contractor have to do and what other obligations does the contractor and the employer have? If the scope of works is unclear this normally results in disputes over whether works are additional works or not and what the obligations of the contractor and the employer are.

Summary The best way to avoid disputes arising in construction contracts is to ensure the rights and obligation of both the contractor and the employer are abundantly clear in the contract. It is advisable to seek professional advice before signing contracts to ensure the contracts are clear. Whilst this will cause an expense to be incurred before the contract is signed this is preferable to having a dispute at some later time which will most likely be expensive and time consuming to resolve.

Quality of Works The quality of works is a subjective matter so it is necessary to determine who has the right to inspect the works to determine whether are not the works are in accordance with the required standard of quality. Whilst disputes over the quality of works can occur at any time during a project they frequently occur when the works are completed and are subject to the final inspection before handover to the employer. The inspection / handover procedures must be clearly defined to avoid disputes over the quality of the works at the time of handover. Time

To avoid disputes over time the contract period must be clearly specified in the contract and there should be reasons why a contractor may be entitled to an extension of the contract period, e.g. late receipt of drawings or instructions from the employer etc. Disputes over time normally also have a cost implication as the contractor may consider he is entitled to an extension of the contract period and extension of time costs whilst the employer may believe he can claim liquidated damages from the contractor as a result of the late completion of the project. Money Disputes over money normally arise in respect of changes in the contract sum resulting from changes

Legal Retirement on Koh Samui and Koh Phangan A significant number of people from Europe, America and Australia choose to retire on Koh Samui and Koh Phangan, attracted by factors such as the climate, comparatively low cost of living, culture and the low crime rate. Modern retirees themselves are much more travelled than the generation before them and are living longer, healthier and more affluent lives than ever before. The trend for affluent retirees to choose Thailand is likely continue in the foreseeable future. Christian Glanville, Partner in the law firm Limcharoen, Hughes & Glanville (Samui) examines some of the key issues for persons who are considering the prospect of retiring in Koh Samui and Koh Phangan and examines the real estate ownership options available to foreign retirees. Retirement visas are routinely issued to foreign nationals in Thailand, the main requirements to qualify for a retirement visa are than an applicant must be at least 50 years of age and be able to show that they have the sum of 800,000 THB in a Thai bank account or a monthly income of no less than 65,000 THB (or a combination of both). The money must have been in the Thai bank account for a

period of 3 months at the time the application is submitted. An applicant must also prove that they have no criminal record and a provide letter from their embassy confirming that they wish to retire in Thailand. A retirement visa can be extended on an annual basis. Many retirees elect to rent accommodation in Koh Samui and Koh Phangan and there are many reputable and trustworthy real estate agents in Koh Samui and Koh Phangan who will be able to assist retirees to secure rented accommodation to suit any budget. In order to avoid problems it is prudent to confirm that the person renting out the property is the legal owner of that property (or has the legal authority to act on behalf of the legal owner) and this can be confirmed by checking the land title documents and the passport or identity card of the landlord. Some reputable and trustworthy agents will conduct checks of landlords before listing their 14


properties. Retirees should sign a written lease/ rental agreement with the landlord setting out the key terms such as the monthly rental and the length of the lease term. Retirees who should wish to invest in property in Koh Samui and Koh Phangnan should be aware that, with limited exceptions, the ownership of freehold land by foreigners is strictly prohibited. However, foreigners (retirees and other investors) are permitted to own a freehold unit in a condominium building, lease an apartment unit or house or lease land. In accordance with Thai law, up to forty nine percent of the liveable area of a condominium can be owned by non-Thai persons. Recent changes to Thailand’s Condominium Act provide foreign investors with a host of statutory protections including protections against false claims made by developers in advertising materials and standard form contracts for condominium contracts. Foreign investors who are not resident in Thailand must remit the funds required to purchase the condominium unit from overseas in order to obtain freehold title to the condominium unit. Retirees and other foreign investors may acquire the long term use of land or an apartment by leasing land or an apartment from the freehold owner. In accordance with the laws of Thailand, a registered lease is limited to a term of no longer than 30 years, however, lease renewals can be secured through carefully drafted clauses contained in the lease agreement. It is important to note that a lease agreement is terminated upon the death of the lessee and will not transfer to the heirs of the leaseholder unless there is a suitable succession clause contained in the lease agreement. Foreign retirees who wish to spend only part of the year overseas, for example, to avoid the harsh winter months in Europe, may consider the relatively new concept of fractional ownership as an alternative to whole owned property, at a fraction of the investment cost. Fractional Ownership products refer to the partial ownership of property by multiple investors who each have the right to use the property for a certain number of days each year. Fractional Ownership allows investors to re-sell their interest in the property in the future. A number of reputable developers in Koh Samui will be launching luxury fractional ownership projects within the next 15

few months. It is important for retirees who invest substantial sums of money into Thailand to make provision for the succession of their assets in the event of their death by instructing a lawyer to draft a last will and testament in both English and Thai. This will provide re-assurance to the retiree that family members (who may live thousands of miles away) will not be unnecessarily burdened with dealing with the estate of the deceased in the event of death. Whilst retirement communities and active adult communities are big business in the USA and Australia and are growing in other South East Asia countries such as the Philippines, there is a seeming lack of supply of retirement/active adult communities in Koh Samui and Koh Phangan. This provides entrepreneurial developers with an opportunity. Developers and investors should be aware that the Thai government offers special investment privileges to investors in retirement communities in Thailand under the Board of Investment, such as foreign ownership of the project land, the right to bring in foreign workers into Thailand and the right to take or remit foreign currency abroad. Capital gain and tax One of the most common misconceptions in the Thai real estate market is that individuals are subject to a hefty capital gains tax in Thailand when it comes to the sale of their property. And this misconception might tempt an owner of an immovable property to try to “mitigate” the potential tax liability by declaring a lower purchase price at the land department on the time of sale. But would such action really result in a substantially better tax position for the seller? And if not, then does our seller not only fail to achieve the anticipated goal of significant tax savings but further also risk legal liabilities for unlawful conduct? The answers may surprise you, not only would such an under-declaration of the sale price be unlawful criminal tax-evasion and unlawful criminal false statement to a government official, but it would also be commercially unwise as it would also fail to achieve any significant “savings.” In order to understand why this is so, we must first discuss the different taxes payable upon a non-commercial transfer of an immovable property by an individual and the impact of a potential undervaluation on the amount of taxes payable. The taxes payable upon the transfer of an immovable property by an individual are: (i) specific business tax (“SBT”) or stamp duty (“SD”); and (ii) personal income tax (“PIT”). [Please note that the “transfer fee” payable at the land department is not a tax in accordance with the Revenue Code of Thailand]. The standard rate (including the local municipal component) for the SBT is 3.3%. However, if our individual seller owned the immovable property in question at the time of transfer for more than five years, SD of 0.5% is generally applicable. In other words, in such a case the SBT is not payable. The

basis for the calculation of the SBT or SD payable is the sales price or the land office “appraised value,” whichever is higher. Regarding the latter, each land plot, condo or villa in Thailand has such an official appraised value and note, the land office appraised value is virtually without exception much lowers than any actual market value/sale price. A lower transaction price will indeed, therefore, most likely result in somewhat less SBT or SD tax payable. But note, however, if the seller reduces the sales price by Thai Baht 1,000,000, the consequence would be a tax “savings” of only Thai Baht 33,000 in relation to SBT or merely Thai Baht 5,000 in relation to SD! Furthermore, the other tax payable on transfer by our individual seller would be the personal income tax (“PIT”). Long ago Thailand adopted an interesting system of calculating the PIT payable upon transfer of immovable property by an individual. Thailand did not enact a “capital gains tax” on the non-commercial sale of such immovable property. In fact, the PIT payable is independent of the sales price and, therefore, independent of any capital gain. The PIT payable is based on the land office appraised value (again virtually always far lower than the market value). The calculation is done through a specific formula created by the legislature which takes into account how long the property has been owned and the progressive tax rates applicable to individuals, but (if the seller chooses so) without including any other taxable income of the seller. Thus, since the sales price is not the basis of the calculation of the PIT, an under-declaration of the sales price will have no impact whatsoever on the 16

Living on Samui There is a fast growing expatriate community on Koh Samui, with people moving from Europe and beyond to escape the stresses of western life. Thailand is known as one of the most welcoming countries in the world and as Koh Samui has developed over the years it has gradually begun to offer all the comforts of home, but in a tropical island location. Living on Samui is easy; the island now offers a range of excellent locations for shopping, including two large, well stocked supermarkets: Tesco Lotus, Big C and Tops. In fact, with all the modern conveniences now available it's sometimes easy to forget you are in Thailand at all. New shopping malls and entertainment centres are on the way, and Western treats like good wine and imported food that foreign residents may have once missed, are now readily available. People who live on Samui enjoy a vast choice for wining, dining and entertainment. Thai food of course abounds, and is both tasty and extremely good value. There is also a huge choice of international cuisine with everything from fine French cuisine to fast food chains. For those who like drinking and socializing, many Western style pubs and clubs not only serve local alcoholic drinks but also offer many favourite international brands. A number of bars also show live international sporting events, so it's possible to enjoy a cold beer in the sun whilst watching your favourite football team play in the cold wind and rain back home. Of course Thailand wouldn't be the same without its people. It is mainly because of their friendly nature that foreign visitors keep coming back and end up living on Samui. Most local people speak a certain amount of English, which means that speaking Thai is not necessary, although life becomes much easier if you do make the effort. Don't expect tobe living an authentic Thai life though; around 80 percent of the population on the island is made up of visitors or expats. Samui is fast becoming a comfortable, sophisticated haven in the sun, but it is also important to remember that there are significant cultural differences that may cause frustration. Local people enjoy a relaxed approach to life, and this can take some getting used to. As long as you are prepared to meet the local people half way, living on their tropical island can be a pleasure indeed.

Christian Pejtersen is architectural advisor at SIL. a Koh Samui based Architectural and Project Management Company operating within the fields of architecture, engineering, research, and project management. Christian believes that a successful construction project begins with the building initiators vision, a talented designer and a blank sheet of paper. He also believes that good designs are independent of style and evolve through hard work and a close collaboration between the building initiator, the architect and the builders. His goal at SIL is to turn the vision into a dream come true by making

beautiful, functional, and cost-effective projects that not only enrich the user’s quality of life but also enhance the quality of the build environment on Koh Samui. "We deal with different scales and extents of involvement," he explained, "from refurbishment of existing buildings to the design and detailing of 40


entire developments. We can solve coursework as an external third party advisor, or take on entire project management assignments. One of the first things we do at the beginning of a design process is to assign priorities to the range of client requests and compare them with the possibilities the project site offers. We start from the top to determine what are the most important aspects for the project, as some requests and given possibilities might be conflicting. A top priority could for example be to build the biggest house possible within a given budget, but it is more often, not surprisingly, to optimise the house in accordance with one of the spectacular views that Koh Samui offers." Modern architects adapted machine aesthetics during the industrial age. The reasoning was that a house should accommodate the users in a rational and cost effective way. Room sizes and their proportions where generally determined by the size and behaviour of a human body. Each space and its relationships with other areas was designed and calibrated to exactly fit each other, like in a machine. But according to Christian, architecture is much more than that. It also has to please our other senses. "We like to think of architecture as “Frozen Music”, with the rhythm and melody as the common denominators," he continued. "Rhythms can be found throughout architecture, for example in the way structural elements, such as columns are placed on a plan. The melody is found in the way that building elements interact with each other and the overall structure. Such pictures of rhythms and melodies playing the same tune can be found down into the smallest detail in successful architecture." Although such an approach may sound quite theoretical, Christian says it not only makes the architect's work more interesting, but also ensures attractive and creative results because the designers are not only looking at the practical aspects of the build. We also have to “think green” and minimize the ecological footprint of our designs. There is several ways to do that for example by minimizing the electrical consumption necessary to 41

keep the house livable, we can implement solar energy and different water treatment schemes, and try to make the smallest possible disturbance to the site when the house is build. On Samui, for example one of the main assets is the weather and most people therefore prefer to spend time outside, rather than inside an air-conditioned room. "You basically only need shade and a breeze to keep you comfortable," said Christian, "You can therefore be sitting next to, or in your garden most of the time. Shade can be accomplished in many ways: from a tree, a pergola to an artificial sunshade, or a roof. Shade structures used in the right way not only keep you cool, but also cool the entire the house and thus saves on electricity. Moreover, shade keeps you dry when a sunny day suddenly turns into a tropical thunderstorm." One of the good things about architecture is that it never stops evolving. Experience is being handed down from generation to generation. There is also advice to be found regarding finishing materials. Many people like to involve wood in their homes as it has a cozy and familiar feeling, being a living substance. But that also makes it quite vulnerable, so wood should in general only be used where it is not directly exposed to the sun and rain. On Samui, Christian says light colours are preferable due to the build up of radiating heat. This should especially be considered when choosing roof tiles and tiles for non-covered terraces. "We like to keep the possibilities open and think ahead," he added. "A home is a personal thing based on individual taste, likes and dislikes, rather than logical reasoning. We strive with this in mind to design a house in such a way that it invites the users later on to modify and personalise it. Economic concerns have certainly placed significant pressure on the travel industry worldwide and Thailand has also faced the added challenge to overcome fears caused by the Red Shirt demonstrations in April. Intelligent marketing, changes in market focus and a whole host of special offers are helping maintain visitor numbers in resort destination like Koh Samui. Recent results from a

survey conducted

among operators of tourism-related businesses found that they still want the government to help to increase tourist numbers by restoring confidence among local and foreign travellers. The survey was conducted on 638 tourism-related business

operators between March and May and the main responses involved the need to promote public relations campaigns for tourism, boosting Thailand's image. According the Bank of Thailand's Assistant Governor, Phaiboon Kittisrikangwan, the country's tourism industry is expected to return to normal late this year, but the number of visitors in 2010 and the entire-year revenue from this sector will be below that of 2009. Mr Phaiboon said Thailand's domestic politics and debt crisis in European countries caused a sharp drop in foreign arrivals to the kingdom, while the whole year 2010 revenue from tourism will decrease as tourism operators must lower prices to attract visitors. One approach already generating alternatives for businesses in places like Samui is a focus on the domestic tourism market. The Tourism Authority of Thailand has already started running several campaigns to encourage Thai people to spend their holidays in-country, including the Amazing Thailand Golf Paradise promotion and a similar push on Health Tourism and Green Tourism. Special events such as Discovery Thailand 2010 (Thai Teaw Thai), have also boosted domestic tourism. The exhibition brought together over 750 leading local and international tour operators as well as fully-integrated tourism services, including hotels, resorts, airlines, domestic and outbound travel agents, national and overseas tourism promotion

organisations, car rental companies, boat cruises, travel equipment providers, restaurants and many more. This provided people with a one-stop service for autumn’s holiday planning. Corporations have also implemented special promotions, including MasterCard Worldwide, with the launch of its "Bangkok Welcomes You" campaign. This campaign will run for close to four months until the end of November and includes up to 100,000 different packages for travellers. Tourists who are eligible for the benefits of this campaign include overseas MasterCard cardholders from various markets in the Asia/Pacific region and expat MasterCard cardholders living in Thailand as well as local MasterCard cardholders. Hotel packages are offered in six price categories, starting at 999 and rising to 1,599, 1,999, 2,499, 2,999, and 3,999 per night for two persons. Travellers will also receive the "Bangkok Welcomes You" privilege card and special vouchers when checking in at the hotel and will be eligible to enjoy privilege offers for dining, spa & beauty and accommodation in popular Thai destinations like Chiang Mai, Sukhothai, Pattaya, Phuket and Koh Samui. Other privileges will include shows and entertainment, transportation and shopping benefits. One of the barriers often mentioned with regard to Koh Samui as a destination for Thai tourists is the high cost of flying to the island when compared with other destinations in


Thailand. But Samui's principle airline Bangkok Airways also now runs regular promotions, offering discounted tickets and rewarding frequent flyers through their Flyer Bonus scheme. Recent partnerships with hotels such as The Library and Langham Place Samui give passengers bonus points when they book special holiday packages. The airline's Travel Club BTC, also features promotional packages such as Let's Go Samui that offers Inclusive roundtrip air tickets on Bangkok Airways, 2 nights accommodation with breakfast at a choice of hotels, roundtrip airport transfers and travel insurance for as little as 10,200 baht. Of course, low cost airlines are also keen to tap into the Samui market. Malaysia's community airline, Firefly, run budget flights from Samui to Kuala Lumpur, which has helped boost regional tourism, while Thai carrier Nok Air recently teamed up with ferry operator

Choosing a Reliable Agent Whether you choose to live in a gated development, purchase a stand-alone home, or for the even more adventurous, buy a piece of raw land on which to build your future dream house, you will be in need of the services of a good real estate agent. Choosing the right agent is essential as a reputable firm with good local contacts can help you avoid many of the pitfalls that a less informed buyer might encounter. There are now so many different agents on the island, it is difficult to choose between them. Ideally though, your agent should be able to demonstrate a solid background in the industry and offer examples of successful deals they have handled that are similar to your own plans. It is also vital that your agent has good local connections with Thai partners and the authorities. Paperwork and local procedures can sometimes be daunting, but if you have the services of a quality agent with good local knowledge, almost all of the potential stumbling blocks can be swiftly traversed with little or no headaches for you, the buyer. It is vital, for example that you know you are buying or leasing the right type of land. There are various different land titles, the most sought after is the 'Chanote' title. This indicates that the land has been officially surveyed with the use of GPS and its boundaries are now fixed. Be warned that buying land without professional help could mean purchasing what looks like a bargain piece of land that may turn out to be unusable due to the land title. Other pitfalls include road access and the availability of utilities such as electricity and water, not to mention the processing and checking of legal documentation and ownership rights. Once you have found a property, you will have to consider the various purchase options carefully. Foreign individuals may own a property on a renewable 30-year lease, but in the past, many opted to set up a Thai company in order to purchase the property freehold. The latter is less easy than it was a few years ago, but your agent should have a full understanding of both procedures and will be able to explain the pros and cons. Owning a Thai company involves legal and tax issues that you should be well aware of before pursuing this avenue. With so many things to consider, it is easy to see why the services of a good and reputable agent are not just advisable, but essential. By working closely with them to find the solution that best suits your needs, you should enjoy a smooth and painless experience when setting up your new island home.

Building a Property Having a home built to suit your own tastes and needs can be a cost efficient, not to mention rewarding experience. It does take time, patience and energy however, and you need to be absolutely certain that the people you employ to build the property are capable of delivering the house you have in mind.

Once the land is purchased and ready for development, thoughts can turn to the design of your house. Of course, you can be as involved in the design process as much as you wish, from merely requesting certain facilities or features all the way to designing the floor plan in its entirety. Either way, your ideas will have to go through a certified architect in order to ensure the plans are both practical and legal. Many laws exist in Thailand to ensure that buildings do not move too far away from Thai cultural traditions. Once the architect has completed your official plans, your builder, if you have already secured one, should then be able to work out a detailed quote to construct the property to the specifications. When choosing a builder, don't be afraid to ask for references. Some contractors may even offer to take you around some of their previous projects so that you can see the quality of their work and perhaps gain some inspiration for your own home. Several contracting companies are foreign run or employ foreign representatives, which can save time and confusion due to communication problems. It is always good to try and strike up a rapport with the Thai partners and staff too though, as their local knowledge will often prove invaluable. Once you have chosen your contractor, as always make sure your investment is protected by the correct documentation. It would be advisable to have an independent law firm check any paperwork for potential grey areas. If you have ever had a home built in the West, you would have received certain assurances from the building company, including an agreed schedule for completion, a performance bond and a warranty on the finished product. Providing such guaraantees is not always common practice in Koh Samui so the kind of guarantees you are offered should have a significant bearing in your initial choice of construction company. A performance bond is a guarantee issued by the contractor's bank to secure any advance payments you have made. When building on Koh Samui, you will likely need to pay an initial deposit in order for the builder to obtain materials and retain a workforce. Thereafter, you will pay an agreed amount of instalments, which will likely be tied in with certain pre-agreed stages in your home's route to completion. The initial deposit, which could be around a quarter to a third of the total amount, will remain unsecured if no performance bond is issued. In terms of warranty, you should insist on at least twelve months coverage from the completion date. This should be plenty of time for any major building defects to become apparent and resolved at the cost of the building company. With the plans cleared, the paperwork checked and your deposit paid, building can commence. If possible, it is a good idea to make regular visits to your property during the construction phase. This is perhaps the best way to avoid problems or a misinterpretation of your wishes and also means building good relations with the workforce. It will establish your authority as the paying client and seeing your property gradually come together is almost as rewarding as the first night you'll spend in your new tropical home.

Land Title Deeds in Thailand There are two main types of land ownership in Thailand which we should explain

Rights of Possession Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

Rights of Ownership Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

Tips for starting a new business Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

Getting started To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder's meeting to reach an agreement on the purpose of your business and set up the company's operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code's partnership and companies section.

Shares Besides the issues of business registration, you must also make sure that your company's shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company's shareholders. The book is evidence that will identify the company's shareholders.

Shareholders and Chairperson A Limited Company's shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company's rights, such as landownership. If less than 49% of your company's shares are held by foreigners, your company is considered a Thai company. However, if foreign nationals hold more than 49% of the shares, your company is a foreign company.

The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department's staff are now required to thoroughly investigate your Thai shareholders' sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

Little things that matter A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company's financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company's board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company's business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. Visas and Work Permits I have recently been asked to clarify the way the Thai system works with visas and work permits if you are opening a company here and would like to have a work permit. Firstly I must point out that each Thai province does follow slightly different guidelines and my information does in no way substitute you actually having a legal consultation with a reputable lawyer's company if you actually intend to work. There are those that believe the little they would do in reality would make a work permit hardly worth the trouble. This is a big mistake and one that could cost you more problems than you would believe. The Thai Immigration takes cases of foreigners working without a work permit very seriously and the penalties are harsh. If you are here on a tourist visa you cannot in any way participate in a job. So let's have a look at what's actually required to apply for a work permit. Firstly you need to have a business class visa which in most cases will have to be applied for at a Thai Consulate outside of Thailand. There have recent changes to the system, whereby smaller Thai embassies such as the one in Penang, Malaysia, have stopped issuing multiple entry visas. Initially there were those who whispered that the only way to arrange these multiple entry visas was for the individual in question to return to their home country and obtain the visa from their local Thai embassy. This however had been proved to be incorrect with the embassy in Kuala Lumpur still issuing multiple entry visas until recently, but currently the situation remains in a state of flux with even legal profession als unsure as to the long term guidelines. We therefore strongly advise obtaining up-to-date legal advice well in advance of pursuing your visa run, to ensure you are fully equipped with the documentation currently required for your business visa. Those working in Samui who earn a salary of 50000 Baht per month however, shouldn't have to face these visa run hassles, as they're entitled to a business visa that only needs to be renewed once per annum at an immigration office. Further details of this scheme can be obtained via a legal professional or at the local immigration office in Na-Thon. Either way, once you have the correct visa, you'll be able to apply for or renew your current work permit. Once again there are procedures required for this, which your legal professional will prepare for you. This process might seem tedious, but it is nothing unusual, with every country having its own procedures and legal applications. Thailand is no different and don't be fooled by the laid back and casual attitude of many Thai people on the island, as this is no reflection of the order required in any formal legal requests such as visa or work permit applications. When it comes to legal matters you need to ensure you follow the correct procedure and can produce the appropriate paperwork. All in all, it is easy to see why the services of a professional and thorough legal company are invaluable, saving you much confusion, stress and potentially time and money.

WHAT IS QROPS? QROPS: QUALIFYING RECOGNISED OVERSEAS PENSION SCHEMES A transfer of a UK pension fund to a pension scheme provider in an oversees location such as Guernsey. INTERIOR TIPS

Funk your Crib

Once we have all the basics - balance, function, form and harmony in our interior spaces - what else do we need?

We need to funk that crib man! Maybe we don’t need to go as far out as that, but to complete any interior space we need to add a little WOW to finish it off. For this you need to create some sort of point of interest that catches peoples’ eye when they walk in. It could be as simple as adding a wall hanging or picture you particularly like, or an ornate lamp or other such items of interest. Preferably this can be something from your heart that particularly inspires you, rather than something someone else chooses for you. The other thing to mention is that although I have saved this little hint until last, it shouldn’t be the last thing you think about when design-

ing your space. Right from the outset you may have something you have picked up on your travels, or a family heirloom you want to display. If so, you should think about where you want your point of interest to be and how it will fit into your overall design. For example, if you have a decorative ornament, perhaps you can design a niche for it to sit in. Think about lighting it with it’s own spot light, or painting the niche in a different colour. If you don’t have something special you want to display then look at what you have created in your space and try to add a little spark to the overall look. Perhaps add a funky table, or a splash of colour on the sofa or floor. It doesn’t have to be expensive, but if you are a little bit 112


creative you can create a whole lot of fun with just a little bit of imagination.

Just follow the 4 basic elements, earth, wind, fire and water, and most importantly, your own special 5th element….. the WOW…. and I’m sure you will have much success, but if you get stuck, a second opinion never hurts.

Pots, dried flower arrangements, paintings, wood carvings, rugs and carpets. All these will all help to add that finishing touch to your space. That warm, homely, lived-in feeling is ultimately what we are trying to achieve with our interior spaces, and by adding something of interest you will detract from any cold or harsh structure that may be dominating the space.

Drip Irrigation Dry Times The past twelve months on Koh Samui and Koh Phangan have exposed residents to the most prolonged period of dry weather that many can remember. Apart from inspiring thoughts as to how we can best store rain water, these severe conditions also turn our attention to making the most efficient use of this precious resource. An Eco Solution When large volumes of water are delivered to the dry surface of the land, most of it, particularly on sloping ground, runs off to be wasted before it can be absorbed by the soil. Water left sitting on the surface quickly evaporates and is, likewise, lost. One, environmentally sound, method, is to employ a

drip irrigation system. This is an approach that delivers a continuous supply of water in small controllable amounts directly to the roots of plants or onto the surface of the soil. This concept of irrigation is by no means new. Harnessed by farmers in arid regions for many centuries, underground clay vessels were filled so water could seep through pores into the surrounding earth. Clay pipes, laid alongside rows of crop, would achieve the same end. It was the middle of the last century, however, when modern systems of drip irrigation were more earnestly developed. Simple set-up The standard systems most commonly used today employ various gauges of plastic pipe, normally, recyclable, Low Density Polyethylene (LDPE) and a 114


series of emitters. These emitters counter the blockage problems experienced in early lines, (which were merely perforated and easily obstructed by soil particles) as well as allowing fine-tuning of the drips. Pipes are connected together in a series of main lines and branches and emitters are spaced at suitable distances to ensure that water is delivered effectively. The main pipe is connected to either a mains water supply, rainwater collection tank or a well. Water pumped from a well or rainwater tank should pass through a filter before entering the pipe. The nature of the water source will dictate the type of filter required and this should be researched prior to installation. The pipe is fitted with a Non Return Valve (NRV) to prevent the system emptying, or from water contaminated with fertilizers, pesticides etc from flowing back to the water supply. The system can be controlled with a programmable timer, which also allows the user to set the rate of flow. Lawns Underground drip systems for lawns can yield savings of up to 80% water volume compared to watering from stand-pipes, sprinklers or hoses by eliminating run-off and vastly reducing evaporation rates. Emitters for this purpose employ a clever method of passing water through a maze-like channel. This allows the water to pass freely whilst preventing the grass roots from growing into the pipe and causing blockages. Pipes and emitters are laid into channels which space the emitters roughly 30cm apart. Spacing will be adjusted depending upon the type of soil and the light and shade conditions in the area. On low lying land on Koh Samui and Koh Phangan, the often sandy soil allows water to pass freely and a wider spacing is often used in these conditions with a slower flow rate. Based on 30 cm spacing being an average, you can increase or reduce the distance ce between

the emitters depending on light conditions. Closer together by 10 cm or so for areas receiving all day sun or further apart for shadier areas. Beds For planter beds, lines can be run on the surface of the soil or pushed a couple of inches below. Plastic pegs help to hold the emitters in place. Emitters can be selected for the specific plant species. A variety of plant species, requiring differing amounts of water, can have their supply tailored, using emitters with individually higher or lower flow rates. Gardeners or home owners interested in reducing their water consumption, particularly in readiness for what could be another dry year, may wish to delve further into this method of irrigation. Are rats and mice a pest problem in Samui? Yes, there are many rats and mice residing in Samui. Samui provides these creatures with a perfect living environment; warm, plenty of food and lots of unkempt areas providing a perfect home. What harm can rats and mice cause? Rats and mice can pose a serious threat to property and health. They cause building damage by chewing on insulation, sidings, and wallboard. They will eat a wide variety of stored food. These rodents will often contaminate food that they don't eat, which could lead to food poisoning, as well as leaving a mess in your cupboards. All three types of rodents can also transmit diseases, which are carried on their feet and

spread through their urine, droppings or bite. The ticks and fleas carried by rodents can also spread diseases Is it easy to detect rodent pests? Rats and mice are easy to detect and leave plenty of evidence. They will chew cereal boxes or dried foods in plastic bags, leaving quite a mess behind. Chewing marks on woodwork and plumbing pipes are other signs of a rodent infestation. Dark brown rodent droppings are commonly found at eating sites and other areas. Rats and mice often burrow in the ground under sheds, garages, and foundations, and in between walls. It is possible to hear them moving around or even chewing when your house is quiet.

What's the best way to get rid of these pests? Prevention is far better then cure. But if you have had some furry neighbours move in, you need to act quickly. Rats and mice breed rapidly, so it is important not to let them get established on your property. Even if you don't spot an actual rodent, the size of the droppings will tell you whether you are dealing with mice or rats (mouse droppings are approximately 1/4 inch long, and rat droppings measure up to 3/4 inch). The best way to get rid of rats or mice is by using poisons and traps. Buy several of the appropriate snap traps from a hardware store and bait them with dried fruit or peanut butter mixed with oats or cheese. Be sure that the bait is securely attached to the trip pedal; otherwise the trap may not spring when the food is removed. Set the traps at right angles to the walls where the rodents are known to travel, with the bait side of the trap toward the wall. Wear gloves or use a plastic bag when disposing of the trapped animal. They should be wrapped in plastic and placed in the garbage. If you don’t want to deal with rodents yourself call an expert pest controller, who can soon eradicate your problem and advise on preventative measures. Preventive measures: Rats will only stay on your property if food, water and a place to live are available. There are a number of steps you can take to make your property less attractive to rodents.

Eliminate hiding and living places: Remove all unused piles of wood, old sheds, or buildings. Do not store old cars or furniture outside. Store wood on stands twelve to eighteen inches off the ground. Do not plant shrubs or flowers right next to buildings. Keep a space clear between plants and buildings and allow six to eight inches under plants. Keep grass and ditch areas trimmed. 3. Protect buildings Cover crawl spaces, fresh air and attic vents with 1/4 inch metal screening or steel mesh.

SMART SAMUI

The Jaws of Life I had a little bad luck recently when I was involved in a road traffic accident in Maenam. Luckily for me, the Samui Rescue Foundation were at the scene quicker than I could have even prayed for.

I hadn't even been even able to get my cell phone out of my pocket before I saw the vehicle pull up and heard one of the volunteers, Alan, asking if I was OK. The dedicated people of The Samui Rescue Foundation are a group of over 300 volunteers with 5 foreigners who are on call for rescue situations 24/7 around Koh Samui. After my accident I spent a little time with some of them finding out what they actually do as Rescue Volunteers and what drives these people to give so much of their free time and lives to help unfortunate accident victims. I met up with most of the Rescue Foundation in Nathon at a food distribution service where the Samui Rescue Foundation was giving out 1,100 bags of food to people in need. I was introduced to members of the Samui Rotary Club and I found out about one of the fund raising activities to raise money to buy the Samui Rescue Foundation their own “Jaws of Life.” The Samui Rescue Foundation encounter probably every sort of accident possible on Samui and it is amazing how well they can cope with almost any situation. One piece of equipment that would help further in their cause to save life's is called the Jaws of Life. The Jaws of Life are emergency services hydraulic equipment that use extreme hydraulic pressure (up to 120,000 lbs per square inch) to cut metal such as car roofs to free trapped passengers. The Jaws of life consist of a compressor and three tools: a cutter, a spreader and a ram. With these tools rescue personal would be able to cut off a car roof in 2 mins. In these emergency situations seconds in getting someone out of a car wreck could mean the difference between life and death. In the last 3 months on Koh Samui there have been 3 cases where sadly this piece of equipment was dearly needed in severe accidents and even more sadly, people actually died in there cars before they could be freed and taken to hospital. There are already two Jaws of Life on Samui, but one is on permanent stand by at the airport and the other is a built-in unit in the Nathon fire truck. This means even if the fire truck was called out it would take too

much precious time before arriving at the scene of an accident. This has become so important on Samui that now the Samui Rotary Club have taken on the worthy cause to raise the 300,000 Baht to buy a dedicated unit for the SRF. The Rotary are starting a fund raising raffle with a Yamaha Fino as the main prize, which will be raffled the last Friday in November. Apart from that they have at their monthly dinner meetings a small in house raffle which regularly brings 5-8,000 Baht. Then at the Samui Mala Festival there will be 2nd hand items for sale where all proceeds will go towards the Jaws of Life. Last year, the Rotary Club brought in 50,000 Baht at Samui Mala Children’s Day. A Tribute to the

Rhythm Master

On Saturday 4th of September, Koh Samui tragically lost a much loved, respected and dynamic member of our island community. Asambai S. Lewinson; husband to Maria and father to Naomi, was tragically killed in a road accident. Asambai will be sadly missed, not only because he was an outstanding creative talent and musical genius, not only because he supported the local community in so many original ways. He will be missed as a truly inspirational character who spread a love for life and his fellow human beings. Asambai lived rhythm and music. His vast experience afforded him a full spectrum approach to performance art and his skills and flexibility allowed him to move beyond the mainstream to create his own distinctive musical style. As a percussionist par excellence, Asambai's rare feel was his compass, and he bravely cut through unchartered fields and musical genres. His ability to shape and stylise performance projects through intuitive direction and collaboration meant he spent the past decade earning the loyalty and support of some of the world's leading musicians, deejays and producers. He also toured extensively, performing concerts all over the world in places like Argentina, Japan, Switzerland, Russia, Lithuania, China as well as on several European and US tours. During his all too short time on Koh Samui, Asambai became a well known figure. He managed events, performed regularly on stage and volunteered his time for Samui Mala and other important island initiatives. At Samui's schools, he helped both Thai and international students connect with the magic of music. His Fantastic Plastic Orchestra project used recycled percussion instruments in workshops and seminars where the kids were introduced to ecological awareness, learning how to care for the environment while playing music and having fun at the same time. Through his passion for playing drums, Asambai worked with virtually every musician and DJ that landed on the island. He also introduced people to the positive power of rhythm through his drum circles and led drum healing workshops at Kamalaya, helping individuals find a better place in their life by exploring the ancient art of shamanic rhythms. There are times in life when you meet an individual and know that this person is one of a kind. Asambai was such a person. Our love and thoughts are now with Maria and little Naomi. Rest in love and peace Asambai - your positive spirit lives on through the music‌

A

new restaurant has recently opened in the Big Buddha area of Samui called the Dancing Crab. Its location is right on the beachfront overlooking the actual golden Big Buddha. The name itself comes from the small community of little fiddler crabs on the beach just next to the restaurant. They have one large oversized white claw and the local Thai people call them dancing crabs because they consider it similar to the way traditional Thai dancers hold their hands. Depending on who you talk to they are called Bpuu ManoraManora is a variety of Southern Thai Dancing or Bpuu Raam Thai which is generic for all Thai Dancing. This great restaurant is a new venture from Mark Cullmore of the well known BBC CafĂŠ and you will find the food and staff as good as you would have expected at BBC.

The restaurant has a wide variety of seafood available in a fantastic setting and some special Dancing Crab dishes. Only the freshest ingredients are used, so while they want to satisfy all tastes it could be that sometimes a certain variety is not freshly available. Specialties of the restaurant are some of the secret sauces that go so well with the various crab dishes. These sauces are specially prepared for the Dancing Crab restaurant on Samui and cannot be found anywhere else on the island. You will find the location about 100m after the Big Buddha entrance, look out for the Dancing Crab and BBC signs.
