INGREDIENTS (makes 6 servings) • 12 ounces dried rice noodles • 1/2 cup white sugar • 1/2 cup distilled white vinegar • 1/4 cup fish sauce • 2 tablespoons tamarind paste • 1 tablespoon vegetable oil • 2 boneless, skinless chicken breast halves, sliced

into thin strips • 1 tablespoon vegetable oil • 1 1/2 teaspoons garlic, minced • 4 eggs, beaten • 1 1/2 tablespoons white sugar • 1 1/2 teaspoons salt • 1 cup coarsely ground peanuts • 2 cups bean sprouts • 1/2 cup chopped fresh chives • 1 tablespoon paprika, or to taste • 1 lime, cut into wedges

DIRECTIONS Place rice noodles in a large bowl and cover with several inches of room temperature water; let soak for 30 to 60 minutes. Drain. Whisk sugar, vinegar, fish sauce, and tamarind paste in a saucepan over medium heat. Bring to a simmer, remove from heat. Heat 1 tablespoon vegetable oil in a skillet over medium-high heat. Add chicken; cook and stir until chicken is cooked through, 5 to 7 minutes. Remove from heat. Heat 1 tablespoon oil and minced garlic in a large skillet or wok over medium-high heat. Stir in eggs; scramble until eggs are nearly cooked through, about 2 minutes. Add cooked chicken breast slices and rice noodles; stir to combine. Stir in tamarind mixture, 1 1/2 tablespoons sugar, and salt; cook until noodles are tender, 3 to 5 minutes. Stir in peanuts; cook until heated through, 1 to 2 minutes. Test Your Soil It’s cheap and easy to test soil with a simple test kit. Buy one at your local nursury or online. This way you can see if your soil is acidic or has a high alkaline content. Then you can add compost and fertilizer accordingly. Most plants do well with a balanced ph, but some, like blueberries, like really acidic soil and so will benefit from seaweed-based fertilizers. If using manure, make sure it is 100% organic. Manure from animals that have traces of antibiotics or other hormones can damage your crops. 2. Companion Plant Reference what plants do well together. For example, planting basil together with tomatoes improves the flavor of tomatoes and repels flies and mosquitoes. 3. Remember Flowers You can add beautiful edible flowers to compliment your veggie kitchen garden, like borage, nasturtium or pink jasmine to your garden. Flowers like yarrow or sweet alyssum will attract good bugs that eat aphids. Consumers are switching up their décor, and their plants. Sustainable, organic gardening and permaculture are big topics! Everyone wants safe, organic fruits and vegetables and even eggs, so many of the old "Victorian" practices of backyard gardens and keeping poultry and other animals are making a comeback. Many people are practicing urban agriculture in vacant lots and in backyards all over the world. “There’s this whole push for ‘farm to table’ that everyone’s doing, and that carries over to the yard,” says Peter Mihalek, managing editor of Lawn and Garden Retailer magazine.

BANKERS ROLL UP THEIR SLEEVES Investment bankers are busier nowadays due to a flurry of deals concerning mergers and acquisitions (M&As), equities, funds and bond issues, as the private sector seeks to jump to the head of the queue to take advantage of the improving sentiment after the May 22 military coup ended months of deadlock. Investors and companies that delayed their activities during the first half are lining up to launch deals in the second half as part of their business expansion, said Sittichai Mahaguna, an executive vice-president of CIMB Thai Bank and head of corporate finance and equity capital markets. The deluge of investment banking deals runs from fund mobilisation to M&As. Fund-raising has included initial public offerings (IPOs) and issuance of property funds, while real estate investment trusts (REITs) and debentures are regaining momentum. It could take some time for infrastructure funds to take off as the junta’s infrastructure investment strategy has not been finalised. Surging investment banking activities point to the rebound in private investment and an economic jolt in the months to come after torrid growth last year. True Corporation struck an agreement to offer an 18% stake to China Mobile, the world’s largest mobile operator by subscribers, in a deal worth 28.6 billion baht. Property Perfect announced it would buy out Thai Property through a share swap. And Wichai Thongtang, a major shareholder in pay-TV company CTH, and Wichai Wachiraphong, a deep-pocketed investor, will buy a combined 27% stake in handset distributor TWZ Corporation. Moreover, fund-raising through the bond market is vibrant. PTT Exploration and Production, PTT’s petroleum exploration subsidiary, sold a US$1-billion subordinated perpetual bond and raised another 19.6 billion baht via debenture issuance. The junta initiated its eight-year strategic infrastructure development plan, starting from next year, which is a catalyst for the private sector’s fund mobilisation.

Kittiphan Anutarasoti, Krungthai Bank’s senior executive vice-president for wholesale banking, said large corporate clients mobilising funds through bond issuance rather than seeking loans grew marginally in the first half. Low interest rates are expected to be kept in place throughout the year before nudging up next year in another factor drawing companies to raise funds quickly through the bond market to lock up financial costs. Thai Bond Market Association president Tada Phuttitada estimated earlier corporate bond issues would hit a fresh high of more than 500 billion baht this year. Businesses are more confident, leading to projections of ramped-up funding from loans, debt and the capital market. For equity supply in the primary market, many companies are queuing up to list on the Stock Exchange of Thailand (SET) and Market for Alternative Investment (MAI) over the next 12 months. Pornvipa Tangtrongchit, head of investment banking at Kasikornbank, said KBank was advising the IPO of the Impact Growth REIT, the country’s first REIT, sized at 20 billion baht. The unit trusts are slated to go public in the second half. Vorachat Tuaycharoen, managing director of Finnex Advisory, said the IPO market was active once again, and the company had won a mandate to advise three companies seeking an MAI listing in the second half of this year. “The SET’s price-to-earnings ratio has now risen to 14-15 times. Issuers can be satisfied with a premium price from fund-raising, while investors welcome new stocks and trading liquidity increases,” he said, adding that the SET could advance to 1,700 points if the junta’s economic plan was allowed to gather steam. “I think next year will be one of the most active years for IPOs if market sentiment remains positive.”

New Environmental Regulations Hit Koh Samui and Koh Phangan

Investors in Koh Samui and Koh Phangan should be aware that new regulations have been enacted affecting the region, roughly translated as the Regulations of Resource and Environment, enacted 30th May 2557 (2014) (hereinafter the “Environmental Regulations”).

This article was co-written by Jeffrey Martin of the law firm Limcharoen.

The new Environmental Regulations do not replace the zoning regulations applicable in Koh Samui and Koh Phangan. Rather the rules arising from the Environmental Regulations apply in addition to the zoning regulations, and therefore the new Environmental Regulations add an additional regulatory layer to the zoning regulations. We are currently preparing a full English translation of the Environmental Regulations, which we can provide on request once ready. SUMMARY OF ZONES As is evident from the foregoing, Zone 2 and Zone 3 are most relevant to the real estate industry on Koh Samui and Koh Phangan.

Zone 2 In Zone 2, the following rules apply (not including rules not directly relevant to real estate): • Future construction of airports and golf courses is prohibited; • Future construction of water-dams is permitted, provided construction is not on public land and provided structures do not block access to the beach; • Construction of hotels is permitted, provided that 50% of the land is left vacant and “green” (i.e., consisting of foliage, trees, etc.) and having native trees; • Construction of a residential project consisting of ten (10) or more residential units must include approved water and waste treatment facilities.

• Furthermore, the area of the land must be 100

square wah or greater, otherwise construction is prohibited.

Hotels Additional rules for the construction of hotels in all zones:

Zone 3

• The hotel designs must include approved water

In Zone 3.1 and 3.3, constructions of residential units is limited to a single house, which;

• For a hotel with 10 or more rooms or that is 500m2

• Cannot exceed 6 metres in height; • Must leave 50% of the land vacant and “green”; • Must include an approved water-drainage system to prevent flooding;

• Must have an architectural design based on

traditional Thai, tropical or local aesthetics; • Must have a roof consisting of 80% of the total building area, and the roof colour must match the natural surroundings; • Furthermore, the area of the land must be 100 square wah or greater, otherwise construction is prohibited. In Zone 3.2, constructions of residential units are limited to a single house, which;

• Cannot exceed 6 metres in height; • Cannot exceed 90 m2 in area; • Must leave 50% of the land vacant and “green”; • Must include an approved water-drainage system to prevent flooding; • Must have an architectural design based on traditional Thai, tropical or local aesthetics; • Must have a roof consisting of 80% of the total building area, and the roof colour must match the natural surroundings;

• Cannot exceed 6 metres in height; • Cannot exceed 80 m2 in area; • Must leave 75% of the land vacant, and 50% of the vacant land must be “green” with native trees;

• Furthermore, the area of the land must be 120

square wah or greater, otherwise construction is prohibited.

• Where the land has a slope greater than 50 degrees,construction is prohibited.

Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan. What brought you to Samui? I firstly came on holiday with some friends in 2005 and I decided to move here in 2006 as at that time, the property market was booming and I saw an opportunity not to be missed. I spent a few months in Phuket for work some years ago but Samui is definitely the place I wanted to be. What did you do prior to Samui and were you always in Real Estate? I was studying Law at a university in the south of France. I graduated and then decided to try an experience overseas. 8 years later, I am still on the island and I can’t see myself going back to Europe. How did Samui Property Centre come about, what was the inspiration in creating the company? I worked for another real estate agency between 2006 and 2012 and I felt at that time that I needed to do more and wanted to be more independent. We created Samui Property Centre in 2012 with my business partner K’Rose, who has good experience with Koh Samui’s market. She is from Koh Samui and is well connected to most of the administrations on the island. When we decided to create SPC, our goal was to provide each customer with a friendly and comprehensive approach of the market as it is a big step forward to invest in a foreign country. New Green Samui Learning Centre for Special Needs School The Samui Learning Centre for Special Needs is on the way to creating a brand new school site, with both the children and the environment in mind but need your help! The school is currently located in far from ideal conditions and only accommodating a small percentage of possible children here on the island. Last year the school formed The Friends of The Special Needs School Samui (FSNSS) in the hope of raising funds and getting help from the community to support these much-deserved children. M-Systems Architects kindly submitted some plans for the new eco-friendly school free of charge and they have since been approved by both the school founder, Khun Dalin and the donator of 1 Rai of land, Khun Pu Yai Baan Ngoen. This new eco-friendly school will allow the children the space and resources they need to learn and grow whilst ensuring the impact on the environment is kept to an all-time low, using containers as classrooms, solar and wind energy, animals to maintain grassy areas and much much more. Janine Benyus, a biologist, innovation consultant, and author of the book Biomimicry: Innovation Inspired by Nature, told National Geographic that copying the way plants and animals solve natural problems can provide many benefits, from environmental sustainability to economic efficiency. "With biomimicry we're able to apply fresh thinking to traditional manufacturing, to undo the toxic and energy-intensive mistakes of the past," said Benyus, who is part of a group that hopes to lead a new revolution in design by imitating nature. "I wish we had been at the design table at the Industrial Revolution."

In natural systems, nothing is wasted, since everything can be used by something else. Instead of using large inputs of energy and toxic chemicals to make things and ship them across the globe, nature makes what it needs where it needs it, with water-based chemistry. These designs suggest some of what could be learned by applying the lessons of biomimicry to the problem of air-conditioning in particular. 1. Ventilation Inspired by Termites Perhaps the most famous example of biomimicry when it comes to heating and cooling is ventilation inspired by termites. A few years ago, scientists observed that big termite mounds in Africa stay remarkably cool inside, even in blistering heat. The insects accomplish that feat with a clever system of air pockets, which drive natural ventilation through convection. Architect Mick Pearce and engineering firm Arup borrowed that idea to build Eastgate Centre, a large office and shopping center in Zimbabwe that is cooled with the outside air. The system uses only 10 percent as much energy as conventional air-conditioning to drive fans that keep the air circulating.

Grow notes that a system called a liquid desiccant dehumidifier also seems to follow a form of biomimicry. Such a system is designed to pull humidity from the air inside a building (traditional air-conditioning also reduces humidity). It uses a liquid salt solution— something similar to what the brown dog tick secretes to absorb water from the air. 4. Efficient Fans Inspired by `Tornadoes and Whirlpools

A company called PAX Scientificis marketing a fan based on the logarithmic spiral shape found in such phenomena as tornadoes, whirlpools, and even airflow in the human trachea. The company says the fans have lower turbulence and higher efficiency for cooling. 5. Efficient Fans Inspired by Whale Flippers

In another take on better fan design, a startup called WhalePower is developing fan blades that produce greater lift, and therefore move more air, thanks to the bumpy design of a humpback whale's flipper. WhalePower says its fans move 25 percent more air than conventional fans while using 20 percent less energy. The company is also working on more powerful wind turbine blades. If you are not keen on getting an exterminator and want to keep your house bug free then here are some tips and tricks to keep the creepy crawlies out of your island home.

Check your house for cracks and gaps, especially where pipes exit through the wall. Go outside and look for openings around exterior outlets, laundry vents, and utility meters: These areas are likely to have invitingly large cracks for bugs. Check weather stripping on doors and windows, and repair holes in screens (Use cheap adhesive patches for a quick fix). Give your pets a dining space

Make it harder for ants to get to pet food by giving your pet a dining area on a rubber mat. This will make spilled food easier to spot and clean up. If you're having an ant problem with pet food left on the floor, put the food bowl into a larger bowl with water in it -- the ants can't cross the "moat" to get to the food. Keep a clean kitchen

Since just about every unwanted pest is attracted to leftover bits of food, keeping a clean living area is important to keep bugs out. Here are a few quick tips: • Keep all leftovers stored in lidded containers. • Check for sugar spills near the coffee maker. • Wipe residue off containers containing sugary stuff like peanut butter and jelly. • Keep fruit out of direct sunlight and check frequently for spoiled produce. • Vacuum or sweep regularly.

Keep a dry home

Insects love damp environments, so eliminate moisture and wet spots. A caulk line can fix leaks around tubs and sinks. Check for stains on the ground that indicate dripping pipes and inspect above for cracks or loose fittings. Look for water spots in your ceiling that could mean a hole in your roof; in addition to an obvious roof issue, holes can also be an entry spot for bugs. Clean up the yard

Insects are likely to congregate under grass clippings, compost heaps, and decaying leaves. They will also use branches touching your home as pathways, so trim branches and shrubbery to keep insects confined to plants. Clean up pet droppings, and keep trash bins and compost heaps securely covered and away from your house. Make a homemade flytrap

I hate flies. They pop up wherever there’s something sweet and seem to linger forever. So when you get tired of running after them and trying to crush them by clapping your hands furiously try this instead Add a squirt of dish soap to half a cup of apple cider vinegar in an open container. The flies are attracted to the sweet-smelling vinegar and the soap breaks the surface tension, drowning the fly.

Put a few of them around the house where you see the pests, but don't put them near open windows; it encourages more to come in. Don't kill mice, trap them

It is better not to kill mice, because their bodies are breeding grounds for insects and bacteria. You can buy a simple trap for a few baht. To prevent mice from getting inside in the first place, plug holes like those found near baseboard heaters and dryer vents with steel wool. Practice mosquito management

• Get rid of standing water: Mosquitoes lay eggs in

stagnant water, so take away their breeding ground by overturning water in open containers and throwing mulch or soil over yard puddles. • Place minced garlic around your porch. Garlic's odor acts as a natural repellent to many insects, including mosquitoes. • Adding citronella, eucalyptus, cinnamon, or castor oils to sunscreen can repel mosquitoes for when you need to work outside -- just be sure to follow the instructions and not dump a cup of citronella on your face. • When you're sitting outside, use an oscillating fan. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.

In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited.
