EDITOR'S LETTER The waves! The sun! The shore! The Sun! That invigorating ocean breeze! The… SUN! What’s not-tolove about a day-at-the-beach if that day on the beach is on Koh Samui. Samui is an island that for not so many years was just a relaxing coconut plantation with a few intrepid backpackers exploring, now we have an international island that is topping the charts of tropical dream destinations with its own boutique airport and a selection of shopping and real estate that is second to none. Samui Phangan Real Estate has been part of this transformation practically from the start and our team strives to find articles and information that are not only informative for the general public but also editorials that are positive for Samui’s environment and its infrastructure. If you can plan a trip around showers of rain, these are mostly afternoon downpours anyway, you should be fine. If beaches and working up a dark tan is the only thing on your mind, then the rains might be a problem. If not, read on.

The Thailand climate is controlled by tropical monsoons and the weather in Thailand is generally hot and humid across most of the country throughout most of the year. While Thailand’s seasons are generally divided into the hot season, cool season, and rainy season, in reality it’s relatively hot most of the year. The weather in central, northern, and northeastern Thailand (the landlocked provinces) is determined by three seasons, whereas the southern, coastal regions of Thailand feature only two, making the weather in Thailand quite easy to understand and plan a trip around. In Thailand’s inland provinces the seasons are clearly defined: Between November and May the weather is mostly dry and the cool season and hot season occur from November to February and March to May respectively. The other inland season, the rainy season, lasts from May to November and is dominated by the southwest monsoon, during which time rainfall in most of Thailand is at its heaviest. The southern, coastal region of Thailand really has only two seasons – rainy season and dry season. Fortunately, for those planning a beach holiday, Thailand’s two coasts have slightly different rainy seasons, allowing visitors to find sunny beaches nearly year round. On the Andaman or west coast, where Phuket, Krabi, and the Phi Phi Islands lie, the southwest monsoon brings heavy storms from April to October, while on the Gulf of Thailand or east coast, where Koh Samui, Koh Phangan, and Koh Tao lie, the most rain falls between September and December. To experience the magic of the monsoons or rainy days’ season, take a trip to Samui between September and December. You can see the dry earth reviving and bursting with life under the life-giving showers. From eating hot snacks and drinking steaming tea in the rain, to splashing around in the puddles or sheltering under an awning and watching the rain, there are many new experiences that only monsoons can offer. Reasons to Visit Asia During the Rainy Day Season Traveling during the monsoon season or rainy days in Asia can be just as pleasant as the peak season. With a little luck and timing, you’ll still get to enjoy plenty of sunny days along with less crowds and lower prices. There is actually still much to do and enjoy during the monsoon season for those people who like to roam in rainy days, enjoying the romantic and refreshing atmosphere. The rainy season puts off some tourists meaning it equates with the low season. Rainy season means less tourists, fewer crowds and lower prices. The atmosphere at famous attractions is not ruined by being overrun with tourists and it’s easier to just turn up and find accommodation and because there are less tourists there is plenty more opportunity for haggling for a bargain. Rain needn’t stop your sight-seeing plans as it rarely rains non-stop. Most of the time you can almost set your watch by it as you’ll see a soaking downpour in the afternoon that lasts for less than an hour, and then, as quickly as the rain came, the sun is back out and it’s dry again in no time. It’s hot and humid in South East Asia and often a quick, refreshing downpour of warm rain is a welcome respite. The landscapes are beautifully lush and green. Waterfalls gush, flowers bloom and jungles are luscious. Rice fields come alive in a patchwork of colors from bright, emerald green to glowing yellows. It is also the best time to witness farmers working, harvesting and cultivating rice in the green fields and spectacular rice terraces. Rainy Season Tip The rains usually occur in the afternoon, which allows you to plan your day around them. Do sightseeing in the cool, dry of the morning and then when it is raining it is also a good time to rest, have a nap or do something indoors like visiting a museum or restaurant. Accept that you will get wet and come prepared with waterproofs. Invest in a waterproof cover for your backpack and make sure you take care of electronics, gadgets or anything that may get ruined in a sudden downpour.

A Brief Guide to Purchasing a Re-Sale Property in Koh Samui and Koh Phangan Over the past 10 to 15 years many investors have chosen to invest in off-plan or newly constructed properties in Koh Samui and Koh Phangan as there has been a steady supply of new inventory. As the property market matures, and in particular as the supply of developable sea-view land begins to diminish, the inventory of new properties will begin to slow down and the market for available residences will switch to re-sales of existing stock. Even today, many investors find that their ideal tropical home is being offered for sale by a private seller who has perhaps owned and occupied the property for a number of years. In this edition, we examine some of the key issues to be addressed by investors who choose to acquire a re-sale property in Koh Samui or Koh Phangan. The first step is for the prospective investor to fully acknowledge the nature of the investment that they are about to undertake. It is important for the investor to understand what they can and cannot legally own. Property ownership laws in Thailand are more restrictive than those in the investor’s home county and foreigners are prohibited from owning certain interests in real estate, such as freehold land. If the purpose of the acquisition is to generate a rental yield it is important to understand the rules of renting out private residences.

The authorities in Phuket have recently clamped down on private rentals of less than 30 days, for example, as this is generally prohibited without a hotel license. Furthermore, an investor needs to understand their currency risk should they re-sell the property in the future and repatriate the proceeds of sale and the myriad of taxes that will be applied at acquisition, ownership, rental and re-sale. It is of paramount importance for a prospective investor to understand that they buy at their own risk and should therefore undertake detailed and independent investigations into all aspects of the property prior to paying any money to the seller (a small refundable reservation fee is acceptable). Such investigations or “due diligence” as it is commonly referred should include the following: - A title investigation to establish that the seller is the legal owner of the property and that the title to the property has been legally issued in accordance with the laws of Thailand and has full legal rights of access: - An investigation to establish whether or not the property has been built in accordance with local building and environmental regulations:
- A structural survey to ensure the structural integrity of the property and to ascertain whether or not any major repairs are required: - The physical testing of the facilities at the property such as air conditioning units and water boilers to ensure that they are in full working order. Any defects, inconsistencies or concerns which are revealed by such investigations should be corrected by the seller. In the event that any such defects or inconsistencies cannot be remedied, the investor should withdraw from the transaction. A prospective investor may find that the seller does not own the property in their own name but through the ownership of shares in a limited company which owns the property. Such transactions will often involve the sale of the shares in the company to the investor rather than selling the property itself. In share transactions, in addition to the above investigations, the investor should also carry out detailed investigations into the company itself to ensure (amongst other matters) that the company is correctly formed and validly exists, has paid its taxes, has no outstanding liabilities and is the legal owner of the interest in property. It is imperative to ensure that the company will comply with Thai law once the foreign investor has acquired his/her shares as Thai law restricts
the number of shares in a limited Thai company which can be legally owned by foreigners. Furthermore, “nominee� Thai shareholders appointed allow foreigners to circumvent Thai laws are illegal. The seller and buyer should negotiate a detailed sale and purchase agreement with regards to the sale of the property, or Share Transfer Agreement if the transaction relates to the sale of shares, setting out the respective obligations of the parties. The sale and purchase agreement should set out clearly the main terms of the agreement between the seller and investor including the purchase price, payment terms, completion date and the consequences of a breach of the agreement by either party. Any specific terms and conditions agreed verbally between the seller and investor, should be clearly set out in the sale and purchase agreement with clear consequences for failure to comply with the obligations. The seller should provide comprehensive warranties and representations to the investor with regards to the property and all other salient matters. In short, investors must understand the nature of the investment that they are contemplating and conduct comprehensive due diligence into all aspects of the target property before becoming financially committed to the transaction.

Developer Finance in Thailand With several billion baht of lending established over the years, many a time the question has been asked to me, by would be construction companies “Do you do developer finance?”… The solution has often been, to utilise other collateral an owner of a project could offer (whether condo or land), in order to provide a refinance (Mortgage) or purchase and provide a right to buy back (Kai Faak), in exchange for cash. A would be developer then may have cash on the table to begin and complete their project, using collateral from another location. Other collateral however, is not always available. Traditionally for most, developer finance in Thailand would come from the major retail banks. Over several months of negotiating with bank staff, bank management and perhaps even senior bank figures depending on the loan size, a developer would often need to convey a sizeable amount of paperwork in order to cement a deal. Projections, forecasts, historical statements of income, present income, present sales, credit checks, terrorist checks, fraud checks, property/construction analysis, competitor analysis, exit strategy and for condominiums, plans for an occupancy permit, design blueprints, condo license planning etc… all of this plus much more, shall most likely be required to help establish a construction finance loan. All of this before the project has even got off the ground. Often however, banks have than been known to prefer waiting until a project has already started and perhaps achieved around 50% of sales before a consideration to finance the development can be given. This way, a lender will perceive less risk in their investment with a sizeable amount of sales already under the developer’s belt, construction costs in theory are covered from sales down payments and finance is more a way to help solve liquidity during the construction

process. With this in mind, there appears to be a catch 22 segment of the market. A developer, whom has access to the major Thai retail banks but perhaps has been declined due to low sales OR does not wish to offer other collateral, may struggle to get the project off the ground. It could be the next best landmark project in Thailand but without decent early sales, capital or finance, the development may not even begin. In these circumstances, private finance may be considered. These types of lenders often can use the proposed development land (even if construction has already started) as collateral, though it may be the requirement is for Kai Faak registration. This may cause issues with a proposed EIA approval on a condo building later down the line as with a Kai Faak registration, the development land is no longer owned by the developer as titles are transferred into the lenders name. In theory, a developer should really own the land for which they are about to build and sell units/plots on. Private lenders may offer a mortgage registration, though would likely come at a higher interest cost since to a private lender, they are generally interested for interest income only and don’t wish to get caught up in a lengthy legal process to liquidate collateral or be stuck with a half built project and hence why the higher cost to make it worthwhile to them. With this in mind, it has been useful to see a new product launched onto the market, which allows for an early stage finance & mortgage option.
Take for instance a most recent example. A small but established developer, who planned to build a new condo resort, happened to be in one of the scenarios above. Having built 2 low rise condominiums previously though unable to use these as collateral since, built under different companies and prefer not to mix up business interests plus of course some units already transferred to end users, this was to be a third attempt and follow on project. A proposed development land value of THB 200,000,000 already had a deposit paid, to reserve a prime location plot and finance was needed to purchase the remaining balance whilst also, allow a little capital to get the showroom up and running to begin sales. Of course once the project is under way with at least 50% sales, major banks could be more easily available though for now, we are still in the early stages. Prime Location Land with the following criteria is considered great for development: • Freehold title deed – Chanote only (Nor Sor 3 or Leasehold not acceptable) • Public road access width of at least 6 meters • Land plot width of at least 12 meters • Land not exceeding sea level by 80 meters • Land not exceeding more than 30 degrees gradient • Land with full utility access (electric, water, telephone) • Land with no present indications to be existing of forestry or national park area Now having obtained the fact, that this was a Prime plot of land to the lenders preference, a loan of less than 50% against the valuation price was needed to get things moving, around THB 80 million. Short-term finance of around 1-2 year maximum would allow the final payment to purchase the land and also provide a small allowance to begin work on the project, marketing etc. to help drive sales up and above that vital 50% mark and thus opening up full potential of the major banks lending. Usually a lender will provide a minimum of a 3-year term for the loan to be worth their while and with access to pay off early on an early redemption fee, around 2.00% in this example. Upon submission of the following to a lender, it was possible via looking at historical lending with valuations in the area and via online content, to provide an estimate loan size within a few days: • Chanote • Google Map & Area Perimeter Drawing • Recent Photos Having now ascertained to be a possibility with sufficient finance available on the lenders side, the developer knows if the paperwork is available to meet lending requirements, there is a good chance funds can be made available. Paperwork could now be the difference in being offered a Mortgage registration or Kai Faak or even, still a decline. There is no exact answer to decision making here since ultimately, it is down to a panel discussion & feeling on the day of application, judgements could change however, the more evidence to show sufficient affordability and sustainability regarding sales and construction with historical evidences of success and
ability to repay both now and in the future would certainly not go unnoticed. A Mortgage registration & Kai Faak would most likely incur similar interest on the borrowing (approximately 12% per annum) though the major difference is of course land transfer costs. A Mortgage is a debt registered on the title costing around 1.00% at the Government land office however, Kai Faak is a full title transfer of ownership, which is highly likely to cost more. A big factor in the process, which must be of consideration to the borrower and cannot be overstated, is the valuation assessment. This could be the death of many cases since, if undervalued or underestimated, loan to value ratios may not be sufficient for finance to be forthcoming. The lender will send a preferred valuation company to do their due diligence. If left to their own devices, it is highly likely that the valuation will come in, at a lenders suitable risk value or less, which of course means less than expected or even required and the deal is then lost. While a lender is keen to lend and not waste time, ultimately they have to abide by a set internal policy, which would likely be capped at a ratio against the independent and third party valuation, usually around 50%. It is highly recommended to do your own due diligence on land values in the area and provide contact details or highlight, which plot/area/ units that could help with the appraisal value. While the valuation is likely to be a pre-determined market value, I am yet to find consistency with appraisal companies values and opinions of many others. A borrower always has the right to challenge an appraisal valuation if it is felt under the expectation and by providing evidence, a valuation can be increased. It is therefore better to do this at the start rather than try and challenge the decision later, particularly in Thailand... If there are known registered sale values, sale prices or market valuations in the area, all submissions of these at the start can be accounted for and used as a reference. Luckily for the above example, a Mortgage registration was achieved on the developing land with a decent valuation and within 1 year was fully paid off as a major retail bank than took over the deal. In summary, early stage (pre-construction) developer finance can be available if the model fits the lenders requirements on a short-term basis. Main obstacles tend to be the valuation company assessment, lack of desirability in the land or, the registration type (i.e. Kai Faak or Mortgage). Careful attending to the paperwork

Thinking Outside the Box Container Living - Part One
There has certainly been quite a lot of publicity recently on containers used for temporary homes for immigrants arriving in Europe. But making a home out of a container is not something new and designs and ideas for container homes can be found all over. Samui Phangan Real Estate Magazine takes a closer look at what this is all about. Many people are taking to the interesting option of building a home or even office out of a shipping container. Container homes might seem to be small for some but by stacking or using multiple containers together your home could be anything but tiny. There is a huge choice of designs for homes and normally using a container will be much more financially reasonable than building a home from scratch. Depending on the type of build using a container could mean your home would be classed as a temporary build and therefore fall into some easier categories with building regulations. But please do your research properly as so many areas vary on their government regulations. How to Build a Shipping Container Home? First thing to do before you even think of buying container is to decide on your home design. Containers come in five lengths of 8 to 40 foot and that’s 2.5 to 12m respectively for those working in metric. You need to figure out how much space you want and if multiples of containers are used will they just be lined up or stacked. Apart from your wallet the only real limit is your imagination. (8ft)

Consult an engineer Normally the outside framework of a good container is so strong that removing walls is not a concern at all but if multiple containers are used especially stacked or structural components are taken out then advice should be sought from an engineer. Buying your container There are too many places to buy containers to list them here, but a quick search on the net will turn up more than you need. Buying them locally will allow you to inspect them before you buy, which is critical when looking for used containers. Shipping containers have shipping licenses which expire after a certain time. Containers that are near the end of their shipping life can be then bought up at a very reasonable price. But again a personal inspection would be much advised as used containers are mostly still well intact but there are those that have been sitting in some yard for years and should be left alone. For a reasonable container still in good condition expect to pay around $2,000, but shop around and also do not forget that you will need to transport your container to your building site. It will need a crane to load it onto a truck and then the truck journey and another crane to unload. If your container is far away your transport and load cost could well exceed your buying price so be careful. Often if you’re buying it from a company that has transport too make sure you lock them into a delivery with the price. In Europe most container trucks come with capable cranes to unload but this is sadly rare in Thailand. Container Foundation A foundation can range anywhere from some concrete or wooden supports on the ground for a single container all the way up to a full basement for multiple containers. Your decision will need to consider both what is structurally required and your own personal preferences. If you decide on some type of poured concrete foundation, then you should plan on embedding steel plates into the concrete where the container corner blocks will rest. This will allow the containers to be welded directly to the concrete foundation. If you need a cheap and easy do-it-yourself foundation, piers are probably the best choice. They also have much less impact on the site if that is important to you. Putting the Container in Place The easiest way to place shipping containers on your foundation is with a crane. I have seen a lot of different methods on the web, but nothing beats the ease, speed, and safety of a crane. The large 40ft container actually weighs (empty) 4 metric tons, this is actually not much for a crane and the smallest cranes can easily complete this task. In the next issue, we will look at connecting containers, insulation and what should be noted when actually fitting out your container for your home design.

I am originally from the UK and I first came to Thailand on business in 2005. We were here to attend a Bangkok property investment expo. When did your professional interest in pools start? It all started back in 2006 when we opened our first swimming pool showroom, we noticed a niche in the market for a good swimming pool construction and equipment company, there was quite a building boom at the time and there seemed like room for a good reliable pool company. We also had numerous contacts outside of Thailand that were marketing new and innovative pool products that were not available here at the time. What services do you offer for swimming pools? We can undertake anything pool related from a brand new constructed pool or supply of pool equipment to a simple monthly maintenance contract taking care of a client’s pool. We cater for both residential and commercial clients from a small single villa pool to numerous hotel or resort villa pools within the same site. We also offer a unique alternative to tiles for pool interiors from one of our supply partners, namely Paradise Pool Interiors of which we have a good selection of their products on display in our showroom. What would a typical pool installation be? A typical pool installation would be the pool hydraulics and pump room, often we work alongside the main building contractor and supply a plan for the structural pipework inside the pool itself which we would then install. We would then specify, supply and install the equipment inside the main pump room, which would consist of the pump, filtration and sanitization equipment.

Our most popular products would be blinds, shade sails and sala structures, We supply and install a fair amount of quality exterior motorized vertical blinds and shade sails, again to both residential and commercial applications. We also offer a range of prefabricated outdoor salas that come in a huge range of designs, sizes and colours. Or simply if you have a design we can make it for you. We notice that you advertise shade sails. Can you briefly explain what a shade sail is? A shade sail is essentially a fabric (shade only) or waterproof membrane that is tensioned between a number of fixed points, whether they be vertical or raked posts or poles and/or stainless steel or painted anchors secured to an existing building. Shade sails are extremely versatile and very effective in creating a nicely shaded area, be it across a pool or perhaps over a decking area to utilize a space that was before unusable due to its exposure to the sun and the elements.
When did you open Pool & Shade, and why “Pool & Shade?” Pool & Shade opened its doors in 2015. We are involved in pool equipment manufacture in Australia where we also construct many swimming pools, predominately in the Surfers Paradise area on the Gold Coast. The normal procedure is for us to visit your property to discuss your requirements, take some measurements and go through some basic design ideas. ANTS We all love living or spending our time on Samui or in Asia. Beautiful weather, people and food make it a fantastic choice and most of us will never want to go home. The warm climate relaxes and brings with it a comforting ambience but exactly this warmth can entice quite a few creepy crawlies or insects into our homes. We will start in this issue with the simple little ant and how we can cope with them without grasping to aerosols of poison, the kind that contains known toxins, heavy metals, and other nasty supposedly inert ingredients. It’s no joke, the evidence is there that synthetic pesticides pose a major health risk to humans and animals. And still these chemical-laden products are widely available (just look at the local convenience store) and widely used disregarding all the dangers. But that doesn’t have to be true at your house. First we are going to look at ants, coming in many shapes and sizes, ants can be the biting type or just be a huge overrunning nuisance. The first line of defense is to remove what is attracting them in the first place. Keep all tops clean especially from any sweet liquids or crumbs. Honey and sugar must be in an air tight container or wrap them in a zip lock bag. Cut off water sources such as wet counters and dishes left out to dry overnight. If the little raiders still won’t give up here some handy and healthy tips to try.

Control
Cucumber Something as simple and clean as cucumber can be a good solution. Yes, local cucumber, actually the more bitter the better. Using cucumber peelings makes an effective ant deterrent. Spreading cucumber peels where ants might enter your home will send them darting back from where they came from.
Soapy Water Add a little washing up liquid to water in a small spray bottle and use it against the invaders. A soapy water solution can be sprayed into tighter areas killing ants and also washing away their food source.
Boric Acid Boric acid is about as safe as you can get as it has half the toxicity of table salt. Some ants have a sweet tooth while others are more likely to seek out fats and proteins. Mix your boric acid with a couple of different food types to find out which one draws the most ants before you settle on your recipe. You can dissolve sugar in water, use jelly or honey, or use peanut butter or normal butter. Mixing 1 teaspoon of boric acid with 1 cup of the food makes a 2% solution. If you're using sugar water, add about 8 teaspoons to 1 cup of water, then add 1 teaspoon of boric acid. If the ants aren't attracted to your baits as well as you'd like, reduce the boric acid to 1/2 teaspoon per 1 cup for a 1% solution. Using homemade boric acid ant killer isn't a quick fix for an ant problem. It's a slow-acting poison, and each ant that takes it back to the colony shares it with only a few other ants. It might take a while for the poison to reach the queens, which can effectively kill the colony. It should take only a few days for you to notice a reduction in the number of ants near the bait, but it could take longer to completely eradicate the whole colony.
Cut off their trails Try to track the small insects back to their point of entry. Set any of the following items at the entry area in a small line, which the ants will not cross. Chilli powder, cayenne pepper, citrus oil (can be soaked into a piece of string), lemon juice, cinnamon or coffee grounds.
Lighting Change or add a low wattage bulb at night in the area that you find the ants foraging. This change in light pattern for the ants can be disruptive and discourage their hunting patterns.
Mint, Cloves & Garlic All of these work as a deterrent for the tiny intruders, use a tea bag of mint, cloves and also garlic cloves in areas that you see them congregating.

Solar Rooftop for Residential Applications
Installing Solar PV (Photovoltaic) on your property in Thailand has many benefits, from saving energy, saving money and reducing your dependence on the grid, not to mention doing your part for the environment. Selecting a Solar PV system for your home is quite straightforward, there are three main options available; The main options are OnGrid (or GridTied), OffGrid and Solar Hybrid. OnGrid (or GridTied) whereby you install Solar PV panels (Solar Array) and a GridTied inverter, this system is synchronized to the local grid, and power generated during the daytime will reduce your monthly electric bill. Local regulations allow the homeowner or business to install Solar PV on the roof however the system must be registered. At this time there are no incentives or any FIT (feed in tariff) programs available so self-consumption is the only option when you install this type of system. Solar Hybrid Systems; these are the new kids on the block, the main components are Solar PV Panels, Solar Hybrid Inverter and a Bank of Batteries. The Hybrid System works by firstly utilizing the power generated from the Solar PV to accommodate your load during daylight hours. If you do not have a load, then the power will automatically charge the batteries. If the batteries are full, you have the setting to feed back to the grid and reduce monthly power consumption. (If you do not want this function you can turn off via LCD display but it does mean you will be wasting power). If the load exceeds the power being generated from the Solar PV, the load will be fed via battery bank, If the battery bank is discharged to 50%, the system will switch to Mains Power (utility) or Generator. A 220Vac supply is needed to charge the battery bank or feed the load. In the evening the system will be ran via the battery bank until discharged, once the batteries are discharged the system will switch to the Utility source again. If there is a power cut the system will switch automatically to the battery bank. The Hybrid System is only available for Single Phase supplies at this time however, three single phase systems can be coupled together to create a three phase system. When calculating the return on investment (ROI), Peak Sun Hours (insolation) is used, in Thailand we get approximately 5 hours or Peak Sun per day, using that number we can calculate an estimate ROI which works out around 6 years (based on current pricing and tariffs).

Off Grid Systems, these are more complicated as loads and usage need to be factored into the equation… An OffGrid System comprises Solar Panels, an OffGrid Inverter, Batteries and a Charge Controller. The size of the system will depend on the power demand and the number of days back up power is required. With an OffGrid system all of the loads are run off the batteries and the sun is there to charge the batteries, a small generator may be required for cloudy days "Customers on Residential Housing Estates can benefit from Solar PV and energy efficient LED lighting… even without a FIT (feed in tariff) program" Customers on Residential Housing Estates that receive their monthly utility bill (electricity) from the development can also benefit from Solar PV implementation even if no FIT or PPA (power purchase agreement) is available… Although it is proven that the electric meter can spin backwards if excess energy is generated this is not accepted by the local authority if you receive your monthly bill directly from the PEA. However, if your electric meter / billing comes directly from a project or development then a percentage of the dwellings can easily have Solar PV installed and reap the benefits. Koh Samui’s enduring appeal as one of the world’s top holiday destinations has inspired many people to relocate to the island, either choosing to make it their permanent home or spending extended amounts of time living what those in less blessed locations would understandably consider an idyllic lifestyle. A selection of fresh food markets also cater to an ever growing Thai community with everything from rice by the kilo to fresh Tiger Prawns sold by the kilo at what are very reasonable prices when compared to the deli counters of most western supermarkets. For those who prefer to dine out, Samui has developed a deserved reputation a s gourmet paradise with an enviable choice of restaurants, their menus often created by chef’s of international repute and wine lists

or celebrating weddings with dances and local music, local people remain distinctively Thai in many ways. As for the foreign residents, the ease of life, natural beauty and diversity of lifestyle choices make Koh Phangan a unique destination as either a permanent or second home.
REAL ESTATE On KOH PHANGAN Koh Phangan’s real estate sector has grown as the island has developed and become more popular with visitors from around the world. Investment opportunities abound, whether it is raw beach and mountain land, off plan residential purchases or completed luxury villas for sale. Prices are considerably lower than they are on Koh Samui, which often attracts adventurous investors looking for an affordable slice of paradise. Restrictive ownership laws in Thailand, however, mean buyers are advised to go through reputable law firms when considering any purchases on Koh Phangan. As is the case on Koh Samui or Phuket, it is important for anyone considering an investment to thoroughly research the laws and regulations, as well as to ensure that any land titles are thoroughly checked and that the most secure method of purchase is found to guarantee a trouble free, long-term investment. It is advisable to research construction firms employed to guarantee that their reputation is solid and that any previous projects have been successfully completed.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.
LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
