EDITOR'S LETTER Dear Readers, Looking Back, Facing Forward It’s safe to say that Koh Samui 2017 has been one for the books! The year started unusually with some bad storms and flooding but our later in the year rainy season, now almost over has proven to not bring the predicated storms and we’ve been having some great weather in-between and with improvements in drainage we have been left quite unscathed. The Government have progressed with road improvements and public utility services making life easier for us all. The whole island seems to pull much more together now as a family, maybe with social media helping and charities like The Rotary Club of Koh Samui, Soi Dogs Foundation and Sisters on Samui plus many others have been terrific in making a difference and giving something back to our beautiful island. Many well-known famous brands names are still arriving and the impressive list now includes The Ritz Carlton Hotel, Hooters, Hard Rock Café, as well as the new Tornado Water Extreme from Europe to name only a few. Developments are surging forward and adapting to the huge influx on the Chinese market and Christmas is expected to be a bumper season. Our stunning sister island of Koh Phangan is catching up fast with good roads and infrastructure being built along with already some prestige developments. House Party Tricks for a Smashing Evening It’s a great feeling at the end of a successful party, there’s still a touch of great food left and your

house and home have not been turned upside down and guests are leaving with big smiles and doggy bags in hand. Organising such a party big or small can seem quite daunting but the trick here is to keep things simple and under control. Here are just 5 easy tips to make your life easier and your party the talk of the town.


1. Start with a Sparkly Clean House

This might seem a little obvious but it’s easier said than done. It takes some planning to prep the main dishes or cocktails the day before so that the day of the party you’re starting with a clean kitchen. I even have one friend who schedules a cleaning lady to show up a few hours before her party starts so that everything is sparkly clean.

2. Use a Catering Service

Most people don’t realize that using a catering service is surprisingly affordable. There is now an incredible choice on Samui for absolutely delicious catering services from simple to extravagant and you don’t have to lift a finger. Seems almost too good to be true. One of my all-time favourites is Nigel Mills with his BBQ & Samui Catering, you can find him on Facebook and his meals are a dream.

3. Use Disposable Plates

Disposable plates used to automatically mean you were going for the casual vibe. But the last few years have brought a lot more dare-I-say “classy” options in the compostable/ biodegradable plates and cups category. My favourites are Bamboo Plates.

4. Keep the Waste Baskets in Sight

Right before a party starts I make a mental checklist of the basics: bathrooms, garbage, and water to make sure I’m not forgetting anything crucial. By putting the waste baskets out your guests will know where to place their cocktail napkins etc and will cut down your clean up time. Help them, help you!

5. Send leftovers home with guests.

Don't Be Fooled By Cheap LED Lights

A year ago, you were lucky if you could find an LED lightbulb in Thailand at all, but now you can find them even in 7/11. And an LED is an LED, right? Sorry, guess again. Don’t be fooled by the cheap LEDs because cheap means low quality, and you are not getting what you are paying for ... So how do you know if the 89 baht LED you are about to buy is a “bad” LED? It is a well-known brand, so it can’t be half bad, can it? Sadly, yes it can. Here in Thailand, the producers are dumping their leftover stock on the unsuspecting buyer, so we get the old LEDs they can't sell in Europe anymore. So, what to look for? Lumen per Watt First generation of LEDs had an output of 60 Lumen per Watt, which was still way better than the CFL (Compact Fluorescent Lightbulbs,). The lightbulbs you normally find in Thailand are about 70–80 Lumen per Watt, like the Philips below (68 L/W to be exact). The Anubis Affordable has a rating of 90 Lumen per Watt, meaning you’ll only need 5 W, where the Philips will need 7W for the same output. On the far left, the SEGULA lightbulb only need 4W. So, if you go for the brand name LED, you’ll be wasting 25% more energy than with the Anubis Affordable LED, and a whopping 75% of energy compared to the SEGULA one. Savings over time In an ordinary household where you have, say, 40 lightbulbs, the savings add up over time: - 40 x 18W (CFL) CFL x 2,000 hours @ 4.34 b / kWh = 6,249 baht - 40 x 7W (“cheap” Brand Name LED) x 2,000 hours @ 4.34 b / kWh = 2,430 baht - 40 x 5W (Anubis Affordable) x 2,000 hours @ 4.34 b / kWh = 1,736 baht - 40 x 4W (Segula) x 2,000 hours @ 4.34 b / kWh = 1,389 baht

The SEGULA bulb is 3 times more expensive as the Philips, while the Anubis Affordable cost the same as the Philips lightbulb when that one is on sale: - 40 x 50 baht (CFL) x 3 (3 bulbs; 1 per year) = 6,000 baht - 40 x 89 baht (“Cheap” Brand Name LED & Anubis Affordable) = 3,560 baht - 40 x 299 baht (SEGULA) = 11,960 baht Factor that into the cost of electricity over 3 years: - 3 x 6,249 baht + 6,000 baht = 24,249 baht - 3 x 2,430 baht + 3,560 baht = 10,850 baht - 3 x 1,736 baht + 3,560 baht = 8,768 baht - 3 x 1,389 baht + 11,960 baht = 16,127 baht So obviously, with a short time frame, the Anubis Affordable will save you money, over the “cheap” brand name LED and the SEGULA. Colour First generation LEDs were only available in Cool White. The very cold colour you would find in a public office or a hospital, and it should never be used in your home. Warm white, which is appropriate for home use was introduced some years later. But the LED chip was still cool white, so the warm colour was obtained by giving the glass a yellow coating. This blocked some of the light, lowering the Lumen per Watt. Also, the colour could change over time when the LED was exposed to sunlight or heat. Finally, by coating the surface, it blocked some of the colour frequencies, which made the light look yellow and artificial not pleasant at all. Some years ago, an actual warm white LED was introduced. This is a much better solution as the dome of the bulb doesn’t filter out particular light frequencies, and the light is therefore perceived as a natural warm white. However, the earlier warm white LEDs could differ by more than 100 Kelvin between producers, different generations and even between different production runs at the same assembly line. Most warm white in Thailand are old generation LEDs. So, if you see a cheap Warm White LED lightbulb, then it is either a very old coated version (don’t buy them your living room will turn yellow) or a low efficacy “proper” Warm White. Colour Rendering Index White light is a combination of all colours of the spectrum. The old 60W and 100W lightbulbs had a perfect colour rendition, with a CRI of 100. That’s why you still see photographers and jewellers use the old bulbs or halogens. And some exclusive restaurants use the old glow bulbs for the very same reason perfect colour rendition.

use fluorescents or CFLs in your home, except perhaps for your garage. It will flatten all colours. Also, the lights are blinking when they are about to die out, you can see it with the naked eye, but they do so always, just too fast for your eye to see. Subliminally, however, your brain detects the flickering and your mind gets tired, it raises your pulse and blood pressure, and it may even make you aggressive. Thankfully, some clever soul decided to use LEDs for lightbulbs. The early LEDs had a CRI of 70, worse than the old lightbulbs, but better than CFLs and fluorescents. As the technology got better, the CRI climbed. The cheaper LEDs still have a CRI in the mid70s range, but most brand name LEDs are now 80. Anubis Affordable are all 80+, which means they are the best of the “standard” LEDs on the market. Finally, the newest Filament LEDs can have a CRI of 90 – 95. The cheaper Filament LEDs will be in the mid–80s, where SEGULA, using Sapphire filament LEDs, are all the highest rating, meaning that to the naked eye, they are as good at representing colour as even sunlight. Lifespan The first generation LEDs were flimsy and will have a lifetime of 10,000 hours or less. That is longer than for CFLs and ordinary lightbulbs, but far behind modern LEDs. As the production methods got better, the expected lifetime increased to 15-, 20-, 25,000 hours. The very best of the standard LEDs, like Anubis Affordable, now have an expected lifetime of 30,000 hours. And SEGULA lightbulbs have a lifetime of 50,000 hours, so you can practically build a house today, and your kids will inherit it with the original lightbulbs ... Older LEDs would “fall off” in light very quickly, so that the original 400 Lumen lightbulb after 3 months would only emit 350 Lumen, and after two years only 300. So, you get 25% less light, using the same power – which is a bad deal for you. Only the latest generations of LEDs have a consistent output over time. Unless the lightbulb can boast of at least 25,000 hours, you can almost be sure that the light will fall off over time, and you won’t get what you have paid for in the long run. So, there you have it – that 89 baht LED lightbulb on sale most probably isn't that good a deal after all. Have you ever wondered why that 18W CFL didn’t provide the same cosy light as your old 60W lightbulb? Like neon, they use only about 55% of the full colour spectrum, and that’s why for instance hospitals, public buildings and hallways are so oppressive. Don’t ever

DESIGN MOOD We are all interior designers these days. We know what we like and what we want when it comes to design, right? The trouble is most of us have no idea how to go about getting the “look” we want and with so many choices, knowing where to start becomes a daunting task. So, we either muddle through on our own or often or not, end up going to a designer to flesh out our vision and create the perfect design for us. Except, it does not always turn out that way. Why not? Because we expect the designer to be able to read our mind. We tell ourselves he or she will know what we want. First we need to convey to our designer our likes and dislikes. How do we do this by mere words alone? Well, it is difficult. Take colour, for example. Your favourite colour is grey. How do you tell your designer which shade you want when there are more than fifty shades of grey to choose from? The answer is simple. We make a mood board. In the past it was called a scrapbook. We used to collect samples of things we liked, such as photographs from magazines, pieces of fabric we picked up and anything that took our eye. All these pieces add up to a style which helps to make design decisions. A mood board is used by a lot of people in the creative industries to communicate their vision and mood boards are the way forward to communicate your ideas to a designer. Start by collecting photos from magazines. Photographers call this tear sheets and are used as a reference which can be shown to clients. Interior design mood boards can include samples of materials, colour palates, furniture brochures and examples of accent pieces for your interior. In fact, any sort of brochure and picture that you see and like will help to convey the concept and design you are looking for. If you are struggling to make your mind up or are not sure what you want until you see it, a problem we all seem to suffer from time to time, then a

Home Brick BBQ A conventional brick barbecue may be easier to build than most people may think. For the serious grill chef, a brick barbeque is great for outdoor parties with family and friends. First, choose the location for the barbecue, remember that it can't be moved once it is finished. The grill will need to be convenient for frequent trips back and forth to the kitchen. Do not place grill near any flammable materials or under any low-lying trees or branches 1.2m by 1.2m is a good size to consider when deciding how large to build the barbecue grill. In the chosen location, dig the dimensions of the grill-to-be a depth of at least six inches. Place four 15cm wide boards along the edges of your hole, cut to the desired lengths after the area is excavated.

Getting Started Ready-mix concrete or mix on site concrete can be used. Regular mortar mix will require the use of rebar for stability, and ready-mix is fibre reinforced. Pour the cement into your mould and completely fill the hole. Concrete needs to be moulded while it is setting. Mould it with a slight slope from front to back, towards the pit opening. This will improve rainwater run off while also keeping the drain area rinsed clean. The foundation needs at least 48 hours of drying time before proceeding. A step that can be done while the foundation is drying is to purchase the grills and fire/drip pan. These can be purchased from a local hardware or home store these will be needed as guides for laying the brick for the barbecue. Before laying the brick for the grill, make sure to allow for five or six inches between the grill and the firebox that will be placed underneath. Grill Options This is also the time to decide if the grill will have shelves, and, if so, how many. Two or three shelves to hold cooking utensils and condiments could come in handy and should be decided before the brick is laid. The height of the grill is a very important factor to consider. Will several people be using it, or just one main person in the household? If it will be used by the Grill-master of the home, then it should be built at a comfortable working height for the chef. Proper height makes it more comfortable for the user so they don't have to bend or reach while cooking. The day before the bricks will be laid, wet them down thoroughly with a garden hose so that the brick can retain the water moisture. Dry bricks will absorb water from the nearest source, and will pull the needed water out of mortar mix, causing failure of the cement to set up properly. Wetting the bricks the day before use, will retain any needed moisture, yet they will be dry to the touch. Do a Dry Run Do a dry run with the bricks. Place them as if you are laying them, just without the mortar. After determining the proper layout take a pencil and mark a template around your stacked bricks. Mix the mortar per package directions to get started. Use about 1cm of mortar between the bricks. Use a level to keep brickwork in proper alignment in all directions. For the novice mason is sometimes easier to follow the template markings, and laying the corners first. Continue following the markings on the outline until the bricks for the base of the grill are in place and straight. Check the base row to make sure it is level; bricks can be tapped into place by using the butt of a trowel. When the grill is 4-5 courses high, place rebar at the appropriate height to support the weight of the grill grids and firebox. Once the grill has time to dry out it will be ready for use.

The Key to a Secure Investment in Koh Samui and Koh Phangnan is Understanding.

The legal and regulatory framework of Thailand can be very different to the laws of other countries and the laws which govern the acquisition and ownership of property in Thailand are no exception to this. Furthermore, the costs and procedures of litigation in the Thai courts to enforce legal rights when things go wrong can be uncertain and time consuming compared to home. Having identified this, it must be stated that the overriding principles which govern real estate transactions in Thailand and the fundamental steps that buyers must take to mitigate risks are universal. Essentially, a prospective buyer must fully understand the dynamics and limitations of the investment that they are seeking to make. With the imminent arrival of high season and the corresponding increase in the number of real estate transactions, we take this opportunity to set out the fundamental steps that every potential buyer should be aware of in every transaction before making a financial commitment to purchasing real-estate in Koh Samui and Phangan.

Understand the Short Term and Long Term Nature of the Investment

I should wish to begin this section with three statements: (1) Foreign nationals cannot own freehold land in Thailand; (2) Foreign nationals are permitted to lease land in Thailand, however, the longest registerable lease term is 30 years; (3) Leases can be renewable, however, careful steps must be taken to ensure that the lease renewal is renewable at the end of the lease term. These three statements accurately reflect the laws of Thailand and show a clear contrast to the laws of other nations. It is imperative that potential buyers understand and appreciate the extent and limitations of a real estate investment in Thailand before they even set out to look for an investment opportunity. Oftentimes, buyers only consider the immediate issues with regards to the acquisition of property in Thailand, such as the payment terms and building specifications. However, potential buyers must look at the long-term horizon too. For example, how will they protect and maintain their property if they are living overseas for most of the year; and how will they exit the investment (i.e sell the property in the future) and repatriate the funds and profit back to their home country. Many investors have experienced difficulty in the long term by failing to identify these issues at the outset. The good news is that good planning and a good understanding of the future risks of the investment can avoid such issues from arising in the future.

Use a reputable and established Sales Agent and Buy Into a Reputable Development with a Developer who has a good track record.

Selecting a reputable and well informed sales agent with an established track record of closing deals in Koh Samui and Phangan is very important. Whilst some sales agents list the developments which offer the highest commission, a reputable agent will conduct its own research into the developer, its legal structure and finances to ensure that the project is viable before listing the project for sale. An established sales agent will have an in-depth understanding of the market conditions, pit-falls, up-and-coming areas and property prices and will be keen to avoid any transaction which will adversely affect its reputation and standing in the community. It is important to make independent enquiries into the identity and resources of the property developer. Potential buyers should make enquiries about prior projects completed by the developer and its financial capacity to complete the project. Buyers should make independent third party enquiries to corroborate the information provided by the developer, such as visiting completed projects and speaking to buyers in other projects.

Undertake Thorough Due Diligence into the Land Title

It is important to avoid assumptions with regards to the legality of the title to the land that the buyer is seeking to acquire an interest in. Land titles in Thailand require professional review of original land title documents actually physically present at the relevant land office to determine whether or not the seller actually owns the land and whether or not there are any encumbrances registered over the land. The history of the land title should be thoroughly re v i e w e d b y a l e g a l re p re s e n t a t i v e a n d a comprehensive report should be issued with a clear opinion on the quality of the land title. It is important to establish whether or not the land has full legal rights of access both on foot and by vehicle and access to the electricity grid, water supply and drainage. Careful consideration must be given to the zoning, environmental and planning restrictions which apply to the land and any building erected upon it.

Negotiate the Terms of the Sale and Purchase Agreement

The Sale and Purchase Agreement should clearly set out the key terms of the agreement between the parties including the price, payment terms, description of the property and the interest acquired; and provisions relating to the registration of the legal transfer of ownership to the buyer. The Sale and Purchase Agreements should alsoclearly stipulate who shall be responsible for taxes and registration fees relating to the transfer of the legal interest in property and stipulate the consequences of a breach of the Agreement by either party. All significant verbal representations or assurances made by the seller/developer should be expressly incorporated into the terms of the sales contracts so as to minimize any ambiguity as to what was agreed between the parties. Investors can protect beneficiaries, reduce tax liabilities and have a more saleable set of documents relating to their investment through the effective negotiation of the terms of the Sale and Purchase Agreement with the seller/developer.

Avoid Surprises Through Research and Understanding

Foreign investors into real estate in Thailand must acknowledge and adapt to the difference in law and commercial practice in Thailand. Being prepared is an essential part of a safe investment. Finally, whilst advice from friends who may already have acquired an interest in property in Thailand can help, it is always prudent to instruct independent legal advisor to guide you through the differences in law and commercial practice and assist you to understand the nature and potential hazards of the intended investment. Vincent please tell us when you originally came to Samui and how your partnership in Real Estate started? I arrived early 2006 on the island as part of an internship when I was studying law at the university in France. I worked in a real estate agency where Rose was already working. After several years, we decided to create our own agency and to offer our services to anyone looking to buy a piece of paradise on Samui. When did your concept for the Verano Residence start? We presented the land, a massive 23 Rai sea view plot, to Khun Chuwong and his wife K'Ple about 3 years ago and they fell directly in love with the area and the stunning views. From there, we sat together and started to discuss about what could be done with this magic plot. After hours and hours of discussions and meetings with architects, builders, we designed Verano Residence to be modern pool villas with an oriental flair in touch with nature.

You have now successfully completed phases 1 and 2, are they completely sold out? We have only 1 villa left in Phase 2, which is close to being completed. We expect the villa to be ready to move in by February 2018 which is just a couple of months away. Tell us a little about Verano Residence, why do you feel this is development has done so well? I believe it is a combination of many strong points. We invested a lot on infrastructure, with 8 meter wide roads and gutters all inside the residence; Underground 3 Phase electricity as well as 5 deep wells and over 300 cubic meter of water tanks. We made the choice as well to develop each villa with bigger plots than similar projects in order to ensure privacy and not to feel too crowded. And the views... When you sit in one of the completed villas and look out, the views are truly amazing.


Phase 3 is now underway, what is the completion schedule? We expect the first villas to be completed in November 2018 as we have now all 13 villas on Phase 3 under construction. How has Phase 3 evolved after you completed 1 and 2, are there many improvements or differences from the first phases? They are indeed many improvements. First in terms of design, we extended the size of each room and we made the villas more practical and easier to live in. We improved much on the materials that we use. Some materials we used on Phase 1 that were not satisfactory have now been changed to improve the quality of the construction. We have now massive 4 bedroom villas, with approximately 600sq.m of built up area to match with the increasing demand that we had for this kind of property.

You are not someone to rest so what plans do you have after Verano Residence for the future? I am not sure yet :) We still have a lot of work with Verano, so we are 100% focused on this development now. We will see after we complete the residence. Where is still your most favourite place and restaurant on Samui? I still love to go to the beach with my family, either Chaweng Noi or Crystal Bay, which are, for me, the best beaches on Samui. For restaurants? If we want European food, Pepenero in Maenam will be our top choice, with amazing Italian Food; For Thai food, we will stop at any of the small restaurants by the side of the road. Finance Greetings 2018 is going to be a year to remember, mark those words! As new year celebrations are now fast approaching, with a new era of Thailand’s history upon us, there are sure to be exciting days ahead of us, particularly for those who enjoy change… For many, this past year may have been a sombre, yet productive period, where business continued to move forward though, with mixed feelings of whether growth or, a minor pause of growth overruled. In the financial sector, times are however fast changing. Foreigner Finance is widely debated within expat forums and various banks/lenders names are repeatedly whispered, as the market continues to draw increased demand from alternative demographics. For many years, the dominant European/American force of Thai property finance requirements ruled though now, are more relative, compared to a rise of the Chinese & Asian sector which has seen a marked increase of finance requests during 2017. Whether a lender is of Chinese origin OR from Thailand and recruiting Chinese staff to handle the new load of enquiries, business is going one way and is likely to continue well into the next 12 months. A particular hot lending topic over the past 12 months has been the Re-Finance of existing Thai property! Owners, which had been bought in previous years were now wishing to take cash out, to either be more liquid or, capitalise on new investment opportunities and leveraging up on their wealth. Whether using funds to buy more Thai property or, invest into the newer Crypto currency market’s, baht refinance is on the up and with relative ease. When I first moved to Thailand back in 2010, to get a Foreigner Mortgage Finance, on Thai property, would have caused many a headache not just for the foreigner but also for the staff, bank or lender doing the transaction and sometimes after months of going back and forward, came to absolute nothing. Rules, regulations and the general different ways of doing business in Thailand would have for some, not been worth the effort. Now a day’s, from start to finish in around 3-4 weeks is the norm and with relative ease since, foreigners are working alongside Thai’s to get the deals done. One of the more rewarding finance requests over the past 12 months had been a decent sized land plot in Hua Hin, which an owner wished to Re-Finance, using the proceeds to develop another land plot into a soon to be, luxury pool villa resort. All paperwork would generally be in Thai language therefore, working with Thai legal, support, contract, credit analysis and board member staff collectively transposing into English to the end user was key. With the owners being both Foreigner and Thai, having a lender who could explain in both, foreign language and Thai very clearly, was essential to conclude the deal. The Thai way of doing things is often very different to a foreigner way of doing things. A logical approach is not always the way things get done and therefore, during the loan application, one may think

things are progressing when assuming a logical progression though actually, they are not, so having internal foreigners working alongside Thai’s can be advantageous to overcome differences in order to conclude both sizeable and smaller loans. A classic condo refinance loan during 2017 would have been to select a building from a pre-approved list, receive a loan quotation and break down of all the fees including repayment schedule, then submit a basic loan application by email to help a lender clarify all document requirements. Paperwork would then be posted and then a loan approved. In most cases, loan contracts were ready and waiting for borrower signatures before the lender had even met in person with the applicant. This kind of speedy and efficient process is particularly good for those who live overseas. No need to meet in person, other than to just fly in, sign the loan agreement and fly out again. In fact, on occasions, it has also been possible to sign all paperwork overseas though, having to obtain a stamp from an overseas Thai embassy on all pages of a lenders official loan contract, usually ends up costing more than a flight and certainly there is almost always a signature missing, which in turn means extra courier charges. Far easier of course to meet in person to sign the official loan contract. The US FACTA declaration continued to cause issues when lending to American’s in 2017 as a Thai lender may chose to simply reframe from doing any business altogether rather than spend time reporting to overseas authorities. Meanwhile all other nationalities of the world would have need to sign a form to declare they are not American. Continuing to be a favourite class of finance deal lately, seems to be the baht finance out of Thai property and into the Cryptocurrencies. From 8.325% annual interest on a condo loan or around 12% interest on a land/ villa/house loan, clients continue making money through Bitcoin and other Cryptocurrencies rather than leaving money locked up in Thai property even, at relatively high borrowing costs. Take for example the first article where I chose to discuss Bitcoin (BTC) earlier in the year within our August/ September edition, when the price of entry for BTC was around USD 2,331, today for example the price of entry is around USD 7,471. That is quite a considerable rate of return in just a short space of time. More than 3 time your initial investment! Projections of 2018 for the Crypto world seem plausible with pundits floating values from anywhere between USD 15,000 right up to USD 100,000 plus…. Mortgaging a Thai property now for as much possible, purchasing into Bitcoin and holding for 12 months has pundits suggesting that this time next year, the loan could be paid off with a sizeable profit or, certainly a new found level of wealth obtained. A Dutch couple earlier this year, had reportedly gone one step further to sell up completely and go “all in” on BTC. This is of course a high risk strategy since BTC could also go down to USD 0 overnight though with at present at time of writing, a USD 200 Billion market capital of all Cryptocurrencies, with daily USD 4 Billion of volume (according to Coinmarketcap.com), the likelihood may seem minimal though, with volatility almost certain. My thoughts of change going into 2018 are that it could be possible new Crypto lenders will be forthcoming and even perhaps so far that Thai property may be used as collateral with loans, instalments and fee income being generated in Cryptospace though for now, let’s get back to today as governments and countries are still debating over the legal status of this new scene! Japan seems to be one of the first to make Crypto a legal tender. Finally, may I wish all readers a festive seasons greeting, with both health and happiness moving forward into and through, 2018. หลักๆ มีอยู่ 5 ที่ คือบริเวณมหาสมุทรแอตแลนติกเหนือและใต้รวมเป็น 2 ที่ ในมหาสมุทรแปซิฟกิ 2 ที่ และอีกหนึง่ ทีใ่ นมหาสมุทรอินเดีย นอกจากนีย้ งั มี กระแสน้ำ�วนขนาดเล็กอีกบางส่วน กระแสน้ำ�วนมหาสมุทรเหล่านี้จะรวบรวม ถุงพลาสติก ขวดพลาสติก บรรจุภณ ั ฑ์พลาสติก ถังพลาสติก กล่องโฟม ตาข่ายจับปลา เชือกพลาสติก กรวยจราจร ไฟแช็ค ของเล่นพลาสติก ยาง รถยนต์ แปรงสีฟนั พลาสติก และวัตถุพลาสติกชิน้ จิว๋ ทีไ่ ม่สามารถระบุได้ กระแส น้�ำ วนของมหาสมุทรแปซิฟกิ เหนือนับว่าเป็นบริเวณทีม่ ขี ยะพลาสติกมากทีส่ ดุ ในโลก เพราะมีขยะพลาสติกทีล่ อยอยูถ่ งึ 700,000 - 1,000,000 ตาราง กิโลเมตร เปรียบเทียบคือ 1กิโลกรัมของแพลงตอนจะมีขยะพลาสติกอยู่ 6 กิโลกรัม ในฮาวาย ซึง่ เป็นหนึง่ ในพืน้ ทีท่ อ่ี ยูใ่ ต้กระแสน้�ำ วนนี ้ ได้พบซากเต่าที่ ท้องของมันเต็มไปด้วยพลาสติกนับพันชิน้ ชิน้ ส่วนของพลาสติกเหล่านีม้ คี วามคม เปราะบาง เป็นพิษ และพบได้บอ่ ยใน กระเพาะอาหารของซากปลา เต่าทะเล และสัตว์เลีย้ งลูกด้วยนมในทะเล พลาสติก มาพร้อมกับสารพิษทีเ่ ป็นอันตรายและทำ�หน้าทีเ่ สมือนฟองน้�ำ ทีค่ อยซึมซับ สารเคมีและสารพิษอืน่ ๆ ได้ สิง่ มีชวี ติ ในทะเลรวมถึง ปลาทะเล นกทะเล หรือแม้ กระทัง่ สัตว์เลีย้ งลูกด้วยนมในทะเลอาจเผลอกินชิน้ ส่วนของพลาสติกและได้รบั สารพิษจากพลาสติกนัน้ ๆ ในเวลาเดียวกัน นักวิจัยพบชิ้นส่วนพลาสติกในกระเพาะอาหารของนกทะเลถึงร้อยละ 44 ของสายพันธุ์นกทะเลทั้งหมด และร้อยละ 22 ของสัตว์จำ�พวกวาฬและเต่า ทะเลทุกสายพันธุ์ ในหมูน่ กทะเลพันธุจ์ มูกหลอด (Procellariiformes) เช่น นก อัลบาทรอส นกพีเทรล และนกจมูกหลอดลาย อยู่ในกลุ่มเสี่ยงมากที่สุด เนื่องจากนกเหล่านี้มีกระเพาะขนาดเล็กและถ้าหากกินพลาสติกเข้าไป มันจะไม่ สามารถขย้อนพลาสติกทีก่ นิ แล้วออกมาได้ ส่วนสิง่ มีชวี ติ ทีก่ นิ แพลงก์ตอน เป็นอาหาร เช่น นก ปลา และสัตว์เลีย้ งลูกด้วยนม มักสับสนระหว่างชิน้ ส่วน ขนาดจิ๋วของพลาสติกกับแพลงก์ตอนบางสายพันธุ์ เมื่อสัตว์กินชิ้นส่วน ของพลาสติกเข้าไปพลาสติกชิน้ นัน้ จะไปกีดขวางลำ�ไส้ของสัตว์ และไปรบกวน ระบบย่อยอาหาร โดยทำ�ให้เอนไซม์ในกระเพาะอาหารหยุดหลั่ง และที่น่ากลัว กว่านัน้ คือระดับฮอร์โมนถูกรบกวนหรือทำ�ให้เกิดผลกระทบอืน่ ๆ ในระบบของ ร่างกาย มีการประมาณการว่าในแต่ละปีมนี กทะเลราว 1 ล้านตัวและสัตว์เลีย้ ง ลูกด้วยนมในทะเลราว 100,000 ชีวิตตายจากการกินพลาสติกเข้าไปและไป รบกวนระบบย่อยอาหารและติดค้างในกระเพาะอาหารและลำ�ไส้ โดยมีการพบว่า เชือกไนล่อนพันอยูท่ ล่ี �ำ ไส้ของนกทะเล ซึง่ เชือกไนล่อนเหล่านีเ้ ป็นส่วนประกอบ ของอวนซึง่ เป็นส่วนประกอบของเครือ่ งมือประมง เชือกทีห่ ว้ิ กระป๋องเบียร์ และเชือกพลาสติก วิธกี ารแก้ปญ ั หาทีพ ่ ด ู ง่ายแต่ทำ�ยาก เพราะขาดมาตรการทีเ่ ข้มแข็งการผลิตพลาสติกทัว่ โลกจะยังคงมีปริมาณเพิม่ ขึน้ อย่างต่อเนือ่ ง คณะกรรมาธิการมหาสมุทรโลก พ.ศ. 2558 ประมาณ การไว้วา่ ภายในปี พ.ศ. 2563 ปริมาณของขยะพลาสติกอาจจะมีมากถึง 500 ล้านตัน แน่นอนว่าการแก้ไขปัญหาวิกฤตขยะพลาสติกนัน้ มีอยู่ แต่ตบมือ ข้างเดียวย่อมไม่ดงั เพราะพวกเราเองก็ตอ้ งเปลีย่ นวิธกี ารใช้ชวี ติ ของเราด้วย เพือ่ ให้บริษทั ทีผ่ ลิตพลาสติกเหล่านัน้ ได้รบั ผิดชอบต่อผลิตภัณฑ์ทพ่ี วกเขา ผลิต พวกเราสามารถต่อสูเ้ พือ่ ห้ามการใช้วสั ดุทท่ี �ำ มาจากพลาสติก เช่น ถุง พลาสติก ขวดน้ำ�พลาสติก ฯลฯ แต่เรายังต้องการให้รัฐบาลบังคับใช้ข้อ กำ�หนดกับบริษทั ทีผ่ ลิตหรือจำ�หน่ายพลาสติกให้รบั ผิดชอบต่อผลิตภัณฑ์ โดยการนำ�กลับมาใช้ใหม่หรือสามารถรีไซเคิลได้ 100 %

Investing in Protecting Samui’s

Natural Assets Just about everybody knows the real estate mantra, ‘Location, location, location’. It is little wonder then that Koh Samui’s property market is so buoyant. After all, the appeal of owning a house or condo on one of the most beautiful islands in Southeast Asia is as clear as the waters around the Gulf of Thailand’s largest island. Profit the Land & Sea Now, property developers, local business owners, hospitality companies and tourists are being invited to invest in Samui’s future through the GoGreen Credits Impact Fund; investing in for-profit companies that aim to protect the planet and people and have marine sustainability in Southeast Asia at heart. The fact remains, however, that stunning properties and hospitality development aside, it is the island’s natural assets that are its true selling point. If these depreciate in value this could make Samui a less wonderful place to live or visit and contribute to destroying the environment and valuable ecosystems. With this in mind, it makes sense to invest in Samui in a sustainable way, whether through investments, initiatives or practices, to protect the island’s natural treasures discovered in it rainforest landscapes, white-sand beaches and mangrove forests, all the way out to the deep blue sea.

Chasing a Different Type of Green Samui boasts some amazing resorts and vacation villas, as well as some stunning homes. Add to this, incredible restaurants, good quality shopping malls and even beach clubs. Coupled with idyllic beaches and the laid-back Samui vibe, island-life can seem perfect. However, if the expansion of tourist resorts and vacation villas and private properties continues unabated, as well as the development of commercial businesses, Samui’s vivacious beauty that seems so wonderfully effortless could start to fade. Tourist companies that are all about the green, as in the money, rather than the environment also have a huge negative impact on the delicate ecological balance too. Surat Thani Sea Cucumbers One of the GoGreen Credits Impact Fund portfolio companies, AquaBlue Ventures, is focused on setting up a sustainable aquaculture site for land-based sea cucumber farming in Surat Thani using disused shrimp farms. Headed by Dr. Georgina Robinson, a world expert on these rather strange yet sea creatures that are so important to the health of the seas and oceans, a percentage of the profits from the company and fund are set to be ploughed into green initiatives.


Creating a Positive Impact Reducing carbon footprints, traveling responsibly and supporting environmental projects, or investing in them, are ways in which individuals, businesses and organizations can get involved. It is within the interests of developers to ensure the destination they are selling in is protected and that conservation action is supported. Tourists, by demanding greener stays, can persuade hotels and resorts to be more environmentally aware and implement greener thinking. The hospitality industry as a whole can invest in sustainability so that the coral reefs are protected, the beaches are not full of garbage and the fish all gone. Global Issues on a Local Scale The strain of environmental disarray is not only being felt on the island, of course. These are global issues too. However, it is islands like Koh Samui that are buckling under the impact. The government has stepped in to protect marine areas in Thailand, closing off islands and beaches. This may be necessary to avoid total destruction and to inspire recovery and regeneration, but if Samui befalls the same fate then this is not going to be positive for real estate developers, residents, businesses and the hospitality industry. An Honest Appraisal The GoGreen Credits Impact Fund supports Transparency International, a global coalition against corruption that works with individuals and organizations on a local level. This concept of being open and honest about situations, in general, is needed when it comes to approaching negative impacts on the ecology of the planet too. It is also needed when it comes to looking with a critical, yet

honest eye about the state of play in terms of what could be done to keep Samui’s natural assets intact. Changing Thinking First In some respects the issue is about mindset. The concept that doing good can create financial value too is a difficult idea for some traditionalists to comprehend, but the two are not mutually exclusive. Forward-thinking companies and modern-day real estate and hospitality developers understand that aiming to create a positive impact in the world and the local environment is not the antipathy of healthy ROIS. Changes Are Happening Certainly, amongst tourists and everyday people there is more attention being paid to say where food is sourced and whether activities are ethical or leave a negative trail. Today’s tourists are looking for experiential travel, where they can feel part of the environment, culture and community around them. With this in mind, hotels and resorts are becoming more focused on the guest experience and this can lead to eco-adventures and being actively involved in green initiatives. In the same way, property buyers are put off by beaches that are not clean, noise pollution and an island at risk. Thankfully, there are signs of a real impetus in Samui and beyond to create change and make that change a positive one. Bangkok Airways Organizes the “English Club with Bangkok Airways” Activity in Koh Samui Koh Samui - Recently, Bangkok Airways led by Mrs. Chanthip Thongkanya, Vice-President, Office of President, organized the “English Club with Bangkok Airways” activity to inspire and encourage students in Koh Samui to use English language in their daily lives. Under the Sink Clutter I had semi-organised the cupboard under my kitchen sink a while ago but it had slowly become more and more messy. The fact that it didn't stay organised told me that the system wasn't right - it shouldn't be hard to stay organised if the system makes sense and meets your needs correctly. So, I needed a new system. Because here is what it looked like:

1. I had a look around to see what I could find to use and came up with a tension rod and other odds and ends.

I used the tension rod to hang spray bottles off - I use glass cleaner spray to clean everything so there is a full and almost empty bottle of that as well as some stainless-steel cleaner spray, a spray bottle of water and some bathroom cleaner spray which usually lives in the bathroom - I'll have to move it! Beneath that on the right you can see an old water jug that contains a feather duster, rubber gloves, old toothbrush and cleaning sponges - I take that upstairs with me when I'm cleaning, adding some cloths and glass cleaning spray.

Within an area of approximately 167km2 with over 70% being unspoilt mountainous and tropical forest many more temples are nestled coherently within the islands natural flora and fauna offering a feast for the eyes of all visitors. Koh Phangan being relatively undiscovered and undeveloped still has the postcard perfect secluded deserted beach coves awaiting discovery via the traditional mode of transport, the long tail boat or for the more intrepid explorer by hike. You truly feel that you are the first to leave a footprint! In that vein Koh Phangan's beauty is emerging as an attractive destination for weddings and events. Due to Koh Phangan's granite structure, there are several small mountains where it's possible to trek/hike. The highest being Khao Raa at over 600m above sea level taking 2-3 hours to realise the summit. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.

In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
