EDITOR'S LETTER Good morning to another beautiful day on our stunning tropical islands and our latest edition of Samui’s Bible of Real Estate, The Samui Phangan Real Estate Magazine. The nickname, Samui’s Bible of Real Estate comes from over 13 years of promoting faithfully Real Estate and living on our stunning islands. Two and a half decades ago I was bitten by the Samui Bug, having spent a short two-week holiday on the island after visiting Phuket. Phuket had been lovely and just a fantastic holiday but it wasn’t until arriving by the old ferry into Nathon after a scary minibus ride over, that I realised “this was the place I had to be”. Samui changed my life completely, after returning home, I basically sold everything and moved over to a tiny beachside bungalow in Chaweng Noi. Yes, Samui was different then too, more the tranquil quiet tropical island, more for backpackers and adventure tourists. 25 years have evolved Samui into a world acclaimed island paradise where the beauty of the island still encourages 1000’s of tourists to visit each day but now offers all the amenities and lifestyle options on par with the western world. This was exactly my justification last week when I was explaining why I love Samui so much. You live in an amazing tropical paradise, nobody can doubt that and you have the choice of the local delicious Thai food and incredible products but also the availability of International Hospitals, Hotels, Restaurants and Brand Name Stores. You will be hard pushed to find anything else on this par in the world. Add the wonderful sunshine and the amazing Thai hospitality and you have a recipe for a great life. That bug that bit me turned my life upside down from living and working in Europe. Do I have any regrets? yes, I wish I could do it all over again. Because once Samui gets into your blood it’s going to be the only place that you will want to be. Thanks to everyone that has taken the time to write to us and I hope I’ve replied personally to you all, please remember myself and our team here have all been here many years. We know the inside and outs of the whole island, if there is something you can’t find or you have a certain question you’re not getting an answer too, throw it our way. Maybe we can help. Commercial and Industrial solar energy in Thailand

Unique no investment proposition offers full installation of an appropriate solar PV system with ZERO initial cost

Samui Phangan Real Estate recently met up with the owners of Premier Solar in Rayong. Yes, this is a little further away than usual but an installation in Samui would be perfectly feasible. Why was this of interest to us, well it is the commercial and industrial properties that would normally be using the high level of electric from the Government grid, and it is exactly these clients that Premier Solar are servicing. For these properties, Premier Solar are offering a complete solar energy solution with NO upfront cost (for commercial and industrial clients). Their unique no investment proposition offers full installation of an appropriate solar PV system with ZERO initial cost. The cost of the system is completely offset by the savings that your business would be making on its electricity bills by producing and consuming its own solar energy, so essentially the system pays for itself. ROI is immediate as there is no upfront capital cost required The savings that can be made are of course dependent on the size of the system but for example, a 1MW solar PV system will save on average 400,000 THB per month if 100% of the energy produced is consumed onsite. This means that the ROI is immediate as there is no upfront capital cost required.

The space required is dependent on the size of the system. Each solar panel is 1.95 sqm so, for example, a 1mW solar PV system would require approximately 7,215 sqm of roof space which is equivalent to 4.5 rai. Alternatively, they have ground mounted systems (solar farm) if your business does not have sufficient roof space available. The time to install is dependent on the size of the solar system required but for example, a medium-sized factory installing a solar roof would be 2-3 months. Premier Solar work closely with their clients to ensure that there is minimal disruption during the installation. One of the biggest questions that is asked is about the life span of these systems and a solar PV system has a performance guarantee of 25 years and if the system is regularly maintained then the lifespan of your system could be longer than this. The systems come with two warranties: A product warranty of 10-12 years that protects against failures due to manufacturing defects, environmental issues, premature wear and tear, etc. Performance warranty of 25 years whereby panel manufacturers generally guarantee that their panels will produce electricity at 80%-90% of their power output rating at the end of 25 years.


Many clients ask about selling the power back to the grid as would be normal in the western world. Sadly, at present you cannot sell excess electricity back to the PEA/MEA grid. However, Premier use precise calculations to ensure that your organisation consumes all the solar energy produced on site. This is known as self-consumption. Premier Solar provide support to our client to ascertain if they qualify for the incentives offered by the BOI. Yes, Thailand’s Board of Investment (BOI) offer incentives such as a reduction in Corporation Tax to promote activities that are environmentfriendly, save energy or use alternative energy to drive balanced and sustainable growth. Reliability and adding value to your business Solar systems built today are very reliable. They have proven to be dependable sources of energy for large office buildings, mass retailers, and governmental agencies, supplying megawatts of energy. Some of the largest companies in the world have buildings and data centres powered by solar energy. Listing the many benefits of solar panels for business is easy, but quantifying the value of each can be more challenging. The impact on property value is a prime example. While it’s likely true that a building equipped with quality solar panels for commercial property is more valuable than a facility that relies on fossil fuel-generated energy, determining exactly how much more valuable can be complicated. Value added is directly related to how a building is utilised and the amount of electricity consumed. Maintenance Premier Solar offer their clients a comprehensive operational and maintenance service that includes twice yearly inspections of the solar panels, electrical systems, frame and overall structure for damage and fatigue, as well as full cleaning of the panels and 24/7 remote monitoring of the system. Premier Solar also install in the residential marketplace but although you have all the advantages from a professional solar company there is yet no subsidiary for a no investment solution, this in the meantime is only for commercial and industrial properties.

Outdoor living Outdoor furniture is a big subject in itself, so here are a few pointers to keep in mind when choosing what to buy. Outdoor furniture, is now ubiquitous and it is hard to imagine a garden, terrace, patio or even a balcony without some outdoor furniture. Before you buy, just like any other high ticketed item, do your research. First think how do you use your garden, terrace or patio. Do you prefer to entertain your friends outside, relax home alone or with your family? The size of your area will dictate how much furniture you can put in the space but, no matter how big an area you have, do not clutter it with pieces that you will not use just because you like them. The range of outdoor furniture has improved significantly over the last five years and some are so good they can be used indoors as well.

Today, the range of outdoor furniture is immense with many furniture brands producing a garden range as well as high end brands from Italy and America selling futuristic sun lounges and other items such as sun shades, tables and even barbecues. Unlike indoor furniture which does not have to endure the elements you should always chose the best that you can afford. Cheap outdoor furniture will not last more than a few seasons before they show considerable wear after being exposed to the elements on a daily basis unless you are prepared to take them indoors regularly or have covers made to protect them. Chose the material they are made of carefully and always consider how they will look after a few years wear and tear. Take rattan for example, a popular choice, real rattan will discolour in no time so chose a high quality synthetic rattan, much easier to clean and more durable and also available with a great variety of colours and designs. Wood and metal are high maintenance especially if your home is by the sea. Metal is particularly vulnerable to salt blown off the sea. If you must go for metal furniture you should look for marine grade but even with this rust spots will appear over time. Best to stick to synthetic materials and you will enjoy more choice when it comes to style and colour. Cushions and covers can make or break the look of outdoor furniture. Choose high quality fabrics that will not fade in the sun. Sunbrella is a great brand and you will get years of wear and it will not fade, unless of course, you want to change your covers often. Remember the adage, you get what you pay for and you will save money in the long run when buying quality which will last. Don’t forget sun umbrellas as they provide much needed shade in sunny climates. Choose a colour to match or compliment your furniture and don’t forget you will need a heavy strong base in case of high winds.

Design Ideas for Tropical Landscaping Tropical landscaping ideas for a vibrant garden in the hot tropics.

Looking for some tropical landscaping design ideas? Lucky you. If you’re reading this, you likely live in a warm climate like Samui that can support tropical plants and flowers that bloom year-round. This paradise can be yours, but only if you’re willing to devote the time and effort to designing a tropical landscape plan that provides the perfect balance between beauty – and maintenance. While many tropical plants are autonomous (meaning they’re not vines or ground cover spreaders), gardens in humid climates need more attention, because plant life reproduces and grows faster with abundant sunshine and rain. Unfortunately, that means the awful weeds in warm climates grow as fast or faster than their well-mannered (and prettier) counterparts. When designing a tropical garden first ask yourself, “Where do I not want flowers and plants?” Often, this question is more related to your landscape design plan than any other, since the hallmarks of tropical landscape design are density and lushness!

If you’re designing a tropical landscape for a front yard, save space for a walkway and be sure to define your front porch or patio. A lawn bordered by plants and flowers can be a clean approach. If you’ve got a screened porch or terrace, plants that desire partial sun work well in these spaces. Arabian jasmine makes a wonderful porch pot. It’s important to keep in mind that, while tropical landscape design styles are more free-form than modern landscaping or traditional gardens, you still need to be aware of the amount of sunlight the plants you choose need. Ferns and orchids like filtered light, for example. Hanging flowers create a canopy for seating areas and add colour to hardscapes such as pergolas and archways. Bougainvilla can be potted or planted along a wall or trellis as a blanket of colour and scent. Begonias and hibiscus are additional tropical favourites. Your soil quality is key. Soil that’s too sandy, too marshy or not well drained will produce limp and ailing plants. Plants started in pots and moved to ground may need fertilizer. All you lucky coastal dwellers take note: soil, heat and sun conditions can change rapidly as one moves inland, even as little as a few miles, so it’s best to go hyperlocal on as many plant choices as possible.

Understanding Leasehold Title in Koh Samui and Koh Phangan.了解苏梅岛和帕干岛的租赁契约 The ownership of freehold land by foreign persons in Thailand is prohibited and consequently, many foreign buyers elect to acquire a leasehold interest in the land beneath their properties as an alternative to freehold ownership. Buyers are often taken aback when they learn that the longest registerable lease term in Thailand is 30 years, especially when in contrast, leases of 999 years with a peppercorn rent are common in London. Indeed, a lease of less than 70 years cannot usually be mortgaged in the U.K which further exposes the unusually short term of Thai leases. The following article examines leasehold ownership structures in Thailand which are available to foreign buyers of real estate and discusses ways in which a foreign investor can enhance the security of a leasehold investment through robust legal structures, contracts and understanding the nature of leaseholds in Thailand. The Principal Leasehold Laws in Thailand Thai law states that a registered lease is limited in law to a term of 30 years. Section 540 of the Civil and Commercial Code of Thailand states that: “The duration of a hire of immovable property cannot exceed 30 years. If it is made for a longer period, it is to be reduced to 30 years. The aforesaid period may be renewed, but it may not exceed 30 years from the date of renewal”. Accordingly, Land officers at Provincial Land Offices will refuse to register any lease with a term of more than 30 years. Clearly a 30-year lease is not a particularly attractive investment opportunity as any capital appreciation is offset by the ever-diminishing remaining term of the lease and the capital appreciation in the land value vests in the freehold land owner who shall re-possess the land at the end of the lease term.

Lease Renewals in Thailand One solution available to foreign buyers in order to allow them to occupy the leased land for a term of more than 30 years is to secure a contractual promise from the person or entity granting the lease (known in law as the ‘Lessor’) to grant contractual options to the foreign buyer allowing them to renewal the lease term for subsequent lease terms of 30 years each. As set out above, the provisions of Section 540 of the Civil and Commercial Code expressly allow the renewal of leases for subsequent terms of not more than 30 years. The lease renewal options usually take the form of a series of clauses in an addendum to the lease agreement to the effect that immediately upon the expiry of the initial registered lease term, the parties shall immediately register a new lease on precisely the same terms for a further term of 30 years or the longest registerable lease term at the time of each contractual renewal. The rental for each contractual renewal is usually limited to no more than the costs of registering the subsequent leases.

Avoiding Pitfalls which could undermine the Lease Renewal Options Whilst contractual options to renew leases are a legitimate means for foreign buyers to acquire an interest in land in Thailand, foreign buyers must ensure that the provisions for the renewal of the lease are as robust as possible and that the procedure set out in the addendum to the lease agreement with regards to the lease renewal options are clearly defined. The identity of the Lessor in leasehold structures is an important consideration for foreign buyers and can have a huge impact upon the likelihood of the lease being renewed at the end of the initial 30-year term.

If the Lessor is a living person, it may not be possible for the foreign buyer to enforce the lease renewal options against the heirs of the Lessor in the event that the Lessor dies during the initial 30-year registered lease term. A contract is usually only enforceable between the parties who originally signed the contract and consequently the heirs of the Lessor will not usually be bound by the promise made by the Lessor a generation earlier. Foreign investors must be aware that a Lessor who signs a lease at the age of 55 years old must reach the age of 85 in order to affect the renewal at the end of the first registered term. A foreign buyer can significantly strengthen the security of the lease renewal options if the Lessor is a limited Thai company. Legally speaking, a limited Thai company is a “legal person” in the sense that it can be sued in the same way as a living person if it fails to perform its obligations under a lease contract, however, unlike a living person, a limited company cannot die or disappear. Notwithstanding the benefits of leasing from a limited Thai Company, the Thai company itself must be correctly and legally formed and properly maintained during the lease term, furthermore, foreign buyers should ensure that the terms of the lease do not undermine the benefits of leasing from a limited company. For example, any provision in the lease agreement which allows the Lessor to assign its rights under the lease to a third party should be resisted.

Other Important Provisions of the Lease for Foreign Investors The lease agreement and any addendum to the lease agreement must be carefully reviewed by the foreign investor and their legal representative prior to any payments being made. An “investor unfriendly” lease may not only restrict the foreign buyer’s enjoyment of the property but may also adversely affect the saleability of the property. For example, any provision of the lease which allows the Lessor to terminate the lease in the event that the buyer breaches any of the lease terms should be strongly resisted. Further, any clause which requires the buyer to obtain the Lessor’s written consent prior to carrying out certain acts upon the land should also be resisted, unless there is proper justification for such a clause (such justification may include the Community Rules and Regulations in an apartment or condominium project). Leasehold investments are a secure and viable means of acquiring an interest in real estate in Koh Samui and Koh Phangnan for a term of years beyond the maximum registered lease term of 30 years. Indeed, several high-end luxury developments in Koh Samui only offer a leasehold option to their customers. Notwithstanding the potential benefits of leasehold investments, foreign buyers and their legal representatives must ensure that the leasehold structure which is being offered is fully compliant with the laws of Thailand and that the proposed terms of the lease do not restrict their enjoyment of the property unnecessarily. Particular care must be taken to ensure that the lease renewal options are as robust as possible within the parameters of Thai law. Living Costs in Thailand The cost of living in Thailand is very reasonable when compared to most of the western world. Property and land ownership for foreigners is difficult and strict. Private land ownership is basically impossible unless through a lease agreement or a company. Never, never take short cuts with this and always use a reputable International lawyer. Despite this, renting and leasing (30 years is the norm here) is actually economical when compared with western nations. Prices for buying, leasing or renting will also depend heavily on location, a beach plot on Samui will cost serious money while go inland a couple of kilometres and the prices are much more reasonable, go further onto the mainland up North for example and they are amazingly inexpensive compared to our home countries

Language The principal language spoken in Thailand is Thai, with significant minorities speaking Chinese, Lao, Khmer and Malay. A large percentage of the Thai population speaks English, but again this much depends on location. In the busy tourist areas, it is much more common to find locals having a good English knowledge than up country. Thailand is an Amazing Expat Destination There is a large diverse expat community in Thailand, which includes retirees, executive managers, students, teachers and business owners. There are now countless websites and forums for Expats, offering absolutely every bit of information you might need. People are attracted to the lifestyle here, which allows them a peaceful Thai way of life in a beautiful location.

Visas

There are, however, some drawbacks to locating yourself here as an expat. Visa regulations can be a pain and can take quite a bit of both patience and paperwork. If you are prepared to face such difficulties however you can be guaranteed an interesting lifestyle in a very pleasant climate. Again, a small piece of advice, do not take short cuts. It may seem like a huge run around and waste of time but doing things the correct legal way will only ensure your stay is care free. Some foreigners use a loophole to avoid getting a visa, but this cannot be advised and will generally mean problems in the future. Often acquiring the appropriate documents for entry and a longer stay in Thailand is easier from the Thai Embassy in your home country. Normal entry at an airport will only give you 30 days which can be extended but getting along stay visa or a Business Visa is only available generally outside of Thailand. Applying for a retirement visa is quite simple and only needs a certain amount of money on a Thai bank account and that you are over 50.

Food and Dining You will find quite a difference in the price of Thai and western food here. The local restaurants can be ridiculously low-priced and most local people will eat out on a daily basis because as it is really cheaper than cooking at home. The price of western food, however, will largely be on a par with the price of food in the west or a touch cheaper. Wine is very expensive here, but beer and local spirits can be purchased at a reasonable price. Anything that is imported gets taxed heavily, but the local food and beer are exceptional.

Living in Thailand: Jobs and Work Permits There are some job opportunities available for expats, but these are usually only available via internal company transfers or are jobs that are secured from their home country prior to arriving in Thailand. People who are willing to work in the local community will find it relatively easy to find a job if they are prepared to work for a very low salary. Many expats move to Thailand to start their own business or to teach English but note if you partake in any work whatsoever you must have a valid work permit. Work permits can only be issued through a company and the number of work permits allowed is relative to the size of the company and how many Thais they employ too. Also, there is a complete list of jobs that foreigners are allowed to do, many jobs that a local could do for example will be illegal for a foreigner. Working without a work permit can mean immediate jail and deportation, they are very serious about this. Doing things, the right way might sound difficult, but it is not impossible (we all do it) and getting the correct visa and or work permit means piece of mind.

Some Important Facts You Should Know About Living in Thailand Thai people call westerners “farang” (foreigner) They will often call you this even if they know your real first name. Although it sounds negative they do not mean anything detrimental and believe me you will be called “Farang” often. It is very common for the Thai people to double or triple park and they often leave their cars in neutral so that the owner of the car that has been blocked in can push the car out of the way. Don't be surprised if you return from a visit to the beach to find a car parked in front of your own, you'll be expected to push it out of the way like everyone else. If you drive yourself make sure you get a correct international driving license or a Thai License if you’re staying longer, if you ride a motorbike realise that road accidents are very high in Thailand and although helmet regulations are not often enforced it will save your life.

Travel Thailand is smack-bang in the middle of everything. It’s three hours to Hong Kong, two hours to Singapore, four hours to Bali, and half way between Australia and Europe. You can get to many places cheaply and easily from Thailand, which, for many is very appealing. samui phangan real estate

“Back Home” Finance, maybe easy to relatively easy to obtain to help facilitate purchase of many different requirements, a few quick checks and document submission and computer say’s “yes”. In Thailand, many decisions are made by individuals and often, form part of a small committee to approve, a computer is often not involved other than to help print paperwork clearly. Often referred as the biggest individual purchase of all purchases, a Home/Residence/House, this usually requires a substantial number of supporting documents to verify all income affordability and can be approved in principal based on this part, rather than the property. i.e. One maybe approve for finance up to “x” amount and then the buyer may look for the desired property. In Thailand, it may generally go the other way as in, buyer needs to find a property first and then, look for the finance. Rationale behind this could be that the lender might assume worst case scenario where they are stuck with the property and question, do they want it on their books… If the answer is yes, then they may find a way to make the paperwork fit the requirement. Having said that, a checklist of documents and income affordability might also still be required, it might however be more lenient than “back home” since loan to value ratios could be only around 60%, which means the buyer might need minimum 40% deposit. Let’s consider Chinese specific cases which have seen a massive increase over the past year. Bank Statements and Employment specifics along with Credit Bureau checks might all be in Chinese Language only from China. To approve a Mortgage loan in Thailand, documents would need to be in either Thai or English, which means translations would be required. There is generally no issue from the lenders side to approve China residents for Mortgage finance, it’s just a tick the box for document submissions. Local Thai employment is not required though can be useful.

A Chinese bank may find easier to “approve” a bank transfer IF going to your own named bank account, in Thailand. Barn Door Kitchen

The kitchen from a good friend of mine is just about completed and it is so unusual for a kitchen that I just had to showcase it in the magazine. His house which was just finished needed a complete kitchen and being quite a chef he wanted something decent. Now decent to him wasn’t picking out some complete kitchen from the catalogue. He had some pretty tough prerequisites. Firstly, he did not want any of the hard board pressed wood that is always used in kitchens. His choice was to be real wood

that could withstand a little bit more of the hardships a kitchen could bring. Being in an open kitchen living room it should be stronger and able to take a knock or two and have no concerns when his three large dogs would be messing around inside. He wanted the door hinges and cupboards to have strength and didn’t need any fancy German hardware, he was looking for a strong but simple design. Something out of the ordinary but something super tough and functional.


So, he went out and sourced himself all the appliances that he wanted, this included European style oven, large fridge, black granite sink and a good gas cooking top with extractor. Checking through all the suppliers these bits were purchased quite reasonably. Then he had his construction crew build the main frame of the kitchen units in concrete. Then the star of the show began his work, Mr Alex Ch.Phipat from the Case Loft Design Studio. Using Brazilian wood Alex then built the complete kitchen around the main frame and obviously building in the appliances. They wanted a funky strong kitchen with an old farmhouse barn look. He used the barn door principle on some of the cupboards, laying a complete strong steel frame around the kitchen edges and having the doors hang under rollers just as the old-style farm barn doors would have. All the wood was treated before being used and then painted with the funky style you can see on the photos. Well, the result, you can see for yourself, the kitchen has turned out quite funky, strong and amazing and I’ve not seen a style like this before. The owner is over the moon with the kitchen and claims it has cost less than a normal ordered to fit kitchen would have from the standard kitchen design companies. Alex has done an incredible job and if you have some special idea that you need creating out of wood and steel then this is the man to contact.

Banyan Tree Samui Hailed as Eco-Friendly Torchbearer for Thailand Resort is first in country to receive EarthCheck ‘Gold’ accolade

KOH SAMUI, Thailand (July 18, 2018) — Banyan Tree Samui has become the first and only hotel in Thailand to be awarded “Gold Certification” at a single-property level by Earthcheck, the world’s leading scientific benchmarking, certification and advisory group for travel and tourism. Tiles, Wallor Floor? After quite a bit of searching last week, being in most of the tile shops on Samui I eventually found the tiles I wanted. Beautiful matt black 12 inch tiles in a sort of smooth slate look. I was having the kitchen wall tiled and need 8 SQM of tiles for the job. My builder on seeing the tiles explained that I had bought floor tiles. Luckily for me this wasn’t a problem as floor tiles are fine on the wall, the other way around might have been a problem.

So, what is the difference between wall and floor tiles? Why is there a difference between floor and wall tiles, isn’t a tile a tile? Well, it sort of is – tiles aren’t really manufactured specifically as floor or wall tiles, but instead are made and classified according to their durability and strength. It is this classification that determines where they can be used.


Why is it done this way? Well, tiles may all seem similarly sturdy when you stand on them, but different tiles are suited to different levels of foot traffic. Some can handle heavy footfall – think of how many people must walk over floor tiles in a shopping centre every day – and some can’t really handle any, which is why they can only be fitted on a wall. So, in effect, every floor tile can also be used as a wall tile – it’s just that the opposite isn’t true. If you’re just tiling your walls, you can essentially choose what you like, but when you’re doing the floor you need to be a bit more careful with your choices. There are a few different scales and classifications of tile strength, but the Porcelain Enamel Institute (PEI) rating is probably the most commonly used in Europe. It rates tiles on a scale from zero to five, and each rating has criteria for their suggested use based on the wear and tear they can handle. Before you get too excited you might not find this information on all tiles in Thailand. PEI 0: Unsuitable for floors, and should only really be used as a wall tile. PEI 1: Only for use on the floors of rooms where there won’t be much foot traffic at all, and generally without shoes.

PEI 2: Tiles suited for your everyday residential traffic – fine for your typical bathroom and most normal footwear. PEI 3: These will suit any room in the house, including all bathrooms and kitchens, and most hallways. They’ll stand up to any reasonable traffic in any kind of footwear, but if you regularly have a lot of people in and out of the house, you could need a higher rating. PEI 4: These stand up to heavy foot traffic and will certainly cope with any residential hallway, although you’ll probably be a bit more limited on styles. PEI 5: You won’t need to go this high in the home – they’re usually saved for shopping centres, hospitals and the like, and they’ll withstand just about anything. But it does seem that most Thai tiles are not rated PEI but have a much simpler grade rating, actually much easier to understand. Grade 1: is the best and will be ideal for a floor Grade 2: two is best saved for a floor with light traffic Grade 3: should only be used on walls So, for us laymen if it is a Thai tile and only has a Grade number then 1 is the best and 3 should only be used on the wall. If you find an imported European tile, then it should have the more thorough PEI rating which you can check on the chart above. samui phangan real estate

The late and beloved King Bhumibol Adulyadej (also known as Rama IX - as he was the ninth monarch of the Chakri Dynasty) had also visited Koh Phangan thus this island holds a spiritual connection to the Thai nation and tourists alike.

Buddhist Monks realised Koh Phangan's tranquillity and spiritual importance and subsequently settled in Wat Phu Khao Noi just outside of the main town of Thong Sala as one of the first temples on the island. Within an area of approximately 167km2 with over 70% being unspoilt mountainous and tropical forest many more temples are nestled coherently within the islands natural flora and fauna offering a feast for the eyes of all visitors. Koh Phangan being relatively undiscovered and undeveloped still has the postcard perfect secluded deserted beach coves awaiting discovery via the traditional mode of transport, the long tail boat or for the more intrepid explorer by hike. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area.

STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey

building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.

In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
