EDITOR'S LETTER Looking back on the last issue and preparing the last few articles and my notes for the High Season December/January issue it’s almost difficult to know where to start. The shock that came to us all with the passing away of our beloved King, His Majesty King Bhumibol Adulyadej, also known as Rama IX. The mourning period that followed has been something that we have all taken part in but has been sadly misinterpreted by some foreign media. Any disruption in tourist arrivals can be closer linked to the wrong information that was given out without much thought for the King and his subjects. Those that still came only saw a wonderful respect for our King and the disruptions to normal life especially life as a tourist were minimal. It was even wonderful to see many tourists taking active part in the mourning ceremonies to show their respect to His Majesty. Now with first part of the mourning period over we are all looking forward to the coronation of our new King and a bright and prosperous future for Thailand. 2016 has certainly been a turbulent year all over the world, but as before both Samui and Phangan still stands as two of the most beautiful tropical island destinations and still are certainly one of the best choices in buying your dream property. With that all of us at Satayu Publishing would like to wish you all a very Merry Christmas and a successful and prosperous New Year 2017.

PET Bottles
We have all heard of recycling and reusable waste but how many of us have considered using these materials ourselves? To go one step further how about considering building a house out of PET bottles, you know the normal plastic ones we actually throw away or put in for recycling each day. PET bottles are from the start a waste of energy and cost more in energy and materials than often the drinks inside. But why in the world would we choose to make a house out of these bottles. Well let’s have a look at the advantages. •
Plastic PET bottles are thrown away and can be collected or bought back from recycling yards at almost no cost. So already a main component of your house could be let’s say very cheap.

PET bottles are non-brittle; unlike bricks this gives the house substantial support but let’s them absorb shock without breaking down.

PET bottles used in construction mean your house is Bio Climatic, what that means is if in the tropics for example you would be shielded and insulated from the heat. In colder climates it would work the other way around.

Throw away waste bottles for building a house? Yes, it is hard to think of a bottle as a brick. But a mud-filled bottle is just as strong as a brick and whatever you can do with a brick, you can do with a bottle too. When you make a clay brick, the time and energy used right from mixing the clay to baking it in the kiln and taking into account the energy used for that, you will see that the bottle brick is far more energy-efficient. The technology also reduces the carbon emission that happens during the baking of an ordinary brick. The heat generation from cement factories can also be reduced as this technology uses only five percent cement. The foundation for the entire construction is obtained from building waste and so the mountains from which granite is blasted out can be saved too. PET bottles can last as long as 300 years this is undoubtedly longer than the cement used to bind the bottles together in the walls!
How would you build with these bottles? The PET bottles are used as the main building block material instead of bricks. This saves waste, reduces the amount of cement needed and makes building quite simple. PET bottles are collected and filled with a fine sand. Considering the amount of waste plastic PET bottles here in Thailand this could be an exciting and sustainable project.

Recurring Issues Important to all Property Transactions in Koh Samui & Koh Phangan Our articles have appeared in Samui Phangan Real Estate Magazine for many years now and anyone who has read even a handful of articles will notice that the same themes reoccur regularly. The reason for this is simple. The fundamental steps that buyers must take to mitigate the risk of their investment in property is similar in all transactions. With the imminent arrival of high season upon us once again, we take this opportunity to set out the fundamentals that every potential buyer should be aware of in every transaction before making a financial commitment to purchasing real-estate in Koh Samui and Phangan. Use a reputable and established Sales Agent Selecting a reputable and well informed sales agent with an established track record of closing deals in Koh Samui and Phangan is very important. Whilst some sales agents list the developments which offer the highest commission, a reputable agent will conduct its own research into the developer, its legal structure and finances to ensure that the project is viable before listing the project for sale. An established sales agent will have an indepth understanding of the market conditions, up and coming areas and property prices and will be keen to avoid any transaction which will adversely affect its reputation and standing in the community.

Know the Developer in Off-Plan Transactions It is important to make independent enquiries into the identity and resources of the property developer in offplan real-estate transactions. Buyers should consider asking the developer to provide a resume setting out its prior experience in the real estate sector (especially in Thailand but also overseas). Buyers should make independent third party enquiries to corroborate the information provided by the developer, such as visiting completed projects and speaking to buyers in other projects. It is also important to ascertain how the developer intends to finance the construction of the project, if the developer is relying solely upon deposits paid by buyers to finance the build, it is important to establish what the consequences will be if the developer fails to sell out the project or other buyers are unable to maintain payments. Undertake Thorough Due Diligence into the Land Title It is important to avoid assumptions with regards to the legality of the title to the land that the buyer is seeking to acquire an interest in. The existence of a number of previous owners does not automatically mean that the land has good title. Land titles in Thailand require professional review of original land title documents actually physically present at the relevant land office to determine whether or not the seller actually owns the land and whether or not there are any encumbrances registered over the land. The history of the land title should be thoroughly reviewed by a legal representative and a comprehensive report should be issued with a clear opinion on the quality of the land title. It is important to establish whether or not the land has full legal rights of access both on foot and by vehicle and access to the electricity grid, water supply and drainage. Careful consideration must be given to the zoning, environmental and planning restrictions which apply to the land and any building erected upon it. Litigation checks should be conducted against the land owner (and the authorized director of the land owner if the owner is a limited company) to ascertain if there is any issue with the property or the individuals selling the property which could affect the sale.
Check the Legal Structure It is important for potential investors to be aware that, whilst foreigners can own buildings, there is a general prohibition against foreigners acquiring ownership of freehold land in Thailand. Foreign investors can legally acquire a condominium unit in their own name, long term leasehold with renewal periods of 30 years renewal; collective ownership leasehold schemes (where owners committees share indirectly the freehold interest through corporate management structures). It is important for buyers to ensure that the legal structure of the project complies with Thai law, maximizes the investor’s legal protection and is appropriate to the purchase transaction in question. Negotiate the Terms of the Sale and Purchase Agreement The Sale and Purchase Agreement should clearly set out the key terms of the agreement between the parties including the price, payment terms, description of the property and the interest acquired and provisions relating to the registration of the legal transfer of ownership to the buyer. The Sale and Purchase Agreements should also clearly stipulate who shall be responsible for taxes and registration fees relating to the transfer of the legal interest in property and stipulate the consequences of a breach of the Agreement by either party. All significant verbal representations or assurances made by the seller/developer should be expressly incorporated into the terms of the sales contracts so as to minimize any ambiguity as to what was agreed between the parties. Investors can protect beneficiaries, reduce tax liabilities and have a more saleable set of documents relating to their investment through the effective negotiation of the terms of the Sale and Purchase Agreement with the seller/developer. Avoid Surprises Through Research and Understanding Foreign investors into real estate in Thailand must acknowledge and adapt to the difference in law and commercial practice in Thailand. Being prepared is an essential part of a safe investment. Finally, whilst advice from friends who may already have acquired an interest in property in Thailand can help, it is always prudent to instruct independent legal advisor to guide you through the differences in law and commercial practice and assist you to understand the nature and potential hazards of the intended investment.

Seasons Baht Finance Greetings
As 2016 begins to draw a close and whilst 2017 is soon to begin, it’s an opportune moment to reflect upon property finance deals, which have been concluded or, met their demise throughout the year. From successful sales of good cases and why they were concluded vs. rejected rationales, it is useful to reflect before we move forward unto the New Year and strive for new targets and goals. I am also sure, Mr. Trump & the Brexiteers, will also be setting new goals, along with the new Royal appointment to be, in Thailand. First and foremost, property & finance methods have definitely changed throughout 2016, it has become pretty conservative and at the same time, an increased amount of due diligence is required before we even begin to talk finance, particularly for land. Not a month has passed, without “encroachment” issues in the mainstream media, where land and buildings have been reclaimed by the NCPO & Junta, with pretty much no specific area of Thailand left untouched. What could in the past have been deemed as Forestry Land or National Park Area, buildings had been demolished and returned to its former self. Fortunately, our island of Koh Samui had remained relatively quiet in the main headlines, though places such as Chiang Mai, Hua Hin, Phuket, Khao Yai amongst others, have featured quite heavily, with encroachment issues on a grand scale. The introduction of a DSI Map on the public domain,
allows for an instant snap shot to determine the level of risk required when financing land. If the DSI consider as possible Forestry or National Park Area, than finance can be more difficult to obtain, regardless of whether chanote titles had been issued legitimately. Before finance discussions can than take place, it is now preferred to simply check out a land plot first, via a Google map link, copy of chanote and recent photos to see if it flags up on any “watch list”. At the same time looking for possible development/ construction issues under various land acts. How high above sea level? How far from the beach? What are the building regulations? Etc.… Important questions to consider before making a purchase or finance agreement! Often, we’ve been left in bewilderment by enquiries, where development goes up before any permit has been applied for and than when making the application, it is completely against the relevant authority regulations. As a lender, being left with a land plot, a half built project that would never get any permit, is not the best scenario as will incur a time & cost to remove the building. If that development also happened to be a condo and we had pre-approved the project for end user finance beforehand, we could than be left with a number of unhappy clients waiting for end user finance on contracts already signed, which in fact, could never happen since the building was illegitimate in the first place.
Some of the easiest, low risk finance cases with reasonably quick timescales over the past year surprisingly have been for condominium loans where we have not even seen the building before! A most recent example, for a condo in Pattaya with a client whom we never met applied on a Thursday afternoon through one of our regular real estate agent introducers and paid for an appraisal. A purchase price of around 2.5m and a loan required of just 1.1m. The next day we were provided all relevant supporting documentation and by the following Friday, the loan was approved and loan agreement ready for signing a few days later (even with a public holiday in the middle). The client background was a retiree living in Pattaya and on a regular pension income coming from the UK, able to provide bank statements to verify income. It was decided at present the exchange rate was not worthwhile to bring a lump sum into Thailand and would prefer to borrow whilst waiting for a better exchange. From start, to loan approval, in just 5.5 working days! Usually the appraisal company states a 10 working day turnaround however, if you happen to catch at the right time, things can certainly go smoothly and quickly. Cases that have fallen d o w n o r h a d h u rd l e s t o overcome, have often been due to miscommunication possibly from third parties, little understanding of Thai regulations and methods or, as mentioned earlier land, which has been built on without any relevant permits. We had one case where the person who would be signing on behalf of a Thai company would not sign. Joint applications, where one applicant would assume ok that we don’t meet the other applicant and allow them to sign overseas with no notary or witness that the person was real. New condo buyers who assume that once the developer say the project is ready, assume it is 100% and ready to transfer with chanote and no snagging to be fixed (one case took 9 months snagging) and finally, another who after emailing all paperwork through to gain a loan quotation and than asked to print and sign in wet ink on all printed pages than post, so we have all original wet ink signatures…..simply posted without any wet ink signatures and expected to be approved. Often the minor issues can cause delays, though in some cases lead to a deal being lost. This time of year, real estate investment in Thailand can be considered coming up to peak season. Tourists and even local residents seem to have cash on the hip and are ready for direct property investment. Whether it maybe for a future retirement home, a condo for next year’s holidays or just looking
for an investment return in real estate, property purchases tend to spike and along with that, comes people looking for finance options. My “tips” to help easily clarify whether an individual will be going through with finance is the following: Land Send the following to the lender for quick confirmation consideration. Google Map, Land Title (Chanote), Recent Photos. Villa Similar to Land, send Google Map, Land Title, Recent Photo & Construction Permit. Good morning Scott and welcome to Samui Phangan Real Estate Magazines Personal Profile. We’d like to start and ask where you originate from and how is it that you have ended up now on Samui? I moved to Koh Samui from Williamsburg, Brooklyn, USA, where I had been living for a few years. I spent most of life in New York, and lived for 5 years in Los Angeles. Are you with family here? When I moved to Samui I was single. I was very fortunate to meet an amazing woman from Kazakhstan here, and we got married a little over two years ago. We have 3 children that we are raising here on Samui, and I have two adult daughters in the States. Why Samui? I started coming to Samui on vacation back in 2009. I’ve been very fortunate in my career and have been able to travel to some of the nicest places on the planet, but nowhere else did I feel the pull to return again and again like I did with Samui. I ended up vacationing here 3-4 times a year. You have brought to Samui some technology that is quite new for us here with your company, Samui Aerial Mapping. Where have you gained your experience? I started flying radio-controlled airplanes about 10 years ago. When DJI came out with the Phantom, I had to have it. It dawned on me that as soon as the right set of sensors were available, these devices had the potential to revolutionize the surveying industry. As soon as the requisite parts and software were available, I started the company. What does Samui Aerial Mapping really do? Using helicopters to take still photographs is something of the past I now realise looking through your website but can you explain the technology you use to our readers? We use drones to measure land. The drone photographs the land, recording the GPS coordinates, altitude, and focal distance to 50 points in each of hundreds or thousands of photographs. The technology is commonly referred to as LiDAR (Light Detection and Ranging) but our drones don’t use lasers, they use the visible light spectrum. Do you build these drones yourself? No, we use customized versions of the DJI Inspire drone. We upgrade the propellers, change the lens filters, and use specialized software to program the drone to fly a pattern that matches the land we are surveying. This isn’t your “nephew’s Phantom”, but it’s not that different, either. samui phangan real estate

On your site you use the terminology Orthomosaics, terrain models, NDVI analysis and 3D models? Can you explain these to us? Sure. Our primary objective is creating 3D terrain models in SketchUP or AutoCAD. These are photorealistic representations of the terrain that architects and builders then use to figure out how to place the house(s) they are building. Orthomosaics are what happens when you take 200-1,000 aerial photographs of a piece of land, then stitch all those photos together to get one very large image of the entire piece of land. For example, if we wanted to get one large image of a 50 Rai parcel of land, we would need to fly the drone up very high to get all the land in the frame. Using orthomosaic processing, we combine hundreds of images to get one very high resolution image. NDVI is a method for determining the health of crops rubber tree plantations, palm oil plantations, coconut plantations, etc. The drone flies over the plantation taking photos, and the photos are processed in a special manner to show areas of poor growth/health that need attention. Who do you think would be interested in this and have you already been having some success on Samui? We have mapped well over 50 sites on the island and neighbouring Koh Phangan. As the only Aerial 3D mapping firm in Thailand, we’ve been very busy. Architects and builders see what we do and they simply can’t believe it. It makes planning a construction job so much easier. Anyone building, buying or selling land that has any type of contour to it can benefit from this. The trickier the build site, the more valuable our 3D model is. If your land is flat and rectangular, you probably don’t need us.

Obviously this is a question that would vary job by job but what are the time frames in the complete process? For smaller properties, 5 rai or less, we can fly the drone on a Monday, process it Tuesday, and you’ll have results on Wednesday. Does weather disrupt your work? Yes, we are highly weather dependent, particularly regarding the wind. If the wind is blowing, we need to stay home. How far out can these drones fly? The drone could fly from Samui to Koh Phangan on one battery. The limit for our model is about 12 miles on one charge. Can you fly them anywhere or are there privacy or air space restrictions? There are all types of restrictions, and the restrictions vary by country. Thailand has strict rules, as does the FAA in the USA. You can’t fly over land you don’t have permission to fly over, and you can’t fly anywhere near the airport or temples. These are powerful tools, but in the hands of an inexperienced pilot, could be very dangerous.

The infrastructure is second to none. There is no one in the history of the Kingdom of Thailand that has done so much to enhance the well-being of the Thai people as His Majesty King Bhumibol Adulyadej, also known as Rama IX. “We shall reign with righteousness for the benefits and happiness of the Siamese people.” This declaration, spoken at his coronation ceremony was his first public pledge to promote the welfare of all his subjects. Throughout his 70-year reign he has certainly fulfilled this promise. In the early years His Majesty was inspired by the example of his parents in working diligently to improve the lives of all the Thai people. Although most of his childhood was spent in the West, he was taught to be aware of his roots and his debt to the motherland. This attitude formed a solid foundation for his deep understanding of the Thai people and society. You will find it very difficult to find a home that does not have the portraits of His Majesty and other members of the Royal Family, and every Thai citizen is well aware and certainly proud of His Majesty’s achievements, that might not be the case with some foreigners living in Thailand and Satayu Publishing would like to publish this article so that foreigners have a better understanding of His Majesty King Bhumibol Adulyadej also known as the father of our nation. Right at the beginning of his reign His Majesty made many visits to countryside areas throughout Thailand. Together with Her Majesty Queen Sirikit, His Majesty would first visit the least developed areas of the country to see how the local people lived. The royal couple journeyed to each corner of the country, visiting villagers and learning of their living conditions, problems and finding their real needs at first hand. His Majesty would then conceive projects and plans to answer their troubles and improve their condition. The pictures of His Majesty sitting on the ground or standing shoulder to shoulder with his loyal subjects, engaged in conversation, has become a familiar sight that touched the hearts of all Thai people. To His Majesty, the people’s problems were also his, and so he continued conscientiously to make their lives better. A tribute in Samui to His Majesty King Bhumibol Adulyadej - 13 November 2016 In 1948 was the last previous Supermoon and so this Supermoon in the middle of November 2016 was taken very seriously by Thai’s all over Thailand and especially in Koh Samui. Absolutely thousands of people gathered together to pay homage and tribute to Majesty King Bhumibol Adulyadej, also known as Rama IX. With carefully planned choreography and many hours practice a wonderful and very moving display was put on. People wearing black or white clothing and all holding candles for the King arranged themselves in the character of the number nine in the old Thai numerical style with the wording Samui beneath.

How about our wonderful Thai food, did you realize some recipes adapt perfectly for some Xmas cuisine? Thai Christmas recipes Jicama or Yam Bean('Man Kaeo' in Thai) This is a mouthwatering Thai Salad anytime of the year, but its particularly wonderful for serving around Christmas. If you can't find jicama at your local supermarket use some green apple. Nuts that can be used include peanuts, cashews, or slivered almonds. I've also added cranberries for a festive touch, but in Thailand you'd be more likely to find pomegranate, so feel free to choose which you'd prefer. Any way you toss it, this Thai salad is very yummy, healthy, and gorgeous to serve. - 1 jicama, peeled and sliced into matchstick-like pieces to equal approx. 2 to 3 cups 1 cucumber, sliced into chunks OR thick matchsticklike pieces - 1 red bell pepper, sliced - 2 green onions, finely sliced - 1/2 cup chopped fresh coriander/cilantro - 1/4 cup peanuts, cashews, or slivered almonds - 1/4 cup dried cranberries OR fresh pomegranate - 1/4 cup fresh basil Salad Dressing - 1/4 cup lime juice - 2 tbsp. fish sauce, OR for vegetarians: 2 tbsp. Thai golden mountain sauce - 1/3 tsp. shrimp paste or for vegetarians: substitute 1 extra tbsp. soy sauce - 2 cloves garlic, minced - 2 tsp. sugar - 1 fresh red chili, minced, OR 1/2 to 3/4 tsp. dried crushed chili from the spice aisle 1 tbsp. soy sauce
Special Thai Orange Fish Soup This beautiful Thai soup makes a elegant addition to any table. Serve it as a special appetizer for a dinner party or just make it for dinner In Thai, it's known as "Geng Som Pla" - which actually means "Sour Fish Curry or Orange Fish Curry" – it’s an ancient recipe from the Central Plains region of Thailand. It is a fieryhot soup with both sour and sweet overtones that make for a lively combination, especially when paired with your choice of fish and/or seafood. Plenty of fresh local vegetables are another characteristic of this wonderfully healthy Thai soup which can be enjoyed completely vegetarian if required! - 6 cups good-quality chicken stock - 2-3 small to medium fillets of sole, snapper, or any "white" fish, cut into bite-size pieces - 10 medium shrimp OR other shellfish - juice of 2 oranges, OR about 1 cup prepared orange juice - 2 tsp. tamarind paste (available at Asian/Indian food stores) OR 2 tbsp. lime juice - 1 Tbsp. palm OR brown sugar - 3 Tbsp. fish sauce - 2 cups baby bok choy or other Chinese greens, chopped if leaves are large - handful cherry tomatoes - handful green beans, cut into 2 inch lengths - 1 small zucchini, cut into matchstick-like pieces - 3-4 fresh orange slices, cut in half PASTE: (Mix by hand or use a blender) - 1/4 cup red onions - 1/2-1 fresh red chili add more if you love the heat - 1 thumb-size piece ginger - 3-4 cloves garlic - 1/4 tsp. ground white pepper - 1/2 tsp. shrimp paste, OR 1 extra tsp. fish sauce - 1 tbsp. fish sauce - generous handful fresh coriander - Make the soup paste, either by mincing and stirring all paste ingredients together by hand, OR by placing paste ingredients in food processor and processing well. - Warm a medium-size soup pot over high heat. Drizzle vegetable oil in the bottom then add the paste you just made. Stir-fry 1-2 minutes to release the fragrance, then add stock, orange juice, tamarind or lime, and sugar. When soup comes to a boil, reduce heat to medium.
- Add the firmer of the vegetables: the beans and "whiter" parts of the Chinese cabbage, if using. Simmer to 4-5 minutes, or until beans have softened. - Add remaining vegetables, plus fish and shrimp. Simmer 2-3 minutes, until fish has turned firm and opaque-white and shrimp are pink and plump. Finally, add the fish sauce. Tip: Don't over-stir at this point, as this will cause fish pieces to break up. - Remove soup from the heat and do a taste-test. It should be spicy, salty, and sour with overtones of sweetness. Increase flavor/saltiness by adding more fish sauce (if it's too salty for your taste, add more lime juice); then work on adjusting the sour-sweetness balance. Exactly how sour or sweet your soup tastes will depend on the sweetness of your oranges/orange juice, and the strength of your tamarind paste/lime juice which is quite sour. Add 1 to 2 tbsp. more brown sugar, as needed, OR up to 1/4 cup more orange juice (if juice is sweet). For a richer soup, add up to 1/2 cup coconut milk. If you'd like more spice and flavor, add a dollop or two of Thai chili sauce. - To serve, ladle soup into bowls. Add several halfslices of orange to each bowl, then sprinkle over the fresh coriander. ENJOY! And for that after dinner cocktail? Dragon Fruit Martini - Your guests will be surprised and delighted by this refreshing cocktail, and the marvelous-looking dragon fruit also makes a great conversation starter especially when you explain the nickname is Dragons Balls! - 1/3 cup vodka - 1 tbsp. freshly-squeezed lime juice - 2 to 3 tbsp. white sugar, to taste - 2-3 ice cubes - 1/4 cup coconut milk - garnishes: dragon fruit wedge, slice of lime or star fruit - Prepare your dragon fruit by scooping out all of the fruit meat. - Place dragon fruit flesh in blender. Add all other ingredients and blend 20 - 30 seconds on high speed. Taste for desired strength and sweetness, add more vodka if not strong enough, or more sugar if you'd prefer it sweeter. Within an area of approximately 167km2 with over 70% being unspoilt mountainous and tropical forest many more temples are nestled coherently within the islands natural flora and fauna offering a feast for the eyes of all visitors. Koh Phangan being relatively undiscovered and undeveloped still has the postcard perfect secluded deserted beach coves awaiting discovery via the traditional mode of transport, the long tail boat or for the more intrepid explorer by hike. You truly feel that you are the first to leave a footprint! In that vein Koh Phangan's beauty is emerging as an attractive destination for weddings and events. Due to Koh Phangan's granite structure, there are several small mountains where it's possible to trek/hike. The highest being Khao Raa at over 600m above sea level taking 2-3 hours to realise the summit. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.
However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
