EDITOR'S LETTER Tropical Musings from Paradise As joyous as the year-end can be, I’m sure we’re all feeling the strain of finishing up projects, closing out budgets, and trying to build a strong foundation to kick-off 2019 with. But whether you’re here on a well-deserved break or part of the large Expat community on Samui or Phangan you have certainly picked one of the best places in the world to celebrate Christmas and see arrival of the New Year 2019. Our Islands have everything to offer from a quiet Christmas with drinks on secluded sunny beach to a full blown 5-star experience at one of our fantastic hotels or restaurants. Personally, I will be celebrating Christmas at home and cooking myself. After visiting Jeff Egberts from Merchant Gourmet Samui I’ve now more choice than I expected for some of his delicious options and I’m enjoying putting together our Xmas Menu. Our Christmas Edition Dec / Jan 2019 is always our biggest magazine of the year and being Edition Number 83 something to be very proud of. Not many magazines can boast almost 14 years of successful publishing. Walking on the beach can be the best of both worlds. You’ll get a great workout in a little bit of paradise. These tips will help you avoid injury and maximize your fat and calorie burning potential.

That’s because your feet sink into the sand, making your muscles work harder to lift out of it on each step. This extra effort translates into extra fat and calories burned. It’s also a great workout for your cardio vascular system. But also stress for the ankle joints so try to avoid walking on dry sand for extended periods of time if you aren’t very fit or have any chronic ankle, knee, or lower back problems. Do your beach walking along the edge of the shoreline where the sand is firm and wet. Your feet will still sink down to some extent — not enough to stress out your joints, but just enough to make your workout more strenuous. If you are recovering from a leg or foot injury, do not walk on sand. The uneven surface poses too great a risk for muscle strains or other injuries. Avoid walking during the hottest part of the day, between 11 a.m. and 2 p.m. Plan your beach walk around the sunrise or sunset to avoid heat-related complications. Warm-up/Cool-down A five-minute warm-up for walking and cool down afterwards is essential for preventing strains and sprains. Don’t skip these important parts of your fitness routine! Be sure to begin your warm up on the hard sand and when your muscles feel warm and pliable, move to loose sand for a few minutes. Then switch back to the hard sand. Avoid walking on rippled sand, which can cause you to lose your balance and pull or strain a muscle or joint. Be sure to drink plenty of water. In bright sunlight, you will dehydrate much more quickly than usual. And you’ll dehydrate even more quickly if you walk seaside, thanks to the salty air. Bring along a water bottle and sip it frequently as you stroll. Keep it in your ice chest under a shady umbrella between walks. If you do a lot of beach walking, consider purchasing a pair of aqua shoes. Several companies make a special shoe for walking on wet surfaces. Large shoe companies make an aqua sock or slipper that is made of a quickdry nylon mesh; these also have extra-good traction to prevent slipping and sliding. If you are using your everyday walking shoes to walk on the beach, make sure that you dry them thoroughly and take great pains to remove every grain of sand from the inside of them. Remove the insoles and brush them vigorously. One unfortunately placed grain of sand can cause skin irritation, blisters, and discomfort. Direction. Beaches have a natural slope to them. This will put strain on one leg more than the other. To compensate for this, spend half your time walking in one direction, then turn around and go in the other direction to avoid over-straining one leg. Frequency. Brisk walking on the beach is a higher-intensity workout than road walking. You’ll notice your breathing will be much heavier and you’ll feel more tired than walking at the same pace on a hard surface. So, don’t overdo it. Mix in beach walking into your walking routine two or three times a week. Pace. Keep a brisk pace, but don’t push yourself to walk too quickly. Remember that you’re burning extra calories just by walking on sand so walk at a comfortable pace to keep your balance and avoid injury. Stretch. Examining the Benefits of Leasehold Ownership for Foreigner Buyers of Property in Koh Samui and Koh Phangan. It is a widely known fact that, with very limited exceptions, the ownership of freehold land by foreigners is prohibited in Thailand. Despite this, foreign buyers continue to attempt to use complex legal mechanisms structured through limited Thai companies in an attempt to control freehold land in Thailand. Such legal structures are usually in contravention of Thai law and do not stand up to legal scrutiny. A much more secure option for foreign buyers is acquiring a leasehold interest in Thai property. Many foreign buyers seem to be unaware that they are entitled under Thai law to lease land with identical rights to Thai persons and Thai Corporations and such leasehold ownership rights can provide adequate legal protection to the investment. The following article examines leasehold ownership structures in Thailand and discusses ways in which a foreign investor can enhance the security of a leasehold investment by understanding the nature of leasehold ownership in Thailand. A Summary of Thai law relating to Leasehold Ownership Thai law stipulates that a registered lease is limited in law to a term of 30 years. Section 540 of the Civil and Commercial Code of Thailand states that: “The duration of a hire of immovable property cannot exceed 30 years. If it is made for a longer period, it is to be reduced to 30 years. The aforesaid period may be renewed, but it may not exceed 30 years

A lease of more than three years must be registered in Thailand, however, a lease for a term of less than three years does not need to be registered at the local land department. Clearly a 30 year lease is not a particularly attractive investment opportunity as any capital appreciation is offset by the ever diminishing remaining term of the lease and the capital appreciation in the land value vests in the freehold land owner who shall re-possess the land at the end of the lease term. Can A Lease be Extended for a term of more than 30 years? A person or entity who grants a lease can provide the buyer with a contractual promise or “option” to permit them to renew the lease term for subsequent lease terms of 30 years each, once the initial registered lease term has expired. The provisions of Section 540 of the Civil and Commercial Code expressly allow the renewal of leases for subsequent terms of not more than 30 years. The lease renewal options usually take the form of a series of clauses in an addendum to the lease agreement stating that immediately upon the expiry of the initial registered lease term, the parties shall register a new lease on precisely the same terms for a further term of 30 years or the longest registerable lease term at the time of each contractual renewal. The rental for each contractual renewal is usually limited to no more than the cost of registering the subsequent leases. Potential Issues with Lease Renewals and how to avoid them It is imperative for foreign buyers to ensure that the provisions for the renewal of the lease are as robust as possible and that the procedure set out in the contract with regards to the exercising of the lease renewal options are clearly defined. The identity of the Lessor in leasehold structures is an important consideration for foreign buyers and can have a huge impact upon the likelihood of the lease being renewed at the end of the initial 30 year term. If the Lessor is a living person for example, it may not be possible for the foreign buyer to enforce the lease renewal options against the heirs of the Lessor in the event that the Lessor dies during the initial 30 year registered lease term. A contract is usually only enforceable between the parties who originally signed the contract and consequently the heirs of the Lessor will not usually be bound by the promise made by the Lessor a generation earlier. Foreign investors must be aware that a Lessor who signs a lease at the age of 55 years old must reach the age

A foreign buyer can significantly strengthen the security of the lease renewal options if the Lessor is a limited Thai company. Legally speaking, a limited Thai company is a “legal person” in the sense that it can be sued in the same way as a living person if it fails to perform its obligations under a lease contract, however, unlike a living person, a limited company cannot die or disappear. Notwithstanding the benefits of leasing from a limited Thai Company, the Thai company itself must be correctly and legally formed and properly maintained during the lease term, furthermore, foreign buyers should ensure that the terms of the lease do not undermine the benefits of leasing from a limited company. For example, any provision in the lease agreement which allows the Lessor to assign its rights under the lease to a third party should be resisted. More Sophisticated Leasing Structures can provide Foreign Buyers with Additional Benefits A number of leading property developers in Koh Samui offer a more sophisticated “Protected Leasehold Structure” to buyers in residential developments. In addition to the registered 30 year lease with lease renewal options, the investor is also provided with a share in an offshore company which in turn owns shares a limited Thai company which owns the project land and grants the lease to the each of the buyers. This structure allows the owners in the project, collectively, to exercise a degree of control over certain important decisions of the land owning company relating to the land, such as (in certain circumstances), the lease renewals. Such Protected Leasehold structures can provide foreign leasehold buyers with added investment security. However, it is imperative that the legal structure is compliant with Thai law and in particular, that the legal structure is not deemed to be “illegal” because foreign persons control the freehold land title. In conclusion, leasehold investments are a secure and viable means of acquiring an interest in real estate in Thailand for a term of years. However, foreign buyers and their legal representatives must ensure that the leasehold structure which is being offered is fully compliant with the laws of Thailand. Important Changes to the Work Permit Law Employers and Employees Take Note. Both Employers and Employees should take note of the new work permit regulations and notification requirements which came into effect on 28th March 2018 and affect all employers of foreigners and foreign employees in the Kingdom; including those who are working in Koh Samui and Koh Phangnan. We examine the changes to the work permit law and examine the implications to both employers and employees.
Administrative Changes Under the old laws, an application for a work permit was required to be made in person, in Thailand, at the Department of Labor. According to the new laws, it is now possible to submit an application for a work permit electronically either within Thailand or from overseas. In addition, the issuance of a work permit will not exceed 15 working days.
The New Regulations The latest amendment to the Emergency Decree on Managing the Work of Aliens 2017 enacts a number of key amendments to the work permit law: Foreigners who enter Thailand occasionally for the purposes or organizing or attending meetings; give opinions, give lectures or provide talks, participate in training sessions, tour, seminar, art or cultural exhibitions, sports competition, or other purposes prescribed by the cabinet; are no longer required to obtain a work permit. These changes are in-line with other developed countries which do not require any special permissions to attend such events. Secondly, foreigners who enter the Kingdom to engage in business or investment; or who have skills which will help improve the country, subject to certain specifications, will also be exempt for the need to obtain a work permit. Thirdly, representatives of a foreign entity which is granted a foreign business license pursuant to Thailand’s Foreign Business Act shall also be exempt from obtaining a work permit.
Definition of “Work” The legal definition of “work” has been narrowed to “performing any profession, whether or not there is an employer, excluding business operations of a foreign business license’s holder under the Foreign Business Act”. The previous definition of work was “exerting one’s physical energy or employing one’s knowledge to perform a profession or perform work, whether or not for wages or other benefits”. New Reporting Requirements of Employers and Employees An employer is now legally required to notify a work permit official of a foreign person’s name, nationality and the nature of the work undertaken by the employee; within 15 days from the employment date. At the end of the employment period, the employer is legally required to notify a work permit official of the cessation date of employment. A failure to comply with the reporting requirement may subject the employer to a fine of up to 20,000 Baht.
Employers who have already engaged foreigners on 28th March 2018 are subject to the same reporting requirements on or before 26th May 2018. Any existing employers who have not been aware of the changes until reading this article should comply with the reporting requirement as soon as possible. In addition to the new reporting requirement by the employer, a foreign employee is required to notify a work permit official of their employer, work places and nature of their work within 15 days from the employment date; and on every occasion that the foreign employee changes their employment. A failure to comply is subject to a fine of up to 20,000 Baht. Penalties Finally, penalties for working without a work permit have been weighted more against the employer than the employee. Under the former regime, a foreign employee working without a work permit (or outside of the scope of their work permit) was subject to a penalty of up to 5 years in prison and/or a fine of up to 100,000 Baht. Under the current penalties, the maximum penalty is only a fine only of between 5,000 Baht and 50,000 Baht. Conversely, an employer who under the old regime was subject only to a fine of up to 400,000 Baht for employing a foreigner without a work permit, is now liable for a custodial sentence of up to 1 year for repeat offences and may be prohibited from employing foreigners for 3 years. Both employers and employees should be aware of these new regulations and ensure that their business is in full compliance with the new laws and regulations and further ensure that internal procedures and processes are altered to accommodate these changes. 有关工作许可证法律的重要变更 - 雇主和雇员须知 所有雇主和雇员都应该知道在2018年3月28日生效的工作许可证新法则和汇报规定,因其影响到 泰国境内所有外国雇主和外国雇员; 包括在苏梅岛和帕干岛工作的外国人。在此我们审视新工作 许可法的变化,并评估对雇主和雇员的影响。 新规定 对于 “2017年管理外国人工作紧急条例” 的最新修正案,针对工作许可法进行了若干重要修订: 凡偶尔进入泰国组织活动或参加会议的外国人; 提供意见、演讲或会谈,参加培训课程、旅游、 研讨会、艺术或文化展览,体育比赛或其它经内阁许可的活动; 将不再需要申请工作许可证。这 些修订与其它发达国家一致,不再需要任何特殊许可即可参加此类活动。第二,进入泰国从事商 业或投资的外国人; 或具备有助于改善国家的技能,在符合某些规范的情况下,可以免除申请工 作许可证。第三,根据泰国“外国商业法”而获得外国营业执照的外国企业代表亦得以豁免工作 许可证。 行政变更 根据旧法,申请工作许可证必须由本人亲自在泰国劳工部提交申请。而现在依据新法,则可以在 泰国境内或海外以电子方式提交工作许可证的申请。此外,工作许可证的发放将不会超过15个工 作日。 ”工作“的定义 “工作”的法律定义已缩小为“无论是否有雇主而行使任何职业。但不包括根据『外国商业法』 取得合法营业执照的业务活动”。以前”工作“的定义是“发挥个人的体能或利用个人知识来执 行专业或从事工作,无论是否有工资或其它利益”。 雇主和雇员的最新汇报规定 现在,法律要求雇主在雇用外国雇员当日后的15天内,向工作许可处官员通报该员的姓名,国籍 和雇员所从事的工作性质。并在雇用期结束时,亦应依法向工作许可处官员通报该员终止工作的 日期。 如果不遵守汇报规定,雇主可能会被处以最高20,000泰铢的罚款。 若在2018年3月28日以前已聘用外国人的雇主应在2018年5月26日之前依汇报规定提报。而任何在 阅读本文之前未知新变更的现有雇主则应尽快遵守汇报规定。 新汇报规定除了对雇主外,外籍雇员亦须在被雇用日期后的15天内向工作许可处官员通报其雇 主、工作地点和工作性质; 此后每次外籍雇员改变其工作时均应遵循此法。不遵守规定的,最高 可处以20,000泰铢的罚款。 惩处 最后,对于没有工作许可证而工作的惩处,雇主的程度将高于雇员。根据前政权规定,在没有工 作许可证(或在工作许可证规定范围之外)而工作的外国雇员可被处以最高5年的监禁和/或最高 100,000泰铢的罚款。而目前的新规定,最高罚款仅为5,000泰铢至50,000泰铢之间。相反的,根据 旧制度的雇主,如果雇用没有工作许可证的外国人,只会被处以最高400,000泰铢的罚款,现在则 可以对累犯处以长达1年的监禁,并可能被禁止雇用外国人长达3年。 雇主和雇员都应了解这些新规定,以确保其业务完全符合新的法律规范,并应进一步确保内部程 序和流程修正以适应新的变化。 本文由LIMCHAROEN LEGAl(SAMUI)律师TANUN RUNGWIWAttANAKOOl撰写, 请致电0935759675联系我们的苏梅岛办事处或发送电子邮件至SAMUI@LIMCHAROEN.COM 中文翻译:方良玉 JADE FANG 电话:0818938366 邮箱:jADE.YU5566@GMAIl.COM

Thailand Finance Greetings As we draw near to the conclusion of 2018 and prepare for the year 2019 ahead, one can’t help but wonder where the year has gone. Thailand, over the course, has seen a massive Chinese tourism influx and with that, changes to the way business is done. Whether the momentum will continue into the foreseeable future remains to be seen but for those who were able to capture at-least a small part of the new business demographic, must surely have been some kind of growth… The Thailand property finance business has also been subject to change. From purchasing luxury THB 100M upward penthouse condos, to snapping up sub THB 2M, 1 Bedroom units, to acquiring businesses and sea view villas, there is no part of the market left un-touched by our strength in numbers, Asian friends. 时间飞逝,转眼间又到了一年年底。大家应该都开始 准备起了2018年的年度总结,顺便迎接新的一年。 我想我们都会有所疑惑,怎么一年又过去了呢?在这 一年里,庞大的中国游客改变了泰国本地人做生意的 方式。这种改变的势头是否在可预见的未来是否能持 续仍有待观察,但对于那些能够抓住中国游客商机的 人来说,肯定是某种形式的增长。泰国房地产金融业 务也发生了一些变化。从购买1亿泰铢以上的豪华顶 层公寓,到抢购200万泰铢以下的一居室公寓,再到 收购公司以及海景别墅,我们数量庞大的亚洲朋友触 及了这个市场的方方面面。 At the start of this year, things were relatively straight forward. From a sombre December 2017, Thailand wanted to start the New Year on a push and was keen to see through many infrastructure changes to develop the longer term prosperity of the kingdom. Amongst several changes, a few highlights were, the Bangkok BTS & Rail network seeing speedy progress and new stations, the Bangkok to Pattaya/Utapao Airport saw

upgrades and new speedy routes developed, the Bangkok to Northern Thailand had increased rail progress and talk of high speed connections on the EEC (Eastern Economic Corridor) were all over the news. At one point old social media favourites such as the channel, carving out the land between The Gulf of Thailand and Indian Ocean resurfaced along with Casino licenses being granted around Pattaya. Classic social media news and the country were clear to be on a push and optimistic for big things. When it comes to Thailand property Finance, as business has become more fluid, upgrades to products and more commercialised changes most recently took place. 当我们将目光放到泰国地产融资方面,由于这方面 的生意越来越多,产品的升级和商业化成为了近期 的主要趋势。 For a number of years, the Thailand Condo Finance Map, which details all condos around the kingdom offering easy and readily available finance, was known to offer a 3-4 week finance option and all rates at benchmark plus 2% margin. Recent updates now mean almost all re-finance will be at benchmark plus 3% margin and timescales tend to be a little slower, sometimes closer too & around, 6 weeks before conclusion. With greater volume of cases going through, it would seem the product is growing to become more commercial and in line with local banking process and guidelines. In effect, this means a condo refinance or release of equity to purchase a new car, just went from 8.65% up to 9.65% minimum and with 4-6 week timescales. In effect, this means all shareholders of the Thai company will be personally liable for the loan size and not just signing on behalf of the Thai company. A lender therefore can chase after all guarantors for repayment of any debt obligation. Interest rates on this section do however remain unchanged at 12%. For a Kai Faak loan however, it might not be required for all shareholders to sign a guarantor since in effect a Kai Faak is selling the property to the lender so is likely only the company signatory will need to sign to sell the property.

In summary, Thailand has 2 legal ways to finance property, Mortgage registration, which many expatriates are used too and then Kai Faak, which has been around since the Thai revolution. Let’s take a THB 20,000,000 sea view villa as example with an owner/buyer wanting to Kai Faak finance no more than 50% loan to value. Assuming the lenders valuation company still asses the valuation at THB 20,000,000, than for a loan of THB 10,000,000, the owner/buyer is required to sell the property under Kai Faak terms to the lender. A lender would usually deduct the following fees upfront from the loan size: • • •
1.5% Lender Fee 12% Annual Interest Rate (1 year in advance) Land office Property Transfer Fees and all Related Expenses

In summary, an owner of a 20M property can borrow 10M by transferring ownership to the lender, after fee deductions will get considerably less than the 10M. The owner has a right to buy back the property upon repayment of the original 10M plus fees, at the end of the contract term (usually 1 year). Upon non-payment, the lender already owns the property therefore; the original borrower has already lost the property. This way of lending is of course higher risk to the borrower though as a result of transferring the ownership to the lender, maybe required to submit less paperwork to approve the loan since in effect, the lender is buying the property at half its valuation. From the early days of being in a niche market and having only a handful of key staff to deliver a start to finish, the product has grown to a multi-billion THB loan book with a number of staff. Surprisingly, there is still key staff from the very start of the company in similar positions and still processing applications. Over the time, there has been many cases which had been a real challenge to get through, especially when more often than not, nobody could tell you what “exactly”, needed to be done or, what is required or, what is rejected but can’t be spoken for being a “culture thing”. The only way to achieve anything is to actually go through the notions, submit the cases and deal with the challenges as they more often than not, come. Expect the unexpected, with 9 cases out of 10 there will “always be something” that crops up or a “challenge” which needs some patience and time to overcome. The odd occasion over the years, business had to be let go and sometimes had no real logical explanation or reasoning as to why it could not be done however thankfully those cases were very few and far between. Setting new records for condo refinance in Thailand and being innovative, doesn’t come easy and takes its toll, I certainly have more grey hairs now than when started!

In this edition of the Samui Phangan Real Estate Magazine we catch up with Mr. Martin Porter. Martin is the new owner of the real estate agency Overseas Property Portfolio formerly owned by Emma Johnson. Emma who has been a long-term resident on Koh Samui is leaving to pursue new challenges back in Europe. Samui Phangan Real Estate wanted to find out just a little more so dropped into OPP for an interview. Hi Martin, welcome to Samui Phangan Real Estate Magazine, could you tell our readers where you are originally from and how long have you been visiting Asia? I am originally from Bristol in the UK. I first came to Asia (Thailand) in 2007. Asia and Thailand have many beautiful islands and destinations, what made you eventually choose Samui? I just loved the island’s laid-back vibe. After almost a lifetime of living in Europe and the US it just felt like stepping back in time, but at the same time still had great restaurants and good facilities so you did not have to live like a backpacker! How long have you been visiting Samui? 11 years now What were you doing as a career back home? I was a freelance IT consultant for 26 years. I have lived and worked in practically every country in Europe with a little time in the US also, so I have experienced a lot of different cultures.
What was it about OPP that interested you in taking it over and joining the Samui Real Estate business? I was introduced to Emma and OPP by mutual friends who have been in the real estate market in Samui for 15 years or more. Emma has built a solid and more importantly trustworthy brand and these factors were important for me in considering taking on the business. Samui has much to offer everyone, but what is special about Samui for you? Beautiful beaches, spectacular sunsets and great dining. It was a sunset that eventually led me to invest in a property here. Actually, that is an interesting story. I came here at the end of 2007 with a friend who was sick a lot of the time, so I hired a car and drove around the island looking at property. I stumbled by complete accident on Plai Laem and at that time there was a solitary villa on the top of the hill. I met a guy there who told me land plots were for sale and next minute I was sat in his villa with him and his wife discussing buying land. The sunset was amazing, and I was hooked. I went back to Europe and then the financial crisis arrived in 2008 and I was unfortunately not able to move forward. Then about 5 years ago I was here on holiday with friends and I got introduced to some property developers and they were building in Plai Laem so I went to take a look. It turned out the very same plot I was considering buying was having some villas built on it and I ended up buying one. So, by pure luck I have a villa now on the exact same plot I was looking at back in 2007. In some ways it was obviously meant to be.

OPP has done so well under Emma’s safekeeping, how will you attract new clients to your company? I think any business needs to evolve as OPP has already done since its inception in 2008. Obviously social media marketing and internet presence play a large role in real estate now more than ever before and it is no longer about just having some land and properties to sell. However even just a simple online presence is not enough. There are already large number of internet agents competing on Samui using Facebook and the various other internet channels. Ultimately however I still believe that an established brand with physical office location and a track record of providing a great service will allow OPP to continue to compete and grow. What resources do you use to stay up-to-date with trends in the real estate market? Monitoring social media, competitors but also property and lifestyle magazines. Checking latest building techniques and trends and advances in home automation for example. A unique selling point that I do not see implemented too often yet in properties in Samui. In todays every changing world, what are the most effective advertising techniques? Whilst it is clear that internet or ‘app’ based marketing is an extremely effective channel I still believe targeted print such as this publication are equally as important. People spend a lot of time on their mobile devices, but they also still read magazines, books and print publications. In fact, Apple themselves have even now introduced ‘screen time’ in iOS as its clear people are spending far too much time on phones and tablets and it is not healthy. Just as vinyl is making a comeback in a digital music world, I can see the same thing happening with print media over time. Describe your most challenging project so far. How did you deal with it? Launch of the Orange UK Mobile telecom network in 1994. Employed to write the entire customer relationship and credit validation system with no specifications or documentation. Resulted in reverse engineering a non-functioning multimillion-dollar product in under 5 months. Dates of launch media and TV advertising were fixed for launch day and not changeable. The whole network had to work, and people be able register and be credit checked and subsequently have their mobile phone activated in just a few minutes. Solved by working 7 days a week for 18 hours a day and making quick and sensible decisions with little guidance. Still to date the best project I have ever worked on and it led to moving to Switzerland to do the same thing there for Orange Switzerland. On both of those projects I formed amazing friendships that still last today. In fact, some of those friends have built their own villas on Samui.

What qualities do you believe make an excellent real estate agent? Listening and understanding people. If you could improve something about Samui, what would it be? The cost of the flights to Samui. It is one of the rare places in the world that is still not serviced by a budget airline, which would be improve tourism and the economy.
in the local market to expand the existing client base and connect clients with suitable properties. We are working on some partnerships that will hopefully bring results to the table in 2019. What is your favourite place and restaurant on Samui? I would have to say at the moment it’s the Sala Chaweng for brunch on a Sunday afternoon.
Where do you see OPP heading in the future? The last few months have been about learning where OPP is now. I see OPP in the future potentially extending its marketing reach outside Thailand but to a targeted audience. Potential agreements with other partners that can bring specific expertise to the table.

What is AB-CABS? In our previous article we talked about before giving care we need to Assess the Scene for Safety. So, STOP, THINK, ACT. Staying safe is the most important start to any CPR First Aid course, but what’s next after we’ve determined it is safe and we can remain safe while assisting someone who may have a life threatening injury or illness? Well, we can use “AB-CABS” to prioritize the steps to take when determining if someone may be suffering a life threatening injury or illness. If you’ve ever been in a situation when someone needed help, life-saving help, no doubt you were nervous, right? In our training we talk about the SIX reasons people hesitate to help. The #1 reason people do hesitate….Anxiety or Nervousness! The good news is, you’re supposed to be nervous this is natural. The problem is when we’re nervous we tend to forget what to do. This applies almost anything we do. Few times is it more important to remember what to do than when someone may need life-saving care. This is where the memory word AB-CABS can help you remember the steps to giving care as well how to prioritize emergency care. After learning this memory word, you’ll remember what to do first, second, third, forth, and so on when a person may suffer from a life-threatening illness or injury and needs your help. Keeping things simple is Key: A = Airway Open? Get the person’s airway open…. B = Breathing Normally? Are they breathing? Is it normal? No. So begin with: C = Chest Compressions…. Push on their chest 30 times A = Airway Open….. Tilt their head back and lift their chin. B = Breathing for the patient….. Blow into their month, two times. S = Serious Bleeding, Shock, Spinal Injury

Remember Assess the Scene for Safety. Make the first “A” more than just asking “is the person’s Airway Open?” Use it to remind you, in order of importance, to “A” Assess the Scene for Safety and Apply barriers (put on gloves, glasses, etc.) These are the first two actions you to perform before ever providing care to someone in need of your help. Remember your safety comes first. So keeping it simple. Moving from left to right of the AB-CABS diagram starting with the “AB” section, reminding you to quickly check if the patient’s Airway is Open and to check if they are Breathing normally. If their Airway is open and they are not Breathing normally, go to “CAB” next. This is where you need to act immediately starting Chest Compressions (30 times). After Chest Compressions you open the person’s Airway and Breathe for the patient (CAB), two breaths and this is CPR. Simple, right? Once you complete two rescue breaths, you go back to Chest Compressions and start the cycle over again. You’ll repeating this “Cycle” or “Cycle of Care” until the person recovers, an AED or EMS arrives, you get tired, or professional care (EMS) arrives, whichever occurs first. This is how we remember how to assist someone who might be experiencing a lifethreatening injury or illness. KEEPING COOL
WITHOUT BURNING THE WALLET There are ways to keep cool without turning on your air conditioner, but when our tropical temperatures start hitting the 35 (or 40!) degree mark daily, and the humidity makes it hard to breathe let alone concentrate, sometimes air conditioning is a must. Stay cool and save money with these energy saving tips: If you've got one or more air-conditioning units in your apartment, have you looked at the settings? Chances are, your units have more than just an onoff switch. Settings such as fan speed, auto, and timer can help cool your apartment more efficiently, which means lower electricity bills. Take a moment to familiarize yourself with the settings on your air-conditioning units. Even if you're missing the instruction manual for a unit, its controls should be self-explanatory.

Check the Fan Options Many units offer four fan settings: Auto, high, medium, and low. High is usually most effective for cooling during normal warm weather. However, when it's very humid, it's better to keep the fan on low. This cools most effectively because it circulates the humid air slowly and steadily through the air conditioner, allowing it to dehumidify the air more efficiently. Redirect the Vents If the vents are pointed all the way toward one side, move them to face the center of the room. This helps direct the cool air outward into the room. If air conditioner has an oscillating setting, use oscillation only if every fan position serves the general area of the room. If the air is directed toward the back of the couch or into curtains, much of its cooling power is wasted.
Use the Auto, Energy-Saver, or Smart Fan Function The standard way to set air-conditioning units is to adjust the temperature (using either a warm-tocold dial or a digital temperature display) and the fan setting to your liking. But modern units offer ways to cool your home effectively while using less energy. Look for buttons that read "auto," "energy saver," or "smart fan," and experiment with these settings to see if the air-conditioning still meets your needs. If so, you'll probably save energy using these functions. Inspect the Filter If your unit's filter is dusty or dirty, the unit won't operate as efficiently as it should, meaning you'll spend the same amount of money for less airconditioning. You'll probably also get less cooling, and the extra wear and tear on your unit may damage it. Many modern units have an indicator light that goes on when it's time to clean the filter. But if you think your unit isn't working well, a visual inspection of your unit's filter should tell you whether it's the culprit. As a rule of thumb, check your filter at least once a month during periods of regular use. Set the Timer When it's hot outside, there's nothing better than returning home to an apartment that's well airconditioned. But if you're gone all day, it may seem like overkill (not to mention a waste of money) to run the air-conditioning while you're out. Look for a timer or hours button and set it for the amount of time you want to pass before the unit turns on. For example, say you leave your apartment at 8:15 a.m. each day and get home at 5:45 p.m. Before you leave, set the timer for nine hours. This way, your airconditioner will stay off while you're at work but will automatically turn on during your commute at 5:15 p.m., cooling your apartment in time for your return. Don't have a timer? Don't sweat it. If you feel you must keep your air-conditioning running while you're gone, try raising the temperature setting on your unit five or so degrees, and lower the fan settings while you're away. Got pets? Even if you have a timer, if you have pets in your apartment, leaving the air-conditioning off all day might leave your place too hot for their comfort. If you decide you need to keep your units running because of pets, don't use your timer. Instead, consider raising the temperature setting and lowering the fan settings a bit, as appropriate, to save money while still accommodating your pets' needs.
sleep hours or, if your unit has one, utilize the "sleep mode" which lowers the output on a timer. Using the timer, it is easy to have the air condition shut itself off an hour or so before you get up. If it’s been running all night the bedroom will easily stay cool for the last hour and save you around 10% off your night air condition costs. Close Off Vents: The lower rooms are traditionally the coolest rooms in the home, so try closing all the vents in the lower areas of your home. Keeping the chilled air up where you really want it. Service Your Unit: Some basic maintenance might be all your air conditioner needs, but most will greatly benefit from a good service and cleaning out. Check Your Ducts: Making sure the areas where your ducts run through parts of your home without air conditioning (like the attic) are properly insulated will keep the air coming in as cool as it can be. Paying for half cool air isn't anyone's idea of money well spent! Rearrange Your Furniture: Furniture that obstructs air conditioning vents means you could be cooling the back of a chair or the bottom side of your sofa and although it might appreciate the thought, we're pretty sure you'd rather have that chill for yourself instead. There are plastic pieces you can buy for your vents to help force air in the right direction, but the easiest way is to just rearrange your furniture, even if only temporarily. Don't Forget the Fan: We rely on air conditioners to keep things cool, but having the help of a few supplemental fans doesn't hurt. Using them to circulate the cool air means you don't need quite as much pumped into the room. They use less energy than your air conditioner unit, so having them around as extra backup is a great idea.

Legendary chefs in Michelin-rated restaurants, the Home Chef for that special dinner party and everyone else in-between seem to be falling in love with the Axe-handled steak. What is a tomahawk steak? Tomahawk steak is a cut of beef ribeye that has five or more inches of extra rib bone for presentation purposes. It's called a "tomahawk" cut because the steak with the long bone resembles a singlehanded axe. There are few steaks bigger or badder than the Tomahawk ribeye. This cut is full of flavour and Jeff Egberts from Merchant Gourmet Samui knows how to do it best.

How to Cook the Perfect Tomahawk Steak - Prep Time - 5 mins - Cook Time - 40 mins - Total Time - 45 mins The best steak of your life! Yield: 2 giant steaks Calories: 1006 kcal Ingredients - 2Dry Aged Tomahawk Steaks - salt - pepper
Instructions Heat an outdoor grill to highest heat. Preheat oven to 180 degrees. Season steaks generously with pepper, but no salt (save this for after it’s done). Get the top, bottom, and all the sides. Use a generous amount of pepper as this is a thick steak (you’ll probably do this a couple more times while you’re eating it). Sear the steak for 5 to 6 minutes on each side, letting the flames lick up the sides. You'll know the steak is ready to flip when it releases easily from the grill. Transfer the steak to a baking sheet. Bake in the preheated oven until the steak reaches an internal temperature of about 55 degrees or till desired firmness for you home grill warriors. The most crucial piece of equipment here is going to be your thermometer temperature and checking it regularly. The very centre will be the last to warm up, and you might find the edges will be 5-8 degrees hotter. While a finished medium-rare steak is about 54-55 degrees, we’ll be working with lower temperatures to account for the extra heat added when we seared it in the beginning. Resting meat after cooking, here one of the smallest but most important points. Let rest 5-10 minutes before slicing.

Buddhist Monks realised Koh Phangan's tranquillity and spiritual importance and subsequently settled in Wat Phu Khao Noi just outside of the main town of Thong Sala as one of the first temples on the island. Within an area of approximately 167km2 with over 70% being unspoilt mountainous and tropical forest many more temples are nestled coherently within the islands natural flora and fauna offering a feast for the eyes of all visitors. Koh Phangan being relatively undiscovered and undeveloped still has the postcard perfect secluded deserted beach coves awaiting discovery via the traditional mode of transport, the long tail boat or for the more intrepid explorer by hike. You truly feel that you are the first to leave a footprint! In that vein Koh Phangan's beauty is emerging as an attractive destination for weddings and events. Due to Koh Phangan's granite structure, there are several small mountains where it's possible to trek/hike. The highest being Khao Raa at over 600m above sea level taking 2-3 hours to realise the summit. There is a bounty of wildlife from monkeys, wild boar, exotic reptiles to stunning birds of paradise not forgetting the spectacular coral reefs that envelop the plentiful bays where the amazing underwater world is accessible for snorkelers and divers equally.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.
LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area.
STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey
building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
