Welcome to the new and improved Samui Phangan Real Estate Magazine! After eight long and very successful years in circulation, we thought it was time to give the magazine a new lease on life with a refreshed look and feel, new and exciting content as well as interviews with those who live and work in Koh Samui and Koh Phangan to glean what island life is really all about. Having lived in Koh Samui for four years now, I have managed to get a good feel for the islands, their residents and the day to day obstacles we face - as well as the doors of opportunity that constantly open and look forward to extracting as much of this information as possible and presenting it to you in a fresh and exciting way. This issue helps take us in a new and bold direction, with more lifestyle content for that leisurely weekend read, as well as hot tips and information for current or budding home-owners about how to create your ideal living space. Thailand is renowned for it's use and love of water. From religion to design in every day life, water is everywhere. Create a waterscape in your Thailand home that honours one of the purest forms on earth...
The offering of water at Buddhist shrines symbolises the aspiration to cultivate the virtues of calmness, clarity and purity with our body, speech and mind. It reminds us to diligently cleanse ourselves of our spiritual defilements of attachment, aversion and delusion through the generating of generosity, compassion and wisdom. Upon perfection of these qualities, enlightenment will be realised. Creating a waterscape in your home can invoke feelings of calmness and serenity, embodying the very essence and ethos the offering of water at a Buddhist shrine aspires to. For those who are not religious, the addition of a water feature in your home or garden can simply enhance the property by creating a unique yet functioning part of your home a functioning piece of art. An aquatic system cannot be constructed or operated any better than it's initial design. Any fault with your original design and implementation will not only cause you headaches but might make quite a dent in your wallet!

Ask everyone seemingly knowledgeable everything you can and visit other's aquatic efforts in order to judge for yourself. Next, work out what you are really after. Are you looking for something modern or more naturalistic? Do you have certain types of rockwork in mind, or at least some ideas of how large, colour, angular the feature will be? And most importantly the effect you want it to have – sound, visual, both..... Be picky. Do keep planning until you're 99.9% satisfied that what you have on paper is going to work and get you what you're aiming for in terms of sights and sounds aesthetically and functionally. A budget should definitely be part of your design plans! Some expenses in building out a system can be a total shock when you are not expecting it! By itemising your 'steps to completion' - assigning a tools, material and estimate of labour to each, you and/or your contracted help will be able to closely approximate the project's overall construction costs. But don't stop there. You really want to know how much electricity (and maybe water) the feature will take to operate. Large pumps for waterfalls and streams cost big money to leave on all day and night, so try to ascertain how much an average monthly cost will be!
Initially, your best first step is to seek out, gather, ruminate and discern all facts, ideas, methods and attitudes as to the most appropriate, best materials and technology available.
Also, what sort of "other" maintenance costs and time commitment are you looking at for the given design options in front of you? What of chemical costs or filter requirements, if any? Re-planting, fertilizing of plant stocks? Well-planned and built systems require little ongoing labour, but they do take some time and money to operate correctly. Know and weigh your options before committing to your desired water feature or it could end up causing you stress, not serenity! When you have decided on the water feature for you and have finally had it installed, take the time to sit back and enjoy it. After all the intense planning and researching.......you deserve a little calm after the storm.

LIGHTEN UP YOUR SUMMER Summer and the sweltering heat is here and it's the perfect time to enjoy some delicious, light and easy to prepare salads using fresh local produce. Full of flavour and easy on the hips, you'll be sure to be going back for more!
WATERMELON, TOMATO & FETA SALAD Ingredients 3 tablespoons extra-virgin olive oil 2 tablespoons chopped fresh mint 1 tablespoon fresh lemon juice 1/2 teaspoon salt 4 ripe tomatoes, cut into chunks 1 cup (1-inch) cubed red seedless watermelon 1 cup (1-inch) cubed seeded yellow watermelon 1/4 cup vertically sliced red onion 1/2 cup crumbled feta cheese Preparation Whisk together the lemon juice and oil, adding the salt and the mint in a large bowl. TIP - Press the mint between your hands to release it's full flavours. Add the tomato, watermelon, and onion; toss with your hands to coat with the dressing. Sprinkle with cheese; toss gently and serve!

Ingredients 4 (about 120g each) chicken breasts, fat and sinew trimmed 2 tsp grated fresh ginger 2 garlic cloves, crushed 60ml (1/4 cup) rice vinegar 1 lime, juiced 1 tbs caster sugar 2 kaffir lime leaves, thinly shredded 1 small red chilli, seeded, sliced 2 mangoes, peeled 200ml light olive oil 1 cucumber, very thinly sliced lengthways 75g fresh coriander leaves 6 spring onions, finely sliced Preparation Season the chicken breasts, then place them in a steamer for 7-8 minutes. (Check they are ready by inserting a skewer into the thickest part; the juices should run clear.) Shred chicken and place in a bowl. Place the ginger, garlic, rice vinegar, lime juice, sugar, kaffir lime leaves and chilli in a bowl, add the chicken and stir to coat. Set aside for one hour to marinate.
CHICKEN & MANGO SALAD Place the flesh from one of the mangoes in a food processor and purĂŠe, then add the oil and process until smooth. Thinly slice flesh from the remaining mango and set aside. Drain the chicken, reserving the marinade, and return to the bowl with cucumber, snow pea shoots, mango slices, coriander and shallots. Stir mango purĂŠe into the reserved marinade and drizzle over the salad and enjoy!

8 ESSENTIAL
BATHROOM DESIGN TIPS Of course you want your bathroom space to look inviting, fresh and be a place you can escape and have some time alone! When designing your ideal bathroom, there are some practicalities you need to consider to ensure your bathroom space functions properly and efficiently and these are often overlooked during the design process. We look at some interior design ideas that are essential to a good bathroom – once you get these right, you can start the fun part of selecting all the visual elements to complete your sanctuary.
1. STORAGE In this day and age where we are all guilty of owning lotions, potions and creams aplenty – bathrooms need a lot of storage! The best place to store toiletries is the shaving cabinet - because they are at eye level and not too deep. Try creating a storage wall that runs the whole length of the bathroom to give both you and others sharing the bathroom enough space to store the multitude of toiletries we accumulate.
2. VENTILATION Bathrooms are 'wet areas', especially so when you are living in a tropical climate! To avoid foggy mirrors, mould and damp, all 'wet areas' need ventilation, and cross ventilation is the best. If you don't have access to good ventilation, consider a ventilated skylight or roof window, or an exhaust fan. Make sure the windows can't be closed off completely.
Creating the perfect bathroom takes more than just selecting tiles and a basin. Here are some essentials to help you create a functional and visually appealing bathroom.
3. LIGHTING There is nothing worse that being blinded by the light in the mirror - lighting the mirror instead of the face is a very common mistake. The best lighting is wall mounted above or beside the mirror and provides diffused light to the face. Try to avoid ceiling mounted recessed downlights as they often cause shadows under the eyes.

When considering lighting for the rest of your bathroom, natural light is the obvious choice as it's so much lighter, brighter and the best aspect, it's cheaper! Light, bright bathrooms are warmer and more inviting. Where you can't get good natural light, try using uplights to bounce light off the ceilings and walls - daylight corrected globes can help too.
5. EASY CLEAN If you design your bathroom with cleaning in mind, it will save you hours of wasted cleaning time! Try having a wall hung toilet pan or a flush-to-wall suite to avoid having to clean all the little gaps. If you choose a large wall tile, it will minimise the grout required or, where the tiles allow, consider tight grout joints (1 - 1.5mm). Try not having a bathroom benchtop and instead opt for just a basin so items aren't left lying around and there are less surfaces to clean.
6. SAFETY Showers can feel great underfoot and be safer too with non-slip surfaces. Think mosaic tiles, chips of tumbled marble or pebbles. These sorts of floors allow you to get really good falls to the drain and can be a lot safer when wet. With all the extra grout, make sure you seal them twice as much as recommended with a penetrating sealer to avoid discolouration.
7. FLOORING Some floor tiles can hide the dirt between cleans and it's a fact, some tiles show every speck of dirt and never look clean (e.g. shiny black tiles). Look for tiles that are matte in finish, not too dark or too light and a bit grainy to look at - limestone or shellstone are great a hiding the dust and dirt! Go with small tiles and avoid large tiles for your bathroom floor unless you can afford to use those expensive linear drainage systems. Small tiles, like mosaic tiles often create a more slip resistant finish and fall to the drain easier
8. CREATE SPACE A well placed mirror can almost double the feeling of space. The best mirrored walls run wall to wall without visible fixings so that they mirror the space almost perfectly. Make sure mirrors are well sealed on the back to avoid deterioration around the edges.
4. ROOM WITH A VIEW There is nothing worse than opening the door to a bathroom and the first thing you see is the toilet on full display. Set your bathroom up, so that when you open the door you have a view of the vanity or the shower/bath area and give the toilet some privacy.

To make the party the best it can be, you can't just throw it together at the last minute - a brilliant BBQ requires lots of careful planning to make sure you get everything just right. Use the following tips and tricks to ensure that your barbecue goes off without a hitch and is a fun, memorable event for all your guests.
WHEN ? The first thing you should determine is the right timing for your barbecue. First, take a look at the weather forecast - you want the temperatures to be high enough that everyone will enjoy being outside but not so warm that your guests are melting (or getting drunk quickly in the hot sun!).
DRINKS Look to traditional summertime drinks to quench your guests' thirsts - Iced tea, lemonade and sparkling punches are all great refreshments, and of course water! If you plan to serve alcohol, keep a variety of beers on hand, along with several refreshing cocktails that aren't too fussy and don't take a long time to make - frozen margaritas are always a great favourite! You can always ask your guests to bring drinks of their choice to ensure everyone has something they like.
WHO ? As any experienced host can tell you, the most important ingredient in a good party is choosing the right guests. You want your BBQ to be a fun, laidback affair, so choose people that will get along well. Close friends and family members are typically good choices, and a BBQ is a great way to meet new neighbours as well as getting to know people you work with if you'd like to get to know them on a more casual, social level.
SEATING Make sure you have plenty of seating available for your guests. Don't worry about trying to fit everyone at one big table. Folding chairs work well – or for a really casual BBQ, standing around is fine with perhaps a few chairs for those who choose to to sit.

chicken safely cooked through, but still able to be crisped-up and charred on the barbecue. Salads for the BBQ can easily be prepared in advance. Small potatoes, boiled until tender, mixed while warm with mayonnaise, spring onions, salt and pepper make a delicious and simple potato salad. Proper oven cooked jacket potatoes are always a good barbecue accompaniment and just require washing, piercing in a few places and placing in an oven at 230°C for one hour and can be finished off wrapped in foil in the embers of a charcoal barbecue.
FOOD
Preparing as much food as possible in advance means you are free to concentrate on grilling the food when the time comes. Food that can take really high heat, such as vegetables, steaks, burgers and whole fish can go on first. Pork, sausages and chicken do well at a lower heat so are better cooked slowly once the heat has died down, or at a lower heat setting in the case of a gas barbecue.
Everyone shows up at a BBQ expecting perfectly cooked meat, so you better have plenty of it! Your menu can range from hot dogs and hamburgers to steaks and kebabs. Just make sure you have a little bit of variety and sides play an important part – salads, BBQ corn, coleslaw – traditional sides to any good BBQ.
It is likely there may be vegetarians amongst your guests, so it is good to make sure they are well catered for. There are many recipes available for things such as home-made vegetarian burgers or stuffed mushrooms, or cooks could make interesting vegetarian kebabs with fresh vegetables - delicious when grilled on a barbecue.
Since it will probably take a while to get all the meat grilled, don't forget to have some appetizers available for guests to snack on. Dips, crisps, nuts, marinated olives and light cheese are perfect pre-BBQ snacks and easy to snack on items are the easiest and best way to keep people satisfied before bringing out the big guns!
It is important to cook the vegetarian food first on the barbecue, as vegetarians are unlikely to enjoy their food tainted with meat.
Several things can be done in advance of the barbecue so that you are free to spend more time with your guests and enjoy! Pre-cooking chicken in the oven is advisable, particularly if you are using a coal barbecue where the level of heat can be tricky to control. Chicken can be roasted at 200°C for between 25 minutes (wings) and 45 minutes (legs,) simply brushed with olive oil and seasoned with salt and pepper. This leaves the

MUSIC Lastly, don't forget about music! Make sure you have some type of music playing throughout the party but keep it low enough that it's still easy to carry on a conversation. Agents, Real Estate Developers and Samuians were afforded the pleasure of refreshments alongside an evening of dialogue concerning legal issues, responsibilities, measures and solutions for those involved in the property market in Thailand. Jeffrey Martin, Senior Associate for Limcharoen, Hughes & Glanville broached subjects from agency under Thai law, the obligations and liabilities of the Agent, agreements, enforcing those agreements and the more complicated co-agency agreements. The night was definitely enlightening with a question and
answer session allowing all to probe further helping answer their queries about critical issues and how to best handle them in their day to day dealings. With a huge number of real estate agencies in Samui and surrounding Thailand there are many issues that are common to all - with the issue of agency agreements being crucial to the underlying business. During the evening Jeffrey Martin as well as Christian Glanville, Managing Partner at Limcharoen Hughes & Glanville's Samui office covered agency agreements and their basic principles; the Agent’s legal right to a commission, the Agent’s right to sue and how to mitigate risk, demonstrating the ways in which you can

OWNERSHIP OF A BUILDING IN THAILAND
Villa sales in Koh Samui and Koh Phangan have been on the rise in the early part of 2012, with a variety of beach front property changing hands.
No doubt the majority of the new owners are initially happy to have settled into their own piece of paradise. However, after having acquired property in Koh Samui, Koh Phangan or elsewhere in Thailand, it is important for the new occupant to ensure having obtained and reviewed all of the relevant documents pertaining to the property in question, and to store those documents in a safe place, as the same will be required for a resale. For instance, the new occupant should possess a land title deed, which evidences ownership of the land in question to the company or individual named on the back thereof. However, it is equally important to obtain those documents evidencing ownership of and/or residence at the physical building situated on the target land, as Thai law provides for separate ownership with respect to land, and the building/s situated on land. For example, important documents relating to buildings in Thailand include (but are not limited to) the construction permit, building sale and purchase agreement, and House Registration Book (Tabian Baan). This article addresses each of the said items beginning with the often times misunderstood Tabian Baan.

House Registration Book (“Tabian Baan”) The House Registration Book or “Tabian Baan” is an administrative document setting out the official address of the underlying house or condominium and may be used as proof of address for the person/s listed therein. The Tabian Baan is often referred to as the “Blue Book”, because the cover is commonly blue, although it possible to obtain a so-called “Yellow Book” as well. Typically, only Thai nationals may have their name entered into a blue book (Thor.Ror.14), although foreign persons may have their name entered into the yellow book (Thor. Ror.13). A House Registration Book is often required as proof of address of a Thai person in official registration procedures such as transfer of ownership of a car at the Transport Department, the opening of a bank account or the establishment of a limited Thai company. Often times, foreigners neglect to obtain a yellow book in respect of their house and instead have a blue book, which, as discussed, will not bear their name. In this event, foreigners may generally use alternate documents for proof of address, where proof of address is required. However, contrary to popular understanding, having one’s name inscribed on the yellow or blue book does not serve as evidence of ownership of the underlying house, but rather serves as mere proof of one’s address or residence. The definitive proof of ownership in respect of a building or structure is obtained through registration of the official building sale and purchase agreement with the competent local authority, as discussed below. Nonetheless, possession of a yellow book may be required in order to take advantage of tax reliefs relating to gains on the sale of a property in the instance where a new property is thereafter acquired. In particular, having one’s name present on a Tabian Baan for more than one year is necessary in order to satisfy the requirements set out in the Ministerial Regulations on Tax Law No. 126, Section 2, Clause 62, in order to obtain relief from taxable gains on the
re-sell of a property. It is possible for a foreign person to obtain a Yellow Book together with his or her name affixed thereon by applying to the appropriate authority, even after a so-called Blue Book has been issued with respect to the underlying property.
Construction Permit Ownership of a building in Thailand may be evidenced by a construction permit issued to the owner, describing the relevant building and the land it is situated upon. Generally, in order to obtain a construction permit, a number of documents must be submitted to the local government, including the underlying land title deed, identification documents of the applicant and the relevant building plans, which must conform to the applicable zoning regulations. Typically, a construction permit will not be issued to a foreign individual or company, although it is possible to transfer ownership of the building to a foreign person at a later date.
Building Sale and Purchase Agreement There is no equivalent to the land title deed in respect of a building in Thailand. In order to transfer ownership of a building, the application for transfer must be made at the local land office, which will thereafter issue a 30 day notice period to the general public. After the 30 day notice has expired, and provided no one objects to the house transfer, the parties shall sign an official Thai language building sale and purchase agreement (which is separate from the private sale and purchase agreement), which document shall be maintained at the land office thereby establishing proof of ownership of the relevant building. This article is intended to provide investors with a brief insight into the key legal documents relating to ownership of and/or residence at a physical structure or building in Thailand. As in any jurisdiction, it is important to seek independent legal advice before entering into a legal transaction.

THE NEW CORPORATE INCOME TAX RATES
After the elections there was a lot of discussion about the new Government’s plan to reduce the corporate income tax rates (“CITR”).
While mostly the potential negative impact of the minimum wage rate increase on businesses in Thailand where publicly debated, the government actually went ahead and reduced the CITR significantly. Surprisingly relatively few people seem to be aware of this. Accordingly, please find in the following a summary of the recently enacted revised CITR. Pursuant to Title II, Chapter 3, Schedule 2(a) of the Revenue Code (“RC”) the CITR on profit for Thai companies is 30%. However, pursuant to Title I, Section 3(1) of the RC, this rate may be reduced for some or all such companies by way of the Cabinet issuing a “Royal Decree” (“RD”). And, in fact, under RD 471 (2008) the CITR for “small to medium enterprises” (“SME”s) defined there as companies who’s total capitalization was THB 5,000,0000 or less on the last day of the tax year, was exempted for income not exceeding THB

150,000 and further reduced to 15% for taxable income between THB 150,001 to THB 1,000,0000 and to 25% for taxable income from THB 1,000,001 to THB 3,000,000. Also under RD 467 (2007) the CITR for companies listed on the Stock Exchange of Thailand (“SET”) on the “market for alternative investment” (“MAI”) was reduced to 20%, while the CITR for all other companies listed on the SET was reduced to 25%.

However, on 14 December 2011 the Cabinet issued RD 530 which repealed and replaced RD 471 and repealed and replaced Section 3(2) of RD 467. Accordingly, the CITR for SMEs, which are now defined as any company with a capitalization of not more than THB 5,000,000 on the final day of the tax year and which company does not have income exceeding THB 30,000,000 in that same tax year, is now as follows:
In conclusion, these CITR reductions are clearly welcomed by those investing and doing business in Thailand. However, it should be noted that although as provided for under RD 530 the CITR reductions for SMEs are “permanent”, they are not so for all other (non-MAI listed) companies. It is unclear, if it is “planned” to extend or even increase these reductions after the expiration of the reductions in three years.

The perhaps most commonly stated rationales for the CITR reductions is to make Thailand’s business environment more competitive with its neighbors and further to “compensate” Thai companies for the coming minimum wage increases. But the reductions are not “permanent” for most “normal” companies under RD 530. Even if the “plan” is to extend or even increase them three years from now, it will take the political will of and action by the then current Cabinet. Thus, any such extension can only be seen as uncertain. Such can hardly be encouraging for those considering doing business and investing in Thailand beyond the next three years. Therefore, although the business community is welcoming the CITR reductions under RD 530, it is unfortunate that they were not made “permanent” for all Thai companies.

YOUR PERFECT ISLAND RETREAT Villa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan.
Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, prearrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. RENEE ELLEN ARMSTRONG
DESIGNER LIFE Living in Koh Samui has given one designer the scope and ability to create with passion and integrity without losing sight of the island as a whole. Six years ago Renee Armstrong visited the beautiful island of Koh Samui and not only fell in love with the place, but saw an opportunity and a market where her skills as an Interior Designer could be used to their potential. After buying a one way ticket from her home town in Perth, Australia, Renee has not yet looked back and has successfully opened a second branch of her Australian based Interior Design business that she operates with her long-time business partner Deb Brice. SeaChange caters to small and large design projects, using all types of art methods and mediums to complete and present their finished product to the client. Having started her career in Fashion Design, her tomboy tendencies told her that fashion would not be her long-term path in life but if there was one thing she was always sure of, she knew she would be involved in something creative – using her hands, her ideas and making something physical. The smell of concrete lured Renee away from the fickle and ever-changing fashion world and she found herself knee-deep in construction – literally! “It was that smell of concrete and doing something physical, using your hands, being in the dirt and amongst it being a part of the construction, watching something grow before you that got me hooked.” From overall construction, Renee started to hone her talents to the more artistic side of building design – interiors and exteriors. Having the chance to test out her skills when travelling through the outback in Australia at a caravan site, Renee was free to

use these huge blank white canvasses to give the landscape a whole new look and feel. With stencils and spray paint in hand, Renee set to work and created stunning ghost gum tree images on the caravans, allowing them to blend seamlessly with their environment and yet stand out as individual pieces of art. “When you spray paint, you feel physically connected to the work as you're holding the can and the stencil right there and watching it form in front of you.” It's these moments that inspire Renee in Interior Design, allowing her to take extraordinary mediums and use them in the houses and villas she works on. Convincing a client to allow you to spray paint a wall may take some time, but a long-standing relationship can prove fruitful “Clients I have known for a long time, they trust me. So when I say 'Can I spray paint that wall'.....They turn around and say 'Knock yourself out', which is great!” From the moment Renee steps in the shower in the morning, she is planning her day. From the morning meeting with a client to the afternoon meeting with the contractor. She's always thinking of her next step, project, meeting or phone call. There is never a dull moment in an Interior Designers life and that's drives Renee and keeps her days fresh and exciting. The job of a designer has many misconceptions about what it truly entails. Most people think they just put fabrics and colours together all day long. If only it were that simple, what fun! What most people don't know is all of the work that goes on behind the scenes after the vision is created. From the Project Management aspect of the design which means dealing with clients, suppliers, staff, late deliveries, floor plans, elevations, drafting and measurements of tiles, rugs, counter tops, wall paper

etc. An Interior Designer's job certainly doesn’t end after the design concept is created – it goes well beyond that, until the client is happy with the end result and has settled in, or sold-on. This process can take months if not years depending on the scope of the project. Renee works with a high level of professionalism with any job, be it big or small and has learnt over the years in Samui to deal with the many issues that are inherent to working in a foreign country – namely, the language barrier! “I create flow charts for every project that shows who is responsible for what, with step by step detailed task lists for all of my contractors and employees and I ensure I follow through until the very end, keeping in constant contact with everyone so we all stay on the same page and can achieve an outstanding end result for the client.”

With extensive cultural differences from the way we speak to the way we deal with problems, Renee has been wary and made a conscious effort to assimilate to the Thai way of doing things as much as possible. “It's almost like Buddhism by necessity when you live and work here, even if you don't believe in Buddhism, you start to become more Buddhist like in your day to day dealings. You just become more calm in your nature and more aware of those around you, finding that balance between what the client wants, what the vendor can supply and what the staff can actually accomplish. It's the only way to achieve results or you will start to go a bit crazy!” With two to three projects on the go at any one time, Renee is definitely a busy lady, so what does Samui and the future have in store for her? MODERN AND MINIMALIST ISLAND LIVING
When creating your island home, less can be more whilst still allowing you to achieve a perfect balance - complementing your tropical exterior of swaying palms and crystal blue waters. Minimalism is a design trend that started in the 20th century and continues today, where a minimalist design is a design stripped down to only its essential elements. The unofficial mission statement for minimalist design came from architect Ludwig Mies van der Roh ‌.... Less is more. Ludwig Mies van der Rohe was a German architect who’s considered a pioneer of modern architecture, and his architectural style during post-World War I laid the groundwork for minimalist design. Van der Rohe strived for simplicity and clarity in his architectural designs by using modern materials like steel and plates of glass, having a minimal structural framework and including lots of open space. The reason why minimalism penetrated so many fields, yet is less known than, say, pop art is because it’s more of a principle than a visual style. Using clean horizontal and vertical lines, rectangular forms, primary values of white, black and grey as well as primary colours such as blue, red, and yellow it is easy to create a minimalist space that works for you.

A NEW FISH IN TOWN
BARRACUDA With a dream of opening a restaurant to call his own, one visit to Koh Samui helped all the pieces of his plan fall into place.. Ferdinand Dienst was born and raised in Munich with a career mapped out in Economics. An unexpected move to Cologne with his then girlfriend, saw his lifeplan change and little did he know that he would no longer be sitting in an office crunching numbers, but serving the happy smiles of tourists and residents alike in his own restaurant.

After landing a training position at Inter-Continental in Cologne, Ferdinand's passion for food soon came to the forefront and over the following years he hatched a plan to start chapter one of his vision – a Mediterranean influenced restaurant in a tropical climate. A visit to Koh Samui in 2009 helped his vision come to fruition. After discovering the beauty of Koh Samui, within weeks Ferdinand has quit his job back home and was hunting for the perfect location to open his own restaurant – Barracuda. Barracuda, located in Soi 4 off the main road in Maenam, opened in June 2010 – a tough year to start any business with uprising in Bangkok between political parties and a significant decrease in tourism - but thanks to his determination and an extremely high standard of food, Barracuda, although still quite a hidden gem, is now striving forward in leaps and bounds on the way to success.
The concept of Barracuda is pinned strongly around sourcing and using fresh local produce that is authentic to the environment. This same level of authenticity is applied to the décor and can be seen in the minimalist and rustic interior of Barracuda, which is both warm and inviting by using woods and small Thai touches without becoming garish and tacky. An open kitchen immediately gives the diner a level of trust, and these elements combined all together – the local produce, the authenticity of the atmosphere and the Barracuda quality-food philosophy truly celebrates the spirit of Samui.
Main offerings follow the entrées in their blending of local and Mediterranean flavours such as the PanRoasted Sea Bass with Spicy Peppers, Chorizo and a Black Olive Paste on a Shittake Verlouté or the Barracuda Fillet in Wild Mushroom Paste wrapped in Serrano Ham on Sautéed Vegetables after which the restaurant is named.
The food is some of the finest you can find on Koh Samui, and without the extortionate price tag that normally accompanies it! ORGANIC UTOPIA In the day and age of pesticides, chemicals and preservatives - there is no better time than now to take your food into your own hands and grow your own! They're shiny, ripe and albeit too perfect looking – they're the fruit and vegetables sold in our local supermarkets. Sprayed with pesticides during the growth stage, pumped full of preservatives and chemicals to ensure they don't wither during the transportation stage, fruits and vegetables are no longer what they used to be. To ensure you control what goes in to your body and that of your family, why not start by creating your own vegetable garden where you can decide not to lace your food with pesticides, herbicides and insecticides..... after all, You Are What You Eat! Eat an apple, and you eat life: vitamins, minerals, water and more. Eat pesticide residue, and you are literally filling your body with poisons. These toxins accumulate in your muscle and fat tissues and some of them are nearly impossible to ever remove from your body. Mothers who breast-feed children illustrate an example of these danger potentials, because poisons are passed on to the baby and the full ramifications of these pesticides in our systems years from now are still yet to be confirmed by scientists around the world.

So, it may seem like a huge and daunting task, but creating your own veggie patch can be achieved. Don't be disheartened as a little trial and error is required – but the result is well worth it. Full flavoured vegetables you can pick straight from their patch and straight in to your stomach. There is nothing that tastes better! For the best success, a vegetable garden should be well planned out in advance. The site location is of the utmost importance and a spot near your house in full sunlight is the normally the most convenient spot – however as Samui and Phangan are lucky enough to get a lot of sunshine – you need to consider what vegetables you will grow as sometimes too much sunshine can be a hindrance rather than a help. Drainage and soil quality are also key factors in producing a healthy vegetable garden, along with at least six hours of full sun each day in order for your food crops to mature properly. No amount of fertilizer, water, or care can replace needed sunshine and we have plenty on the islands! The soil should be very fertile and well draining so that water never puddles after a rain storm and while good air movement around a garden is important, windy areas should be avoided because winds can dry out or break plants. Usually, the garden should be surrounded by a sufficiently high fence with close mesh to keep out dogs and other animals and can also serve as a trellis for beans, peas, tomato plants and other crops that need support. Lastly, choose a spot close to a water supply for convenience, and to avoid having to traipse long lengths of hose around your garden which inevitably will get all tangled up and cause a nuisance! Next step is choosing which vegetables you wish to grow – the fun part! Obviously this will come down to taste and what you like to eat, but you will need to keep in mind that not all vegetables will grow well in such a hot climate and various vegetables need to be planted at specific times of the year - so do your research online and find out what best suits both your needs and the season.

Most vegetables benefit from an inch or more water each week, especially when they are fruiting. • Mulching between the rows will help to control weeds, conserve moisture in the soil, and provide you with pathways to access your plants. Black plastic may be used, or you can utilize grass clippings, straw, wood chips, or garden debris. • Throughout the growing season be vigilante against insect pests. Discovering a bug problem early will make it much easier to take appropriate action and eliminate the pests. Use natural solutions to keep pests to a minimum. • Weeds rob your vegetables of water, light and root space. Keep them pulled out regularly (try to get the entire root) and the job isn't too bad. If they are allowed to go to seed, you may be dealing with thousands of weeds instead of a few. • Once you have harvested your crop, put the spent plant and other vegetable matter into your compost pile so that it can be recycled into your garden again! Lastly, ENJOY! When your vegetables are ready to be eaten, savour the taste....you will be able to distinguish the difference in flavour to that of supermarket vegetables and most importantly..... the taste of success!
Once you've decided on your vegetables, it's time to get planting. Read up on each of the vegetables you have chosen to plant and find out how much space they need, if they need a stake in the ground to help them grow, or if they require planting in a bed and transplanting across to your garden at a later stage. Don't forget to establish your pathways early so that you won't be walking across areas which will be

MAKE THE MOST OF YOUR RUBBISH What we buy, what we use, what we keep and throw away makes up the fabric of our daily lives. The smallest of personal efforts can help reduce our impact on planet earth and composting is a great place to start... Only fifty or so years ago, not much was being thrown away. Almost everything had a considerably longer life span than that ubiquitous plastic bag holding our groceries has today. What led us to this place of having and wanting so much stuff? Stuff that we literally don't know what to do with or where to put when we're done with it..... We live in a society that is consumer-oriented and a sea of stuff flows in and out of our lives with such speed we hardly realise the global impact attached to each and every item we buy. We can make a difference with very little effort – and our rubbish is the perfect place to start. Composting has been around for quite some time and there's more to it that chicken poo and hay!
Compost has an endless list of benefits including: • Recycles kitchen and yard waste - Composting can divert as much as 30% of household waste away from the rubbish bin. • Soil conditioner - With compost, you are creating rich humus for your tropical lawn and garden. This adds nutrients to your plants and helps retain moisture in the soil. • Introduces beneficial organisms to the soil Microscopic organisms in compost help aerate the

soil, break down organic material for plant use and ward off plant disease. • Good for the environment - Composting offers a natural alternative to chemical fertilizers. • Reduces landfill waste - Most landfills in Thailand are quickly filling up; with one-third of landfill waste being made up of compostable materials. So, how can you create your own compost? It's so easy and once you get the hang of it, you won't believe you haven't been doing it before!
First, you need to create your actual compost bin. Plastic storage bins are available just about everywhere – Tesco, Home Pro etc. The bigger the storage bin is, the better. The bin you decide to use for composting should really be no smaller than 70 litres and have a lid. You need to have air circulating around your compost to help it decompose faster so to manage this in a plastic bin, you will have to drill holes in the bin spacing them four or five centimetres apart, on all sides, bottom, and lid. DONE! Your compost bin is ready!

Start your compost pile on bare earth - Place your bin, lid side up somewhere outside in your garden on dirt. This allows worms and other beneficial organisms to aerate the compost and be transported to your garden beds. Lay twigs or straw first, a few inches deep - This aids drainage and helps aerate the pile. Add compost materials in layers, alternating moist and dry. Use moist ingredients such as tea bags, fruit skins and tea bags. Dry materials are straw, leaves, sawdust and dry food scraps like eggshells and bread. Do not compost meat, bones or fish scraps they will only attract pests! Add manure – Chicken droppings, buffalo droppings (and there are plenty in Samui and Phangan!) or any nitrogen source. This activates the compost pile and speeds the process along. Keep compost moist - Water occasionally, or let rain do the job. Cover with anything you have - wood, plastic sheeting, carpet scraps. Covering helps retain moisture and heat, two essentials for compost. Covering also prevents the compost from being overwatered by rain. The compost should be moist, but not soaked through. Turn - Every few weeks give the pile a quick turn with a pitchfork or shovel. This aerates the pile. Oxygen is required for the process to work, and turning "adds" oxygen.

Let your compost settle for the first two weeks. After this, turn your compost heap weekly or every second week and it should take 8-10 weeks to produce good compost that is ready to use! Now you have your own chemical free, environmentally friendly, ready-to-use fertiliser to lay on grass to help it grow and plants or vegetables in your garden and you've reduced your household waste. And impact on the planet. Now, don't you feel better?!

Koh Samui’s enduring appeal as one of the world’s top holiday destinations has inspired many people to relocate to the island, either choosing to make it their permanent home or spending extended amounts of time living what those in less blessed locations would understandably consider an idyllic lifestyle. In the last ten years, the island has developed into a full service destination and the range of facilities, amenities and services has therefore expanded considerably, making Samui one of very few places in the world where you can literally choose your preferences, both in terms of the way you pass your days and nights and also the amount of money you want to spend. Although the island’s tourist and residential worlds often collide, they can also be very distinctive. But in terms of choice, both groups benefit from the island’s incredibly diverse and eclectic offerings, whether in terms of accommodation, retail, dining, entertainment, health or adventure. As a long term resident on Samui, if you stop to consider the sheer

The Samui party scene has also developed in leaps and bounds in the last few years, sophisticated Beach Clubs like Beach republic and Nikki Beach
serve top class food and beverage choices in chic poolside surroundings. They also host regular parties with international DJs and performers. Western style pubs and nightclubs line the popular tourist strips, with sports bars like The Islander and Bondi in Chaweng showing live international sporting events. Those in search of a more healthy, green lifestyle on Samui can easily avoid the tourist bustle. The quiet beaches on the island’s south coast still feel relatively untouched by development and many small residential communities have emerged in places like Baan taling Ngam and Lip Noi, where the pace of life is slow and the tropical landscape still untroubled by crowds and commerce. Spas and wellness centres offer a wide range of treatments and therapies to rejuvenate tired souls, while yoga, meditation and other more spiritually inspired activities can be studied and practiced at various centres around the island. The island’s clubs and organisations often organise family friendly gatherings, regular Walking Streets offer festival style outings and there are also several restaurants that cater for children’s parties. With so much on offer to residents, Samui has now become as much a place to live as it is a place to visit. REAL ESTATE OF KOH PHANGAN Koh Phangan’s real estate sector has grown as the island has developed and become more popular with visitors from around the world. Investment opportunities abound, whether it is raw beach and mountain land, off plan residential purchases or completed luxury villas for sale. Prices are considerably lower than they are on Koh Samui, which often attracts adventurous investors looking for an affordable slice of paradise. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land. The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.
LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company. However, if foreign nationals hold more than 49% of the shares, your company is a foreign company.

The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to coinvest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement.
