Know What You’re Getting Into The Importance of Due Diligence

R

eal estate investors in Koh Samui and Koh Phangan are presented with many enticing opportunities, which is clearly evident to anyone flipping through the pages of this very magazine. As with any investment, choosing the right opportunity is about assessing and weighing the risks against the potential benefits. Knowing and mitigating the risks associated with a particular real estate investment can be assisted through detailed land title due diligence investigations, which should include enquiries into the land title history, legal access rights, and zoning restrictions, amongst other matters. “Where did the title come from”

Under Thai law, there are many different forms of title and each form of title provides a different level of security for your investment. Three commonly cited titles are (a) the Notification of Land Possession (Sor Kor 1), (b) the Certificate of Land Utilization (Nor Sor 3 or Nor Sor 3 Kor), and the (c) Land Title Deed (Chanote). The Notification of Land Possession is the least secure form of title of the three cited and is simply an official notification that a particular individual is legally in possession of a portion of land. The Certificate of Land Utilization is a more secure form of title that provides the title holder with a right to utilize the underlying land (which is still technically owned by the State) and this title is relied upon as valid security for loans by reputable financial institutions. Finally, the most superior form of title is the Land Title Deed or “Chanote”, which represents freehold ownership of land. However, having “Chanote” title does not necessarily mean that the title is good, nor does the existence of a number of previous owners/ transactions. In Thailand, title is not state guaranteed and consequently it is possible for a “Chanote” title to be issued, notwithstanding that the mandated procedures for upgrading previous title/issuing Chanote were not adhered to; and in some cases, Chanote title has been issued to persons in respect of land in which they had no prior interest, which is sometimes referred to as “flying title” in the media. Therefore a full title search should be undertaken, to determine the full history of the land title. If a land title lacks the appropriate history, or if irregularities appear in the title history, this could indicate simple administrative errors or alternatively, possible misfeasance in issuing the

title. Although in most cases the risk of a challenge to the title may be low, the possibility does exist and may be a factor in the investor’s decision. “How to get there” On first viewing the target property, investors may take for granted that they have the legal right to access the land. However, unless the road is specifically designated for public use, the road may be privately held and therefore the right to use the road may be subject to the consent of the road owner. Before investing in land, it is therefore essential to undertake enquiries to determine whether the land has is directly adjacent to a public road, and if not, whether the land benefits from a registered servitude, granting full legal rights of access, including the right to bring electricity and water to the land. For the avoidance of any doubt, the access rights should be registered as opposed to contractual. “What can be built here?” Another reason every investor should consider conducting due diligence is to determine whether the proposed or existing construction is permitted on the land. In Koh Samui and Koh Phangan, land is subject to zoning restrictions that limit the type of use, size, and scope of any construction. In order to accurately determine the zoning restrictions, an aerial survey of the land should be undertaken to confirm which zone the land is located within, as the rules applicable to the zone will dictate what exactly can be built on the land. These rules should be cross-checked against the plans and construction permits, and in the case of existing structures, should be cross-checked against what is in fact built on the land. This article is intended to provide a brief overview of some of the due diligence issues that can relate to land investments in Thailand, and is not intended to be exhaustive. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan. Litter Deliberately or accidentally litter finds its way into our waterways causing harm to the health of wildlife and humans. Painting it Perfect Part 1 116

Painting a room can be a task that takes a couple of hours, a half day, or more. It all depends on what and how much you decide to paint. You can freshen up a room by giving a door or cabinet a new coat of paint in just a few hours. Or you can break it into smaller jobs and spread them out over a week or more. Whatever the size of the job you decide to tackle, the painting techniques remain the same. In this article, we’ll take you all the way through the process of painting a room. From prepping to cleaning up, we have the job -- and your room -- covered. We’ll start at square one, with how you should use your painting equipment.


Brushes When you embark on an interior painting job, you’ll soon discover how easy it is to use brushes and rollers competently. Even so, there are a few techniques that will help postpone fatigue and provide a neater job. The grip you use depends on the brush you’ve chosen. Trim and sash brushes with pencil handles are grasped much as you would a pencil, with the thumb and the first two fingers of the hand. This technique gives you excellent control for intricate painting. With beaver-tail handles on larger brushes, you’ll need a stronger grip because the brushes are wider and heavier. Hold the handle with the entire hand, letting the handle span the width of your palm as you would hold a tennis racket. This technique works best when you’re painting large, flat surfaces. The goal of loading a brush is to get as much paint on the wall as possible without dribbling it all over the floor and yourself in the process. It will take you only a few minutes to be able to gauge accurately how much paint your brush will hold along the way. Meanwhile, start the job by dampening the bristles of the brush (with water for latex or the appropriate thinner for other types of paint) to condition them and make them more efficient. Remove excess moisture by gently striking the metal band around the handle’s base against the edge of your palm and into a sink or bucket. Never dip a brush more than about one-third the length of the bristles into the paint. If you do, the brush will become next to impossible to clean. With the first dip, move the brush around a bit in the paint to open the bristles and let the brush fill completely. It will be easier to pick up a full load if you jab the brush gently into the paint with each dip. With most latex paints, you can simply dip the brush and let the excess drip off for a few seconds before moving the brush to the wall. With thinner coatings, however, you may have to gently slap the brush against the inside of the paint can or lightly drag it across the inside edge of the lip to remove excess paint. To neatly paint up to a line where two edges or colors meet, called “cutting in,” use a trim brush with beveled bristles (the end of the brush resembles a chisel). Paint five or six strokes perpendicular to the edge of the ceiling or the wall. Next, smooth over these strokes with a single, long stroke, painting out from the corner first, then vertically. Where the wall and ceiling come together, use downward strokes on the wall first followed by smooth horizontal strokes. On the ceiling itself, cut in strokes toward the center of the room, away from the wall. Then paint a smooth horizontal stroke on the ceiling that follows the direction of the wall. Even if you’re using the same color of paint on adjoining surfaces, follow this method of cutting in with 2-inch-wide borders rather than just plopping a loaded brush directly into a corner. This will prevent drips, sags, and runs. Next issue we look at cutting in and how to select a roller that works for you.

Restrictive ownership laws in Thailand, however, mean buyers are advised to go through reputable law firms when considering any purchases on Koh Phangan. As is the case on Koh Samui or Phuket, it is important for anyone considering an investment to thoroughly research the laws and regulations, as well as to ensure that any land titles are thoroughly checked and that the most secure method of purchase is found to guarantee a trouble free, longterm investment. It is advisable to research construction firms employed to guarantee that their reputation is solid and that any previous projects have been successfully completed.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area.

STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
