Delicious Summer Refreshments While it’s true a glass of water is the best-known way to stay hydrated, there are plenty of alternative healthy options. if you can’t be bothered with bottled water try out some of our summer favorites. We’ve found you three super healthy and delicious alternatives just perfect to cool down with in our tropical heat. Strawberry Mint Soda 2 large limes, quartered 1/2 bunch mint leaves 7 strawberries, quartered 1 cup white sugar, sugar water or honey to taste 3 cups carbonated water procedure Squeeze the lime quarters into a sturdy glass pitcher. Toss the juiced limes into the pitcher along with the mint, strawberries, and sugar. Crush the fruits together to release the juices from the strawberries and the oil from the mint leaves. Stir in the club soda until the sugar/ honey has dissolved. Pour into the sugared glasses over ice cubes to serve and enjoy a delicious healthy summer refreshment. Pink Ginger Lemonade 2 tbsp. fresh raspberries or strawberries 2 cups water ½ tsp ginger, minced 1 lime or lemon freshly squeezed 1 pinch sea salt 1 tbsp. honey Procedure: Soak berries for 4-8 hours in 2 cups of pure or filtered water (with ginger). Place all ingredients in a blender and blend on high until smooth. Citrus Electrolyte Drink 1/2 cup fresh orange juice 1/4 cup fresh lemon juice 2 cups of drinking water or natural coconut water 2 tbsp. honey or maple syrup 1/8 tsp Himalayan Pink salt or sea salt (Himalayan better – it has 84 trace minerals) Procedure: Add all the ingredients together in a blender. Enjoy a healthy summer drink with electrolytes. For an extra kick add some fresh mint top taste.

To be the least bit usable and comfortable every house or office in Thailand will need some sort of cooling for as good as the whole year. This comes in one form, large unsightly and expensive to run air conditioners. But with a little thought on the design you can build or modify your building to achieve comfort through passive (non-mechanical) cooling. As well as improving the quality of life inside it will make a large difference with your utility bill. Air movement Air movement is the most important element of passive cooling. It cools people by increasing evaporation and requires both breeze capture and fans for back-up in still conditions. It also cools buildings by carrying heat out of the building as warmed air and replacing it with cooler external air. Moving air also carries heat to mechanical cooling systems where it is removed by heat pumps and recirculated. This requires welldesigned openings (windows, doors and vents) and unrestricted breeze paths. Cool breezes Where the climate provides cooling breezes, maximising their flow through a home when cooling is required is an essential component of passive design. Unlike cool night air, these breezes tend to

occur in the late afternoon or early evening when cooling requirements usually peak. Coastal breezes are usually from an onshore direction. In mountainous or hilly areas, cool breezes often flow down slopes and valleys in late evening and early morning, as heat radiating to clear night skies cools the land mass and creates cool air currents. Evaporative cooling As water evaporates it draws large amounts of heat from surrounding air. Evaporation is therefore an effective passive cooling method. Pools, ponds and water features immediately outside windows or in courtyards can pre-cool air entering the house. Carefully located water features can create convective breezes. The surface area of water exposed to moving air is also important. Fountains, mist sprays and waterfalls can increase evaporation rates. Convective air movement The rule of convection: warm air rises and cool air falls. Stack ventilation, or convective air movement, relies on the increased buoyancy of warm air which rises to escape the building through high level outlets, drawing in lower level cool night air or cooler daytime air from shaded external areas or evaporative cooling ponds and fountains.
Solar chimneys Solar chimneys enhance stack ventilation by providing additional height and well-designed air passages that increase the air pressure differential. Warmed by solar radiation, chimneys heat the rising air and increase the difference in temperature between incoming and out-flowing air. Windows and shading Windows and shading are the most critical elements in passive cooling. They are the main source of heat gain, via direct radiation and conduction, and of cooling, via cross, stack and fan-drawn ventilation, cool breeze access and night purging. Low sun angles through east and west-facing windows increase heat gain, while South-facing windows transmit less heat in summer because the higher angles of incidence reflect more radiation. Air movement and ventilation Design to maximise beneficial cooling breezes by providing multiple flow paths and minimising potential barriers; single depth rooms are ideal.
Because breezes come from many directions and can be deflected or diverted, orientation to breeze direction is less important than the actual design of windows and openings to collect and direct breezes within and through the home. Wind doesn’t blow through a building — it is sucked towards areas of lower air pressure. To draw the breeze through, use larger openings on the leeward (low pressure or downwind) side of the house and smaller openings on the breeze or windward (high pressure or upwind) side. Openings near the centre of the high-pressure zone are more effective because pressure is highest near the centre of the windward wall and diminishes toward the edges as the wind finds other ways to move around the building. Consider installing a louvre window above doors to let breezes pass through the building while maintaining privacy and security. Consider placing similar panels above head height in internal walls to allow crossventilation to move the hottest air. Position windows (vertically and horizontally) to direct airflow to the area where occupants spend most time (e.g. dining table, lounge or bed). Use fins to direct airflow.

Design and locate planting, fences and outbuildings to funnel breezes into and through the building, filter stronger winds and exclude adverse hot winds. Insulation Insulation is critical to passive cooling — particularly to the roof and floor. Windows are often left open to take advantage of natural cooling and walls are easily shaded; roofs, however, are difficult to shade, and floors are a source of constant heat gain through conduction and convection, with only limited cooling contribution to offset it. Use multiple layers of reflective foil insulation in the roof instead of bulk insulation to reduce radiant daytime heat gains while maximising night-time heat loss through conduction and convection. This is known as the one-way insulation valve. Want to go one better buy a few of the electrolyte powder packs from the local supermarket or pharmacy. Just add to cold iced water and stir well. Drinking from this mixture instead of straight water or sugary lemonade is a much better way to stay truly hydrated.
Eat Your Water
Having a cold bowl of fruit waiting for you after a long day in the garden is a great way to hydrate and cool down. Watermelon is an obvious choice for a delicious and refreshing snack. Of course, you can also add Thai Rose Apples, Rambutan and Mangoes to your list of hydrating foods that will provide you with some instant relief. Tip: You can also add any of these foods to a water pitcher for a fresh, hydrating beverage. And you can eat up the fruits once you've drunk all the water.
Do a Little DIY to Keep Cool
Applying something cool behind your neck or around your wrist will drastically cool down your body. For a do-it-yourself cooling mechanism, wrap a gel ice pack in a bandana and loosely tie it around your neck, placing the part with the ice pack on the back of your neck. You could also create a smaller version of the same thing around your wrists.
Keep Covered Up
One of the most important, SUNSCREEN SUNSCREEN and don’t forget sunscreen. Remember if you’re working hard and sweating it could be taking off the sunscreen quicker than you expect. The skin is your barrier between your internal organs and the elements. Applying sunscreen or wearing loose, lightweight long sleeves will keep your body at a lower temperature, as you avoid direct contact with UV rays. This simple but easily ignored method will help you ward off sunburn, heat stroke and exhaustion.
Go for a Swim
What better way to finish a day of gardening than by taking a refreshing dip in the water? If you have your own or access to a local swimming pool, make it a tradition to finish every day of summer garden chores with a swim! This is a training method of sorts. Get some work done and reward yourself afterward. You're more likely to go out again the next week because you associate the task with the reward of a relaxing swim. Any solution to a problem that involves swimming is a good one. There's no reason to stay out of the garden during these hot days. Key Issues for Investors to Consider When Purchasing a Re-Sale Property in Koh Samui or Koh Phangan The real estate sector of Koh Samui and Koh Phangan is very much geared towards off- plan and newly built second homes due to the fact that property developers invest huge sums into marketing their projects. However, thumb through any real estate magazine, including this very publication, and the reader will see extensive listings of second hand or re-sale properties which are being offered for sale by private owners looking to sell their property. As the property market matures (particularly in Koh Samui) investors are finding their target property on the re-sale market and are closing deals with private owners in order to acquire their dream home. The good news is that acquiring a re-sale property can be less risky than “off-plan” transactions because the risk of the developer becoming insolvent and being unable to complete the construction of the property is ruled out. However, there are other risks that investors need to be aware of. The following article examines some of the key issues to be addressed by investors who choose to acquire a re-sale property in Koh Samui or Koh Phangnan. The first step for any foreign investor is to understand the laws of Thailand which regulate and in some cases prohibit the ownership of property by foreigners. Potential investors must be aware that foreigners are prohibited from owning freehold land in Thailand and whilst long term leases (of no more than 30 years) to foreigners are permitted, there are still limitations and risks that need to be considered. Furthermore, it is important to understand the risks which occur upon selling the property in the future, such as downturns in the property market and currency risks. It may be the case that the exchange rate between the Thai Baht and the investors

home currency have changed significantly over the course of the investment term; and even though the investor may make a profit upon a future sale of the property, that profit may become a significant loss due to adverse exchange rates upon repatriation of the proceeds of sale. Prospective investors should beware that he or she buys at their own risk and should therefore undertake a detailed and independent investigation into all aspects of the property prior to paying any portion of the purchase price to the seller. The scope of such investigations will depend upon the precise nature of the property but all investigations should include: A title investigation to establish that the Seller is the legal owner of the property and that the title to the property has been legally issued in accordance with the laws of Thailand and has full legal rights of access; An investigation to establish whether or not the property has been built in accordance with local building and environmental regulations; A structural survey to ensure the structural integrity of the property and to ascertain whether or not any major repairs are required; The physical testing of the facilities at the property such as the swimming pool pump and filter and air conditioning units to ensure that they are in full working order. Any defects, inconsistencies or concerns which are revealed by such investigations should be put to the seller in writing and the seller should provide further written information or documentation to satisfy the concerns of the prospective investor. Where appropriate, such information and documentation should be independently verified. It may be appropriate in certain circumstances for the seller to provide contractual assurances with regards to matters or consider a reduction in the purchase price of the property to reflect corrective actions to be undertaken by the purchaser after acquiring the property. A prospective investor may find that the seller does not own the property in their own name but through the ownership of shares in a limited company which owns the property. Such transactions will often involve the sale of the shares in the company to the investor rather than the sale of the property itself. In share transactions, in addition to the above investigations, the investor should also carry out detailed investigations into the company to ensure (amongst other matters) that the company is correctly formed and validly exists, has paid its taxes, has no outstanding liabilities and is the legal owner of the interest in property.

The sale and purchase agreement should set out clearly the main terms of the agreement between the seller and investor including the purchase price, payment terms, completion date and the consequences of a breach of the agreement by either party. There will be a number of transfer and registration fees and taxes to be paid upon the legal transfer of the property to the buyer. The sale and purchase agreement should set out in detail who shall be responsible for the payment such fees and taxes as such fees and taxes can represent a significant cost to factor into the transaction. In transactions which involve the sale of property in managed developments, the terms of the agreement between the developer and the original buyer may require the seller, investor and developer to enter into a “Novation� agreement under the terms of which the buyer agrees to abide by all of the agreements signed by the original buyer. In such transactions, the buyer should ensure that they are fully aware of the terms and conditions of the original sales contracts, management agreement, rules and regulations and in certain circumstances the rental agreement as they will be obliged to abide by the terms of these agreements notwithstanding the fact that they were not an original party to the original agreements. This article sets out some of the main issues which should be addressed by investors who elect to acquire a re-sale property in Thailand. Comprehensive due diligence into all aspects of the property (and company in share transactions) and a comprehensive sale and purchase agreement can provide assurance to an investor who may not be familiar with real estate transactions and investments in Thailand. Location – Is the villa built within an area where restrictions or existing forestry land may have been encroached or, was it previously considered as national park area. A DSI Map that highlights areas of possible encroachment is available on the public domain to review & help provide a little extra caution. A lender will almost certainly take into account if considering finance, on a property.

Condition of Property – Is the property or village well maintained and looked after? Signs of a well maintained property and village is often more sought after and liquidable, which makes in turn more attractive to the lender and particularly when presenting a slideshow of the villa to a panel of the lender, nice photos are more easier on the eye and visually appealing.

Thai Company Ownership with Mortgage terms – Will the property be owned in a Thai company name or a Thai individual name? A Thai individual name with a co-borrower/guarantor is far easier to lend than on a Thai company. Although both can be financed easily if the property is “decent”, it is more around the document requirements and signatories required to sign. A Thai company perhaps may have a true owner of the company on the shareholder list and this will likely be the main borrower therefore have to sign in their own name as the co/borrower/ guarantor. They could not therefore sign also, on behalf of the Thai company since would represent a conflict of interest and would need to find another person to sign a loan agreement on behalf of the Thai company. If Kai Faak, this extra requirement is not needed though Mortgage will almost certainly be required.
As a Villa often comes with more maintenance in case of default (as opposed to a condo), this is often reflected in terms offered to finance the property. Typically, a lender may first prefer a Kai Faak registration rather than Mortgage, which means the ownership is transferred to the lender from day 1, rather than simply registering a debt on the back of chanote as Mortgage. This will speed up liquidity in case of default since the lender will already own the property rather than having to go through a lengthy legal process. Up to 60% loan to value may therefore be available under Kai Faak terms or down to 40% loan to value on Mortgage. The big benefit to the borrower for Mortgage is a possible large saving on the property transfer fees and taxes payable to the land office. A Mortgage registration will likely incur only 1.00% land office fee on the loan amount however, a Kai Faak registration may incur around 6.3% and payable on the land office assessed value of the property, not the loan amount in order to transfer the property to the lender. If you do not already own the property, than this
6.3% element could be payable twice as will need to be transferred into the buyers name first before than transferring straight to the lender. It is likely not possible to Kai Faak straight to the lender (unless the existing owner is borrowing), which would of course save at-least some of the transfer fees. The good news is that lenders may offer up to 10 years term on Mortgage registration and with a final 50% balloon payment option to allow a lower installment during the initial 10 years, yet flexibility to roll for a further 10 years at the end of term. In a way, thus securing a 20 years loan on a 10 years renewal basis. Pre-payment is usually available at any point, even as early as the day after Mortgage if really required, though would incur around 2.00% penalty if paid off in less than 3 years. Kai Faak registration is usually on a 1 year, renewal basis for up to 3 years term maximum and again comes with a penalty of 2.00% for early pay off. Benchmark lending rates in Thailand start from 6-7% and with a lender appetite to lend on villa’s being a little less than a condo, it does come with slightly higher interest margin than one might expect and the end result being around 12% interest per annum. Other fees likely payable to set up a villa loan would include a valuation cost, inspection, fire and life insurance along with stamp duty. Samui is a busy island and people like Olivier are positively and actively promoting Samui, with business initiative and interests in many enterprises around the island and we wanted to find out a little more about this interesting gentleman. Welcome Olivier, for the start could you tell our readers a little bit about yourself and where you come from?
If there was something you could change on Samui what would it be?
I am French, after my studies in Montpellier in the South of France, when I was 24 I decided to create my own company with a rental and real estate business. My dream was to leave my country for a sunny island. Finally, when I was 45 I accomplished my dream and passion and I came to Koh Samui. For 20 years, I had been working very hard to follow my vision and it was during this time, I was discovering all the skills in real estate.
I would change the system of the waste disposal and treatment.
What brought you to our beautiful island and more importantly what made you stay?
I can’t think you have much spare time but when you do what do you do with it?
When I was 40 years old I started to travel around the world and fortunately, I came to this awesome island, and decided that is a good place for retirement. But, after 6 months of holiday the time became too long to exclusively go to the beach and relax. That is when I decided to set up a company, and do my favourite occupation; in real estate and construction.
Tonight, you are going out to dinner at your favourite restaurant, where do you go and what would you eat?
Are you here alone or with family?
I came with my wife and my son. You have many business interests in Samui! Could you please tell us about them?
Yes, after 3 years in Samui I have covered all aspects of real estate through my real estate company “Properties Samui”, with my team we take care of - Project development - Construction - Villa rental and management - and more…. And we also provide our clients a full service with 100% satisfaction. What has been your most challenging and maybe your most rewarding business?
The most challenging part was to understand the Thai business tradition and to know who are the serious companies to deal with and trust. Because when you work in real estate and construction you need to be sure to have the ability to secure your project until the end. Samui seems to be evolving increasing rapidly! Where do you see Samui going in the future?
Actually, the government appears to be interested in increasing the holiday standard quality, every day the infrastructure is getting better and better (electricity and water supply). Then the people who have money to invest in holiday or business will be tempted by this paradise.
What do you think is Samui’s greatest asset?
On top of the lovely Thai people, the flavourful Thai food, and the great climate, the most important thing for the foreigners is that you can find everything you need on the island: European supermarkets, a wide range of foreign restaurants, French bakeries, and more….
You are right, I am very busy and I have not a lot of time for leisure outside of work but when I take a little time, I share it between beaches, restaurants, or a little trip to one of the fantastic neighbouring countries.
It depends on my wife where and what kind of food she would like to eat. And for Thai food we have many choices but we do like to go to our favourite restaurant in Fisherman’s Village, for French food we like to go to Le Cochon qui Fume Restaurant. What is your favourite location on Samui?
Maenam is my favourite location because this area is very quiet, the beach is beautiful with white sand, which is very close to where we live as well. What does Samui hold for your future? Do you have some plans?
There are so many opportunities in Samui, every day we work to reinforce our brand and the activities of “Properties Samui”, we always make sure our clients are 100% satisfied. Take the scenic drive between Chaweng and Lamai and the views of the mountains and over the crystal blue water of the Gulf of Thailand are nothing less than amazing. The first is only eight meters with a large variation of routes for beginner or advanced rock climbers that will take you to the top. You might think only eight meters is a simple climb and yes taking the starter routes will allow for those of us just trying out this sport to gain experience and confidence. But even on the eight meter climb there are routes that will attest even more experienced climbers. And for those that want to take it to a level further well the 40-meter wall is waiting, which although is a more standard climb you will find is just a little more intimidating from the height. Reaching the top, you will have a breath-taking view of the Samui’s nature and scenery. Rock Climbing will never get boring it offers up the ultimate physical challenge. Each day you climb is an opportunity for you to challenge yourself and go beyond what you could previously do. You can push your limits each day you climb. It gives a different sense of adventure and freedom. At Samui’s climbing wall you will have the opportunity for rock climbing and rappelling on both the 8 and 40 meters’ walls. People can come for a session of both or the rock climbing only. Most climbers start this sport because of the great feeling they get when climbing. Also, with this sport, you can go wherever you want, whenever you want. These are just a few of the great reasons that people go rock climbing. There are so many amazing health benefits to climbing, as well as mental benefits. If you like adventure, you should really give climbing a try. There are a lot of great people you can get to know by getting into this sport as well. So, don't let your fears stop you from trying this amazing sport. Once you have done it, you will know why people climb and why so many are addicted. สาเหตุหลักของไฟป่าภาคเหนือทีเ่ กิดขึน้ ในปัจจุบนั นัน้ เกิดขึน้ มาจากการเผาเพือ่ การเกษตร เชิงเดีย่ วและอุตสาหกรรม กระบวนการทำ�แนวกันไฟของเครือข่ายกลุม่ อนุรกั ษ์ลมุ่ แม่น�ำ้ ปิง คือการทำ�แนวกัน้ ระหว่างผืนป่าเขตรักษาพันธุส์ ตั ว์ปา่ เชียงดาว และแนวป่าใกล้ชมุ ชน โดยจะ ทำ�ต่อเนือ่ งทุก 2-3 เดือน เพือ่ ขจัดเชือ้ เพลิงทีเ่ กิดขึน้ ในแนวกันไฟ ถือเป็นกิจกรรมทีส่ ร้างการ มีสว่ นร่วมของภาคประชาชน ทัง้ การร่วมกันทำ�แนวกันไฟของชุมชน พระสงฆ์ เกษตรกรใน รอบบริเวณป่า เจ้าหน้าทีป่ า่ ไม้ รวมถึงประชาชนทัง้ จากจังหวัดเชียงใหม่และทีอ่ ยูห่ า่ งไกลออก ไปในจังหวัดต่าง ๆ แม้กระทัง่ กรุงเทพฯ "แนวกันไฟเมือ่ ก่อนจะทำ�ไม่มากนัก เป็นรอบบริเวณวัด รอบชุมชน บ้านใครบ้านมัน แต่สห่ี า้ ปีให้หลังไฟป่ารุนแรง รุกราน ขยายไปในวงกว้าง จึงเกิดการขอความช่วยเหลือ ทัง้ ทางเจ้า หน้าทีป่ า่ ไม้ และชาวบ้าน ทำ�ให้เกิดความร่วมมือ ทำ�ให้เกิดความคิดว่าป้องกันไว้นา่ จะดีกว่า ไม่ ให้ไฟป่ารุกราน และภายหลังพบว่ามีประสิทธิภาพ จึงขยายการทำ�แนวกันไฟมาเรือ่ ยๆ" คุณ นิคม พุทธา กล่าว "ไฟจะมาจากป่า วนรอบวัด ไหม้ซ�ำ้ แล้วซ้�ำ อีกในเดือนเมษา พระในพืน้ ที่ ต้องช่วยเฝ้าระวัง ร่วมกับเจ้าหน้าทีป่ า่ ไม้ แนวกันไฟได้ผลจริง ไฟมาหยุดตรงแนวกันไฟ และ มีรอ่ งรอยของเลียงผา เก้ง หมูปา่ ทีม่ าหลบในพืน้ ทีส่ ว่ นนีห้ ลังไฟไหม้" เช้าวันที่ 4 มีนาคม 2560 ผูค้ นกว่า 200 คนมารวมตัวกันทีว่ ดั ถ้�ำ ผาปล่อง อำ�เภอเชียงดาว อาสาสมัครจากที่ต่าง ๆ เหล่านี้ไม่ได้มีความรู้ความเชี่ยวชาญในการทำ�แนวกันไฟมากนัก แต่กต็ า่ งต้องการเป็นส่วนหนึง่ ของการแก้ปญ ั หา โดยหนึง่ ในนัน้ คืออาสาสมัครจากกรีนพีซ จำ�นวน 10 คน ที่สมัครเข้ามาทำ�แนวกันไฟร่วมกับเครือข่ายกลุ่มอนุรักษ์ล่มุ แม่นำ�้ ปิงโดย เฉพาะ เนือ่ งจากคำ�นึงถึงผลกระทบทีเ่ กิดขึน้ จากไฟป่าและหมอกควันพิษ

Steven Buchet, is 31 years old, from Brussels in Belgium. Three months ago, Steven was approached by Koh Samui Beach Boot Camp and Beach Clean Up, they were asking if he would be interested in being a trainer for clean the beach boot camp. Steven didn't hesitate for one second and accepted the challenge, he was so enthusiastic that he even wanted to do even more than just being the trainer so he started to look for sponsorships to help make this event even bigger.

Bangkok Airways (BA) announces operating results for the first quarter of 2017 Bangkok Airways Public Company Limited (BA) announces its operating results for the first quarter of 2017 which has achieved total revenue amounting to 7,469 million baht. The net profit was reported at 565 million baht and the average passenger load factor was 71.3 percent in this quarter. Mr. Puttipong Prasarttong-Osoth, President of Bangkok Airways Public Company Limited commented that, "In the first quarter of 2017, total revenue of the company was 7,469 million baht. The Net profit was reported at the amount of 565 million baht in which the profit attributable to the equity holder of the company was 548.4 million baht, earnings per share equal to 0.26 baht. In this quarter, company’s passenger yield per RPK was 4.91 Baht while the growth in number of passengers rose by 2.7 percent. Furthermore, the airport-related businesses of the company including catering services and ground services, overall performance positively grew from the same period of 2016 by 11.9 percent which was mainly derived from 14.4 growths in revenue of Bangkok Air Catering (BAC) when compared to the first quarter of 2016. The increased revenue was derived from additional airline customers. For ground services, the revenue grew by 10.4 percent while the number of flights grew by 9.7 percent compared to the same period of 2016.” “Earlier this year, Bangkok Airways launched its non-stop flight service between Samui and Guangzhou (China) with 7 flights per week. Buddhist Monks realised Koh Phangan's tranquillity and spiritual importance and subsequently settled in Wat Phu Khao Noi just outside of the main town of Thong Sala as one of the first temples on the island. Within an area of approximately 167km2 with over 70% being unspoilt mountainous and tropical forest many more temples are nestled coherently within the islands natural flora and fauna offering a feast for the eyes of all visitors. Koh Phangan being relatively undiscovered and undeveloped still has the postcard perfect secluded deserted beach coves awaiting discovery via the traditional mode of transport, the long tail boat or for the more intrepid explorer by hike. You truly feel that you are the first to leave a footprint! In that vein Koh Phangan's beauty is emerging as an attractive destination for weddings and events. Due to Koh Phangan's granite structure, there are several small mountains where it's possible to trek/hike. The highest being Khao Raa at over 600m above sea level taking 2-3 hours to realise the summit. There is a bounty of wildlife from monkeys, wild boar, exotic reptiles to stunning birds of paradise not forgetting the spectacular coral reefs that envelop the plentiful bays where the amazing underwater world is accessible for snorkelers and divers equally.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.
LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
