EDITOR'S LETTER Looking through the international newspapers this morning it really dawned on me how fortunate some of us are to live permanently or semi permanently in such a beautiful part of the world. Sometimes after spending so much time here it becomes a normality to feel the wonderful tropical warmth, sit at the beach and watch the clear blue water ebbing on crystal white sand or relax in your garden between amazing lush foliage. Yes, I know it’s not always perfect and there are still some factors we should be aware of but really it is damn close. My train of thought moved away from the comforts of Asian living to my personal life and job as editor. Seems I get to meet nearly everyone that comes to Samui and would like to do business. OK not everyone is my cup of tea but I meet some of the coolest people from all over the world. Most projects I get to see even if they are in the design phase or selling off-plan like one of the freshest and very interesting on the island “Skypia Samui”. I see small homes and luxury villas all the time and it takes quite a lot to really impress me. But a few weeks ago I was shown “Baan Puri”, at Lipa Noi, Koh Samui, an incredible lavish villa managed by one of our long term friends and clients “Luxury Villas and Homes”. I’m not going to say more about it here, you can read on inside and be amazed. I hope you all enjoy reading this edition as much as I and our great team have loved putting it together. If you are reading this somehow someway our tropical islands have caught your attention and we are all very blessed to be part for however long of this stunning location.

Important Issues to Consider to Reduce the Risk in Buying “Off-Plan” Real Estate Projects in Koh Samui or Koh Phangnan Many buyers of new projects in Koh Samui and Koh Phangnan elect to invest in “off-plan” residential real estate projects. In other words, buying a property that has not been built yet based upon plans and designs of what will actually be built. The main advantage of investing in “off-plan” projects is that the price of the property can be significantly less than the value of the same property once it has been fully constructed. In addition, buyers may be provided with the opportunity to “customize” aspects of their property as construction progresses. Despite these advantages, there can be some financial risks involved in buying a property “off-plan”, particularly if the developer does not have sufficient finance in place at the commencement of construction to finance the construction of the project. The good news for buyers

is that certain practical steps can be taken to minimize these risks of investing in “off-plan” properties. As a general step, prospective buyers should conduct detailed enquiries into the developer and the project before committing any money to it. The purpose of such enquiries is to establish (amongst other issues) the financial standing of the developer and their likely ability to deliver a high quality completed project. It is important to raise direct enquiries with the developer to establish how the construction of the project will be financed. Enquiries should be raised to establish whether or not construction finance has been secured from a lending institution and on what terms funds will be released to the developer.


Buyers should research any other residential projects that the developer has completed in Thailand by conducting investigations through the internet and other sources and actually visiting the project. Independent enquiries may also be made of the developer to establish what projects the developer has undertaken in other countries.

The sales contract should also require the developer to pay penalties or allow the buyer to terminate the sales contract and receive a full refund of monies paid in the event that construction of the property and communal areas are not completed by a stipulated date, unless an event occurs outside of the developer’s control which causes the delay.

An independent lawyer should be appointed to undertake due diligence into the land title in order to establish that the developer is the legal owner of the project land and that the title to the property has been legally issued in accordance with the laws of Thailand and has full legal rights of access. Further checks should be made through the legal representative to establish whether or not a valid building/construction permit has been issued in relation to the project. Furthermore, it is important for the appointed legal representative to establish whether or not a suitable insurance policy is in place to cover risks during the construction of the project. Buyers should be aware that if the project is not insured properly, there is a risk that the investor will lose their investment in the event of serious damage being sustained to the property or project.

In certain circumstances, prospective buyers could petition the developer to register a lease over the buyer’s land plot in favour of the investor as soon as instalments of the purchase price commensurate to the value of the land plot have been paid to the developer. In this scenario, in the event that the project fails, the investor will at least have a legal interest in the land plot for their money. Buyers should be aware, however, that most developers will be reluctant to agree to the registration of a lease over the land plot in favour of the buyer because the developer’s rights will be undermined in the event that the investor reneges on future payment instalments. This option will not be available to buyers in “off plan” condominium projects and apartment projects because transfer of the unit will not be possible until substantial completion of the project.

The effective negotiation of the terms of the sales contract can assist the investor to reduce the risk in “off-plan” transactions. The contractual payment terms in the sales contract should link purchase price payment instalments to construction milestones so that payments are made as construction progresses. Investors should avoid payment terms which require a large “up-front” payment of, say, 70% of the agreed purchase price before construction commences and instead should seek to negotiate payment terms which allow the investor to make smaller purchase price instalments during the earlier stages of construction with a large final payment upon completion and handover of the property.

It is clear that there are some fantastic “off-plan” investment opportunities on offer in Koh Samui and Koh Phangnan the various measures set out above will assist investors to reap the rewards of investing in “offplan” properties whilst minimising the potential risks.

It is important to verify that the construction stage which triggers each payment instalment has been duly reached by the developer before the next payment instalment is made. Buyers should appoint a surveyor to inspect the progress of construction at each construction stage to ensure that the construction has been undertaken correctly and in accordance with recognized building practices. At the very least, buyers should inspect the project themselves or request clear digital photographs evidencing that the completion stage that triggers payment has been reached before handing over the next payment instalment.

Off-Plan Condo Finance in Thailand Living on a Tropical Island in the Gulf of Thailand is more than paradise for many of the 70,000 (est.) who live here. Whether it is the quiet Island life or, simply the palm tree soaked coconut shores, it is often considered an epitome of paradise. After living on a relatively small island for an extended period of time, there may however come a time, when that “Island Feeling” sinks in and than at the same time, that “Island Getaway” is needed, even if just to bring a reality check on life. A marketing trip up to the Thai capital Bangkok, which may facilitate interest in the local Samui business, which in turn helps to maintain that lifestyle one maybe accustomed too on our paradise island, is that regular trip away or the norm, for many. It is this market, of regular island flyers that often look to purchase a weekend getaway condo, or business residence during the week, away from the island and for this, a finance option could be useful. Let’s consider an islander expat who owns a business, a sizeable pool villa as the family home and regularly travels away from the island on business to other provinces, staying in luxury hotels. This type of island flyer has a reasonable expenses budget, may often be subject to numerous condo flyers promoting offers to purchase around the kingdom and sometimes may partake in an acquisition. Popular places of interest for condo getaways tend to be Hua Hin for golfing weekends & Bangkok for business, with the occasional party weekend in Pattaya. The rationale to consider a Condo is simply due to the requirement of being for second use only and not as a primary residence. Bangkok has far more Condo in prime BTS transport location than it does luxury villa,

Hua Hin & Pattaya now also feature much resort style condo’s many would consider of a similar standard to that of a hotel, with massive lagoon style pools and waterslides. So either example is perfect for that quick access to the City or that relaxing family weekend away by the Golf course. On occasions, off-plan projects are tempting particularly since the price Sq.m. is reasonably low and comes with a monthly installment. The only catch with off-plan projects tends to be that finance is not readily available until the project is completed so a reasonable level of financial commitment is required. Why would a lender confirm that finance is available for several million baht if the condo is not yet even off the ground... A lender is likely to prefer waiting until near completion when condo titles are imminent, with completed show units available for inspection and to understand how the project will have its finishing touches. To see a finished, brand new project is far more appealing and likely to generate a higher loan to value ratio, than seeing a partly built project with only artist impressions of the finish. A typical off-plan condo purchase may require an expat buyer to pay 50% of the purchase price over construction (say 2 years) with a final payment of 50% upon completion. This is when the lender may typically step in, to foot the final payment on completion. It is worth to mention that for some developers “completion” is often when the occupancy permit has been granted and building is almost finished, where a lenders “completion” is often when not just the occupancy permit has been granted but also, condo chanote titles are available.


If considering an off-plan condo, it could be useful to understand how a lender may think in the present market and on how present lending criteria operates for completed projects. While a bank or financial institution couldn’t commit just yet to that final balance, an estimate could be used on what other projects are pre-approved for in the area, this can be used as a benchmark to plan budgets. Take for instance a map provided by one lender, which highlights all projects they have pre-approved for finance in Thailand and the amounts for which they can lend relatively easily over a 3-4 week timescale. While this map is by no means complete for every Condo in the kingdom, the lender does generally increase this list from month to month, as new clients and new projects are added. You may find that a lending amount per Sq.m. is provided to make things easy and would be no more than 60% of the lenders valuation in total for the final loan size. The lender will generally tend to lend more for prime (lenders opinion) units in the building so perhaps in a high rise, a floor close to the penthouse may offer up to 60% loan to value (LTV) while a low floor car park view may offer down to 30% LTV. In a low rise (typical 8 floors) you may find the ground floor pool access offers up to 60% LTV and the middle floor, outside car park view comes down to say 40% LTV. This map can be extremely useful to determine an estimate loan size based on comparable projects, which should be available upon your off-plan project completion date so you can budget & plan to cover the final balance.

Re-Finance, Cash Out, Cash Back or Equity Release is a term often used to receive cash in exchange for a property you already own. Let’s consider a client who bought a property for 10M baht and has no debt or mortgage against the property. The ownership is in your name. A bank may value this property at 9M baht (Thailand lender valuations are usually a little low) and you are in need of just 4M baht cash to pay the first 50% of your off-plan condo project. As you have already bought this property outright you have already demonstrated a reasonable amount of financial acumen therefore, you are already considered as reasonably credit worthy to a lender. If the lender was to lend 4M baht, they are likely to either get their money back from the loan installments or worst case, from a property sale should you decide to walk away therefore, it is good business to lend for net interest income if, the property is of good condition and in a lenders preferred area of business and expertise.

In order to finance the first 50%, usually payable over construction, it is hard to find a lender who would consider paying this part. The only security a lender may have is your contract to purchase a condo, which in a way offers little liquidity to the lender and is more likely to be considered as unsecured lending. There is no ownership document such as the units title deed and if the developer fails to deliver the project or doesn’t obtain the condo license, the lender is stuck with a contract to purchase nothing….or nothing like what previously agreed upon. A solution to finance the first 50% often comes in the form of the buyer offering other collateral as security.

It is worth to note that all property used for lender collateral would usually need to have a chanote freehold title and is always subject to the lenders final board decision.

I tend to find the types of property suitable for relatively easy finance in Thailand are: - Condo’s less than 10 years old and for a lenders valuation of more than 50,000 baht Sq.m. - Pool Villa’s of good condition, in prime location and of value 5M baht or more - Land which is of good location to develop and particularly if has limited availability for the plot

Thinking Outside the Box or Container Living Part Two: Joining and Insulation Design There has certainly been quite a lot of publicity recently on containers used for temporary homes for immigrants arriving in Europe. But making a home out of a container is not something new and designs and ideas for container homes can be found all over. Samui Phangan Real Estate Magazine takes a closer look at what this is all about here in Part 2. Connecting Your Containers Strength here in the connecting joints is of extreme importance otherwise you will have cracks and damaged flooring. But joining containers is actually easy. There are only two types of joins either using wielded plates onto the container and then bolting it together or just wielding the whole thing together as one. Just remember if you wield it as one you are making this connection permanent, which does have its advantages and disadvantages. Insulating a Shipping Container After talking about insulating containers over here in the tropics many folks especially the locals would laugh, but insulation is not only about keeping something warm it can mean keeping something cool. It is something the locals seem to ignore but exactly this will improve quality of life inside and reduce your air conditioning costs.


Choose Your Roof Wisely The choice of your roof plays a critical part in how hot your shipping container home will be. Using a reflective metal roof can be not only affordable but it can provide you with vast amounts of heat reduction. Treated metal roofs can actually reflect the heat back right out into the atmosphere avoiding it ever entering your container in the first place. Garden Roof Creating a living roof isn’t a complete replacement for your insulation, but it can certainly help to reduce your indoor temperatures. During the rainy seasons, a living roof offers no insulation benefits, however during warm summers indoor temperatures can be reduced by up to 8 percent. Plus, a living roof looks pretty cool too, excuse the pun. Windows Windows are often a large area of the container and these can make a huge difference if well thought out. One of the simplest methods and not too costly if correctly sought can be filming your windows. Film Your Windows with a UV and or reflective film and keep that searing sun at bay. Also in your design phase pay attention to where the sun will be in the day and build windows that will not take in too much sun or use a short overhang over each window to give it some shade. Using thermal glass can be effective too but usually quite costly and film does just as well on a cheaper scale. Shades also work well in keeping the cool in and the heat out. Plus, will; not break the bank. Make sure you install white shades because they are better at reflecting the heat. If shades aren’t really your style, then take a look at blinds. Blinds aren’t as effective as shades but most people prefer them aesthetically. If you want to really keep your home cool, then also fit curtains over any windows that get direct exposure to sunlight throughout the day. Lights and Heat from Inside Two small things here but they do make a difference. Make sure your lights are the non-heat emitting energy saving type, Incandescent lights can waste up to 90% of their energy in heat. Yes, just a few of those old style light bulbs can produce uncomfortable heat inside your new home. Not only will the energy saving lights help to keep your house a touch cooler it will also save you some money on your power bill. Second think about your kitchen and especially the oven, if possible put it outside the difference is phenomenal. Inbuilt Wall Fans Given the long rectangular shape of many shipping container homes, box fans can be perfect to cool your home down. The trick is your need to use one to blow the cold air in and another to blow the hot air out, like a pull push system. A Garden Many people don’t pay attention to the impact that their garden has on the heat of their home. Your garden can be used to plant trees which act as a shade for your home. Not only that but a garden looks great and can be a beautiful relaxing area. The best shipping containers use a variety of insulation methods which have been specifically chosen to best meet the needs of their local climate.

Squeaky Clean Windows Interview On behalf of Samui Phangan Real Estate Magazine thank you Martin for taking the time to talk to us and letting us and our readers find out a little more about Samui Squeaky Clean Window services. How long has your business been running on Samui?

Squeaky Clean Windows has been operating in Samui for 9 years, it was established in 2007 by the previous owner, Billy Duncan. Billy decided to return to UK with his family in April 2016 and this is when I took over from him. Why did you choose Samui?

I personally moved here back in 2006 after coming to Samui on holiday with friends, we loved the place so much we decided to stay. How many staff do you have?

At the moment I have 5 staff, some of the older experienced staff who I inherited when I purchased the company along with some new guys. We are currently trying to expand therefore the experienced guys are teaching the new. If your team come to a house how many people will this actually be?

At the moment I normally send 3 or 4 people to each job, however, once we have all the team up to speed with enough experience I plan to send smaller teams to smaller jobs and when we have big jobs planned I will send the full team again. Do you clean just private homes or commercial properties too?

Both, we will consider any jobs both large and small. We are already working closely with many property maintenance companies around the island, private home owners and also some exclusive hotels. How would I find out what it would cost to clean all the windows in my property?

Simply give us a call, I can come and make a free noobligation quotation and we can take it from there. Is it only outside you clean?

Generally, no, we like to clean both inside and outside as from our experience the insides get just as dirty as the outside from all the insects and gecko droppings etc. To enable us to give each customer the best possible finish we advise to do both inside and outside although we are flexible to any requests.

What happens if I am not satisfied with the job?

We aim to walk around with the client after completion of each job to ensure customer satisfaction, if they are not happy with something we are more than happy to go over it again although this very rarely occurs. Do you find there are some windows that you cannot reach?

On rare occasions, yes. So many projects in Samui are built on steep mountainsides which can leave some windows difficult to reach but we can always make a plan. We have equipment to gain access to all windows up to 12m high and in the worst case scenario we’ve had to erect scaffolding. Do you have a minimum charge?

Yes, 700bht minimum call out fee to cover expenses and staff etc. These are mostly for single unit store fronts.

How long does an average house take to clean the windows?

This is completely dependent on the size of the property and ease of access to each window. An average 2 bed pool villa bungalow would take roughly 1 hour and a larger 4 bed mountainside villa can take roughly 3-4 hours. Must I be there while you work?

No, most of our clients are happy to leave a key with staff or maids to let us in. What products do you use to clean with? Standard everyday household products, nothing harmful. How often is it advised to have windows cleaned?

Every 3 months is what most of our clients prefer but again we are flexible to any requests. Do you clean anywhere on the island?

Yes, we are happy to go anywhere as some of our existing clients are based on the southern and west coast areas. Natural Home Remedies for Pest Control

The Cockroach We all love living or spending our time on Samui or in Asia. Beautiful weather, people and food make it a fantastic choice and most of us will never want to go home. The warm climate relaxes and brings with it a comforting ambience but exactly this warmth can entice quite a few creepy crawlies or insects into our homes. In this issue we look at one of the hardiest little insects (or sometimes not so little) on the planet. Loved by none and hated by all the Cockroach is with all its disgusting and unpleasing tenancies a real hard insect to get rid of. So first of all and this doesn’t just go for the cockroach but many uninvited creepy crawlies if you leave out food stuff and exposed waste in your home your giving them a free invite with the meal. Insects are generally smart in this aspect and if there is nothing to eat then they will not bother knocking. Cleanliness is next to godliness they say, well in this case cleanliness and keeping worktops clean, waste unexposed and leaving out nothing to nibble on will certainly help keep the critters away. But just in case these precautions are not working and the infestation might even be spreading from a nearby condo unit or even a neighbour’s house we have researched some natural home remedies for you.

1. Bay leaves This really common cooking ingredient proves to be a surprisingly effective home remedy that helps to fend off cockroaches. It does not kill the pests. They simply dislike the smell of bay leaves and leave the place. Crush some bay leaves and put them on cupboard shelves, on bookshelves and other places where roaches are likely to make their nests. 2. Ice Cream Let’s talk about using ice cream to make a trap. So let’s say you got a gallon of ice cream in the freezer that you kind of forgot about (like me). It has probably been sitting there for months and chances are you don’t want to eat it anymore. You could just throw away, or you could use it as a cockroach trap. Let the bucket sit out near their nests, or where they frequent. The sugar in the ice cream will attract them to come eat it. By this time, the ice cream should have melted into a slush of some sort. Once they step in, they can’t step out. Come back in like a week or so and find yourself a bunch of dead roaches.


3. Garlic and Onion Mix up some garlic with an onion and add this mixture to about one litre of water. Sprinkle this smelly solution on bathroom and kitchen surfaces where cockroaches are likely to crawl at night. You can also wash the floor using this water. The pests hate this smell. Do it regularly. Chances are that the pests will leave your place forever. 4. Mint Oil, fresh leaves or essential oil If the odour of garlic and onions is one you don’t really want too much around the home mint is another smell that repels cockroaches. Put some mint oil or fresh leaves in the places where cockroaches are likely to settle. It’s a non-toxic and a rather sweet smelling remedy. 5. Lemon Cockroaches really hate the smell of lemon. Even though cockroaches can feed on almost anything, they cannot stand some smells. Citrus is one of them. Lemon has some strong anti-microbial properties. So just add some lemon juice to water and clean the cupboards and mop the floor in the bathroom and in the kitchen.

How to make; The flower is where the toxins are most concentrated (the seeds of the flower head to be more specific). The best time to harvest them is when they’re in full bloom. Dry the flowers by hanging them upside down in a cool, dry and dark place. Here’s what you will need: A clean spray bottle. You only need some water and dried chrysanthemum flowers. Grind the flower into a powder. The finer you can make it, the more potent the spray will be. The water to pyrethrum powder ratio varies because the right concentration of pyrethrum varies from flower to flower. You have to test and adjust until you get the right mixture that works best for you. Shake it up really well before each use. Unlike the other remedies I’ve spoken about, this stuff doesn’t repel them. It’s actually the most lethal of home remedies for killing cockroaches and any other insects. It’s one of the few home remedies that gets rid of them fast. It’s also good for killing cockroaches on the spot as you see them. 9. Petroleum Jelly (Vaseline) Trap If you have spare petroleum jelly laying around the house you can use it to deal with these pesky buggers. You can simply open a jar with bait in the centre to lure the cockroaches in. Upon entering they’ll find that once they step into the jelly, it is going to be quite difficult to step out. So basically they get stuck in there and die. If you don’t feel like using the whole jar, just take a disposal plate or a piece of cardboard and spread a liberal amount on it. Then place baits in the centre and place them in places where you see a lot of them.

6. Washing Up Liquid Using soapy water to kill cockroaches is also a popular option. The idea is that the soap will surround the cockroach and stops it from breathing. Basically it suffocates them to death. I’m sure you have some dish detergent laying around. All you have to do is mix a little detergent with warm water in a spray bottle. 10. Tiles are getting more and more popular in Thailand and this is very much due to the magnificent choice we now have. Only a few years ago our selection was certainly limited but now we have a very good variety of Thai produced tiles and most tile centres have a selection of imported tiles too. Tiles can add ambience to a room or outdoor space that is incomparable to other home touches. And this touch as you might call it not only improve the areas in strength and ease of cleaning but justifiable also adds value to your house. But choosing styles is one thing but did you know there are actually two different sorts of tiles and what difference this is?

Ceramic tiles and Porcelain tiles So “What is the difference between porcelain tiles and ceramic tiles?” Well the answers pretty simple. A Porcelain tile is effectively a Ceramic tile but It is just made of a more refined material. Although they look the same, the main difference between ceramic and porcelain tiles is that a porcelain tile is denser and less porous than a ceramic tile. In simple terms this means a porcelain tile is much more hard wearing and suitable for both indoor and outdoor use, the extra density is a result of a slightly different manufacturing process. Whilst ceramic tiles are only recommended for interior walls and floors, porcelain tiles are a more popular choice for floors that anticipate heavier traffic; we’re talking kitchen floors, hallways and commercial applications as they are increasingly resistant to scratching and chipping. There are two types of porcelain tiles – through-body porcelain and glazed porcelain. Through-body porcelain is where the tile has no glaze so the colour/design is the same all the way through so if there was any wear or chips to the tile it’d be very difficult to see. Glazed porcelain is where the tile has been manufactured with a glaze applied to the tile face. In this case the body of the tile is just as hard wearing as a through body porcelain however the glaze has the same characteristics as the glaze on a ceramic tile. All tiles are made up of clay and quartz ferrous sand materials, along with water. Once the tiles are formed they are fired to high temperatures and in some cases their surfaces are glazed. The glazed surfaces are like glass and are best used on walls as they are too slippery for floor applications. Glazed ceramic tiles are also a little more susceptible to cracking.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.

In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
