T

he greatest fun project ever known to mankind is building a tree house, but don't do it by yourself and definitely don't think it's all fun and games. Building a tree house is hard work and needs to follow rules or you might end up falling head first into the lake. Here is a step-by-step instruction guide to building a tree house. Whatever your reason for building a tree house, it must be strong and safe. You need the right tree and capable materials. The house must respect the tree, allowing it to move in the wind and to grow with minimal restriction. Read through these tips and tricks so you can start your build confidently and avoid costly mistakes. Almost any mature tree can be used for a tree house and it doesn't have to cost much at all, you just need some good ideas and the motivation to make it happen.

Building a Tree houses of the world From tiny shacks made with driftwood beside a river, to treetop observatories and towering cathedrals spanning several trees, the range of designs and styles of houses built in trees is breathtaking. A connection with nature and use of reclaimed or salvaged materials can inspire an environmentally sensitive process of building. Many of these structures are built as a temporary escape from the rat race and the pressure of busy lives and can be fitted out with beds, wood burning stoves, solar powered lighting and hand made stained glass windows.

Design the tree house plan before you start cutting any wood • Involve the client. If the tree house is for your children, ask them what features they would like and let them help with drawing up the plans. Make sure they feel that it is their own tree house. • Map the supporting trunks or branches at your proposed floor level. Use string to mark the height on each trunk and draw the layout on squared paper. • Work out the best support method for your particular site. Sometimes designing is easier if you use fewer trees.

Seven stage tree house design process

• Lay out the floor to work out the size limits for the walls and any outside deck.

There is a lot to learn about tree houses before you start building if you want a safe, long lasting and economical structure. This seven-stage workflow will guide you quickly through the basics.

• Draw the house to fit on the floor. Free software like “Sketchup” works well and produces a 3D model that helps to anticipate problems early on.

Check the planning/building regulations in your area • In urban areas planning regulations can easily demand that your tree house is removed on safety, distraction or regulatory infringement grounds. • Every area is different, but some general guidelines apply. • Ask officially before you build.

K eep su pports separ at e to the house framework • Aim for a level floor capable of taking the entire weight of the house. The house should be rigid and attached to a solid, flat floor to prevent any twisting of the structure. • Avoid fixing any walls or parts of the roof to branches passing through.


• Walls need to be load bearing and rigid enough to support their own weight plus the roof. Allow flexibility in the supports if you use more than one tree • If more than one tree is used they must be allowed to move in the wind or the tree house can be easily damaged. • Use either metal brackets or cables to allow flexibility.

• Building between two trees is the easiest system for large tree houses. Using more trees means allowing movement in different directions, which is hard to absorb. • A popular flexible design uses a rigid floor unit that can slide over beams below, allowing the beams and the trees to move independently. • To reduce excessive movement, bolt one part of the supports to the largest tree of the set, allowing the other end(s) of the support(s) to move flexibly.

Tree House Use single large bolts for attachments to the tree • Single puncture wounds at each attachment point cause much less tree damage. • Large bolts are much stronger than screws or nails. • Lag bolts are preferable to through bolts as less damage is caused. • Check fastening ratings and always overbuild each joint to take at least three times the projected weight of materials and occupants. • Use strong galvanized or stainless steel screws as un-galvanized nails will rust and could start disease or rot.

Build as much as possible on the ground • Building on the ground is safer. • Using power tools is easier. • Parts will be prepared faster and more accurately than if constructed in the tree. • Design the tree house in separately built sections that can easily be joined together—supports, floor, walls and roof. These can then be raised into the tree with a pulley and quickly secured in position. In remote locations prepare a proper work area before you start. This is a lot safer and prevents small items getting lost.

Avoid restricting tree growth • Don't tie straps or ropes around the tree, as this will strangle it over time. • Add spacers between beams and the tree to allow room for growth during the lifespan of the tree house, or use very large bolts which have plenty of the shaft exposed and mount items on the end. • Allow a 4cm gap around the tree if it passes through the floor. • Add at least a 6cm gap around the tree if it passes through the roof (more if the tree flexes much in the wind).

Sold! Legal Considerations Post Closing In general, many investors in Thailand con-

duct research into what they should do prior to signing sales documents and purchase agreements. These will often include issues related to due diligence enquiries into land and buildings and careful review of the rights and obligations under the sales agreements. However, there are a number of issues to address once the ink on these agreements dry, particularly in the case of investment through a Thai limited company.

Articles of Association When investing in a private Thai company, steps should be taken to implement specialized Articles of Association for that company, if not already implemented. Particularly where the investor is or will become a minority shareholder, the investor should consider the implementation of more restrictive quorum requirements and protections, as described below. Where a private Thai company has not implemented Articles of Association, the relevant corporate provisions of the Civil and Commercial Code will apply. Under the Civil and Commercial Code, a private Thai company only requires the presence of 25% of the shares in the company (not votes) in order to constitute a valid shareholders’ meeting. In addition, at a validly constituted shareholders’ meeting, most decisions can be passed by a simple majority of those present. In other words even when a separate share class has been issued if the private Thai company has not implemented Articles of Association then decisions of the company can be made without the minority investor’s input or consent. Although notice must be issued before each shareholders’ meeting, the said default rules provide that a meeting can take place without the attendance of shareholders representing up to 75% of the shares of the private Thai company. Furthermore, even if 100% of the shares are present, decisions can be made be a simple majority of the shareholders’ votes. These rules therefore legally allow the majority shareholders to dispose of company assets, change the company directors and take other actions that could prejudice the interests of the minority shareholders, without the participation of the minority shareholders.


Fortunately, using specialized Articles of Association, it is possible to increase the quorum requirements and thereby implement minority protections. In particular, the Articles of Association would provide that the minority shareholders (or a select group or class) must be present at a shareholders’ meeting and vote positively with respect to certain important decisions such as significant financial expenses and/or disposing of corporate assets such as property. Such “negative” control is distinct from positive control though preferred voting rights. In the latter scenario, the minority shareholders receive, for example, 10 votes per share, while the majority shareholders receive 1 vote per share, thereby permitting the minority shareholders to assert voting control of the private Thai company. The use of preferred voting rights has attracted negative attention from the government in the past, and may imply a nominee structure, and therefore investors should be cautious about using preference voting rights and should seek qualified legal advice to determine whether the use of preference voting rights is legally justified and legitimate in their particular circumstances. Shareholders’ Agreement When investing in a private Thai company with multiple parties, it is always recommended that a shareholders’ agreement is executed. In the first instance, the shareholders’ agreement should specify the investment made by each shareholder in order to establish that all shareholders are genuine investors. The agreement should also provide a mechanism for terminating the investment relationship, and may contain strong remedies protecting the minority shareholders should a majority or other shareholder commit an enumerated default. In addition, a number of practical methods have been established to secure the rights of the shareholders under the shareholders’ agreement, including the ability to terminate against a majority shareholder. Depending on the circumstances, it may also be important that the shareholders’ agreement contain “rights of first refusal”, “drag along rights” and “tag along rights” (i.e. limitations on share transfers based upon first satisfying contractual obligations to the other shareholders) and similar mechanisms in order to create efficient exit and succession options. Also, the agreement should address the issue of current shareholder loans and the process for seeking future financing, whether by equity or debt; and in conjunction with the Articles of Association, clarify the process for repaying loans, and distributing dividends from both profits and capital disposition gains. Know your real estate market and why you are in it

When people think about real estate in a place like Thailand they often think of holiday homes & condos. But Thailand real estate has become much more for many foreigners & expats. There is now a huge expat market in many parts of Thailand and there is also a great level of interest from new markets like China. A shown interest from the Chinese middle class market is great news for any real estate market. For most individuals’ real estate investment is a big commitment so its best to educate yourself before you enter any market for the first time. To enter the market you must do your research and “even” speak to the locals. The reason I said, “even” instead of certainly is that many locals for different reasons tend to give bad advise to newcomers and they can be very convincing after a few beers down at the local bar. Therefore its best to only consider advise from people (locals & agents alike) that either own, invest in and/or have bought/sold real estate personally. If someone’s property portfolio is non-existent or not very much then maybe they are not the best people to advise you on your next property investment. Always make sure you seek and consider advise from real investors and those who bought as a mere necessity for accommodation. Samui’s real estate market is not just about holiday condos and villas anymore. It’s now very diverse and it’s easy to enter if you have your priorities right and your head in the right place. What do I mean by having priorities? I mean one shouldn’t buy just because something is affordable or a friend insists that it’s the right size. There has to be a real proposal to service a need or desire. Are you buying for pleasure, is it a real estate investment or is it both? What ever the reason is it needs to be identified during the early stages of buying. The questions you need to ask yourself are listed below.

What your teacher should’ve taught you about property investment but probably didn’t - Ask yourself why are you buying? - Is this a real estate investment decision or a personal buy? - What is your future plan for this property? Are you going to live in it, rent it or sell it? - How much do you know about the Thailand real estate market? Who are you taking your advise from? - How do you intend to pay for the property? - Do you know about all the different payments options available in The Thailand real estate market?

Different real estate markets Rental properties in Samui have always been a very popular investment method for many real estate investors in the market. With the right rental property investors are reaping in returns on their property investment of around 7% – 10%. This ROI figure is great compared to markets like Australia where the rental return is only about 4% with very high agent fees. The advantage the Australian real estate market, lets say in Melbourne has compared to Samui is in its high capital growth. Capital growth is the main objective for most Australian property investors. The rental return is only a buffer against the mortgage repayments. The real estate market in Samui is very different. First of all it’s still very cheap compared to many other countries. For the same money that you could buy a condo close to the beach in Samui you couldn’t buy an apartment less than 10km from a beach in Sydney, if that. So it’s much easier to enter the market. The fact that it’s cheap also means that it’s a cash market. Nothing is tied up to any Thai financial institutions. That’s why world financial crisis doesn’t hit us as hard as it would hit other countries or major cities where 90% of the real estate titles would be held up at the bank against 1 or more loans from different mortgagees. The only way the global financial crisis affects the Thailand real estate market for foreigner investors is the shift in the values of different currencies. At the present time the USD currency is strong and so is the Chinese middle class buying power so we are seeing a shift in the market. Whereas before we had a very strong Russian buyer’s market due to the strong Russian Expat base in Thailand, in particular Pattaya and Samui which was a direct result of their strong currency against the Thai Baht.

Note: When you know what payment options are available and you have determined in what ways you are able to pay then you can make your buying power work in your favor. For example if you wish to pay cash for a property but you know that you have the option to go on a payment due to construction time then by offering cash you should/will be entitled for a great discount. If you ask the right questions you will get the right answers, so you must be prepared. By being informed you can only make informed decisions so keep the guesswork out and do your homework.

What happened to Samui’s Russian market Besides the bad luck of the Russian currency fall the mistake many Russian buyers made was that they over capitalized hoping to make a quick profit in the once buzzing Samui real estate market. A weak sellers market, paired with their weakened currency, hit especially the ones who came late. This was mainly the fault of their advising real estate agents promoting this quick sale technique at the wrong time in the market. Many agents are guilty of this and these same agents are now making good money selling these properties for their disappointed investors at 20% to 40% below market value. It wasn’t just the Russians who made this mistake but at the time there were many Russians investing big with the hope of a quick re-sale profit. Good idea but too late. The good news is now for today’s cashed up and smart property investors or starters as they can now buy many of these properties even cheaper than the late investors paid for them at launch price. So don’t believe when someone tells you that it’s a bad market. It’s only a bad market if you “must” sell but it’s an awesome market if you are lucky enough to be in the position to buy.

Property Report. Finance in Thailand for Foreigners Kai Faak… Why do so many Thai’s and Foreigners borrow under this structure?

It is almost 6 years since I wrote my first article regarding Thai property finance and I have covered various different structures during that time. Initially back in 2010, as a “newbie” to Thailand, I found it was embedded in a large part of the Thai/ Expat society that Foreigners (or Farrang as some may call) could not borrow against property in Thailand. To begin I found this largely to be true until after spending many months researching the topic and after many referrals through to banks and financial institutions later, finance was readily available and in many different formats. I like to think that now, Finance for Foreigners is considered readily available although there is still a lot more marketing and promotions to be done especially with Villa finance still proving to be a challenge.

How this structure mainly differs, is that the title deed is transferred to the lender at the land office with a right to buy back the title once the loan is repaid. The name/owner of the title deed changes and would thus invoke property transfer taxes.

The main international recognized structure for property Finance is a traditional Mortgage where title deeds remain in the borrowers name and a debt/mortgage is registered at the land office, once the loan is repaid, the mortgage is deregistered at the land office and the borrower would than hold the original title deed, once more. This is the most secure type of borrowing an owner of property would like to take on since, under terms of default, a reasonable time in court would be undertaken before any forced sale takes place.

To begin, we must first cover what types of Kai Faaq lenders there are.

This now brings me to the question, why do Foreigners and Thai’s borrow under Kai Faaq structure as from the out set, it may seem like there is more risk and would invoke property transfer taxes so potentially more cost..…The more concerning fact, your property and life savings could be at great risk where you could lose everything very easily.

As the title deed of the property is transferred to the borrower, there could be very different agendas from the lenders perspective. If the lender is only interested in taking your property, than it could certainly be considered more risk, than if the lender is interested in the net interest return with a worst case scenario of having to take the property, if the latter than it is all about making good commercial sense to the lender. It is therefore very essential to chose your lender carefully carrying out a decent


amount of due diligence, perhaps asking around for recommendations. A few types of collateral to be offered as a Kai Faak could be the following: • • •

The Land Owner The Resort Owner The Luxury Villa Owner

The Large Land Plot owner is often the most common Kai Faaq and usually involves an owner, realising cash out from the land in order to invest elsewhere on short-term basis (1-3 years), with a greater profit margin than the cost of borrowing. The beauty of the Kai Faaq is in the approval process since often requires little paperwork even for significant amounts of money as is loosely based on the lenders ability to sell the land at a profit IF the borrower defaults, as the lender would become the rightful owner very easily, since they already own the Land on the title deed. i.e. a prime beachfront freehold plot of land being Kai Faak to a lender for less than half it’s real value is a no brainer from the cash rich lender perspective since would be a very saleable asset or could even be developed. A Resort Owner may perhaps be looking for a cash injection in order to develop or refurbish part of the hotel or perhaps be looking to expand the resort by making a purchase of land elsewhere that they may intent to build on. If there is a significant hotel yield and a refurbishment or land purchase makes good commercial sense to increase company revenue, offering a Hotel as collateral to a lender is no risk IF the owner feels they are able to service the debt and repay the loan and the lender is reputable. A Luxury Villa Owner may have most commonly bought a Villa under a Thai or Thai company name and perhaps did not require funds when making the purchase. If a significant amount of cash had been put into the property, assets are tied up which perhaps could be better utilized elsewhere. By offering the Villa as collateral to a lender, cash could be released allowing the owner to spend on other investments rather than be invested in the Villa. Particularly if the Villa is rented out and is earning a decent income, which could help service the loan interest.

Typical terms which could be applied for a Kai Faak are however, usually not cheap. The maximum interest rate permissible by law in Thailand is 15% and interest on this type of deal would usually start from 12%. By the time Property Transfer Fee’s are payable at the land office, a Lender Fee of 1.50% and other small ancillary charges, it all adds up and certainly, to take on this type of debt, a high level of income or cash needs to be available in order to repay the debt and certainly, a high level of profit elsewhere is recommended where possible. The maximum loan size which could usually be achieved is up to 60% of a lenders appraisal value with some lenders requiring an independent appraisal company to carry out their due diligence. Unfortunately valuations are far from consistent and sometimes, it is difficult for an appraisal company to carry out an appraisal since share transfers of Thai companies can take place rather than a property transfer thus, not disclosing a true sale value which could distort the appraisal value given. A better guesstimate for how much could be borrowed is to think, how much would I sell for, divide that value by 2 and than knock off a few more million and this is a better estimate for a loan size. To summarise, why the Kai Faak for me, seems to be a popular way to borrow, depends on whether the borrower is Thai or Foreigner. A Foreigner may chose to Kai Faak simply because quick cash is needed or has been exhausted going through 1,001 questions at a bank to get nowhere pretty fast. A straight forward Mortgage is easy enough back home, but going through various hurdles to buy a property in the first place, a Kai Faak is too simple even though, quite costly and at far greater risk. A Thai on the other hand could be very familiar with this traditional (since the Thai revolution) way of borrowing and rather than go through a bank which requires sizeable paperwork showing evidence of income etc. and projections, the Kai Faak is pretty straight forward and with no Credit Bureau records in case of non-payment.

Family Focus in Koh Samui Sheraton Samui Resort organize two events in support of local special needs schools.

KOH SAMUI, Thailand - Jan. 13, 2016 – Since the launch of Sheraton Samui Resort on March. 31, 2015, guests have been taking advantage of the “family friendly” concept at the 141 room resort along the pristine white sands of Chaweng Noi Beach. The launch event was well attended with over 45 children and 10 accompanying teachers enjoying Christmas party food, games, a clown show and a visit from Santa Claus. Gifts were presented to the children, including an exclusive StarKid cuddly monkey mascot. StarKid kids club, set in a prime beachfront location, has a daily schedule of activities, crafts, games and a wooden adventure walkway over giant rocks to spark the imaginations of younger guests.

To mark Children’s day on Jan. 08 2016, Sheraton Samui Resort hosted lunch and activities at the Samui Learning Centre for Special Needs. Staff from the resort presented the students with stationary sets and toys as well as a musical show with many of the students joining in for impromptu singing and dancing performances. “We opened the school six years ago, and my two daughters are actually students here”, said Mrs. Dalin Ruangaisoon, the founder of the school. “We have five teachers and thirteen students and are currently in the process of building a new purpose built school. We still require 3 million Thai Baht to finish the project and would greatly appreciate any further donations”. Interview with Mr. Pisit Arnasiri Owner of Surat Baansuy and his business partner Mr. Jim both well known on the island with their One Stop Services for curtains, blinds, tension membranes, sofa, carpets and more as everything can be custom made. Over a decade ago when we bought our family house on Samui it was Mr. Pisit Arnasiri that we approached at Surat Baansuy for many of our fittings. Later as we started Samui Phangan Real Estate magazine, again we approached Mr. Pisit but this time to see if he was interested in advertising with us. Now to this day he is one of our oldest customers in the magazine and I think I can say we have become not only business clients but also good friends.

Where do you and your family come from and how long have you been on Samui?

I come from Suratthani province, and I’ve lived in Samui for 14 years now.

One of the main reasons I would come and see you is that you would always have time to speak with the customer and gave good professional advice, where have you gained your expertise and knowledge?

Because my of family roots, my family have been in the curtains business in Suratthani for more than 30 years, and as I was young I have been working with my family business, that’s where my experience comes from. When I first opened Surat Baansuy on Samui I often to go to the expo in Bangkok and regularly overseas to find new high quality commodities that I can import and sell in the company to support my clients who require international quality products and they would rather order here than from their own country.


In the last over 3 years I started with my new business partner and I would like to take this opportunity to introduce Mr. Jim who was a major part in Surat Baansuy Business Administration. Now Mr. Jim who was previously living in the USA for 15 years is a full partner and looks after Surat Baansuy. He speaks perfect English and has a pleasant attitude, a very friendly person who cares about what he’s doing and so now he is well known and liked with our customers on the island. His main responsibility is looking after the Real Estate projects around Koh Samui, Koh Phangan, Koh Tao such as Samujana, Linesamui, Aqua and Fragipani and taking care of our imported products from abroad. How have you and your business coped against the large commercial companies that have come to Samui like Homepro for example?

We are different as we have special technicians for each job and I do believe clients require the follow up services, experience and customer care with we can give on a personal basis. This gives our customer’s confidence in our work and Surat Baansuy return business for the long term. Now you have your Real Estate business, when and why did you start this?

Yes, I have, my real estate business is called Baansuy Land & House. I have a few projects in Lamai, Taling Ngam and Namuang that will be completed in April. This island has grown a lot in a positive way the 14 year I’ve been here, and foreigners keep returning and settling here. It was always my dream for my next business to be working in real estate and now it has come true. I really enjoy it and find I have a great talent for it. Is Samui still your most favorite part of Thailand and why?

Yes, it is, Samui is a beautiful island, beautiful beaches and unique natural beauty, and it’s perfect for my business.

Is there something on Samui that needs improving?

I think that is not enough just to improve infrastructure with the growth of the island and the amount of investment but if everybody helps to support and care about the island then we can live in a balance between nature and the progress. Do you have a favorite place on Samui?

I like to go to Fisherman’s Village.

Where would you still like to visit outside of Thailand?

I would like to return to Japan.

Mr. Jim: In Suratbaansuy what is your most sought after item?

It’s a high tension shade canvas , its the latest modern product we introduced in the shop and Samui certainly need this because its over 70-80% sunny season all year. Are there some items you still find difficult to get in Thailand?

Yes, because some high-quality products must be imported from overseas, but we try our best to get what is required. Where are most of your customers from?

Most of customers are foreigners from Europe mainly France, Germany and the UK. Do you have any further plans for expansion?

We now have almost everything that customers could want, but if a customer needs something special we will try our best to find it. Mr. Pisit: If a customer asked you why he should pick Samui to live, what would you reply?

Because Samui has a beautiful unique natural environment and the people are friendly and there’s everything anyone could need.

Do you have any special advice for customers buying land or house on Samui?

Before you think about buying land or house you must check everything carefully, land title, agreement and the policy etc., choose the right adviser and lawyer until you are confident. Trust is important but you should never forget to have everything legally documented under Thai law. Where do you see yourself in 10 years?

Mr. Pisit: I will still be taking care of my Curtains business Surat Baansuy and Baansuy Land and House plus the real estate projects that I started. Be Far from the madding crowd This was the first heading that struck me as I was given the task of writing this feature article for Samui Living Co., Ltd. In the "Art of War," Sun Tzu wrote: "One who knows the enemy and knows himself will not be endangered in a hundred engagements". In other words, if you know your enemy's and your own weaknesses and strengths, you'll be successful in battle. Samui Phangan Real Estate takes a closer look in this issue at one of the smallest but most devastating pests around and gets some professional advice from David Farmer from Termite Tech. Termite activity can be found in or around almost every building structure in Thailand. They have various ways to gain entry into a building, and once in they are not restricted to eating only the wood products of the dwelling. They will attack cardboard, paper products (books, documents, etc.), plus sheetrock (plasterboard), composite woods, and wallpaper. The species of termites that do the most damage to homes and business in Thailand may travel underground (sub-terrainian), but once they come in contact with a structure they are very adept to traveling vertical to get inside. Termites love to use pipe penetrations through foundation slabs and electrical conduits to get into the building. These are classic entry points for them, they have even been found using elevator shafts to gain access to the upper floors of a building. Termites are sneaky, and relentless in their pursuit of food. Termite Tech believe that to achieve the best possible results on a job, a company needs to be completely thorough in their investigation, treatments and follow-ups. This gives the client a great “piece of mind”, that their investments are being properly protected. Once in a building, termites can travel around the inside by using many different techniques. It easy for termites to conceal themselves behind partitions, and under kitchen cabinets. They can quickly move to baseboards, wall paneling, crown molding, sheetrock, and door frames. They can even move around undetected behind caulking and wallpaper. Detecting termites can be tricky, especially when trying to catch them early in an invasion. Most home and business owners will not even know they are in the building until they stumble upon some damage. By then it might be too late to minimize the infestation. The best advice to give a person to prevent termite problems is to have a certified Pest Control Co. do frequent inspections of your property. The other important piece of advice is, DO NOT TRY AND SPRAY YOUR TERMITE SIGHTINGS YOURSELF. Cans of Insecticide spray bought at 7-11 are guaranteed to do only two things, one, kill a dozen or so termites that you have spotted, and second, spread the rest of the other thousands around to look for another place to come up in the house! Don’t make the professional’s job harder, get them in straightaway to use the right chemicals and implement the right procedures. Every termite job presents different challenges, and using several options for treatment may be essential for success.

Soil Injection On any structure where it is feasible, an in-ground termite barrier should be installed. A continuous chemical barrier is formed in the soil by injecting the ground around the perimeter of a building. The chemical binds to soil particles and will not deteriorate for at least one year. Drill & Inject Where concrete is installed up against a building, and there are no open soil areas at the edge of these slabs, small holes will be drilled to inject a chemical barrier. The holes are only 8 mm. in diameter and once refilled with color matching grout, they are not even noticeable. The same holes can then be easily re-opened the next year to top-up the chemical barrier. Spot Treatment If termites have already entered a building and damage is occurring, Termite Tech is able to treat their activity without further disturbing the wood. Unique, state of the art equipment, injects a fine mist of chemical that will coat the inside of active termite areas and building entry points, using a nozzle that is only the size of a small nail. This method along with outside soil injection programs will effectively treat and eliminate even the toughest termite infestations. Non Repellent Chemicals It is critical when treating termites that have entered a structure to treat them with a chemical that they cannot detect, a (non–repellent). If termites can detect the presence of a chemical they will then move and come up in another part of the building, thus spreading the infestation and damage. As a rule of thumb, if you as a customer can smell the chemical your pest control company is currently using, then you can bet the termites can sense it as well. Termite Tech only use, (non-Repellent) Chemicals, because the strategy is to use a slow killing, undetected approach. This will eliminate the moving and spreading problem and more importantly give the termites a chance to unknowingly track the poison back home and doom their nest.

Raised Structures For buildings built on columns or piers, and the underneath is exposed, Termite Tech installs a spray on coating of our chemical to all the concrete supports, walls, wood, and piping. The chemical will adhere to anything it touches and last up to one year. Again creating a barrier to stop any termite invasion attempt into a building. We implement this technique frequently on Koh Samui Island, where many of our jobs are structures built on mountain hillsides or slopes. Bait Stations Termite Tech do use this method and it can be an effective way to eliminate a nest when other treatments are not so feasible. It does take some time to get results, but might be the best option in a hard to reach area or a place with limited to no access. Termite Tech Inspections & Warranty All termite work comes with a one-year warranty and a quarterly inspection program. Termite Tech cannot emphasize enough the importance of inspections. Sometimes after a t re a t m e n t o n a m o re s e v e re i n f e s t a t i o n , a handful of termites in the building can get cut off, or “lost to the nest”, and there is no way to find their way back. The scent trail they put down and used to follow each other in and out is lost as the workers become sick and die from the chemical. These “lost souls” know only to forage on and they can remain active for some time if they have enough moisture, and can show up in spots at a later date. But with regular inspections they will be discovered and eliminated, finishing the original infestation. This is part of the service during your warranty period that Termite Tech offers. So if any termite activity is detected on your property during this time, they will spot treat that area free of any charge.

These 20 tools and devices are superstars for household projects and repairs Philips screwdriver A Philips or X-shape screwdriver is probably one of the most common tools in any toolbox. If you have a have a handle that accepts interchangeable tips, you can cover a wide range of screw types and sizes.

Flathead screwdriver A flathead or straight screwdriver is invaluable; most light switch plates use straight screws, for example. Having the right size flathead can make a difference, so start with at least a set of three (small, medium and large) to be able to handle most jobs.

Wire stripper This wire stripper has a blade for cutting wire to the proper length and several notches for scoring the insulation around wires of varying sizes, which can then be pulled off. Wire has to be exposed without the plastic coating to make electrical connections.

Tape measure Your tape measure is indispensable for estimating material quantities, figuring out placement of objects, and calculating floor plans and furniture sizes. It's always a good idea to measure more than once to make sure you've got it right.

Hex key tool (or Allen key) Some screws, especially bicycles and assemble-it-yourself furniture for which a flush screw is necessary, use hexagonal sockets. Multiple hex key sizes can be purchased separately and the leverage on these is better, but a jackknife-style set such as this provides everything you need in one tool.

Level Some people are good at eyeballing whether something is level or not, but this tool takes all the guesswork away. It takes only a slight error to make objects look off-kilter. Utility knife From cutting paint around windows that are stuck closed to opening boxes, scoring drywall or even trimming the edges of carpet, the uses are so many that you'll be surprised how you ever got by without one. Hammer Pounding nails, pulling nails, crowbar action, tapping things into place — it almost goes without saying why you need hammer. An expensive hammer is long and lightweight; its leverage can assist you when you take that wall down. Putty knife A putty knife is great for scraping dry glues and paints and for spreading putty, paste and spackle. Having a 1½-inch size for scraping and a 5- or 6-inch one for spreading is helpful. Nail set A nail set is used for sinking nail heads below the surface of the wood, so that you can then fill the hole with wood putty and sand it, to make the nail disappear. This way the hammer never has to make an ugly dent in the surface you are pounding. Combination square This multiuse tool can verify 90- and 45-degree angles for miter cuts, measure depths and short distances, and is great for scribing a straight line. It also has a vial to make sure your project is level or plumb.

Power drill Drilling implies creating holes, and a power drill is the ultimate luxury when tired hands have turned too many screws. It adapts not only to drill bits to bore holes, but also to every kind of screw-head bit, making larger projects go quickly and with less muscle. Just be careful to stop when the fastener is tight so you don't strip the screw head. Don't skimp on this tool — you will appreciate having a lot of power. Electrical cord A rugged, well-insulated indooroutdoor power cord for high-amp tools will help you extend the limited cord of your tools to your job site — and it's suitable for yard work too. C-clamp This tool can hold pieces of wood, metal, or plastic together when you need to glue, saw or file them. Use a thin shim between the clamp and the object you are working on so the clamp doesn't mar the surface. Flashlight Necessary repairs can happen in dark, cramped spaces and even when the power is out. Plus, everyone loves to help by holding the flashlight for you. They don't work without batteries, so have extras on hand. Ladder or step stool Painting, reaching the lightbulb, changing fixtures, trimming the hedge, stringing lights, getting into the attic and many more activities require the aid of a ladder.

Pliers The serrated jaws of pliers assist with holding objects firmly, as well as with pulling, pinching or bending metal.

Broom and dustpan When projects get messy, save your household broom from harsh debris by having a dedicated set.

Adjustable crescent wrench There is a screw built into the head of this wrench; turning it adjusts the size of the opening, so that it fits onto most any hexagonal nut. Turning a nut with pliers just strips the edges, making it harder and harder to get a good grip when tightening or loosening it.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

LAND MEASUREMENT & SURVEY Land in Thailand is measured in Rai, Ngan and Talang Wah. • 1 Wah= 4 sqm • 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm In comparison to Western Standards: • 2.50 Rai= 1 Acre • 6.25 Rai= 1 Hectare

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.

In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
