I often argue with hoteliers who refuse to spend more on their fitness room because they say nobody uses it and they have the numbers to prove it. If you saw some of these fitness rooms, you also would know why nobody uses it. It's a case of "if you build it, they will come". Mmmmm Meatballs! Delicious bite sized balls of goodness eat them on their own, mix through a basic Italian tomato sauce with pasta, in a sandwich any which way you eat them, they are delicious. We have used beef and pork, but you can mix it up and use sausage meat, veal the choice is yours.

INGREDIENTS • • • • • • • • • • • • • •

1/3 cup plain bread crumbs 1/2 cup milk 2 tablespoons olive oil 1 onion, diced 1 pound ground beef 1 pound ground pork 2 eggs 1/4 bunch fresh parsley, chopped 3 cloves garlic, crushed 2 teaspoons salt 1 teaspoon ground black pepper 1/2 teaspoon red pepper flakes 1 teaspoon dried Italian herb seasoning 2 tablespoons grated Parmesan cheese

DIRECTIONS

Cover a baking sheet with foil and spray lightly with cooking spray. Soak bread crumbs in milk in a small bowl for 20 minutes. Heat olive oil in a skillet over medium heat. Cook and stir onions in hot oil until translucent, about 20 minutes. Mix beef and pork together in a large bowl. Stir onions, bread crumb mixture, eggs, parsley, garlic, salt, black pepper, red pepper flakes, Italian herb seasoning, and Parmesan cheese into meat mixture with a rubber spatula until combined. Cover and refrigerate for about one hour. Preheat an oven to 425 degrees F (220 degrees C). Using wet hands, form meat mixture into balls about 1 1/2 inches in diameter. Arrange onto prepared baking sheet. Bake in the preheated oven until browned and cooked through, normally 15 to 20 minutes. Remove and eat on their own...in a sauce...any way you like - whichever way, enjoy!

THAILAND WANTS MORE KOREAN INVESTMENTS Prime Minister Prayut Chan-o-cha invited the South Korean private sector to increase its level of investment in ASEAN, especially in Thailand, as it has adjusted its economic measures to facilitate trade and investment. In the ASEAN-South Korea CEO Summit 2014 in Busan, Gen Prayut spoke on the “Global Economic Outlook and the Role of Asia.” He said Asian countries should quickly strengthen their economies by integrating their strong points. South Korea is good in education, information technology, green economy, creative and entertainment industries and alternative and renewable energy, he said. In 2015 the ASEAN countries will combine their markets and production bases which will create new and considerable opportunities for business and investment. He urged South Korean businesses to make the most use of ASEAN in energy and agricultural fields. The prime minister said that Thailand is changing its regulations to facilitate business. It is amending all tax-related laws that concern the establishment of regional offices and streamlining procedures to issue work permits for foreigners in order to attract investors. Gen Prayut invited South Korean businesspeople to invest in small and medium enterprises of Thailand, infrastructure development and digital and green economy to support sustainable development. He said that Thailand still lacks technologies and knowledge in environmentally friendly businesses, so it is welcoming investment projects which include technology transfers, research and development, and capacity enhancement. The Thai PM said there is considerable room for ASEAN and South Korea as well as for South Korea and Thailand to cooperate.

FOREIGN BUSINESS ACT AND REAL ESTATE INVESTMENT Investors may have noticed that this year, the media has reported on possible amendments to the Foreign Business Act, B.E. 2542 (A.D. 1999) (“FBA” or “Act”). Initial reports suggested that the amendments would tighten the restrictions on foreign investment, while other reports suggested the opposite, that the Act would be liberalized. In the end, it appears that any effort to amend the FBA will be ‘shelved’, at least for the time being. The FBA restricts foreign investment within Thailand. The Act defines a ‘foreigner’ to include a company registered in Thailand in which foreigners hold (50) percent or more of the shares, or in which foreigners pay-in fifty (50) percent or more of the capital; and according to the Act, the use of Thai nominee shareholders, to circumvent the above restrictions on foreign holdings, is strictly prohibited. A foreign company, as defined in the Act, is not allowed to engage in a wide-range of businesses. Although the Act does allow foreign-majority companies to engage in certain businesses upon receiving permission under the Act, there is no discretion under the Act to allow foreigners to engage in land trading. In addition, the Land Code B.E. 2497 (A.D. 1954), as amended, provides that foreigners shall not own land, either directly, or indirectly through a Thai nominee. To be clear, the FBA and Land Code do not prohibit foreigners from investing in land in Thailand. Rather, in

order for a foreigner to invest in land, he must partner with Thai investors, form a limited Thai company as the investment vehicle, and ensure that the Thai investors pay-in the majority capital and hold the majority shares in that company. Of course, those Thai investors must be bono fide and not nominees. As an aside, it should be noted that the under the separate Board of Investment regime, foreign companies may be permitted to operate otherwise prohibited businesses and to directly own land, where the investment meets certain specifications (generally including an investment in the range of 500 million Thai Baht, amongst other requirements) and is approved by the Board of Investment (“BOI”). At present, the FBA does not prohibit foreign persons from being the sole/majority directors of a Thai company. In addition, foreigners may hold shares with enhanced voting rights, such that the foreign-held shares have more votes than the Thai-held shares. As noted below, the proposed amendments to the FBA have revolved around the foregoing voting and directorship issues, amongst other issues. In 2007, the Ministry of Commerce submitted a draft bill to amend the FBA, which is commonly thought to be at least partly spurred by the controversial sale of shares in Shin Corporation to Temasek Holdings. Included in the proposed amendments, a Thai registered company would be deemed “foreign” where foreigners hold the majority of the voting rights. The


proposed amendments were approved in principle by Cabinet, although were never enacted at law. Since 2007, officials have periodically made statements suggesting that the FBA should be amended. In this 2014, after the change of government, the media reported on what seemed like more serious discussions about possible amendments to the Act. Although mainly focused on the service sector, the proposed amendments once again involved prohibiting foreign voting control in Thai companies, and also prohibiting foreigners from holding the majority of the director seats. For example: •

On 2nd November 2014, the Bangkok Post reported that the proposed amendments were supported by the Thai Ministry of Commerce and possibly the Thai Chamber of Commerce, and that foreign embassies and business chambers were expressing concern. On 18th November 2014, The Nation published a report, in which the Commerce Ministry was quoted to say that any amendments to the Act should be focused on the key principles of … “relaxation, reducing procedures facilitating investment, and not deal [ing] retroactively with existing firms …” although specifics were not provided.

On 9th December 2014, the Bangkok Post reported that Prime Minister Prayut Chano-cha, at a luncheon organized by the Joint Foreign Chamber of Commerce, stated that the government had ‘shelved’ plans to amend the FBA, a move allegedly aimed at boosting confidence in foreign business communities.

In light of this uncertainly, the question is: how does a foreign investor best protect his or her interests? In the context of a real estate investment that involves land acquisition/trading, and assuming the investment does not qualify for BOI or other privileges, foreign investors in Thailand simply need to find genuine Thai partners. Investors should use caution before implementing foreign-held enhanced voting rights, and might consider using veto voting rights through special Articles of Association (“AoA”), as an alternative. Indeed the AoA should be carefully tailored to reflect the intentions of the investors, and possibly to restrict the power of directors to make certain decisions before calling a valid extraordinary shareholders meeting. Also, the shareholders should execute a professionally drafted shareholders’ agreement. Any loans to the company should be carefully documented, including creditor protective covenants, and it should be clear in the AoA and shareholders’ agreement whether or not the repayment of loan principle and interest will take priority over payment of dividends.

PROPERTY TAX FIGURES FINALISED New bill to go before cabinet in January Land and buildings valued at more than 1 million baht will be subject to tax, with unused or vacant land to be charged at a progressive rate every three years but not exceeding a maximum level of 4% of the appraised value, according to the draft of the land and buildings tax bill. The new bill, which is expected to go before the cabinet January 2015, has set maximum rates at 0.5% for land for agricultural use, not more than 1% for residential use and not more than 4% for land for commercial use, said Kritsada Jinavijarana, directorgeneral of the Fiscal Policy Office (FPO). The new property tax will come into force after the Treasury Department has completed the assessment of all existing 32 million land plots nationwide. The department has already completed the assessment for 8 million plots. The new land assessment value will serve as the base for the land and buildings tax. The Treasury Department is expected to take about one and a half years to complete the assessment for overall land plots. The law is expected to take effect sometime in 2016. Mr Kritsada said land and buildings valued less than 1 million baht would be subject to tax waivers, while the effective rates for the new tax might be lower than the ceiling or maximum rate set. The land and buildings tax is part of the government’s agenda to reduce economic inequality, improve land distribution and improve the use of land across the nation. The cabinet endorsed the draft bill for the inheritance tax that seeks to impose a 10% levy on bequests of more than 50 million baht. The bill will be forwarded to the National Legislative Assembly for deliberation and take effect 90 days after publication in the Royal Gazette. Taxable assets include residences, land, vehicles, bonds, equities and deposits at financial institutions. Non-registrable assets such as jewellery, amulets and luxury watches are excluded.

The inheritance tax will be levied on those who receive assets worth more than 50 million baht from a deceased person, while a gift tax, a parallel tax aimed at closing loopholes in the inheritance tax, is imposed when the donor dies within two years of a transfer of assets to a beneficiary. The ceiling rate for gift tax, meanwhile, was set at 5% on bequests above 10 million baht. Beneficiaries subject to tax include Thai citizens and non-Thai citizens who have domiciles or headquarters in Thailand for three consecutive years. The tax is also applied to non-Thai citizens whose inherited assets are in Thailand. All assets donated to religious activities, universities or foundations for charity purposes will be exempt from tax payments. Assets inherited by wives or husbands after their spouse died will also be tax-free under the new regulations. In another development, Mr Kritsada said the FPO believed the economy would manage growth of about 1.4% this year. He said the recent National Economic and Social Development Board projection of only 1% growth this year did not take into account the government’s budget disbursement acceleration and 40-billion-baht cash handout to rice farmers. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. The down-lighting on the main living area’s windows are a centre-piece, while fiber optic stars twinkle under foot in the swimming pool and ensuite shower floor. Incredibly, this new technology consumes a fraction of the usual power required - all of the lighting throughout an entire Callisto villa is rated at under 400 watts, or 4 standard light bulbs. This environmentally friendly approach also extends to the other main electricity consuming feature, the air conditioning system. The villa only requires three units to keep it cool throughout even the hottest days. Not only that, Daikin top of the range air conditioning units are used with a unique water cooling system that achieves 30% more efficiency - the entire villa is effectively cooled by the equivalent of only two standard units. To complete this cycle of efficiency, hot water is then provided through the air conditioning heat recovery system.

Along with the design and location, no expense has been spared in building these properties with the very best materials. From solid oak doors to marble, porcelain tiles and tempered glass the structures are built with quality and durability in mind. It’s obvious when having a tour that villas are built to last. All of the doors and frames throughout are built from solid oak and there is extensive use of white and black polished marble. Other types of stone are used to subtly vary the appearance of rooms and embellish design aspects, including Sukabumi, lava and granite. There are porcelain tiles inside and ceramic outside, with extensive use of frameless glass throughout the structure which is tempered for strength and crystal clear. The villa is built with double walls of white ‘super block’ bricks creating an air pocket that insulates and protects. The entire 220 m2 structure and foundation is built with marine-grade concrete to prevent erosion. Walls are finished with plaster and skim coat for added durability. To compliment this forward-thinking approach, the best new technology available has been utilized to make the villas as energy efficient as possible with the minimal environmental impact on the tropical

The other potential impact on the environment is the chlorine used in a standard swimming pool. Remarkably, the Callisto private swimming pools use no chemicals whatsoever. Instead they use a non-aggressive, mineral treated water that is cleaned using a copper and silver alloy electrode in the filtering system. This is so efficient that if the pool isn’t swum in for 48 hours, it becomes so clean it actually exceeds US drinking water standards. You are literally swimming in fresh, clean water. The total electrical consumption of the building is around 8kw. FULL SCALE OF PLASTIC IN THE WORLD'S OCEANS REVEALED FOR FIRST TIME Over five trillion pieces of plastic are floating in our oceans says most comprehensive study to date on plastic pollution around the world. More than five trillion pieces of plastic, collectively weighing nearly 269,000 tonnes, are floating in the world’s oceans, causing damage throughout the food chain, new research has found. Data collected by scientists from the US, France, Chile, Australia and New Zealand suggests a minimum of 5.25tn plastic particles in the oceans, most of them “micro plastics” measuring less than 5mm. The volume of plastic pieces, largely deriving from products such as food and drink packaging and clothing, was calculated from data taken from 24 expeditions over a six-year period to 2013. The research, published in the journal PLOS One, is the first study to look at plastics of all sizes in the world’s oceans. Large pieces of plastic can strangle animals such as

seals, while smaller pieces are ingested by fish and then fed up the food chain, all the way to humans. This is problematic due to the chemicals contained within plastics, as well as the pollutants that plastic attract once they are in the marine environment. “We saw turtles that ate plastic bags and fish that ingested fishing lines,” said Julia Reisser, a researcher based at the University of Western Australia. “But there are also chemical impacts. When plastic gets into the water it acts like a magnet for oily pollutants. “Bigger fish eat the little fish and then they end up on our plates. It’s hard to tell how much pollution is being ingested but certainly plastics are providing some of it.” The researchers collected small plastic fragments in nets, while larger pieces were observed from boats. The northern and southern sections of the Pacific and

“The endgame for micro-plastic is interactions with entire ocean ecosystems.” The research, the first of its kind to pull together data on floating plastic from around the world, will be used to chart future trends in the amount of debris in the oceans. Atlantic oceans were surveyed, as well as the Indian ocean, the coast of Australia and the Bay of Bengal. The vast amount of plastic, weighing 268,940 tonnes, includes everything from plastic bags to fishing gear debris. While spread out around the globe, much of this rubbish accumulates in five large ocean gyres, which are circular currents that churn up plastics in a set area. Each of the major oceans have plastic-filled gyres, including the well-known ‘great Pacific garbage patch’ that covers an area roughly equivalent to Texas. Reisser said traversing the large rubbish-strewn gyres in a boat was like sailing through “plastic soup.” “You put a net through it for half an hour and there’s more plastic than marine life there,” she said. “It’s hard

HOW TO HANG YOUR PAINTINGS LIKE A PRO You have finally finished making a picture frame or have purchased the painting of your dreams and aren't confident on how to hang it. Let's walk you through it... SAFETY Be careful when using a ladder or standing on a chair. Always keep tools and materials away from children.

WHERE TO HANG YOUR PAINTINGS? The most common place to hang a painting is on a wall. However, there are areas on each wall which may be damaging to hanging paintings and ones which are better in terms of preservation. This is a major decision, both for the aesthetics and longevity of the painting. Ideally you would want to hang your painting on a wall which has a wall stud where you can securely anchor the wall hooks, away from any heat source with reasonable humidity and not in direct sunlight. Many of these are common sense factors when deciding the position, but must be considered as frames come in many different colours, sizes and weights. HANGING YOUR PAINTINGS If you are hanging a heavy picture on your plaster walls, make sure you source a wall stud or beam. Light weight pictures can hang from hooks that stick with adhesive to the wall or with using a nail. LOCATE THE WALL STUDS To find wall studs, simply rap your knuckles along the wall until you feel and hear a solid backing. If you can't guarantee your findings, you may like to use an

electronic stud finder that beeps or flashes when it passes over wall studs or ceiling joists. Wall studs are usually placed 400 or 600mm apart. If the best position for your painting isn't near the wall stud, you can choose to use a toggle, which once drilled and screwed in, it will expand and spread the pressure on your wall.

finger and measure the distance from your finger to the top of the frame. Measure down that distance from the pencil mark you made on the wall and mark that spot. Nail the picture hook into the wall where you've just made a mark. Carefully hang the picture and adjust it so that it is straight. Easy!

If your walls are brick, simply drill a hole with a masonry drill bit and then hammer in a plastic plug and insert the screw. Once you have decided if you need to use the wall stud to accommodate the paintings weight, now decided if the paintings will be suspended on a metal hook secured to the frame or from the paintings wire. HANGING WIRE The hanging wire should be looped through eye screws, secured in the right and left sides of the frame positioned a third of the way down from the top of the frame. It is your choice how long you want the wire, but as a rule the wire shouldn't be seen so measure prior to tightening the wire to the eye screws. MARK AND NAIL Measure and mark the top of the frame when you have it positioned correctly on the wall, you may need a ladder or chair. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain

RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.

RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.

GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.

SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.

SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.

LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)

STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.

STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.

STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.

In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited.
