Don’t worry – you do not have to invest in some highly expensive and intricate surround sound system or dedicated outdoor speakers (although these do increase the quality of the sound), you can easily run the audio through some old stereo speakers.
DVD Player: Cheap and cheerful is the go – you can get a DVD player as cheap as 1000 baht somedays at Tesco, Big C or somewhere similar, or perhaps you have an old one lying around the house that isn’t being used, dust it off and put it to use. A Video Game Console: What's better than getting the kids outside for some fresh air (and out of your hair) with some open air video games? Bring out your Xbox or PS3, hook it up to your projector, and enjoy the cool evening breeze while you (or the kids) play their favourite games. An Extension Cord: We recommend you invest in an outdoor-grade extension cord which are made to withstand the elements and are definitely the safest option when powering your new outdoor theatre. A Surge Protector: Knowing the islands and the power inconsistency, it is a great idea to ensure you have a surge protector. Why not combine the two and get a surge protector power board with extension lead! Cord Covers: Safety is key and duct tape or cord covers are a great idea to make sure no one trips in the dark, protecting you and your loved ones from a trip
to the emergency room instead of enjoying your night under the stars. Chairs/Beanbags: Get yourself comfortable with beanbags oversized cushions – or even a blow up mattress to really kick the comfort level up a notch. Lighting: Turn off all your outdoor lighting as ambient light reduces the contrast of projected movies and onscreen images can appear watered-down. BUT it is still a good idea to have at least a little light so that you can move around during the movie without tripping in the dark. Christmas or garden lights around the perimeter of your movie area are a great way to achieve this and they will not only protect any accidents, they will make it feel truly special. THE IMPORTANCE OF DUE DILIGENCE Real estate investors in Koh Samui and Koh Phangan are presented with many enticing opportunities, which is clearly evident to anyone flipping through the pages of this very magazine. As with any investment, choosing the right opportunity is about assessing and weighing the risks against the potential benefits. Knowing and mitigating the risks associated with a particular real estate investment can be assisted through detailed land title due diligence investigations, which should include enquiries into the land title history, legal access rights, and zoning restrictions, amongst other matters. GOOD TITLE? Under Thai law, there are many different forms of title and each form of title provides a different level of security for your investment. Three commonly known titles are (a) the Notification of Land Possession (Sor Kor 1), (b) the Certificate of Land Utilization (Nor Sor 3 or Nor Sor 3 Kor), and the (c) Land Title Deed (Chanote). The Notification of Land Possession is the least secure form of title of the three cited and is simply an official notification that a particular individual is in possession

of a portion of land. The Certificate of Land Utilization is a more secure form of title that provides the title holder with a right to utilize the underlying land (which is still technically owned by the State) and this title is relied upon as valid security for loans by reputable financial institutions. Finally, the most superior form of title is the Land Title Deed or “Chanote”, which represents freehold ownership of land. However, having “Chanote” title does not necessarily mean that the title is good, nor does the existence of a number of previous owners/transactions. In Thailand, title is not state guaranteed and consequently it is possible for a “Chanote” title to be issued, notwithstanding that the mandated procedures for upgrading previous title/issuing Chanote were not adhered to; and in some cases, Chanote title has been issued to persons in respect of land in which they had no prior interest, which is sometimes referred to as “flying title” in the media. Therefore a full title search should be undertaken, to determine the full history of the land title. If a land title lacks the appropriate history, or if irregularities appear in the title history, this could indicate simple administrative errors or alternatively, possible misfeasance in issuing
the title. Although in most cases the risk of a challenge to the title may be low, the possibility does exist and may be a factor in the investor’s decision. LEGAL ACCESS RIGHTS TO LAND On first viewing the target property, investors may take for granted that they have the legal right to access the land. However, unless the road is specifically designated for public use, the road may be privately held and therefore the right to use the road may be subject to the consent of the road owner. Before investing in land, it is therefore essential to undertake enquiries to determine whether the land has is directly adjacent to a public road, and if not, whether the land benefits from a registered servitude/s, granting full legal rights of access, including the right to bring electricity and water to the land. For the avoidance of any doubt, the access rights should be registered as opposed to contractual. BUILDING RESTRICTIONS Another reason every investor should consider conducting due diligence is to determine whether the proposed or existing construction is permitted on the
land. In Koh Samui and Koh Phangan, land is subject to zoning restrictions that limit the type of use, size, and scope of any construction. In order to accurately determine the zoning restrictions, an aerial survey of the land should be undertaken to confirm which zone the land is located within, as the rules applicable to the zone will dictate what exactly can be built on the land. These rules should be cross-checked against the plans and construction permits, and in the case of existing structures, should be cross-checked against what is in fact built on the land. This article is intended to provide a brief overview of some of the due diligence issues that can relate to land investments in Thailand, and is not intended to be exhaustive. Before entering into any significant transaction, investors should engage a qualified legal advisor with experience relevant to the transaction. FINANCE ISSUES HIT SMALL PLAYERS Small provincial property developers may struggle to get bank funding to finance residential projects as new, larger rivals blunt their competitiveness and erode their projects' viability. Amid the lacklustre economy and intensified competition in the provincial market after the entry of large developers, it is not easy for property developers and small companies owned by local people to tap project financing, said Siam Commercial Bank first executive vice-president Vipon Vorasowharid. Large developers can flex their muscles with a solid financial position, well-known brand and well-planned marketing. "We would not grant loans to small provincial developers if their project's feasibility was low, even if their collateral value was sufficient to cover liabilities. Project feasibility and debt payment ability are more important than collateral," Mr Vipon said. For example, a glut of serviced apartments exists in many provincial areas, he said. Jirachayuth Amyongka, senior executive vicepresident of CIMB Thai Bank (CIMBT), said the bank

would review its loan extension stance by March after having slowed down lending project financing to developers for a while. The deceleration in project financing is also in line with customers' demand. Developers have delayed starting projects because of the slow economy and swelling household debt's weakening of purchasing power. Even if CIMBT returns to a normal rate of project financing, it will stick to stringent scrutiny processes, with SET-listed developers and provincial developers with healthy financial track records and long-term experience as its target. CIMBT, which is 93.7% owned by Malaysia-based CIMB Group, expects its property loan ratio to be maintained at 10-15% of its SME loan portfolio. TMB Bank chief SME officer Trirong Butragaht said the bank had no plans to significantly increase its property loans, though they represent a small portion of its outstanding SME loans of 180 billion baht. The bank instead will concentrate on the manufacturing sector and supply chain businesses due to greater opportunities, he said, adding that TMB aimed for 2015 SME loan growth of 8%. Amid the growing outcry over the planned land and buildings tax, the Fiscal Policy Office (FPO) is rushing to soothe worries by providing a two-year grace period after the law takes effect and another two years of discounted tax rates before charging the full rates. The Finance Ministry will set up a tax exemption for the first two years after it takes effect, and homeowners and landlords need pay only half the rates in the third year and 75% in the fourth year, director-general Krisada Chinavicharana said. The ministry recently decided to halve the maximum rates for the land and buildings tax from the previous proposal and allow depreciation deductions. They are now 0.25% for land for agricultural use, 0.5% for residential use and 2% for commercial use. Unused or vacant land will be charged 0.5% tax, doubling every three years but not exceeding a maximum of 2% of the appraised value. The ministry previously set the ceiling rate for unused land at 4%. Moreover, owners of homes and land with an appraised value of less than 1 million baht after deducting depreciation will be exempt. Mr Krisada said the FPO would soon launch a comparative table of the proposed and current tax rates to show they were similar. He insists the effective tax rates will be lower than the maximum rates. The tax is expected to be enforced in 2017 after the Treasury Department completes appraisals of 30 million land plots. It has assessed only 7-8 million plots so far. The bill will replace the local development tax and house and land tax, which have been criticised as regressive since they are based on outdated appraisal prices and have many waivers. The tax is based on median prices from appraisals from 1978-81, which are far lower than present market value. The new tax is expected to generate higher revenue for local administrative organisations, lowering the government's burden in supporting them. Public land and buildings, non-profit assets of the Crown Property Bureau, land and property of the Thai Red Cross and the UN, cemeteries and embassy premises will not be not subject to the land and buildings tax. Samui Phangan sat down with Khun Bom from Samui Architect to find out what it takes in the world of design on the islands.
Samui Architecture is a well-known and established company on Koh Samui, what kind of services do you offer? Architecture and design, consultation and advice, project management, construction, 3D perspective drawing, swimming pool design, real estate services and our prices are reasonable. We have a 100% commitment to high quality construction, ensured by efficient project management by our senior architect and engineering team.
If you were to design your own dream home – what 3 key things would it include? If I was to design my own dream home, the key things I would focus on are space, light and privacy. It is really important to feel comfortable in your own home, so privacy is key - perhaps by using trees in the garden. Also designing it light and airy gives you a sense of space. Also the design would be based on tropical Thailand.
When did you establish Samui Architecture and who are some of your clients? Samui Architect has over 15 years experience in high quality project design, costing, and construction in Koh Samui and throughout Thailand. We work closely with mostly private clients to ensure that both costs are controlled, and that their ultimate expectations are realised. Have you always had a love of architecture? I have loved architecture since I was young. I always used to look at buildings and try and draw them, so eventually I went to university to study architecture so I could design homes and buildings I love. My personal style of architecture, I like modern mix with Thai style and tropical living area to match with tropical country like Thailand. What are 3 buildings around the world that would be your favourite in terms of architecture? My three favourite buildings in the world are the Frank Lloyd Wright's Residential, Angkor Wat and the Dancing House in Prague. I love these designs as they are intricate, show history and they use ornate layouts and there is a passion and love behind each design.
When designing, what advice do you offer clients to ensure they get the functionality and build they are seeking? The most important thing to us is customer satisfaction. We work accurately and within budget to ensure the client’s expectations are met and we always ensure everything is done legally, so there is no risk of violating the law. We like to incorporate environmentally friendly elements into customer’s homes as well. What can we expect to see from Samui Architecture in 2015? More and more clients are becoming aware of the environment and our impact on it – in 2015 we have a lot of clients who are now starting to incorporate ways to reduce their impact on the island during their build with various design elements and the materials they use. PROTECTING YOUR HOME Living anywhere in the world it is always a great idea to safeguard your home so you feel secure when you are home or away. Implementing a few easy things right through to installing high tech systems, can really make a difference and help deter a burglar from choosing your home as a target. Here are some ways to help secure your home so you can feel comfortable. GOING AWAY? • If you are going away, see if you can get someone to stay. You are less likely to get broken in to if someone is occupying your home. • Automatic light timers throughout the house and garden are a great way to make it look like someone is home. Have them timed to simulate normal living patterns (turn on room to room in time cycles etc) and make sure you purchase ones with a battery pack back-up in case the power goes off! The same kind of timers you use on lights can also be used to turn radios or TVs on and off.

Install an alarm – making it known to a potential burglar there is an alarm in play, will deter them from entering and if they do, at least the whole neighbourhood will know about it and they will most likely run a mile! If you are friendly with your neighbours, ask them to collect your mail, pop around and just check on the house every couple of days.
MAKE IT DIFFICULT FOR A BURGLAR TO BREAK IN • Seems pretty straight forward, but never leave your doors and windows unlocked – this is just an invitation for someone to come on in and help themselves. • Good quality deadbolt locks are a wise choice. Deadbolt locks should have a horizontal bolt at least 1 inch long. With shorter bolts, a burglar can more easily use tools to spread the door frame and open the door. • The most common way for a thief to force a door open is to kick it in. You can make this a lot harder by using a heavy metal ‘strike plate’ • Although somewhat unattractive, security bars on your windows are a great way to stop any would-be thief even thinking about getting in. • Use a metal or wooden rod in the track on sliding glass doors and windows to prevent them from sliding open. Never leave a ladder that can be used to access • your home outside.

Cut back tree limbs that hang over the roof or fences – this just makes it too easy for a burglar to climb up and access windows they perhaps could not have on their own
SECURITY SYSTEMS • Get yourself a dog! Dogs are a great deterrent (and great company) to would-be burglars. No one wants to risk getting bitten by your family security guard! • Installing an alarm with sensors is a great way to protect your home. These days, you can link them up to your smartphone and be alerted when it goes off, turn on and off various segments of your alarm and much more. • Install security cameras. Wireless security cameras than link to your smart phone (meaning you can view what is happening in your home at each camera point at any time of the day or night) are a great way to make you feel in control, and at the same time – a burglar that sees you have cameras is less likely to stroll in to your home! LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited. illa rental is fast becoming the preferred holiday accommodation option for a vast majority of vacationers to Koh Samui and Koh Phangan. Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. Holiday villas are generally fully furnished and include a full western kitchen with appliances, towels and bed linens, water and electricity and will normally include a maid service who will come once or more a week to change linen and tidy the villa, as well as a maintenance person to take care of the gardens and pool if included. There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. If booking your villa from outside of Thailand, it may be wise to use one of the more established

and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with. Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties. When you decide on the ideal holiday villa to suit your needs, you can relish in the fact that you will enjoy privacy, space and of course the beautiful tropical surrounds of Koh Samui and Koh Phangan.
