Kirby Davis

The Greater Nashville Apartment Association is pleased to honor W. Kirby Davis, Jr. as the 2018 Lifetime Achievement Award recipient. Kirby Davis has been an active member of the Greater Nashville Apartment Association for several decades. His support and leadership has been unwavering from First Management through his tenure at Freeman Webb Companies. Kirby was elected to the GNAA Board of Directors in 1998. With the support of his peers, he rose through the levels of Board service to become President of the GNAA Board of Directors in 2002. Kirby is also a Past President of the Tennessee Apartment Association. Before joining Freeman Webb in 2014, Kirby served as Executive Vice President and ultimately President of First Management Services based in Nashville, TN, managing approximately 5,000 multifamily units in Tennessee, as well as over 700,000 square feet of shopping centers. In 2014, First Management Services merged with Freeman Webb where he assumed the title of Chief Operating Officer. All but one of First Management’s employees made the transition to Freeman Webb. Prior to his tenure in property management, Kirby received his law degree from the University of Tennessee at Knoxville, where he graduated Order of the Coif. He then served as law clerk to the Honorable L. Clure Morton, United States District Judge from 1983 to 1985. After completing his clerkship, Kirby worked in New York as an attorney in the offices of William S. Friedman, Vice Chairman of Southmark Corporation, which was then the largest owner and operator of apartments in the United States. Kirby is licensed to practice law in Tennessee and several of the federal circuits. Kirby returned to Nashville in 1986 to work for Mid-South Financial (now Vista Commercial Mortgage), originating mortgage loans and brokering investment real estate. In his three years at Mid-South Financial, he financed and sold over $100 million of real estate. Kirby has been active in a variety of charitable, civic, and professional organizations. He served in 2007 as chairman of the Nashville Downtown Partnership and currently serves the board as chair of the Business Development, Retail and Residential Committees. In 2008, he was named Volunteer of the Year by the Nashville Downtown Partnership and again received that award in 2013 as part of How’s Nashville focused on ending homelessness in Nashville. He currently serves on the board of Apartment Life. Kirby remains active with GNAA as a Past President chairing the Budget and Finance Committee. He has been influential in keeping the GNAA strong financially over the past two decades. He worked closely with Diane Carter and the Executive Committee to expand GNAA’s office to better serve our members with education functions and networking opportunities. Kirby was instrumental in bringing the NAA State Lease program to Tennessee after eighteen months of research in collaboration with Wes Hall and other GNAA stakeholders. The Lease creation was challenging due to Tennessee’s legal structure statewide. Kirby recently chaired the Succession Committee to develop a plan that will result in seamless leadership staffing of GNAA. Kirby is part of a second generation of multifamily industry leadership. He follows his father, Willie K. Davis, who founded First Management Services in 1969 (just one year after our Association was formed) and currently works with his sister Patti Ruccio, Regional Manager; son-in-law Sully Lemmons, property manager; and Kim Mayo, broker for Freeman Webb. In the past, his brother Andy worked with them but he now serves as principal of Julia Green Elementary and has the distinction of being the only doctor in the family. Kirby is married to his high school sweetheart Ann Davis. For her sake, he won’t tell how long they have been dating. They have two daughters, Kate (Sully) and Laura along with two granddaughters, all of whom live in Nashville.

Revisiting Short Term Rental Properties As we all know, there has been consistent growth in the short-term rental property business, especially in the Metro Nashville area. We also know that the Metro Council and the State Legislature are now taking active roles in regulating (or attempting to regulate) short-term rentals. In addition to its legislative efforts, Metro Nashville is also expanding its ability to actively seek out unauthorized short-term rentals and penalize those operators.

If a landlord or owner determines that they will not authorize their apartments for STRP use, that provision must be in the lease agreement. Many leases will specify that an apartment is to be used as a personal residence only, but it will clarify matters greatly if there is a specific prohibition against listing or renting the unit as a short-term rental. Such a specific provision will defeat the tenant’s argument that they didn’t think operating an STRP violated the lease.

Last year, Metro contracted with a software company whose product is designed to scour a multitude of short-term rental listing sites, social media platforms, and other websites to locate unauthorized STRP operators. Although their staffing limitations restrict them to pursuing about 200 monthly, this software returns between 1,200 and 2,000 illegal STRP operations per month. This has resulted in an enormous increase in tax collections from STRP operations.

It’s not enough to simply prohibit STRPs on our property. Management must take reasonable steps to discover short-term rentals on our properties. While we may not have access to the software that Metro is using to locate these operators, we can certainly run a periodic check on the more popular STRP listing sites, such as AirBnb, VBRO, FlipKey, and HomeAway. If we discover an unauthorized rental, we should immediately print or save a PDF of the website listing, the user’s profile information, and any other identifying information that will help us link the unauthorized listing with our tenant. The tenant will almost certainly remove the listing when he’s been found out. Only after we have collected all our evidence should we notify the tenant of the unauthorized use of his rental unit.

Landlords should determine if they intend to authorize their units for STRP use, whether they allow tenants to do so or operate the STRP themselves. The legal requirements to obtain a short-term rental permit are ever-changing. Landlords and owners should not only fully investigate how to maintain compliance before managing an STRP unit, but they should also monitor changes to that process as time goes on. According to Metro’s Codes, the responsibility and liability involved in operating an unauthorized STRP falls to the property owner, not the tenant. While a landlord may hold a contractual cause of action against their tenant, Metro has the legal right to pursue the property owner for unpaid taxes and penalties as a result of those operations. With the holidays quickly approaching, the STRP market in Nashville is as ripe as ever – there’s no better time to revisit our policies and practices regarding short-term rentals.

Management must determine how best to deal with an unauthorized STRP: a verbal or written warning, a curable notice of termination, or a non-curable notice of termination. Keep in mind, however, that (1) proving the violation a second time will be much more difficult than the first, now that the tenant knows you’re watching, and (2) Metro may not be as forgiving if they discover the STRP after the landlord knew about it and allowed it to continue. There is not a consensus among landlords on whether investors should participate in, or even allow, short-term rentals on their properties, but whatever position we take, we must be sure that we understand how best to implement our policies in compliance with Codes and State law.
