Article 1) Terms of Reference The term ‘Exhibitor’ shall include all employees, partners, firms or any individual to whom space within the venue has been allocated for the purpose of exhibiting. The term ‘Organizer’ shall refer to ‘Reed Exhibitions Korea’ and ‘EXPORUM.’ The term ‘Host’ shall refer to ‘EXPORUM’ and ‘Monthly Coffee.’ The Term ‘Exhibition’ shall mean ‘the 19th Seoul International Cafe Show (Cafe Show Seoul 2020).’ Article 2) ALLOCATION OF EXHIBIT SPACE The Organizer shall allocate the space in accordance with the order of application submission, the order of payment, the number of booths, loyalty (the number of times the Exhibitor consecutively participated in Cafe Show Seoul) and the nature of the exhibit item in a manner the Organizer deems fit. Article 3) APPLICATION AND PAYMENT PROCEDURES The contract shall be established and put into immediate effect after the application is submitted. A signed copy of the contract is required for it to be effective. Deposit (20% of the participation fee) must be submitted within a week after the contract has been sent in. 30% of the participation fee must be submitted by February 28th, 2020. The remaining balance (50% of the participation fee) must be paid in full by July 31st, 2020. The remittance charge and the intermediary bank commission must be paid by the exhibitors. As soon as the contract is submitted, all terms and conditions of exhibiting follows. If the Exhibitor is to cancel participation after the contract is submitted, Article 9 of these terms and conditions is put into effect. Article 4) Set-up and Dismantling The installation and dismantling of exhibit items and booths must be completed by the date and time announced by the Organizer. Exhibitors must indemnify the Organizer against any loss, which may be caused by delay or damage to the Exhibition Hall. Article 5) Insurance, Security and Safety Exhibitors are required to subscribe to all risks in the insurance policy on all equipment and products during the Exhibition as well as during set-up and dismantling periods. The Organizer shall provide security to protect the Exhibitor’s products but shall not be held responsible for any loss, theft or damage to any articles belonging to the Exhibitor. Article 6) Exhibit Items The Exhibitor must only display the exhibit items written on the application and Exhibitor profile. The Organizer has the right to prohibit certain items from being displayed if the items go against the overall premise of the Exhibition. Article 7) Sales The purpose of participating in the Exhibition is to demonstrate the Exhibitor’s materials and related services. The Exhibitor is not permitted to conduct sales activities at the Exhibition. Exceptions shall be made by the Organizer for sale and sampling in a special section of the Exhibition. All accompanying taxes and all other matters related to sales shall be the responsibility of the Exhibitor. Article 8) Breach of Contract and Withdrawal by the Exhibitor In the event that the Exhibitor refuses to use all or part of the Exhibition space applied for by the Exhibitor, or fails to pay the deposit and or the participation fee, the Organizer may unilaterally terminate the participation of the Exhibitor, in which case any paid participation fee shall not be returned. Article 9) Penalty on Cancellation and Reduction of Participation If the Exhibitor were to cancel its participation or reduces the number of booths after the contract is submitted, the Exhibitor shall notify the Organizer in written statement the reason for cancellation and or reduction. The penalty prescribed in the following shall be paid to the Organizer within 15 days of cancellation and or reduction: - Cancellation or reduction made on the day of contract submission ~ February 28th, 2020: 50% of the total or reduced participation fee paid to the Organizer as penalty - Cancellation or reduction made between March 1st ~ July 31st, 2020: 80% of the total or reduced participation fee paid to the Organizer as penalty - Cancellation or reduction made after July 31st, 2020: 100% of the total or reduced participation fee paid to the Organizer as penalty Article 10) Supplementary Regulation The Organizer shall have the right to issue supplementary regulations in addition to those outlined in the current Terms and Conditions, and the Exhibitor must consent to these regulations. The Exhibitor also must comply to rules and regulations of the Venue (Coex). Article 11) Arbitration of Disputes Any disputes, differences and questions arising hereafter between the Organizer and the Exhibitor concerning the Terms and Conditions or any other matters concerning the rights and obligations of both parties shall be finalized and resolved by the arbitration of the Korean Commercial Arbitration Board.
