A Regular meeting of the Housing Authority Commission of the City and County of San Francisco met at 440 Turk Street, San Francisco, California, on Thursday, October 14, 2010, at 4:00 p.m.

Vice President Gans called the meeting to order at 4:07 p.m.

There was a technical error during the recording of this meeting.

ROLL CALL PRESENT:

APPROVAL OF AGENDA Vice President Gans motioned to approve the agenda. Commissioner Hunnicutt seconded the motion. The agenda was approved unanimously.

GENERAL COMMUNICATIONS/ REPORT OF SECRETARY Henry Alvarez, Executive Director informed the Commission that they could find routine information from San Francisco Housing Authority (“SFHA”) staff as well as any pertinent information from HUD in their Commission binder.

He also took the time to welcome to new Commissioner, Ahsha Safai and Dr. Veronica Hunnicutt to the SFHA Board of Commissioners.

COMMITTEE REPORTS There were no Committee Reports.

REPORT OF GENERAL COUNSEL Mr. Roger Crawford, Special Assistant to the Executive Director informed the Commission that there would be a Closed Session to discuss labor negotiations and pending litigation.

TENANT REPRESENTATIVE REPORT Dorothy Ramey, President of City-Wide Council Senior Disabled (“CCSD”) reported on several issues including finances, upcoming meetings and events.

Joyce Armstrong reported for Kimberly Hill-Brown, President of Public Housing Tenants Association (“PHTA”). She informed the Commission that Ms. Brown had a family emergency and could not attend the meeting. Ms. Armstrong briefed the Commission on the NAR-SAAH conference that approximately twenty residents attended in Detroit Michigan.

Vice President Gans motioned to approve the Consent Agenda.

Commissioner Hsu seconded the request. The Consent Agenda was approved unanimously.

B) ACTION ITEMS 1. [FY 2011 Budget] An Informational Presentation was presented by Herb Lum, Budget Manager on the FY 2011 Budget.

2. [Authorization for the Executive Director to: (1)Negotiate and Execute an Exclusive Negotiating Rights Agreement; (2) Negotiate a Disposition and Development Agreement, Ground lease, and Related Development

Commission Meeting Minutes October 14, 2010 Page 4 Agreements; and (3) Apply for and pursue Funding opportunities with CP Development Co.,LP, and McCormack Baron Salazar, Inc. for Revitalization of the Alice Griffith Public Housing Site] Barbara Smith, HD/MOD Administrator presented this Resolution. The purpose

of this Agreement is to establish procedures and standards for the negotiations between the Authority and the Developer for a Disposition and Development Agreement, Ground Lease and related development documents.

The Developer will develop and construct improvements both on and off the Alice Griffith site that include one for one replacement of the existing 256 public housing units. The Authority will convey a portion of the site and lease the remaining portions of the site to the Developer at a purchase price and lease payment amounts to be negotiated. Negotiations will also include a right of first refusal and option to purchase the affordable rental housing improvements for the Authority after the tax credit compliance period.

By execution of the ENRA, the Authority and the Developer are agreeing to good faith negotiations, exclusive negotiations and a 24 month schedule, with provisions for extensions to accomplish the following: Site and Architectural Plans; Purchase Price and Lease for the Property in each Phase.; Master Development Agreement (MDA) to govern the entire project as well as an initial Development and Disposition Agreement (DDA) and /or Ground Lease for the first phase of the project; Use, Configuration and Phases of the Project; Schedule of Performance; Reports, studies, analyses, correspondence, and similar documents will be provided to the Authority; Planning Approvals and Entitlements; Environmental Review; Subdivision Map; Financial Proforma Analysis; Organizational Documents; Revitalization Plan; Utilities; Progress Reports; Relocation Plan; Demolition of Existing Units; Resident Hiring and HUD Approvals.

With the ENRA in place, the Authority, the Developer, and City, will also be able to pursue funding opportunities as co-applicant and/or through collaborative agreements, including the recently released HUD Choice Neighborhoods Notice of Funding Availability, State of California grants and/or loans, tax-exempt bonds, low income housing tax credits, tax increment generated from the development of the Hunters Point Naval Shipyard and Candlestick Point, and private investment.

Commissioner Safai requested clarification on the Resident Hiring portion of the Alice Griffith Revitalization. Ms. Smith informed him that the development team members have a strong track record of hiring residents

The development teams recognize the compelling need to involve residents in the planning and development process and to provide employment opportunities to residents. All parties are committed to achieving the goals established by the Authority Commission.

Commissioner Jones commended staff on the Revitilization efforts made by staff at Alice Griffith. He then went on to motion to approve this item.

Commissioner Hunnicutt seconded the motion. This Resolution was approved unanimously.

3. [Contract with MeWare for training services in an amount not to exceed $500,000 ] David Rosario, Director, Information Technologies presented this Resolution. The Resolution is to ratify the approval of $250,000 expended for Me-Ware for FY 2010 and to approve additional training for an amount not to exceed $250,000 for FY 2011.

The SFHA determined that staff needed additional training regarding the use of the new MeWare Software in the following areas: tenant certifications and re-certifications; Section 8 an Public Housing unit inspections; rent collections; property management; accounting; HUD reporting; real time PHAS indicator scores; automatic 50058 validation and transmittals to HUD; and, the preparation of comprehensive financial and other reports Commissioner Hunnicutt motioned to approve this item. Commissioner Jones seconded the motion. This Resolution was approved unanimously.

COMMISSIONERS COMMENTS AND REPORTS Both President Brown and Commissioner Jones applauded the new Commissioner, Dr.Veronica Hunnicutt and Commissioner Ahsha Safai to the San Francisco Housing Authority Board.

CLOSED SESSION A Closed Session was scheduled with the Executive Director and Agency Counsel under Government Code Section 54957(b)(1), 54956.9, 54957.6 to update the

Commission Meeting Minutes October 14, 2010 Page 6 Commission on personnel issues, pending litigation and labor negotiations. The Commission went into Closed Session at 4:40 p.m. A decision was made to settle the Adley vs. SFHA ADA charge.

ADJOURNMENT There being no further business to come before the Commission, Vice President Gans motioned to adjourn the meeting. Commissioner Jones seconded the motion.

President Brown adjourned the Commission Meeting of October 14, 2010, at 5:25 p.m.
