A Regular meeting of the Housing Authority Commission of the City and County of San Francisco met at 440 Turk Street, San Francisco, California, on Thursday, December 09, 2010, at 4:00 p.m.

President Brown called the meeting to order at 4:04 p.m.

ROLL CALL PRESENT:

Rev. Amos Brown, President Micah Allen, Commissioner Jane Hsu, Commissioner Dr. Veronica Hunnicutt, Commissioner Matthew Schwartz, Commissioner Ahsha Safai, Commissioner (arrived at 4:11)

A quorum was present.

APPROVAL OF AGENDA Commissioner Hunnicutt motioned to approve the agenda. Commissioner Hsu seconded the motion. The agenda was approved unanimously.

GENERAL COMMUNICATIONS/ REPORT OF SECRETARY Henry Alvarez, Secretary informed the Commission requested to take the Midnight Basketball as a part of the Secretary’s Report. At this point, Commander Kitt Krenshaw informed the Commission about the progress and conclusion of the Midnight Basketball Program.

Mr. Alvarez also introduced Vir Chua, Accounting Manager, who presented a spreadsheet on the Tenant Accounts Receivables. A lengthy discussion was held around

Commission Meeting Minutes December 09, 2010 Page 2 the Tenants Account Receivables, repayment agreements, and the steps the SFHA needs to take to get the accounts receivables balance down to a more manageable amount.

COMMITTEE REPORTS There were no Committee Reports.

REPORT OF GENERAL COUNSEL Mr. Roger Crawford, General Counsel informed the Commission that there would be a closed session to discuss labor negotiations and pending litigation.

TENANT REPRESENTATIVE REPORT Dorothy Ramey, President of City-Wide Council Senior Disabled (“CCSD”) reported on several issues including finalizing the Senior Building without Boards, schedule of meetings, credit card update and a CCSD Christmas event.

No one was present from the Public Housing Tenants Association.

NEW BUSINESS A. CONSENT AGENDA NOTE: All matters listed hereunder constitute a Consent Agenda, are considered to be routine by the SFHA Board and will be acted upon by a single vote of the Board.

There will be no separate discussion of these items unless a member of the SFHA Board so request, in which event the matter shall be removed from the Consent Agenda and considered as a separate item.

1. [Expense Of Annual Microsoft Enterprise Agreement For Year Ending November 30, 2011 In The Amount Of $73, 257.59]; Consideration and Approval. Presented by David Rosario, Director of Information Technology.

B. ACTION ITEMS

1. [Hunters View Developer Assignment Of Rights And Disposition/Development Agreement For San Francisco Redevelopment Agency Property And Authority Acceptance Of The Property]; Dominica Henderson, Management Analyst presented this Resolution. The SFHA’s comprehensive physical needs assessments going back to 1997 and the 2007 Mayor’s HOPE SF Task Force identified Hunters View as a public housing development that is in need of revitalization with enormous immediate capital improvement needs. The Hunters View redevelopment, as the HOPE SF pilot project, incorporates all of the HOPE SF goals into the revitalization, insuring no loss of public housing, and utilizes the “HOPE SF” financing structure with innovative financing from the City and County of San Francisco as well as funding from the San Francisco Redevelopment Agency, SFHA, State, Federal and private sources.

The Agency and the Developer entered into that certain Disposition and Development Agreement dated March 16, 2010 in which the Agency agreed to convey to the Developer that certain real property as described therein to be developed by the Developer as part of the Development. The City has requested for the application of the Subdivision Map to be made by one property owner, the Authority, in order that the property may be subdivided in a manner consistent with the proposed Development; and upon approval by the City; the SFHA intends to lease or convey the property to the Developer or its affiliate in connection with the Development.

The SFHA and the Developer desire to enter into that certain Assignment and Assumption Agreement assigning the DDA to the Developer with the consent of the Agency, in order for the Agency Property to be conveyed to the SFHA. Due to the fact that Agency Property will be conveyed to the Authority as a public agency, the SFHA desires to execute the Certificate of Acceptance regarding the grant deed.

Commissioner Hunnicutt motioned for approval of this Resolution. Commissioner Allen seconded the motion. This Resolution was approved unanimously.

2. [Memorandum Of Agreement with the City and County of San Francisco Department of Public Works (“DPW”) for Tree Removal and Maintenance Services not-to-exceed $160, 000]; Anthony Ihejeto, Director of Public Housing Operations presented this Resolution.

The San Francisco Housing Authority (“SFHA”) maintains approximately 500 trees throughout the developments yearly. Previously, the SFHA utilized four vendors to service our trees. For Fiscal year (“FY”) 2010, the SFHA would like to enter into a

Commission Meeting Minutes December 09, 2010 Page 4 Memorandum of Agreement with the City and County of San Francisco’s Department of Public Works (“DPW”) for tree inspection and removal service in an amount not to exceed $160, 000.

DPW has the required equipment and knowledge of the permit process in tree removal required by the City and County of San Francisco. Any work provided for this agreement shall not displace any employees from either Agency. Funding for this Memorandum of Authority is available under the Public Housing Operations FY 2010 Budget.

Commissioner Safai requested clarification on the current amount that the agency spent last year on tree maintenance. Mr. Ihejeto informed the Commission that was $113,000 was spent on tree maintenance but that the amount will increase with this MOU because of the more specialized technical tree maintenance DPW will provide.

Commissioner Safai motioned to approve this Resolution. Commissioner Hunnicutt seconded the motion. This Resolution was approved unanimously.

3. [Corrective Action Plan: Section Eight Management Assessment Program]; Nicole McCray-Dickerson, Acting Director of Section 8 presented this Resolution.

The Department of Housing and Urban Development conducted an review of the management of the San Francisco Housing Authority’s Section 8 Program on April 26, through 30, 2010. The findings of that audit are reflected in the SFHA Section Eight Management Assessment Program Corrective Action Plan.

The CAP describes HUD’s finding, milestones, deliverables and target date for completion of the corrective actions as follows: 1) SFHA Policies and Procedures; 2) Utility Allowance Schedules; 3) HCV Payment Standards; 4), Public and Indian Housing Information Center reporting; and 5) Family Self Sufficiency.

All findings are targeted for completion no later than December 2011. Additionally, HUD requires your Board approval and subsequent monthly review of the Authority progress in completing the CAP. Commissioner Hunnicutt motioned to approve this Resolution. Commissioner Schwartz seconded the motion. This Resolution was approved unanimously.

4. [Corrective Action Plan: Quality Assurance Division (“QAD”) Rental Integrity Monitoring (“RIM”)] Nicole McCray-Dickerson, Acting Director of Section 8 presented this Resolution.

The Department of Housing and Urban Development Quality Assurance Division conducted an review of the management of the San Francisco Housing Authority’s Section 8 Program on March 8 through 12, 2010. The findings of that audit are reflected in the Rental Integrity Monitoring Corrective Action Plan.

Commission Meeting Minutes December 09, 2010 Page 5 The CAP describes HUD’s finding, milestones, deliverables and target date for completion of the corrective actions as follows: 1) Late Annual Re-Examinations; 2) Miscalculation of Utility Allowance; 3) Missing Documentation; 4) Not accurately calculation annual and adjusted income; and 5) No Procedures to Ensure Quality of EIV Data.

All findings are targeted for completion no later than December 2011. Additionally, HUD requires your Board approval and subsequent monthly review of the Authority progress in completing the CAP. Commissioner Hunnicutt motioned to approve this Resolution. Commissioner Safai seconded the motion. This Resolution was approved unanimously.

5. [ Authorization to Begin Public Dialogue on Back Rent and Ranking Preferences] Linda Martin, Ombudsman, Office of the Ombudsman and Communications presented this Resolution. The SFHA is requesting the Board’s approval to establish a forum of stakeholders within the community to update the local preferences currently listed in the SFHA’s Administration and Occupancy Policy and the Administrative Plan for Section 8. The updating of local preferences will occur during the annual administrative plan process. However, since this process has not yet begun, the SFHA would like the Board’s approval to begin meeting with advocates, residents, and SFHA staff on this issue in order to be better prepared when the annual administrative plan process begins in early 2011.

In a good-faith effort to ascend from this debt wants to establish a forum of stake holders in the community, which may include subsets of working groups, to begin a public dialogue on how to more effectively improve rent collection. The forum(s) would invite residents and advocates to discuss solutions and suggestions to further explore how the SFHA may collect on rent.

Commissioner Safai wanted to make sure that staff came back to the Commission with a clear cut plan for how this dialogue would be handled. Mr. Alvarez assured the Commission that staff would bring that information to the board..

Commissioner Safai motioned to approve this Resolution. Commissioner Hunnicutt seconded this Resolution. This Resolution was approved unanimously.

Commission Meeting Minutes December 09, 2010 Page 6 A Closed session is scheduled with the Executive Director and Agency Counsel under Government Code section 54957 (b) (1), 54956.9, 54957.6 to update the Commission on personnel issues, pending litigation and labor negotiations. The Commission went to closed session at 5:15pm. A decision was made to settle the workers compensation claim of Maria Morales and Yolanda Thompkins as well as the Donise Manchester vs. SFHA labor and arbitration matter. A decision was also made to cancel the contract for convenience between the SFHA and Berman Hopkins for auditing services.

ADJOURNMENT There being no further business to come before the Commission, Commissioner Schwartz motioned to adjourn the meeting. Commissioner Safai seconded the motion.

President Brown adjourned the Commission Meeting of December 09, 2010, at 6:35 p.m.
