A Regular meeting of the Housing Authority Commission of the City and County of San Francisco met at 440 Turk Street, San Francisco, California, on Thursday, March 25 2010, at 4:00 p.m.

President Brown called the meeting to order at 4:10 p.m.

APPROVAL OF AGENDA During this time, Roger Crawford, Special Assistant to the Executive Director made an announcement that the discussion of the Executive Directors contract would be pulled from the Closed Session. Vice President Gans motioned to approve the agenda.

Commissioner Hsu seconded the motion. The agenda was approved unanimously.

GENERAL COMMUNICATIONS/ REPORT OF SECRETARY Henry Alvarez, Executive Director informed the Commission that they could find routine information from SFHA staff as well as any pertinent information from HUD in their Commission binder.

REPORT OF GENERAL COUNSEL Mr. Roger Crawford, Acting Director of Human Resources informed the Commission that there would be a Closed Session to discuss labor negotiations and pending litigation.

TENANT REPRESENTATIVE REPORT Dorothy Ramey, President of CCSD introduced herself to the Commission. She reported on several issues including finances and a requested auditors report.

Kimberly Hill-Brown, was not present at the meeting. Ramona Collie reported in her absence on a issues concerning PHTA including training and elections.

PUBLIC COMMENT ON AGENDA ITEMS There were no public comments on agenda items.

NEW BUSINESS CONSENT AGENDA NOTE:

All matters listed hereunder constitute a Consent Agenda, are considered to be routine by the San Francisco Housing Authority Board and will be acted upon by a single vote of the Authority Board. There will be no separate discussion of these items unless a member of the Authority Board so request, in which event the matter shall be removed from the Consent Agenda and considered as a separate item.

Vice President Gans motioned to approve the Consent agenda. Commissioners Hsu seconded the motion. The consent Agenda was approved unanimously.

Barbara Smith, MOD/HD Administrator presented this Resolution. this resolution will enable the Executive Director to identify clean energy development companies, solicit and evaluate proposals for the fuel cell

Commission Meeting Minutes March 25, 2010 Page 3 technology services they provide, conduct a feasibility assessment and negotiate an energy savings agreement. The Authority has an interest in identifying new energy sources for its housing developments that reduce annual utility costs, lower current emissions and minimize weather-related power outages. Fuel cell technology is an efficient method of converting natural gas energy into electrical energy at a lower cost than power from the grid. The process is twice as efficient as burning natural gas. Since it creates electricity where it is needed, rather than at a distant power plant, it takes stress off aging electrical grids and power lines.

Electricity using fuel cell technology is expected to result in a net annual savings of over 13.5 percent or over $500,000. It is expected to reduce current utility expenses and provide a hedge against increasing costs in future years. The Authority’s resident hiring requirements will be incorporated into any fuel cell technology agreement. Preliminary information indicates that up to 20 full time equivalent green jobs may be created for every 10 fuel cells installed. The Authority’s MBE/WBE participation requirements would be incorporated into any fuel cell technology agreement.

A PowerPoint presentation was presented to explain the concept thoroughly.

Vice President Gans motioned to approve this Resolution. Commissioner Jones seconded the motion. This Resolution was approved unanimously.

2. [Execution of Agreements with AMERESCO for Energy Improvements in an amount not to exceed $45.5M] Consideration and Approval. Presented

by George Gager, MOD/HD Manager This resolution authorizes the Executive Director to sign two Agreements with Ameresco. The first Agreement is the Energy Services Agreement (ESA) authorizing up to $33 million in financing for the installation of various energy improvements. The second Agreement is the construction contract for additional energy improvements that will be funded by the $12,498,000 HUD Capital Fund Recovery Competition (CFRC) Grant awarded to the Authority on September 23, 2009. This Agreement was previously presented to the Commission on July 23, 2009 The energy improvements will be implemented for 5,048 housing units at 37 sites.

When completed water and sewer costs will be reduced by 37.2 percent, electric costs by 29.3 percent, and gas costs by 16 percent. The anticipated water savings alone is projected to exceed 160 million gallons per year.

Once implemented, this energy conservation program will provide more than $27 million in unit upgrades at no cost to the Authority. Simply stated, HUD will continue to fund its utility allowances at their current rate so that the proposed financing will be entirely amortized by the utility cost savings generated by the

Since these savings are guaranteed by Ameresco for the 20 year term of the financing there will be little or no risk to the Authority. Lastly, as part of the final negotiations with Ameresco a $700,000 reduction in their fees was achieved.

Ameresco recognizes the need to involve residents in the planning and implementation process and provide employment opportunities as part of Energy Performance Contracting. The firm has agreed to provide resident training and hiring requirements that will meet or exceed the 25 percent of the total workforce hours requirement established by the Commission for both construction and nonconstruction jobs. Ameresco is committed to meeting or exceeding the 20% MBE/WBE participation goals of the Authority. The firms have a diverse workforce and have provided an Affirmative Action Acknowledgement form.

Commissioner Larkin motioned to approved this Resolution. Vice President Gans seconded the motion. This Resolution was approved unanimously.

3. [San Francisco Housing Authority and San Francisco Police Department 2009-2010 Memorandum of Understanding for supplemental law enforcement and shot spotter technology in an amount not to exceed $$1,173,995.00] Jim Ferry, Security Coordinator, presented this Resolution in addition to SFPD Commander Charlie Orkes. The San Francisco Housing Authority (“SFHA”) and the San Francisco Police Department (“SFPD”) have implemented a Housing Liaison Program that provides supplemental law enforcement services for several large family developments. The 2006 Memorandum of Understanding (“MOU”) provided Housing Liaison Officers at Sunnydale, Potrero and Hunters View/Hunters Point/Westbrook. In early 2007 Housing Liaison Officers were added at Alemany, Hayes Valley and Plaza. The contract extension presented today is for July 1, 2009 through June 30, 2010.

In addition to the Supplemental Police Services that will be provided, the SFPD will also be installing, through a Citywide program, Shotspotter technology. ShotSpotter is the industry leader in the development of gunshot and sniper detection. The approval of this item will allow the Executive Director to enter into an MOU with the SFPD to provide Shotspotter and supplemental police services at Sunnydale, Hunters Point/Westbrook/Hunters View, Potrero, Alice Griffith, Alemany, Hayes Valley and Plaza. In turn this will allow staff to continue its efforts with the Cause cases to promote a safe, healthy environment for the residents.

The residents benefit by having dedicated Housing Liaison Officers at their sites, so the SFHA can continue to pursue its mission of providing, safe,

Commission Meeting Minutes March 25, 2010 Page 5 decent, sanitary housing for the residents. The cost of providing supplemental police services will be allocated between Low-Income and Capital Fund Program budgets in the amount of $1,173,995.00.

President Brown requested a breakdown on the number of repeat offenders and how many f our residents that were arrested were convicted.

Commissioner Brown motioned to approve this Resolution. Commissioner Jones seconded the motion. This Resolution was passed unanimously.

4. [Increase In Training Budget Line Item by $500,000 and Report on the status of Implementation of the new Computer System] An Informational Presentation was presented by Herb Lum, Budget Manager on implementing a new computer system..

COMMISSIONERS COMMENTS AND REPORTS Commissioner Larkin commented on the agencies need to be fully transparent and to make sure that the Board receives all the information it needs to be informed on the Resolutions they are approving.

CLOSED SESSION A Closed Session was scheduled with the Executive Director and Agency Counsel under Government Code Section 54957(b)(1), 54956.9, 54957.6 to update the Commission on personnel issues, pending litigation and labor negotiations. The Commission went into Closed Session at 5:32 p.m.

ADJOURNMENT There being no further business to come before the Commission, President Larkin motioned to adjourn the meeting. Commissioner Jones seconded the motion. Vice President Gans adjourned the Commission Meeting of March 25, 2010, at 629 p.m.
