‫عــام جديــد يحمــل فــي طياتــه الكثيــر مــن اآلمــال واألحــام‬ ‫نستبشــر فيــه الخيــر والتغييــر إلــى األفضــل دائمـ ًـا ‪.‬‬ ‫منــذ تأســيس منصــة ســتات أب ســعينا علــى إثــراء المحتوى‬ ‫فــي ريــادة األعمــال مــن الكويــت وإلــى العالــم العربــي مــن‬ ‫خــال اإلصــدارات الخاصــة لســتارت أب وعبــر الوســائط‬ ‫اإللكترونيــة المتعــددة ‪.‬‬ ‫كان هدفنــا األساســي هــو تعزيــز الشــراكات وبنــاء العالقــات‬ ‫وتطويرهــا بيــن أوســاط المجتمــع الريــادي‪ ،‬نحــن نعمــل علــى‬ ‫تعزيــز االبتــكار واالســتفادة مــن خبــرات البعــض وتنميــة‬ ‫المهــارات الشــخصية لــرواد األعمــال ‪ .‬نفخــر بأننــا أول مــن‬ ‫أطلــق وصنــع محتــوى لــرواد األعمــال فــي الكويــت منــذ‬ ‫ســنتين تقريبا ‪ ,‬وســعيدين بما حققناه من تنظيم ملتقيات‬ ‫ومحــركات التواصــل الجمعــي والتغييــر المجتمعــي‪.‬‬ ‫تحمــل ســتارت أب رؤيــة مجتمعيــه تعمــل بحرفيــة متقنــه‬ ‫وشــغف كبيــر لتحســين بيئــة األعمــال فــي الكويــت‪.‬‬ ‫اســتطاعت منصــة ســتارت أب وبفتــرة قياســية منــذ‬ ‫التاســيس أن تحصــل علــى مكانــة متميــزة بيــن أوســاط‬ ‫العمــل الريــادي االجتماعــي وبجهــود شــخصية كبيــرة‪ ،‬حظينــا‬ ‫بدعــم الفــت مــن الشــباب والمســتثمرين ممــا شــجعنا علــى‬ ‫االســتمرار فــي عملنــا الجــاد والهــادف لدعــم رواد االعمــال‬ ‫مــن خــال المحتــوى والخدمــات التــي تقدمهــا المنصــة ‪.‬‬ ‫نســعى فــي المرحلــة القادمــة علــى دعــم المشــاريع‬ ‫التكنلوجيــة واإلبداعيــة وتطويــر األفــكار وربطهــا بمســرعات‬ ‫األعمــال خــارج الحــدود الجغرافيــة مــن خــال عقــد البرامــج‬ ‫االحترافيــة واللقــاءات والشــراكات بيــن رواد االعمــال‬ ‫واصحــاب المشــاريع ‪.‬‬

‫مبــادئ الينيــدروا المتعلقــة بعقــود‬ ‫التجــارة الدوليــة‪:‬‬

‫مقدمة قانونية لمبادىء‬

‫صــدرت هــذه المبــادئ مــن معهــد رومــا الدولــي لتوحيــد‬

‫اليونيدروا القانونية لتنظيم‬

‫القانــون الخــاص بمشــاركة أكثــر مــن ‪ 65‬دولــة وهنــاك‬ ‫عــدة دول عربيــه ممثلــة فــي هــذا المعهــد منهــا العــراق ‪،‬‬

‫العقود التجارية الدولية‬

‫مصــر‪ ،‬المملكــة العربيــة الســعوديه وتونــس ‪.‬‬ ‫لــم يشــأ معهــد رومــا أن يجعــل مــن مبــادئ الينيــدروا‬ ‫أتفاقيــة تصــادق عليهــا الحكومــات وتلتــزم بهــا وإنمــا‬

‫جعلهــا مبــادئ عامــة ومجــرد قانــون نموذجــي تســتعين‬ ‫فيــه هــذه الــدول ألن القوانيــن النموذجيــة وغيــر ملزمــة‬ ‫للــدول فهــي بطبيعتهــا تســمح للــدول بإجــراء بعــض‬ ‫التعديــات علــى نصوصهــا‬

‫حتــى تتماشــى مــع‬

‫احتياجاتهــا ومصالحهــا بعكــس األتفاقيــات الدوليــة حيــث‬ ‫ال تصــادق عليهــا الــدول إال بعــد التحفــظ علــى تطبيــق‬ ‫بعــد التطــور التجــاري الدولــي الســريع البــد مــن تنظيــم هــذه العالقــات الدوليــة حيــث اختــاف القوانيــن والثقافــه‬ ‫وتعــدد اللغــات ممــا أدى إلــى وجــود عــدة عوائــق لــدى المتعامليــن فــي تفســير األلتزامــات الناتجــة عــن العقــود‬ ‫التجاريــة الدوليــة وينتــج عــن ذلــك عــدم إســتقرار العالقــات الدوليــة التجاريــة بســبب عــدم الوضــوح ‪ ،‬وبنــاء عليــه‬ ‫أصبــح هنــاك ضــرورة ملحــة لتوحيــد قواعــد تفســير العقــود لتحديــد الحقــوق واأللتزامــات التــي يتضمنهــا العقــد‬ ‫لجميــع األطــراف ذات عالقــة والتــي بنــاء عليــه ظهــرت مجموعــة مــن القواعــد والمبــادئ المتعلقــة بعقــود التجــارة‬ ‫الدوليــة لتقنيــن العقــود الدوليــة وهــو اليونيــدروا‬ ‫حيــث يهــدف إلــى الوصــول لقانــون دولــي خــاص موحــد ومقبــول مــن جميــع المجتمــع الدولــي ممــا جعــل هــذه‬ ‫المبــادئ تتمتــع بنطــاق تطبيــق واســع يشــمل جميــع أنــواع العقــود التجاريــة الدوليــة بشــرط اتفــاق األطــراف علــى‬ ‫اختيــار هــذه المبــادئ ‪.‬‬

‫الغــرض مــن مبــادئ الينيــدروا للقانونية‬ ‫الموحدة‪:‬‬ ‫الهــدف الرئيســي للمبــادئ هــو توفيــر إطــار موحــد‬ ‫للعقــود التجاريــة الدوليــة والتأكــد مــن ممارســتها العملية‬ ‫وتفســيرها وتطبيقهــا فــي أقصــى عــدد مــن البلــدان‬ ‫المختلفــة لتشــجيع التقيــد بحســن النيــة ونزاهــة التعامــل‬ ‫فــي العالقــات التعاقديــه الدوليــة ‪.‬‬ ‫تطبــق مبــادئ اليونيــدروا القواعــد العامــة والخاصــة‬ ‫بالتجــارة الدوليــة عندمــا يتفــق األطــراف علــى إخضــاع‬ ‫عقدهــم لهــا وباإلمــكان كذلــك تطبيقهــا عندمــا ال يختــار‬

‫األطــراف قانونــا بعينــه ليحكــم عقدهــم باألضافــة إلــى‬ ‫امكانيــة اســتخدام هــذه المبــادئ عندمــا ال يختــار األطــراف‬ ‫قانونــا بعينــه ليحكــم عقدهــم و باألمــكان اســتخدمها‬ ‫فــي تفســير أو اســتكمال وثائــق اخــرى للقانــون الدولــي‬ ‫الموحــد أو فــي تفســير أو إســتكمال القانــون المحلــي ‪.‬‬ ‫ليــس هنــاك مايمنــع مــن تطبيــق مبــادئ الينيــدروا علــى‬ ‫العقــود المحليــة التــي تبــرم بيــن األفــراد رغــم أن هــذه‬ ‫المبــادئ قــد صممــت خصيصــا للعقــود التجاريــة الدوليــة‬ ‫ومــع ذلــك يخضــع أي اتفــاق مــن هــذا القبيــل للقواعــد‬ ‫األلزاميــة للقانــون المحلــي الــذي يحكــم العقــد ‪.‬‬

‫‪ISSUE NO. 5‬‬

‫بعــض نصوصهــا‪.‬‬ ‫يتمثــل الهــدف الرئيســي لمبــادئ الينيــدروا فــي وضــع‬ ‫قواعــد للعقــد مشــتركة بيــن معظــم األنظمــة القانونيــة‬ ‫فــي العالــم لذلــك عمــدت المبــادئ الينيــدروا القانونيــة‬ ‫إلــى تبنــي الحلــول التــي تناســب وطبيعة التجــارة الدولية‬ ‫فأصبحــت مبــادئ الينيــدروا وثيقــة توحــد قواعــد عقــود‬ ‫التجــارة الدوليــة بطريقــة غيــر تشــريعية وغيــر ملزمــة‪.‬‬ ‫باألضافــة إلــى ذلــك فــإن مبــادئ الينيــدروا تتميــز عــن‬ ‫مثيالتهــا مــن الوثائــق فــي أنهــا تتنــاول مختلــف العقــود‬ ‫التجاريــة ‪.‬‬ ‫ولكــن تطبيــق مبــادئ الينيــدروا القانونيــة يتوقــف إلــى‬ ‫حــد كبيــر علــى مــدى اختيارهــا مــن قبــل أطــراف العقــد‬ ‫وعلــى مــدى تقبلهــا مــن المحاكــم الوطنيــة وهيئــات‬ ‫التحكيــم الدوليــة‪.‬‬

‫يتــم تطبيــق هــذه المبــادئ فــي عــدة‬ ‫حاالت‪:‬‬ ‫‪ )1‬عندمــا يتفــق الطرفــان علــى أنــه هــو القانــون الواجــب‬ ‫تطبيقــه فــي العقــد‪.‬‬

‫‪ )2‬عندمــا ال يتفــق الطرفــان علــى تطبيــق قانــون معيــن علــى‬ ‫عقدهمــا ‪.‬‬ ‫‪ )3‬يجــوز إســتخدامها لتفســير أو ألكمــال وثائــق القانــون‬ ‫الدولــي ‪.‬‬ ‫‪ )4‬يجوز استخدامها لتفسير أو ألكمال القانون الوطني ‪.‬‬ ‫‪ )5‬عندمــا يتــم اتخاذهــا كنمــوذج مــن قبــل المشــرع الدولــي‬ ‫والداخلــي ‪.‬‬

‫مبادئ الينيدروا والعقود التجارية‪:‬‬ ‫تتنــاول مبــادئ الينيــدروا العقــود التــي تتــم بيــن تاجــر‬ ‫وتاجــر حيــث ال تســري هــذه المبــادئ علــى العقــود‬ ‫المبرمــة بيــن تاجــر ومســتهلك أومســتهلك ومســتهلك‬ ‫إال أنهــا لــم تســتبعد مــن نطاقهــا عقــود المســتهلكين أو‬ ‫عقــود العمــل‪.‬‬

‫مبادئ الينيدروا والعقود الدولية ‪:‬‬ ‫تتنــاول مبــادئ الينيــدروا العقــود الدوليــة التــي يتخللهــا‬ ‫عنصــر أجنبــي أو أكثــر حيــث جــاء ذلــك فــي نصوصهــا‬ ‫صراحــة فــي الفقــرة األولــى مــن ديباجتهــا (تضــع هــذه‬ ‫المبــادئ قواعــد عامــة لتنظيــم العقــود التجاريــة الدوليــة)‪.‬‬ ‫ويتــم التمييــز فيمــا بيــن العقــود الدوليــة والعقــود‬ ‫ً‬ ‫وفقــا لمعياريــن فالمعيــار األول هــو المعيــار‬ ‫الوطنيــة‬ ‫القانونــي ويتــم ذلــك علــى أســاس األهتمــام بصفــة‬ ‫المتعاقديــن مــن حيــث جنســية أحــد أطــراف التعاقــد‬ ‫أمــا المعيــار الثانــي فهــو المعيــار األقتصــادي ويتــم‬ ‫ذلــك أن كان محــل العقــد دولــي أو إذا اتصــل بأكثــر‬ ‫مــن نظــام قانونــي أو بالتجــارة الدوليــة وبنــاء عليــه فــإن‬ ‫تعبيــر مصطلــح (دوليــة) يجــب تفســيره بالمعنــى الواســع‬ ‫ليشــمل جميــع العقــود التــي يتوفــر فيهــا ثمــة عنصــر‬ ‫أجنبــي‪.‬‬ ‫بمعنــى أن الحــاالت والعقــود التــي ال يتوفــر فيهــا أي‬ ‫عنصــر دولــي وتكــون كل العناصــر ذات عالقــة للعقــد‬ ‫المعنــى تتصــل بدولــة واحــدة فقــط ال يعتبــر العقــد‬

‫‪FEBRUARY 2019‬‬ ‫دولــى لمجــرد اختيــار تطبيــق مبــادئ الينيــدروا علــى‬ ‫العقــد الوطنــي‪.‬‬

‫مبادئ الينيدروا والعقود الوطنية‪:‬‬ ‫ال شــئ يمنــع أطــراف العقــد الوطنــي مــن أختيــار مبــادئ‬ ‫الينيــدروا للتطبيــق أو بعــض نصوصهــا وحيــث أن العديد‬ ‫مــن األحــكام الــواردة فــي مبــادئ الينيــدروا هــي أحــكام‬ ‫جيــدة وجديــدة علــى التشــريعات العربيــة ممــا يشــجع‬ ‫أطــراف العقــد الوطنــي علــى أختيارهــا ‪.‬‬

‫تطبيــق مبــادئ الينيــدروا بمبــدأ القانــون‬ ‫الواجــب التطبيق‪:‬‬ ‫ويتــم ذلــك عبــر أتفــاق أطــراف العقــد بــأن تكــون مبــادئ‬ ‫الينيــدروا صراحــة هــو القانــون الواجــب التطبيــق ليحكــم‬ ‫عقدهمــا التجــاري الدولــي رغــم أن القانــون الوطنــي‬ ‫يظــل واجــب التطبيــق والحــال كذلــك بالنســبة لقواعــد‬ ‫النظــام العــام فــي الدولــة التــي تنظــر النــزاع ممــا يفيــد‬ ‫أن األســتفادة واألســتعانه تكــون فقــط مــع مزايــا مبــادئ‬ ‫الينيــدروا ‪.‬‬

‫هــذه المبــادئ تعــد جــزء مــن قانــون التجارالــذي يتضمــن‬

‫علــى العقــود والمبــادئ والقواعــد القانونيــة المنظمــة‬

‫القواعــد المعمــول بهــا فــي التجــارة الدوليــة فهــي‬

‫لأللتزامــات التعاقديــة الدوليــة والمتمتعــة باجمــاع دولــي‬

‫ليســت أتفاقيــة تصــادق عليهــا الــدول ليتــم أعتبارهــا جــزء‬

‫واســع األمــر الــذي يعنــي عــدم خضوعهــا ألي قانــون‬

‫مــن قانونهــا الوطنــي وبنــاء عليــه فــإن المحكمــة تلتــزم‬

‫دولــي أو محلــي فــا يتصــور فــي هــذه القضيــة وجــود‬

‫بتطبيقهــا إال فــي حــال تعارضــت مــع نــص آمرآخــر فــي‬

‫أي تصــادم بيــن القانــون المحلــي ومبــادئ الينيــدروا )‬

‫القانــون الوطنــي ‪.‬‬

‫اختيــار األطــراف لمبــادئ الينيــدروا‬ ‫ضمنــا‪:‬‬

‫التفويــض الممنــوح لهيئــة التحكيــم )‪.‬‬

‫حيــث أن مبــادئ الينيــدروا ليســت اتفاقيــة تصــادق عليهــا‬

‫وقــد كان ذلــك ً‬ ‫ردا علــى الطعــن المقــدم مــن قبــل أحــد‬

‫تطبيــق مبــادئ الينيــدروا باألســتناد‬ ‫إلــى ارادة الطرفيــن الصريحــة‪:‬‬

‫لهــا مــن المجتمــع التجــاري الدولــي علــى أنــه القانــون‬

‫ً‬ ‫وإســتنادا‬ ‫إســتنادا لمبــدأ العقــد شــريعة المتعاقديــن‬

‫المســتقر‪.‬‬

‫الجزئــي لمحكمــة التحكيــم التابــع لغرفــة تجــارة وصناعــة‬

‫لمبــدأ القانــون الواجــب التطبيــق علــى العقــود‪.‬‬

‫اعتــراف هيئــات التحكيــم لمبــادئ‬ ‫الينيــدروا‪:‬‬

‫التجــارة الدوليــة رقــم ‪ 7110‬يؤكــد اعتبــار مبــادئ الينيــدروا‬ ‫جـ ً‬ ‫ـزءا أساســيا مــن قانــون التجــار حيــث ورد التالــي ‪-:‬‬

‫يحــق ألطــراف العقــد إختيــار القانــون الذيــن يريدانــه بمــا‬ ‫ال يتعــارض مــع القواعــد اآلمــرة ويتــم ذلــك كالتالــي ‪-:‬‬ ‫فــي العقــود التجاريــة يجــوز ألطــراف العقــد أن يصنعــا‬ ‫مــن ضمــن شــروط وبنــود العقــد أي نــص أو مــادة مــن‬ ‫المــواد الــواردة فــي مبــادئ الينيدروا أو بعضهما أو حتى‬ ‫اختيارهــا كلهــا وهــذه الحريــة للمتعاقديــن ال يحــد منهــا‬ ‫ســوى األلتــزام بمراعــاة النصــوص اآلمــرة فــي القانــون‬ ‫الــذي يحكــم العقــد حيــث أن نصــوص مبــادئ الينيــدروا‬ ‫ال تصــادم بينهــا وبيــن النصــوص اآلمــرة فهنــاك نــص‬ ‫ينــص صراحــة علــى أنــه ال يوجــد مــا يحــد مــن تطبيــق‬ ‫القواعــد اآلمــرة الواجبــة التطبيــق حيــث تنــص علــى أنــه ‪:‬‬ ‫“ مالــم يــرد فــي المبــادئ نــص علــى خــاف ذلــك ‪ ،‬يجــوز‬ ‫لألطــراف إســتبعاد تطبيــق هــذه المبــادئ أو مخالفــة‬ ‫نــص مــن نصوصهــا أو تعديــل لألثــر المترتــب عليــه ‪”.‬‬ ‫وينصــح ألطــراف العقــد علــى تحديــد النســخة بصــورة‬ ‫محــددة وواضحــة الخاصــة بمبــادئ الينيــدروا التــي يرغبــان‬

‫تســتمد صفتهــا األلزاميــة مــن تقبــل ســلطات الــدول‬

‫تلتــزم هيئــة التحكيــم باختيــار أطــراف العقــد للقانــون‬ ‫الواجــب التطبيــق وذلــك للفصــل بالنــزاع ويتــم هــذا‬ ‫األختيــار لمبــادئ الينيــدروا عنــد ابــرام العقــد وكذلــك يجــوز‬ ‫أختيــاره ايضــا أثنــاء الســير فــي إجــراءات التحكيــم بشــرط‬ ‫أن ال يكــون هنــاك إضــرار بحقــوق الغيــر ‪.‬‬ ‫وقــد يتــم األتفــاق صراحــة علــى أختيــار مبــادئ الينيــدروا‬ ‫كقانــون واجــب التطبيــق وقــد يتــم األتفــاق صلحــا وقــد‬ ‫يختــار الطرفيــن قواعــد قانونيــة غيــر وطنيــة ‪.‬‬ ‫مــدى اعتــراف المحاكــم الوطنيــة بأختيــار الطرفيــن لمبــادئ‬ ‫الينيــدروا علــى أنهــا القانــون المنطبــق‪-:‬‬ ‫هــذا التســاؤل يعتمــد علــى قاعــدة األســناد الوطنيــة‬ ‫فيمــا إذا كانــت تلــزم الطرفيــن بأختيــار قانــون دولــة معينــة‬ ‫أم أنهــا تســمح بشــكل أو بآخــر اختيــار قواعــد قانونيــة غيــر‬ ‫وطنيــة ‪ .‬ولذلــك إذا كانــت مبــادئ الينيــدروا هــي القانــون‬

‫فــي إدماجهــا فــي عقدهمهــا حيــث هنــاك عــدة نســخ‬

‫المختــار مــن قبــل الطرفيــن فــا تعتــرف المحاكم بها على‬

‫يتــم اعتمــاد النســخة الســارية وقــت النظــر بالنــزاع ‪.‬‬

‫أنهــا القانــون المختــار مــن قبــل الطرفيــن وانمــا تقــوم‬ ‫بتطبيقهــا علــى أنهــا جـ ً‬ ‫ـزءا مــن بنــود العقــد ‪ ،‬األمــر الــذي‬

‫(‪ )2016، 2010، 2004 ، 1994‬وفــي حــال اغفــال ذلــك‬

‫يظــل معــه هــذا العقــد إلــى قانــون يحكمــه والــذي يتــم‬ ‫تحديــده بموجــب قانــون األســناد والســبب فــي ذلــك أن‬

‫وقــد قــررت محكمــة كاليفورنيــا فــي نــزاع معــروض‬

‫الــدول فهــى نصــوص مكتوبــة وفــي متنــاول يــد جميــع‬ ‫المشــتغلين بالتجــارة الدوليــة وقــد صــدر فــي القــرار‬

‫ً‬ ‫ً‬ ‫أساســيا مــن المبــادئ‬ ‫جــزءا‬ ‫تعتبــر مبــادئ الينيــدروا‬ ‫والقواعــد العامــة الخاصــة باأللتزامــات التعاقديــة الدولية‬ ‫والمتمتعــة بإجمــاع دولــي واســع لتشــكيل القانــون الــذي‬ ‫يحكــم العقــد وذلــك كالتالــي ‪:‬‬ ‫‪ )1‬تعتبــر المبــادئ اعــادة صياغــة للمبــادئ القانونيــة‬

‫أمامهــا (أن الرجــوع إلــى مبــادئ الينيــدروا ال يتجــاوز حــدود‬

‫أطــراف النــزاع أمــام احــدى المحاكــم الوطنيــة علــى تجــاوز‬ ‫هيئــة التحكيــم التفويــض الممنــوح لهــا مــن الطرفيــن‬ ‫ممــا يجعــل قــرار هيئــة التحكيــم مخالــف لمــا جــاء فــي‬ ‫اتفاقيــة نيويــورك ورفــض المحكمــة هــذا الطعــن هــو‬ ‫ً‬ ‫جــزءا مــن‬ ‫اعتــراف ضمننــا بــأن مبــادئ الينيــدروا تشــكل‬ ‫المبــادئ العامــة للقانــون الدولــي واألعــراف التجاريــة‬ ‫التــي اتفــق الطرفــان علــى تطبيقهــا ‪.‬‬

‫تطبيــق مبــادئ الينيــدروا عنــد عــدم‬ ‫أختيــار الطرفيــن للقانــون الواجــب‬ ‫التطبيــق‪:‬‬

‫الدوليــة الواجبــة التطبيــق علــى عقــود التجــارة الدوليــة‬

‫قــد يخلــو العقــد التجــاري الدولــي أحيانــا مــن أي بنــد‬

‫تــم وضعهــا مــن قبــل مجموعــة متميــزة مــن الخبــراء‬

‫بخصــوص القانــون الواجــب التطبيــق وقــد يكــون الســبب‬

‫القانونييــن الدولييــن المتمثليــن لألنظمــة القانونيــة‬

‫أنــه لــم يخطــر هــذا القانــون فــي بالهــا أو أنهمــا فضــا‬

‫فــي العالــم وبــدون تدخــل مــن قبــل الــدول أو‬

‫األتفــاق الحقــا علــى أختيــار القانــون لحيــن وقــوع نــزاع‬

‫الحكومــات ممــا أدى إلــى الجــودة العاليــة للمبــادئ‬

‫بينهمــا ‪.‬‬

‫وحيادهــا باألضافــة إلــى اســتنادها علــى العدالــة‬

‫مواقــف المحاكــم الوطنيــة وهيئــات‬ ‫التحكيــم فــي هــذه المســألة ‪:‬‬

‫ومالءمتهــا للمعامــات التجاريــة الدوليــة التــي تقــع‬ ‫ضمــن نطاقهــا ‪.‬‬ ‫‪ )2‬تنظــم هــذه المبــادئ كل مــن عقــود البيــوع الدوليــة‬ ‫للبضائــع والعقــود الدوليــة لتزويــد الخدمــات ‪.‬‬ ‫‪ )3‬لــم تتضمــن هــذه المبــادئ لمبــادئ غامضــة أو‬ ‫توجيهــات عامــة وانمــا تضمنــت قواعــد محــددة تــم‬ ‫وضعهــا بشــكل منظــم ومناســب ‪.‬‬

‫‪ )1‬المحاكــم الوطنيــة وتطبيــق مبــادئ الينيــدروا فــي حــال‬ ‫عــدم اتفــاق الطرفيــن علــى القانــون الواجــب التطبيــق‪:‬‬ ‫فــي العالــم العربــي يلتــزم القاضــي عــادة بتطبيق قانون‬ ‫الوطــن المشــترك للطرفيــن أو قانــون محــل ابــرام العقــد‬ ‫ممــا يعنــي ال مجــال بتطبيــق مبــادئ الينيــدروا فــي هــذه‬ ‫الحالــة ‪.‬‬

‫كمــا ورد فــي التقريــر كذلــك (‪ ------‬لقــد تبيــن أنــه يســري‬

‫‪FEBRUARY 2019‬‬ ‫أمــا فــي الــدول األوربيــة فنجــد أن اتفاقيــة رومــا لعــام‬ ‫‪ 1980‬بشــأن القانــون الواجــب التطبيــق علــى األلتزامــات‬ ‫التعاقديــة تلــزم القاضــي فــي الــدول التــي التزمــت‬ ‫باألتفاقيــة أن يطبــق قانــون الدولــة التــي يكــون للعقــد‬ ‫رابطــة قويــة معهــا عنــد غيــاب األدارة فــي أختيــار القانــون‬ ‫الواجــب التطبيــق ويقصــد بالرابطــة القويــة (الرابطــة‬ ‫األقليميــة الجغرافيــة ) ‪.‬‬ ‫‪ )2‬مــدى تطبيــق هيئــات التحكيــم لمبــادئ الينيــدروا عنــد‬ ‫عــدم اتفــاق الطرفيــن علــى القانــون الواجــب التطبيــق‬ ‫علــى العقــد ‪:‬‬ ‫يجــوز لهيئــة التحكيــم تطبيــق مبــادئ الينيــدروا فــي حــال‬ ‫عــدم اتفــاق اطــراف العقــد علــى اختيــار القانــون الواجــب‬ ‫التطبيــق وذلــك باعتبارهــا األكثــر مالءمــة للعقــود التجارية‬ ‫الدوليــة حيــث قــررت محكمــة التحكيــم التابعــة لغرفــة‬ ‫التجــارة الدوليــة ذلــك لعــدة أســباب ‪-:‬‬ ‫‪ - 1‬عــدم اختيــار طرفــي العقــد للقانــون الواجــب يعنــي‬ ‫بمفهــوم المخالفــة أختيارهمــا عــدم تطبيــق القانــون‬ ‫الوطنــي لــكل منهمــا ‪.‬‬ ‫‪ - 2‬تمــت صياغــة مبــادئ الينيــدروا وفــق قوانيــن الــدول‬ ‫المختلفــة العاملــة فــي التجــارة ‪.‬‬ ‫‪ - 3‬مصادقــة لجنــة االمــم المتحــدة لتوحيــد قانــون التجارة‬ ‫الدوليــة (األونســتيرال ) علــى مبــادئ الينيــدروا ‪.‬‬ ‫‪ - 4‬بعــض التشــريعات الوطنيــة تنــص صراحــة علــى‬ ‫صالحيــة هيئــة التحكيــم لتطبيــق القواعــد القانونيــة‬ ‫التــي تراهــا مناســبة فــي حــال عــدم اختيــار‬ ‫الطرفانللقانــون الواجــب التطبيــق علــى العقــد‬ ‫المبــرم بينهــم‪.‬‬

‫مــدى تطبيــق مبــادئ الينيــدروا عنــد‬ ‫تفســير أو ســد فجــوات القانــون‬ ‫الوطنــي ‪:‬‬ ‫يــرى بعــض الفقهــاء أن مبــادئ الينيــدروا لعــام ‪2010‬‬ ‫تســاهم فــي تفســير وســد فجــوات القانــون الوطنــي‬ ‫الواجــب التطبيــق ســواء باتفــاق الطرفيــن أو باالســتناد‬ ‫إلــى قواعــد االســناد االحتياطيــة الواجبــة التطبيــق ‪.‬‬

‫اجتهادات المحاكم‬ ‫حيــث أكــدت عــدة محاكــم علــى أنــه يجــوز أســتخدام مبــادئ‬ ‫الينيــدروا فــي تفســير وتكميــل القانــون الوطنــي فــي‬ ‫أكثــر مــن محكمــة ‪.‬‬

‫قرارات التحكيم‬ ‫صــدرت عــدة قــرارات تحكيــم تــم فيهــا اســتخدام بعــض‬ ‫النصــوص مبــادئ الينيــدروا لتأكيــد الحلــول الموجــودة‬ ‫فــي القانــون الوطنــي المعيــن ‪.‬‬

‫مــدى تطبيــق مبــادئ الينيــدروا عنــد‬ ‫تفســير أو ســد الفجــوات فــي القانــون‬ ‫الموحــد‪:‬‬ ‫نــادى بعــض الفقهــاء بذلــك وقــد وجــد فــي بعــض‬ ‫التطبيقــات العمليــة التــى تؤيــد هــذا الــرأي فمبــادئ‬

Deep Learning Doctobots Last week, researchers from the Bakar Computational Health Sciences Institute of the University of California San Francisco published a call to introduce deep learning healthcare. Deep learning (also known as deep structured learning or hierarchical learning) is part of a broader family of machine learning methods based on learning data representations, as opposed to task-specific algorithms. In healthcare, this means gathering all the data recorded by doctors in patient Electronic Health Records (EHRs) and forming a digital knowledge base that includes various patient demographic, personal and clinical data, as well as all the past diagnoses, clinical decisions and treatment outcomes. This data lake would then be harmonized and preprocessed before allowing artificial intelligent systems to one day generate computer-aided diagnosis and treatment plans.

In fact, developing a smart EHR is nothing new as the idea to utilize the millions of patient EHRs to create a Learning Health System (LHS) came about almost a decade ago, whereby doctors could mediate the learning of the system in order to inform the day to day decision making of medical practice and influence

healthcare policy. Today, the call is for deep learning to allow electronic medical systems to improve themselves without any human (especially day to day doctor) input.

The future is now, since in the USA close to 98% of all hospital systems now use an EHR and already perform complex tasks such as Computer Provider Order Entry (CPOE) for nearly 80% of medical orders that are captured electronically resulting in over 1.7 billion prescriptions packed per year.

Unfortunately, there has not been much progress yet in healthcare beyond the important first step of data collection. In fact, even this preliminary step needs to be further improved (essentially digitized) as most EHRs require the doctor to spend valuable time inputting the data. Eventually, EHRs could be populated by patients themselves through the use of wearable devices, implanted sensors or genetic samples. This way, doctors can instead focus the vast majority of their time on the critical clinical decisionmaking process of treating the patient.

‫وتشــمل اليــوم ‪ 340‬متجــرا فــي ‪ 42‬دولــة‪ ،‬مبيعاتهــا الســنوية‬ ‫‪ 36‬مليار دوالر‪ ،‬وتدعو مجلة ‪ New Yorker‬الشركة «المصمم‬ ‫غيــر المرئــي للمنزل»‪.‬‬

‫رأس المال الشخصي‪ 4.5 :‬مليار دوالر‪.‬‬ ‫فــي عــام ‪ ،2003‬كانــت تبلــغ ‪ 19‬مــن العمر وتدرس في الســنة‬ ‫الثانيــة فــي جامعــة ســتانفورد‪ .‬ثــم أسســت ‪ ،Theranos‬وهــي‬ ‫الشــركة التــي قللــت كثيـ ً‬ ‫ـرا تكلفــة تحاليــل الدم‪.‬‬

‫وكان الــدرس الثانــي هــو خــوض قطــاع الخدمــات إذا كنــت تســعى‬ ‫إلــى تحقيــق الجــودة بحيــث تضــع المقارنــات المعياريــة وتراقــب‬ ‫مباشــر جــودة الخدمــات التــي تقدمهــا لتعــزز بذلــك اســمك‬ ‫وســمعتك فــي الســوق‪.‬‬ ‫وتمثلــت الفكــرة التاليــة فــي مفهــوم “المدينــة الذكيــة” لتيســير‬ ‫إلكترونيــا‪ ،‬والتــي لــم يتــم الشــروع‬ ‫ســداد فواتيــر المــاء والكهربــاء‬ ‫ً‬

‫بهــا بعــد نظـ ًـرا لعــدم وجــود دراســات مناســبة عــن حالــة الســوق‬ ‫فضـ ًـا عــن اإلجــراءات الحكوميــة والقوانيــن الالزمــة‪ ،‬ولكننــا نتابــع‬ ‫األمــر عــن كثــب!‬ ‫وأنــا أؤمــن بالمقولــة التــي تقــول “ال تخــف مــن الفشــل”؛ فأنــا‬

‫فــي الوقــت الــذي يشــهد هبــوط أســعار النفــط ويواجــه االقتصــاد‬ ‫حالــة مــن عــدم االســتقرار‪ ،‬ولكــن بالرغــم مــن هــذه المخاطــر‬ ‫انطلقنــا فــي عملنــا؛ فقــد أمنــت بفكرتــي وقمــت بتدعيمهــا‬ ‫بالبحــث الدقيــق ليتبيــن لــي أنــه كان الوقــت المناســب حيــث كانــت‬ ‫هنــاك عالقــة مباشــرة بيــن أســعار النفــط واإلنتــاج‪.‬‬

‫لــم أخــف قــط بــل أســتفيد مــن إخفاقــي فــي هــذه المشــاريع‬ ‫الرؤيــة‪.‬‬

‫نحــن نحتــاج إلــى تذكــر أن النجــاح يأتــي بالتجربــة واإلخفــاق‪ ،‬وقــد‬

The opening panel was followed by an interview with the CEO of Danube & BinDawood, who discussed how ecommerce is transforming the traditional retail space in Saudi. The interview was followed by a Panel titled “Building the Saudi Brand with Global Reach”, which hosted marketing and communication executives from STC and Panda to talk more about the best practices for building a strong brand that can win the hearts of audiences, stand the test of time, and grow beyond borders.

Meanwhile, ArabNet Riyadh featured more advanced discussions on digital trends in two tracks: Ad/Edge, which tackled how brands, agencies and publishers are adapting to new innovation and digital platforms, and how data is driving transformation in media and advertising. TechnoCare TechnoCare was founded by two computer engineers focusing their knowledge to find a solution for those who suffer from Alzheimer. Eng. ALJazi ALAJmi and Eng. Aisha ALEnzi, took us through their journey in founding TechnoCare.

Tell us about TechnoCare TechnoCare is the idea of finding a solution to whoever suffers from Alzheimer by providing them with the proper technology in order to do the basic life needs that the typical Alzheimer patient would need.

How did you start?

Well, the idea came from our final year project at Kuwait University. We were trying to find something different when everyone was focusing on using technology for the food sector mainly. We were a group of 4 computer engineering students trying to find a proper technological solution for an actual problem or suffer.

So, TechnoCare started as final year project?

Yes, ALJazi’s grandfather was suffering from Alzheimer.

So, we thought that it is a perfect problem that we can start with because ALJazi would know a lot about the actual problem. We started with our research and analyzing the aspects of the problem until we came up with a prototype which started with google glass.

However, we suffered from the limitations of google glass from the developing side which required the user to do the inputs which we found was a problem.

How TechnoCare moved from being a final year project to an actual startup?

After we won the Best Engineering project in the department in 2015, we were encouraged to take it a step further. However, two of the team members left. Aisha and I were left in the business only. We tried to take some business development courses and with different entities and through the Kuwait National Fund which encouraged us to submit our feasibility study in order to be funded. The study was approved by the Kuwait National Fund, and we worked with part-time developers to make the MVP. We tested the glasses, but unfortunately, it didn’t work out.

Tell us about your first test run The glasses were a problem for the elderly, they were uncomfortable, and they started to remove the glasses.

So, we thought about making our won watches.

However, the manufacturing process was very long and costly. There, when we decided to test and develop already-made watches in the market.

What are the latest updates on the project?

We chose the suitable watch we can work with along with finalizing the application. Also, we are continually listening and write down the feedback we receive from customers and people in order to develop the product.

We are aiming to launch in early 2019 to make sure that everything is going entirely smoothly.

Four quick tips for the success of your personal brand A lot of people think that building a personal brand is basically the same as becoming a social media influencer. The truth is that a personal brand could lead, in some cases, into social media influence. People with personal brands usually have meaningful content that attracts a specific target market offline and online.

One would wonder, what is personal branding and who should go for it?

Third, you need to prepare the value proposition that you will use to attract the potential client. Simply it means that you promise your clients that you will give them a certain value for a certain price. An example could be: providing clients with an easy to follow diet program that will help them to loose 3 kg per month for the price of 30 KWD. If you are not planning to sell services, then your value proposition will be around the unique value and the benefits that you offer to the public.

Personal branding works best for experts, service providers, consultants, trainers, and individual with strong inspiring story. Basically, if you are an expert in a given filed, you would want to reach your potential clients through building a commercial brand with your name. When you connect with people as a person, rather than a company, you tend to reach their hearts and gain their trust easily.

Fourth, get comfortable with the media and build your profile. Always remember that you will show the image that you determined earlier. You cannot be shy or sweaty in front of the camera. This requires some training until you are comfortable enough. You need to be prepared for future TV/Radio interviews, YouTube channel, and social media presence.

Starting the personal brand requires certain preparation.

I will try to give you quick steps that hopefully will guide you in case you have an interest to start your own personal brand.

1- Use the help of professional photographer for the pictures that you will use on all of your media appearances.

The first step is the classic SWOT analysis (strengths, weaknesses, opportunities, threats): 1- What are the strengths that you have and can make your story (or your expertise) sellable? Think about your skills and your journey in life.

2- What is the set of skills that you believe that you need to develop?

3- What are the business opportunities that you can gain when you start marketing yourself as a brand?

Then, run a quick survey in your circle of friends and family members and ask them to describe you in three words.

The common words that you will receive might become good hint to build the final image that you will show to the public. For example if your friends say that you are elegant, honest, and kind; then you can use these words for building on the personal brand image. If we stick to the same example we can build an image such as: Elegant sport trainer who is honest and kind to others. All of your future communications should reflect your are of expertise and your determined characteristics.

4- What could slow you down and affect your brand negatively?

Second, you need to identify the image that you would like the audience to identify you with. You can start with your field of expertise. For example: dietitian, sport trainer, consultant, etc.

2- Build the right bio for social media. Remember that the bio is like your business card. Select the words that describe you carefully.

3- Look at the profiles of successful experts in the same field to get inspired.

4- Focus on LinkedIn because it is the right place for experts.

5- Practice public speaking.

6- Learn how to be yourself even if you are in front of the camera.

Finally, use the help of a coach or a mentor to walk you through the process of building your personal brand. And do not forget to collaborate with other experts in the same field in order to learn faster and avoid some mistakes.

7 Books Bill Gates Thinks You Should Read Now that he's not CEO of Microsoft, Bill Gates has more time for leisurely pursuits like reading. Sure, he's traveling the world while running the Bill & Melinda Gates Foundation, but those in-flight hours make for plenty of page-flipping time.

Gates often reviews the books he's read on his site. This year he put together a list of his favorites from 2013, though he stressed that they are not all books that came out in the past year. It makes for a more varied list than the usual year-end wrapups and is a good look at what the revolutionary has on his mind.

Gates's list is fiction-free, though he says he's read The Catcher in the Rye countless times. This year he also picked up Google Glass Explorer and dachshund fan Gary Shteyngart's Super Sad True Love Story but found the book "didn't have as much science fiction as I expected," which is a pretty strong critique for a novel that seems quite prescient about tech.

So what did Gates enjoy? Here's the list.

The Box by Marc Levinson "You might think you don't want to read a whole book about shipping containers," Gates said, and when he puts it that way, we don't. But he added that it "turns it into a very readable narrative" and he won't look at a cargo ship in quite the same way again.

The Most Powerful Idea in the World by William Rosen Gates has a thing for machines. This book is about a fairly old but still useful one, the steam engine. The reason Gates read it is a sweet one: "I'd wanted to know more about steam engines since the summer of 2009, when my son and I spent a lot of time hanging out at the Science Museum in London," he wrote. Aw.

Harvesting the Biosphere by Vaclav Smil Gates might not have been able to put this book down, but it's not exactly a pick-me-up. It's about how we humans have pretty much picked the planet clean.

The World Until Yesterday by Jared Diamond This recommendation, a history of hunter-gatherer society with lessons to learn from it, is for anyone who doesn't want to be doomed to repeat history.

Poor Numbers by Morten Jerven Gates has put a great deal of effort and money into improving life in Africa. This book challenges how statistics for Africa are figured, though Gates said "that doesn't mean we know nothing about what works in development."

Why Does College Cost So Much? by Robert B. Archibald and David H. Feldman

Though he dropped out of Harvard, Gates said, "My view is that as long as there's a scarcity of college graduates, a college degree will be quite valuable." He agreed with the authors that the steep price of a higher education will come down once the market is flooded with graduates. How that can happen is at the heart of this book.

The Bet by Paul Sabin The book investigates how the push and pull between the free market and environmental activists has frozen over the climate change debate and possibly the climate itself.
