Eligibility To be eligible for any Tech Data Canada marketing activities or programs, you must be an approved Tech Data vendor partner in good standing. Vendor partners are required to commit to a minimum *$10,000 marketing investment or participate in an annual marketing program to be granted assigned a dedicated vendor marketing contact. Prior Approval Authorization Forms A prior authorization form (prior) is used to secure commitment for all activities including programs, campaigns, and individual activities and quoted special projects. In the event that Tech Data cannot fulfill a program element within a quoted project prior activity, Tech Data reserves the right to select an alternative activity of equivalent or comparable value. Activity Selection and Availability For most activities, you may select those in which you wish to participate on a first-come, firstserved basis upon receipt by Tech Data Canada of your signed prior authorization. Some activities require a fixed minimum number of vendor sponsors. Tech Data may also set a maximum number of vendors that may participate in an exclusive activity. Program and Activity Billing Unless otherwise stated, individual activities (Ă la carte) are billed immediately upon completion of the activity commitment. All other different or unique billing options will be identified and specified in the program kit. Annual programs and packages are available with a quarterly billing option. If your company has specific guidelines that Tech Data Canada must follow throughout the billing process, please bring these to the attention of your Vendor Marketing Manager and our co-op accounting department at the beginning of a project. Also, please be sure to keep the co-op accounting department informed of any changes in contact names or addresses. All co-op statements must be sent to the attention of the Co-op Accounting Department, c/o Tech Data Canada, 6911 Creditview Road, Mississauga, Ontario L5N 8G1. Proof of Performance Tech Data will provide proof of performance along with your program or activity billing where applicable. Tech Data reserves the right to determine what constitutes acceptable proof of performance, depending on the details of the specific program or activity. For communication activities, a copy of the completed creative element will be provided. For events, a copy of available event communications and a summary of all participants will be used. If applicable, a photo depicting your physical presence at the venue (including signage) will be supplied. For promotional items, a photograph or invoice of the products purchased on

your behalf will be submitted. For sales training activities, a copy of the sales calendar will be provided. For activities cancelled without sufficient notice or where materials are not submitted by the appropriate deadline, regular proof of performance will not be available. In these instances, notification e-mails from Tech Data to the vendor account manager or marketing manager will be substituted. If you have any questions regarding proof of performance, please contact your Vendor Marketing Manager or Tech Data Canada’s Co-op Accounting Department Cancellation Each activity has a unique cancellation or drop-out policy. Please work with your Vendor Marketing Manager to gain cancellation approval and to select another activity if time allows. The cancellation/drop-out window is described as the time period you are allowed in order to drop out of an activity if you do not want to be charged. If a cancellation request is submitted after the acceptable cancellation date for an activity, the vendor will be billed without the option to select another comparable activity. All drop-out windows are set from the activity date. Changes and/or make goods are on an availability basis only; there must be a replacement activity for the make-good. Cancelling a sales floor activity If you have scheduled a sales floor activity of any type (including floor walks, training, and vendor fairs) but are unprepared to execute it, it is considered a “no-show” cancellation. Under these circumstances, you will be charged the full amount for your floor activity and will not be eligible for a make-good activity. The drop-out policy on floor activities is 10 working days prior to the activity date. The vendor partner will be charged, without the option of selecting another comparable activity, if cancellation falls after the 10 days. Cancelling a published advertisement If you cancel the participation in a published advertisement after the close deadline, you will be charged for the insertion costs and will lose eligibility for a make-good activity. Cancelling an electronic advertisement (Tech Data Web or E-mail) To cancel a Tech Data electronic advertisement, you must notify Tech Data two weeks prior to the material deadline date to allow ample time to find a replacement sponsor. Cancelling participation in a bundle package You may not cancel participation in any Partnership Package or year-long program without the written consent of Tech Data Canada’s vice president of marketing. In the event that you

do cancel, Tech Data will bill you for all executed or committed activities at the à la carte pricing level plus a five percent administration fee. Material Submission Deadlines Material submission deadlines will be communicated by your Vendor Marketing Manager for each program or vehicle. If materials are not received prior to the deadline date, you will receive an e-mail reminder. If your materials are not received within 48 hours of the deadline, you risk forfeiting participation in the activity – and will be billed at full cost. Your e-mail reminder will serve as proof of performance for the activity. If the activity is for advertising, you also may be liable for the insertion costs. Trade Publication Participation Once you’ve contracted for a program or an advertisement, you are committed to paying the costs associated with the advertising space. Tech Data Canada’s marketing organization processes all advertisements and handles all arrangements with publications. Because publications determine lead times and deadlines for all advertisements, you must make certain that copy and materials are provided to the marketing department via your Tech Data Vendor Marketing Manager by the required date to facilitate meeting all timelines. *Trade publication advertising rates subject to change
Proofing Material Submissions Proofing of copy for internal Tech Data ads is done by your Tech Data Canada Vendor Marketing Manager. Their signature constitutes an approval. The ad will run “as is” if signed “OK” or changes will be made per their specifications if signed “OK with changes.” There will not be a second proofing. It is the responsibility of your Tech Data Vendor Marketing Manager to verify product photos, logo, copy, promotions and part numbers (Tech Data and manufacturer). If the ad is published incorrectly and we have received the necessary approval signatures from the Vendor Marketing Manager, there will not be a make-good ad. To maintain the highest level of quality possible in all marketing communications materials, Tech Data reserves the right to edit and lay out promotional copy in accordance with its creative guidelines and branding standards. Vendor-produced Advertisements If you supply previously produced advertisements, they must include:
Tech Data part numbers The Tech Data logo (in accordance with company guidelines) The Tech Data Canada Web site address (www.techdata.ca) A Tech Data call-to-action The Tech Data Canada toll-free phone number (1-800-668-5588) The Tech Data Canada return address on business reply inserts

Your previously produced advertisements cannot include any reference to other distributors via logos, phone numbers or part numbers, and cannot make comparisons of products or negative statements about another Tech Data vendorâ&#x20AC;&#x2122;s products. Tech Data reserves the right not to link to a vendor Web site from an advertisement, especially if the specified URL offers direct sales to our resellers. In the event you wish to tag Tech Data Canada on your ad, please refer to the Tech Data Logo Usage Guideline. Sales Incentives (SPIFs) Please note that SPIFs are earned at the sales team level. All amounts earned by a sales team are divided among team members. Eligibility to sponsor SPIFs To sponsor a sales incentive or SPIF, you must meet the minimum investment requirement of $10,000 as outlined previously. Communication of SPIFs Your Vendor Marketing Manager is responsible for communication of your incentive through the use of Tech Data Canadaâ&#x20AC;&#x2122;s promotion page on the intranet. In addition, vendor partners are encouraged to use their floor walks, vendor fairs, training sessions and other interaction with sales to promote their incentive programs. Tech Data Canada charges an admin fee for management and processing of SPIFs. The fee is equal to $100 (CDN) plus 20% of the payout total (<$500 payout) and $200 (CDN) plus 20% of the payout total (>$500). Fees All sales incentives are subject to a flat administration charge to track, process and record, as well as a 20% charge on the payout amount to cover Canadian payroll taxes and other costs. For national incentives offered to Tech Data sales representatives, the 20% fee will be deducted from the payout to cover appropriate costs. Rebates/Reseller Partner Offers Tech Data Canada charges an admin fee for management and processing of reseller incentives. The fee is equal to $100 (CDN) plus 20% of the payout total (<$500 payout) and $200 (CDN) plus 20% of the payout total (>$500). Vendors are required to submit appropriate copy and images for all print, web and multimedia advertisements. Tech Data Canada’s ability to meet deadlines and execute programs effectively hinges on receiving all submissions in a timely fashion, and in the proper format. While deadlines and requirements change depending on the activity, below are some general guidelines for vendors to follow. Over and above the following guidelines, we are committed to providing thorough information on each program.
