Request for Applicants for Nomination to Run for the HMCA Board of Directors All Applications must be received no later than 5:00 p.m. on November 15, 2019 As a homeowner in the Hamilton Mill Community Association, you have an opportunity to provide leadership and advance the best interests of the community by running for a position on the Board of Directors. Serving on the Board will allow you to have direct involvement in “directing” the business of the Association and adopting policies that reflect the benefits and services provided to our neighborhood. Please consider the following reasons why you should be nominated to serve as a Board Member: > Opportunity to make decisions on issues that have an impact on the quality of life for all residents of Hamilton Mill > Governance – policy making, oversight, and strategic planning > Opportunity to address issues and concerns of neighbors Serving on your Homeowner’s Association Board of Directors can be exciting and rewarding. You have the opportunity to work with neighbors to make our community a great place to live, work, and play (A Hometown Community). Ask yourself if you have the following qualities: 1) Time and energy to attend meetings and be available as necessary 2) Ability to be fair and consistent and exercise good judgement 3) Ability to work effectively with other members of the Board and staff 4) A willingness to embrace adversity and remain committed to a “team” mentality 5) Do I fully understand what is expected of a Board member? NOMINATIONS FOR BOARD OF DIRECTORS Board Member Duties and Responsibilities and Obligations To All Hamilton Mill Homeowners: In accordance with the By Laws for Hamilton Mill Community Association, Inc., four positions of the current board are up for reelection. The Nomination’s Committee is currently accepting applications for nominations and the Closing Date for nominees for the Board is November 15, 2019. The duties and responsibilities of a board member include governance, decision making, and oversight and requires a great deal of time, dedication, and knowledge on the workings of the community. In addition, a clear understanding of the association’s covenants, restrictions, bylaws, and a working knowledge of the association’s finances, insurance requirements, and contract obligations for the vendors that work for the association will be required. The affairs of the Association are governed by the Board of Directors, elected by its members. GA Code requires a director to discharge his or her duties in a manner the director believes in good faith to be in the best interest of the Association, and with the care an ordinary person in a like position would exercise under similar circumstances. The legal duties of a Director are: • Duty of Care – must exercise good judgment; includes an obligation to make informed decisions; ignorance is no defense • Duty of Obedience – must comply with the Association’s governing documents and act consistent with goals • Fiduciary Duty – must be loyal to the Association and never use position for personal gain or illegal acts; loyalty includes confidentiality On the next page is an overview of the role of officers of the Association which are appointed by and consist of elected Board members. Please read the information below carefully and take all the information into consideration before considering a position on the Board of Directors.

RESIDENT NEWS Officers of the Association: PRESIDENT The president of an association is vested with all the powers generally given to the chief executive officer of a corporation. While specific by-law provisions may vary the president’s duties, it is generally presumed that he or she will preside at all meetings of the board and the membership. The president will execute contracts, orders and other documents in the name of the association as its agent. When signing documents, the president should indicate the capacity in which he or she is signing in order to avoid any personal liability since the president’s signature, under most circumstances, will bind the association under a doctrine of inherent powers. The president also assumes general charge of the day-to-day administration of the association and has the authority to order specific actions in furtherance of the board’s policies. The president serves as spokesman for the board of directors in most matters relating to general association business. Like all officers of the association, the president has an affirmative duty to carry out the responsibilities of the office in the best interests of the association. Unless otherwise specified in governing documents, the president serves at the will of the board of directors and can be removed with or without cause at any time by a majority of the full board. VICE PRESIDENT The vice-president is vested with all the powers which are required to perform the duties of the association president in the absence of the president. The vice president does not automatically possess inherent powers to act in the capacity of the chief executive officer and may act for the president only when the president is actually absent or otherwise unable to act. The vicepresident may assume such additional duties as are defined by the board of directors. Often, the vice-president will chair one or more substantive committees like that of architectural review.
SECRETARY The secretary of the association is responsible for keeping and maintaining a record of all meetings of the board and the membership and is the custodian for most of the official records of the association. The position of secretary is not simply a clerical position. As the custodian for the minutes and other official records of the association, the secretary is responsible for insuring access to those records by the members of the association and their authorized representatives. TREASURER The treasurer is the custodian of the funds, securities and financial records of the association. When the association has a manager or Management Company that handles the funds on a daily basis, the treasurer’s duties will include overseeing the appropriate people to ensure that the financial records and reports are properly kept and maintained. Unless the by-laws otherwise specify, the treasurer is responsible for coordinating the development of the proposed annual budget and for preparing and giving the annual financial report on the financial status of the association. The treasurer does not have the authority to bind the association or the board of directors in dealings with third parties unless the board has provided express authority for the treasurer to do so. As with the association’s secretary, the treasurer does not have to perform the day-to-day record keeping functions of the association when this responsibility is transferred to a management company, but the treasurer will ultimately be responsible for insuring that the financial records of the association have been maintained properly in accordance with sound accounting practices.
Fiduciary Relationship and Responsibility The members of the board of directors and each officer of the association have a fiduciary relationship with the members of the association. This fiduciary relationship imposes obligations of trust and confidence in favor of the corporation and its members. It requires the members of the board to act in good faith and in the best interests of the members of the association. It means that board members must exercise due care and diligence when acting for the community, and it requires them to act within the scope of their authority. The fact that the association is a not-for-profit corporation, or that the members of the board are volunteers and unpaid, does not relieve them from the high standards of trust and responsibility that the fiduciary relationship requires. When a member accepts a position on the board of directors, he or she is presumed to have knowledge of the duties and responsibilities of a board member. Board members cannot be excused from improper action on the grounds of ignorance or inexperience and liability of board members for negligence and mismanagement exists in favor of the association and the property owners. Each board member must recognize the fiduciary relationship and the responsibilities that the board has to the association and each of its members. The board’s duties must be performed with the care and responsibility that an ordinary prudent person would exercise under similar circumstances, and the ultimate responsibilities of these unique positions cannot be delegated to a manager, a management company or other third party. A Recap of the Board Member’s Role: √ Protect, preserve, and enhance the values and assets of the Association and its members √ Read, understand, and adhere to Association’s governing documents √ Where appropriate, select, support, and evaluate the management company or general manager √ Adopt and cause to be implemented policies for the maintenance, administration, and financial well-being of the Association √ Attend and participate in meetings √ Set amount of assessments to ensure adequate resources to meet the Association’s purpose √ Oversee resources and finances and ensure financial controls are in place √ Determine the scope of services and monitor √ Enhance the Association’s public image √ Act legally and ethically √ Recruit new Board members √ Adopt rules and regulations Operating a homeowner association carries with it many of the very same duties and responsibilities as overseeing any other business. Serving as a board member is a valuable and rewarding experience that should be undertaken by those who see it as an opportunity to serve their fellow neighbors while protecting and enhancing the assets of the community.

Hamilton Mill Angel Tree For the past several years Hamilton Mill has been overwhelmingly generous and supportive of Angel Tree. This year, we will again partner with the Gwinnett Department of Family and Children Services and help 15 foster children with their holiday wish lists. These lists contain everything from essentials like clothes and shoes, to items they could only dream of having… and Hamilton Mill always delivers! We plan to kick off the Angel Tree season Monday, November 18 – just in time for the holiday shopping season! Plan to come by the clubhouse that week to pick your Angel from the tree. Each child will have several tags on the tree, which means we will have close to 150 tags. All gifts will be due by Wednesday, December 4. Be on the lookout for more information via the weekly communications in early November. Thank you for your generosity and support!

Our 4th Annual Hamilton Mill for Hope tennis round robin was held on October 7th and 8th this year. We had an amazing turnout to support breast cancer care and prevention at Gwinnett Medical Center Foundation. The event kicked off on Saturday, October 5th at the 14th Annual Buffalo’s Café PINK PARTY. It was a great night, and we raised a lot of money selling Pink Party tickets and raffling items donated from local businesses. Thanks to Buffalo’s Café for their generous support and to all the great staff for making it a big success. The two-day Tennis Tournament at the Lakeview Tennis Center had over 40 participants and many volunteers and spectators who enjoyed a fun, action-packed day of tennis and shopping at the booths set up by local businesses. We were grateful to have beautiful, dry and cooler weather! Each day started with a goody bag and continental breakfast, which led into a 10-team round robin tennis format.

The event brings together players from all levels and teams and proves how great it is to play tennis at Hamilton Mill year-round. The closing luncheon was catered by Buffalo’s Café at the Hamilton Mill Clubhouse, which included a guest speaker, prizes and a fund-raising raffle with awesome baskets generously donated by many Hamilton Mill tennis teams. The fun and creative team baskets are a big part of the success of this fund raiser and are greatly appreciated. Special thanks to Dr. Debra Miller, an oncologist at Gwinnett Medical, for sharing her expertise in breast cancer detection, prevention and treatment. Her passion for patient care and dedication to saving lives is inspirational and gives hope that one day we will win the fight to end breast cancer mortality. Many thanks to all our participants, volunteers, coaches, sponsors and businesses who made this event so successful and for supporting our fight against breast cancer.
