I
n our cover story this month, we take an extensive look at the TIADA Member Survey conducted earlier this year. The other board members and I frequently talk to members about the industry and their businesses. Whether it is at a local chapter meeting, our annual conference, an education seminar or at some other event, I constantly hear from members. However, TIADA has not conducted a comprehensive survey of members since 2014. In order to get some concrete numbers and statistics to go along with the anecdotal information we have heard, we decided to undertake another survey last May. We emailed online surveys to over 800 members and received over 150 responses. We then called members and tallied nearly 200 more responses to achieve statistically valid results. The goal of this project was to obtain better information that would allow TIADA staff to improve our ability to represent our members. These results will allow the association to develop and design programs tailored to the real, specific needs of our members and their businesses. Your responses will also enable us to accurately quantify the economic impact of our members’ businesses when advocating for the industry before the Texas Legislature and other regulatory agencies. Further, it will help the association determine where best to allocate resources in ways to have the most impact for members. In short, the more we know about you and your business, the better we can help you succeed.

Those of you who attended the annual conference in San Antonio were the first to see these results. However, if you are looking at them for the first time in this magazine, you will see that where applicable, we have placed the results from 2017 next to those gathered in 2014 so you can see first-hand how the industry and this association has changed over the past three years. How are dealers financing their inventory this year compared to 2014? Do more dealers say their primary line of business is buy-here, pay-here or was that number higher three years ago? Turn to page 34 to find the answers. We hope this data will also be beneficial to our individual dealer members to help them understand the scope of their business in comparison to other members. We believe this information will also be useful to our associate members in helping characterize TIADA members as compared to independent Texas dealerships as a whole. So be sure to take a look through the answers provided in this issue. I hope you learn something about your industry and about those that make up TIADA. I know I did! Cross-Collateralization: A Risky Proposition Dealer Question: I sold a cus-
tomer two cars at different times and under separate installment contracts. If the customer pays off one but refuses to pay for the other, can I hold the title on the paid-off vehicle until I’m paid on the other? And if I finance repairs on a side-note for a customer, can I hold the title to secure payment of the side-note, even if the original retail installment contract is paid off? Answer: It depends. Reason: The issues raised by these questions fall under the heading of the term “cross-collateralization.” That is, does the creditor, by virtue of the transaction paperwork, have a legally sufficient security interest (or lien) on both vehicles so that each vehicle secures not only the contract under which is sold but also the contract on the other vehicle?

he Office of Consumer Credit Commissioner (OCCC) takes the position that a BHPH dealer can’t add subsequent repair charges or advances to the underlying retail installment contract balance. Thus, most such repair charges are handled as “sidenotes.” As to the repair side note, the question is whether the creditor’s lien against the vehicle also covers the amount subsequently advanced for repairs. There is a certain amount of inherent risk in financing multiple vehicles for one buyer. If the buyer skips or files bankruptcy, the lien holder faces a double loss. In representing car creditors in bankruptcy cases, our firm has noticed that a

suspiciously high percentage of bankruptcy cases involve multiple vehicles financed by the same car creditor. It is also not uncommon for a debtor to want to return one of the vehicles (usually the most recent purchase and/or the one with the least equity). If there is a deficiency owed on the one returned, the lien holder may desire to withhold releasing the title to the vehicle that is kept when it is paid off. Another circumstance that gives rise to the crosscollateralization situation is when one vehicle is wrecked (without insurance, of course), and the debtor decides not to pay for the wrecked vehicle. Yet when the other vehicle is paid off, the debtor demands that the lien be released. In one such case under this fact situation, the dealer refused to release the title certificate on the vehicle that was paid off. The debtor complained to a justice of the peace, and criminal charges were brought against the dealer. In that case, the debtor had purchased a van and a truck from the dealer on separate occasions, signing the normal motor vehicle installment sales contracts. The contracts also provided that the debtor keep the vehicles insured against loss. Exactly one day after the insurance policy on the van expired for non-payment, the vehicle was involved in a collision and declared

There is a certain amount of inherent risk in financing multiple vehicles for one buyer. a total loss. The debtor advised the dealer that he was sorry he had let the policy lapse, but that he would not make any payments on the destroyed vehicle. Further, he expected the dealer to deliver free and clear title to the truck when it was paid off. After receiving the last payment on the truck, the dealer refused to release his lien until the $10,000 balance on the van was paid. The consumer filed a complaint with the local justice of the peace, who found that the dealer had committed a Class C misdemeanor by not timely releasing the title to the vehicle. The criminal charge was eventually reversed on appeal, but not before the dealer had expended money for legal fees and lost a great deal of sleep over the episode. In another case, a West Texas district attorney threatened to put a dealer in jail and prosecute him under criminal theft charges if he didn’t release the title 9
to a vehicle that was paid off by the debtor even though a second vehicle was seriously in arrears. These cases reflect the general attitude of judges, prosecutors, and regulatory agencies that there is something inherently wrong with enforcement of cross-collateralization agreements on multiple vehicles. There are similar attitudes regarding cross-collateralization of charges or money advanced for repairs by the lien holder. In the typical case, a debtor makes the regular payments
called for in the retail installment contract, but fails to meet the obligations signed for in a side note for repairs (there are specific requirements and limitations on repair side-notes that aren’t discussed here because of lack of space). The question that arises is: If the debtor refuses to pay the repair charges, but has completed the payments under the original retail installment contract, is the lien holder obligated to release the lien? There are several different areas of the law that would affect whether

cross-collateralization of two vehicles, or of car debt and repair debt, is appropriate. For instance, Regulation Z of Federal Truth-In-Lending requires all security interests to be clearly and conspicuously disclosed. It is imperative then that attempts at cross-collateralization be clearly spelled out. State credit codes can also limit liens on other property. Although some states specifically prohibit cross-collateralization, Texas does not. In order to have cross-collateralization rights, it is necessary to establish, at the time of the first sale, that future purchases will be covered by the original security interest. A so-called “dragnet” clause provides that a security interest in collateral extends to future debts owed to the creditor by the debtor. Years ago, dragnet clauses appeared in many motor vehicle installment contracts. However, when the OCCC issued standard contract provisions under implementation of plain-language contract requirements, the model contract clauses did not contain a dragnet clause. Burrell Printing, at the urging of TIADA, submitted to OCCC for review language that would provide for cross-collateralization with a vehicle purchased by the debtor from the creditor at a later date, or for any other future indebtedness incurred by the debtor. This provision does appear in Burrell motor vehicle installment contracts. However, not all motor vehicle retail installment contract forms used in Texas contain “dragnet” language. To meet the conspicuous disclosure requirement and to eliminate a debtor’s defense that he didn’t know about the cross-collateralization provision, the better practice is to also have the debtor sign a separate cross-collateralization agreement at the time that a second vehicle is purchased or a repair advancement is made. car buyers who finance through a BHPH dealer often don’t expect to pay for repairs. They will sometimes sign a side note in order to get their vehicle fixed, but don’t really intend to pay. We have often counseled car creditors that it may be more expensive to refuse to release a title upon completion of the car indebtedness portion, even if the repair note is not repaid. Negotiation of a reduced balance to achieve a settlement and release is certainly more cost effective than prolonged litigation. The Texas Finance Code and the Texas Transportation Code both have provisions that require a lien holder to release a lien within 10 days of the date the vehicle is paid for. These provisions don’t address the issue of whether a lien on a vehicle that is paid off must be released even if other indebtedness is secured. The creditor’s argument
in such a situation is that the outstanding indebtedness has not been paid off and the lien on either vehicle doesn’t have to be released until all indebtedness is paid. The courts will have the last word on this question. Conclusion: Cross-collateralization of multiple vehicles is a risky procedure that courts are reluctant to enforce and consumer protection agencies generally do not approve of. No matter how carefully a creditor documents the transaction, a court may look for technicalities to avoid enforcement of the cross-collateralization agreement, and other legal penalties may be sought against the creditor who refuses to release its lien. The more conservative approach is to sell no more than one vehicle per customer at a time. If, however, crosscollateralization is sought on multiple vehicles sold, the creditor should
make sure that a dragnet clause in contained in the original contract and that a cross-collateralization agreement is signed by the debtor at the time of the second sale. We’ve also found that taking a hard line on holding a title for an unpaid repair note, especially if it results in litigation, can cost more than the indebtedness owed, and can draw the same types of negative reaction from judges, law enforcement and state agencies as crosscollateralization of two vehicles. hen Hurricane Harvey roared into the coast of Texas in late August, many people expected the damage to be extensive. But even the most seasoned storm veterans had trouble imagining what would come next. The storm dropped record breaking amounts of water across large portions of southeast Texas, including heavily populated areas in cities like Houston. Television news cameras showed the resulting floods and images of people being rescued from their homes on boats. Right around this time, TIADA was hit with a deluge of their own: call after call and email after email from members wanting to know how they could help those affected. Members of the community of independent dealers in the area saw the devastation and wanted to lend a hand. “During and after the storm, we got calls asking how people could help,” NIADA CEO Steve Jordan said. “We are so humbled and grateful to work with dedicated partners in the industry to help those who need it most, when they need it.”

Working through the NIADA Foundation, a relief fund was set up to collect donations for the victims of this vicious storm. After Hurricane Irma tore through Florida just days later, the NIADA Foundation announced it would also be assisting dealers and their families in that state as well. “The NIADA Foundation is in a great position to help those in the automotive community who came face to face with loss and destruction from Hurricane Harvey and we are thrilled at how the industry has rallied around the Emergency Relief Fund effort,” Jordan said. “Working closely with Jeff Martin and the TIADA, other state associations, NABD, and industry partners like Spireon, the NIADA Foundation has already distributed in excess of $85,000 to dealership personnel and others in the automotive industry that were affected by the storms, many who lost everything. It truly has been a great team effort.” Some of that money went to members like Karrie and Tony Pearce of American Auto Company in Beaumont. While the flooding in the area spared their business, 15

Karrie told Texas Dealer their home was not so fortunate. The flooding forced them to evacuate and they could not return for seven days. “The flood took everything, literally everything,” Karrie said. “I have always heard about people getting flooded but I never thought I would be one of those people. We have been living in this house for 20 years. It destroyed everything we had.” While Karrie never could have imagined herself in this predicament, she was very grateful for the support she received. “I really appreciate it. I never dreamed that we would need help,” she said. “It’s really kind. I just never thought about something like this happening, but I really appreciate it.” Crystal Rivera of Tricolor in Houston also shared a harrowing story of survival after the floods. She and her family found themselves trapped in a home with rapidly rising waters. “It was so flooded, you could not see anything outside,” she recalled. “All you could see was water. I thought I was never going to make it out of there.” Eventually she was rescued by a friend who saw her post asking for help on Facebook. Several days later she started to realize how many people wanted to reach out to help her and her many co-workers who were affected. “After all the damages we suffered, our company Tricolor, our associations, people who know us, they were very caring,” Rivera said. “They offered to help us no matter what. Other donors said that the sheer magnitude of the destruction was something that they simply could not ignore. “It was clear early on that Harvey was a once-in-a-lifetime event,” said Chris Kirwan of Berkshire Risk, who also donated to the fund. “We knew that our BHPH dealers were about to experience a unique type of duress. They were going to have to address their own flood damage while simultaneously helping 17

their customers, many of whom would need assistance ranging from temporary debt relief to expedited vehicle replacements. By helping the dealers, we could play a small role in the broader recovery. It was an easy call.” All this generosity made it possible for the NIADA Foundation, working in conjunction with TIADA, to give assistance to members and their employees at 35 different dealerships. In addition to financial assistance, the foundation also delivered over $5,000 of rebuilding supplies to the Crosspoint Community Church. It is all part of what will be a long road to recovery. “The NIADA Foundation and our donor partners understand that recovery is a process and doesn’t happen overnight,” Jordan said. “That’s why we are committed to assisting victims over the next several months as they get back on their feet. We know many may feel like victims now, but our Foundation’s hope is, with the help of friends in the industry, they’ll feel victorious soon.” 18
That help has made a big difference for those who have received it in this difficult time. Rivera, in addition to being a victim of the flooding herself, also helped organize the applications for help from her coworkers. In addition to the Foundation, Tricolor helped its employees with assistance, too. She emphasized how grateful everybody was to those who were offering help. “When I spoke to some of our employees, letting them know they would be getting checks, they kept saying, ‘Oh my God, I am truly blessed, the company helped me, the association helped me,’” she recalled. “I remember saying, ‘I understand this won’t cover all your expenses,’ but they kept insisting that even just the thought helps, it really helped. “I am very excited that you guys were able to extend a helping hand. We’re blessed, we’re very blessed. We want to thank you for that. We want to thank you for giving that support to our employees.” T e x a s

An Act of Congress Overturns CFPB Arbitration Rule by TIADA Staff
O
n Tuesday, the efforts of the TIADA and the NIADA resulted in preventing a significant threat to dealers across the nation. The Consumer Financial Protection Bureau’s arbitration rule, preventing the use of arbitration agreements with class action waivers, was struck down by Congress. In 2002, Texas dealers were drawn into a class action lawsuit, claiming we were charging interest on deferred sales tax finance contracts. The allegations were false, and the suit was dropped, after dealers organized by TIADA spent nearly a million dollars and two years fighting it. Dealers immediately started using arbitration agreements to avoid future exposure to these type of suits. Years later, the CFPB decided to take up the issue, perceiving the agreement prevented consumers from having collective power to sue lenders. In 2015 Phil Lathrop, who would serve as TIADA President the following year, represented dealers in a day long meeting with the CFPB. “I laid out Texas Dealers’ experience with class action suits and how elimination of arbitration agreements made us targets for tort attorneys,” Lathrop recalled. “The CFPB’s own statistics showed that in a four-year span, class action suites earned attorneys’ firms $40 million while consumers receieved $32 apiece.. Financial relief for consumers in arbitration cases averaged more than $5,000. Additionally, arbitration is up to 12 times faster and is less expensive than litigation.” Regardless, in 2017, the CFPB ruled the agreements were to be eliminated. However, on October 24th, the United States Senate voted 51-50 to overturn the CFPB’s ruling with Vice President Mike Pence casting the tiebreaking vote. The U.S. House of Representatives had already voted on an identical resolution earlier this summer. The legislation now heads to the desk of President Trump who has indicated he will sign it. NIADA Senior Vice President of Legal and Government Affairs Shaun Petersen praised Senate leadership for yesterday’s action. “We applaud Senator Crapo and Senator McConnell for their efforts to shepherd this resolution through the Senate chamber,” Petersen said. “Their leadership in getting this resolution passed ensures consumers will continue to reap the benefits of arbitration while preventing the inevitable increase in credit costs that would have come.”

When NIADA started looking for someone to testify before the CFPB I knew the Texas dealers would step up. Our guys know the value of being involved legislatively because of our efforts here in Texas. Phil Lathrop set the stage three years ago testifying on behalf of independent dealers, and then we have taken a lobby group every year since to DC. Kudos to all the dealers across the country who made the trip to DC and donated to the PAC over the past three years.” TIADA General Counsel Michael W. Dunagan recalled that this was not the first time independent dealers came together to spur Congress to act. “Interestingly enough, there is precedent for congressional action to nullify an agency rule affecting the automobile sales industry,” Dunagan said. “In the late 1970s, the Federal Trade Commission proposed a rule that would create what we now know as the FTC Buyer’s Guide disclosure form. The proposed rule would have created a 72-hour cooling-off period for used car buyers, and would have required dealers to check on the Buyer’s Guide ‘O.K. or ‘Not O.K. as to various component systems, effectively creating a mandatory warranty. After a massive petition and letterwriting drive and lobbying effort in Congress by TIADA, NIADA, and the National Automobile Dealers Association, Congress passed legislation authorizing the veto of proposed regulations. The FTC, in anticipation of congressional action, withdrew the 72-hour cooling-off period and the ‘O.K-Not O.K.’ portion of the rule.” “This time, it took an act of Congress, but we can continue to use arbitration agreements,” Lathrop said. “TIADA has got your back, keep your membership current, and tell others to join.” T e x a s

I started helping with the recruitment process last year and that got me a trip to the NIADA convention in Vegas. While there, I got inspired to become more involved with my state association and to aim for higher recruitment goals. It looks like I’ll be going to NIADA in 2018 and this time I’ll bring home a Crystal Eagle award.

n his inauguration speech 2016 TIADA President Phil Lathrop famously challenged each member to “Just Get One” new member to join the association. Ever since, TIADA has adopted this mantra and created the Just Get One campaign. Each dealer who recruits a new member receives a $10 gift card, a Just Get One lapel pin and a Phil Fan, a fan made in the likeness of Phil Lathrop himself. or the first time since 2014, we surveyed our dealer members in order to better understand and represent them. Only through knowing your business needs and practices can the association effectively provide the services dealers want and effectively advocate on their behalf. It was through asking these survey questions that TIADA staff were able to learn that information. A total of 835 members were initially sent an online survey. We were seeking statistically valid results with a confidence level (CL) of 95% and a confidence interval (CI) of 4. In order to obtain these goals we needed 357 answers. Of those that received the survey, 158 completed it online. An additional 199 responses were obtained via telephone from Triton Polling. The survey questions are presented alongside the results from the 2014 survey for comparison if available. These represent just a sample. The full survey can be found online at txiada.org. behind the wheel We’re Getting Better Every Day
A
t our board meeting last month we welcomed four new board members. The new faces come from different corners of Texas; Porter, McAllen, Decatur and Austin, and each represent different sizes and business models in the industry. Most associations struggle to find good new leaders to serve on boards and committees. We have been fortunate to not only have had great leaders in the past, but to also have new leaders step up to carry the torch further and continue to advance the interests of the industry. Most of our past board members continue to serve on committees and help guide and shape the association in a less high-profile position. Their knowledge of the industry and experience with the association make them invaluable leaders to us. Others have used the association as a springboard to have even more influence on the industry by serving on the NIADA board, the Texas Department of Motor Vehicles Board, or even serving as a Texas State Representative. One of the items of business during last month’s board meeting was to identify more businesses we can partner with that share the association’s philosophy and can help us protect the industry by growing our influence. The new leaders brought their unique experiences and talents to help foster new ideas. The combination of the experienced leadership and new leadership created a lot of energy and much-needed continuity. The end result is

a well-defined roadmap for the association’s future business partner program and affinity programs. So who will fill the leadership role for next year, or the next, or the next five years? Is there a bottomless well of talented leaders in the industry? The answer to that question is yes! Does that mean you have to serve on the board of directors? No, you simply have to be engaged. You can serve on a committee, help recruit new members at our TIADA Day at the Auction membership drives, get to know your legislator and become a legislative liaison and/or attend the annual conference. There is a plethora of opportunities for you to use your talents to help the association as we all work to improve our industry. Teddy Roosevelt once said, “Every man owes a part of his time and money to the business or industry in which he is engaged. No man has a moral right to withhold his support from an organization that is striving to improve conditions within his sphere.” Over the last couple of years we have seen a wave of new dealers becoming more involved with the association and there is no doubt the industry has been the beneficiary. Find the right place for your talents and join so many of your fellow dealers who understand the importance of being involved. If you are not sure how to become more active or where the association can use your talents, please give me a call. We have an industry that needs you.
