TIADA’s Role in the Legislative Process
As I think about my term as President of TIADA coming to a close, I want to highlight the crucial role of independent dealers in the legislative process. Recently, TIADA testified to address our concerns with the vehicle-crushing legislation that was under consideration during this year’s legislative session. This legislation would have had significant implications for our members and the industry as a whole, and it was an honor to testify and to help shape the messaging on behalf of the association’s members.
Between the previous session and the current one, TIADA engaged in extensive consultations with dealers, state Independent Automobile Dealer Associations (IADAs), the Texas Department of Motor Vehicles (TxDMV), and other stakeholders. Our goal was to find a better approach than relying solely on the age of the lien. We recognized that an unregistered vehicle for an extended period
could provide valuable insights into its drivability and value, unlike simply considering the presence of a lien. Unfortunately, negotiations with the legislature did not progress as we had hoped.
In light of these developments, member Christina

feature The Secret to Success With Your Dealership’s Google Business Profile
Your dealership’s Google Business Profile (formerly called Google My Business) is the cornerstone of your digital marketing and SEO efforts — but it’s almost always overlooked by independent dealers. A properly optimized GBP helps boost your visibility in local search results, and more importantly, allows your dealership to show up in the coveted map pack search results.
The map pack shows at the top of the search results page on both desktop and mobile. Google’s local algorithm displays the search results based on relevance, prominence, and proximity. For instance: If someone searches “used car dealer Dallas,” Google will first compile a list of all dealerships that sell used cars — that’s the relevance part of the equation. Then, the list is sorted in order of importance. The list is sorted so that the “better” dealers are at the top of the list, based on their optimization signals — that’s the prominence element. Finally, the list is sorted based on how far away they are from the person who’s searching — that’s the proximity element.
That proximity element is why you can search from the dealership and see yourself at the top of the map pack, but then search again at home and not see your dealership in the pack at all. At the dealership, the proximity is zero — but at home, there are likely many other dealerships closer to your current location.
I’m going to give you a crash course in GBP optimization. There’s a lot to address here, so I’ll try to keep each element short, since I doubt they want me to take up the entire magazine with this article.
Enter your correct business name. Don’t add additional keywords, because that’s against Google’s guidelines and can get you suspended (you will be removed from search results).
Make sure your address is correct, and check the location of your map pin on the map that shows at the top of

Make sure you’ve listed a phone number with a local area code. No one needs toll-free numbers anymore, and a local area code sends a better signal to Google and potential customers. This doesn’t mean you can’t do call tracking in fact, it’s best practice to use a call tracking number on your GBP… just make sure that it’s a tracking number with a local area code.
Make sure you’ve got UTM tracking on your website link. Many times, especially on mobile searches, the referral information isn’t passed to Google Analytics because of privacy concerns. That means a portion of your organic search traffic gets classified as “direct” traffic in Analytics. Using UTM tracking ensures that your traffic is correctly attributed in Google Analytics. Make sure you’re selecting all of the appropriate categories category selection has a lot of influence on the searches you’ll show up for. You should always have “used car dealer” selected as the first category. You should also select:
“used truck dealer”
“car dealer”
“auto broker”
“car finance and loan company”
“motor vehicle dealer”
And if you also provide service, be sure to select servicerelated categories
Make sure that your correct hours of operation are listed. If you’re changing your hours for a holiday, use the holiday hours widget to temporarily change your hours.
Make sure that you have “Vehicles for Sale” listed. This is a live inventory feed that displays all of your vehicles
in your Business Profile, and clicking on a thumbnail pulls up a Google-hosted VDP. Customers can then click through to your website to convert.
Make sure you’re uploading high-quality, professionally shot photographs of the dealership. Customers can upload photos with reviews or even simply tag the dealership in photos, and those photos will appear in the GBP photo gallery. Google tends to prefer high-quality professionally shot photos, so uploading better photos will help you ensure that your photos are displayed before the user-uploaded photos.
Make sure you’re paying attention to the Questions & Answers section. Customers think it’s a chat widget, but it’s actually a community discussion widget. Anyone can ask your dealership a question, and anyone can answer the question for you (and that should terrify you). You’re allowed to ask your own questions — we like to call it a pre-site FAQ page. Questions can receive multiple answers, and the answer with the most upvotes is displayed as the primary answer.
You should upload your common questions, answer them, and upvote your answers. This is important because of the way the widget functions… As someone is typing in a question, if a similar question has been asked and answered, Google will automatically display an answer as the user types in their question. This is an
amazing pre-site experience and makes it much more likely that the customer will convert.
Finally, make sure that you’re using Google Posts on a regular basis. Most dealers treat them like social media posts, but in reality, they’re free ads that appear in your Google Business Profile. The key to success is optimizing what shows in the Post thumbnail — Google will crop the image automatically and only show the first few words of the full Post. If the thumbnail isn’t compelling, no one will click through and see the content of your full Post.
Make sure your Posts are promotionally-focused. Customer delivery photos or social media posts simply won’t work. You shouldn’t create posts for specific vehicles either — Posts stay visible for 6 months, and it’s likely that the vehicle will be sold long before the Post
Finally — take a look at what the local competition is doing with their Google Business Profiles. At the most basic level, Google is simply a pattern detection program. If you keep an eye on what the competition is doing, it’s much easier to create a more attractive pattern and gain more visibility in local search results.

After-Sale Repairs: Keeping Them Running
Dealer Question: I do a lot of repairs (both in-house and by third parties) at no charge for my Buy-Here-PayHere customers. Can I add a charge to my finance contracts (labeled as “warranty”) to create a fund to offset the costs of the repairs I do?
Answer: No.
One of the more quaint phrases used by BHPH dealers in the ancient past was: “If they ain’t driving, they ain’t paying.” The rustic wisdom of that saying holds true today. In the world of sub-prime motor-vehicle finance, and especially in the BHPH business, it is often necessary to assist customers in getting repairs done. It is also often in a dealer’s best interest to be involved in the process of analyzing breakdowns and referring customers to preferred repair shops to prevent such unpleasant occurrences as abandonments and the placement of mechanic’s liens.
At one time, almost all dealerfinanced sales were on an “as is” basis. But in recent years, more and more dealers have, primarily because of competitive pressures, gone to offering some type of warranty on their vehicles and others are offering to sell commercial service contracts, adding the charge to the amount financed in the installment contract. What are some of the ways dealers can address post-sale repairs as part of the sales transaction?
When it comes to discussing warranties and service contracts, it’s necessary to understand the definitions of the key terms. Even though the terms “warranty” and “service contract” are often used interchangeably, they are actually different things.
As Is. This term refers to selling a vehicle (or any other product) without giving a warranty.
Warranty. A warranty is, by definition, an undertaking or promise given by a manufacturer or seller of a product to repair or replace merchandise if certain defects occur. There is and can be no separate charge for a warranty.
An example of a warranty is the limited warranty given by automobile manufacturers on the new cars sold by their franchised dealers. There are no additional charges to the buyers, and the terms of the warranties are set forth in written documents given to the buyers. Service Contract. Service contracts, on the other hand, are insurance-like products sold to car buyers to provide or pay for repairs that are not covered by a warranty. Service contracts are usually offered by third-party providers and sold through car dealers (although some are direct-marketed to consumers). The issuers of service contracts are required in Texas to be registered with the Texas Department of Licensing and Regulation (TDLR) and must meet rigorous financial requirements involving cash deposits and/or insurance backing of the product.
Seller Options
Selling As Is. It is still possible to sell a vehicle on an “as is” basis. This means that there are no warranties given with the sale. While selling “as is” eliminates the threat of breach of warranty claims, it doesn’t preclude claims of misrepresentation and other violations under the Texas Deceptive Trade Practices Act. On “as is” sales, the box on the Federal Trade Commission Buyer’s Guide form that says “AS IS – NO DEALER WARRANTY” should be checked. If a service contract is offered for sale, the box below that is labeled “SERVICE CONTRACT” should be checked to disclose the availability to the buyer of a service contract at extra charge.
Giving
A Seller’s Warranty.
If the decision is made to give a warranty to buyers, a dealer should acquire a warranty agreement form that is labeled as “Limited Warranty” and that spells out the specific terms of the warranty (the FTC Buyers Guide is a disclosure document displayed on each used car offered for sale, and is not adequate to serve as a warranty agreement). The form should meet the requirements of the Magnuson-Moss Act and the FTC Used Car Rule.

Sellers have the flexibility to tailor warranties to fit their needs. For example, deductible amounts, a maximum dollar limit for repairs, the duration of the warranty, and the percentage of costs covered (such as a 50-50 split) can all be determined by the issuer of the warranty. Also, specified types of repair and components can be excluded from coverage.
The warranty agreement must inform customers what steps need to be taken to invoke warranty coverage, such as whether the vehicle must be brought to the dealer for warranty work. Most warranties exclude coverage of damage caused by abuse or misuse of the vehicle.
Additional rules apply to what must appear in a written warranty agreement. There are, for example, certain required disclosures that must be placed on written warranty agreements. One such mandatory disclosure states: “This warranty gives you specific legal rights, and you may also have other rights which vary from state to state.”
In the spirit of pre-purchase disclosure of whether there is a warranty, and if so, what the terms are, The Magnuson-Moss Act requires that warranty agreements be made available for inspection by prospective buyers prior to sale.
Shifting from selling “as is” to selling with a warranty also requires changes to the Buyers Guide disclosure forms that are displayed on vehicles offered for sale. The purpose of the Buyers Guide is to advise potential buyers whether vehicles are being sold “as is” or with warranty; and, if they come with a warranty, whether the warranty is “full” or “limited.” Also, a brief summary of coverages provided by the warranty is included.
The Buyers Guide for each vehicle covered by a limited warranty should have a mark next to
“Warranty” (as opposed to “As Is – No Warranty”), and a mark next to “Limited Warranty” with the percentages of labor and parts which will be paid filled in. A description of the systems covered, such as: “engine,” “transmission,” “drive shaft,” or “differential” should be filled in (use of the terms “drive train” and “power train” are forbidden as being too vague), and any rules on deductibles (such as “A $50 deductible applies to each repair visit”) should be disclosed. The Buyers Guide should show the duration of the coverage for each system.
Commercial Service Contracts
Dealers are authorized under the Texas Finance Code to sell service contracts and to add the premiums to the amounts financed on motor vehicle retail installment contracts. The service contracts must be issued by companies that are registered with the Texas Department of Licensing and Regulation (TDLR) and the charge must be itemized on the installment contract in a way that clearly reflects what the charge is for, to whom it is being paid, and the amount of the charge.
Purchase of a service contract is at the option or the buyer and can’t be required as a condition of sale. Most dealer management software packages will properly place the required disclosure information on the installment contract when the information is entered into the system.
Dealers are required to deliver a copy of the service contract to buyers at closing. The FTC Buyers Guide should be marked to reflect the availability of a service contract for purchase and, if the dealer is not giving a warranty, the “AS IS — NO DEALER WARRANTY” box should also be checked.
Dealer’s Service Contract. A TIADA-initiated bill recently passed by the Texas legislature
contained an amendment to the rules on issuing service contracts for vehicles that made it feasible for a dealer to issue and sell its own service contracts. A licensed dealer who sells service contracts only to his or her purchasers can obtain authorization from the Texas Department of Licensing and Regulation to issue service contracts with a reserve deposit of $25,000 (as opposed to $250,000 required of all other service contract issuers). The same rules regarding pre-sale disclosure that apply to commercial service-contract products apply here.
In addition to meeting the TDLR registration requirement, the dealer must have a servicecontract form that meets certain requirements in specifying what is covered and what buyers must do to make claims.
What Not To Do.
Do not put a “warranty” charge on an installment contract. Warranties come with the sale and are not subject to additional fees. Also, as was pointed out in a Consumer Federal Protection Bureau case against a BHPH dealer in another state, the addition of a “warranty” charge to installment contracts without a corresponding charge being made on cash transactions indicates that the charge is a “finance charge” and must be added to the amount financed and factored into the Annual Percentage Rate calculation. That conclusion gave rise to the finding of a Federal Truth In Lending violation on top of the state offense.
Do not issue warranties to buyers without appropriate warranty agreement forms. The
FTC Buyers Guide is not a warranty agreement form. Do not put a service-contract charge on an installment contract if there is no actual service contract issued by a company authorized by TDLR. Examinations performed by Office of Consumer Credit Commissioner personnel include review of installment contracts to determine if such unauthorized charges have been made. If improper charges are found, the licensee will be required to refund those charges.

Don’t Panic: Loan Defaults and Repossessions Are Rising, and That’s Normal

In the context of high inflation and with the Fed intent on slowing the economy and weakening the labor market, there are indeed clear signs of stress in the system. Continued jobless claims are increasing, up from their historic lows. Auto loan delinquencies are also continuing to rise, and auto loan defaults are growing as well. As a result, repossessions are also increasing, but they too are rising from record lows. Through any economic cycle, increases in defaults and repossessions are a normal, expected occurrence.
At our Manheim auctions, the volume of repossessed vehicles sold has increased in 2022 compared to 2021 — up 3% year to date — but the total volume
2019. Overall, repossession volume at Manheim, while increasing, is not yet near red-alert levels. If fact, repossessions are only tracking back toward historical norms.
It is important to remember that auto loans normally have negative equity. These are financing products on depreciating assets. And yes, despite a period in 2020 and 2021 when used vehicles were INCREASING in value, automobiles are depreciating assets. Over time, they always have been and always will be depreciating assets. Negative equity in an auto loan is not some exotic thing — it is a very normal and planned-for occurrence.
Throughout the pandemic and still now, consumers
have been putting more money down in absolute dollars and as a share of loan amounts. This is helping prevent the stronger relative equity positions from deteriorating. In fact, our recent analysis of likely equity positions on outstanding auto loans suggests that they are in better shape than normal right now. And this means that consumers often have more options if a loan falls into default, and lenders are more likely to work out an agreeable deal, reducing the likelihood that a repossession is the end result.
Importantly, the current loan portfolio is relatively healthy. The total number of loans is down (a result of lower sales since spring 2020), and the share of subprime and deep subprime loans, the riskiest loans that drive more than 60% of repossessions, are down even more. This context is just not conducive to a crisis.
The real worry in the market right now is a recession, not a tsunami of repossessions. We have been expecting loan defaults and repossessions to increase, but long-term expectations through mid-decade (2025) suggest overall defaults and repossessions will remain within expected norms. The year-over-year increases may be notable — and headlinegrabbing — but context matters. The industry is not facing an unprecedented wave of defaults and repossessions, but the current economic environment and the possibility of a recession will certainly drive an increase in both.

conversations, dealerships can develop a comprehensive understanding of each customer’s unique circumstances, enabling them to make informed decisions and offer appropriate solutions.
In addition to listening, gathering accurate and up-to-date information is vital. This includes verifying personal and financial details of customers during every interaction. While some may question the need to collect information from customers who have consistently made payments, it is essential to recognize that circumstances can change unexpectedly. Even the most reliable customers may encounter unforeseen challenges that affect their ability to fulfill their financial obligations. By proactively gathering information, dealerships can stay abreast of any changes, enabling them to tailor their approach and assistance accordingly.
Sometimes, more in-depth discussions are necessary to address a customer’s situation effectively. In such cases, inviting the customer to the dealership’s office for a faceto-face conversation can be highly beneficial. This personal interaction allows for a deeper understanding of the customer’s circumstances and fosters a stronger connection. If an in-person meeting is not feasible, a phone call should be prioritized over impersonal communication channels like text messages. Through counseling and guidance, dealerships can help customers evaluate their financial priorities and explore potential solutions, enabling them to make informed decisions and fulfill their payment obligations.
Proper documentation is a fundamental aspect of the collections process. Maintaining detailed records of all communication and interactions with customers is essential. This documentation not only ensures that dealerships have a clear overview of each customer’s history but also facilitates seamless internal communication. If a staff member is unavailable, these records provide colleagues
with the necessary context to continue assisting the customer effectively. Furthermore, comprehensive documentation serves administrative and legal purposes, safeguarding the dealership’s interests in case of disputes or legal proceedings.
Empathy and flexibility are invaluable qualities that dealerships should display throughout the collections process. Customers facing financial difficulties often feel overwhelmed and stressed. By demonstrating understanding and compassion, dealerships can alleviate some of these burdens and build trust with their customers. Taking a flexible approach in finding mutually beneficial solutions can further strengthen the customerdealership relationship. This may involve exploring alternative payment arrangements, adjusting due dates, or considering other options that accommodate the customer’s circumstances. By working collaboratively to overcome financial challenges, dealerships can significantly improve the likelihood of continued payments
and long-term customer loyalty.
While these strategies serve as general guidelines, it is essential for dealerships to consult legal professionals as needed to ensure compliance with applicable laws and regulations. Implementing effective communication, active listening, information gathering, documentation, empathy, and flexibility can have numerous benefits for dealerships. Not only can it improve cash flow and the overall collections process, but it can also enhance customer relationships, foster customer loyalty, and establish the dealership as a trusted partner in the customer’s financial journey. By prioritizing the customer’s needs and offering support during challenging times, BHPH dealerships can differentiate themselves and thrive in a highly competitive market..

INDEPAC Reprises its Exciting Auction with Fantastic Prizes
by April HansonOne of the highlights of last year’s conference was the INDEPAC auction. Not only did the auction create a lot of buzz and excitement during the Awards Banquet, It also helped INDEPAC reach its highest-ever donation total in 2022. With your help, we raised over $86,000 last year, all of which has served to protect and support the independent automobile industry in our state.
INDEPAC is the political action committee for TIADA. INDEPAC helps TIADA’s advocacy efforts in ensuring that the voice of independent dealers is heard at the Capitol. Our strength is derived from our members’ participation in INDEPAC and the association. Participation includes, but is not limited to, donating to INDEPAC, attending TIADA legislative events, and sharing your dealership’s story with members of the legislature. Dealers have been instrumental in achieving these legislative victories: raising the documentary fee we charge from $50-$150;
allowing dealers to defer sales tax owed to the state comptroller passed until paid by the customer;
eliminating the annual renewal for all related finance companies it is now just a one-time registration and fee;
eliminating the VTR-136.

TIADA’s Role in Minimizing Disruptions for Dealers
The first special session of the 88th legislative session in the Texas Legislature was called immediately after the conclusion of the 140-day regular session. The laws passed will significantly affect independent auto dealers. TIADA is committed to ensuring that the implementation of these laws minimally disrupts our members and their customers while fulfilling the government’s objectives. To achieve this, we want to highlight how our association keeps you informed and the vital role played by our members.
One way we provide information is through email blasts on the first and third Thursday of each month. We have recently provided timely and in-depth coverage on the elimination of paper tags and other important issues being discussed at the legislature. You also receive a digital and printed copy of Texas Dealer magazine, which is widely read by those actively involved in our industry. We hope you find it engaging, filled with the latest industry updates, and useful for running your business and complying with rules and regulations. Speaking of compliance, our in-person and online education courses are designed to offer a strong knowledge base to help your dealership succeed.
