CHILDREN AND DIVORCE If you and your spouse are contemplating getting a divorce and/or separation, it is very important that you are both aware of the potential side-effects your actions may have on your children. Every child will react differently to their parents splitting up. For example, your child may become increasingly aggressive after your divorce, and might lash out at both you and your partner. On the other hand, he or she may become calmer and happier after divorce because you (the parents) are calmer and happier.

Common Reasons Why Long-Term Disability Benefits Are Denied MANY CANADIANS RELY ON

long-term disability (LTD) coverage when an illness or injury prevents them from working for an extended period. In such circumstances, the income provided by LTD benefits allows individuals to continue to meet their financial obligations and participate in necessary medical treatments for their recovery. Unfortunately, sometimes individuals who are disabled and deserve LTD benefits, are denied coverage by their insurer. Understanding why claims are denied can help claimants to avoid these pitfalls. Here are the most common reasons for denial of LTD coverage. Evidence does not support the definition of ‘disabled’. A claimant must provide medical evidence that shows, for the first two years of becoming disabled, that they cannot perform the necessary duties of their current job; and after two years, medical evidence must support the fact that the claimant cannot perform the necessary duties of any occupation for which they are reasonably qualified by training, education or experience. A crucial aspect of a claimant’s evidence of disability, which includes medical opinions and reports provided by their physician, is that it demonstrates how a claimant’s condition or impairment limits their ability to perform their work. Insufficient medical evidence. A claimant must provide objective and detailed

medical evidence to support the disability that they are claiming, which includes medical reports provided by the claimant’s attending physicians, as well as any appropriate medical tests (such as X-rays, CT scans). Medical evidence should demonstrate that the individual was actively seeking the appropriate care for their illness or injury. For example, for a mental or psychological condition, this may require that the claimant has sought regular psychiatric/psychological counselling. It’s also important to ensure that no required medical reports were overlooked or not submitted to the insurer. Too late in making an LTD claim. Your LTD insurance contract specifies dates by which you must notify the insurer that you are disabled and also, a deadline for providing medical evidence supporting a claim for LTD benefits. Insurers commonly deny claims for claimants who miss these contract dates or the limitation period, and claimants may lose their right to claim for disability benefits on this basis. Failure to follow physician’s advice. If a claimant does not follow their physician’s recommended treatment, their LTD insurer can argue that the claimant is not contributing to their own recovery, and may deny their claim or terminate benefits. COMPANIES WITH MORE THAN ONE SHAREHOLDER NEED SHAREHOLDER AGREEMENTS! Shareholder agreements are contracts between two or more shareholders which govern the relationship between shareholders by defining the rights and obligations of each shareholder regarding the management of the corporation and the transfer of its shares. The following are eight reasons why a company should have a shareholders’ agreement:

1) PREVENTION OF LEGAL DISPUTES When a business relationship begins, they envision a long-term relationship of cooperation and trust. Unfortunately, disputes are bound to arise which can lead to litigation, that is time-consuming, expensive and harmful to a business. A shareholders’ agreement provides a mechanism and framework for shareholders of a corporation to effectively deal with any disputes that arise between the shareholders without proceeding to court.

2) RESTRICTIONS ON THE TRANSFER OF SHARE Shareholder agreements can prevent shares from being sold and transferred to individuals that are either unknown or have undesirable qualities for current shareholders. These restrictions allow existing shareholders to participate in new offerings and approve new or replace partners of the business that were never contemplated at beginning of the business relationship. One mechanism that is typically in place to protect the interests of both the selling shareholder and remaining shareholders is a “right of first refusal”. A right of first refusal allows a shareholder to sell their shares to a third party, but only if they first offer the same terms to existing shareholders.

3) RESTRICT THE POWER OF DIRECTORS Typically, business decisions of the corporation are left to the board of directors. In a shareholders’ agreement,

shareholders can limit a director’s discretion. This mechanism provides shareholders of the corporation with greater control over the day to day operations of the corporation.

4) EXIT STRATEGY FOR SHAREHOLDERS Shareholders may want to exit a corporation for numerous reasons such as retirement, they want to cash out their investment, they simply no longer want to be involved with the corporation or they no longer see eye to eye with the remaining shareholder. A shareholders’ agreement can define the procedure of how a shareholder may exit a corporation. Examples include; a. Shotgun Clause: Allows a shareholder to offer to buy the shares of the other shareholder or to sell their own shares at a specific price. The non-offering shareholder elects either to buy or sell the shares. b. Put Option Clause: A shareholder can force the corporation or other shareholders to buy them out. c. Call Option Clause: The Corporation or shareholder can purchase the shares of a shareholder at any time or after the occurrence of an event.

6) MAJORITY SHAREHOLDER PROTECTION When a majority shareholder wishes to sell his shares to a third party and exit the corporation, a third party may request that all the shares of the corporation be sold to complete the transaction. In order to provide the majority shareholder with an exit strategy, a shareholders’ agreement can provide the majority shareholder with a drag along right. It can require the minority shareholders to sell their shares to the buyer as well, allowing a majority shareholder to exit the corporation without a minority shareholder blocking the sale.

7) CONFIDENTIALLY, NONSOLICITATION OR NONCOMPETITION CLAUSE Shareholder agreements can protect the corporation by implementing clauses that protect the intellectual property of the corporation, prevent the solicitation of clients and employees by current and departing shareholders. Further, shareholder agreements can prevent departing shareholders from competing with the corporation.

8) POLICIES REGARDING DIVIDENDS Shareholder agreements can set out the specific terms as to when or if dividends will be issued. There are many shareholder disputes that arise from this decision. Further, so that all shareholders are treated evenly, regardless of the shareholder class shares they hold, the dividend policy can maintain fairness among all shareholders.

5) SHAREHOLDER AGREEMENTS PROTECT MINORITY SHAREHOLDER A Shareholders’ agreement can provide protection and rights to minority shareholders they may not otherwise have and are used to prevent them from being

Retirement and Divorce TIPS TO KEEP YOUR GOLDEN YEARS OF RETIREMENT AFTER A GREY DIVORCE RECENT STUDIES SHOW PEOPLE aged 50 and over are twice as likely to

go through a divorce as in 1990. These are referred to as “grey divorces”, and they often come with a unique set of issues that can have devastating consequences on both parties’ financial stability into retirement years. Couples divorcing late in life and planning early retirement may find that the increased costs of maintaining two oneperson households after divorce prevents this. Spouses may be forced to work past 65 to maintain a certain life-style. Longer lifespans mean longer financial support because the duration of spousal support can last a lifetime in lengthier marriages. Women often face greater economic risk as they tend to live longer. While divorce is easy to obtain, dividing the family property, assets, debt and dealing with spousal support agreements are often bitterly divisive issues. Everything the family owns together or separately on the date of separation is shared including family property, investments, insurance, pension benefits, and business interests. Most provinces have an exclusion for property brought into the marriage. Laws state that property jointly acquired during a marriage will likely be shared equally except for inheritances, gifts and some injury settlements. Property owned before marriage is excluded. However, if the property increases in value while you live together, the increase is family property, and must be divided. Couples who plan ahead can secure their individual financial futures by being aware of the family law rules spousal support duration and amount as well as understanding the financial and tax implications related to divorce. Do not put excluded property in joint names or you may well be gifting your spouse half of this asset. Often couples will put property in a joint name or even in their spouse’s name for tax reasons, but this

can have major repercussions in divorce. Not all family property is created equal because of income tax consequences. For example, a million dollar house is often equal (after taxes) to a business worth nearly double that. Know your assets and where they fall on the CRA taxation list: öö The best asset is the family home as it is completely tax free when sold öö Stocks and rental properties with reduced income taxes payable as capital gains tax of 25% öö Cashing out RRSP’s triggers normal income taxes öö Selling a family business can trigger both corporate disposition costs and income taxes Pension plans are often a family’s biggest asset. Whenever a pension is involved, seek advice of a family or tax lawyer and a financial planner with pension experience. Spouses contemplating separation and divorce should: öö Ensure the spouse remains as the beneficiary öö File forms that protect the non-pension owning spouse öö File the agreement with the pension officials öö Identify value of additional supplemental pension plans Be proactive before you enter a new commitment. A detailed plan at the start of a relationship makes dividing family property and agreeing to spousal support easier on everyone if the relationship breaks down, especially with the rise in predatory marriages. List and value all excluded assets with source documents such as property assessments, bank and stock statements or business valuations. Second marriages often involve children from prior relationships that require protection when estate planning – they need to be considered as well.

SPOUSAL SUPPORT Spousal support duration and guidelines are the most contentious issue in grey divorces. In long marriages where one spouse was at home while the other advanced their career, the high-earning spouse cannot simply retire early and expect that spousal support will be reduced

or cancelled. However, the courts encourage self-sufficiency incentives to the non-working spouse. Contrary to popular belief, remarriage and repartnering of the recipient spouse does not automatically end the paying spouse’s obligation.

Couples must create a framework for financial success as they move on with life and into new relationships. Furthermore, the availability of a cash reserve can serve to reduce the possibility of debt accumulation, and therefore reduce payment of interest. If the business revenue is not high enough to create a cash reserve, business owners can utilize equity from their real estate assets to create that reserve.

I am originally from Afghanistan and immigrated to Canada at the age of 10. I remember all of the paperwork and hardships my parents had to go through to get us from one country to the next. It took years of dedication, hardwork, and commitment to finally alleviate ourselves from a temporary status to Canadian citizenship. I know that feeling of not belonging; I have been through that longing for acceptance to the land that you dedicated yourself to. That feeling of uncertainty till this day gives me the chills. I have chosen a career in immigration because, for most of my life, I was an immigrant myself. I remember being a young girl and feeling sorry for my parents who had to figure out the entire process of migration from one country to the next for themselves. Hiring a lawyer back then was quite expensive. I really wished that there was someone affordable who could have helped them with the immigration process. I opened my firm in 2013 with one goal in mind, “With Akrami & Associates, there is Always a Way!” I truly stand by that. It is important to me to have my clients know that no matter what, I will be there for them every step of the way. Now, this might sound like a sales pitch but it really isn’t. I want to be the person my parents never had. I want to reach out to as many people around the world and let them know that with Akrami & Associates, they will get viable options. It does mean that even if you do not qualify now, you might qualify in the future and I will be there to inform you what options are available. Canada is a country known for multiculturalism and inclusivity. Many immigrants enter Canada the same way my parents did without knowing what to expect. Some people travel to Canada for

All they are looking for is a better life. But, is life actually better in Canada? This, of course, depends on the circumstances that warranted migration. For many people, entering a country where lifestyle, culture, and climate are totally different can be a bit of a shock. However, entering a foreign country without knowing its pros and cons can be daunting and stressful. So, one of the things I look when providing options is to truly understand the client’s needs. Is this really what the client wants and needs? So I outline the options and inform them of the pros and cons. I believe, one of my most crucial responsibilities is to figure out the easiest and quickest solution to immigra-

Thinking back to all the years I have studied and practiced immigration law, one question keeps coming back to me, “why is the immigration process so complicated in Canada?” This question has been posed by clients and by others alike. Why does everything have to be so complicated? One of the things that makes immigration so complex is that the information is scattered all over the place. It almost seems that you have to attend Law School and then practice for 10 years to get the basics down. Is that fair to someone in Iraq who is barely

surviving and simply wishes to seek refuge. in Canada? I don’t think so. This is why I am really looking forward to finishing my book. I have started compiling all the different ways one can immigrate to Canada in one simple book. You can essentially make a reference to it and seek your options. This book will contain real life experiences and the laws pertaining to immigration in Canada. The purpose of writing this book is to ace immigration processes and make it easy for everyone to understand. I believe it is my responsibility to make laws easier for everyone to understand. Although still in progress, I want this piece of literature to make lives around the world a bit easier for those hoping to settle in Canada. With this book, I hope to elevate the business of consultation to the next level. If I could give one piece of advice to the reader, I would say don’t ever stop dreaming and don’t forget to achieve those dreams. There is nothing more blissful than realizing your dream of helping people and I am fortunate enough to be able to be in a position where I can do this every single day of my life. I did not know I had touched this many lives and all I can say is that I hope to continue working hard to achieve your immigration goals as well. Q&A WITH SHAWN SOLOMON, CEO OF THORNHILL SKIN CLINIC Q: How did you get started in the industry? Did you have an “ah-ha” moment in life? A: The birth of Thornhill Skin Clinic was a bit out of need and a bit out of interest. Back in 1993, I began doing aesthetics services while still in University studying for my degree. I loved that what I was doing served as an avenue for helping people feel good about themselves. For each person that may look like something different, that challenge made each day fulfilling and diverse so I never got bored. As the industry changed, the clinic grew with it, bringing forward new challenges and experiences that further propelled my desire to be a frame of reference in beauty. Q: What is one fun, unusual fact about your business? A: Thornhill Skin Clinic started out of a closet in a tanning salon in 1994. The entire room (if you could call it that) was 8ft by 9ft.

Q&A WITH KEVIN KLIMAN, FOUNDER OF NATIONAL JEWEL CREATIONS Q: What is the most important aspect of a diamond? A: Most would answer the cut and the colour. The 5 C’s (the 5th being cost) are all equally important. Every diamond is different, every aspect can be equally responsible to how it looks and its price tag is the underlying factor in making it the one for you. Q:Should I buy an Ideal cut? A: Ideal cut diamonds hold a standard measurement of all the angles in a stone that will maximize its optimum brilliance. However, this is a matter of opinion and does not hold true for all. I show my clients a variation of very good cuts, excellent cuts and ideal cuts. Due to the other factors in the 5 C’s, a very good cut can be just as bright if not more than an ideal cut and cost less. Q: Which clarity should I choose? A: The most important clarity factor is the “inability to see the inclusions with your naked eye.” Very often, an I1 can look better than an SI2. An Si2 can have a big black inclusion in the middle. Depending on the size of the diamond, it definitely can be eye visible. On the other hand, an I1 clarity with a thin feather or scattered white inclusions can be eye clean. My mindset is to save people money so if a diamond is “eye clean”, well cut, white and less expensive, I tend to go in that direction. Saving people money actually makes this business enjoyable for me. There’s more business to be had in referrals so I go to bat for everyone no matter what the budget.

Q: What about carat size? A: Bigger is better. Some of our clients come in thinking they have a budget for a half carat and they can actually get a beautiful 1 carat. Let’s say two diamonds are the same price. One diamond is 1.20 si2 g and another is .90 vs2 g, 90% of buyers will go for size. Q: How does the design process work? A: Once you’ve decided on your diamond, it’s off to the next step. Most clients have an idea or a picture of a wish ring, or we can go through designs with you. We discuss all the options like thickness and heights with samples. We show all the variables and lay out all the possible options to help you make an easy decision. The first step is to create the 3D computer rendering. This is then emailed to you for approval. Once approved, your ring goes into casting then setting,

polishing and finally once passed inspection it gets appraised. Q: Are diamonds a good investment? A: Many diamonds hold their value if purchased at a fair price. It is a tougher question to answer positively when diamonds are purchased from major retailers where most of your funds go into highprofit margins rather than the diamond itself. There are various aspects of the market that can affect future trading prices like supply and demand, currency exchanges, future costs of mining etc.

1. BUDGET To get to the point, your budget will impact how BIG you can build your house. There are some nice-to-have items and then there are need-to-have items. We recognize that some companies are not able to reveal the budget, but doing so better enables us to come up with an accurate and realistic quote. In turn, it also helps us to provide a better quote on our time and project management fees.

2. OBJECTIVE Why do you want to plan this event? Are you looking to raise money for charity or your business? Are you promoting a product or service? Your reason why will play a big part in how you create a concept for the event, develop and relay messaging about it and impact the event experience.

3. COMMUNICATION If you’re looking to hire an event management company, a good indication of their communication skills will be

highlighted in the before – and the after. How quick were they able to turn around a quote for you? Did they indicate their approach to your event and how they planned to deliver? 4. PLANNING To get the ball rolling, your event management company should provide you with a detailed and comprehensive plan. Think of this as a gigantic TO-DO list! A work back schedule (or critical path) should include: what needs to be done, who is doing it, when it needs to be done by and any important details or nuances pertaining to each requirement. Your work back schedule will be a living and breathing document throughout the entire planning process.

5. EXECUTION At the end of the day, it’s the results that count. Was your event executed smoothly? And if there were any issues that arose, did your event management company troubleshoot them quickly and efficiently? This is not something you can gauge before you hire one – but you can ask for references. Do the research before selecting an agency.
