COMPANIES WITH MORE THAN ONE SHAREHOLDER NEED SHAREHOLDER AGREEMENTS! Shareholder agreements are contracts between two or more shareholders which govern the relationship between shareholders by defining the rights and obligations of each shareholder regarding the management of the corporation and the transfer of its shares. The following are eight reasons why a company should have a shareholders’ agreement:
1) PREVENTION OF LEGAL DISPUTES When a business relationship begins, they envision a long-term relationship of cooperation and trust. Unfortunately, disputes are bound to arise which can lead to litigation, that is time-consuming, expensive and harmful to a business. A shareholders’ agreement provides a mechanism and framework for shareholders of a corporation to effectively deal with any disputes that arise between the shareholders without proceeding to court.
2) RESTRICTIONS ON THE TRANSFER OF SHARE Shareholder agreements can prevent shares from being sold and transferred to individuals that are either unknown or have undesirable qualities for current shareholders. These restrictions allow existing shareholders to participate in new offerings and approve new or replace partners of the business that were never contemplated at beginning of the business relationship. One mechanism that is typically in place to protect the interests of both the selling shareholder and remaining shareholders is a “right of first refusal”. A right of first refusal allows a shareholder to sell their shares to a third party, but only if they first offer the same terms to existing shareholders.
3) RESTRICT THE POWER OF DIRECTORS Typically, business decisions of the corporation are left to the board of directors. In a shareholders’ agreement,

6) MAJORITY SHAREHOLDER PROTECTION

being adversely prejudiced by majority shareholders. Examples of rights include; a. A right to proportionate representation on the board; b. The ability to veto fundamental changes to a corporation; and c. The requirement of minority shareholder consent regarding any major decision of the corporation.

shareholders can limit a director’s discretion. This mechanism provides shareholders of the corporation with greater control over the day to day operations of the corporation.
4) EXIT STRATEGY FOR SHAREHOLDERS Shareholders may want to exit a corporation for numerous reasons such as retirement, they want to cash out their investment, they simply no longer want to be involved with the corporation or they no longer see eye to eye with the remaining shareholder. A shareholders’ agreement can define the procedure of how a shareholder may exit a corporation. Examples include; a. Shotgun Clause: Allows a shareholder to offer to buy the shares of the other shareholder or to sell their own shares at a specific price. The non-offering shareholder elects either to buy or sell the shares. b. Put Option Clause: A shareholder can force the corporation or other shareholders to buy them out. c. Call Option Clause: The Corporation or shareholder can purchase the shares of a shareholder at any time or after the occurrence of an event.
When a majority shareholder wishes to sell his shares to a third party and exit the corporation, a third party may request that all the shares of the corporation be sold to complete the transaction. In order to provide the majority shareholder with an exit strategy, a shareholders’ agreement can provide the majority shareholder with a drag along right. It can require the minority shareholders to sell their shares to the buyer as well, allowing a majority shareholder to exit the corporation without a minority shareholder blocking the sale.
7) CONFIDENTIALLY, NONSOLICITATION OR NONCOMPETITION CLAUSE Shareholder agreements can protect the corporation by implementing clauses that protect the intellectual property of the corporation, prevent the solicitation of clients and employees by current and departing shareholders. Further, shareholder agreements can prevent departing shareholders from competing with the corporation.
8) POLICIES REGARDING DIVIDENDS Shareholder agreements can set out the specific terms as to when or if dividends will be issued. There are many shareholder disputes that arise from this decision. Further, so that all shareholders are treated evenly, regardless of the shareholder class shares they hold, the dividend policy can maintain fairness among all shareholders.

Worthy Work Wardrobe A GUIDE TO CREATING APPLAUDABLE OUTFITS THAT ARE APPROPRIATE FOR WORK, WITHOUT THE HEADACHES. SEARCHING FOR AN OUTFIT in the morning before work almost feels like a second job. If you are constantly surrounded by individuals where looking fashionable and professional is necessary, finding the right outfit can be tricky. Don't panic, I have compiled a few guidelines that help me create outfits that are work-appropriate without any headaches. Let’s focus on the actual clothing. When it is strictly about the material make sure to remember only TWO specific points: fit and presentation. NO matter what the requirements of your dress code are, fit is very important. You must make sure that everything you wear fits you properly - wear the right size! Believe me, clothes that are too tight or too loose will not do you any good for you, this goes for any shape or size of your body! One secret that’s always helped me is what I call “wearing before leaving”. Before leaving home I like to move around and sit in the outfit I plan to wear that day - if it fits properly and you are comfortable, you have a winner. In addition to fit and comfort, you must question if your outfit is too revealing. There shouldn’t be too much cleavage or leg showing; a little never hurt anyone but a lot will make others lose focus and it doesn't really fit the “working in an office” atmosphere. In addition to that, make sure to wear the proper undergarments. Visible bra straps and panty lines are definitely not good for the image of any company.

After fit, always remember to pay attention to your presentation! It is very easy to fail here because we all have our personal favourite clothes. These items might hold a lot of memories, but anything you wear, and I mean anything, should be clean and without damage, no matter how much you like it. Keep colours, textures and patterns simple. It’s always good to include some but not too much. Certain colours do not get along and you should know that mixing different patterns is a big no-no. Head-to-toe of anything is always inappropriate. Sequins, studs, and anything that shines can be worn at a workplace, don’t get me wrong, but only in SMALL amounts, please do not over do it! If one piece in an outfit stands out, in relation to colour or texture, then keep the rest of the outfit quiet, calm and supportive of the main piece. Now, although those two tips are very important, your outfit is not quite complete. You should never leave your house without some sort of accessory. In fact, have fun with it; express yourself through your accessories. When you’re dealing with office attire the dress code is easier to work with, so a nice scarf and a few piecesof jewellery will really benefit your work wardrobe. Oh and here’s something most of us never take into consideration…noise. Is your outfit noisy? You might be working close to some of your co-workers, and a

bangle or cuff bracelets can be noisy. Be respectful; don’t let your fashion statements cause someone to have a migraine. You want your image to spread positive energy not ruin someone’s day Now we come to my favourite part of an outfit, shoes! They are definitely another issue to consider. Most shoes are acceptable, but understand, if you wear them to the club or the gym, you probably shouldn’t be wearing it to the office. Also, if you are planning to show a little bit of leg, be sure to take into consideration your company’s policies on stockings. If they are not required, and you choose to go barelegged, ladies do us all a favour, take care of your legs - hair removal, lotion, a little bit of tan maybe - you decide! Look good, your image is important! You spend a lot of your time with your coworkers, some more than others. It wouldn’t hurt to always look your best every day. Always remember, if for some reason you doubt your outfit it probably isn’t suitable for work. Leave it, do whatever you want with it, but do not wear it! “Dress for the job you want, not the job you have.” My final tip to ensure you develop and maintain a stylish and professional image is to constantly believe that each and every day you are going to have an important meeting. Not only will this way of thinking ensure you always leave a good impression of yourself and your company, it might also become reality.

A major problem or controversial issue that is obviously present but avoided as a subject for discussion because it is more comfortable to do so. 2. Something everybody knows but isn’t talking about.
REMEMBER WHEN WE USED TO JUST TALK TO EACH OTHER? No texts,
no pings, no pokes, no likes or emojis – just simple face to face conversations? Today, few of us can imagine going through the day without checking our phones every few minutes. A recent survey in the USA found that most people spend an average of nine hours and 22 minutes every day in front of various screens, including smartphones, tablets, computers and televisions. We are literally connected 24/7…yet we have never felt so lonely and disengaged from one another. Just take a look at most campuses today and you will see isolated students hunched over individual screens, eyes glazed, disconnected from the world around them. Most universities and colleges use smartboards, online teaching tools and even robots to prepare graduates for the job market, which are already a part of everyday life. At the same time, basic social qualities such as the ability to deal with people and build healthy relationships are being lost. As technology takes over every aspect of our personal and professional lives, developing strong communication skills has never been more important. This is the elephant in the “classroom”: Technology is distracting students from learning. That same elephant is preventing students from gaining essential communication skills that they need in order to succeed in the world.

That’s why classrooms should be a place where students make human connections and build soft skills such as communication, empathy and leadership. Soft skills affect interpersonal interactions and enable students to succeed in the workplace and in life in general. It’s going to take a long time before machines will have emotional intelligence or cross-cultural competency. Regardless of the profession, communication and interpersonal skills will always be an essential skill. Even as scientists are comparing cellphones to cigarette smoking addiction and tech giants are admitting to the dangers of excessive screen time, most schools still don’t want to talk about the negative effects of technology on learning. Talking about this “elephant in the classroom” forces directors and teachers to look at themselves and make decisions that are not always comfortable – such as asking students to unplug in order to connect with one another in real life. In-person connection plays a huge role in our physical, mental and emotional wellbeing. It’s not just a basic human need but also a skill that requires listening, speaking, understanding and of course, practice. The biggest rewards of connection are relationships, which provide meaning and purpose in our lives. At ILAC, we believe that students are happiest and most successful when they are making friends from different countries

and talking, listening and laughing in English. After 20 years of teaching international students, we’ve learned first hand what makes students engage and connect with the language in order to master it. Over and over again we have seen and heard the same thing: that students come to Canada to become fully immersed in the language, culture and people. There are many language apps and virtual platforms for learning English that students can access without ever leaving home. When students make the choice to travel to another country it is because they want to experience the language and become a part of it – not to watch it on a screen.
This Spring, ILAC is launching its "Zero-Tech in the Classroom" Pilot Project for students ages 16-18. DEBRA MUDD HAS PASSION, talent and drive – a combination necessary to reach the pinnacle of success. Debra, a dancer, teacher, studio owner and most importantly mentor, has taken the Calgary dance scene to a whole new level. She opened her first studio, Ultimate Dance Company, in Calgary, Alberta in 1996 – this was the beginning of her career and the original foundation of her journey to inspire local dancers. It was in 2014 when Debra decided it was time to add a second location in Calgary. Growing up, Debra always had a passion for dance. Her dance training began when she was four years old and has never stopped, “I started dancing when I was four, all my training evolved, I went to school (post-secondary) for Early Childhood education and wanted to open up a preschool and instead opened a dance studio,” says Mudd. Debra’s education in dance is one that surpasses many, as she is trained in various segments of the art. However, it is ballet where her true forte lies. In addition to attending summer intensives with the Royal Winnipeg Ballet school, Debra has trained in both the Cecchetti and Vaganova methods of ballet and has achieved a number of certifications in ballet, including credentials with the Royal Academy of Dance and British Association of Teachers in Dance. Debra is currently a registered teacher with the Royal Academy of Dance. This nowhere near concludes the list of Debra’s credentials in dance education as she is always pursuing additional training. Presently, Debra also works as a mentor for new teachers, assisting them in gaining their certification with the Royal Academy of Dance.

Due to Debra’s expertise and the increased demand for her studios, there is talk about further expansion. “Yes, definitely, I am always thinking and planning.” Debra’s approach to teaching styles differs in comparison to most. She takes a caring approach and focuses a great deal of her attention on her faculty at the studio. The studio is always up-to-date on the latest in dance training and instruction, and Debra makes sure to offer workshops to the students in all dance styles. Ultimate Dance Company has created an environment that goes beyond just dance training and offers opportunities for faculty and students to build lasting relationships. Ultimate Dance Company includes both competitive and recreational dance programs for families with different types of needs. Debra makes sure to offer a wide range of classes for all ages and abilities so that the studio can cater to what people are looking for. In addition to training, Debra takes the time to incorporate dance trips for all her students. Such trips include Disneyland, where most recently, 64 dancers were granted the opportunity to perform on a stage in Disneyland as well as train with Disney professionals. Debra has also made it her goal to ensure her dancers are granted ultimate exposure. Debra hosts three large yearend recitals, where the students can share everything they’ve learned from the past year with all their loved ones. What grants Debra the upper hand in the industry is her true passion for her career, “I love what I do, every day, all day.” Debra has learned an exceptional amount as a dance studio owner for 22 years. Her challenges are few and the inevitable hardships she encounters are turned into learning experiences. “I think if you continue to stay in touch with training and what’s new in the industry and expose yourself to it, there isn’t really much of a challenge.” Debra’s energy is focused on her students, always ensuring that inspiration and positivity are instilled in their instruction each day. Positivity is key when overcoming obstacles and maintaining the calibre of studio that Ultimate Dance Company has become. As a mentor, Debra is constantly encouraging her students to attend workshops, auditions and summer school programs. Debra is recognized for taking the extra time with her students and

defining their needs as dancers. She is determined to prepare her dancers for the path they are destined for, whether it’s personal training for top dance schools located around the world or simply identifying a dance form that best suits them. Because of her extensive experience, she is aware of the demands that top international dance schools place on students, thus allowing her to prepare her students for what will be expected. Debra’s students have done additional training with Joffrey Ballet School in New York City, Kirov Academy of Ballet in Washington, Boston Ballet School, Royal Winnipeg Ballet School, and Canada’s National Ballet School in Toronto. In relation to her personal success, Debra acknowledges her participation with Top Choice Awards, “It has taken my studio to a whole other level.” Being a Top Choice Award winner has granted Debra and her Ultimate Dance Company faculty a leading edge in the city. The community has recognized the achievements of the studio and the benefits it has granted its young students. Also, when considering further studio expansion into new areas, Top Choice Awards has established an exceptional system of brand awareness. The studio is located directly on Birchmount Road, just south of Ellesmere Road, in Scarborough, making it easily accessible by both car and public transit. Our qualified, friendly faculty of 15 are dedicated to the progress of every student at the studio, recreational or competitive. Our reception staff is on hand during operating hours to assist and answer any question you may have. With six dance
studios, our class schedule is quite extensive, allowing many options to fit classes into your already busy schedule. Our dance season runs from September through June, with an eight week condensed program over the summer. Our award winning competitive team attends between four and five competitions each year, and performs in both our Winter Showcase and Spring Recitals. Our recreational dancers perform in our Spring Recitals, complete with professional staging in a beautiful theatre. We strive to give back to the
community with guest performances, and are happy to provide many incentive and reward programs to our dance families throughout the year. Little did my fellow table members know, I was there with the sole purpose of enjoying the evening to later capture every moment in writing, for you. The night was unlike any other I’ve experienced. I can still taste the lemon oyster right now, and yes my gown no longer fits me but it’s okay let’s not get off topic. Additionally, there were succulent, perfectly spiced lamb chops, and an exquisitely balanced cheese and meat charcuterie platter for the perfect snack. Believe it or not, as marvelous as the appetizers in the reception area were, I wish I ate less … I had no warning for what was up next. There was a red carpet and flashes going off incessantly, talk about paparazzi! Guests continued to

mingle, exchanging business cards and ideas over a glass of champagne or viewing their recent placements in the Top Choice Magazine launched that evening with disbelief about how far they’ve gotten and how good it feels to be recognized. Groups cheered to success with a vodka in an ice shot glass… from an ICE BAR, yes! A bar made out of ice! When the doors opened to the ballroom, I understood why this Gala is commonly referred to as the Oscars of Business. The awards ceremony was emotional, passionate, fun and entertaining. Scott Fox and Kat Callaghan from the Z103.5 radio show hosted the event, presenting over 45 awards. Blocks of passionate business owners, some that flew in from Calgary, Vancouver, Edmonton, and even Austin, Texas, accepted their award with inspiring speeches. A four course meal was quickly cleaned from plates with courses ranging from beef tenderloin with seared foie gras to sticky toffee pudding with crème fraiche. Entertainment breaks were refreshing and exhilarating with performances from the Stereo Flavour Band, ET the Mime, Tropicana Queens, Axé Capoeira and Dr. Draw. It was a truly memorable night.

LET’S FACE IT. TIMES have changed. CDs are old and cassettes are ancient. It seems almost prehistoric to mention eighttracks. A new generation has grown up and with us we bring the Smartphone, a slew of social media applications, and a hunger for employment. The swarm of twenty-somethings year olds graduating from university and vying for job opportunities seem to have a, shall we say, unpleasant time in their vocational fields. Lovingly nicknamed Generation Y by their predecessors – probably due in part to “why?” being their favorite question – those who are born in the 1980s and 1990s appear ready to begin their lives, but are struggling in the process. Today, millenials are having a harder time finding jobs and this isn’t just attributed to the competition, which, to be fair, is often stiff and vast. Being a young adult

in 2018 is drastically different than being a young adult 20 years ago. A study in the Globe and Mail found that “people aged 20 to 24 years are 41-per-cent worse off financially than their counterparts were in 1976.” When most Baby Boomers and Generation Xers were in their twenties, they were likely to be working full-time and either married or with a partner. This isn’t to say that everyone follows this pattern. There may be many people under the Millennial umbrella who have established themselves and are stable in their careers already. However, based on statistics and surroundings, we can safely say this is the exception, not the rule. So, this begs the question, why? Why is this generation having a tougher go at it than their elders when they’re even more likely to have post-secondary education?

To put it simply, there is no finite answer. There’s a variety of reasons. One of them seems to be the expectations of prior generations. Time for a tale to give you an idea of what we mean. While talking with a skilled expert tasked with recruiting employees for her company, we reached the topic of the interviewing process and potential “make or break” factors. She recalled an interview in which the candidate had exceptional skill and credentials, but ultimately did not make the cut. In possession of an MBA and an impressive amount of experience, the candidate made it through initial recruitment and a phone interview. However, they didn’t get the job. Why? wearing black jeans, a striped dress shirt and a leather jacket. On paper, this candidate was the perfect fit for the position. Though our culture promotes self-expression, there are certain exceptions. “It’s unprofessional,” she explains. So is professionalism the problem? Perhaps in some isolated cases, however, for the most part the idea of “being professional” is one of the first lessons taught to hopefuls entering the job market. In these few cases, unfortunately, lack of professionalism is the problem. These potential employees may have the skill and the credentials, but if the required level of professionalism isn’t met, a job offer may not appear. The solution seems to be “knowing your audience”. Whether you’re preparing for an interview or meeting with potential clients, the appearance and manner you present will provide the first, and most important, impression. Performance and skill are only noticed once your foot is in the door,but you need to get that door open.

Aside from always striving to maintain an air of professionalism, networking is another key starting point for both Millennials and those already in the workforce. Whether you are just starting your own business, are a successful entrepreneur or you’re a consumer, sometimes who you know goes along way. For Millennials, volunteering or interning at specific career related places of business are an excellent way to improve on already existing skills. Experience is always an asset in addition to scholarly credentials. For those who find themselves already in the workforce, knowing your competitors and the markets around you often proves to be an important ingredient in the recipe for success. Professionalism. Networking. So far, so good. What other advice can we offer to both those who are eager to enter the workforce and those already thriving in it? We’ll call this last (but not least) bit of knowledge “trendiness”. I’m not talking about fashion sense, although a basic knowledge in what’s “hot” on the runway may be an advantage for some. In this case,

being trendy is a term that would be used to describe those who are knowledgeable about employment trends and their specific market. This is especially important to those aiming for post-secondary degrees and those who are in the workforce, entrepreneurial or otherwise. If there is no demand, there’s no need for supply. The work force is competitive, tuition fees are higher and debt (student and otherwise) seems to be mounting, however, the sky is still the limit for Millennial professionals. Technologically savvy and often thoroughly educated, the young adults who are products of the 1980s and onwards have much to offer employers in any field. The same tips that are of valuable use to these employment hopefuls can be just as valuable to those who are stable in their career of choice if they chose to follow them.
