Delegation from China Visits WSCPA

I

n August the WSCPA was contacted by a representative of Triway International Group (TIG) about the possibility of us hosting a meeting with a business and government group from China. TIG, based in Washington, DC, makes arrangements for Chinese business and government delegations that come to the United States for study purposes and exchange programs. This particular delegation was from the Department of Treaty and Law, Ministry of Finance. Most of the 20 delegates are in charge of making and implementing regulations concerning finance and accounting industries. Their purpose in visiting the WSCPA was to learn about the topics they identified in advance: • • •

•

WSCPA’s nature, mission, organizational structure, and operations; The scale of the CPA industry in Washington State; The structure of the composition of professionals, geographical distribution, and industry development trends; and The examination management and continuous education of CPAs.

Knowing that the public accounting profession is growing very rapidly in China and being aware of the intense competition among various professional designations in China [e.g. US CPA, Chartered Accountant, and ACCA (Association of Chartered Certified Accountants)], we were happy to accommodate them. In talking to TIG, the delegation’s sponsor, we understood that the unique and separate roles of the WSCPA and the Washington State Board of Accountancy (WBOA) were unclear to them, so we invited Rick Sweeney (Executive Director of WBOA), and Don Aubrey (Board Chair of WBOA) to participate in the meeting on September 20 with Kimberly Scott, Hayden Williams and Judy Love from

the WSCPA, and Mary Marino, WSCPA Board Chair.

Even though the meeting was held here and not in China, we wanted to make our guests comfortable by respecting their customs, so we did some research. Some

as well. Fortunately that did not come up; perhaps the Chinese delegation had done some protocol research of their own.

of the customs we found amusing—we were not to gesture with our feet or put them on the table; we were not to point or beckon with an index finger; point with an open hand; beckon with palm down, making a scratching type motion with all fingers. Some of them were important to take note of, such as the order in which introductions are made —the most senior first, with the highest ranking or delegation leader entering the room first.

Few in the delegation appeared to speak or understand much English, therefore everyone was extremely grateful for the very capable services of local interpreter, Mark Kitabayashi, who in his other life is a realtor in Puyallup and the Washington State Realtors Association representative to the National Realtors’ Association. As the questions and answers flew for over two hours, both groups could only assume that nothing was lost in translation.

One common thread, regardless of topic under discussion, was cost: cost of the CPA exam; cost of licensing; cost of WSCPA membership; cost of fines assessed by the WBOA; and amount (if any) of WSCPA investments and |where invested.

Because of our advance research this was not a surprise; in fact the WSCPA/WBOA group was prepared for questions about their own compensation

they were highly interested in “crime and punishment,” as WSCPA Chair Mary Marino related to the WSCPA Board of Directors the following day. What kinds of missteps can cause a CPA to be fined or lose a license? How much are the fines? Can someone get a license back if it has been revoked, and if so, how long after it is revoked? Who decides and what is the reinstatement process?

Once during the visit a buzz went up around the room, during which “Anderson” was said several times. They wanted to know whatever happened to [Arthur] Anderson. Rick Sweeney was able to tell them that in 2011—nearly 12 years after Enron—the Texas Board finished dealing with the licensees involved, at a cost to the Board of $5 million dollars.

Don Aubrey was quick to add the Washington Board tries to keep $2 million in reserves, in case something of such magnitude were to happen here.

The WSCPA was pleased to have had the opportunity to take part in a discussion that was valuable to both groups.

Over the years we have hosted similar groups from Ukraine and Japan; these exchanges underscore the increasingly global nature of the work CPAs do.

Tax Considerations for Registered Domestic Partners and What Happens if DOMA is Repealed?

ncreasingly, American adults reside in a household as members of an unmarried couple. These couples may be heterosexual or homosexual, or they may not be involved romantically in any way, such as in the case of siblings or close friends.

Furthermore, these couples may wish to include each other and their respective descendants as part of their estate plans.

In the estate planning realm, unmarried couples cannot take advantage of transfer tax marital deductions under Sections 2056 or 2523 of the Internal Revenue Code of 1986 (referred to herein as the “Code” or “I.R.C.”), or gift splitting under I.R.C. §2513. Members of unmarried couples may be subject to gift tax for supporting one another or dividing shared property.

The Code essentially treats same-sex spouses as legal strangers. As a result, in many, but not all instances, same-sex couples are able to organize their financial affairs to reduce overall tax liability in ways that opposite-sex couples cannot.

1. Joint Return Filing

The Code provides, in IRC § 6013(a) that, “A husband and wife may make a single return jointly of income taxes under subtitle A.” Until 2010, the IRS’s position regarding registered domestic partner income tax filing was based on Poe v.

Seaborn, Poe v. Seaborn, 282 U.S. 101, 51 S.Ct. 58, 75 L.Ed. 239 (1930), which since 1930 continues to be good law. Seaborn allowed spouses to split income between them for income tax purposes, and to split the couple’s community property at death, for estate tax purposes. Important for registered domestic partners is that it also recognized that because state law immediately vests community property in both spouses, treatment of the earner spouse’s income as half owned by the non-earner spouse does not constitute a transfer for gift tax purposes. In fact, some argue that a taxpayer www.wscpa.org

should be able to rely on that case alone to split earned income in a community property state that recognizes domestic partnerships.

However, in the Office of Associate Chief Counsel (Income Tax & Accounting) Chief Counsel Advice (“CCA”) 200608038 (Feb. 24, 2006), the Service examined whether California domestic partners must file separate returns and report personal earnings separately, rather than 50% by each member of the couple, as with married couples in community property states. It concluded that Poe v. Seaborn does not apply to a state’s community property law outside

Thus it was concluded that Seaborn could not be applied to split earned income, in spite of California’s community property laws applicable to registered domestic partners.

In May 2010, the Service issued two rulings dealing with federal gift and income tax issues faced by same-sex couples who are RDPs under California law, reversing its prior position, without revoking CCA 200608038. Also on May 28, 2010, the

Service released PLR 201021048 (May 5, 2010), which is broader than CCA 201021050.

These rulings together provide that a taxpayer must report on his individual federal income tax return one-half of the combined income that Taxpayer and Domestic Partner earn from the performance of personal services and one-half of the combined income derived from their community property assets. This applies to tax returns filed for 2007 (the year California extended full community property rights to RDPs) forward and further instructs taxpayers who had filed federal tax returns for 2007, 2008 or 2009 under the previous CCA 200608038 that they may amend their prior year returns, but are not required to do so.

A taxpayer is entitled to half of the credits for income tax withholding from the wages of Taxpayer and Domestic Partner. Treas. Reg. § 1.31-1(a) allows prior withholding, but not estimated tax payments, to be split.

The requirement to treat earnings as community property, and thus half of Taxpayer’s earnings as vested in his partner, does not result in a transfer of property

by Taxpayer to his partner for federal gift tax purposes under § 2501 of the Code.

(Emphasis added.)

In December 2010, IRS Publication 17 was amended to provide that “[a] registered domestic partner in California, Nevada, or Washington must report half the combined community income earned by the individual and his or her domestic partner.”1 Publication 17 refers the taxpayer to IRS Publication 555, which has also been amended to address the federal tax treatment of income subject to community property laws as applicable to RDPs domiciled in California (for tax years after 2006), Washington (where community property has also applied since June 12, 2008) and Nevada 1 IRS Pub. No. 17, at 5 (rev. Dec. 8, 2010).

(as of 2009), as well as same-sex married couples domiciled in California in a recognized California marriage.

A number of issues remain unresolved, including the following: (A) IRC § 1402(a)(5) requires that self-employment tax and the Social Security credits for paying that tax should be assessed solely against the self-employed person.

Accordingly, couples in a legally recognized marriage report self-employment income only on the Schedule C and SE of the earning spouse.Yet, RDPs are instructed and same-sex married couples are not recognized as spouses, due to DOMA (the Defense of Marriage Act), to split self-employment income and self-employment income tax. As a result, the self-employed partner, unlike a self-employed spouse, will report and receive credit for only half of his earnings for Social Security purposes. This can result in the self-employed partner receiving less credit for Social Security purposes than a married person would. It can also create a different result concerning selfemployment IRA contributions and health insurance deductions than for married couples. This is based on the conclusion that while spouses are permitted to split self-employment income, this privilege is barred by DOMA. (B) The instructions are silent as to how to treat alimony/maintenance. In California, alimony/ maintenance paid to an RDP is taxable to the recipient and deductible by the payor. But DOMA still prevents the federal government from treating same-sex couples as married, and therefore the federal rules for spousal support has not been amended to apply to same-sex couples.

married in other states with income derived from a community property state may file.

Under DOMA, these relationships are not recognized, so it is not clear that these rulings would apply to them.

(C) Publication 555 does not distinguish the rights of heterosexual couples registered as domestic partners.

(D) Form 1040 does not have a box to check to indicate that a legal relationship exists or that a partner will be filing a return reporting the other half of the earned income not reflected on that return. It is recommended that taxpayers indicate that it is being filed pursuant to CCA 201021050, which raises another issue. The regulations at 31 CFR part 10.51, commonly known as Circular 230, governing the practice of taxpayer representatives before the IRS, have been amended by not adding e-filing to the list of “disreputable conduct.”

Anecdotally many tax preparers are continuing to manually file the 1040, along with a Form 8948 (Dec. 2011), “Preparer Explanation for Not Filing Electronically.”

(E) There are filing options married couples may take to leave the opportunity open to amend returns at a later date as married filing jointly, if the unconstitutionality of DOMA is finally sorted out before the statute of limitations to amend has run.

(1) File protective refund claims.

(2) Disclose their position regarding the right to file jointly on Form 8275 (Aug. 2008) or 8275-R (Aug. 2008).

(3) Footnote the filing single status on their Forms 1040 with the following: “The taxpayer is legally married under the laws of _______ and is reserving the right to amend the return should federal law recognize

the marriage and the unconstitutionality of Section 3 of DOMA.” (4) File returns as single individuals, and then file an amended joint return based on the laws applicable to heterosexual couples, disclosing that they are a legally married same-sex couple and are making the claim on the basis that Section 3 of DOMA is unconstitutional. Presumably, their refund claim will be denied, but they can then sue for a refund in district court.

(F) Notwithstanding the Service’s own pronouncements on the procedure for filing, anecdotally, tax preparers are reporting a number of clients receiving failure to pay, failure to file and estimated payment penalty notices when amended returns showing split earned income are filed. Internal Revenue Manual 21.6.1.4.1. (10-01-2011) (Registered Domestic Partners and Community Property) provides in Section 10 that: “If the taxpayer writes or calls in because they received an incorrect notice about ES penalty assessment when the tax was decreased, abate the penalty and apologize to the taxpayer for the error.”

2. How should unmarried couples plan their estates?

If you’re a member of a couple and you’re not married, it’s important to have an estate plan. The laws governing inheritance, and the taxation of inheritance, are generally designed to benefit married couples. For the most part, unmarried cohabitants don’t have laws governing the division of property if they die without a properly drafted and executed will or estate plan.

In Washington, probate—the legal process by which the financial affairs of a deceased person are finalized under the supervision of a state court—is a fairly streamlined and routine process. However, some people seek to avoid probate www.wscpa.org

because biological family members must receive notice of a probate proceeding.

For same-sex couples, this could offer an opportunity for family to meddle in their deceased family member’s affairs.

Below are basic estate planning areas that same-sex couples should be aware of to avoid problems: (A) A will is a document that directs how property is to be distributed after death. If one dies without a will, assets will be distributed according to state laws.

And these laws do not take into account an unmarried partner.

Wills for registered domestic partners or partners legally married outside of Washington should be drafted to qualify for the marital deduction, so that if and when that becomes a reality the document will not need to be changed.

A gift made in a will to an unmarried partner, especially a same-sex partner, is often subject to being challenged by the deceased’s relatives. Many couples opt to use what is known as a “revocable trust” instead of a will. A revocable trust can be used to transfer assets to a partner outside of probate. Revocable trusts are also useful to manage assets if someone becomes incompetent.

(B) A durable power of attorney grants another person, sometimes referred to as an “agent,” the authority to act on the principal’s behalf during the principal’s life, including any periods that the principal is incapacitated to handle financial decisions. More often this includes taking control of digital assets and on-line accounts, which bring with them a whole new set of complications. Generally, the principal executing the durable power of attorney would designate his partner as agent and would designate one or more www.wscpa.org

alternates if the partner is unable or unwilling to serve. This document makes it possible to avoid the need for expensive, cumbersome guardianship proceedings if the principal is disabled.

The power to make medical decisions may be included in the durable power of attorney or granted in a separate document, known as a medical power of attorney. A medical power of attorney should specifically grant a partner visitation rights and the power to control other visitors to eliminate visitation by hostile family members.

Advisors must understand the disparities in the law for unmarried couples and must be able to recommend steps to mitigate the lack of parity with married couples.

(C) A health care directive, or “living will,” is a legal document authorizing the withdrawal or withholding of hydration and nutrition. Without such a directive, a person’s wishes may not be able to be carried out.

Making arrangements for funerals, and burial or cremation is critical for unmarried couples.

In the absence of enforceable, written instructions, state law creates a hierarchy of people who have the authority to make these decisions. The unmarried partner of a decedent is not in that hierarchy. Partners should tell each other or trusted friends where to find these instructions.

The estate plans of unmarried partners, and partners in marriages that are not legally recognized, need special attention to insure that their objectives are

met with a minimum of income, gift, and estate tax, as well as a minimum of conflict. Unmarried partners need to understand that unlike what is available to married couples, there is no default legal structure in the absence of an estate plan. Advisors must understand the disparities in the law for unmarried couples and must be able to recommend steps to mitigate the lack of parity with married couples.

3. State Registered Domestic Partnerships

Washington’s State Legislature first approved domestic partnerships in 2007.

In 2009 they broadened the rights and responsibilities of registered domestic partnership to include “everything but marriage.” Under current law, to enter into a state registered domestic partnership, couples may be of the same gender or one member of the couple must be 62 years of age or older. For all purposes under state law, since 2009, Washington law has required that registered domestic partners be treated as married persons: terms such as spouse, marriage, husband, and wife must be interpreted to apply equally to registered domestic partners as to married persons, to the extent the interpretation does not conflict with federal law.

4. Marriage in Washington?

Governor Christine Gregoire signed Engrossed Substitute Senate Bill 6239 into law on February 13, 2012, possibly making Washington the 8th U.S. jurisdiction to recognize same-sex marriage.

However, Referendum 74 received sufficient signatures to make it to Washington’s ballot on November 6. A “yes” vote would affirm legalizing same-sex marriage.

A “no” vote would overturn and keep the Bill from going into effect. Enactment of the marriage bill has been stayed, pending the outcome of the election.

Under the Law, any state registered domestic partnership in which the parties are the same sex and neither party is 62 years old or older will be

automatically merged into a marriage as of June 30, 2014, if the parties have not already married, or dissolved their relationship by that date.

A legal relationship, other than a marriage (e.g., a civil union or out-of-state domestic partnership), of two persons validly formed in another jurisdiction that is substantially equivalent to a state registered domestic partnership in Washington will be recognized in Washington as a registered domestic partnership.

However, this reciprocity does not apply if the relationship would otherwise be prohibited under Washington law. It is important also to note that this recognition would cease to apply if the couple fails to marry within one year of becoming permanent residents. This provision is beneficial for couples visiting from out of state who want or need to take advantage of the default provisions applicable to registered domestic partners, allowing them to make certain decisions for each other in the event of incompetence. But not a long-term solution for couples who permanently relocate here.

5. State of Washington Marital Deduction

Under the Domestic Partnership Act, RCW ch. 26.60, the State of Washington marital deduction for registered domestic partners was not scheduled to go into effect until January 1, 2014. However, under the marriage Law, the deduction should be available immediately once the act becomes effective. The Law provides in section 1(3): “Where necessary to implement the rights and responsibilities of spouses under the law, gender specific terms such as husband and wife used in any statute, rule, or other law must be construed to be gender neutral and applicable to spouses of the same sex.”

There should be no delay in its implementation, despite the 2009 changes to the Domestic Partnership Act (RCW 83.100.047, which added language related to domestic partners). As to same-sex couples who marry under the new act, or whose domestic partnership becomes a marriage under this act, the domestic partnership language will no longer apply.

6. Impact on a National Level

Same-sex marriage is currently legal in seven jurisdictions in the U.S.: Connecticut, Iowa, Massachusetts, New Hampshire, New York, and Vermont, as well as the District of Columbia. And a measure will be on the November ballot in Maine.

Even if allowed to stand in Washington, the Federal Defense of Marriage Act prevents recognition of Washington same-sex marriages under federal law.

Washington would be in much the same case that California found itself in when Proposition 8 was passed, finding samesex marriage unconstitutional. It remains to be seen whether the defenders of Proposition 8 who lost before the 9th Circuit panel will seek en banc review or head straight to the Supreme Court (and whether the Supreme Court would accept it for review).

So, a couple may be married in Washington or one of the other jurisdictions allowing same-sex marriage, but they will not be eligible for the protections other married couples receive, including Social Security survivor benefits, federal employee health benefits. That won’t change until the federal DOMA is found unconstitutional.

In each of the states where same-sex marriage has been found constitutional and permissible, it is based on the fundamental right of individuals to marry a person of the same or opposite gender.

As more states move in this direction, the federal government may be prompted to change its position as well.

7. What if DOMA is Repealed?

If DOMA is ultimately repealed, or struck down, legally married samesex couples may be able to secure tax breaks that are presently available only to legally married couples of the opposite sex. These include: (i) the right to file a joint return, not simply the right to split earned income as permitted in community property states; (ii) the ability to obtain tax-free employer health coverage for the same-sex spouse; (iii) the estate and gift tax marital deductions; (iv) estate tax exemption portability; (iv) the stretch-out IRA rollover rules applicable

to surviving spouses rather than the less favorable rules applicable to non-spouses; (v) eligibility for social security spousal benefits; and (vi) benefits provided for spouses of federal employees.

Even in states where same-sex marriage and civil quasi-marital relationships are permitted, the DOMA makes it unclear how federal law will apply. As states are persuaded to adopt samesex marriage or some form of quasimarital relationship, it will be necessary to develop a new body of law to define the rights and responsibilities that come with it. Until parity is brought to the laws applicable to unmarried couples, the bias in favor of married couples that is inherent in the transfer tax laws means that unmarried couples will often bear a heavier estate and gift tax burden.

The estate plans of unmarried partners, and partners in marriages not legally recognized, need special attention to insure that their objectives are met with a minimum of income, gift, and estate tax liabilities, as well as a minimum of conflict.

Is IFRS the New Metric System in the United States?

t seems like just yesterday when the United States was discussing moving to the metric system only to decide against it. But we see its sporadic use like a 10 kilometer run or 15-meter diving competition. The metric system is here, but it is not widely used. The discussion of the incorporating International Financial Reporting Standards (IFRS) into the U.S. financial reporting system is beginning to resemble that same discussion.

There are currently 120 countries that either permit or require public companies to prepare their financial statements in accordance with IFRS. The United States was to make this decision by the end of 2011, but postponed it into this year. On July 13, 2012, the SEC staff published their final report on the work plan for global accounting standards without making a recommendation for its implementation in the United States. It appears that any vote on the implementation of IFRS will not happen until sometime after the election.

The report stated, “there appears to be relatively less support within the U.S. financial reporting community for the designation of the standards of the IASB as authoritative for use by U.S. issuers for domestic reporting purposes. However, the Staff found there to be substantial support for exploring other methods of incorporating IFRS that demonstrate the U.S. commitment to the objective of a single set of high-quality, globally accepted accounting standards while addressing some of the aforementioned concerns.”

In other words, full adoption of IFRS would not be warranted but an endorsement process, similar to what the European Union uses, would be preferred.

This endorsement process would allow the FASB to have significant influence in setting standards and voice the interests of U.S. investors.

The FASB and the International Accounting Standards Board (IASB) have

been working since 2002 on a variety of convergence projects with the goal of eliminating accounting differences in a number of standards but not all. Currently, there are four remaining projects (revenue recognition, leasing, financial instruments, and insurance contracts) and two (revenue recognition and leasing) that should be finalized in 2013. In this global economy, IFRS is all around us. customers” standard would eliminate industry specific revenue recognition and use only one standard that will be applied to all industries.The leasing project would require that all leases greater than one year be capitalized and, depending on the lessee consumption of the asset in relation to its economic life of the asset, will dictate the effect it has on the income statement. The financial instrument and insurance contract projects appear to be on life support and in all likelihood will not be converged.

With that said, there are a number of “IFRS sightings” in the U.S. and these will continue to grow as global capital flows into the United States. For example, a

U.S. subsidiary of foreign parents that reports in IFRS is being required to use IFRS in their financial reporting back to the parent. Here are some examples:

Foreign Entity Taking Control

One of the frequent sightings of IFRS is when a foreign entity obtains control over a U.S. entity. The foreign entity then prepares its financial statements in accordance with IFRS, not U.S. GAAP. International Accounting Standard (IAS) 27, Consolidations and Separate Financial Statements, states that, “a group must use uniform accounting policies for reporting like transactions and other events in similar circumstances. The consequences of transactions, and balances, between entities within the group must be eliminated.”

For example, an Australian entity purchases 75% interest in a U.S. entity on January 1, 2013. The Australian entity has a calendar year end and it prepares its financial statements using IFRS. Because of IAS 27, the U.S. subsidiary will have to adopt the same accounting policies (IFRS) as the parent in 2013, not at a later date established by the SEC. What if this is your company or client?

Are you prepared to help convert their financial statements from U.S. GAAP to IFRS? If you are not prepared to help, they or your employer will find someone who can—either another employee or another accounting firm.

Foreign Entity Exhibiting Influence

Another similar sighting occurs when a foreign entity exhibits significant influence over a U.S. entity and the foreign entity prepares its financial statements in accordance with IFRS. International Accounting Standard (IAS) 28, Investments in Associates, states that, “the Standard requires an investor to make appropriate adjustments to the associate’s financial statements to conform www.wscpa.org

resembles the metric system, except for: there is a greater opportunity for its use as global capital flows into the United States. Accounting professionals need to be abreast of this fact and continue increasing their IFRS knowledge, despite the SEC procrastination, because the likelihood of it crossing our path will continue to grow over time.

them to the investor’s accounting policies for reporting like transactions and other events in similar circumstances.”

Consider the above example, except this time the Australian entity purchases 40% interest in the U.S. entity on January 1, 2013. Because of IAS 28, the U.S. entity will have to make appropriate adjustments from U.S. GAAP to IFRS to achieve conformity in accounting policies.

Once again, are you prepared to help them make the necessary adjustments to achieve conformity according to IAS 28?

Foreign Entity Operating in the U.S.

Another instance where an IFRS sighting can occur is when a foreign company begins operations in the U.S. Many U.S. cities are trying to attract foreign companies. More than likely, its financial statements will be prepared under IFRS, but who will assist the company in adapting to U.S. regulations and be able to address IFRS issues as well? capabilities would have a better chance at gaining this entity as a client.

Think about it in another way: The European Union and Australia adopted IFRS in 2005, Canada adopted IFRS in 2011, Mexico is adopting IFRS in 2012, and it looks like Japan will be adopting IFRS in 2016, but they have allowed early adoption beginning in 2010. In this global economy, IFRS is all around us. As CPAs we will increasingly come in contact with companies using IFRS. If you are in business and industry, your organization could suddenly need to switch to IFRS. Your next employer could be using IFRS. If you are in public practice, being able to apply IFRS and translate to and from GAAP could go a long way toward attracting and retaining the best clients in this global economy.

What the SEC will ultimately decide still remains a mystery that even ScoobyDoo can’t solve. We do know that mandatory IFRS implementation in the U.S.

Bylaws Vote Passes By Overwhelming Margin

Between August 13 and September 17, 2012, WSCPA members cast their ballots on whether to amend the organization’s bylaws. WSCPA Secretary Glenn Wisegarver observed the vote count on September 18 and confirmed the accuracy and outcome of the election. The amendments carried overwhelmingly, with a final tally of 360 Yes votes and 11 No votes.The amended bylaws went into effect on October 18, 2012. The WSCPA Board of Directors thanks those who participated in this vote.

In Memoriam J. Dan Schoedel J. Dan Schoedel, former Board Chair of the WSCPA, passed away on September 16, 2012 at the age of 84.

Born on April 8, 1928, to Margaret (Blake) and Louis C. Schoedel, he graduated from Washington State College with a Bachelor of Arts degree in accounting. He joined the Air Force Reserves during the Korean

War and married Shirley Anne Folkins in 1953.

He partnered with his brother Donald L. Schoedel to establish the accounting firm Schoedel and Schoedel.

He served as member of the Board of Governors of the American Institute of CPAs, President of the WSCPA Spokane Chapter, Board Chairman of Deaconess Hospital, Chair of the Spokane Library Board, Treasurer of St. John’s Cathedral for 25 years, and held other positions in the community.

At the September 21, 2012 meeting of the WSCPA Board of Directors, Vice Chair, Randy Wells, resigned from the board, due to increased professional responsibilities. The board accepted Randy’s resignation and Chair Mary Marino thanked him for his exceptional service.

Mary Marino, on behalf of the Executive Committee, placed the name of Glenn Wisegarver (who was serving as board secretary) in nomination for the vacated position of vice chair. The board unanimously approved Glenn as vice chair. Mary, again on behalf of the Executive Committee, placed the name of William Simer in nomination for the vacated position of secretary. A unanimous vote of the board approved Bill Simer as secretary.

Sole Practitioners Groups

Do you occasionally find yourself wishing you had someone else to discuss technical or practice management issues with? Do you need to bounce ideas around in an informal exchange with others whose practice size and scope of clients are similar to yours? In all likelihood, there is group of other WSCPA members for you.

Three WSCPA members who are committed to starting such a group recently sent an invitation to 330 members in sole or small (fewer than 5 professionals) practices, located primarily on the east side of Lake Washington. Over 10 percent responded with enthusiasm, many adding thoughts about what would make a group most valuable to them. This group will meet in Bellevue, at the Society office when space is available, at other locations as determined by the group. ike many of you, when I first learned of the new Certified Global Management Accountant (CGMA) designation, I thought, “Oh, brother, here we go again.

Cognitor Part II.” The AICPA’s vision in 2000 for a “global business professional” designation was greeted with everything from disdain to alarm by a majority of the voting members of the AICPA. In an October 28, 2000 article, Rick Telberg, a frequent commentator on the profession, noted that Cognitor “cuts to the heart of the accounting profession and has left many CPAs and non-CPA accountants reeling, divided, angry and confused.”

The decisive “No” vote of the membership came a year later, October 2001.

You may remember that another small item—Enron—came to public light almost simultaneously. Although it was certainly not related, fallout from Enron created even more angst, and the profession, regulators, and Congress quickly turned their attention toward the more immediate problem.

So what’s different 12 years later?

Why create a global business designation (CGMA) now? Long-time proponents of the designation would argue that nothing is different other than the need for global recognition of CPAs’ skills and knowledge has only increased; the opportunities for CPAs are truly borderless.

WSCPA’s Bea Nahon was a member of the 2000 Council that voted to move the concept to a member vote. She voiced her support in comments from the floor: “Personally, I believe that the concept of a global designation makes a great deal of sense, and I would far prefer to be ahead of the curve than behind it. I applaud the AICPA leadership for their courage and vision in raising this potential to this level of consideration. Now, though, it’s time to talk about the actual strategies and tactics —that is, now we have to work out the details. The resolution, as it was passed, allows us the time and the permissions to carefully and deliberately consider those details—along with the involvement of members. No matter what the outcome

of this discussion, we owe ourselves, our clients, our constituents and the future students the opportunity for the consideration of this concept. Regardless of how the process ends up, we will be a better profession for having participated in this discussion.”

I would argue that the “actual strategies and tactics” were never adequately developed with Cognitor. While that likely did not contribute significantly to the general distaste for the concept, it did play a role in its defeat. So it was with no small amount of skepticism that I sat through a roll-out of CGMA nearly

I believe the key difference is the solid partnership with CIMA (Chartered Institute of Management Accountants), an already well-established and globally recognized organization with 195,000 members in 176 countries.

And yet, still nursing the bruises from WSCPA members’ reaction to Cognitor, I cringed at the thought of wading into those waters again. But wade in we did, following through on a commitment to provide members with information about CGMA. We encouraged the 1,200 WSCPA members who qualify (based on workplace information in member profiles) to check it out before the paid membership period began in August.

Is CGMA for everyone? Probably not. Based on comments in the member survey, some will likely never embrace it.

Can You Perform Nonattest Services for an Attest Client and Still Be Independent?

I

t’s not uncommon for practicing CPAs to perform both attest and nonattest services for the same client (e.g. financial statement review and tax returns).

The question is, are they violating independence rules in the process? Quite possibly, and often without the CPA even being aware they are in violation of these rules.

There are several different sets of regulations each CPA must adhere to, depending on the nature of the work they are performing. Certain engagements are subject to the independence rules of regulatory bodies outside of the accounting world – the Securities and Exchange Commission, Government Accountability Office and Department of Labor – to name a few. The independence rules prescribed by each regulatory body may be more restrictive than those laid out by the AICPA or state governing body. Therefore, it’s extremely important for every practicing CPA to be aware of the independence rules that apply to each engagement where they are involved. The following are some general activities that many of you already know would impair a CPA’s independence: •

Preparing source documents, in electronic or other form, evidencing the occurrence of a transaction; Determining which recommendations of the CPA should be implemented; or Establishing or maintaining internal controls, including performing ongoing activities for a client.

if you perform an appraisal, valuation, or actuarial service for an attest client where the results of the service, individually or in the aggregate, would be material to the financial statements and the appraisal, valuation, or actuarial service involves a significant degree of subjectivity (e.g. employee stock ownership plan valuation).

An actuarial valuation of a client’s defined benefit plan generally produces reasonably consistent results because the valuation does not involve a high degree of subjectivity. Therefore, performance of these actuarial valuation services generally would not impair independence.

In addition, appraisal, valuation and actuarial services performed for nonfinancial statement purposes would not impair independence.

Forensic Accounting Services

In general, forensic accounting services are nonattest services involving the application of special skills that help evaluate evidential matter and interpret and communicate findings. Forensic accounting services are generally in the form of litigation or investigative services.

Litigation services may be any of the following: •

Things aren’t always so clearly defined, so let’s discuss some examples where a CPA’s independence determination is much less black and white.

Appraisal,Valuation and Actuarial Services

Expert witness services – where you are engaged to render an opinion before a trier of fact as to the matters in dispute based on your expertise, rather than your direct knowledge of the disputed facts or events. Expert witness services create the appearance that you are advocating or promoting a client’s position. Therefore, if you agree to provide expert witness testimony for a client, independence would generally be impaired.

Litigation consulting services – where you provide

advice about the facts, issues, and strategy of a matter. You are not testifying as an expert witness before a trier of fact.

The performance of litigation consulting services would generally not impair independence in and of itself. However, if you subsequently agree to serve as an expert witness, your independence would be impaired.

•

Other litigation services – litigation services where you serve as a trier of fact, special master, court-appointed expert, or arbitrator, in a matter involving a client. These “other services” create the appearance that you are not independent.

Investigative services include all forensic services not involving actual or threatened litigation, such as performing analyses or investigations that may require the same skills as used in litigation services. Such services would not impair independence provided you comply with the other general requirements set forth in the AICPA Professional Code of Conduct.

It should be noted that most of the content in this article contains general guidance, and there are exceptions to each of the circumstances discussed above. You should always make sure to perform the necessary research and be well informed about independence rules as they relate to the nature of your work.

Diversity and the Accounting Profession

“It is imperative that the profession’s makeup evolve to reflect the diversity found in American businesses and society as a whole” said Barry Melancon, CPA, CGMA, AICPA President and CEO. Perhaps you have heard comments like this and you are not certain how it applies to your business. The service industry is built on relationships and trust, and let’s face it, trust is easier when the person you are doing business with is someone you can relate to, someone you feel understands you. When you take a look at the demographics of society, and then the demographics of the accounting profession, there is opportunity for growth.

According to the latest census, Washington State in general has shown a growth in its diversity. The ethnic diversity of King County is more than 40 percent, and Spokane County is more than 15 percent. If you look at the under age 18 group, in King County 47 percent claim an ethnic heritage—this is the future of our community and our business. Now take a look at your office, your clients, your prospective clients and local business owners—does what you see match the diversity statistics for your county?

According to national statistics it probably does not.

According to the AICPA 2011 Trends in Supply report, at a national level only 25 percent of all accounting graduates in 2010 claimed an ethnic background.

The same report shows that nationally in accounting firms only 21 percent of the employees are diverse. Although 21 percent is no doubt higher than previous levels, there are a few ethnic groups still severely under-represented in the accounting firms: Black/African-American, Hispanic/Latino, and Native American.

The Pacific region of the U.S. can feel good about one key statistic, our region has the highest enrollment of ethnic students in accounting programs; in 20092010 it was 45 percent.That is 13 percent higher than the next closest geographical region. However, more work is needed

to help create a pipeline of future CPAs that match the demographics of our communities.

Several organizations in our state are working toward achieving this goal.

Below are a few of the organizations that the WSCPA supports.

Accounting Career Awareness Program (ACAP)

ACAP works with under-represented minority high school students. They involve the students in programs directing them into college and careers in accounting. This 501(c)(3) organization was started in 1982 in Washington State and is now replicated in more than 30 states. The key program is a week-long camp called Residency Week, held at the University of Washington Seattle campus.

National Association of Black Accountants (NABA)

One of the primary goals of NABA, which has a chapter in our state, is to encourage and assist minority students entering the accounting profession.

At the time NABA was formed in 1969, there were only 136 African-American CPAs in the United States, or 0.136 percent of the 100,000 total CPAs. Currently

African-American accounting professionals make up three percent of the staff in public accounting firms. Six percent of accounting graduates in 2010 were African-American. To learn how to support NABA visit www.nabainc.org.

ALPFA

ALPFA is dedicated to enhancing opportunities for Latinos in the business, accounting, finance and related professions. ALPFA is the proud successor of the American Association of Hispanic Certified Public Accountants (AAHCPA), the first national Latino professional association in the United States. Established in 1972, ALFPA now has more than 18,000 members. The AICPA report states that Latino accounting professionals made up four percent of all firms, and five percent of all accounting graduates in 2010. To learn more visit www.alpfa.org.

Adding Folders to Your iPad’s Home Screen

O

ver time, you are likely to install many apps on your iPad, and you will probably want to organize these apps so that they are easy to locate and launch. To do so, consider adding folders to your Home screen and arranging the apps in folders. In this tip, you will learn how to quickly and easily add folders to help organize the apps on your iPad1.

For example, in Figure 1, notice the presence of six folders: News, Productivity, Social, Entertainment, Business, Travel, and Finance.

Each of these six folders contains multiple apps; the apps for a specific folder are available by first tapping the folder icon. Arranging apps in this fashion organizes your Home screen and allows you to quickly locate and launch any app with which you wish to work.

To add folders to your Home screen, press and hold an icon for any app until all icons on the Home screen begin wiggling.With all icons on the Home screen wiggling, drag one icon on top of another that you wish to belong in the same folder. Your iPad will automatically create and name a folder for you, and the two apps related to the icons you related together will be in that folder. Now, just click and drag any other icons you wish to belong to that group into the folder. You can add up to 20 apps to any folder, and you can have up to 180 folders on your iPad. If you wish to rename the folder, you can do so by tapping the folder while all of the icons on the Home screen are wiggling, then clicking in the folder name area, and entering your desired name for that folder. Figure 2 depicts this process.

Because you are likely to install many apps on your iPad, arranging the apps in a fashion that makes it easy to find and launch them is a virtual necessity. As you now know, you can create folders on your iPad to assist you with this task.

Financing Scholarships, Funding Grants, Fulfilling Pledges:

Foundation Makes a Difference in 2012

hank you to the WSCPA members that have contributed to the Washington CPA Foundation this year. Your generous contributions help make an accounting degree possible for many incredible students, and help fund financial literacy programs.

Did you know that the Foundation is a separate 501(c)(3) organization? In case you are uncertain about the Foundation’s purpose, here are the mission, vision and business goals of the Washington CPA Foundation.

The Mission of the Foundation: • • • • •

To support education and research in the field of accountancy; To provide scholarships for students of accounting; To improve accounting education; To enhance knowledge within the accounting profession; and To assist accountants and others in their efforts to educate the public about financial and accounting matters.

Vision - What We Seek to Become:

Our communities have awareness of and access to both high quality accounting education and resources to make sound financial decisions.

Goals

Some of the current goals of the Foundation are: 1. To increase the total amount of scholarships granted by 25% this fiscal year bringing the total to $60,000. [The Foundation awarded $49,000 in scholarships last year. Plus, scholarships totaling $6,000 were awarded to students transferring from a community college to a university. 2. Confirm 15 Named Scholarships in fiscal year. (Last year 10 were awarded. See below for details.)

3. Fulfill the pledge to donate $50,000 to the AICPA’s PhD program. (This will be the fifth year supporting this program at $10,000 a year.)

4. Fund a grant or grants of up to $10,000 total for financial literacy.

(Last year grants totaling $5,000 were awarded.)

5. Raise awareness of the opportunity for planned giving.

Named Scholarships

The Named Scholarships Program was started a little over a year ago by Joe Sambataro, a Trustee and named scholarship contributor. This program allows contributors to create a one time or yearly named scholarship without an endowment. Under this program, anyone that contributes $3,000 at once may name a scholarship awarded that year. Many firms and personal contributors participated last year. We have already added to the prestigious list: •

Financial Literacy

Serving Those Who Serve

T

he end of the year is a time when many of us reflect on the past year and take stock in what we have accomplished. It’s also a time when we set goals for the next year. Volunteering in your community may be something you are considering. One group that could benefit from your expertise is members of the military and their families. They face unique financial challenges such as loss of income, frequent relocation, prolonged leave of absence from a job, changes in lifestyle, shifts in financial responsibilities and increased reliance on credit cards.

The result is more than half of all enlisted service members have some type of financial difficulty. A survey of 6,200 service members found that: • • • • •

27% reported trouble paying bills; 21% had received pressure from bill collectors; 19% had trouble making ends meet; 4% were delinquent on rent or mortgage; and 4% reported “serious” difficulties, such as a repossession or bankruptcy.

These financial challenges in turn affect the operational readiness of service members and cost $172 million annually in lost productivity. Taking the time to provide financial education that addresses their needs and concerns will help. With less than two percent of the U.S. population serving in the military, it can be challenging for those not involved with the military to relate. To help bridge the gap between civilians and veterans: •

Learn and try to understand the culture of the military (branches, structure, training, basic military language, etc.).

•

•

Speak to an expert—someone who works with members of the military, has served or has a close family member who has served, or contact a local Military Service Organization.

Participate in the culture by volunteering with veterans.

There are resources and volunteer opportunities available for you to assist service members and their families. One example is the Veterans Fast Launch Initiative, which includes key partners such as the AICPA and SCORE. It provides resources, including time with volunteer CPAs and retired executives, for veterans interested in starting their own business.

CPAs interested in helping can download a toolkit, which can be customized with your firm’s logo, to share with veterans.

Firms may also list themselves on the national directory to help local veterans find them. To learn more about how you can be involved visit: www.aicpa.org and search for Veterans Fast Launch Initiative. The AICPA’s 360 Degrees of Financial Literacy website also has a section devoted to the military and reserves: www.360financialliteracy.org/Life-Stages/ Military-and-Reserves. This information is useful for CPAs wanting more information on financial topics related to the military and clients you may be serving.

Another resource to consider is Army OneSource, online at www.myarmyonesource.com. They provide tools to identify your organization as one that assists service members and information on volunteer opportunities. It also offers online financial education tools and games.

hat do you do if you have a busy solo tax practice which includes a lot of work for professional athletes and people in the entertainment industry, involving filing state income tax returns in addition to their federal tax returns?

Oh, and you attend most of your two high school sons’ games and still play golf, attend almost all University of Washington home football games, and you enjoy spending time at Lake Chelan.

If you are Frank Kuntz, you run for the Mayor of the City of Wenatchee. Kuntz served on the city council from 2003 – 2007 but gave that up to spend more

It is way more time consuming now to call and get assistance from either the IRS or the states than it was just a few years ago.”

How does he keep up with the demands of doing two jobs at once? “I have great support staff at my CPA office and great department heads at the City; we seem to make it work. I used to take every non-tax season Friday off, but that is no longer the case.

When asked where he sees opportunities for CPAs to participate in government, he responds with conviction. “Are you kidding me? We need way more CPAs in government, especially in elected office.

Think about it. The biggest problems we face as cities, counties, states, and at the federal government level are budget issues. The feds can’t balance it, the state struggles with it, and cities and counties are not far behind.Who better to discuss balancing budgets, cutting expenses, the private sector, job creation than CPAs? Quite frankly (no pun intended) we are the ones with the skills to help. I just wish more would get involved.”

For an informal guy who is still getting used to being called “your honor,” or “Mr. Mayor,” Kuntz seems suited to the task he took on 10 months ago. He even made the time to provide material for this profile in the midst of the fires that ravaged eastern Washington this fall. When asked if the Chamber of Commerce brochures are true, he responded, “Yes, there are 300 days of sunshine in Wenatchee. It is a little hard to see the sun today with all of the smoke in the valley due to the fires but I can feel the heat of it. Plus, we experience all four seasons of the year.

It is a 10 minute drive to go skiing, five minutes to go boating, hiking and biking right out your back door. Wenatchee is a great place to live and work in, and so far, a great place to be Mayor.”
