Approaching a Professional Crossroads By Amanda O'Rourke, CPA
This summer will mark my 6th year on the board but the 114th anniversary of the WSCPA. It is an honor to serve our profession and to help position us for the next 100+ years. Accounting Today published an article earlier this year that explained: “… CPAs make up only around 20% of client service staff at the Top 100 [Accounting] Firms.”x(www.wscpa.org/20-percent) This means that 80% of client service staff at the Top 100 Accounting Firms include technologists, analysts, and industry experts like government and healthcare professionals. The article went on to challenge us: “CPAs and the broader accounting profession are approaching something of a crossroads, where they will be able to change their own definition of themselves.” We must work together to redefine what it means to be a CPA and ensure the sustainability for our profession for the next 114 years.
Relevancy Many of us became CPAs for similar reasons. We wanted a profession that would be recession-proof and a career that would support our families and community. I grew up the youngest of seven kids—the majority of whom followed in my father’s footsteps in the plumbing trade. When I went away to college I wrestled with choosing a major that would leave me with a similarly marketable skill once my four years were up. Accounting was and remains one of the best degrees to not just get a job, but also start a career. The WSCPA is the biggest advocate for our future. And for generations of CPAs to come. The value of WSCPA membership may be different for each of us, but whether you are a sole proprietor, a firm of 20 or the largest regional firm in the

We must work together to redefine what it means to be a CPA and ensure the sustainability for our profession for the next 114 years.
PNW, many, if not most, of our struggles are the same.
Advocacy In addition to connecting and educating members, the WSCPA plays a critical role in our profession by advocating for our future. As part of my role on the board, I recently returned from Washington, DC, where I attended the AICPA Spring Meeting of Council. During the quick four-day trip we made personal visits with elected officials on Capitol Hill. I visited the offices of Congressman Rick Larsen, Senator Patty Murray and Congresswoman Pramila Jayapal. Our agenda included discussion of the IRS taxpayer services division. We shared what it was like to work with the IRS and told war stories of how many times the service has hung up on us. We talked about the inefficiencies of the IRS computer system, which was designed in the 1960s (!). Our visits also included discussions on improving disaster relief for impacted taxpayers and the importance of the House and Senate Budget Committees reviewing our own government’s audited financial statements. In addition to the work on a national level, the WSCPA remains hard at work right here in Olympia. Earlier this year I had the opportunity to testify in support of House Bill 1208 to remove the requirement for a firm license for those firms not
performing attest and or compilation services. A firm license will still be necessary to qualify for firm mobility, but this deregulation relieves the administrative burden of many small firms not offering specified assurance services. This bill was sponsored by the Washington State Board of Accountancy and signed by the Governor on April 19th.
Our Future My seven-year-old daughter currently believes that I sit at a desk and help my clients physically count their money. All. Day. Long. I suppose it’s reasonable that she isn’t yet telling her friends she wants to be a CPA. But I will give her a few years before I clarify that as a CPA, I am, and we are, trusted advisors in risk management, process development, compliance, and the most relevant advisors planning for the future. Thomas J. Sadler is a Past Chair of the National Association of State Boards of Accountancy (NASBA), and the 2017 NASBA William H. Van Rensselaer Public Service Award Recipient. He began his professional career in 1968 when he joined Johnson, Paulson & Stolz (now Ernst & Young), becoming a CPA in 1969. In 1972, he joined Donald R. Brink to form Brink & Sadler, CPAs, where he served until he retired in 2015. A past chair of the Washington State Board of Accountancy (WBOA), he served WBOA as a strategic adviser and deputy director from 2006 until 2012. “Tom really deserves a purple heart for his service to the [WBOA] … This award is well deserved,” said Charles Satterlund, WBOA Executive Director. In 2009, he was named as one of the Top 100 Most Influential People in Accounting by Accounting Today.
Founded in 1949, Larson Gross is a full-service public accounting and consulting firm providing comprehensive accounting, bookkeeping, tax, audit and assurance, and consulting services to clients throughout Washington and Canada from its offices in Bellingham, Lynden, and Burlington. Larson Gross is a strong supporter of the WSCPA. “Many professionals from this outstanding firm have been involved in the Bellingham Area Chapter over the years,” said Thomas Donaghy, CPA, Past Chair of the WSCPA Board of Directors. “The chapter might not exist today if it had not been for the sustained support of Larson Gross leadership and staff.” The AICPA has honored Larson Gross as a Group of 400 (G400) honoree, a recognition reserved for the 500 largest CPA firms in the country.
Vice President of the Board of Directors of Peterson & Associates, P.S., Newt Rumble has been an advocate for the WSCPA Vancouver Area Chapter, serving on their board for many years, encouraging leadership summit attendance, ensuring WSU Vancouver students know about the WSCPA, and promoting the profession. “Newt has been involved in advocating for the CPA profession,” said WSCPA President & CEO Kimberly Scott. “He has good relationships with legislators in the area and he is always willing to reach out to help the profession in Washington State.” Newt is currently, or has previously been, involved with the Rotary Club of Clark County, Clark College Foundation, Southwest Washington Medical Center (now known as PeaceHealth) Foundation, Clark County 4-H Clubs, numerous wildlife conservation organizations, church boards and other activities.

An Assurance Senior at Frost & Company, PLLC, Writu Kakshapati, is the current chair of the Olympia Area Chapter Board, and has served on the chapter board since 2015. During the last year, she led the effort to plan the chapter's first Accounting Career and Internship Fair, which brought students, board members, local employers and job seekers together. “One of Writu’s greatest strengths as a leader is the positive openness she brings to the board and to her interpersonal interactions. She is committed and passionate about growing the chapter, bettering events, and providing new and different educational and networking opportunities to members in the Olympia Area,” said Katie Berry, WSCPA Volunteer Relations Coordinator. “She has devoted a significant amount of time to the chapter’s activities—even going far above the call of duty.”
Andrew Prather is a shareholder at Clark Nuber P.S., providing a wide range of not-for-profit organizations and private entities with audit and consulting services. Andrew serves as a member of the FASB’s Not-for-Profit Advisory Committee and also chairs the planning committee for the AICPA’s Not-forProfit Industry Conference. He previously was a member of the AICPA’s Not-for-Profit Expert Panel, the chair of the WSCPA’s Not-for-Profit Committee, and co-chair of the WSCPA Notfor-Profit Conference (NFPC). He has been a speaker at NFPC since 2013 and has spoken at other WSCPA conferences as well. A WSCPA member since 2000, Andrew also serves as his firm’s Quality Control Director overseeing the firm’s audit quality assurance program and serving as a technical resource to the firm’s professional staff.

Mary E. Joyce, CPA For remarkable commitment and dedicated service to the WSCPA
Mary Joyce, shareholder at The Myers Associates, PC, has focused her practice on serving local not-for-profit entities for the last 25 years. A WSCPA member since 1984, Mary just completed a 3-year term on the WSCPA board of directors and has been an active member of the Not-for-Profit Committee since its inception. “Mary continually contributes behind the scenes,” said Kirsten Duke, WSCPA Immediate Past Chair. “Whether she is advising on WSCPA financial statements, board initiatives, or serving on the NFP Committee, she consistently adds value with her collaborative and thoughtful approach.” A Leadership Tomorrow graduate, Mary serves as their treasurer and is secretary of the Northwest Cardigan Fanciers (the NW chapter of the Cardigan Welsh Corgi Club of America). She holds a bachelor’s degree in business administration, cum laude, from the University of Washington.

David Trujillo, CPA, CGMA For leadership and dedication to the WSCPA and the accounting profession in Washington State David Trujillo is the agency director and chief law enforcement officer for the Washington State Gambling Commission (WSGC). A CPA since 1998, he has been an active supporter of the WSCPA since 2002. He has assisted his chapter, served on numerous committees and two terms on the WSCPA board of directors. “Dave is always willing to help whenever he is asked,” said Kimberly Scott, WSCPA President & CEO. “I appreciate his consistency and his spirit of fun.” Fun facts about Dave: He was a “Warthog” for a year as he played college rugby, high school athletic hall of fame inductee for bowling, police academy graduate who carries a gun for the WSGC, enlisted before graduating from officer candidate school, enjoys Civil War reenactments, and started at WSGC with a full head of hair. He enjoys life, prepares for tomorrow and lives in the South Sound area with his family.

Reflections on Leadership By Duane Davidson, CPA Editor’s Note: Washington State Treasurer Duane Davidson is a CPA and member of the WSCPA. Members had the opportunity to meet with Treasurer Davidson at WSCPA’s annual Hill Day in January and learn about his path from local office to Treasurer. We asked him to share some of that journey here. As a steward of public funds, I am often reaffirmed with proof that what we do as CPAs, financially improving the people and institutions we serve, most certainly changes lives. Perhaps the most valued endeavor I pursued during my four terms as Benton County treasurer was providing people with better financial outcomes. Today, as state treasurer, I continue to advance toward a similar point on the horizon. Though it can certainly be challenging to navigate state level politics, at no time have I ever let go of the vision that brought me to serve in the first place— protecting and improving the financial livelihoods of those I serve, which I believe to be the foundational driver for just about any financial officer. I am thankful that in the accounting world our practice often goes beyond numbers and spreadsheets, spilling into decisions that have the potential to lift others out of hardship and financially strengthen them. When I was elected state treasurer I carried with me the same drive to uplift and the personal sense of guardianship I felt for the people of Benton County. Moving to Olympia, I adopted a much larger family to protect, and upon arrival expanded many of the initiatives I started at the County. In my first two years as state treasurer I authored legislation expanding local government investment

opportunity (for details see www.wscpa. org/WST-HB1284) and created a division focused on financial education to help families manage their household budgets, loan payments, retirements and more. I added financial learning modules and a Financial Education page to the Office of the State Treasurer’s website (www.wscpa.org/WST-fin-ed) to help people learn about managing their finances. My office introduced a first of its resource, a depository of project funding resources (at www.wafunddirectory.wa.gov) to help local governments implement the infrastructure improvements they need.
From my seat in Olympia I find it important to occasionally take time and look back to appreciate how the path to this office was carved from a desire to improve things for the people in my own community. Though I did not originally personally aspire for public office, I always wanted to help people and improve systems. After receiving my CPA license I worked as an auditor for the State Auditor’s Office, where I soon envisioned a better way to accomplish positive change for the County. While sharing my ideas based on what I saw as an auditor with a colleague in the Auditor’s Office, he told

me that if I could do a better job than the county treasurer at the time, I should run for office, and so I did. Much to my surprise, I actually won the election. Without realizing it back then, earning my CPA would greatly enhance my ability to get where I am now. My credentials as a CPA automatically reinforced credibility with the people I encountered on the job and with voters. When I look back to examine past experiences and reflect on today’s honor of serving as Washington’s chief financial officer, a vision frequently comes into focus. I see how I am now afforded this rare opportunity to reach all Washingtonians and improve lives on a colossal scale. Now, more than two years into my first term, I recognize the similarities between serving as county and state treasurer, as well as the differences. The differences became increasingly evident as my first Legislative session as state treasurer commenced. Benton County has a three-person commission, making it easy to establish

trust with each commissioner regardless of any difference in political opinion. I knew each of them on a personal level, and we were able to come to decision points rather easily and implement initiatives quickly. The state’s Legislature has 147 members. That is a lot of names, faces, and personalities to get to know, creating quite a challenge in earning trust from each legislator and finding common ground to help move an issue forward. Regardless of the challenges, I am committed to the vision that brought me here, and the Washingtonians I proudly serve. As I did in Benton County, I consider myself lucky to work with an amazing staff at the Office of the State Treasurer who I can rely on to help navigate issues beyond political barriers. In the end, I am a bean counter at heart. An accountant who sees both sides of the work. One side that maintains a high standard of service and produces financial results. And another side that is too often overlooked—the side holding the true value. This side
embraces the opportunity to empower people, to help them make informed choices, and grow their potential. It is rewarding as a public servant and corporate accountant to serve others, on the city or county level, and from a statewide point of view. Managing the Risks of Serving Cannabis Clients America’s cannabis industry continues to grow: The U.S. legal cannabis market was worth an estimated $10.4 billion in 2018 and is projected to grow to about $26 billion by 2025, according to analytics firm New Frontier Data, which compiles business metrics for the cannabis industry. This projected growth has more and more CPA firms weighing the business opportunities and risks related to expanding their practice into this emerging industry. Marijuana-related businesses are in need of the professional accounting and tax services CPA firms offer. However, at the heart of the challenge for CPAs evaluating these opportunities are the uncertainties regarding the industry’s legal standing. First and foremost, cannabis remains a Schedule 1 substance—illegal to grow or possess under federal law. There are no guarantees that current or future administrations will continue the discretionary position that provides the industry’s uncertain foundation. This dichotomy creates ethical and moral quandaries for CPAs. For example, would rendering services (tax, accounting, consulting services, etc.) to cannabis clients be considered a lack of “good moral character” or an “act discreditable” by state boards of accountancy? Also, would CPAs who render such services to cannabis clients be exposing themselves to allegations of “aiding and abetting” criminal activities? Thus far, eight state boards of accountancy, including the Washington State Board of Accountancy, have issued guidance on providing services to marijuana industry businesses, and the profession is pushing the other state boards of accountancy to provide guidance.

For example, assess the risks associated with the specific client attributes (all-cash business, complexity, uncertainty, etc.) along with assessing the specific firm attributes (risk tolerance, competency, level of service choices, etc.) as you carefully consider whether these prospective clients are a good fit for your firm. As part of this
risk assessment, firms should discuss and review the potential legal ramifications with an attorney specializing in this industry. As part of your process in assessing “risks,” never forget that your professional acts and decisions will be judged in hindsight. Therefore, if your firm decides to service cannabis clients (or any other higher-risk clients), be extremely attentive to the following rules in the malpractice world: •

Obtain a management representation letter annually (regardless of type of service) that affirmatively confirms: the accuracy and completeness of client’s records; client is aware of IRC Sec. 280E ramifications; client’s understanding of, and compliance with, state laws and regulations; and all tax returns have been timely filed.
Consider creating a Crisis Management Plan (or enhancing an existing
one) to manage the firm’s potential reputational risks. A crisis management plan should be based on the potential consequences of servicing cannabis clients and should include engaging with a qualified attorney and public relations firm (for incident responses), as well as specifying who will speak on behalf of your firm. Pitfalls to Avoid When Starting a Brewery By Dan Christopherson

Starting a brewery is a difficult and complicated undertaking that requires compliance with countless federal, state, and local rules and laws. Careful planning can help avoid costly delays or other disadvantages. Below are some of the most common pitfalls that breweries encounter.
Beware tied-house issues The Alcohol and Tobacco Tax and Trade Bureau (TTB) is the federal agency that regulates the production, distributing, and importing of beer in the United States. One branch of TTB deals with unfair trade practices, the most common being “tied-house” violations. TTB defines a “tied-house” as a practice whereby an industry member induces a retailer to purchase its alcoholic beverages. Tied-house issues often come up within the context of the “three tiers” of ownership for alcoholic beverage distribution. This system divides the alcoholic beverage market between producers (i.e., brewers, wineries, and distilleries), distributors, and retailers. While TTB does not outright ban ownership across multiple tiers, most states only permit an individual to have an

ownership interest in one tier (e.g., an owner of a brewery may not also own a bar/liquor store). Even worse, some states levy strict penalties on companies that cross into multiple tiers. For example, the New York wine shop Eataly was fined $500,000 in 2014 because one of the owners had an interest in several wineries in Italy. Tied-house issues also come up when producers offer incentives to distributors or retailers to sell their products. Depending on the state, illegal incentives can include everything from monetary payments to free advertising. For instance, California refused to allow the brand registration of a malt beverage label that used the name of the onpremises retail chain TGI Fridays, and determined that “a beer manufacturer can not [sic] provide free advertising for retail licensees.” A brewery should exercise great care to avoid tied-house violations. A solution that works in one state may become problematic when a brewery decides to start distributing its beer into a new state. An internal analysis should be made every time a brewery enters into a new state to make sure that the brewery does not run afoul of that state’s tiedhouse rules.
Consider intellectual property rights issues early As a brewery grows its brands and develops a reputation for its beers, the brewery’s intellectual property rights will become its most important and valuable assets. If a brewery fails to take early steps to ensure that its brands, logos, and other identifying features are available for use without violating the intellectual property rights of another company, that brewery risks losing out on the good will it creates early in its brands or, even worse, might end up on the wrong end of a trademark infringement lawsuit. Similarly, if a brewery does not take early steps to secure exclusive rights to a brand, it may lose the ability to secure such rights in the long run. Clear Your Marks Federal trademark registration provides an owner with the exclusive right to use a mark in connection with goods described therewith, and with related goods. The trend in US law has been to consider wine, beer, and spirits to be highly related goods, and find a likelihood of confusion between products sold across these goods with similar brands. There has also been a recent

trend to find confusion between brands registered for alcoholic beverages and brands registered for bars and restaurants. In determining the extent to which a mark is available for use by a brewery, a person should at least: •
Utilize search engines on beer, wine, and spirits enthusiast websites to find third-party use of similar marks;
•
Search the United States Patent and Trademark Office’s Trademark Electronic Search System for similar marks registered for beer, wine, spirits, and restaurants/bars, and potentially also for non-alcoholic beverages;
•
Search the TTB’s Public COLA Registry for beer, wine, and spirits labels that have been issued to producers using similar brands; and
•
Search Google and other search engines using language that encapsulates the relevant range of goods and services described above along with the desired mark.
A qualified trademark attorney can also be engaged to perform searches like the above. I recommend using an attorney with specific industry knowledge that will have insight into where to find relevant third-party use of marks. Also, care should be taken to include, where possible, Boolean search expanders (e.g., * or $, depending on the search engine) to include spelling variations for a given mark in a search.

Claim Your Marks Early Trademark registrations can help a brewery obtain exclusive rights to a beer brand throughout the United States in connection with a set of goods and/ or services. A brewery with a productdistinguishing mark in mind (whether that be the brewery’s house name, a flagship beer name, a logo, a slogan, etc.) can lock in an early claim to a mark using a mechanism called an “Intentto-Use” trademark application, which provides at least three years of time to develop products under the brand. Such applications are entitled to priority of their subject marks as of the time of filing. That means that a subsequent alcoholic beverage producer cannot begin selling a new product under that mark after the application is filed without risking infringing upon the applicant’s exclusive rights. Failing to claim rights to a trademark early can have disastrous consequences. Oftentimes another party will be more proactive about claiming rights to a brand, which may lock a company into the geographic areas where the products have been sold and may prevent the brewery from securing future trademark registrations for related marks. If a brewery misses out on claiming rights to a mark before a later user, there may be an opportunity for the brewery to initiate a proceeding to claim priority, but such proceedings are very expensive and may take years to reach a resolution. One caveat to staking a claim to a mark early is that a mark that is the subject of trademark application is largely locked into place after filing. With few exceptions, marks cannot typically be amended after filing. Instead, an applicant for a mark is usually stuck with the version of the mark they applied for.
This often comes up with logos that are early concepts, which may be tweaked between the time of filing and the time the brewery starts selling beer with the logo. Applications for marks that do not end up being used are largely useless, and necessitate filing a new application for the new logo, giving up the early priority date that was claimed in the first application.
Make sure the lease you sign is fair and suits your needs A brewery’s lease agreement is probably the most important legal document that will be signed by the brewery. It will guide how the space can be used and modified, what the rent and costs will be, what will happen if the space is not suitable for the intended purpose. While most states have protections in place to protect residential tenants, commercial/manufacturing tenants are often left to rely only on the terms of the lease agreement for protection. Absolute Requirements for the Lease The lease must be signed in the name of the entity that is going to be licensed at the state and federal levels. If a business is new, the landlord will almost always require that business owners sign as guarantors on the lease, meaning the owners will be liable for the lease in the event the company defaults. Including such guarantors is fine from a licensing standpoint, but the party that is the named tenant in the lease must be the company getting licensed. The lease must also provide a provision that specifically permits for use of the space as a brewery. The permitted purpose should also include whatever types of activities the tenant plans to engage in, such as serving alcoholic beverages for

on-premises consumption and selling for off-premises consumption, selling promotional paraphernalia, serving food or snacks (as appropriate), and playing music or having live musicians perform. Things to Ask for in a Lease Negotiation Most landlord lease templates will include a clause requiring a tenant to return the premises in the same condition it was received. A preferred clause would allow the premises to be returned in the condition it is in at the end of the lease, so long as the landlord provided prior approval for modifications (such as internal walls and flooring), and such modifications remain in good condition at the termination of the lease. Another important clause relates to a requirement that the premises be in a condition that allows the tenant to use the space for the permitted purposes. In the event that an interruption in sewage, water, utilities, or access to any portion of the leased premises causes the
tenant to have to stop producing beer, causes beer to spoil, forces the closure of the tasting room area, or otherwise restricts the tenant from performing its normal business operations, the tenant should have some recourse such as rent abatement to allow the non-payment of rent until such issues are rectified. Other important clauses relate to rent escalation and common area expenses (usually shared proportionally with other tenants in the development). An experienced commercial realtor should be able to provide feedback as to how such clauses compare to other properties in the same or similar areas. In no event should you sign a lease agreement that you are not completely comfortable with. Many brewery owners feel desperate about trying to find the perfect space, and give up a great deal of bargaining power when they choose a space (emotionally or otherwise) before negotiating for reasonable lease terms.
Starting a brewery is a complicated endeavor that involves a great deal of decisions large and small. Keeping the above issues in mind will help avoid potentially significant setbacks that could mean the death of a vulnerable new business. It’s no wonder, then, that 93 percent of organizations are now using cloud services in some form and 80 percent expect their IT budget to be cloudbased within an average of 15 months. Cloud hosting services are an alternative to on-site data centers and IT

infrastructures, and hosted by a thirdparty or external provider. These managed hosting service providers—also referred to as Cloud providers—can offer partially hosted solutions for specific applications (like Thomson Reuters) or fully managed solutions.
