CHAIRMAN’S REPORT As you all know the Alliance Française de Melbourne, the oldest in Australia, is dedicated to the teaching and the promotion of French language and francophone culture. In Melbourne it enjoys a high reputation as a French language school and is the focal point as a French cultural centre. In both these areas, cultural and language teaching 2012 was full of achievements. Firstly, on the language teaching side, the student enrolment continued to flourish in 2012, with 4372 enrolments and 2370 different students (compared to 4120 enrolments and 2283 different students in 2011). Income for language products rose to $1,452,919 against $1,357,488 in 2011. The Alliance values its relationship with all its partners immensely. A new partnership was developed in 2012 with the Ministry of Education Victoria enabling the Alliance to train French teachers in Victoria. The Alliance’s links with the National Gallery of Victoria was strengthened with the creation of an audio guide for the very successful Napoleon Exhibition in 2012. The Berthe Mouchette poetry Competition, named after one of the first presidents, and which has been running since 1894 in Melbourne attracted more than 13,000 students from about 100 Victorian secondary schools. On the cultural side, in a city whose cultural offerings abound, cinema, music, visual arts, and performing arts are the mainstay of the Alliance’s cultural program. The Alliance Française French Film Festival has now become the flagship French cultural event in Australia with 125,818 spectators nationally and 38, 681 in Melbourne. The festival still remains the most extensive French film festival outside of France with the largest attendance and this, as Australians, is something about which we should all be proud. Melodious sounds continued to resound from Eildon during the year from classical concerts in the ballroom to jazz in the “kitchen”. The Fête de la Musique held in France and in now many parts of the world on was celebrated, thanks to the continuing financial support of the City of Port Phillip with performances at a number of different venues around the City of Port Phillip. The Alliance also hosted eight exhibitions all of very high calibre and a detailed list is found in the 2012 Cultural Activities. The other annual regular events continued in 2012 such as the Bastille Day celebration in collaboration with Red Bennies, the Beaujolais Nouveau; and the Christmas Market/Open Day. In addition, our collaboration with RMIT University and ISFAR continues to grow with the intimate and stimulating colloquium “Melbourne Salon”. I am indebted to all the directors of the Board for their guidance and expert contribution at board meetings which is crucial to the successful management of the affairs of the Alliance. A particular thanks to the members of the sub-committees (Finance/Governance and Building) and to the newly appointed director Kay Stevens for developing the Strategic and Operation Plans for the Alliance for the coming years. Despite the many achievements, 2012 was not without its challenges. The Board continued to address the issues relating to the glazing link project, one of Jean Marie Violette’s wishes, in 2012. Jean Marie was a former administrator of the Alliance, who passed away in 2008 and generously left his estate to the Alliance.

I wish to also note the enormous effort by some board members searching for suitable premises in Boroondara and Yarra for the Alliance’s branch north of the river. This project will hopefully be achieved in 2013. The main challenge, however, that the Alliance faced this year was the abolition of the French government’s funded Deputy Director position. Alice Gauny, who had occupied this post for only 2 years, bade us farewell in August. Whilst we were very sad to see Alice leave, we were pleased that she was appointed as the Director of the Alliance Française of Kerala in India. We thank Alice for her significant contribution to the pedagogical development of the Alliance, a task she performed with competence and professionalism. Two appointments took effect as a result of Alice’s departure. Aurélie Pierre was appointed as Course and Training Manager. Aurélie provides a comprehensive report to the board at each meeting and has already demonstrated to the directors that the management of the language school is in competent hands. Meanwhile, Françoise Libotte, the Cultural Events Manager has been appointed as the Deputy Director and Manager of Cultural Events of the Alliance. In this position, Francoise continues to make an enormous contribution in the management of the cultural events and in particular in relation to the French Film Festival, leading the team to achieve yearly an excellent outcome. Finally, I would like to thank Sally Lefevre, the director of the Alliance. Sally arrived at the Alliance in late 2011 and despite being faced with the budgetary challenges mentioned above, she has managed the financial affairs of the Alliance in the most efficient and competent way. Sally has also introduced a number of innovative ideas this year especially in the marketing/communication of the language courses and the cultural activities that have provided a firm platform for growth. The very high reputation the Alliance enjoys as a French language centre would not be possible without competence and enthusiasm of the teachers at the Alliance whose dedication maintains the interest of the students in their continued aim of increasing their language proficiency while enjoying the various cultural offerings at hand. Students as well as our valued members are to be thanked also for their interest and active participation in the Alliance’s courses and cultural activities. Last but not least, I wish to sincerely thank the rest of the team for their hard work and dedication to the Alliance this year including Françoise Libotte, referred above, Penny Matthews (Administrator); Aurélie Pierre referred to above; Marion Nouvel (Pedagogy Coordinator), Elise Froumson (Pedagogy Assistant); Céline Boutteçon (Librarian); Kellee Lewis (Berthe Mouchette Coordinator); The team of receptionists: Nicole Vu-Minter, Clémence Ribaucourt, Francine Schaepper, Nadie Butcher and Elyne Astruc; MathieuVendeville (designer), Jude Fernandez (cleaning & maintenance) and our full time teachers Janina Starnawski de Saxce and Anne-Laure Paillard.

SECRETARY’S REPORT The year ending 31 December 2012 was another excellent year for the Alliance Française de Melbourne in its elegant ‘Eildon’ premises, and which are being fully utilised for a broad range of cultural and social activities complementing the highly regarded language classes. The Board of Directors managed many issues at its regular meetings, and included consideration of a number of proposals and decisions. The Board held 7 meetings during the year under the Chairmanship of Gilbert Ducasse, President of the Alliance Francaise de Melbourne. He is also the Victorian representative on the Federation of Alliances in Australia. The work of the two Board Sub Committees - Finance/Governance and Building was much appreciated throughout the year. Both Sub Committees have been very active and provided comprehensive information to the Board enabling sound decision making on major issues, such as the implementation of the Jean-Marie Violette’s wishes through his significant legacy to the Alliance. The Board Agenda has become increasingly complex with a number of matters arising and matters for decision needing thorough discussion and consideration. Of considerable importance to the Board are the written reports by the Director and the Deputy Director (and more recently the Course Manager) to inform the Board about student numbers, course development and programs, staffing matters and a range of cultural initiatives with Alliance partners. The Board of Directors welcomed two new members appointed at the Annual General Meeting in May 2012 – Kay Stevens and Sophie Short. They contributed their valuable expertise during the year in diverse ways. Kay Stevens has already dedicated considerable effort to developing a new Strategic Plan for the Alliance and has held a workshop with the Board members to identify the organisation’s strategic priorities and plan the implementation of these priorities over the next few years. The Board continues to address the best means by which to support the role and functions of the Alliance and the work of its staff whose diligent efforts make the many events held at the Alliance so successful, and ensure the day to day operation of the Alliance is maintained to such high standards. A strategic focus of the Board has been on promoting broader membership of the Alliance within the Victorian community and exploring ways of increasing student numbers. There were more than 400 members of the Alliance in 2012. Considerable effort was spent by Board members in exploring the possibility of a second teaching location in Melbourne to attract new students, with focus on the local government areas of Boroondara and Yarra for potential property locations. This effort will continue in 2013. The Director, Saliha Lefevre has continued to actively develop the Alliance, and under her leadership considerable efforts have gone into marketing the activities and language courses of the Alliance in creative ways. In August 2012, the Deputy Director, Alice Gauny left the Alliance to take up a position as Director, Kerala, India. The Deputy Director role has since been changed and is now shared by Françoise Libotte as Deputy Director and Manager of Cultural Events and Aurélie Pierre as Course Manager.

TREASURER’S REPORT The financial performance of Alliance Française de Melbourne (AFM) has continued to strengthen over the last few years, with the following audited, net profit results: • • • •

2012 - $165,553 2011 - $106,610 2010 - $36,739 2009 - $7,686

The strong financial performance reflects a continued and steady growth in revenue of approximately 6% (9% for tuition revenue) while expenses grew at a very modest 3.5% over the course of 2012. Revenue from the French Film Festival was down by 8% on 2011, but still generated $229,361 in gross revenue. The key elements in the improved financial performance for 2012 were a much stronger emphasis on cost controls across the board, and a steady rise in tuition fees despite a cautious economic climate. Investments were made in the refurbishment of some classrooms, thus improving our capacity to provide classes at our beautiful Mansion site. Further, the overall financial performance has even greater merit in that the full costs of the Head of Teaching (formerly subsidised by the French Government) are now fully met within the existing budget. The Board advanced its consideration for a second site for AFM, completing a more detailed market study, identifying the optimal areas for location of a second site, and began negotiations for two (2) different sites. However after consideration of a range of factors, the Board decided not to commit to either site, instead opting to further examine other options. As the establishment of a second site will require an important investment of people’s time and initial financial support, a cautious approach is considered appropriate. The balance sheet remains very solid, with a significant improvement in our overall cash position, some 50% up from last year. Part of these funds is intended to support the establishment of the second site for AFM. For the budget of 2013, AFM management has again assumed only a cautious rise in tuition revenue reflecting both local and national trends in AF enrolments. For the year ahead, the budget is intended to support the following key initiatives: • Further equipment for the existing classrooms • Ongoing efforts on marketing and communications • A balanced budget • A reduction in the reliance on revenue from the French Film Festival that continues to underpin the financial performance of AFM overall • the potential trialling and implementation of a second site for AFM Under the direction of our Director, Saliha Lefèvre, and our Administration Manager, Penny Matthews, AFM continues to improve its financial performance each year, thus ensuring it has the funds to pursue its prime mission of promoting the French language and culture. I also would like to thank the other members of the finance sub-committee, Robin Brett and Katherine Wynn, for their active contributions. Finally, I acknowledge the excellent work of the whole AFM team, led by Saliha Lefèvre, as well as Françoise Libotte and Penny Matthews, and all other AFM staff.

ASSOCIATION OF ALLIANCE FRANCAISE OF VICTORIA ABN 91005140385 DIRECTORS' REPORT Company objectives The Association of Alliance Française of Victoria exists to encourage and promote active, open connections between people in Victoria and the French language and culture. This objective is achieved by providing: • • •

French language classes at a range of levels for all ages; Opportunities to become engaged in the many different aspects of French culture including art, books, poetry, film, history, gastronomy, contemporary affairs, thoughts and ideas; and A venue for friends of the French language and culture to come together in an apolitical, nonreligious and welcoming environment.

Principal activities The principal activity of the company during the year was operation of a French language school and operation of associated cultural activities. No significant change in the nature of these activities occurred during the year.

Company performance •

Each year a financial budget is set to ensure our financial and other resources are appropriately allocated, and that the Association of Alliance Francaise of Victoria remains a viable and wellgoverned not-for-profit organization. Details regarding our achievement against these objectives are included in the balance of this Annual Report.

After balance date events No matters or circumstances have arisen since the end of the financial year which significantly affected or may significantly affect the operations of the company, the results of those operations, or the state of affairs of the company in future financial years.

Likely developments The company expects to maintain the present status and level of operations.

ASSOCIATION OF ALLIANCE FRANCAISE OF VICTORIA ABN 91005140385 NOTES TO FINANCIAL STATEMENTS FOR THE YEAR ENDED 31 DECEMBER 2012 NOTE 1: STATEMENT OF SIGNIFICANT ACCOUNTING POLICIES The financial report is a general purpose financial report that has been prepared in accordance with Australian Accounting Standards - Reduced Disclosure Requirements, Interpretations and other authoritative pronouncements of the Australian Accounting Standards Board and the Corporations Act 2001. The financial report was approved by the directors as at the date of the directors' report. The financial report is for the entity Association of Alliance Francaise of Victoria as an individual entity. Association of Alliance Francaise of Victoria is a company limited by guarantee, incorporated and domiciled in Australia. Association of Alliance Francaise of Victoria is a not-for-profit entity for the purpose of preparing the financial statements. The following is a summary of the material accounting policies adopted by the company in the preparation and presentation of the financial report. The accounting policies have been consistently applied, unless otherwise stated.

(a) Basis of preparation of the financial report Historical Cost Convention The financial report has been prepared under the historical cost convention, as modified by revaluations to fair value for certain classes of assets as described in the accounting policies.

(b) Revenue Revenue from sale of goods is recognised upon the delivery of goods to customers. Revenue from the rendering of services is recognised upon the delivery of the service to the customers. Interest revenue is recognised when it becomes receivable on a proportional basis taking in to account the interest rates applicable to the financial assets. All revenue is stated net of the amount of goods and services tax (GST).

(c) Inventories Inventories are measured at the lower of cost and net realisable value.

(d) Financial instruments Classification The company classifies its financial assets into the following categories: financial assets at fair value through profit and loss, loans and receivables, held-to-maturity investments, and available-for-sale financial assets. The classification depends on the purpose for which the investments were acquired. Management determines the classification of its investments at initial recognition.

Financial liabilities Financial liabilities include trade payables, other creditors and loans from third parties. Non-derivative financial liabilities are recognised at amortised cost, comprising original debt less principal payments and amortisation. Financial liabilities are classified as current liabilities unless the group has an unconditional right to defer settlement of the liability for at least twelve months after the reporting period.

(e) Property, plant and equipment Each class of property, plant and equipment is carried at cost or fair value less, where applicable, any accumulated depreciation. Property Freehold land and buildings are measured at fair value. At each balance date the carrying amount of each asset is reviewed to ensure that it does not differ materially from the asset's fair value at reporting date. Where necessary, the asset is revalued to reflect its fair value. Increases in the carrying amounts arising on revaluation of land and buildings are credited to other reserves in equity. To the extent that the increase reverses a decrease previously recognised in statement of comprehensive income, the increase is first recognised in statement of comprehensive income. Decreases that reverse previous increases of the same asset are first charged against revaluation reserves directly in equity to the extent of the remaining reserve attributable to the asset; all other decreases are charged to the statement of comprehensive income. Plant and equipment Plant and equipment is measured on the cost basis. The carrying amount of plant and equipment is reviewed annually by directors to ensure it is not in excess of the recoverable amount from those assets. The recoverable amount is assessed by comparison to the deemed depreciable replacement cost. Depreciation The depreciable amount of all fixed assets are depreciated over their estimated useful lives commencing from the time the asset is held ready for use. Assets subject to annual depreciation or amortisation are reviewed for impairment whenever events or circumstances arise that indicate that the carrying amount of the asset may be impaired. An impairment loss is recognised where the carrying amount of the asset exceeds its recoverable amount. The recoverable amount of an asset is defined as the higher of its fair value less costs to sell and value in use.

(g) Employee benefits (i) Short-term employee benefit obligations Liabilities arising in respect of wages and salaries, annual leave and any other employee benefits expected to be settled within twelve months of the reporting date are measured at their nominal amounts based on remuneration rates which are expected to be paid when the liability is settled. The expected cost of short-term employee benefits in the form of compensated absences such as annual leave is recognised in the provision for employee benefits. All other short-term employee benefit obligations are presented as payables. (ii) Long-term employee benefit obligations Liabilities arising in respect of long service leave and annual leave which is not expected to be settled within twelve months of the reporting date are measured at the present value of the estimated future cash outflow to be made in respect of services provided by employees up to the reporting date. Employee benefit obligations are presented as current liabilities in the balance sheet if the entity does not have an unconditional right to defer settlement for at least twelve months after the reporting date, regardless of when the actual settlement is expected to occur.

(h) Comparatives Where necessary, comparative information has been reclassified and repositioned for consistency with current year disclosures.

(i) Income tax No provision for income tax has been raised as the entity is exempt from income tax under Div 50 of the Income Tax Assessment Act 1997.

We have audited the accompanying financial report of Association of Alliance Francaise of Victoria, which comprises the statement of financial position as at 31 December 2012, the statement of comprehensive income, statement of changes in equity and statement of cash flows for the year then ended, notes comprising a summary of significant accounting policies and other explanatory information, and the directors' declaration. Directors' Responsibility for the Financial Report The directors of the company are responsible for the preparation of the financial report that gives a true and fair view in accordance with Australian Accounting Standards and the Corporations Act 2001 and for such internal control as the directors determine is necessary to enable the preparation of the financial report that gives a true and fair view and is free from material misstatement, whether due to fraud or error. In Note 1, the directors also state, in accordance with Accounting Standard AASB 101 Presentation of Financial Statements, that the financial statements comply with International Financial Reporting Standards. Auditor's Responsibility Our responsibility is to express an opinion on the financial report based on our audit. We conducted our audit in accordance with Australian Auditing Standards. Those standards require that we comply with relevant ethical requirements relating to audit engagements and plan and perform the audit to obtain reasonable assurance about whether the financial report is free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial report. The procedures selected depend on the auditor's judgement, including the assessment of the risks of material misstatement in the financial report, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the company's preparation of the financial report that gives a true and fair view in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the company's internal control. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of accounting estimates made by the directors, as well as evaluating the overall presentation of the financial report. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.
