It’s an overused metaphor, I know, but the outlook for the used-truck market this year really is a mixed bag based on the conversations I’ve had of late with a variety of folks. Carl Heikel, for one, thinks 2010 is going to be a good year for used trucks. As the president and CEO of Arrow Truck Sales, Heikel believes demand is going to be up for used models, in part because of the addition of costly emissions control technology for new trucks. Yet he also sees a lot of new cusWill new emissions tomers coming in the door as well, essmall and medium-sized fleets pecially technology spur that haven’t bought used trucks before used-truck sales? but are considering it because of the lower price and because financing is easier to obtain for used vehicles. “This is going to give us the opportunity to show off what we can do for a new buyer who’s not been in this market before,” he told me. Pricing for used trucks is beginning to stabilize as well. My good friend Terry Williams, editor of Penton’s Truck Blue Book, told me we’ll be moving away from the double-digit percentage price swings of 2009 back to reasonable single-digit shifts, a very welcome change for this market. That being said, though, the year ahead promises some rocky going. “We seem to be exiting the Great Recession, but it’s not clear yet if that exit is leading to more demand for freight,” said Eric Starks, president of research firm FTR Associates. It all adds up to calmer, albeit still stormy, economic waters to navigate in 2010 for those in the used-truck market.. AT

Isuzu offering new warranty I suzu Commercial Truck of America is now offering a new limited powertrain warranty on used Class 3-5 trucks, which includes roadside assistance and free oil change. Three options are available: 3 months/10,000 mi.; 6 months/20,000 mi.; or 12 months/30,000 mi. The warranty is for 2002 and newer vehicles and is an enhancement of its Gold Star Warranty Program for Isuzu-built N-Series and Chevrolet/ GMC W-Series used vehicles. According to Shaun Skinner, executive vp & gm, the offer is being made because Isuzu has found that the average trade-in cycle of its Class 3-5 trucks was at about six and one-half years, with many of the vehicles having fewer than 170,000 mi. on their diesel engines and less than 100,000 mi. on the gas versions. “We consider this to be low mile-

hevron’s new Delo 400 LE SAE 10W-30 oil exhibited fuel economy improvements over 15W-40 heavy-duty CJ-4 oils, and also performed well in durability testing on engines from several manufacturers, the company said. The low-viscosity 10W-30 showed a 1% fuel economy improvement over 15W-40 grade diesel oils and a 0.5% improvement over 5W-40 grade synthetic lubricants, Chevron said, in announcing the results of its testing. The company said that durability was not compromised. Testing the oil on a number of engine platforms, including the Detroit Diesel DD15, Cummins ISX, Mack MP7 and DAF 12.9 liter, Chevron said the results indicate wear levels and oil drain intervals that “fleets have come to expect from the leading 15W40 motor oils.” The 10W-30 was also tested on 2010 engines from Volvo and showed similar durability and fuel economy results, according to the company. www.chevrondelo.com

SmartWay regs now in effect
N
ew trailer regulations set forth by the California Air Resources Board (CARB) are now in effect for any 2011 model-year 53-ft. or longer dry, refrigerated or curtainside van trailers operating inside California. The new regulations stipulate that any trailer pulled by a he av yduty tractor on a highway in California must be SmartWaycertified or retrofitted with equipment meeting SmartWay technical requirements and specifications for fuel-efficient trailers. SmartWay requirements for 53 ft. or longer box-type trailers include low-rolling resistance tires that provide a 3% fuel economy benefit relative to midrange rolling resistance tires. Also required are trailer side fairings and front-mounted gap fairings or trailer rearmounted fairings or boat tails. The new trailer requirement is part of a state climate action plan approved by CARB in late 2008. That plan, which seeks to reduce state greenhouse gas emissions to 1990 levels by 2020, includes the Heavy-Duty Greenhouse Gas Emission Reduction rule. Based on the U.S. Environmental Protection Agency SmartWay Transport Partnership program, the truck rule requires the use of technologies that improve the efficiency of heavy-duty tractors and trailers operating in California. www.smartway.com

Your hidden worth R ussell A. Daniel, senior manager for Grant Thornton LLP specializing in transportation issues, sat down with American Truckerr to discuss a complicated issue facing many transportation-related companies: Which corporation status is right for your company? Companies usually choose either C corporation or S corporation status. The difference is all in the tax benefits, both now and in the future. Daniel shared his thoughts on the decision and why recent changes in tax law make S corporation status a good choice for many companies. Q: What’s the difference between an S corporation and a C corporation? A: An S corporation is generally subject to just one level of tax. If your company made $500,000 in 2005, your C corporation paid roughly $200,000 in federal and state taxes. An S corporation instead paid no income taxes and distributed $200,000 to its shareholders, who then paid the taxes and reported the $500,000 of income on their Form 1040 for 2005. The benefit comes when you take a dividend or sell the company. The $300,000 of leftover profits will be taxed as a dividend if paid out by a C corporation, but is tax-free coming out of an S corporation. Even with the dividend federal tax rate at 15%, that’s $45,000 of savings—or almost 10% of your annual profit. Q: What are the long-term impacts of the decision? A: Let’s step forward to 2017, when you are ready to retire. Your company has grown in value from $5 million in 2005 to $10 million in 2017, and you have identified a larger company that would love to buy you out. The buyer is going to want to purchase

your assets so that they can depreciate or amortize all of the equipment and goodwill they’re buying from you for tax purposes. If you’re a C corporation, you’re looking at taking home about $5.1 million of cash after paying the government $4.9 million—and that’s assuming that federal capital gains rates are still at 15%. Had you made the S election, your tax bill would likely be much lower. That same $10 million could yield $7 million or more after tax, due to the single level of tax on the whole transaction, plus some potential reduction in tax rates. Q: Are there other benefits to an S corporation? A: Other benefits of an S election include the ability to retire earlier. It’s easier to pass the business on to the next generation; greater flexibility in estate planning; and other income tax planning opportunities. Q: There must be some negatives to being an S corporation. What are they? A: The biggest “cost” of becoming an S corporation is the “built-in gains” (BIG) tax. This tax prevents you from making an S corporation election and then selling your business tomorrow for all of the benefits noted above. For ten years, should you sell property that you owned when you made your S election, you

will pay some tax on those sales as if you were still a C corporation, with numerous exceptions. Once ten years pass, this tax is gone and you’re home free. And during the ten-year window, there are a number of ways to plan around this issue. The benefits that are foregone are simply too large. There are other downsides to an S election, and you should consult your tax advisor for details. Q: How do I become an S corporation? A: Generally, S corporations are limited to 100 shareholders, with a number of exceptions. It cannot have as a shareholder a nonresident alien, a C corporation, or a partnership. The corporation cannot generally have preferred stock outstanding. Finally, S corporations have very limited ability to use fiscal years, and most follow the calendar year. Q: Is switching status difficult? A: The election process is relatively benign—all shareholders must sign an election form that must be submitted to the government by March 15 of the first desired S corporation year. Trustees and other fiduciaries must also consent to the election. In the transportation industry, the benefits usually outweigh the costs by a wide margin, and you don’t want to be the last of your peer group to make the election. Q: What if the tax rates change? A: Future increases or other changes in tax rates could change the calculations of tax burdens for some comparable S corporations and C corporations. However, our models and projections still project significant tax savings when you sell the business, and you’ll still save money currently if you’re paying dividends.

passed the Occupational Safety and ct in the early 1970s, the goal was to r American workers. Eventually, the OSH Act led to standards for specific industries that were considered particularly hazardous. The practice of servicing “split rims” had caused a number of serious and fatal accidents, so the Occupational All techs should be Safety and Health Ad m i n t r at i on trained to safely (OSHA)i screated a standard for the tire service tires industry that would establish safety procedures for all workers who handled these assemblies. I’ve spent the better part of my 27-year career training truck tire technicians, so I’ve become intimately familiar with OSHA Standard 29 CFR 1910.177. In fact, I often find myself offering interpretations of the standard. One area that seems to be particularly popular is training. The standard specifically states that any employee who “services” a truck tire must be trained to recognize the hazards and follow the safety procedures outlined in the regulation. Since the OSHA definition of service includes demounting, mounting, inflating, deflating, installing, removing and handling, any employee who performs even one of those acts must be trained. For some reason, too many fleets believe the rule only applies to tire dealers. And the confusion only grows when they find out that the mechanics who install and remove truck tires to work on the brakes, front end or suspension must still be trained to demount and mount tires even though they’ve never used a tire iron. But OSHA clearly states who must be trained and what the training

must cover, so interpretation shouldn’t be needed. There is another section of the standard that is left open to interpretation, however, and fleets will get a variety of answers when faced with this question: “Is torque required by OSHA?” First of all, I need to make it clear that the word torque does not appear anywhere in 1910.177 nor are there any guidelines for the installation and removal of truck tire and wheel assemblies. On the other hand, the standard does mention a rim manual that contains the maintenance and safety procedures for the type of wheel/rim being serviced. The training requirements state that the training must cover the information contained in the rim manual. I’ve always been one to err on the side of caution, so I say that since 1910.177 requires technicians to follow the procedures outlined in the rim manual, then torque is required by OSHA because every rim manual includes the installation torque. Again, it’s just my opinion, but I’ve been involved in enough OSHA investigations and lawsuits to know that OSHA investigators and plaintiffs’ attorneys are known for making broad interpretations of regulations and industry guidelines. Wheel-off accidents continue to claim the lives of motorists. Even though the statistical average remains a minute fraction of the total truck tire and wheel population, the level of devastation that occurs when a 200-lb. tire assembly strikes an oncoming vehicle is guaranteed to receive ample media coverage. Fortunately, the industry has been spared any major investigative reports on truck tire and wheel installation. Let’s hope the industry does something about it before the cameras start rolling.

It’s going to be an up-and-down year for used trucks as economy, freight volumes take their toll
T
here’s nothing old about the used-truck market these days. In 2010, buyers and sellers will be operating across a landscape shaped by the slow economic recovery, a freight market still down in the proverbial dumps, and stringent emissions regulations that will make new trucks pricier than ever before. The upshot of those disparate factors for 2010 will be at best mixed, especially where sales and values of used trucks are concerned. Some believe they will create a far more positive environment for sales than last year, as fleets across the trucking spectrum may seek to expand and/or replace their own aging stock with less costly used trucks. However, others think a still-rocky economic environment coupled with lackluster freight and construction demand may convince a big slice of potential used-truck buyers to keep their hands in their pockets and their cash in their wallets.
WHERE’S THE TURNAROUND? “Sales of used trucks really didn’t turn around in the second half of 2009 like we expected them to,” notes Terry Williams, editor of Penton’s Truck Blue Book. “We’re basically at the bottom of the market cycle. The question is how long we’re going to be stuck there. Usedtruck inventory is still building and there are literally thousands of trucks out there parked, just sitting

One thing most dealers, sellers and buyers of used trucks agree on is that the market continues to be very cyclical in nature, regularly encountering downturns and upswings. So many are taking a philosophical view of current conditions, hoping the depressed levels of usedtruck sales over the past year indicate better days are ahead. “This is a cyclical industry and always has been,” notes Kyle Treadway, chairman of the American Truck Dealers Assn. and president of West Valley City, UT-based deal-

RECOVERY PERIOD “With new-truck sales down, used-truck sales are really what’s going to lead us out of the darkness as the economy recovers,” notes Marty Crawford, president of the Used Truck Assn. (UTA) and a sales representative with the Atlanta, GA, branch of Arrow Truck Sales. Yet Treadway says the challenge is going to be sustaining used-truck sales if new-truck sales remain sluggish. “What’s in demand in the used market right now is late-model, low-mileage, aerodynamic-style trucks,” he says. “But we’re setting ourselves up for a shortage of those very in alignment the next sales cycle if Poorunits vehicle wecan don’t have new trucks reduce tireenough life. being sold.” Research firm FTR Associates,

for one, expects Class 8 production to finish the year 47% below 2008 levels, with 2010 production anticipated to be about 30% below 2008 levels. “There are a couple of major things going on—basically no freight coupled with excess capacity,” explains Eric Starks, FTR’s president. “That’s just a huge problem to deal with, even with the economy starting to turn around. On top of that, you’ve got the higher costs for 2010 emissions technology. That means new Class 8 truck sales are not looking good.” FTR lowered its projection for new Class 8 sales in 2010 from 151,000 units down to 133,000 units, a 12% cut, as demand for truck freight remains weak. “We also still have a lot of idle and underused equipment out there, so while it may be old in terms of years, its useful life is still quite high,” Starks adds. “From where I sit, we think there’s at least a year or two worth of useful life

left in much of that underused capacity out there, so there won’t be this pressure to go out and replace it with new units.” With past freight market cycles, he says, you could look at the age profile of the equipment and get a good reading on when it needed to be replaced. “Now, at least in the short term, you must throw that gauge out the window,” Starks explains. “It’s all about the useful life of equipment, and for the most part, much of what is out there is still relatively young from that perspective.” He also notes that much of the weakness in Class 8 sales is going to be in the tractor market, across all sectors—private and for-hire— while sales of heavy straight truck configurations, such as dump trucks and concrete mixers, could fare relatively well. “If we see some stimulus money work its way into the construction market, we could see an uptick in dump and concrete mixer sales,” Starks says.

cover story Still, he doesn’t see that happening anytime soon. “It will take a substantial improvement in freight demand to soak up the current significant fleet equipment surplus,” he says. “In our view, improvement is sufficient enough to drive new equipment purchases but that will not occur until 2011.”
GLIMMERS IN THE GLOOM All that being said, Starks thinks there are better prospects for the used market in 2010 compared to new trucks. “While it is still a pretty diffi cult environment for used trucks, there’s at least some life in that market,” he says. “There’s still a fair amount of inventory out there but as prices firm, this market could get some legs, largely because new trucks are going to cost so much more in 2010.” With the average sticker price of 2010 emissions-compliant Class 8 tractors jumping anywhere from $6,000 to $10,000 per unit, more shoppers, at least those with money to spend, are turning their attention to the used market. As Arrow’s Heikel notes, that bigger gap between used- and newtruck pricing in 2010 is bringing new customers into the used market, customers Heikel hopes to hang on to when the economy rebounds. “There’s significantly lower pricing in the used-truck market now, there’s more availability of financing, and that’s offering fleets a way to improve the average age of their equipment without too much cost,” he explains. That view dovetails with the overall truck-market analysis conducted by ACT Research back in October 2009. “Right now, the overall supply of trucks and freight demand is still not in equilibrium,

elcome to 2010. This is not just any new year, it’s a year plagued with challenges g for trucking. But as we look at what obstacles lie ahead, we must face some stark realities. The trucking industry as a whole faces an unprecedented overabundance of trucks compared to available freight, and hauling rates have collapsed as a result. Banks and financial institutions have been reluctant to foreclose on delinquent companies, thereby fueling this overabundance of equipment. In many cases, failing fleets are allowed to stay in business, creating a scenario where companies lacking cash to expand— and with no equity to leverage equipment purchases—are constantly on the brink of collapse. According to FTR Associates’ “2010 Economic Outlook for Trucking,” we are going to see only modest gross domestic product growth this year, and consumption growth will be much slower than most of us have ever experienced in our lifetimes. The one bright spot in the re-

Overall growth through 2012 is forecast to be historically slow, hovering between 2.8 and 3%. Hauling rate recovery will begin this year, but won’t reach pre-recession levels until 2012. We won’t see 2005’06 levels until 2014. Admittedly, this is not the most optimistic outlook, but realistic in every sense of the word. Obviously, it’s not going to be business as usual. But in order to see the beaming light at the end of the doom and gloom tunnel, you must realize this outlook is for the entire industry, not necessarily your company. The message here is don’t follow the crowd. Now is the time to develop or expand your current niche. It’s the time to look at your world with a much sharper focus on what works. In almost any community where

the economy is in the doldrums, you can find thriving enterprises. Why? Because even in the worst of times, certain products p and services are staples of modern society. The idea here is to identify those needs and develop a niche that fills the hole better than any other business does. Once you’ve established what your niche is and how to expand it, you must get the word out to potential customers. This means using cold-call sales, mail and/or email, or utilizing load boards and brokers to expand your marketing reach. In order to move away from the crowd, you need to do something the vast majority of small carriers don’t do— market your brand. The more people who know your company and what it is you do, the more potential you have to reach new markets. It amazes me how many trucking companies don’t take advantage of the large marketing space available on practically every piece of equipment they own. ner. You can use it to provide information about your company and its services. The same branding can be done byy creatingg a uniform look to your operation. I remember one company that handled the delivery of women’s western-style clothing to stores. The drivers all wore pink westernstyle shirts, black slacks and a black baseball cap with the trucking company’s logo, making them, as well as their company, easily identifiable. Make sure you carry your branding throughout your entire operation. If you have equipment sitting idle because of the lack of freight, rather than having it sit empty on a storage lot, put it to work generating revenue as a billboard, temporary storage or both. You can provide ad space for other enterprises to advertise their products or services, or you can contract to have paid ads placed on your rolling stock for your current hauling customers. You now have a revenue stream that pays you regardless of whether you have freight in your trailer or not.

You need to bee inventive in the new economy an nd come up with different ways to develop revenue streams. How can n you y put p all your y current assets to work generating that needed cash flow? Consider the warehouse that remains partially or completely empty. If you sold it now, you probably couldn’t get fair market value because of the drop in property values, let alone what you may owe on a mortgage. Find other ways you can put it to work generating revenue. Look at the assets you have and figure out a different way to utilize them that will generate cash flow. The economy may be down, but that doesn’t mean it has to apply to your operation. Some of today’s strongest and largest carriers grew from the ashes of the 1982 downturn. These companies didn’t follow the crowd; they were always thinking on their feet, developing new ideas which spawned new markets, or new ways to service an existing market. Your trucking company is only limited by your imagination. AT

arket forces dictate price, not individual customers. This is why large carriers set their hauling rates. The small operation must do the same to be successful. To do this, it’s necessary to know what it costs to operate and then base the company’s rates on those costs. Three aspects determine what a hauling rate needs to be: 1. The break-even point of each piece of equipment used and the overall break-even point of the company. 2. The required capital (cash) needed to financially sustain the company and the future capital necessary to grow. 3. An accurate understanding of the total demand for type of service for the entire market (supply and demand), along with the percentage of the market the company is capable of hauling. By following these basic steps, you can set your company up for success in 2010, regardless of what customers, or your competition, do and say. Without an understanding of what it takes to make money, you become dependent on what customers want to pay. The company that allows customers to determine rates is on the road to failure.
