5 years ago, we held our first ever tradeshow at the Apartment Association of Orange County. To put that in perspective, Dirty Harry was in theaters, Joe Frazier defeated

Muhammad Ali at Madison Square Garden, Nixon was President and Roberto Clemente was the World Series MVP. And no, I wasn’t born yet. A lot has changed in our industry since our first tradeshow and yet we have maintained our relevance and worth to our members and the community by evolving to stay current with the times and true to our values. If anything, our purpose has

become more apparent and more important than ever in our current political and legislative climate. That is, private property rights have diminished significantly since 1971 as rent control is now a reality in some markets and the threat of a potential split roll tax is constantly lurking in the shadows. As technology has evolved, so too has our platform and our ability to communicate with legislators, policymakers, lobbyists

And in planning for our tradeshow each year, we start out with one goal: to build on the previous year’s success. That is, to somehow attract more vendors and more members while offering the most valuable information and training in the hopes that we shatter our attendance records and, in the process, set the standard for our industry and our region. As a result, our tradeshow is regarded by many vendors and industry professionals as the best tradeshow around. Smock/Kingston — continued from page 8 It is loaded with specific time lines for particular steps to be taken in the process from suspicion to verification to eradication. Among its provocative features is a mandate to employ a pesticide eradication specialist (PCO) upon the mere suspicion of bed bugs being the cause of a tenants’ reported insect bite. That’s an expense that could be replicated multiple times without limitation. Also, the measure requires owners to distribute within one year of enactment to every tenant in California an informative brochure describing the nasty little creatures and their proclivities. That’s a huge expense to be borne by owners. All in all, the bill is an incubator for new litigation issues and is opposed by AAOC and other real property interests. Water. The predictable range of legislation affecting water use in rental housing is uncertain. At least three measures are in play now, with more

very likely on the horizon. SB 7, a comprehensive measure dealing with water submeters in rental housing, remains on the Assembly File pending its possible reconsideration following last year’s narrow defeat. AB 723, dealing with notices regarding required plumbing retrofits, is a carryover measure pending in the Senate. And a newcomer for this year is SB 814, dealing with imposition of penalties for excessive water use by residential customers. Several organizations active in the water world are rumored to have other proposals under consideration that very likely will end up in the legislative hopper. Ellis Act. The effort to add additional burdens to make it more difficult to go out of business in rent-controlled communities will likely continue unabated, notwithstanding the defeat of last year’s SB 364, which was not taken up this year. Costa-Hawkins Act. The landmark protection afforded by this Act for new

construction is threatened by various proposals on the drawing board to limit its effectiveness. Inclusionary Housing. Requiring a set-aside for low income housing in new construction is very much in the news. AB 1229 (2013) sought to allow local governments to impose belowmarket low income housing set-asides in new residential development projects and nullify the landmark Palmer decision that successfully challenged the efforts of the City of Los Angeles to impose these adverse conditions. The bill was vetoed by the Governor with the caveat of noting that he “would like the benefit of the Supreme Court’s thinking before we make legislative adjustments in this area.” The California Supreme Court had at that time a pending case from San Jose dealing with a challenge to the city’s required on-site below-market set-asides for low-income persons in for-sale residential developments. In essence, the California Court ruled in the city’s

favor and the matter is now pending a request for certiorari review in the United States Supreme Court. Section 8 Vouchers. The federal Section 8 voucher housing program provides financial assistance to qualified low-income tenants through a voluntary contract mechanism that provides direct payment to owners of a portion of the rental obligation. It is under assault from tenant groups who have expressed their intent to sponsor legislation requiring rental property owners to accept Section 8 vouchers. Unlawful Detainer. Several ideas are under consideration for curbing the increased costs occasioned by lengthy court delays and meritless claims and defenses. Demands for jury trials and other concessions are no longer the exception to what is supposed to be an expedient process. Miscellaneous. The list goes on and on as to other items that might emerge in the coming days of this legislative session. The foregoing are just a few that have been singled out to alert the association members of the tough road ahead in a very regulated environment. Not to be overlooked in this regard is the increased activity of several administrative agencies of government that are considering a variety of rules or standards that may affect the rental housing industry. Your lobby team is alert to these developments as well and will continue to represent the Association and its membership in pursuit of providing reasonable housing accommodations for tenants.

O

ne of my residents wants to replace his roommate with another. Seems he has already done this, and is just now getting around to asking for my permission. I don’t really mind, the last roommate was a bit of a flake. If I want to allow this, what is the best way?

There are several possibilities, but they depend on the type of rental agreement you currently have, and who the parties are. If your original tenant is the only party to the lease, then you have two possibilities. The first would be to leave the rental agreement intact, respond in writing to your tenants ‘request for permission’ to sublet by granting permission to sublet to this specific person, and no others. This keeps the

original rental agreement intact, without altering any terms. It keeps the tenant in a superior position over his subtenant thereby allowing him a remedy to remove him if the subtenancy doesn’t work out, without bothering you. The second method would be to enter into a new rental agreement, listing both tenants on the agreement as authorized occupants, making them jointly and severally liable to perform. This is generally a cleaner method for you, keeps it simple, but it elevates the new roommate to the same position as your original tenant, making them equal. If the original lease included the former roommate, then ideally, you will request and receive a written notice from the former roommate stating that they have moved out of the unit, and that they are

relinquishing their right to the security deposit. Do not just ‘alter’ the original agreement by just adding the new roommates name. Any alteration to a contract that is not signed and acknowledged by all parties may void that agreement.

Q&A — continued from page 12 between lately. We’ve agreed on just about all of the deal points except a couple. At the last minute the tenant requested the lease be prepared with a subsidiary of his company rather than the parent company, saying it is for ‘tax reasons.’ Additionally, he wants to make the use provision extremely broad rather than specific allowing him to do just about anything in the premises without having to get my permission. He knows I need to lease the space, but I’m not sure I want to give in on these points, what are my options?

Negotiating commercial leases involves a bit of horse trading. Often, terms that are very important to your tenant may not be so important to you, and vice versa. Knowing the pros and cons of each deal point allow you to knowingly accept or reject certain risks when considering certain requests. Generally, parties meet somewhere in the middle

of a request, allowing certain concessions, but protecting the interests of the Lessor. The tenant’s last minute request to substitute a subsidiary in its stead is an attempt to shift the risk away from the financially stable parent company, and obligate a less financially qualified entity, often times a mere shell, with relatively few assets. Screen the proposed replacement tenant as you would any proposed tenant to determine if it meets your rental criteria. Is it an existing concern or a new entity recently formed solely for the purpose of signing this lease? Is it an independent business concern, generating its own revenue stream? Does it have assets of its own? Or is it merely a subsidiary of the parent with no independent means of sustainability. There are many options to offer that would allow the tenant to satisfy his ‘tax reason’ while still protecting the Lessor’s interests. You may allow the replacement tenant, but require the parent company to guaranty the lease. The Guaranty can

range from an unconditional full term guaranty to a limited guaranty based either on a certain period of time, or a certain maximum exposure. An increased security deposit adds protection as well. Options such as an irrevocable declining letter of credit issued by a reputable financial institution allow parties to salvage deals that might otherwise fail. Use provisions are important for a number of reasons. It is important that the tenant’s use does not overburden the facility, or interfere with the neighbors. Certain unacceptable tenant uses may involve high levels of noise, or the use of corrosive or carcinogenic materials, or other toxic byproducts. As your facility is an industrial complex, parking is no doubt limited. It is important that the approved uses do not overburden the limited available parking. Rather than approving a very broad undefined use, it is better to identify the allowed use, but allow the tenant to request approval for a change of use in the event its

Transforming the Multifamily Laundry Room Experience with Technology

I sold one of my apartment buildings and did a 1031 exchange into a single tenant commercial building. The tenant has been there several years and has a pretty sweetheart lease. The base rent is way under market, and he has a couple of options to renew that pretty much keeps him under market for the next ten years. Even though the lease requires the tenant to maintain the property, it looks like hell, not painted, not maintained, kind of a dump. By the way, he also seems to like paying his rent late, just got last month’s rent yesterday, three weeks late! What can I do?

A building’s value, to a large extent, will depend on the value of the lease in place. Certainly the price you paid for the building was influenced by the under market lease and the poor condition of the building. The two options to renew at less than market rents would have negatively impacted the price you were willing to pay as well. By allowing the building to fall into disrepair, and by paying the rent three weeks late, your tenant has provided you with an opportunity to substantially increase the value of your investment. Certain defaults, if uncured, will allow you to take legal steps to terminate the existing lease, and along with terminating the current lease, all options to renew would become ineffective. Go through the lease terms carefully, identify which terms are being violated by the tenant. Review the requirements for exercising the tenant’s right to extend. Most options require that the tenant not be in default when exercising an option. Further, most leases will cancel a tenant’s right to extend if the tenant has been served with three separate notices of default during the preceding term, even if the defaults were actually cured. Additionally, if a notice to cure a breach is served upon the tenant, and the tenant fails to cure during the relevant cure

Quite often, after the filing of suit, the parties may wish to negotiate a settlement and allow the tenant to remain in possession. As part of the negotiated agreement, the landlord will want to redraft the lease agreement in a more favorable light, and either eliminate the options to renew, or change them in such a way that would be acceptable to the landlord. A tenant, failing to cure a notice of breach, has very little negotiating power when faced with the likelihood of being evicted from the premises.

With all of the foreclosures a few years back, I’ve had several applicants with a foreclosure on their credit record. Is this something I should be concerned with when qualifying?

Proper tenant screening involves looking at past credit history, tenancy history and determining the prospect’s ability to perform under the terms of the proposed lease agreement. A foreclosure on a prospective tenant’s credit report isn’t necessarily an automatic reason for denial. Many individuals purchased property in the early 2000s when money was cheap, and loans were made to folks that clearly were not qualified to maintain and own real property. If the prospect handled the rest of his credit well, no other delinquencies, no collection accounts, and no evictions, and he has sufficient net income to pay the rent, then he might make a very good long-term tenant, he certainly won’t be buying any time soon. If on the other hand, he has a pattern of delinquencies, several consumer collection accounts, and non-verifiable income, then keep looking.

Federal Focus — The NAA Connection BY GR EG BROWN

Capitol Conference Advocacy Hits Critical Apartment Concerns

O

n March 8 and 9 NAA will host its annual Capitol Conference and bring before Congress some of our most important issues. I say some because there are of course many, many concerns about which we would love to bend a Representative or Senator’s ear. To really be effective, however, we have to hone in on a couple of topics. This year those issues are reform of the Section 8 program, enabling a right-to-cure period for alleged violations of the Americans with Disabilities Act (ADA) and reform and reauthorization of the National Flood Insurance Program (NFIP). Here is how we arrived at this particular list and why you should care. Selecting issues for Lobby Day is complicated. First, you must identify topics that are of actual concern to the industry. Second, it’s preferable for the issues to come with a specific “ask” or request to take action. “You should support apartment housing” is great but “You should support apartment housing by sponsoring this legislation” is better. It gives Members of Congress a specific action and allows us to track whether or not they agreed to our request. Finally, speaking to issues that are moving in Congress makes us timely and more likely to be on the radar. All three of the 2016 Capitol Conference issues hit close to home for a significant portion of NAA members. For example, many members interact with the Section 8 program in some

way, either by choice or by local mandate. The program, while critical to affordable housing, can be extremely burdensome for owners and reform is something on which the apartment industry has been working for over a decade. There is bipartisan legislation on the table that mitigates some of these burdens. The House of Representatives has already passed the bill with NAA’s support. We need to thank them and prod the Senate to take action. This benefits owners who participate in Section 8 now and in the future. Compliance with the ADA is a central part of everyone apartment owner’s regulatory life. As our members strive to create and maintain accessible communities they encounter complex even conflicting guidance. As well, there are differing opinions on compliant design and construction standards as well as the role of proven alternative methods of achieving accessibility goals. This results in lots of litigation. A growing trend is litigation initiated purely for financial gain and not to increase accessibility. Our view is that the focus ought to be on curing design or construction defects not generating settlement fees. To that end, we support bipartisan legislation to allow for up to 120 days to cure an alleged ADA violation before litigation can be initiated. According to the National Severe Storms Laboratory, flooding causes more damage and takes more lives than any other kind of severe weather-related N E W S

event. Losses average $5 billion per year. Multifamily structures face significant, unique challenges when it comes to mitigating for flood damage. And, while most multifamily mortgages require flood insurance coverage, there is a lack of affordable, private coverage in the marketplace. As a result, the NFIP is critical to managing risk and protecting multifamily investments. The program expires in September of 2017 and is in need of reform to ensure its long-term financial viability, increase its effectiveness for multifamily owners and reduce exposure for the taxpayer. Though expiration of the NFIP is 18 months off, the Congressional calendar between now and then is not our friend. Being an election year, we essentially lose the latter half of 2016 for any real legislating. Likewise, next year a new Congress and Administration will be getting settled which also will cost at least the first few months of the year. There is bipartisan, bicameral legislation on the table right now that we need to support to keep the ball rolling on NFIP reform and reauthorization. All of the issues for the 2016 Capitol Conference have real impacts on apartment communities and there is legislation moving now to address them. Dear Fred: There are a number of things you can do to extend the life of a water heater, be it gas, electric, new or old. At least once a year, plan on flushing the tank to remove calcium deposits. First shut off the gas or breaker, let the water cool. Drain the tank and flush with a steady stream of water from the cold water inlet and let the water and debris drain from the drain valve until the water runs clear. If you have a 100 gallon or larger tank, use the clean out port to remove the calcium deposits. Removing the deposits keeps your water heater from working overtime. The more deposits in the tank, the harder the burner needs to work to keep the water hot.

Equally important is checking the “Anode Rod”. The anode rod is a long sacrificial zinc or magnesium rod that protects the metal tank from corrosion. This rod should be checked yearly and replaced every 3 to 5 years. The rod can be found at the top of the tank and is held in place by a hex bolt head. To check the rod, turn off the water supply and let the water cool. With a wrench, turn the hex bolt at the top of the tank and lift the rod out. If the rod is smooth and white in color, it is fine and can be reinserted, ready to be inspected again in a years’ time. If the rod is corroded, brown, or looks like a rusted nail or missing all together; it is time to replace it. (Actually, it is well past time to replace it.) Smear Teflon pipe thread sealant on the threads of the new rod before you install it. Don’t use tape, since it can reduce the effectiveness of the rod. Keep in mind that replacing the anode rod on a regular basis (every 3 to 5 years) could easily double the life of your water heater.

Trim any bushes or trees that stop air flow or cause too much shade in these areas. The best way to remove the mildew safely is to use a power washer with a soapy solution that contains a mildewcide. What is the procedure for filling in a pool? Rena Dear Rena: In our opinion a filled in apartment swimming pool is a good apartment swimming pool and an excellent use of dirt! First, before filling in a pool, check with your city or county, permits and procedures may differ. Drain all of the water out of the pool and pour concrete into the skimmer, main bottom drain and into any pipes leading into the pool. This will stop any water or creatures from using the pipes as a runway into the pool equipment area. If your pool is surrounded by concrete, try to save the water fill line into the pool, it can be used as a future sprinkler water line. Using a jackhammer, poke a number of holes in the bottom of the pool to help in drainage. These holes should be at least twelve inches wide and all the way through the pool bottom. Keep in mind the pool bottom can be a foot thick or more. Leave all the jackhammer debris in the bottom of the pool; it will help in future drainage. If your coping around the pool is in good condition, you can leave it, but we recommend that it be removed. The coping can easily be detached by sledge or jackhammer. Just let the coping fall into the pool it will also help in drainage. Maintenance — continued on page 24

Retirement Plan — continued from page 26 formula must be used to calculate the contribution amount for all eligible employees, including any owners. Eligible employees include those who are age 21 and older and those employed (both part time and full time) for three of the last five years. Savings Incentive Match Plan for Employees (SIMPLE). If you want a plan that encourages employees to save for retirement, a SIMPLE IRA might be appropriate for you. In order to select this plan, you must have 100 or fewer eligible employees who earned $5,000 or more in compensation in the preceding year and have no other employer-sponsored retirement plans to which contributions were made or accrued during that calendar year. There are no annual IRS fillings or complex paperwork, and employer contributions are tax deductible for your business. The plan encourages employees to save for retirement

through payroll deductions; contributions are immediately 100% vested. The maximum salary deferral limit to a SIMPLE IRA plan cannot exceed $12,500 for 2016. If an employee is age 50 or older before December 31, then an additional catch-up contribution of $3,000 is permitted. Each year the employer must decide to do either a matching contribution (the lesser of the employee’s salary deferral or 3% of the employee’s compensation) or non-matching contribution of 2% of an employee’s compensation (limited to $265,000 for 2016). All participants in the plan must be notified of the employer’s decision. Defined benefit pension plan. This type of plan helps build savings quickly. It generally produces a much larger tax-deductible contribution for your business than a defined contribution plan; however, annual employer contributions are mandatory since each participant is promised a monthly benefit at retirement age. Since this

plan is more complex to administer, the services of an enrolled actuary are required. All plan assets must be held in a pooled account, and your employees cannot direct their investments. Certain factors affect an employer’s contribution for a plan, such as current value of the plan assets, the ages of employees, date of hire, and compensation. A participating employee with a large projected benefit and only a few years until normal retirement age generates a large contribution because there is little time to accumulate the necessary value to produce the stated benefit at retirement. The maximum annual benefit at retirement is the lesser of 100% of the employee’s compensation or $210,000 per year in 2016 (indexed for inflation). 401(k) plans. ver the years, I have come to realize that numerous, popularly held misconceptions create barriers to successful wealth building through real estate. When my son, Tim, convinced me that I needed to write my own book about investing in multi-family properties, we decided to focus on those misconceptions. For every misconception or myth, there are fundamental truths that I have

learned from over 60 years of studying real estate trends and my experience as a broker, rental property owner, and past AAOC president. Myth 7-1 My kids want to inherit my property. Popular Belief: My heirs have gained an appreciation for income property ownership and want to follow in my footsteps. Bill’s Truth: Many children look at the properties that they are going to inherit as a one-time cash windfall. They do not see income property ownership as an annuity with appreciation potential, cash flow, and a means of achieving their own financial independence. William Nickerson wrote a book, How I Turned $1,000 into A Million in Real Estate. Nickerson’s plan still works. The difference is that, today, it takes a larger bankroll. A fourplex in the 1970’s could be purchased for $50,000 with $10,000 down payment versus today’s $1,000,000 price tag and $250,000 down payment requirement. The fact that property values are so much greater today underscores the importance of getting your children involved in your investments so that they have an understanding of the entire wealth-building process. If your kids sell-off their inheritance and exit the real estate game, it is unlikely that they will ever be able to regain what it took you a lifetime to achieve. I have seen family members sell at a deep discount and squander the proceeds. I can only imagine the owner turning over in his grave. Don’t let this happen to you. Cash In: Get your family excited about ownership! Consider sharing some of the cash flow and ownership responsibilities with your children.

Working with families is an important part of the focus at WR Gorman & Associates. How to Handle a Hoarding Resident BY BECKY BOWER

H

oarding is a serious mental disorder, and when your resident starts showing signs, it can be equally as hard to be understanding while keeping your resident and the rest of your local community safe. When we initially think of the mental condition, the first thing that pops into mind is the binge-worthy TV show, Hoarding: Buried Alive, where the homes of severe hoarders are sensationalized. However, not all hoarding situations are that extreme.

While having a hoarder as a resident is difficult no matter how severe the case, it’s not impossible to come to somewhat equal terms. Mike and Gera T. had a mild hoarding situation which was resolved through patience but persistence. They had been renting their duplex out to an elderly couple for 7–8 years, but Mike had noticed that as the husband had gotten into his 90’s, he had started picking up bulky items off the street and at yard sales and had shoved them

into his side yard. As time went by, his collection had started overflowing into the front yard. From what Mike and Gera assume, a city inspector was called to the duplex because of a complaint. The inspector wrote up a 30-day notice with strict fines of over $100, if the front yard was not cleared. When Mike brought the notice to the resident’s attention he initially recommended that they rent out a storage place as the husband was reluctant to let go of his bargain finds,

but after reviewing local services, the couple stated that it was simply too expensive. Within the 30-day period, Mike went almost every day to remind the husband that his items needed to be removed. Slowly but surely, things were moved around. Among many items, the lazy chairs in the front lawn were shifted around, a cooling fan appeared and then disappeared within the period, and an old water heater was carried away by Mike and the husband. As the 30-days were nearing close, Mike talked to the inspector and got an extension for his residents. Once a little over a month had passed, the bulk of the issue had been cleared and the job was approved by the inspector. The wife was so grateful to Mike and Gera’s patience, that she gave them a bottle of wine. To date, the elderly husband sits outside on one of his new wooden benches, made by Mike to replace the lazy chairs, with a few of his neighbors. According to the Mayo Clinic, hoarding ranges from mild to severe and in some cases, hoarding might not have much of an impact on a person’s life. The Director of the Bio-Behavioral Institute, Fugen Neziroglus, argues that “people hoard because they believe that an item will be useful or valuable in the future. Or they feel it has sentimental value, is unique and irreplaceable, or too big a bargain to throw away.” While the memorable images of trash piling to the walls from Hoarding: Buried Alive aren’t necessarily fictional, the severe cases of hoarding have become the stereotype for the disorder. The idea that by simply throwing away the resident’s “trash”, you can resolve the issue doesn’t help the resident and typically costs thousands of dollars. So the big question is what can you do?

Hoarding — continued from page 39 If you know of the resident’s disorder, then to protect yourself legally, you should try to accommodate to the renter’s needs. 2. Communicate If your resident’s items become a safety hazard or a problem for the rest of your local community, then first and foremost talk to your resident. If the problem continues, consider

seeking legal advice and make sure to document the entire process. 3. Reasonable Accommodation As a person with disability, your hoarding resident has the right to request a reasonable accommodation. While most hoarders don’t exercise this right, a reasonable accommodation request can help you and your resident get on the same page and work out a cleaning timeline. It also furthers your legal standpoint.

4. Final Options If the space is cleaned at the end of the process, that doesn’t mean it’ll stay that way. Make sure to schedule checkins with your resident to reinforce your previous cleanliness standards and maintain a good relationship with them. If the space is not cleaned within the time frame, consider other options. Possibly create a more realistic time frame with your resident. Due to the cost, try to pull through and find other options than an eviction. Only evict in the case where the resident is hoarding animals, blocking emergency exits, causing major damages to their home, or putting themselves in danger. It’s completely understandable if you’re warry of accepting hoarders into your rental property. According to the Pacific Standard, in San Francisco alone, “nearly $6.5 million is spent by landlords and service agencies each year on hoarding-related issues, which include eviction and the removal of children or the elderly due to health and safety concerns.” The fear of property damages or safety issues is a real fear amongst property owners; especially when hoarding has been identified as the direct contributor of up to 6% of all deaths by house fire. If you’re fearful of housing intense hoarders, choose a tenant screening service that performs verbal verifications in conjunction with eviction reporting. This way if a previous landlord details

Overlooking these issues will cost you more in the long run. You may have hidden leaks that could be leading to $1000s of unnecessary damage while increasing your heating and cooling bills.

This process will take a lot of time and it can be stressful at points, but try to be as sensitive as possible to your resident. While you might see their items as trash, hoarders don’t have that distinction. So avoid using words like “junk”, “trash” or “mess” to describe their belongings. Additionally, it wouldn’t hurt to provide your resident a list of clean-up services or extra trash bins. Use services like Angieslist.com to find clean-up services that can help your resident remove items when they’re ready.

Hoarding — continued from page 40 the eviction process of the tenant due to hoarding, their eviction record might be able to prove that the tenant’s disability became a legal issue. While the word “hoarding” won’t be on the eviction record when you review it, it might be listed as a Performance of Covenant (or PC), indicating that there was a lease violation strong enough to remove them from the property. PC is typically used for tenants who are evicted for

leaving rubbish or inappropriate objects on the exterior of the property. That being said, having a hoarder as your resident isn’t impossible. You just have to approach your resident differently and think in terms of what will work for you and your resident. Just like Gera and Mike T.’s residents, you can form a long-lasting residency and a good relationship with your tenant as well. And who knows? Maybe you’ll house the next Andy Warhol, one of the most famous hoarders of all.

crossed the Canadian border in 2013. At 52 years of age, it was time for me to make some long, over-due life changes. I came to California for a few months, to be with a friend who was dealing with cancer. I was both amazed and horrified with the (non) disinfecting methods used in medical facilities she frequented.
