November is here! This is the month that reminds most of us to pause and really give some thought about what we are thankful for. 2020 has definitely been an interesting year, but even in times like these we can always find reasons to be grateful! This issue we are sharing with you the new “Boerne Strong” campaign that reminds us all how supporting small business makes a huge impact on our town. With this in mind, the City of Boerne, the Greater Boerne Chamber of Commerce, Boerne’s Retail & Restaurant Owners Association (R&ROA) and Boerne Kendall County Economic Development Corporation are working together to attract visitors and encourage residents to shop local whenever we can. Our small businesses are what makes Boerne so unique, let’s make every effort to show them our support.

Business VALUE Basics

Most small business owners spend the majority of their lives running their largest asset, their business. Then, when they transfer/sale, more than likely, it is one of the most critical transitions. To optimize this transfer, a business valuation should be considered. In the last article I wrote about Asset Allocation and where these micro businesses fit into the business owner’s financial plan. A professional valuation is one of the best starting points to prepare for this journey. A simple investment characterization is frequently defined as return over risk. The level of risk and return determines the value. There are several critical tangible and intangible value drivers that determines risk. How is value derived, how do operational, managerial, financial and strategic decisions ultimately affect value? These questions are not complicated but are complex and each business owner is different but ultimately affect the value. We as Certified Valuation Analysts have a detailed process that assesses the risks associated with specific businesses within certain industries and/or sectors and then apply the risks to the benefit stream / revenue. Formal (certified) valuations have a specific place in the business world. A formal valuation is helpful to assist in determining the most accurate benefit stream/cash flow (revenue), assessing the associated risks and comparing similar business sales and metrics. The Valuation Formula The formula for a business valuation is Value = Future Cash flow / Risk to Achieve Future (projected) Cash flow. Cash flow is something most business owners understand. However, risk is very much overlooked and misunderstood. This is why it is a common misconception amongst business owners that the value of their business is determined solely by revenue / cash flow or just an industry multiple. It’s actually related to the overall ability and risks of the business to produce revenue and free cash flow in the future. Businesses with the same sales and cash flow sell for significantly different amounts due to the level of risk. That’s why the simple multiple of EBITDA is not always the best approach. Business Valuation Approaches There are three main approaches to business valuation: the income, market, and asset approaches. Choosing which approach is best, depends on the type of business and reason for the valuation. Income Approach as defined by Valusource This is the preferred approach used for business valuations. It is based on calculating what the future cash flow to the owner of the business is worth today, also

called the “present value,” or the “discounted cash flow”. The advantage is that the predicted cash flow and the risk to achieve that cash flow are related directly to the current operational state and, therefore, directly affects the value of the business. When you look at business sale data, it tells a compelling story of what businesses sell for and how much more a better performing business is worth to a potential buyer. A “better performing” business means a business with similar revenue and cash flow is selling for more (or even, much more) than its peers... Part of our job as advisors is to dive deep into how the numbers compare with their peers and the businesses internal systems and processes and then, in a sense, rank the business and identify comparable strengths and weaknesses. Market Approach The market approach is the most common approach in valuation. The best evidence of the value of a business is the market, or what other similar businesses have sold for (think of the MLS® system for residential real estate). The market approach looks at what similar businesses have sold for and then uses multiples (to adjust for size) to determine the value of a business. The disadvantage is that it is difficult to find a directly comparable business. Usually, businesses are compared as to product/service, size, and geography. However, it is very difficult to compare the competitive advantages of one business to another even if both sell the same product, are the same size, and operate in the same geographic area. Asset Approach The asset approach looks at the value of the business in terms of the market value of its assets only. To accurately determine the value of the assets an appraiser may need to be hired. For most service-based businesses, the assets (furniture, fixtures, and equipment) are small, but other types of businesses like a manufacturing company may have substantial assets. The advantage of the asset approach is that it will establish the lowest value of a business. The disadvantage of this method is that it does not really establish the highest and best use value of the assets in the business. Certified Valuation Analyst (CVA) One important thing we strive to do is help business owners understand the business valuation “roadmap”, meaning the range of what businesses sell for and equally important, how their business compares to the competition. This means providing them the range of values (ballpark figures) based


on their specific business situation which includes tangible and intangible value drivers. Business owners need to understand what businesses like theirs actually sell for, and then the associated risks. It is a difficult conversation to tell a business owner that their sweat equity did not increase their company’s value as much as they expected, having accurate and substantiated data in hand helps with focusing the conversation on fact vs. opinion surrounding this charged topic. Performance, Risk and Business Value Performance, Risk and Business Value is formulated by the information and data calculated with a business valuation. The Metrics and Key Performance Indicators are more than just revenue or cash flow, instead the difference is purely based on having better performance which is unrelated to revenue and cash flow. From the valuation perspective, better performing businesses have less risk than poorer performing businesses. We can help assess this Gap in a defined, systematic, proven process to add clarity and confidence in where to start to increase value. Again, it’s not complicated but it is complex and this data will give business owner’s a clear path to take in an orderly, step by step basis. Conclusion It is critical that we help existing business owners understand the value of their business and the direction to improving that value. As a Financial Advisor, Capital Manager and Certified Valuation Analyst (CVA) I take the steps to help business owners understand the qualitative and quantitative metrics and the importance of this information. Start now, the transfer may happen before you think. Be prepared to optimize your hard work. The press and public attended the ribbon cutting ceremony to mark the opening of a new outdoor amphitheater at the Herff Farm named by philanthropist Susan Naylor and the Will Smith Foundation. For Luis and Gaby Mongiello, owners of Botero Tapas + Wine Bar, the new local restaurant has been a lifetime in the making. “Both of us grew up with food being an integral part of our families and our culture,” said Luis. “Gaby’s family was very successful with many street restaurants throughout Mexico and I was raised where diverse food was a part of everyday life.” Luis is the chef and creator behind the authentic recipes served up at Botero and credits his upbringing as the inspiration behind Botero’s fantastic dishes. “My mother is Italian and her parents immigrated to the United States from Naples, Italy. My father is Spanish and was born in Casablanca, Morocco. My greatgrandfather was actually the Head of Communications for the King of Spain and we even have a letter addressed to him from the King,” said Luis. “My paternal grandfather was a painter and a mathematician, my mother graduated from New York University and is also a painter; there is lots of creativity in my blood. My mother’s side of the family had several Italian restaurants in New York City as well. Growing up there was always this friendly competition it seemed of Spanish

and Italian cuisine, but always in an environment rich with family and of course lots of wine.” Luis’ parents moved to Mexico City where he attended an American school. “As a child, I would spend my summers in New York and Spain. Travel has always been a way of life for me. Gaby and I have continued that as we have built our own family and have taken our children to many places around the world. According to Gaby, “We have traveled to many places around the world and take it all in. We have been able to bring back our experiences and incorporate them into what we have created with Botero.” Prior to opening Botero, the Mongiellos have built several construction and renovation companies in the hospitality industry around the San Antonio and Austin areas that they still operate. They moved to the Boerne area seven years ago and as they began to explore the area and all it has to offer they fell more and more in love with Boerne. “We have traveled to many places, but there is just something really special about this town,” said Luis. “The idea for bringing a restaurant

to the Boerne area began to come about. We had originally thought it would be something very small that was open just a couple of days a week, but we really didn’t have a plan. Then all of the sudden we saw that this location was available and everything came together. Once we found the perfect spot, our vision for Botero became clear. According to Luis, “Gaby has always had an exceptional eye for design and her experiences in our construction and renovation businesses helped her to be able to create the perfect atmosphere for the new restaurant.” When it came time to decide what to put on the menus, the Mongiellos wanted to bring a new experience to Boerne. They decided on authentic Spanish cuisine made from only the finest ingredients that come straight from Spain. “We use special Spanish garlic, bell peppers, saffron and bomba rice in our signature paellas. Special langoustine prawns are used to add special flavor and each paella has a special broth that is made for eight hours with rich flavors of blue crabs and Spanish mackerel. We really go above and beyond to infuse the flavors of Spain into each dish,” said Luis. “I taste each and every paella I make to ensure it is prepared exactly the way it should be.” Other menu items include a selection of light and delicious tapas, which are small plates that allow diners to experience a variety of dishes. Botero also offers a carefully crafted selection of Spanish wines, beer and of course their signature sangrias! “Gaby has really gone above and beyond on the sangrias that we offer. She infuses them with fruit and all natural ingredients and changes up the offerings seasonally. One of our most popular is the Lavender Sangria!” Botero opened their doors last May right when everything was being shut down due to the coronavirus. Despite not being able to physically open, the local Boerne community welcomed them with open arms! “Paella is actually a great meal to take to-go and serve at home for a large family meal. Gaby also came up with these really creative pouches so customers could take our sangria to-go also. They are like grown-up Capri Suns and were instantly very popular,” said Luis. The Mongiellos credit much of the success of Botero to the local community. Luis added, “Botero has been very successful because of where it is. It is the people and the atmosphere of Boerne that have caused this restaurant to thrive. They are very open and accepting and very excited to try and experience new food and wine. We want to bring the best of Spanish culture to Boerne through both food and entertainment. We have even begun to have performances every week by Spanish musicians and flamenco dancers.” Gaby and Luis also praise their incredible staff for helping to make Botero the special place that it is. “We really have become like a family. Even on their days off we will find them coming in and doing little things. They want to be here and that really

Texas housing market strong in 4Q2020

The Texas housing market has been unexpectedly robust in 2020, Real Estate Center data shows. "Perhaps because of t​he strong association with the last major recession, ignited by the mortgage market collapse, many expected residential real estate to fall flat on its face," said Center Senior Data Analyst Joshua Roberson. "​But so far, that hasn’t happened." Third quarter data are showing skyrocketing home prices. Some markets, such as Austin, were already on the upward trajectory before the pandemic, while others turned upward afterward. Regardless of area, Roberson said the common denominator is that home prices are growing exponentially. If the previous concern was market fallout, the new concern is what the new equilibrium point will look like.

"Even with favorable mortgage rates, the market will be able to absorb only so much price growth," Roberson said. The housing market is still recovering from the imbalances brought on by COVID-19, particularly on the supply side of the equation. For the time being, fourth quarter home sales look like a potential record buster. Typically, activity tends to slow down as the holidays come around, but this trend is not seen this year. Pending listings are uncharacteristically high. "If these sales follow through, real estate professionals throughout the state are likely to have a merrier holiday season than they thought possible just a few months ago," Roberson said. “Is walking good exercise?” We get that question a lot here at PVA. In order to answer that question, we’d like to share the following information about blood circulation. Your body has six quarts of blood that circulates through your body three times every minute. That works out to about 500 miles an hour. In one day, your blood travels a total of 12,000 miles. Amazingly, that’s four times the distance across the US from coast to coast. So the answer to “Is walking good exercise,” is yes! Walking is easy, free and the benefits for good health are many. Walking also helps your blood make its long daily journey through your body. Of course, you don’t have to walk anywhere close to 12,000 miles! To help your circulation, physicians recommend walking 30 minutes or two miles a day. That is something that almost everyone can do, or that they can build up to. Walking is one of the easiest forms of exercise and the health benefits can be life-changing. All you need is a good pair of shoes, comfortable clothing and the desire to get your heart rate going. Here are a few tips to guide your activity: • Start off with slow, short sessions and build gradually. Use a tracking device to know how far you traveled. • Watch your posture and walk tall. Good posture allows you to take full breaths and engage your core, buttock and leg muscles for a natural walking stride. • Drink plenty of water before, during and after walking. Water helps you regulate your body temperature and lubricates your joints. • Incorporate a warm up, cool down and stretches into your routine. This helps reduce sore muscles and lessens your risk of injury. • Develop a habit by walking at least 5 days a week. Cardiovascular exercise like walking burns calories, can boost your mood and decrease stress.

The COVID Career Two Step

Should I change careers during a pandemic and a very unsettled economic period? You must be crazy! That would be the most expected response you would hear. However, a change might just be what is needed to impact and accelerate your personal and financial life. Doing so, though, should be done with great thought and planning. First of all, you should be running to something, not away from something. Take some time for self-reflection to really understand your skills, your passions, and the needs in the marketplace. The intersection of those three things is where you want to step into your next career. That intersection may be harder to find than you initially think, so be willing to do your homework before making the change. Whether the current environment is requiring you to make a change, or you are simply using the uncertainty to explore new opportunities; there are several financial matters you must consider as you embark upon this journey. Before you decide to leave your current employment, you must deeply understand what you are giving up across all your compensation and benefit plans. It’s easy to understand how much salary you are leaving behind, but fully grasping the value of health plans, retirement plan matches, and other company perquisites will likely take a little more work. The fact that your current employer pays 100% of your health care benefits, and a potential new employer pays only 50%, but they cover your entire family plan could impact your monthly cash flow dramatically either positively or negatively. Start with the basics. If you change employment, will your new cash compensation allow you to continue meeting all your monthly cash flow needs? If not, what are you going to do differently to

meet those needs and adding credit card debt is not a viable choice? Also, be sure you consider all new compensation as that may include salary, bonus payments and potentially equity compensation that can be converted to cash over time. You also want to be sure you can continue saving for retirement and other larger goals through your new employer’s plans. If your new employer does not have a 401(K) plan, for instance, you will need to devise a strategy for continuing to save. Even if they do have a plan, do they provide a match to your contributions to the plan? If your prior employer had a nice match and the new plan does not, you would need to reassess your ability to retire on your original timeline. Health Savings Accounts (HSA) provide many employees a great way to save for postretirement health care needs. HSAs allow you to annually contribute to a savings account on a pre-tax basis which can grow tax free if you ultimately use the account to pay for healthcare costs. The tax-free contributions and growth allow these accounts to become valuable benefits for many employees. Most likely one of the more difficult changes to assess are the non-cash perquisites you may give up or gain by changing careers or jobs. Personal time off like vacations, sick leave, bereavement, or jury duty time away all come into play when making a decision to change. These benefits do not have hard

dollar cash amounts associated with them, but they do impact the lifestyle you may have after a change. Once you really have a solid understanding of what you are leaving, now you are ready to negotiate with your new employer. This is especially key if they are pursuing you, and you have the leverage. Be ready to ask for compensation adjustments or bonus compensation if you are having to leave value on the table at your old firm. Deferred compensation or unvested equity compensation are prime examples of things that are often left behind at your old employer. While it is harder to negotiate the benefits side of your new, total package, you do need to make sure your financial position does not deteriorate with the change. For example, your old employer may provide life insurance at no cost or very competitive rates. This may not be true at your new employer, or at a minimum, you may need to qualify for the new coverage. That can be a real negative if your health situation has changed in the last few years. The list can go on and on, so take the time to really do your due diligence as you contemplate a change. It is clearly more than a simple two step. If you are unsure about how to go about addressing all the possibilities, reach out to a qualified financial advisor with experience in working with employees in transition. The dollars they could save you will likely more than compensate for the fees they may charge. BBM
