hat can you tell us about The JACK brand? How many gaming rooms are operated under this brand? How many game devices you operate and what is the mix you propose to your players? How many employees do you have? Please tell us in general the figures you consider important?

The Jack brand is relatively new on the Romanian market, it is a brand that has been initiated and subsequently developed under the concept of classic elegance, while at the same time it is a flexible brand that adapts to the requirements of the entertainment industry in Romania. At the present time we operate under the brand The Jack & Play Again in cities like Ploiesti, Deva, Drobeta-Turnu Severin, Targu-Mures and Iasi. In these locations we operate with approximately 300 gaming machines from manufacturers like Novomatic, EGT, JPL, Gamex, Casino Technology and Alfastreet, our goal is to provide our customers with the latest novelties of the industry. We have with us around 150 employees, young people with a great desire for affirmation and they want to grow together with The Jack brand.

Why would I come to have fun at The JACK gaming halls? What are the things that set you apart from the competition, but at the same time represent the particularities of your gaming halls? First, the ambiance created in The Jack gaming halls offers a sense of tranquility, confidence and safety. We rely on training our staff to be available to our customers at any time and to be able to meet their demands. Also, we complete our brand with an events and entertainment area, where everyone can find ways to relax and have fun, playing pool or bowling and enjoying a flavored coffee or a delicious cocktail.

What are the successful marketing campaigns of your company? Indeed, marketing campaigns are extremely important in the survival and prosperity of a brand. We try to think and develop complete loyalty and promotional campaigns, and by that I mean cash prizes and promotions with cars, accompanied at the final extraction by special events. The Jack is a place where customers, but our team members also, always feel welcome and want to keep this feeling. The promotional campaigns we run in our facilities have been designed according to the specific of each gaming hall, for this reason we have campaigns featuring car prizes, campaigns with money prizes, but also campaigns with holidays or products prizes.

Având în vedere faptul că toate locaţiile noastre au fost deschise în Centre Comerciale, fiind gândite ca și centre de distracţii, dorim ca în continuare să ne dezvoltăm în astfel de proiecte. Pe de altă parte, luăm în calcul și o dezvoltare în centrele orașelor cu potenţial din toată ţara.

Given that all of our locations were opened within Shopping Centers, being designed as amusement centers, we aim to continue to develop these type of projects. On the other hand, we also take into account a future development in the center of the cities with potential, across the country.

What are the promotions offered by The JACK gaming halls at this time? Ploiești: • Weekly draws with prizes of Ron 10,000 • Final draw on December the 19th, with a Mercedes Benz GLA as a grand prize, plus many other surprises • Special New Year draw on December 29th, when we will organize a super party, accompanied by prizes totaling Ron 30,000 Deva, Târgu-Mureș, Iași, Drobeta-Turnu Severin: • Draws on every Tuesday, on every two weeks, with total prizes of Ron 6,000 or 8,000 • Draws every Thursday, on every two weeks, with total prizes of Ron 10,000 • Final draw on January 14th, 2017, with total prizes of Ron 30.000

What is the business model you follow at The JACK gaming halls? Locations in shopping centers where we want to have as complete a package of offers as possible for our customers: gaming room, bowling, billiards, cafe and fun games.

How are you dealing with the Antismoking Law and what are the solutions you have identified? First of all, we want to offer our customers the best conditions by creating smoking areas outside the premises, which provide the required comfort. We offer premium electronic cigarettes to our customers, with a wide range of flavors to satisfy even our most demanding visitor.

Cu 2 zile înainte de Evenimentele Casino Inside din 8 Decembrie anunţam că acestea ar putea fi cele mai bune din ultimii ani. Spuneam acest lucru dintr-un motiv foarte simplu: știam cât am muncit, știam ce am pregătit ca și conţinut, dar și din dorinţa de a veni cât mai mulţi oameni din domeniu la evenimentele care ar fi putut să le schimbe perspectiva pentru anul următor, 2017. Și au venit peste 100 de invitaţi din București, ţară și din străinătate la fiecare din cele 2 evenimente. ReUniunea Profesioniștilor din Gambling 5, probabil cel mai reușit eveniment de până acum!

Prima parte a zilei a demarat în forţă, nu mai puţin de 10 speakeri și 4 Paneluri fiind parcurse până la pauza de masă. În general, am organizat evenimentul de business – RPG 5 într-o structură de 7 Paneluri foarte interesante care să răspundă tuturor nevoilor de informare ale operatorilor de jocuri, unde au vorbit 16 Speakeri și s-au făcut 12 prezentări. Un record pentru evenimentele noastre și neobișnuit de mult pentru un eveniment de doar 1 zi. Așadar, delegaţii prezenţi la ReUniunea de anul acesta au avut parte de un “festin” informaţional! Nu mai vorbesc de faptul că NOVOMATIC și BAUM GAMES și-au prezentat mai multe aparate reprezentative pentru portofoliul lor de echipamente de joc, iar JPL România a prezentat în AVANPREMIERĂ (deci înainte de ICE TOTALLY GAMING 2017) superbul lor Slant Top! Câte evenimente de business organizate în luna decembrie în Europa știţi care se pot lăuda cu astfel de performanţe? De ce e important să menţionăm perioada, pentru că în mai puţin de 2 luni va avea loc cea mai mare expoziţie din lume dedicată jocurilor de noroc – ICE 2017.

A record for our events and unusually for any event lasting only 1 day. Therefore, the delegates present at this year's meeting benefited from a "feast" of information! Not to mention the fact that NOVOMATIC and BAUM GAMES have presented many of the most representative devices of their gaming equipment portfolio and JPL Romania offered a PREVIEW (meaning, before ICE TOTALLY GAMING 2017) their gorgeous Slant Top! From all the many business events organized in December, in Europe, do you know how many can boast of such performance? It was important for us to mention the time frame because in less than two months, the largest exhibition dedicated to gaming in the world - ICE 2017- will take place.

Următorul speaker a fost David Coldea, Director de Vânzări la BAUM GAMES, care ne-a prezentat Aparatul de Joc de Noroc cu Risc Limitat (AWP) produs la Dumbrăveni, care există în piaţă de mai bine de 4 luni cu rezultate excelente. Șerban Ianole, reprezentantul JPL România, ne-a oferit apoi o prezentare a companiei “mamă” din Bulgaria – JPL ltd și a produselor lor, împreună cu o prezentare video a aparatului de joc UNITED DREAMS MULTIGAME. • Monitorizare și control prin CMS (Casino Management System) Speaker: Prima parte a evenimentului s-a încheiat cu prezentarea lui Mihai Mavromalide, Director General la SYSWIN SOLUTIONS, care a oferit într-o manieră originală date, informaţii, puncte forte și multe alte detalii interesante despre soluţia lor de Casino Management System (CMS) – SMART COUNT.

We said this for a very simple reason: we knew how hard we worked, we knew what content we had prepared, but also we wanted that for as many people relating to this field as possible to attend the events that could have changed their outlook regarding the next year, 2017. În continuare, Ana-Maria Baciu, avocat, partener, coordonator al departamentului de Practici în Jocuri de Noroc din cadrul casei de avocatură Nestor Nestor Diculescu Kingston Petersen (NNDKP) a avut un expozeu cu tema Veniturile Jucătorilor – Modalităţi de Impozitare. Pentru a avea un tablou complet asupra acestui panel am avut parte de o asistenţă de la cel mai înalt nivel din partea Deloitte România, prilej cu care Camelia Malahov – Director Taxe și Bogdan Barbu – Senior Manager Taxe au făcut prezentările: “Provocările unei inspecţii fiscale” și “Preţuri de transfer – Evoluţia controalelor privind preţurile de transfer”. Dragi cititori, acesta a fost pe scurt, într-o sinteză, evenimentul de business caracterizat de noi și de participanţi ca fiind “probabil cel mai bun RPG realizat până acum”. We had 3 panels and 6 speakers and 6 presentations offered to the audience. • Marketing in gambling Speakers: Andrei Frimescu, Director of Marketing and PR at Game World, presented us with the Map of the Player’s Experience at the Casino - a very interesting display on the importance of using maps, charts and other graphics in Casino Marketing or on how we can graphically show with a map the experience that customers have at a casino and many other important things related to the Life cycle of the casino customers or to the evolution of the behavior of the casino customer, etc. Gabriela Coman, General Manager at Odor Control – the importer in Romania of the PROLITEC products, offered us a total experience of alternative marketing from the perspective of "aroma marketing", in other words we had an olfactory experience in real-time throughout the event (both in the restaurant and in the lobby), 2 different scents delighting our sense, and inside the room we enjoyed a special presentation on the importance, for any business or company working in gambling in general, of using the power if the "aroma marketing" in convincing the customers that their experience in the gaming hall will be complete and that it pays off to come back. • PR in gambling Speaker: Our special guest from abroad, John Carroll - CEO of Carroll Consulting gave us a presentation-argument on the meaning of "The Power of PR" and on the level it should concern us all, those who wish to make our business known, the phenomenal power that PR has in our lives. • Taxes and legal issues Speakers: The one who opened this panel was Doru Gheorghiu - Executive Director, Romanian Bookmakers, who reminded us of the struggle for justice of the operators of traditional betting in their "match" with the NAFA, the situation of the companies following the controls performed by this institution is critical, many of them being or about to become insolvent, and then ... who knows what will happen. um aceste companii își schimbă locațiile în care își desfășoară activitatea destul de des, iar principalele active utilizate sunt terminalele, este și firesc că majoritatea aspectelor identificate de către autorități să provină din această zonă. Așadar, având în vedere numeroasele amenajări efectuate de către companii în cadrul locațiilor închiriate, perioada în care au fost amortizate respectivele cheltuieli a reprezentat un motiv de dispută. Companiile din industrie nu au avut în vedere faptul că aceste costuri cu amenajările efectuate în cadrul locațiilor închiriate trebuie amortizate pe durata contractului de chirie și, mai mult, documentele aferente realizării acestora trebuie să fie păstrate în arhivă pe întreaga perioadă de prescripție. În ceea ce privește echipamentele utilizate, este important de reținut faptul că acestea se pot amortiza doar începând cu luna următoare celei în care sunt puse în funcțiune. Așadar în cazul achiziției loturilor mari de echipamente, care sunt puse în funcțiune la date diferite, este important să fie menținută o evidență separată prin care să fie posibilă separarea din perspectiva amortizării, în funcție de momentul la care sunt puse în funcțiune. De asemenea, având în vedere specificul industriei, contractele de asociere sunt foarte des întâlnite, iar modalitatea în care au fost redactate a ridicat riscuri suplimentare. Astfel, contractele au fost analizate pentru a determina substanța lor economică, mai ales în cazul celor care prevăd o remunerație fixă indiferent de rezultatele acelei asocieri. În astfel de cazuri, în care din perspectiva substanței economice părțile nu participă la riscuri și beneficii în procentul stabilit de contract, există riscul de a fi reclasificate drept contracte de prestări servicii, care sunt supuse altor reguli din perspectiva impozitului pe profit și a TVA. În ceea ce privește modalitatea de calcul a bazei pentru impozitul minim, deși au existat numeroase controverse atât în industrie cât și la nivelul autorităților, jurisprudența recentă și abordarea din cadrul controalelor din ultima perioadă fac lumină în legătură cu modul în care autoritățile interpretează înregistrarea veniturilor în contabilitate și anume fără a diminua încasările cu contravaloarea premiilor acordate sau a altor cheltuieli. Prețurile de transfer reprezintă unul dintre centrele actuale de interes ale activităților de inspecție fiscală, înregistrând o evoluție considerabilă de la un an la altul și cu un număr record de acțiuni de inspecție fiscală, conform previziunilor din acest an. The companies should take into account the fact that such outfitting costs performed for the rented locations should be amortized over the term of the rent agreement and, the related justifying documentation should be archived throughout the period of limitation. In respect of the equipment used, it is important to remember that it can be depreciated only starting with the month following the month in which they are put into function. Thus, when purchasing large lots of equipment that are put into function on different dates, it is important to maintain separate records with the respective dates for tax purposes Also, given the specifics of the industry, joint venture contracts are very common and we see often various contractual provisions that raise additional tax risks. Those contracts were analysed to determine their economic substance, especially those that provide a fixed remuneration regardless of the results that joint venture obtains. In such cases, the economic substance of the agreement might be challenged as the parties do not commonly bear the risks and split the benefits in the percentage es-

2016 was a busy year in terms of the number of tax audits and the gambling industry has been also targeted. The most important issues covered during tax audits relate to the deductibility rules that apply to the profit tax and the controversial issues concerning the computation method of the base for applying the minimum 5% rate.

TAXE tate ale ANAF, în 2015 au fost finalizate 183 de inspecții fiscale în sfera prețurilor de transfer, în urma cărora au fost stabilite sume suplimentare de 192 milioane de lei, privind obligațiile fiscale și accesorii și o diminuare a pierderilor fiscale în valoare de 334 de milioane de lei. Mai mult, odată cu modificările legislative de la începutul anului vizând direct tranzacțiile intragrup desfășurate de companiile din România care au relații de afiliere în cursul acestui an, anticipăm că interesul autorităților fiscale pentru acest subiect va crește exponențial în 2017. Având ca scop declarat ”toleranță zero la evaziune ” în 2016, ANAF a urmărit consolidarea și creșterea capacității administrative și profesionale a personalului inspecției fiscale implicat în verificarea prețurilor de transfer prin acțiuni ce vizează elaborarea unei metodologii de control pentru inspecția fiscală a prețurilor de transfer, creșterea performanțelor profesionale și, nu în ultimul rând, implementarea și dezvoltarea analizei de risc fiscal asociată prețurilor de transfer. Odată cu excluderea contribuabililor ce desfășoară activități de natura pariurilor sportive din categoria celor cu regim special de impozitare, începând cu 1 ianuarie 2016, și trecerea acestora în categoria contribuabililor supuși exclusiv regimului de impozitare pe profit, numărul contribuabililor cu profil de risc din industria jocurilor de noroc este în creștere. În aceste condiții, interesul autorităților fiscale pentru sectorul jocurilor de noroc este de așteptat să crească, având în vedere că, istoric, o bună parte din acțiunile de inspecție fiscală au vizat, la intervale scurte de timp, jucători din același sector de industrie. Așadar o intensificare a expunerii la riscul de control și implicit de ajustări în sfera prețurilor de transfer pentru contribuabilii care activează în sectorul jocurilor de noroc este un fenomen la care ne putem aștepta în viitorul apropiat. În acest sens, industria ar trebui să fie pregătită să diminueze riscul prin prevenire și nu să-l trateze la momentul inspecției fiscale. O astfel de abordare vizează analizarea tranzacțiilor intragrup din perspectiva principiului valorii de piață, a impactului pe care metodologiile de stabilire a prețurilor între persoane afiliate îl au asupra profitului contribuabililor și, în principal, asigurarea pentru tranzacțiile viitoare, că acestea sunt desfășurate în condiții comerciale care ar fi fost agreate și între părți independente. Date fiind acțiunile ANAF de întărire a capacității administrative și profesionale a aparatului de inspecție fiscală și modificările legislative care expun contribuabilii ce desfășoară tranzacții cu parți afiliate la riscul de control și ajustări în sfera prețurilor de transfer, în 2017 anticipăm valori de vârf ale activității de inspecție fiscală. Acest lucru nu poate decât să conducă la o schimbare în comportamentul contribuabilului, care să rezulte într-o diminuare a riscului prin prevenire.

tablished by the agreement. Thus, there is a risk that such agreements are classified as being service contracts, which are subject to different rules in terms of profit tax and VAT. In respect of the tax base for computing the minimum 5% tax, although there were so many controversies, the recent jurisprudence proves that the authorities interpret that the revenues should be recorded in accounting books without diminishing them with the prizes granted or any other expenses. Transfer pricing represents one of the current focal points for the tax inspection activities, registering a considerable increase from one year to another and record number of tax inspections, according to this year forecasts. According to the activity reports published by the NAFA, in 2015, 183 tax inspections focused on transfer pricing were finalized, based on which additional payable amounts of 192 million lei were assessed to the taxpayers as corporate income tax and accessories and decrease of tax losses in amount of 334 million lei was registered. Additionally, following the legislative updates from the beginning of 2016, which are directly focused on the intra-group transactions performed during this year by Romanian companies, which are have related parties, it is anticipated that the tax authorities interest in this issue will increase exponentially in 2017. Having as a proclaimed objective for 2016 “zero tolerance for tax evasion […]” the NAFA followed to consolidate and increase the administrative and professional capacity of the personnel dealing with transfer pricing audits through actions which mainly look at the elaboration of a methodology for transfer pricing inspections, increase of the professional performances and, last but not least, implementation and development of a tax risk analysis related to transfer pricing. Along with the elimination of taxpayers who carry out activities related to sport betting from the special taxation regime category, starting with 1st of January 2016, and their addition to the category of taxpayers which are subject to standard profit taxation regime, the number of taxpayers with a risk profile from the gambling sector is increasing. Consequently, the increase of exposure to the tax inspection risk and, implicitly, to transfer pricing adjustments for taxpayers activating in the gambling sector is a fact we can expect to happen in the next future. In this respect, the industry should be prepared to diminishing the risk by preventing it and not by handling it during the tax inspection. This kind of approach takes into account the analysis of intra-group transactions through the arm’s length principle perspective, the impact that transfer pricing methodologies between affiliated parties have on the taxpayers’ profits and, primarily, ensuring that conditions established between parties of the same group are similar to the ones which would have been agreed between independent entities. Taking into account the NAFA’s actions to increase the professional and administrative capacity of the tax inspections department, and the legislative updates which expose taxpayers who undertake intra-group transactions to tax audit risk and transfer pricing adjustments, for 2017 we anticipate peak values regarding tax inspection activity. This facts could only lead to a change of direction of the taxpayers’ behaviour, which will result in the risk reduction through prevention.

What do experts predict for the post-Obama betting industry in America The recent elections that resulted in Trump being chosen as the president of the United States became a reason for some to be angry, while for others generated thrill in front of the change to come, but for business in general and for industries it opened a new path of uncertainty. Given the fact that during the campaign no clear directions were set regarding economic measures for the new mandate, it is not surprising that businessmen from areas such as gambling could not make precipitous assumptions. But not directions started to be set and the first ones indicate the following: there will be a period of exponential growth for the sports betting industry.

onsequently, many of those who support this hypothesis say that under the Trump administration the legislation regarding sports betting will be more lax. According to the Think Thank R Street Institute in Washington DC, the fact that Trump is a sports betting enthusiast and revealed many times his passion for gambling could lead to the legalization of sports betting at the federal level. One extra reason to believe that is the fact that the Republican Party, of which Trump is a part of, now controls both Houses of the US Congress, may be in favor of a more permissive legislation. Realitatea pariurilor multiple este următoarea: din punct de vedere matematic, marja de câștig a casei de pariuri crește atunci când pe un bilet se adaugă mai multe evenimente pe un bilet. De aici învăţăm că trebuie să jucăm numai pariuri individuale. The 8th wonder of the world Sometimes called, not without a proper bombastic approach, the ”8th wonder of the world”, the Hoover Dam – with an architecture and magnitude that are truly impressive – was the most ambitious project of its type when it was constructed. Built between 1930 and 1936, the project worth then $175 million, became paradigmatic for the development of Vegas. In fact, the beginning of this project coincides with the legalization of gambling in the Nevada casinos, which was made in 1931, which meant that many of those working on the dam site had also become loyal customers on Fremont Street, the equivalent of that time for the Strip of Vegas and the only paved street in the city, but also for the brothels found then in abundance in Vegas. Located at nearly 50 km from Vegas, the Dam initially called Boulder later received the name of President Herbert Hoover, in 1947. The fact that this dam then ensured cheaper energy for inhabitants in Vegas and eased water supply projects led to an extremely fast infrastructure development and in 1931 the population already reached 7.500 people. Incomes brought to Vegas which were related to the project reached $70 million in 1939. When it was opened, president Roosevelt said it was an ”engineering victory” and that ”It’s another great achievement of American resourcefulness, American skill and determination”. In fact, the dam facilitated the development of the now famous Strip of Vegas, an area which now consumes a huge amount of electric power and it is renowned for that fact that it became the brightest spot on Earth when looked upon from Space, and images captured by The International Space Station seem to confirm this fact.

From small casinos and brothels to mega-resorts like Mirage The Dam became a touristic attraction in itself and in 1932 around 100.000 people visited the construction site, many of them also becoming a Vegas clientele. In comparison, the dam is now visited by 10 million people every year, and Vegas by 40 million. The construction of this dam turned an underdeveloped area like Vegas at the beginning of the 20th century into a metropolitan area with over two million inhabitants, and this thing wouldn’t have happened if the dam hadn’t provided water supply. CORONIŢA DE CRĂCIUN REALIZATĂ DE PASI JOKINEN-CARTER

Cea mai scumpă stea decorativă de Crăciun, care este nelipsită din fiecare brad decorat, are în mijloc un diamant detașabil care poate fi purtat ca pandantiv la un colier. Această decoraţiune costă 768.000 de dolari și are decoraţiuni atât de fine încât se confundă cu sclipiciul. Înainte de a încheia topul celor mai scumpe decoraţiuni de Crăciun, un lucru esenţial care nu poate lipsi este bradul, în jurul căruia restul ornamentelor vin ca o completare. Pentru cei care își doresc un brad ”de colecţie”, din mai multe puncte de vedere, propunerea vine din Japonia. Este vorba despre un brad de aur, înalt de 2,4 metri, care a fost realizat cu ocazia celei 110 aniversări a Walt Disney Japonia, bradul fiind decorat cu 50 de personaje Disney. Greutatea bradului, în aur, este de 40 de kilograme, iar preţul este pe măsură: 4.2 milioane de dolari. Coroniţele de Crăciun care se pun fie pe ușa de la intrare, fie în interiorul casei – sunt foarte comune în Statele Unite, însă ele sunt populare și în Europa. Cea mai scumpă astfel de coroniţă costă 4.6 milioane de dolari – asta pentru că este decorată cu 16 rubine, 32 de diamante, un diamant galben de 3 karate și un rubin de 17.49 karate, toate încrustate în jurul unor flori speciale – tulpini de lingoberry, laurus și afine. Această ghirlandă are 60 de cm și a fost realizată de designerul floral finlandez Pasi Jokinen-Carter în colaborare cu producătorul de bijuterii 77 Diamonds. Coroana poate fi păstrată doar 12 zile ca atare, însă bijuteriile pot fi detașate și transformate într-o bijuterie care poate dura generaţii întregi. Dacă aceste accesorii nu v-au convins pentru colecţia proprie de decoraţiuni de Crăciun, atunci cu siguranţă puteţi investi în acestea pentru a le face cadou celor dragi. Dincolo de fastul impus de trendurile unei societăţi consumeriste, Crăciunul este sărbătoarea cadourilor făcute din suflet, iar dacă cei dragi merită un cadou care să însumeze multe ore de câștig petrecute în cazino, înseamnă că sunteţi un jucător norocos din cel puţin două puncte de vedere!
