Cautious approach
What happened with the UK-based contractor Carillion is not something that anybody in the industry would have expected. According to The Guardian, the firm was involved in many public infrastructure projects – from transport and health to education and defence – and provided other vital public services such as cleaning and catering in NHS hospitals, the provision of school dinners in nearly 900 schools, and prison maintenance. Carillion ran into financial difficulties in 2017 after issuing three profit warnings in five months and writing down more than £1bn from the value of contracts. The firm boasted key operations in the Middle East region besides a joint venture with the UAE conglomerate Al Futtaim. In March 2017, Al Futtaim Carillion won an AED2.2bn contract to build the three main Theme Districts at the Dubai Expo 2020 site. Despite trying, we couldn’t get in touch with Al Futtaim Carillion for an official statement.

The Carillion decision came after the lastditch talks by the company’s bank lenders collapsed. The emergency talks were hosted by the Cabinet Office. In a statement to the London Stock Exchange, Carillion said: “Despite considerable efforts, those discussions have not been successful, and the board of Carillion has therefore concluded that it had no choice but to take steps to enter into compulsory liquidation with immediate effect.” According to new research reports, the construction industry in the GCC showed resilience in performance in 2017, depicting a 30% pick-up. The outlook definitely remains compelling, but the local contractors should be wary of any developments in the global markets and its effects on the regional market. Keeping in line with the UAE Vision 2021 and Saudi Vision 2030, there is a paradigm shift towards tourism and infrastructure projects that will help boost and strengthen the economy.

Bin Ladin Contracting bags Nakheel’s AED670mn resort contract
Master developer Nakheel and Spain’s RIU Hotels & Resorts have signed a contract worth AED385mn for the construction of their 800room, joint venture beachfront resort and water park at Deira Islands in Dubai. Set for delivery in 2019, the resort, which has a total investment value of AED670mn, will be built by Bin Ladin Contracting Group Dubai, chosen from a shortlist of 10 contractors who bid for the project. Construction will be completed in two years. Nakheel has now awarded almost AED8bn worth of infrastructure and construction contracts at Deira Islands, 14
with more on the way. Under the joint venture, Nakheel and RIU Hotels & Resorts will deliver a new hospitality concept for Dubai, offering mid-scale, family-orientated, all-inclusive beachfront accommodation. The resort, RIU’s first in the Middle East, will be one of Dubai’s biggest in terms of hotel rooms. Nakheel chairman, Ali Rashid Lootah, said: “Today marks a key milestone for the Nakheel Hospitality, Deira Islands, and Dubai. Our first international joint venture will bring a new dimension to Dubai’s hospitality offering by providing a new concept in accommodation and attract-

ing a new market segment to the emirate. Miral appoints BAM International for Yas Bay Arena works
Abu Dhabi-based Miral appointed BAM International as the main contractor for the arena, plaza, and nearby retail and F&B spaces planned for the upcoming Yas Bay development. The development of the arena has started in early-2017, and is scheduled for completion by end of 2019. The arena is part of the recently revealed AED12bn Yas Bay development taking shape on the southern end of Yas Island. When complete, Yas Bay is anticipated to become one of the most iconic and vibrant waterfront destinations in the region. The fully-covered indoor arena with an adjustable configuration to accommodate events with capacities up to 18,000, will be a focal point of Yas Bay and the first multipurpose venue in Abu Dhabi, catering for the variety of lowww.cbnme.com

In line with this aim, Miral has appointed the region’s premier operator of events and venues, FLASH Entertainment, to oversee arena management. Retail spaces will be featured within walking distance of the plaza, offering visitors a selection of shopping options ranging from sports to gadgets. China State Construction secures AED500mn Ajman mall contract

Eng Hussain Nasser Lootah, DG of Dubai Municipality, made an inspection visit to the Mohammed Bin Rashid Library Project and reviewed its work progress.
Elevator expert, Kone Corporation has won the order to supply 23 elevators for the WOW Hotel and Hotel Apartments in Dubai. Property developer Ajman Holding appointed China State Construction Engineering Corporation (CSCEC) for the construction and development of its key retail destination, Mirkaaz, in the northern emirate. Valued at AED500mn, Mirkaaz will be the first mall in the UAE to feature a sprawling atrium roof of more than 7,900sqm, constructed using ETFE Technology to provide natural UV light within the mall besides allowing natural growth for plants, and scenic day/night sky views to all visitors. The work on the project will start in January 2018 and is due for completion in the last quarter of 2019, said the statement from Ajman Holding. To be built over 92,903sqm 16
of land in Ajman, Mirkaaz will host a 15,000sqm hypermarket and also encompass more than 100 stores for people. It is expected to draw more than 10 million visitors in the very first year of its operations, it stated. The agreement was signed by Yahya Al Jasmi, the managing director of Ajman Holding, and Yu Tao, the president and chief executive of CSCEC in the presence of the company chairman Sheikh Abdulaziz bin Humaid Al Nuaimi. Al Jasmi said: “It is indeed a pleasure to have CSCEC on board to develop the mall. While this is a major milestone in the life-cycle of the mall, we are confident that it will deliver the highest standards of quality for shopping and leisure to all

UAE residents and visitors. Mirkaaz is in line with the ambitious Ajman 2021 initiative, which will set unprecedented standards for the emirate’s economy.” The construction of the mall will lead to more than 1,100 blue-collared workers and 50 engineers on site, offering direct and indirect job opportunities, stated Al Jasmi. He continued: “With the world’s most prestigious retail and dining outlets to be showcased at the mall, the retail industry in Ajman will receive a boost in its GDP growth. Currently, the non-oil sectors recorded a growth of 3.1% last year and will grow to 3.7% in 2018 – reflecting the strength and soundness of the UAE’s development policies.”

Aldar readies new projects for customer handover
Abu Dhabi-based developer, Aldar Properties, will continue to handover homes at its Ansam and Al Hadeel developments as well as commence handovers of plots on Nareel Island and at Al Merief in Q1 2018. Construction also continues to make strong progress across the remaining live developments from Aldar. Ansam is the first residential development on Yas Island to be handed over to residents and marks the establishment of the island’s residential population. Delivery of homes to customers at Ansam commenced in December and will continue throughout this quarter. At Al Raha Beach, handovers of homes at Al Hadeel, the latest exciting addition to Al Raha Beach, also commenced in December. Handovers of plots on Nareel Island, a premium high-end plot development 18
located on the coast of Al Bateen, are scheduled to start in January. The plots are complemented by first-class amenities and private beaches. Plots at Al Merief, a residential community specifically designed for UAE nationals in Khalifa City, will also be handed over this quarter. On Yas Island, Aldar’s under construction residential developments are on track at various stages. At West Yas, interior work is progressing well, and nearing completion in certain areas, with over 300 villas under the final fix and testing stage, in preparation for handover to customers. In addition, the school, mosque, and retail building have been handed over. At Mayan, Aldar’s luxury golf and waterfront apartment development, building activity continues as shoring, enabling, and reinforcement works

continue across the entire project. At Yas Acres, villa and townhouse construction is well under way in the three precincts launched to date, with work on the main utility networks progressing across the entire site. On Reem Island, the main works will commence at The Bridges in early Q2 following the completion of the enabling and piling works which are well underway. In line with the construction programme, Meera continues to make steady headway, with glazing and façade work nearing completion on both buildings. Work continues on the expansion of Al Jimi Mall, Aldar’s flagship asset in Al Ain, which is due to complete this year. The expansion is set to add 33,000sqm of retail, leisure, and F&B space, bringing total gross leasable area (GLA) to 76,000sqm.

What does the future hold? Does methanotroph-based technology present the region with an alternative means of sourcing protein through the adoption of methane as a bacterial fodder crop? Rob Kennedy, technical director, Cundall, explains
T
he food model of the Middle East is typecast by an aggressive climate and a rising population. In particular, GCC members have long been aware of the ever-rising demand for food, and investment into research and development of sustainable agricultural 20
ventures have not been uncommon over recent years. Typically, however, the challenge to overpower a harsh natural environment proves less than fruitful, and so the burden of sustaining the masses becomes ever greater with time. As recently as 2014, the likes of

Arabian Business have warned of a burgeoning annual food import demand of $53bn by 2020. Couple this with a fluctuating market, and the forecast presents the region with a problem that is fast approaching its’ own event horizon. The Middle East is already mak-
ing strong commitments with waste to energy. Despite the considerable natural reserves to hand, the initiative to generate power from more sustainable sources is one which should be commended, however, as well as focussing on replacing what we already have, it would seem logical to consider introducing technologies that can provide us with what we don’t currently possess. The potential for new technologies, such as methane-based protein production, should be something to consider as part of a wider, regional food security mandate. For anyone new to this technology, edible protein is produced by forcing methane gas into water containing bacteria known as methanotrophs. These bacteria then consume the methane causing them to multiply and grow. Over time, the water content is reduced until the bacteria are all that remain, resulting in a biomass cake that can be made into pellets. The end product contains over 70% protein and is used as a fishmeal substitute and additive to animal feeds. Having the ability to produce food from fuel is certainly an attractive concept and one which helps level the global playing field with regards the production of fish and livestock. The industry is already rolling out the product as fish and poultry feed, however, in time we may be able to see the benefits with larger livestock, which will reduce the need for fertile pastures and promote agriculture in regions which have historically been unviable. Although processed feed has been around for many years, the benefit of having a product derived from methane opens up the possibility for local cultivation, which reduces the reliance on imports and promotes a more sustainable future. With a reduced need for imports and a reliable means of producing protein, the local market will be less exposed to rising prices and the relative impact of drought www.cbnme.com

It is not only in the end product where the benefits can be realised. The production process itself requires little in the way of water and land take up. Water, in particular, continues to be of great importance considering its scarcity, not only in the Middle East, but increasingly across the globe. Notwithstanding this however, the GCC states currently account for approximately 60% of the worlds desalinised water demand and this does not consider the additional abstraction from inland aquifers with finite reserves. Adopting a commercial process that recycles water can be a significant advantage as this not only reduces demand, but also potentially alleviates the need for a piped supply which opens up greater flexibility for locating plants strategically. Although generally regarded as a new technology despite the concept first being explored in the mid 20th
century, the protein generated from methane gas is already approved by the EU for inclusion in animal feed. Positive news for a food source which in time will be produced by harnessing methane as a waste product (the current technology runs on natural gas). Biotechnology company, Calysta, is one of the front runners in the technology and emphasise the point that usable methane is embedded in many of our waste streams such as wastewater, landfill, and manufacturing. With methane having the potential to be over 20 times more damaging than CO2 as a contributor to global warming, there is good cause to focus on using the waste product in a positive manner. This is not to say that we should lower our commitment to reducing methane as a waste product in the first instance, moreover, we should consider the fact that new and emerging technologies are now showing us a potential solution for cleaning up the net residual emissions which are generated from what remains destined for landfill. Certainly, this is not the only answer to making use of waste methane. For a long time, methane has been used as a fuel in the waste to energy industry, however it may be that through rethinking traditional ways of managing waste products, we can optimise the use to suit the regional demands of the GCC and take steps towards a more secure local food industry. The Middle East has become synonymous with future-focussed thinking for the masses, driven by the ideology of a sustainable economy unpegged from the oil and gas industry. The implementation of a long-term food strategy plays a significant part in the relative success of these initiatives and we must consider the balance of traditional and emerging technologies for the benefit of delivering an optimised solution in a challenging environment.

Facts uncovered Adrian Bell and Nicholas Kramer, partners at CMS, explain the main areas of change from the 1999 editions and cover some of the implications for early users and those negotiating FIDIC standard forms
T
he wait is now over. In December 2017, FIDIC published its much-heralded new editions of the Red, Yellow, and Silver Books, which contain extensive amendments to the first editions, released in 1999. We primarily focus on the Yellow Book, however, unless stated, the amendments also apply to the Red and Silver Books. Key changes across the suite include the new ‘Advance Warning’ procedure, similar to that under NEC, the ‘Notice’ procedure to be followed before any claims can be advanced and the new regimes for claims and dispute resolution. Design The 1999 edition of the Yellow Book contained an express fitness for purpose requirement, which has been modified, such that the purpose must be stated in the employer’s requirements; and if no such purpose is stated, the works must be fit for their ordinary purpose. Similar wording features in the Silver Book. The fitness for purpose obligation is now backed up by an indemnity whereby the contractor is required to indemnify the employer for any failures in this regard. This is tempered to some extent by the exclusion of liability for indirect and consequential losses and the fact that any liability will fall within the general cap on the contractor’s liability, however, we anticipate that contractors will not react positively to this provision. The fitness for purpose and the professional indemnity insurance obligations provide that the contractor’s PI policy must protect any failure to achieve the fitness for purpose requirements, if stated in the contract data. 22

This is rather optimistic - particularly at times when the contractors’ PI insurance market hardens and so contractors would be well advised to discuss these requirements with their brokers to see what can be achieved. Security An additional provision has been included to the effect that a request for an increase or decrease in the amount of the security can be made if variations under Clause 13 result in a change to the contract price of more than 20%. Employers may still wish to make amendments to adjust the percentage change to the contract price that triggers this provision and/or to provide for consequences if the contractor fails to provide the necessary increase to the performance security. Variations The grounds for objecting to a variation now include (i) varied work that is ‘unforeseeable’, having regard to the nature of the works set out in the employer’s requirements; (ii) whether

the variation would adversely affect the contractor’s ability to comply with certain obligations; and (iii) whether the variation adversely affects the contractor’s ability to meet its fitness for purpose obligations. With reference to omitted work, this can be carried out by others, if agreed, but the contractor will be entitled to loss of profit and other losses / damages by way of compensation. The change in law provisions have also been altered so that changes in permits etc. obtained by the employer or the contractor under sub-clause 1.13, or changes in the requirements for any such permits etc. are also to be treated as changes in law. Time / Programme The contents of the programme are more prescribed, for example, it should include logic links between activities and the critical path(s). There is also an additional requirement to submit a separate testing programme. If the parties are to stipulate a contractually binding programme, it is likely that additional work will be required up front to ensure that the programme is compliant. This section also features a more developed ‘advance warning’ provision from that previously provided for in the former Clause 8.3. Each party is now required to notify the other and the engineer of any known or probable future events, which could adversely affect the work of the contractor’s personnel or the performance of the works once completed, or increase the contract price, or delay completion. The engineer may then request a proposal to avoid or minimise the effect of any such event.
Users of the NEC suite will be familiar with this concept through the ‘early warning’ provisions found in all NEC contracts, however, FIDIC has not included express provision for any failure to comply. When claims are to be made under specific sub-clauses, in many cases there are increased requirements as to when and how to submit “notices” of those claims. It is made clear that progress reports and programmes cannot constitute notices. To that end, the advance warning procedure and the general requirement for notices seek to impose more order in terms of the administration of the contract. Defects There is a new limitation period for plant, which provides that the contractor is not liable for any defects or damage occurring more than two years after the expiry of the defects notification period (DNP) for plant (unless prohibited by law or in the case of fraud etc). Whilst not entirely clear, this is probably to be read as excluding liability for defects or damage occurring more than two years after the expiry of the relevant DNP, rather than imposing a shorter limitation period in respect of plant. Termination The employer’s right to terminate for convenience has been significantly modified by requiring it to pay loss of profit and other losses and damages suffered by the contractor as a result of the termination. These changes render the consequences to the employer of termination for convenience largely indistinguishable from a termination by the contractor for employer default, which, we suspect, will be unpalatable to many employers. Claims A party cannot raise a claim without submitting a notice. Therefore, a party cannot seek a tactical advantage by advancing a claim in day-to-day correspondence. (which was the previous position under the Red Book). Instructions should now comply with the notice procedure and work should not be carried out before a written notice is issued. There is a more detailed process for dealing with time/money claims. The usual provision requiring notification of the claim within 28 days has been retained, as has the provision stating that if the notice is not given in time the claim is lost. However, the claimant now has 84 days to deliver a “fully detailed claim”, rather than the previous 42 days and if it fails to state the contractual or legal basis for its claim within this 84-day period, the claim may be barred. If a party is dissatisfied with the engineer/employer’s representative’s determination, it must issue a Notice of Dissatisfaction (NOD) within 28 days and can then proceed to dispute resolution. If, however, the aggrieved party fails to serve such NOD or issues it out of time, the engineer’s determination will be deemed accepted and becomes final and binding. The party serving an NOD must also commence Dispute Avoidance and Adjudication Board (DAAB) proceedings within 42 days of the NOD, otherwise the NOD will lapse, and the engineer’s determination will become final and binding. Dispute Resolution This now contains a requirement for the DAAB to regularly meet with the parties and/or visit the site, which will
add expense and more administration (some would say, unnecessarily). DAAB decisions, which have not become final and binding, may now be enforced by separate arbitration proceedings. This broadly follows the drafting proposed in the earlier FIDIC Guidance Memorandum, noting that a substantial number of arbitral tribunals had found the position previously unclear. This is welcome news, given that bespoke amendments to the FIDIC Suite frequently provide for arbitration only after taking-over, which could inadvertently render a previously binding DAB decision/expert determination redundant if one party fails to comply. As regards to an arbitral tribunal, the ICC Court will decide the number of arbitrators to be appointed. This may now avoid jurisdictional issues, which can arise where the ICC Expedited Procedure applies, for example, the appointment of a sole arbitrator in the face of an arbitration clause which stipulates a panel of three. The expedited procedure is relatively new, but challenges to similar procedures under other rules have led to inconsistent results, which can now be avoided. It is hoped that the new amendments to the FIDIC Rainbow Suite offer clarity. We often see bespoke contracts based on FIDIC or heavily amended FIDIC forms, which over-complicate the claims and dispute resolution provisions. One recent MENA example provided for a binding expert determination (with little clarity in terms of the appointment procedure); arbitration after taking-over; and a provision elsewhere in the contract, which allowed for payment disputes to be heard by a “competent court” (not a common law court in a freezone). By incorporating the new regime for the handling of claims and dispute resolution, such heavily bespoke procedures should hopefully be avoided. To conclude, we appreciate that not all of the amendments in the 2017 suite will be welcome to all parties, but they are likely to raise useful considerations when drafting and negotiating FIDIC based contracts in the future (and indeed, when litigating), which can only be a good thing!

Case in 2017 and is present in the Middle East and the North-East Africa region with a central coordination facility for the entire area located in Dubai, and a sales and service network, comprising 17 dealerships. JK Cement Works FZC JK Cement Works (Fujairah) FZC is a subsidiary of JK Cement Ltd (JKCL). JKCL is one of the leading producers of grey cement in India and second largest producer of white cement in India. CBNME presents key highlights from Intersec 2018, world’s leading security, safety, and fire protection trade show in Dubai, featuring 1,337 exhibitors from 59 countries

he 20th edition of Intersec was opened on January 21, 2018, by HH Sheikh Mansoor bin Mohammed bin Rashid Al Maktoum. Taking place until January 23, the three-day event featured 1,337 exhibitors from 59 countries, covering 60,000sqm of space at the Dubai International Convention and Exhibition Centre, a 5% increase over the previous year. More than 5,000 brands were on show across seven focus areas of commercial security, fire and rescue, safety and health, homeland security and policing, information and cyber security, perimeter and physical security, and smart home and building automation. HH Sheikh Mansoor bin Mohammed, who was accompanied by senior government officials, organisers, and representatives from the regional security industry, said at the opening ceremony: “Safety and security has increasingly grown in importance for all 76
of us today and over the last 20 years, Intersec has grown into the most important trade show for safety and security globally. Intersec has played a significant contributory role in enhancing the safety and security of our society by bringing the latest innovations and developments within reach of Middle East buyers and establishments. The show’s success underlines the importance of Dubai’s role in driving change, innovation, and development across the region.” Fire and rescue recorded the largest year-on-year exhibitor growth at Intersec 2018, with 448 companies on board this year, a 24% increase over 2017. Information and cyber security too continues its upward growth trajectory, and this year features 52 exhibitors dedicated to combating cyber threats, espionage, and online criminals. In 2017, the company launched wifi-enabled CCTVs to further expand its home security solutions product portfolio in India, and currently they are on the lookout for correct channel partners for the same in Dubai. Named Easy Viewing Everywhere (EVE) home camera, this CCTV series is capable of directly streaming videos to the mobile handsets of the home owners. Ford Trucks is launching its new series with more customised features than ever before to ensure its trucks meet GCC specifications and requirements in all aspects and details. As such, it is also going to offer Euro 5 engine staring from 2018. Ford Trucks has already trained all its GCC dealers regarding the Euro 5 engine and the new technology which comes within. Additionally, all its workshops are well-equipped and trained to give necessary support during the transition period in the region. Ford Trucks is planning on upgrading all of its segment products with the Euro 5 Ecotorq Engine and this will be a significant improvement over the previous generation, which delivered 350 PS and 1,400 Nm of torque. The new 400 kW engine brake provides the driver with firm control while climbing steep slopes in earthmoving and cutting sites. The optional 600 kW Intarder option offered for even tougher conditions brings the total braking capacity to 1,000 KW, ensuring that the heaviest loads can be safely carried on even the steepest slopes and hills.
