Fight in the great cause of social justice and national amelioration but perform your appointed and consecrated tasks first.’ This, I believe, defines our role in Salubris.


T

rue excellence in health care means the best possible treatment that results in the most favorable outcome at the lowest possible cost to the patient. This is Value-Based Health Care – the bedrock of our hospital. This is what Salubris Medical Center aims to be – a center of excellence in health care for Nueva Vizcaya and its neighboring provinces. Salubris Medical Center is our Legacy Project. We are confident that this enduring legacy will outlive all of us who made it possible. This work is not man’s alone – God’s hand was always in this great task and we humbly bow our heads to Him in gratitude. We have erected an edifice that was made to serve our people especially those whose bodies and spirits are weighed down by illness and pain. We will strive to gain the confidence of our patients and our medical peers through the work that we do and hope that we will be the preferred medical facility for patient care in our community and in our province. The hospital now stands in the heart of Solano – proud and beautiful after years of difficult work and the unwavering commitment and dedication of so many. I like to think that this hospital stands as a symbol of what we, ordinary persons, can achieve if we put our hearts and minds into something truly bigger than ourselves. It was all in pursuit of a dream one thought would never come true but hoped for anyway. A wise and eminent Filipino doctor once advised some future physicians as they embarked on a medical career to serve their countrymen: ‘You are to be their doctors – to bind their wounds, to heal their ills, to deliver their children and comfort them at death’s bed. Fight in the great cause of social justice and national amelioration but perform your appointed and consecrated tasks first.’ This, I believe, defines our role in Salubris. SALUBRIS MEDICAL CENTER is the brainchild and hospital arm of Salubris, Inc. a duly SEC-registered corporation founded by medical and business professionals who are the same pioneers of quality health care in the province.

Its founders believe that the right to health is fundamental and hope to contribute to the progressive, if not the immediate, realization of this right. Salubris intends to promote good health and wellbeing to everybody, in every stage of their lives, through the services that we will provide. Access to quality healthcare, therefore, is core and indispensable to good health. But access is denied to so many among us. Salubris is envisioned to be a modern community-based general hospital that will serve the health needs of Nueva Vizcaya and the neighboring provinces – Ifugao, Mountain Province, Quirino, and southern Isabela. People in these areas belong to indigenous communities and several still live in poverty. Salubris believes that the amazing benefits of 21st century medical care should not be confined to the wealthy but also to the women and men who live in these communities. Based on the DOH A.O. No. 2012 – 0012 (Rules and Regulations Governing the New Classification of Hospitals and Other Health Facilities in the Philippines), Salubris Medical Center is classified as a secondary level private general hospital.

LOCATION

Salubris Medical Center is centrally located in Solano, Nueva Vizcaya. Solano is a first class partially-urban municipality and is the central business district in the province. It is bordered by the provinces of Ifugao, Isabela, Quirino, Aurora, Nueva Ecija, Pangasinan, and Benguet. The catchment area of Salubris Medical Center would include the provinces of Nueva Vizcaya, Ifugao, Quirino, Mt. Province and southern Isabela.

THE MAKING History of Salubris Medical Center BY JUSTO VICENTE J. DAÑGUILAN, MD

Salubris Incorporated was born in a hurry. This is the story of its birth and its early growing years.

SOMETIME IN 2005, the hospital cooperative Medical Mission Group (MMG) Hospital and Health Services Cooperative-Nueva Vizcaya - founded in 1999 by Drs. Willie Damasco, Justo Dañguilan, Domingo Remigio, Junifen Gauuan, Jaime Venturina and Excelsior Valdez - had to look for a site on which to erect a new hospital building that would meet the requirements of the Department of Health (DOH). Dr. Dañguilan, who was Chairman of the MMG Board of Directors at the time, and some members spent months scouting

for a prospective site. Their attention turned to the 3-hectare riceland of the Borromeo Family fronting the Solano Municipal Hall. Dr. Dañguilan informed Dr. Damasco - the immediate past chair of the BOD - about this, and together they decided to explore the possibility of acquiring the property. Dr. Dañguilan broached the idea to Prof. Mauricia Borromeo, the eldest of the Borromeo siblings and cousin of Dr. Dañguilan, who was receptive to the idea and said she would relay the matter to her siblings. Of the six Borromeo children, only two

reside in the Philippines while the rest lived abroad. In October 2005, Prof. Borromeo informed Dr. Dañguilan that her siblings were willing to part with one hectare of the land on one condition - a hospital would be built on the site. All of the Borromeo siblings would be coming home to the Philippines for a reunion and to celebrate Christmas, which was two months away. Drs. Damasco and Dañguilan therefore had to hurry to form a group to purchase the property. SALUBRIS MEDICAL CENTER THIS IS OUR STORY

On November 15, 2005, an organizational meeting to form a new corporation was held at the Damasco Residence in Solano with 30 attendees. In this meeting, the first Board of Directors was elected. They were: Dr. Willie Damasco, Chairman; Dr. Jaime Venturina, Vice Chairman; Engr. Olivia Valle, Secretary; Dr. Julieta Cariaga-Uy, Treasurer; Dr. Marilyn Padre, Asst. Treasurer; Mr. Albino Francisco DaĂąguilan, Auditor; and Dr. Ruben Sinfuego, Assistant Auditor. It was decided to name the corporation SALUBRIS, INC. - Latin for 'health and wellness.' Salubris, Inc. started with 34 incorporators and an authorized capital stock of PhP 5 Million. With the new corporation organized, it was ready to purchase the Borromeo property. After a delay because of the repeat survey of the property due to some objections by tenants in the initial survey, this was completed in July 31, 2006 with the signing of the Deed of Absolute Sale.

January 2006 Submission of registration papers to the Securities and Exchange Commission (SEC).

February 21, 2006 Completion of registration at the SEC.

November 22, 2010 Acceptance of Joint Venture proposal by MMG through then Chair, Dr. Selina Rupisan (subject for approval by the MMG General Assembly).

March 19, 2007 Annual Stockholders' Meeting It was decided here to partner with MMG in a Joint Venture Undertaking, followed by a Letter of Intent sent to MMG for such. February 17, 2011 First meeting between MMG & Salubris panels: It was decided that MMG would lead the formation of a new corporation which Salubris would eventually join.


February 27, 2012 - Second meeting between MMG & Salubris panels: It was proposed to call the proposed new corporation Salubris-MMG Inc. It was decided to have the assets of both entities valuated by a professional appraiser. Both parties prepared a Memorandum of Agreement on the joint venture/ merger, which resulted to a stalemate after several meetings. June 4, 2012 - Sent Letter to MMG from Salubris stating that it was no longer interested in pursuing the joint venture and gave notice that it would go ahead with its plan of constructing a hospital. Salubris Stockholders' Meeting with Dr. Da単guilan's son, Mr. Deogracias Victor Da単guilan (DVMD) who was finishing his Master's degree in MBA-Health at the Ateneo de Manila University. DVMD accepted the task of making inquiries with the DOH and completing the preliminary requirements. Submission of Application to the Department of Health (DOH) - Regional Office for a Certificate of Need (CON) for a 50-bed hospital, which was a pre-requisite for the Permit to Construct (PTC). September 5, 2012 - Received letter from DOH Regional Office stating disapproval of the petition for a CON "for failure to meet the criteria on travel time and integration with the Provincial Hospital Development Plan." They however recommended to file an appeal at the Office at the Secretary for Health for reconsideration, which Salubris did. Late 2012 - Visit of two groups of Salubris Incorporators to the Western Batangas Medical Center in Balayan, Batangas whose BOD Chair is Dr. Jose Emerson Afable, DVMD's classmate in Ateneo. The hospital was designed by the Redentor D. Ragojos Architectural Design group based in Quezon City. After the visits, Salubris established contact with the Ragojos group. September 8, 2012 - The Ragojos group, through Arch. Edwin Remular, made their initial presentation to Salubris at the old Kaboodle Grill in Solano. A group comprising Drs. Willie Damasco, Excelsior Valdez, Arch. Rogelio Tiongson, Engr. Rico Tiongson and DVMD was formed to negotiate with the Ragojos group on estimates and terms. March 2013 - Then Health Secretary Enrique Ona issued AO 2006-0004-C allowing hospitals with a bed capacity of 100 or higher to be granted a PTC even without a CON. Salubris then decided to proceed with the plan of a 100-bed hospital instead of the proposed 50-bed hospital. April 20, 2013 - Salubris convened its 1st Investors Conference at the 24/7 Resort in Solano to market the project and to raise funds.

May 2013 - Opening of the 1st Salubris office at the Vicente L. Da単guilan Memorial Clinic Annex. As Salubris grew, other offices opened in different locations, namely at the Cariaga-Uy Clinic and the Ni単o Jesus de Praga Learning, Inc., both in Solano.

September 8, 2013 - Groundbreaking of the Salubris Medical Center officiated by Msgr. Vicente Emilio B. Tugadi, HP & Pastor Ariel Salteras with then Governor Ruth Padilla as guest of honor. SALUBRIS MEDICAL CENTER THIS IS OUR STORY

March 10, 2016 Dr. Reynaldo Joson, a quality officer of Manila Doctors' Hospital, was invited to set up the Online Collaborative Interactive Learning in Hospital Administration (OCIL-HA), which was meant for administrators, doctors, nurses and staff of Salubris. November 11, 2013 Approval of Salubris lot conversion from agricultural to commercial.

August 18, 2015 Signing of loan contract with the Development Bank of the Philippines at Balai Gloria, Solano.

December 1, 2015 Resolution by the Salubris BOD to increase the investment of each incorporator to PhP 1 Million.

December 2014 Start of construction.

At the end of 2015, there were 321 investors with a total contribution of almost PhP 80 Million and the building was 23% complete.

November 20, 2016 to January 8, 2017 Three strategic planning sessions were held for doctors and staff of Salubris with DVMD as the facilitator.

April 19, 2014 to September 12, 2016 Scheduled international trips to scout for and purchase finishing construction materials and medical equipment through Mr. Alan Xu, integrator, and his Philippine-based partner Mr. Ricardo Villalon of McGC Meditel Corporation. These visits resulted in substantial savings amounting to millions of pesos.

September 2016 to January 2017 Competency seminars and trainings in Manila attended by staff of the Human Resource Development Unit (HRDU) headed by Ms. Rochelle DaĂąguilan and the Core Nursing Team headed by Mr. Orlando Toquero, RN, MAN. 2015 TO DATE Weekly meetings of the BOD to oversee the different areas - construction, purchasing and procurement of medical equipment and other important concerns where BOD decision is crucial. BOARD OF

DIRECTORS The Board of Directors (BOD) of Salubris Inc. is the supreme body in the Corporation. It is presently composed of seven persons elected by the corporation in its Annual Stockholders Meeting (ASM). Its main task is to create policies and to ensure adherence to the Code of Corporate Governance. Should the proposed Code of Corporate Governance be approved by the Corporation in its next ASM, the membership of the BOD will be expanded to nine persons, three of whom will serve as Independent Directors. While the BOD is entitled to compensation, the present BOD declined to accept any compensation during its several terms of office.

MANAGEMENT COMMITTEE The Management Committee (MANCOM) is the implementing body of the policies created by the BOD. It is composed of all the upper level managers of the Salubris Medical Center – the Chief Executive Officer and the heads of its different divisions. Its main task is to oversee day-to-day operations of the hospital. The MANCOM is directly answerable to the BOD.

MEDICAL SERVICES DIVISION The Medical Services Division is the clinical arm of Salubris Medical Center and its most visible face. It is composed of the physicians, nurses, allied health professionals and all who are directly involved in patient care. DEPARTMENT OF emergency medical services The DEMS, more commonly known as the Emergency Unit or Emergency Room, specializes in delivering high quality critical and urgent care while maintaining a safe, respectful and non-discriminatory environment. It caters to all - from neonates to the elderly - with a broad spectrum of illnesses and injuries, some of which may be life threatening and require immediate attention. This department is equipped with state-of-the-art facilities and a full operating theatre for those requiring emergency surgery. Our emergency room triage and assessment process will reduce average waiting times, allowing for faster care when most needed. DEMS offers the highest possible quality of emergency care encompassing a variety of urgent and emergent conditions.

DOPS

DEPARTMENT OF out-patient services The DOPS provides diagnosis and treatment to patients who do not require hospital admission in the Salubris Medical Center. It consists of six clinics, namely: Dental, Surgery, Pediatrics, Obstetrics and Gynecology, Medicine and Respiratory Unit. The clinics are manned by consultants - established specialists in their own fields - nurses and other health care providers to guarantee quality and safe patient care. DOPS has a queuing system and centralized patient services linked with ancillary services -features that shorten waiting times.

DNICS DEPARTMENT OF NEONATAL intensive care services “We care for your precious babies.” The DNICS is manned by a Neonatologist and highly competent Pediatric Doctors and Nurses. It offers comprehensive servictes for the neonates needing specialized care. There is a dedicated area for critical cases and has a facility for family involvement and social support.

DInCS

DEPARTMENT OF intensive care services The DInCS is a very crucial unit in any hospital. It cares for the very sick - those needing continuous monitoring and care. It is fully equipped with state-of-the-art equipment and has ten (10) glass-walled rooms and a viewing area that permits the family to see the patient. Each room has an isolated air cycle to prevent contamination of those in the adjacent rooms. It is also connected to the Dialysis Unit to avert the need to transfer patients needing hemodialysis. The DInCS also has a dedicated acute stroke unit which will be manned by adult neurologists and highly trained stroke nurses. Other features include an isolation room, doctor’s lounge and a conference room for meetings between physicians and family members to assess the latter of the prognosis of the patient.

DEPARTMENT OF PHARMACEUTICAL services The DPS of Salubris Medical Center plays an irreplaceable role in the context of the complete patient care. It is a specialized field in charge of the dispensing, storage, and distribution of medicines for the immediate recovery of the patient. It aims to be globally competitive by giving the best possible service in complex pharmacy care for the betterment of its patients.

DEPARTMENT OF NUTRITION AND DIETETICS services The DNDS is tasked with sourcing and preparing meals for patients of Salubris Medical Center. It is fully equipped with state-of-the-art kitchen equipment and is manned by a highly trained staff that includes a nutritionist-dietitian, consultant and kitchen staff. With their expertise, they prepare appropriate and prescribed plated meals that are both palatable and well presented.

DEPARTMENT OF OPERATING COMPLEX services The DOCS has four operating theatres in the complex located in the second floor and one operating room in the DEMS. There are dedicated operating rooms for eye surgeries and orthopedic cases, while the rest are for general surgery. The surgeons are established consultants in their respective fields and they are assisted by highly trained and competent nurses. The operating rooms have advanced equipment, maintains positive air pressure and laminar flow to prevent infection, and antibacterial vinyl flooring. The Recovery Unit, which has five beds, is a well-equipped unit and is manned by highly trained and competent nurses with a viewing area for the patients’ families.

DIPS

DEPARTMENT OF IN-PATIENT services The DIPS is a multi-disciplinary care unit for patients who need to be confined for overnight observation or longer hospital stays. It is designed with the comfort of home in mind. It is equippped with technology that allows for continuous efficiency in monitoring. The amenities of the DIPS include air-conditioning, privacy and comfort, hot and cold showers, antibacterial floors, grab rails and more. A variety of rooms are available: Charity Ward has 4 beds, Male and Female Wards (4 beds each), Semi-Private Rooms (2 beds), and Private Rooms (1 bed). Isolation rooms for highly infectious patients are also available. When fully functional in the near future, a whole floor dedicated to private rooms and suites will be opened.

DEPARTMENT OF OB-GYNE COMPLEX services “A place where new life begins.” The place where you can entrust your health to the competent ObstetriciansGynecologists, loving and caring hands of nurses and midwives, and with a fully equipped facility. The DOBCS has a seven-bed Labor Room with an area for high-risk pregnancies, and two Delivery Rooms convertible to operating rooms with positive air pressure and laminar flow to enhance infection control.
