Consent in 2016 Consent to a dental procedure used to be straightforward. The dentist told the patient what was to be carried out, and the patient agreed verbally. Hey presto; consent obtained. Not so in 2016! GDC standards for the dental team states that registrants are required to "find out what your patients want to know as well as what you think they need to know". The recent Supreme Court case of Montgomery v. Lanarkshire Health Board endorsed this view and stated that health care professionals are required to treat their patients, "so far as possible as adults who are capable of understanding that medical treatment is uncertain of success .... accepting responsibility for the taking of risks affecting their own lives".

ing, the young man was referred for assessment to an orthodontist who was somewhat surprised to see a goodly number of teeth missing. The treating dentist had decided to extract all four permanent molars to alleviate "future crowding". However, she had omitted to inform the mother of this at the assessment visit, and asked the mother to consent to "dental extractions". Unfortunately, the young man had a condition called "congenital partial anodontia" (failure to develop one or more teeth), and would never have had orthodontic "crowding".

A recent case comes to mind. An eleven year old was referred by his general dental practitioner to a specialist centre for two dental extractions to be carried out utilising general anaesthesia, as the patient was very anxious. The eleven year old attended with his mother for an assessment visit, when a generic consent form was signed by the mother which stated that the operation was "dental extractions under G.A." The operation took place one week later when four teeth were extracted. After heal-

The consent process had not involved the mother fully in the dialogue. The consent was, in my opinion, not valid, and therefore, the extraction of the two extra molar teeth, negligent. A financial agreement was arrived at. Consent requires dialogue, involvement and time to fully make the patient aware of all treatment options and outcomes. Dental practitioners would not practice 1970's dentistry in 2016, nor should they practice 1970's consent in 2016. â–

Professor of Orthopaedic Trauma Professor of Orthopaedic Trauma at the University of Edinburgh. The Legal Profession in Scottish Society Eilidh Wiseman, President of the Law Society of Scotland looks at the role of the legal profession in Scottish society and,the challenges faced by the legal industry in Scotland in the 21st Century. For over 60 years, the Law Society of Scotland has acted as the professional body for Scottish solicitors and the key guardian of the public interest in relation to the solicitor profession and the wider justice system. Our interaction with our members as well as the public gives us a unique perspective, not just on legal matters but on many of the wider issues facing Scotland. The Scottish independence referendum in 2014 attracted a record level of political engagement and a quite astonishing turnout at the polls. Following the UK general election in May 2015 and this year’s Scottish parliamentary election, it is vital that the political parties continue to engage the electorate, harnessing the current interest and enthusiasm.

The Law Society promotes access to justice through a range of activities, from supporting pro bono initiatives by solicitors, to campaigning for an effective legal aid system, and making recommendations for a better justice system. Access to justice is under pressure in many ways. A lack of availability of legal aid as well as court and tribunal fees all present difficulties to people who lack sufficient resources to pursue their cases. Legal Aid, the system of publicly funded legal aid in Scotland, is a mainstay of access to justice, providing help in around 270,000 cases each year. Ensuring that all those who require help from a solicitor, whether for civil or criminal matters, can access that support is crucial for a fair society and a properly functioning justice system.

This gives us an important and prominent role in civic Scotland; acting as one of the pillars of pluralism and independence in society. As the professional body for over 11,000 solicitors, who collectively engage with millions of people and across a wide spectrum of issues, we are able to access a broad base of experience and expertise.

In our 2015 recommendations paper on legal aid, we stated that the system needs simplification so the public can understand it more easily and it is more effective for practitioners. It needs revision to deal with developing human rights in Scotland. It also needs proper funding, having declined significantly in real terms over the last two decades. Public funding is an issue for all frontline services, but given the high prevalence of justice problems and the social, emotional and financial cost of leaving these unresolved, investment to halt the ongoing real terms decrease in legal aid funding is crucial. A cost-benefit analysis demonstrates that legal aid spending results in substantial savings to the public purse and the wider economy further down the line. A 2010 Citizens Advice report estimated that for every £1 spent on legal aid in England and Wales, the state saved £2.34 on housing advice, £2.98 on debt advice, £8.80 on benefits advice, and £7.13 on employment advice.

Our Council and committees are made up not just of legal practitioners, but also academics and other experts from outside the profession. As the statutory regulator of the legal profession, we work to ensure the highest possible standards. We also have a duty of care to the public to ensure they have an awareness of their rights and how they can access the Scottish justice system. For these reasons, we have a particular interest in good governance and the creation of good law. We respond to public consultations and recommend detailed amendments to political representatives during the legislative process. We are a strictly non-partisan organisation and engage regularly with the Scottish Parliament’s committees and with individual MSPs from across the political spectrum. Our objective is to assist in making good law that is coherent, practical and easy to understand.

Lack of investment in legal assistance has made it increasingly difficult to maintain a sustainable, high-quality legal aid system across Scotland. A failure to fund the system properly will lead to advice deserts.

Significant developments in online dispute resolution have taken place in other countries. In England and Wales, for instance, it is already possible to access telephone mediation for small claims, and the facility to conduct this online is being developed. For less complex disputes, we believe that this would be an effective use of technology in Scotland. The legal services market is undergoing dramatic change. Legal services are being delivered in new and innovative ways. There are more cross-border firms, an increasing internationalisation of legal services, changing demands of clients and advances in technology. All are impacting on the Scottish legal profession, businesses and consumers. The legal profession and legal services market is critical to Scotland's economy and society and to the maintenance of the rule of law. Trust in the Scottish legal sector remains high. Independent public polling has shown that 90% of the Scottish public are satisfied with the services provided by their solicitor and 82% would recommend their solicitor to others.To ensure this is maintained and built upon, it is important that the solicitor profession has the ability to meet the evolving expectations and demands of clients within a modern flexible framework which can meet the unprecedented, and unforeseen, changes we have seen over recent years and those ahead of us in the future. Regulation of the legal services market is an essential component which contributes to the rule of law, the proper functioning of the justice system, the economy and society in general. Central to any regulatory framework is consumer protection. The present legal framework surrounding the Scottish legal profession is, in effect, a patchwork of legislation. The underpinning and central piece of regulatory legislation is now over 30 years old. The legal, economic and social landscapes have significantly evolved since the Solicitors (Scotland) Act 1980 was introduced. Solicitor numbers have more than doubled, with a third of solicitors now employed in-house. They are also working in a much more diverse legal sector, where larger firms have materialised over recent years to exploit the opportunities of the globalised legal market. Although large commercial and international firms are more prominent, smaller private and general law practices still continue to operate, many serving rural communities. These smaller private practices are key in providing important and much needed legal services to members of the community who may have difficulties in accessing legal services otherwise. Although many of the provisions of the 1980 Act continue to work well, the law needs to be modernised to support and facilitate the evolution of new business structures and advances in technology.

The current legal services market requires a modern, transparent, responsive and adaptable regulatory framework to ensure that, through the Law Society, the Scottish solicitor profession can continue to deliver a competitive world-class service to Scottish,UK and global businesses and consumers. The legal sector in Scotland now contributes over £1.2 billion to the Scottish economy each year. It is responsible for over 20,000 highly skilled jobs. The services provided by solicitors are critical to the smooth running of the economy, not least in the property market and helping people to set up their own businesses. The growing numbers of in-house solicitors also make a critical contribution to the success of the companies and organisations that employ them. Many of the sectors upon which Scotland depends so heavily including energy, financial services, the life sciences, food and drink all rely on high-quality, expert legal services to thrive, whether they are provided in-house or through private practice. Put simply, a successful Scotland needs a successful Scottish legal profession. Following a pronounced and protracted economic downturn, there is strong evidence to show that the Scottish economy is on the road to recovery. Nevertheless, external challenges in the Eurozone and other international economies, along with the recent significant reductions in the price of oil, demonstrate how the economic recovery cannot be taken for granted. One of the most welcome developments of recent years has been the growing recognition within government of the importance of our legal sector, not just to civic Scotland but as a significant economic generator in its own right. Many firms are now looking to expand – at home and internationally - and recent initiatives such as establishing the Scottish Arbitration Centre have served to highlight Scotland as an effective location for international dispute resolution. In the legal sector, the Scottish Government has encouraged a spirit of partnership between professional bodies, business groups and government agencies to support law firms and to promote the Scottish legal jurisdiction throughout the world. The Scottish Government’s economic strategy is critical. It already has important powers to encourage entrepreneurship and innovation and support businesses to grow and create new jobs. This is especially significant for the legal sector given that the vast majority of our legal firms have three partners or fewer, with half of those working as sole practitioner businesses. The Scotland Act 2016 has given additional powers to the Scottish Government which will allow it to support a growing economy. We will be looking to what they do with close interest. ■

Company Profile Expert Evidence by Expert Evidence Limited is a specialist in dispute resolution with financial institutions and over the last few years and has been involved in cases with the following themes Interest Rate Swap mis-selling cases. Expert Evidence has been involved in a number of cases involving the mis-selling of Interest Rate Swap Agreements (‘IRSAs’) both to private individuals and also small and medium sized enterprises (‘SMEs’). The IRSAs come in a whole range of different types from Collars, Caps and Fixed Rate agreements which use the derivative markets to produce the results over a fixed period of time. In the majority of cases the agreements do not match the time period of the underlying loans they were seeking to reduce the risk on. In general the agreements come under the legislation relating to investments and so the Financial Services Authority Conduct of Business Rules apply. Internet banking and vishing attacks – dispute with bank concerning responsibility for fraudulent payments. The concern here was the duty of care expected from banks when fraudulent payments had been made from a customer’s internet banking system after it had been compromised by external fraudsters (‘vishing‘) obtaining access to genuine profiles. Our expert reviewed the papers and concluded it was relevant for them to discuss with their bank the level of care a bank should take when highly unusual transactions pass across a business account and the timely action the bank should take to minimize any loss. This is becoming an increasing problem both for customers and banks. Customers need to be aware to the internal bank procedures which are aimed at reducing the risk of such frauds being successful. It is not just the customer who has responsibilities. Tax Case – Compulsory Purchase Order. A compulsory purchase order compensation case where the claimant sought not only the price but the Capital Gains Tax (‘CGT‘) arising on the forced sale, because in a normal sale, the tax could have been avoided. Overturning previous case law authority, the Upper Tier Tribunal agreed that in theory the CGT is claimable provided the loss is shown, i.e. the statutory roll over relief is not available and the tax could have been avoided or passed on to the purchaser. Tax Case – Stamp duty or not? (settled) A Professional Indemnity Insurance (‘PII‘) claim against advisers for a reclaim of stamp duty reserve tax. This can be reclaimed within 6 years if the

contract fails. However, the advisers incorrectly paid stamp duty, which is harder to reclaim and has a 2 year time limit in any event. Once it became clear to the lawyers what had occurred the case was resolved. Inappropriate actions by offshore trustees on behalf of beneficiaries. Over the years many clients have used the facility of a trust structure usually based in an offshore location. It is important that the Trustees act in a fiduciary capacity for all the beneficiaries and frequently some of the beneficiaries believe that the Trustees have not acted appropriately. At Expert Evidence we have advised on how Trustees have undertaken their role and whether a case exists for compensation of those which have been disadvantaged. It frequently involves the investment actions taken by Trustees on the funds held in the Trust. Consideration of the investment environment and basis of the investment decisions is highly pertinent to the consideration of the evidence. Professional Indemnity cases brought against surveyors and independent financial advisors (‘IFAs‘). Given the traumas of the investment markets over the 2007-2009 period, a number of clients and banks have lost substantial funds which are considered caused by the actions by professionals who have provided advice. Expert Evidence has considered a number of cases on behalf of the Banks and also Professional Indemnity insurers and determined if there is a cause for action or not. Professional advisors can include Solicitors, Surveyors, Independent Financial Advisors and Investment Managers which need to act in an appropriate fashion to avoid charges of negligence. Consideration of the investment environment and basis of the professional decisions is highly pertinent to the consideration of the evidence. Derivative mis-selling cases. Derivatives, including Puts, Calls, Futures, Options and complicated structures are frequently provided as a risk mitigation strategy to clients. While they may also have substantial benefits, sadly they frequently carry other risks which may result in financial loss in certain circumstances. However it is important that clients understand what they are doing and the risk associated with the investment instruments provided. In many cases this would require the clients to be

providing financial institution ensures that this duty is carried out correctly under the rules. Expert Evidence has advised on a number of cases where the clients have realised substantial losses and the determination of the appropriateness of the strategy proposed needs to be considered. Contract for differences cases. Contracts for Differences are much used investment instruments due to the ease of dealing, ability to gear the exposure and the favourable taxation treatment. As a result many clients have chosen to deal through this medium. However they also can have additional risks particularly as the liability under the management agreement can be very substantial. Where there have been major movements in the underlying stock market, so clients have sometimes found that the risk level has been under-estimated and returns have not met their expectations. Insider dealing and normal investment requirements for clients still apply. A case which was brought against a firm of accountants which had been involved with a client who had taken out a multi-currency mortgage. Multi-Currency mortgages have been popular with some clients due to the lower interest rate environment for a number of other of the international traded currencies particularly the Swiss Franc, Yen and Euro. At Expert Evidence we have been requested to provide advice on the appropriateness and suitability of the product as well as the on-going supervision of the mortgage loan during its life. Once again the products carry their own risks particularly in the area of currency exposure which clients need to appreciate and can cause significant loss. Situation where a client had provided an order which was misinterpreted by the Investment Manager. The relationship between a bank and their clients can take many forms and usually involves a specially appointed person to represent the financial institution with the client. This can lead to a high level of service but it also has got risks where a Relationship Manager misinterprets a client instruction. The result is that an order may be not executed as a client may have required and when substantial loss occurs the situation can be examined with greater scrutiny. Investor Classification. Expert Evidence has been involved with a large number of cases which have primarily been determined by the investment sophistication of the clients and whether the work conducted by the financial institution was “suitable” and “appropriate” as required under the FSA Conduct of Business Sourcebook. The UK regulatory environment has strict rules determining the way that investors are categorised into Retail and Professional investors at the outset of a relationship to provide investment services. Expert Evidence has advised on a range of

situations involving Unit Trusts, Structured Products, Interest Rate Swaps and Derivatives to determine the knowledge level of the underlying clients and the investment institutions responsibilities. International Cases. Expert Evidence has a wide international experience and has advised on cases being heard in England, the offshore islands (being Jersey Guernsey and Isle of Man), Ireland and also the Caribbean, the Americas, the Middle East (including the DIFC), and Australasia. Each jurisdiction has its own regulatory environment as well as the requirements on experts giving evidence to their courts. Expert Evidence is pleased to have a wide range of experts familiar with all the above, after all banking if often an international and global activity. Offshore Clients which had a Portfolio and were represented by Offshore and Onshore Banks, Investment Advisors and Managers. It is frequently the case that clients will have their investment account with an offshore bank although the account will be managed and/or advised by managers in one of the world’s main financial centres. This is intended to provide the benefits of tax efficiency yet also that the managers are near the heart of the financial community. In some cases the clients will have their custody arrangements in a third location and also the facility of onshore bank accounts and credit cards for their day-to-day expenditure requirements. Whilst highly beneficial in theory, these arrangements have been seen to cause issues for some clients and in a minority of cases they have believed that this will give them a cause for action. Expert Evidence has advised in a number of cases where problems have been brought to light and sought to advise both the banks and clients on the merits of the case. A portfolio which had been managed with an inappropriate risk profile and substantial costs had been incurred through investment in over risky assets. The turmoil in the world’s financial markets during 2008 caused many asset classes to react in a way that was highly unpredictable. Whilst every effort was made to invest the funds correctly, the losses incurred may have been totally different to those that clients were led to believe was possible. In some cases the losses have been highly substantial and clients have sought to seek redress. The cases will be decided by the detail of the advice given to clients and the investment experience of the clients themselves. In cases where the concentration of investments in highly risky areas do not fit the clients risk profile, then there may well be a case of negligence by the investment manager in discretionary managed portfolios. For advisory portfolio, it will depend often on where the investment idea was initiated. The normal FSA rules needed to be obeyed in all cases.

Tax Case – Commercial dispute (unreported) The parties had swapped high value cars and some equality monies. However what is a car for Value Added Tax (‘VAT‘) purposes and was VAT chargeable? Our expert reviewed the papers and concluded it was not relevant to the dispute. The Judge agreed and the Defendants counterclaim for the extra VAT failed because even if VAT was due, the contract made it clear the price was not VAT exclusive. Investment Managers obligations in the provision of advice. Since the introduction of the Conduct of Business Sourcebook Rules (‘COBS‘) on the 1st November 2007, the requirements on investment manager has become significantly more onerous on understanding the particular circumstances of the clients and their background in relation to the investment markets. This is normally referred to as Appropriateness and Suitability which needs to be satisfied for all retail clients. The investment requirements in the case of more sophisticated clients, usually called intermediate clients, is significantly less but then the investment institution must be able to show that the client has appropriately classified. This area has led to many cases over the years and Expert Evidence has advised in a number of situations where the case has been decided on these requirements. Independent Financial Advisors obligations to Clients. The role of the independent financial advisor (‘IFA‘) has been very general and can include almost any area where the finances of their clients are concerned. The majority of IFAs deal with clients who are looking for advice in the fields of investment and insurance. Many of the IFAs have traditionally received their income from the product providers and this is thought to have led to a conflict of interest between the IFAs and their clients. As a result many IFAs are looking to move to a fee based approach paid by the clients. The IFAs role has now been additionally complicated by the introduction of the Retail Distribution Review. All these areas are where disputes between the IFA and their clients can arise. Clients which had suffered loss through foreclosure of a loan arrangement. Banking relationships with clients are very different to investment relationships but have some of the underlying requirements. The issues of Payment Protection Insurance (‘PPI‘) insurance have been highly material in recent years but whatever the situation the Bank retains a duty of care to its clients. The issues found in the termination of banking facilities or even the foreclosure are fraught as the bank is by this stage seeks to protect its position and it can have a material detrimental effect on the clients. This process needs to be managed correctly by the bank and clients should normally be provided with

an opportunity to correct an adverse situation and be treated fairly through the process. Expert Evidence has been involved with a number of tricky situations, particularly where it involves a largely illiquid market for the asset collateral. Investment managers obligations in execution of client instructions. Client instructions to an investment manager need to be executed promptly and professionally at the best price available in the market at that time (Best Execution Requirements of Conduct of Business Sourcebook (‘COBS‘)). Occasionally an order can be lost or delayed which can be highly frustrating to clients in a fast moving market. The situation becomes more complex when it involves a limit order that may sit on the market for an extended period (sometimes many days) although these types of error have become rarer with more sophisticated dealing room software. A reporting error in the quarterly valuations sent to the client, which showed a grossly inflated valuation. Occasionally some of the highly complex investment instruments are not correctly recorded by the investment institution and so continual errors can be made in the periodic reporting that is sent to clients. Whilst these situations can be highly upsetting for the clients and cause significant distress, it is normally not a situation where a liability for redress would be made. Expert Evidence has advised in relation to a number of situations which have arisen and sought successful resolution of the case. Deduction for US income tax made when client had not completed appropriate documentation. International tax has become ever more complicated and financial institutions usually have a responsibility to deduct some withholding tax at source. This has become much more important in recent years with the introduction of the Foreign Account Tax Compliance Act (‘FATCA‘) legislation by the US. This follows the parallel regime set up to create Qualified Intermediaries (‘QIs’) which related to investments. Clients may object to not receiving their income gross but institutions have their own requirements from their National Governments which have to be applied. Civil case on liability where a Ponzi scheme was being operated. Expert Evidence has provided advice to a trial involving a Ponzi scheme which was conducted alongside and within a trading company. Very large sums of money were invested in a non-existent business ideas and bank statements and invoices were fabricated to make it appear that all was proceeding according to plan. the issue was criminal activity, this case was brought under the civil procedure rules and focused on the responsibility of the bank to investors in a company rather than the actually account holders and authorised individuals from the company.

Bringing Business Valuation into the Light by Robin McGregor, Director, Christie Griffith, Forensic Accountants My two favourite sayings about business valuation are first, that it is a black-art and second, that the value of a business is what someone will pay for it. Unfortunately, neither of these statements are true. The first statement is often accompanied by a casual shrug of the shoulders to discourage further examination of why the valuation that had been placed on a business is very different from what is offered to the seller. The second statement is simply a fundamental error in understanding the valuation process. A valuation is an objective estimate of the worth of a business at a point in time and is based on the factors that the valuer has chosen to be representative of likely purchasers. However, the price paid by a purchaser may be more or less than the value placed on the business for a great many reasons, some that should have been considered by the Valuer and others that are known only to the purchaser. A business valuation does include elements of subjective judgement, but these should be clearly stated and supported by evidence. If valuers adopt these principles then it is easy for those comparing valuations to see and understand the impact of changes in the valuation assumptions and for valuers to agree between themselves the areas of disagreement in a constructive fashion. What is Value? There are different measures of value and different approaches to the measurement of those values, which is why the first question that a valuer often asks is, what is the purpose of the valuation. The answer to that question is likely to influence the choice of valuation methodology that is appropriate. For an active trading business, a commonly used metric is ‘fair market value’ and this can be defined as: the highest price, expressed in terms of cash or cash equivalents, at which property would change hands

between a hypothetical willing and able buyer and a hypothetical willing and able seller, acting at arm’s length in an open and unrestricted market, when neither is under any compulsion to buy or sell and when both have reasonable knowledge of the relevant facts. Fair market value implies a calculation that should be carried out in light of the prevailing market conditions at the specific date of the valuation, whereas, ‘Fair Value’, is generally interpreted to cover a broader period of time around the date of the valuation, so that temporary dips or increases in value are discounted. Value is determined at a specific point in time. As such, it is a function only of facts known and forecasts available at that point in time. This reflects the reality that businesses are fluid and the future is uncertain. The commercial world is in a constant state of flux. A management team can influence or control few of these factors and the wider economic conditions are likely to affect customers and suppliers in different, unpredictable ways. Any of these changes will have an impact on the business and hence on its value. The value that a potential purchaser ascribes to a business is prospective and reflects the return that they expect to make on their investment. These returns are measured in cash terms so, should be adjusted for any taxes that may be due. Therefore, a purchaser is interested in the future after-tax profitability of a business rather than in its past performance. However, for valuation purposes and business planning generally, past performance is generally regarded as a reasonable basis upon which to base forecasts of future profitability. In assessing the value of a business, a valuer will discount the expected future profitability based on their evaluation of the risks that are likely to either improve or hinder the forecast level of profitability.

Value and Price In the terminology of valuation, ‘price’ is factual and can only be established by offering an asset for sale and concluding a bargain. In contrast, value represents the worth of an asset, given the economic and business conditions prevailing at the time. These principles apply to all valuations, whether for prospective actual valuations or to a notional valuation being prepared in relation to some date in the past. The variation between value and price arises because, in theory and in practice, each potential purchaser will have different intentions for a business and its assets; a different financing structure; a different tax position and perhaps even a different tax rate. Therefore, the post-acquisition after-tax cash flow is likely to vary been potential purchasers and consequently, the value that each purchaser places on a business will be influenced accordingly. Additionally, the market for a business is not a perfect one. So, the price that a purchaser is willing to pay is likely to be affected by a range of subjective factors. The starting point will, of course, be the value that the potential purchasers have calculated, but will also reflect the length of time that the business is marketed, the aims and intentions each purchaser has for the business post-acquisition, the level of interest in the business and of course, the respective negotiating skills of the parties. A price can also be heavily influenced by the degree of compulsion on either the buyer or the seller. Valuation Methodologies There are many different approaches to valuation, but broadly these recognise that any asset has either a capital value or a potential to generate recurring income. The recognition of the capital value is reflected in ‘net assets’ approaches and the income is used in ‘earnings’ approaches. A net assets approach focuses on the balance sheet of the business and adjusts the ‘book values’ of the assets and liabilities to a current fair market value. This approach would be relevant to businesses that have a high level of assets but have low turnover or profitability. One example might be a property-holding company. This approach is not suitable for businesses that have few physical assets such as a service business, for instance an estate agency. The restated fair market value of the assets less the liabilities gives the value of the business. An earnings valuation is based on the profitability of a business. Using historical profit trends and future projections if available, a valuer will make an assessment of the likely future performance of the business. That figure is known as Future Maintainable Earnings and the valuer will then capitalise that future income stream to reach a conclusion on the value of the business. The most common ways of

capitalising the value of the business is either to use an earnings multiple (obtained by comparing the value ascribed to other similar businesses) or to calculate the level of return that a potential purchaser is likely to target to compensate them for the risk associated with the business. This approach is based on the assumption that a rational investor will balance greater risk by seeking an appropriately higher rate of return. Hence a risk- averse investor might be happy to receive only a few percent interest on a cash deposit, certain in the knowledge that the capital value is not going to be eroded. So, an investor buying a business where there is a greater risk of losing some or all of the capital invested should be seeking much higher rates of return. For comparative purposes, the risk-free rate of return is the generally taken to be equivalent to the return on a 10-year government bond, presently around 1.2%. An average risk premium above the risk-free rate that an investor might expect from investing in the UK Stock Market might be in the range 5% to 7%, with certain industries and specific companies being perceived as lower or higher risk outwith this band. The valuer will then consider other specific risks to the business being valued. Therefore, it is possible to build-up a picture of the level of risk that a particular company should be carrying based on broad market, industry and general economic conditions. Hence, a rational investor should seek to compensate that level of risk by requiring an appropriate level of return, otherwise they should choose to invest in a different less risky asset. These approaches are illustrated in the example below. In each of the illustrations below assume that the Company has been estimated to have post-tax Future Maintainable Earnings of £100,000. Purchaser A expects the Company to perform well and considers the published price-earnings (P/E) ratios of similar companies. The published P/E ratios are based on profits after tax and an analysis of these reveals that an average multiple of 7 times is reasonable. Therefore, the value that Purchaser A attaches to the Company is simply £100,000 x 7 = £700,000. Purchaser B also expects the company to perform well and thinks that the risk associated with investing in the Company is only slightly higher than that of a Stock Market investment. So Purchaser B has calculated that the required rate of return is 10% (risk free rate of 1.2% + equity risk premium of 7% + specific company risk of 1.8%). Therefore, Purchaser B’s valuation of the business is £100,000 divided by 10% = £1,000,000. Purchaser C considers that the Company is poorly positioned in relation to its competitors. Therefore,

Purchaser C considers that an investment in the Company is at least twice as risky as investing in the Stock Market and then there is an additional competitive risk. Consequently, Purchaser C has calculated the rate of return required to be 20% (risk free rate of 1.2% + equity risk premium of 7% + specific company risk of 11.8%). Therefore, Purchaser B’s valuation of the business is £100,000 divided by 20% = £500,000. In conclusion, in my view it is time to recognise that business valuation is not a black-art and should be conducted using an evidence based approach. Consequently, a business valuation should be set-out in an open and transparent way that demonstrates that it is well-reasoned. If these basic principles are adopted, then the valuation report will withstand challenge in Court as it will be both theoretically sound and practically robust. The Scottish Arbitration Centre Scotland has a modern arbitration system and can offer the best in legal and dispute resolution services for both domestic and international businesses. The Scottish Arbitration Centre has been at the forefront of the campaign to promote arbitration in Scotland, and Scottish arbitration to the world. It actively encourages international business to Scotland by promoting Scotland as a jurisdiction of arbitration in international disputes; working to put Scotland on the international arbitration map. Established in March 2011 following the introduction of the Arbitration (Scotland) Act 2010 as a long term investment to develop arbitration in Scotland, the Scottish Arbitration Centre is a not-for-profit organisation made up of five member bodies; the Law Society of Scotland, the Faculty of Advocates, the Chartered Institute of Arbitrators, the Royal Institution of Chartered Surveyors, and the Scottish Ministers. Andrew Mackenzie, Chief Executive of the Scottish Arbitration Centre, explains why Scotland has become the place to arbitrate and why bringing the ICCA Congress to Edinburgh in 2020 will be a game changer for Scotland in international arbitration. What is arbitration? “Arbitration is a form of alternative dispute resolution (ADR); a legal technique for the resolution of disputes outside the courts, where the parties to a dispute refer it to one or more persons (the “arbitrators” or “arbitral tribunal”) by whose decision (the “award”) they agree to be bound. Arbitration can be either voluntary or mandatory (although mandatory arbitration can only come from a statute or from a contract that is voluntarily entered into, where the parties agree to hold all disputes to arbitration, without knowing, specifically, what disputes will ever occur). Arbitration is often used for the resolution of commercial disputes, particularly in the context of international commercial transactions. The use of arbitration is also frequently employed in consumer and employment matters, where arbitration may be mandated by the terms of employment or commercial contracts. Arbitration differs from mediation in that an arbitrator will issue a final decision on the dispute, which is called an arbitral award. An arbitral award is binding on the parties to the dispute and is legally enforceable. However in mediation, a mediator may only guide the parties toward a mutually agreeable settlement by helping them clarify their underlying interests and concerns and encouraging compromise. However, if no agreement is reached, the mediator is unable to issue a binding decision on the dispute.” Why arbitrate in Scotland? “Arbitration has a long history in Scotland, spanning some seven hundred years, and yet in the Arbitration (Scotland) Act 2010 (“the Scottish Act”), Scotland has one of the most modern systems of arbitration in the world. The Scottish Act is similar to the 1996 Act in use in England and Wales, and will feel instantly familiar to international arbitration practitioners. Indeed, the Scottish Courts have held that English case law applying to the Act in force there since 1996 can be used to interpret the Scottish Act. This provides predictability and certainty to the Scottish regime.

However, there are some key differences and benefits to arbitrating in Scotland. Arbitration in Scotland is a confidential process, and unlike the position in most jurisdictions, the duty to treat proceedings as confidential is backed up by legislation. Confidentiality is of course one of the attractions of arbitration to parties whose dispute is commercially sensitive. The obligation to treat all matters relating to the arbitration confidentially is enshrined in the Scottish Act, and is has been strongly backed by the Scottish courts. Where a party to an arbitration suffers loss as a result of another party breaching the duty of confidentiality, the aggrieved party can bring an action for damages. Furthermore, and unlike anywhere else, the anonymity provisions ensure that where there is an appeal to the Court parties can request that their names do not appear on the decision. If a challenge is made to court in respect of an arbitration, the courts will keep the parties’ names, and details of the case anonymous, so as to preserve confidentiality. It is possible to persuade the Court that the case should not be reported at all. There are also no appeals on points of law where the arbitration is an international arbitration. Where the arbitration is ‘domestic’ (concerns two parties based in Scotland), the parties can exclude ‘legal error’ appeals by agreement, thus reducing recourse to the Courts. To reduce unnecessary court challenges, the Scottish Act limits appeals to the Court, and from the Court to the appeal court (the Inner House). There is no appeal to the UK Supreme Court. Scotland is, in arbitration terms, separate from England – this neutrality may be attractive to foreign parties in dispute with English firms. Scots law is a hybrid or mixed legal system, containing civil and common law elements, making it attractive to companies trading in both these jurisdictions. We also

have a mature legal system that backs arbitration, with judges who appreciate the need to support the arbitral process. Scotland itself is a very attractive venue in which to arbitrate, with good transport links and accommodation, and with arbitration costs roughly half of those of London and New York.” What we’ve achieved so far: “Scotland is driving to become a serious contender on the international arbitration stage, and the results of the Centre’s promotional work over the past five years are easily seen. We understand that arbitration business is generally on the increase in Scotland, with the Centre’s rules increasingly being used as the default dispute clause in business contracts. The Scottish Building Contract Committee has announced it will move to arbitration in contracts and Scottish Government has Scottish arbitration, and the Centre as an appointing body, as the default dispute resolution clause in their goods and service contracts. The Centre has also received a steady number of bookings for its arbitration suites since moving to new premises overlooking Edinburgh Castle on Princes Street in September 2014, including bookings for mediations and arbitration hearings. We have made a huge impact internationally. We now over 4,300 subscribers to our quarterly newsletter, with over half of these subscribers located outside of the UK. We have also been shortlisted for awards by

Global Arbitration Review for the past two consecutive years. However, our biggest win to date has certainly been our successful bid to bring the International Council for Commercial Arbitration (ICCA) Congress, the largest international arbitration conference in the world, to Edinburgh in 2020. ICCA is a worldwide nongovernmental organisation (NGO) devoted to promoting the use and improving the processes of arbitration, conciliation and other forms of resolving international commercial disputes. Its activities include convening international arbitration congresses and conferences, sponsoring authoritative dispute resolution publications, and promoting the harmonisation of arbitration and conciliation rules, laws, procedures and standards. forge relationships with a wide cross-section of the Scottish arbitration community, not just those few who attend international conferences in other countries. It will also enable us to showcase Scotland as a destination, and to crystallise the concept of Scotland as a possible arbitral seat in the minds of those deciding where to arbitrate. There are also wider benefits from bringing ICCA 2020 to Scotland. Scottish solicitors will be obvious beneficiaries from an increase in arbitrations seated in Scotland as a result of incidental court work. With additional arbitrations and incidental court work will also come an increase in work for expert witnesses and other professionals involved in dispute resolution proceedings. Following the launch of the International Centre for Energy Arbitration (ICEA) by former First Minister Alex Salmond MSP in 2013, the Centre commenced a survey in April of relevant professionals within the energy sector to identify current trends and desired requirements in respect of dispute resolution within the industry. The results of the consultation were published in a report in May 2015, generating much local and international press coverage and interest from arbitration professionals worldwide. Following the publication of the report, the ICEA will now work towards developing bespoke arbitration rules. The Scottish Arbitration Centre is a long term investment to create a new industry of arbitration in Scotland to support growth and increase business. Gunshot Residue Evidence – A Loose Canon? by Angela Shaw - The Forensic Firearms Consultancy Ltd 2016 The Forensic Science Service (FSS) was the largest employer of gunshot residue (GSR) experts in England and Wales with an impressive array of instrumentation required for round the clock analysis of the samples taken from suspects of gun crime. Since its closure in 2012 the GSR criminal casework load was split between three main private forensic providers depending on their success or failure at tendering for the work being offered by the police forces in England and Wales. Less than half of the number of GSR experts from the FSS now work for these providers and the majority of the remainder left the profession. Scotland, Northern Ireland and Ireland have their own publicly funded forensic science providers. The existence of GSR as an evidence type came about almost by accident when in 1974 Robin Keeley, a senior scientist at the Metropolitan Police Forensic Science Laboratory, was conducting a study of particles collected on air filters during a survey of lead levels in the atmosphere of indoor firing ranges. He noticed whilst observing the lead using scanning electron microscopy and x-ray spectrometry, discrete particles composed of lead, antimony and barium and that they appeared to occur only in percussion primer residue; there was no non-firearms source. For the first time scientists had a method for conclusive identification of gunshot residue. At about the same time, and independently, a similar project was undertaken by the Aerospace Corporation in California. The findings were confirmed by other workers and are still valid today. When a gun is fired the hammer strikes the percussion cap at the base of a cartridge. The primer

detonates and sends a stream of hot gases into the main charge of propellant, which ignites, generating large volumes of gaseous products, which force the projectile down the barrel of the gun. The high temperature inside the cartridge creates conditions in which the individual components of the primer can fuse together. These particles are emitted from the end of the barrel of a gun and from any gaps or openings in the gun’s action and can be deposited on the firer, any persons sufficiently close to the firer, and the gun itself. After the material has cooled discrete particles remain containing combinations of the elements of the original primer and contributions from the gun barrel, cartridge case and the bullet. The recovery and identification of GSR on clothing or hand samples can help address questions such as, “has the suspect fired a gun?” GSR is not a conclusive evidence type such as DNA or fingerprints. It is a corroborative evidence type but the usefulness of GSR should not be underestimated as its presence or absence in crimes involving firearms can be crucial to the overall strength of evidence when a case comes to trial. It is rarely contested that GSR originates from a firearm. What is of far more interest is how the particles came to be present on a suspects clothing, skin or hair. This can only be evaluated within the full circumstances of the case taking into account both the prosecution and defence hypotheses. The type of firearm and ammunition used in the crime is also important information to the GSR expert as it can have an impact on the amount of GSR that may be deposited onto the suspect or their surroundings. GSR is one of the most heavily scrutinised trace evidence types in criminal investigations and the

expert must ensure that police officers, solicitors, barristers and ultimately the court understand the strength of the evidence. With any trace evidence the possibility of cross-contamination should always be uppermost in the mind. In the UK GSR is rare in the general environment and the expectation is that one would not expect it to be present on a suspect with no connection to firearms. However, studies in the UK have discovered that single particles can be found, albeit infrequently, on public transport. Probably the most well known case involving gunshot residue was the murder of Jill Dando on April 26th 1999 when she was shot once in the head. Police searched the home address of Barry George just over a year later and recovered a coat amongst other items. A single particle of gunshot residue was found inside one of the pockets. The particle had a similar composition to the residue found on Ms Dando’s hair, her raincoat and the spent cartridge case recovered at the scene of the shooting. There were four strands of evidence put forward at the original trial in 2001 pertaining to identification evidence, potential lies told by Mr George regarding his knowledge of Ms Dando, a false alibi and the single particle of gunshot residue. The jury found Mr George guilty of Ms Dando’s murder.

The Criminal Case Review Commission (CCRC) in 2006 requested a review of the oral and written evidence in relation to the significance of the single particle and the way in which the case would have been reported today. While employed at the FSS I carried out this review in conjunction with a colleague. We concluded that the GSR evidence was inconclusive; it was no more likely that the particle had originated from the shooting of Ms Dando than it had come from another source. This was based on the information that the coat in which the particle had been found was not recovered until a year after the shooting. The CCRC referred the case to the Court of Appeal stating that the GSR particle that was given great significance by the Prosecution at the trial in 2001 was, in reality of no probative value. The

Appeal Court ruled that it was impossible to know what weight, if any, the jury attached to the particle and as such the verdict was ruled unsafe and the conviction quashed. In a retrial in 2008 at the Central Criminal Court the GSR evidence was ruled inadmissible prior to the commencement of the trial. Mr George was acquitted. This case has generated much discussion among GSR experts around the world and in the main in the UK no significance is placed on the finding of a single particle. The decision on whether or not to admit single GSR particles as evidence rests with the court. In this case both arguments were put before the court but in some jurisdictions single particles are reported as supporting the contention that a suspect has either handled or fired a gun. Additionally in these jurisdictions prosecution experts offer no interpretation to assist the court or jury and do not include an assessment of the possibility of contamination. One of the many cases that FFC Ltd. have been involved in was that of the Glasgow gangland murder of Kevin Carroll in 2010. A single particle of GSR was identified on a jacket recovered from the home address of the suspect, Ross Monaghan, more than six months after the shooting. The address had been searched by armed police officers that were likely to be contaminated with GSR. The prosecution expert stated that a lack of information about the

source of the particle precluded her saying anything more about how the particle was deposited however after hearing both the prosecution and defence evidence during a voir dire the judge at the High Court in Glasgow ruled the particle inadmissible as evidence citing the possibility that it arrived on the jacket through secondary transfer from the armed police officers clothing. Mr Monaghan was acquitted. Numerous studies for the presence of GSR on armed police officers, their vehicles and equipment, police officers not associated with firearms and occupational environments have found that sources of contamination do exist. Reporting an unqualified finding of the presence of gunshot residue can ultimately mislead the court. They cannot appreciate the significance of the potential for contamination if it is not mentioned in the results and the case may go ahead with the gunshot residue findings being unchallenged. The interpretation of GSR is complex and should only be carried out by highly experienced experts knowledgeable in all the facets of the evidence type. by Iain Mc Arthur of AVF In May 2010, Suzanne Pilley disappeared on her way into work in the centre of Edinburgh. Four years on, the 38-year-old has never been found. Despite never recovering a body, a detailed police investigation revealed she had been murdered in the basement of her workplace by her colleague and exlover, David Gilroy. Police believe David Gilroy went to the basement of the office with Suzanne as she arrived at work. He the murdered her, leaving her body in a stairwell. He then brought his car to work, putting in the boot of his silver Vauxhall Astra. Before doing so, he arranged a meeting which would require him to drive about 130 miles to Lochgilphead in rural Argyll the next day. Through CCTV and mobile phone analysis, police believe that during that journey on Wednesday 5 May 2010, Gilroy disposed of Suzanne’s body.

Despite extensive searches of the remote forests in Argyll, Suzanne’s body was never recovered. Nevertheless, in April 2012, Gilroy was sentenced to life in prison for her murder. CCTV analysis of Gilroy’s movements and use of his car was pivotal in this case and securing a conviction. What’s caught on camera is increasingly being used to secure convictions and identify criminals. As this BBC Crimewatch episode re-construction demonstrated, audio and video ‘clips’ are central to the investigative process. As any viewer will be aware, Crimewatch depends on these clips to stimulate the memories of the public and piece together a jigsaw of evidence. In what has become part of our diet of media consumption, a typical episode will have a series of CCTV clips of suspects in crimes up and down the country.

There are occasion however, when the authenticity of audio visual evidence comes into question; Notable ones that have arisen are 1. The Daily Mirror pictures of a soldier allegedly urinating on an Iraqi published in 2005. After a complex investigation by the SIB Military Police and AVF, markings on the truck, the weapon, the camouflage pattern on the uniform and even the moles on the soldiers arm were compared to the newspapers images and it was proven beyond doubt that the photographs had been carefully staged to create proof of alleged mistreatment of prisoners. As a result of this, Piers Morgan lost his job as editor of the newspaper. 2. The News Of The World published a story (from covert video material on their website) of the then world snooker champion John Higgins apparently making a deal to throw a match whilst in the Ukraine. AVF were engaged by Mr Higgins and after close scrutiny it was apparent that thevideo had been incorrectly subtitled and the order of the footage had been changed, this changed the outcome of the hearing as the video had been biased towards the allegation 3. Expressen Newspaper in Sweden had an image supplied to them that allegedly showed the king of Sweden 20 years earlier in a strip club with agroup of scantily clad women. At the time the picture was submitted, the King had a book published about him that tarnished his reputation and AVF was tasked with authenticating the images. After detailed analysis the image was deemed highly suspect due to differences in shadow angles and the amount of manipulation that had already occurred on it.

One nation under CCTV Whatever the crime, burglary or murder, a CCTV camera will never be far away. The British Security Industry Authority (BSIA) has estimated there are up to 5.9 million closed-circuit television cameras in the country, including 750,000 in “sensitive locations” such as schools, hospitals and care homes. Their survey’s maximum estimate works out at one for every 11 people in the UK, although the BSIA said the most likely figure was 4.9 million cameras in total, or one for every 14 people. According to the BSIA, “Effective CCTV schemes are an invaluable source of crime detection and evidence for the police. For example, in 2009, 95 per cent of Scotland Yard murder cases used CCTV footage as evidence.” The scale and penetration of CCTV and the evidence it can contain is all very fine. But images can be grainy and of poor quality to the extent that material won’t stand up in court. Investigators need help with recordings to enhance images and get a better picture of the criminal party, whether on sound or vision. For example, the company‘s insights were behind the high-profile coroner ruling that Terry Lloyd - the ITN reporter shot dead in Iraq - was unlawfully killed by American troops. Video footage filmed just after the incident showed American tanks and soldiers inspecting the wreckage of Mr Lloyd and cameraman Daniel Demoustier's 4x4 in Iraq. The footage was shown at Mr Lloyd's inquest at Oxford Coroner's Court. It was taken by a cameraman attached to the tank unit alleged to have fired on Mr Lloyd's convoy. The video was released to the Royal Military Police some months after the incident by American authorities. Audio Video Forensics looked at the tape and estimated that 15 minutes of film may have been cut from the beginning. The Coroner said: "Part of the footage appears to have been edited... around the time perhaps that Mr Lloyd may have been involved in the incident." In another high-profile criminal case, a "wannabe gangster" was jailed for life for the murder of a pregnant neighbour in a cold-blooded execution following a parking row. An Old Bailey jury took three hours to find Thomas Hughes guilty of murdering Krystal Hart. Hughes had denied the shooting, saying another man was responsible. But parts of the incident - including the sound of two shots and Hughes hurrying away - were caught on CCTV.

When Daily Mirror editor Piers Morgan published photos of British soldiers supposedly abusing an Iraq, little did he know that his job was on the line. The Queen’s regiment demonstrated to reporters aspects of uniform and equipment which it said proved the photographs were fake. The regiment's Brigadier Geoff Sheldon said the vehicle featured in the photographs had been located in a Territorial Army base in Lancashire and had never been in Iraq. However, police later inserted a covert audio recording device in prison after the suspect had returned to gaol. We then recorded his conversations with visitors who were also suspected conspirators in the murder. The prison’s internal security cameras were also trained on the suspect and his visitor’s during the audio recording process. Unfortunately, the quality of the audio was very poor and required considerable enhancement. AVFs services were secured and they set about lip-synching the audio track with the separate video material. AVF then enhanced the quality of the audio recording before finally producing a high quality series of DVD’s with sub-titled dialogue. The final product contained incriminating statements and admissions including a confession to the murder. The S.I.O., Detective Superintendent Hugo Frew and Senior Prosecuting Counsel in the case, Mr. Terence Mooney Q.C. have both been highly impressed with the results of AVFs work. FHDI Mrs Kathryn Thorndycraft-Pope Forensic Document Examiner Kathryn Thorndycraft-Pope is a Forensic Document Examiner, her expertise in in examining handwriting and documents to determine if they are genuine or fraudulent. She uses specialised equipment which can decipher alterations, erasions and indentations. Kathryn started her career as a Forensic Document Examiner by joining the Identification Bureau of Grampian Police over 20 years ago. After initial training which included a short experience at the Home Office in Birmingham, and training in all aspects of ‘Identification’ of the crime such as Scene of Crime, Forensic Photography and Fingerprints. She was authorised as a Forensic Document Examiner by The Secretary of State for Scotland, to report on Handwriting and Document Examination, and attend Court as an Expert Witness. In 1998 she started her own Company - FHDI (Forensic Handwriting & Document Investigation) undertaking casework from all over the UK Europe and Worldwide. Kathryn has given Expert Witness evidence on many occasions, including many High Courts, Sheriff and District Courts. She was involved in a case which made Scottish legal History when £100 million of cocaine was brought into the West Coast of Scotland. Kathryns’ expertise was vital in establishing the importers connections and proving their guilt. She also has media experience having appeared on BBC Scotland and Gaelic TV.

Mr Chalmers has some experience in the management of vascular trauma.
