The event, which occurs the weekend after Labor Day, has become a major destination for folks near and far, attended by over 4,000 people annually. In fact, in 1991 when Governor Stan Stephens attended the celebration, he declared Lewistown the Chokecherry Capitol of Montana. While you’re in Lewistown be sure to also take in the premier event of the Montana Bale Trail, the annual WHAT THE HAY contest on Sept. 9. This amazing display of “whimsical, cleverly decorated and sculpted hay” lines a 22 mile route from Hobson to Utica to Windham, consisting of over 50 hay bale sculptures annually. People’s Choice Ballots will be handed out at the contest entrances in Hobson and Windham, beginning at 8 a.m. Live ballot voting ends at 5 p.m. Scope out your day by first visiting www.lewistownchokecherry.com. Business Succession Planning
When developing a succession plan for your business, you must make many decisions. Should you sell your business or give it away? Should you structure your plan to go into effect during your lifetime or at your death? Should you transfer your ownership interest to family members, co-owners, employees, or an outside party? The key is to pick the best plan for your circumstances and objectives, and to seek help from financial and legal advisors to carry out this plan. Selling your business Selling your business outright You can sell your business outright, choosing the right time to sell--now, at your retirement, at your death, or anytime in between. The sale proceeds can be used to maintain your lifestyle, or to pay estate taxes and other final expenses. As long as the price is at least equal to the full fair market value of the business, the sale wil not be subject to gift taxes. But, if the sale occurs before your death, it may result in capital gains tax. Transferring your business with a buy-sell agreement A buy-sell is a legally binding contract that establishes when, to whom, and at what price you can sell your interest in a business. A typical buy-sell allows the business itself or any co-owners the opportunity to purchase your interest in the business at a predetermined price. This can help avoid future adverse consequences, such as disruption of operations, entity dissolution, or business liquidation that might result in the event of your sudden incapacity or death. A buy-sell can also minimize the possibility that the business wil fall into the hands of outsiders. The ability to fix the purchase price as the taxable value of your business interest makes a buy-sell agreement especial y useful in estate planning. Agreeing to a purchase price can minimize the possibility of unfair treatment to your heirs. And, if your death is the triggering event, the IRS’ acceptance of this price as the taxable value can help minimize estate taxes. Additionally, because funding for buy-sells is typically arranged when the buy-sell is executed, you’re able to ensure that funds wil be available when needed, providing your estate with liquidity that may be needed for expenses and taxes. Private annuity With a private annuity, you transfer your ownership interest in the business to family members or another party (the buyer). The buyer in turn makes a promise to make periodic payments to you for the rest of your life (a single life annuity) or for your life and the life of a second person (a joint and survivor annuity). Again, because a private annuity is a sale and not a gift, it allows you to remove assets from your estate without incurring gift or estate taxes. Until very recently, exchanging property for an unsecured private annuity allowed you to spread out any gain realized, deferring capital gains tax. IRS regulations have effectively eliminated this benefit for most exchanges, however. If you’re considering a private annuity, be sure to talk to a tax professional. Self-canceling installment note A self-canceling installment note (SCIN) allows you to transfer your interest in the business to a buyer in exchange for a promissory note. The buyer must make a series of payments to you under that note, and a provision in the note states that at your death, the remaining payments wil be canceled. Like private annuities, SCINs provide for a lifetime income stream and they avoid gift and estate taxes. But unlike private annuities, SCINs give you a security interest in the transferred business. Gifting your business If you’re like many business owners, you’d prefer to have your children inherit the result of all your years of hard work and success. Of course, you can bequeath your business in your wil , but transferring your business during your lifetime has many additional personal and tax benefits. By gifting the business over time, you can hand over the reins gradually as your offspring become better able to control and manage the business on their own, and you can minimize gift and estate taxes. Gifting your business interests can minimize gift and estate taxes because: • • • •
It transfers the value of any future appreciation in the business out of your estate to your heirs. This can be especial y valuable if business growth is expected. Gifts of $13,000 per recipient are tax free under the annual gift tax exclusion. Aggregate gifts up to $5,120,000 (2012 figure) are tax free under your lifetime exemption. Partial interest gifts, as with GRATs, GRUTs, and FLPs, may be valued at a discount for lack of marketability or restrictions on transferability.
Gifting your business using trusts You can make gifts outright or use a trust. You can even structure a trust so that you keep control of the business for as long as you want. You can establish a revocable trust, which wil bypass probate and allow you to change your mind and end the trust, or an irrevocable trust, such as a grantor retained annuity trust (GRAT) or a grantor retained unitrust (GRUT) that can provide you with income for a specified period of time and move your business out of your estate at a discount. Gifting your business using a family limited partnership You can transfer your business interest using another entity, such as a family limited partnership (FLP). An FLP is a limited partnership formed to manage and control a family business. You (and your spouse) can be the general partners, retaining control of the business itself and receiving income from the business, while your children can be limited partners. By transferring the business to an FLP, you may be able to use valuation discounts and substantial y reduce the value of the business for tax purposes by making annual gifts to the limited partners. Small towns in Montana are known for the warm receptions they offer newcomers, and the town of Chester, Montana is no different. This coming August 26 the Chester-Joplin-Inverness Public School in cooperation with the Liberty County Chamber of Commerce will be holding their annual Community Picnic. The event is historically held the first Sunday after the school year begins. The purpose of the picnic is to welcome new teachers and staff members who have just begun their new career in Chester, and any other new members to the town or surrounding communities. The school and Chamber work together to provide, cook and serve hamburgers and hot dogs to all who attend, and potluck salads and desserts are provided by dedicated community members who attend the welcome celebration. The picnic is free to attend and, depending on how the season’s harvest is progressing, tends to draw quite a large crowd. Guests of Honor are introduced to the crowd and have the opportunity to meet many of the new faces they will be living and working with in the coming year. They also receive a “Welcome Package” that includes a variety of items that the new resident may need, provided by local businesses. If you are new to the Chester area or have lived there for years, you are invited to attend this down-home welcoming event at 5:00pm on Sunday, Aug. 26th at the Chester City Park.

Summer and Fish
Around this time of year our farmers in northeastern Montana, southern Alberta and southern Saskatchewan are just finishing up, right in the middle of harvesting or waiting on green Spring Wheat to ripen. The thing that too many people don’t know is that they are raising and harvesting the highest quality high protein spring wheat grown anywhere in the world. Our high protein spring wheat is needed by the rest of the country to blend with their low protein winter wheat to bring the protein content up high enough to make decent bread flour. Please understand that when I’m talking about wheat flour, I’m talking about whole wheat flour not that white paste they call flour. The higher the protein the better the bread. The best flour I ever used, I milled with my Magic Mill using 17 ½ % protein spring wheat. Bread flour is supposed to be at least 12 % protein, however, very little of it actually gets there, as most of the winter wheat from south of us is in the 8-10 % protein range, and if the millers can’t buy our higher protein wheat cheap enough, they won’t use it. You can get some good quality wheat flour across the line in Canada, as they don’t have all the low protein wheat to blend off; their Robin Hood brand flour is the best commercial flour I have found anywhere. Most of the wheat leaving Montana in the 110 car unit trains is headed for the Pacific Rim countries. They recognize the quality that our millers have been overlooking all these years. Recently some diet gurus have been criticizing wheat as an unhealthy food choice, but with the exception of a few gluten intolerant people, high protein wheat is a virtual powerhouse of nutrition with significant health benefits. The problem with the gurus is they are looking at white flour and calling it wheat, and nothing could be further from the truth. White flour is nothing but the endosperm (simple carbohydrate) with all of the nutrients removed. Whole wheat is a whole different story. If any of you are interested in including this nutritious food product into your diet, this year would be a good year to stock up as the weather this year has helped produce a lot of high protein wheat. We are seeing a lot of 14 and 15 % protein with a little going up to 18 %. You can bet that I’m going to have a couple of bushels of 16 % or better hidden in my pantry. There are dozens if not hundreds of wheat recipes out there for wheat berry salads, wheat chili, whole wheat bread, cracked wheat breakfast cereal, wheat casseroles and the list goes on. We don’t have room in this column for any of them but we will bring some to you down the road. “Hmmm, llamas with swollen lips; I bet these are snake bites.” I thought to myself as I pulled across the bridge. Rodd, the owner, met me in the driveway and led me through the ankle deep llama wool and hay scattered across the barn floor. Near the door and without warning, Rodd launched into a one-legged snake dance, jerked the door open and crashed out into the sunlight. “Did you hear it?” Rodd asked. “Hear what?” I said. “The rattlesnake,” Rodd fired back. “No,” I mumbled as I stepped through the door and examined the first llama. Sure enough, it had the telltale fang marks, and swollen face. “The snake is probably by the haystack in the barn, so if you still hear it buzzing, let’s go medicate it first.” I opened the barn door and stepped inside. Sure enough, just inside I spotted a coiled and buzzing rattler, but I still could not hear him. “Rodd, do you have a shovel?” Rodd did his one-legged snake dance past the haystack, tossed me an aluminum scoop shovel and hollered, “It’s not a very good shovel.” I had no idea what the condition of the shovel had to do with treating the snake, so I began whacking the rattler. He was a tougher opponent than I anticipated and he struck the shovel blade every time I clobbered him. “The llama wool and hay on the floor must be cushioning him,” I thought as I wailed away. It was viper versus veterinarian and he was matching me blow for blow. After a couple seconds, Rodd appeared and started chopping with a square-nosed shovel and our combined firepower made us victorious. The battle taught me two things: One, my hearing has faded. I have been irrigating all summer and surprisingly haven’t seen a single rattlesnake. Now I know, they might have been buzzing all around me and I could not hear them. Perhaps I should hire an eight-year-old boy to follow me around and tell me when to jump and where to whack. Two, Rodd telling me “it’s not a very good shovel,” turned out to be valuable information, which was meaningless until I examined the blade. Years of use had worn a one inch gap across the center of the shovel, so essentially I was stabbing at the snake with a two pronged fork separated by a space of 18 inches. Rodd was right, for killing snakes it was not a very good shovel. Sometimes people say things, but their true meaning is confusing, sometimes purposely, and this brings me to my point. Montana’s Governor Schweitzer has launched his “I-told-you-so” tour reprimanding 2011 Republican legislators for not spending every last penny of excess tax revenues. His words reveal the fundamental difference between progressive and conservative philosophy. Progressives wholly accept Marx teaching’s the purpose of government is to redistribute wealth from each according to his deeds, to each according to his needs. They believe every taxpayer dime not spent is a dime wasted. For example, during the budget debate in the Montana Senate, progressives offered $360 million in amendments for new spending, but because they were the minority party, their wishes were defeated. Conservatives, such as yours truly, recognizes our republic thrives when government is small and functions only as a framework for a free market economy. It is the marketplace which determines the winners and losers. Progressivism, liberalism and Marxism are synonymous and are polar opposites from American capitalism. I may be deaf to a rattlesnake coiled at my ankles, but I can hear and see the difference is these ideologies. Can you?
