How to Save Money on Lawyers and Lose Your Property in the Process

In 1945, L. S. Shoen founded U-Haul with one trailer. Over the next 40 years, he built the company into a multibillion-dollar corporation. Shoen lost control of U-Haul in 1986 when his children staged a hostile takeover. From the beginning, Shoen had systematically transferred U-Haul stock to his children to avoid taxes and attorney fees. This strategy worked when the children were young, and he still controlled their stock. Then the

their property taken by aggressive creditors. Occasionally, I get this question: “What if I just deed my house to my child (or some other third party)?” My usual answer: “Don’t do it. It’s a bad idea.”

Here’s

kids grew up, their relationship with their father soured, and they forced Shoen out of his own company. As one of Shoen’s associates observed, “Had L.S. spent five hundred dollars for a lawyer in 1950, none of the rest would have followed.”

The story of L.S. Shoen, his family, and U-Haul can be found in the fascinating book “Birthright: Murder, Greed and Power in the U-Haul Family Dynasty,” by Ronald J. Watkins.

I often consult with clients who have the same concerns as L.S. Shoen. They want to plan their estates or they are concerned about having

why:

• It’s very difficult to undo a transfer if you change your mind if the transferee won’t give the property back. You could sue to impose a constructive trust on the property, but that is a fact-specific and expensive process with no guarantee of success.

• If you still live in the house, and your relationship with the transferee deteriorates, the transferee can evict you. After all, it belongs him now, and you’re just a tenant.

• If you transferred the property to keep it out of the reach of your creditors, the creditors can sue you and your transferee to undo the transfer. I once had a client who deeded his home to his children to thwart a judgment creditor. The children found out they owned the home when the judgment creditor sued them and their father to avoid the fraudulent transfer.

• If your transferee is pursued by his own creditors, those creditors may end up with your property.

What these scenarios have in common is that when you transfer your property, you lose control of it, and you make yourself dependent on the whims of your transferee. L. S. Shoen learned that lesson the hard way.

There are better ways to protect your property from creditors or preserve it for your heirs. If estate planning is your goal, you can transfer your property to a trust (that you, as trustee, control) or execute a beneficiary deed, which is revocable until you die. If creditors are your concern, Missouri statutes provide that certain property is exempt from the claims of creditors, and the Bankruptcy Code provides a mechanism to preserve your property in many cases.

Real Estate agents work hard to get listings, market properties for sale, and bring sales to fruition. They often do so with no money up front, but with the expectation that their reward will come at closing with the payment of their commissions. If the closing does not happen, an agent who has fronted money for marketing expenses may suffer financially.

An established agent may consider this situation a cost of doing business, take the loss, and move on to other sales. Sometimes, however, an agent will go to great lengths to market a unique property, and end up liable for considerable expense when the owner decides not to sell after all.

The standard form listing contract for Missouri agents provides that if an agent procures a “ready, willing, and able buyer,” for the listed property, the agent is entitled to the agreed upon fee in the contract. That sounds good, but it is rarely so simple. The term “ready, willing, and able buyer” can be construed many different ways by many different courts and attorneys, and it may not be worthwhile for an agent to sue an owner who decides not to sell. Lawsuits are never a sure thing, legal fees are not cheap, and an agent may not want to have a reputation as someone who sues. There is also the practical consideration of collecting the fee when there is no closing. So what is an agent to do? Consider asking for money up front or for reimbursement for expenses exceeding a

certain amount. The standard listing contract has no provision for this, but agents can write their own language in the “Special Agreements” section of the contract. For example, “Owner agrees to reimburse Agent for marketing expenses exceeding $___,” or “Owner agrees to deposit $____ with Agent’s Broker for marketing expenses.”

Some owners may balk at the prospect of paying expenses up front or at the suggestion that they might decide to take a property off the market, and look for another agent. At that point, the agent needs to make a decision. Is this owner worth the risk? If the answer is yes, understand that you may take a loss. If the answer is no, let the owner go elsewhere.
