Big Brother Backs Off: Injunction Issued Barring Enforcement of the Corporate Transparency Act

The year 2024 came in with more government surveillance for real estate investors and other small business people in the form of the Corporate Transparency Act (CTA). The year went out on a more optimistic note, when, on December 3, 2024, a federal court in Texas entered a preliminary injunction barring enforcement of the CTA. Enacted in 2021, the CTA is ostensibly intended to combat money laundering and other financial crime by making it more difficult for bad actors to hide their ill-gotten gains in shell companies. In practice, the CTA empowers the federal government to collect personal information on the owners of most incorporated small

company was formed, and 5) the reporting company’s tax identification number. The CTA also requires reporting companies must also report information regarding each “beneficial owner,” by providing that person’s 1) name, 2) date of birth, 3) home address, and 4) an identifying number from an acceptable identifying document (e.g. a driver’s license or passport), along with a copy of the identifying document.

The plaintiffs in Texas Top Cop Shop challenged the CTA and its requirement for reporting to FinCEN, arguing that the CTA (1) intrudes upon states’ rights under the Ninth and Tenth Amendments to the

businesses. The preliminary injunction issued by Judge Amos Mazzant of the United States District Court for the Eastern District of Texas in Texas Top Cop Shop, Inc v. Garland stops the federal government’s information gathering operation in its tracks.

Under the CTA, most closely held corporations, limited liability companies, partnerships and other entities created by filing of a document with a secretary of state are known as “reporting companies.” The CTA requires each reporting company to report key information to the Financial Crimes Enforcement Network (FinCEN), including 1) the legal name of the reporting company, 2) any trade name or “doing business as” names, 3) the current street address of the reporting company’s principal place of business, 4) the jurisdiction in which the reporting

Constitution; (2) compels speech and burdens plaintiffs’ rights of association under the First Amendment; and (3) violates the Fourth Amendment by compelling disclosure of private information. Judge Mazzant did not address the plaintiff’s First and Fourt Amendment arguments, and instead concentrated on their Ninth and Tenth Amendment concerns. He found that the CTA and its beneficial owner information reporting requirements are likely unconstitutional, and that Congress acted beyond the scope of its power when it enacted the CTA. Judge Mazzant preliminarily enjoined the CTA, along with the enforcement of its reporting requirements and compliance deadlines. The injunction is effective nationwide.

the preliminary injunction to the United States Court of Appeals for the Fifth Circuit, but has indicated that it will comply with the injunction while the appeal is pending. With the arrival of the Trump administration, the federal government’s enthusiasm to fight Judge Mazzant’s injunction may well wane. The Fifth Circuit may vacate, uphold, or modify the injunction. If the federal government persists in its efforts to uphold and enforce the CTA, it is likely that constitutionality of the CTA will eventually reach the United States Supreme Court.

In the meantime, CTA reporting deadlines (January 1, 2025 for reporting companies formed prior to January 1, 2024, 90 days after formation for companies formed in 2024, and 30 days after formation for companies formed on January 1, 2025 or thereafter) are suspended. Also suspended are the penalties for noncompliance—civil penalties of up to $500 per day and criminal penalties of up to two years imprisonment and a $10,000 fine for each violation.

The injunction barring enforcement of the CTA is good news for small businesses and anyone who values his or her privacy. However, the CTA is not dead yet, and the situation regarding its enforcement may change at a moment’s notice.

Real Estate agents work hard to get listings, market properties for sale, and bring sales to fruition. They often do so with no money up front, but with the expectation that their reward will come at closing with the payment of their commissions. If the closing does not happen, an agent who has fronted money for marketing expenses may suffer financially.

An established agent may consider this situation a cost of doing business, take the loss, and move on to other sales. Sometimes, however, an agent will go to great lengths to market a unique property, and end up liable for considerable expense when the owner decides not to sell after all.

The standard form listing contract for Missouri agents provides that if an agent procures a “ready, willing, and able buyer,” for the listed property, the agent is entitled to the agreed upon fee in the contract. That sounds good, but it is rarely so simple. The term “ready, willing, and able buyer” can be construed many different ways by many different courts and attorneys, and it may not be worthwhile for an agent to sue an owner who decides not to sell. Lawsuits are never a sure thing, legal fees are not cheap, and an agent may not want to have a reputation as someone who sues. There is also the practical consideration of collecting the fee when there is no closing. So what is an agent to do? Consider asking for money up front or for reimbursement for expenses exceeding a

certain amount. The standard listing contract has no provision for this, but agents can write their own language in the “Special Agreements” section of the contract. For example, “Owner agrees to reimburse Agent for marketing expenses exceeding $___,” or “Owner agrees to deposit $____ with Agent’s Broker for marketing expenses.”

Some owners may balk at the prospect of paying expenses up front or at the suggestion that they might decide to take a property off the market, and look for another agent. At that point, the agent needs to make a decision. Is this owner worth the risk? If the answer is yes, understand that you may take a loss. If the answer is no, let the owner go elsewhere.
