Beware of Free Money: Homeowner Benefit Agreements
and their Costs

“If it sounds too good to be true, it probably is.” This is an old cliché which is often true, and it applies to a new species of real estate contract called the Homeowner Benefit Agreement (HBA). HBAs are the brainchild of a Florida company called MV Realty PBC, LLC (MV Realty).
MV Realty solicits homeowners with the offer of a few hundred or thousand dollars in exchange for the homeowner’s signature on an HBA. The HBA then obligates the homeowner to use MV Realty as its exclusive listing agent for the next 40 years if the homeowner decides to sell his home and pay MV Realty a three percent
on the real estate, and which must be cleared before it can be transferred.
HBAs have garnered the attention of the Attorneys General of Missouri and of several other states, who argue that MV Realty is engaging in predatory behavior toward vulnerable consumers.
commission on the sale price. If the homeowner doesn’t sell, but instead decides to terminate the HBA early, he is also obligated to pay MV Realty three percent of the home’s value as determined by MV Realty. In the event the homeowner dies, this three percent fee would also apply to the homeowners’ heirs, who would typically learn about it shortly before closing the sale of the home. In order to give the HBA some teeth, MV Realty records a “Memorandum of Homeowner Benefit Agreement” with the local recorder of deeds, which effectively becomes a lien
Missouri Attorney General Andrew Bailey has filed suit against MV Realty, in which he contends that MV Realty solicited homeowners via robocalls in violation of the Missouri Do Not Call Law. According to the lawsuit, MV Realty would send a notary to the home of an interested homeowner within a day or two of the homeowner’s stated intention to accept MV Realty’s money and sign an HBA. The notary would have one copy of the HBA, explain the HBA in general terms, and obtain the homeowner’s signature. The homeowner would not be given a complete copy of the HBA until days after it had been signed. Once the HBA was signed, the homeowner had only three days to cancel the HBA before being bound for 40 years. Per Attorney General Bailey, homeowners who signed HBAs described high pressure interactions and a lack of explanation of critical terms of the HBA, including the 40-year duration and the placing of a lien on the homeowner’s property.
Attorney General Bailey’s suit against MV Realty charges that MV Realty has violated the Missouri Merchandising Practices Act
by engaging in unfair and deceptive practices, and the Missouri Do Not Call Law by engaging in telemarketing abuses. The Attorney General seeks an injunction against MV Realty prohibiting it from advertising HBAs in Missouri, declaring existing HBAs null and void, ordering that all HBA-related liens be removed from the properties of affected homeowners, and requiring MV Realty to pay restitution and civil penalties. The lawsuit is pending in the Circuit Court of St. Louis County, and is still in its early stages.
While the lawsuit is pending, affected homeowners who want to sell their homes will have to deal with HBA-related liens on their properties. This is a unique challenge for real estate agents and attorneys, and may require the filing of a separate lawsuit to quiet title, or negotiation with MV Realty (possibly with the help of the Attorney General’s office) to clear the lien.

Real Estate agents work hard to get listings, market properties for sale, and bring sales to fruition. They often do so with no money up front, but with the expectation that their reward will come at closing with the payment of their commissions. If the closing does not happen, an agent who has fronted money for marketing expenses may suffer financially.
An established agent may consider this situation a cost of doing business, take the loss, and move on to other sales. Sometimes, however, an agent will go to great lengths to market a unique property, and end up liable for considerable expense when the owner decides not to sell after all.
The standard form listing contract for Missouri agents provides that if an agent procures a “ready, willing, and able buyer,” for the listed property, the agent is entitled to the agreed upon fee in the contract. That sounds good, but it is rarely so simple. The term “ready, willing, and able buyer” can be construed many different ways by many different courts and attorneys, and it may not be worthwhile for an agent to sue an owner who decides not to sell. Lawsuits are never a sure thing, legal fees are not cheap, and an agent may not want to have a reputation as someone who sues. There is also the practical consideration of collecting the fee when there is no closing. So what is an agent to do? Consider asking for money up front or for reimbursement for expenses exceeding a

certain amount. The standard listing contract has no provision for this, but agents can write their own language in the “Special Agreements” section of the contract. For example, “Owner agrees to reimburse Agent for marketing expenses exceeding $___,” or “Owner agrees to deposit $____ with Agent’s Broker for marketing expenses.”
Some owners may balk at the prospect of paying expenses up front or at the suggestion that they might decide to take a property off the market, and look for another agent. At that point, the agent needs to make a decision. Is this owner worth the risk? If the answer is yes, understand that you may take a loss. If the answer is no, let the owner go elsewhere.
