Big Brother is Watching your Business: The Corporate Transparency Act
With the new year comes more government surveillance for real estate investors and other small business people in the form of the Corporate Transparency Act (CTA).
Enacted in 2021, the CTA is ostensibly intended to combat money laundering and other financial crime by making it more difficult for bad actors to hide their illgotten gains in shell companies. In practice, the CTA empowers the federal government to collect personal information on the owners of most incorporated small businesses.
Under CTA, most closely held corporations, limited liability companies, partnerships and other entities created by filing of a document with a secretary of state are known as “reporting companies.” It is important to note that a sole proprietorship is NOT a reporting company under the CTA. Each reporting company must report to the following company information to the Financial Crimes Enforcement Network (FinCEN):
· The legal name of the reporting company
· Any trade name or “doing business as” names.
· Current street address of the reporting company’s principal place of business.
· The jurisdiction in which the reporting company was formed.
·The reporting company’s tax identification number.
Reporting companies must also report information regarding each “beneficial owner,” defined as an individual who owns at least 25 percent of the reporting company’s ownership interests, or who, either directly or indirectly, exercises “substantial control” over the reporting company. Individuals with “substantial control” include senior officers (e.g. president, vice president, secretary, treasurer, general counsel, CEO, COO), anyone who has the authority to appoint or remove the company’s officer or directors, anyone who is an important decisionmaker for the reporting company, or anyone else who exercises substantial control over the reporting company. The manager of a limited liability company would also be considered a beneficial owner under the CTA.
For each beneficial owner, the reporting company must provide:
· The individual’s name.
· Date of birth.
· Home address.
· An identifying number from an acceptable identifying document (e.g. a driver’s license or

Reporting companies formed prior to January 1, 2024 have until January 1, 2025 to report their beneficial ownership information. Reporting companies formed on or after January 1, 2024 are required to report their beneficial ownership information within 90 days of company formation. Reporting companies formed on or after January 1, 2025 will have 30 days after company formation to file a beneficial ownership information report. If there is any change in the beneficial ownership of a reporting company, the company must file an updated beneficial ownership report within 30 days of the ownership change.
Reporting companies and individuals required to report beneficial ownership information are subject to civil penalties of up to $500 per day if they willfully violate the CTA and may be subject to criminal penalties of up to two years imprisonment and a $10,000 fine for each violation. Since the CTA is so new, one can only speculate whether enforcement of the CTA will be consistent or selective.
FinCEN will make beneficial ownership information available to federal, state, and local officials for national security, intelligence, and law enforcement purposes. Banks and other financial institutions will also have access to beneficial reporting information in certain circumstances. FinCEN is still crafting policies and procedures regarding the handling of beneficial ownership information, and has not yet disclosed how it might respond to a data breach.
